Responsibilities of a Board Member At our November 15 General Meeting we will elect two new Directors for the board. These Directors will serve a two year term expiring at the end of December, 2013. Candidates should commit to attending the twelve board meetings, once per month, and two general meetings in May and November. We hope you will consider being a candidate for the Board of Directors. Being elected to the Board of Directors of the SouthGate Community Association is an honor, but with this honor comes responsibility. Each homeowner should know the duties and obligations of the Association’s Board of Directors. SouthGate Community Association was created as a membership organization managed by a board of directors. Texas law and the Association’s governing documents outline the rights and responsibilities of the Association and its Board of Directors. Each Director owes the Association legal duties of good faith, loyalty, and obedience. These duties include the obligation to follow all of the state and federal laws and all of the governing documents of our community, including the Association’s deed restrictions and bylaws. These duties mean that the Directors must always put the Association first, must not participate in any self dealing, and must stay informed about the proper functioning of the Association. These duties also mean that each Director must obey the rules governing the Association even if the Director does not agree with the rules. Also within these duties is the principle that the Board of Directors acts as a whole and by majority vote. An individual Director Copyright © 2011 Peel, Inc.

has no authority to act independent of the rest of the Board of Directors, and no individual Director has more authority than any other Director. This prevents one Director from ruling the Association without regard to the rights of all homeowners. These duties of the Board of Directors exist to protect the Association and to provide for the proper functioning of the Association. The Association’s governing documents were put in place to keep our neighborhood clean, attractive and safe, and to maintain the value of our homes. The Directors must fulfill these obligations and follow these rules in all ways while performing their work on the Board of Directors. The Association’s governing documents can be amended. A committee is meeting now to discuss changes to the Association’s governing documents. Every homeowner is invited to participate and be a member of the committee. Please contact the Association management company or visit the HOA website at www.sgatehoa.org for meeting times, dates and locations. All are welcome. The meetings of the Board of Directors are open to all homeowners, and all homeowners are welcome and invited to attend the meetings of the Board of Directors. The Board meets monthly at 6:30 p.m. on the second Tuesday of each month at Shepherd of the Heart United Methodist church on County Road 59. When the Board of Directors fulfills its duties and follows the rules created for this Association, the Board of Directors provides effective leadership and direction for the betterment of our community.

General Meeting & Elections Tuesday, November 15 at 6:30 pm Shepherd of the Heart Methodist Church The Annual General Meeting of Homeowners will be held on Tuesday, November 15th. There will be two open board seats to be elected, with terms of two years each beginning January 1, 2012. The five board members (two new and three existing) will elect the officers at their meeting in December. We will not be electing officer positions in November, but two board members. Please arrive early as the meeting will start promptly at 6:30pm. All proxies for voting must be turned in prior to the start of the meeting.
