Please Note: Upon signing this agreement you acknowledge the terms and conditions detailed within and understand you have entered into a legally binding contract. Required Deposit: A deposit of 30% of the value of the sponsorship is required to be paid upon signing this agreement for sponsorship of The Show. The balance of the payment in full of the total value of the sponsorship is required within ninety (90) days in advance of the opening date of the Show. TERMS & CONDITIONS 1. SPONSORS COVENANTS (a) The Sponsor agrees to (i) obey all laws, by-laws, ordinances and regulations governing use of the facility and operation of the Show, (ii) abide by the rules and regulations of the city, fire and police departments and of any other government or regulatory body having authority to regulate the facility and the Show, and (iii) obey all laws, including those pertaining to health and safety, consumer protection and protection of visitors to the Show. (b) The Sponsor agrees to abide by all rules and regulations governing the Show established from time to time by dmg world media (Canada) inc. (“dmg”), including rules and regulations set forth in the Exhibitor Service Kit. Sponsors will receive access to the event website to include their details into the event program and on the official website. (c) The Sponsor agrees to observe, to the extent applicable, all union contracts and labour relations agreements in force (i) between dmg and contractors providing services to the facility, and (ii) governing companies operating in the facility in which the Show is taking place. In the event of the Sponsor being an ‘exhibitor’, the Sponsor agrees to occupy the contracted exhibit space during Show hours and to sell, promote or advertise only the products and services related to their company or associated companies in accordance with the terms and conditions of this [sponsorship] agreement. 2. dmg RIGHTS (a) dmg reserves the right, in its sole and unfettered discretion to: (i) determine the eligibility of sponsors and sponsorships for the Show, (ii) reject or prohibit sponsors or sponsorships which dmg considers objectionable, inappropriate, disruptive or offensive to dmg, other sponsors or Show attendees; (iii) change or modify the layout of the Show and/or relocate sponsors; (iv) cancel, in whole or in part, the Show due to an event of force majeure; or (v) change the date, location and duration of the Show; without any liability to dmg. (b) dmg shall have the right from time to time to establish and amend or modify any regulations governing use of the facility and the Show. 3. ASSIGNMENT AND SUBLETTING The Sponsor shall not assign any rights or sublet any exhibit space, if applicable, provided by dmg under this sponsorship agreement without the prior written permission of dmg, which permission may be withheld in dmg’s sole and unfettered discretion. 4. INDEMNIFICATION Sponsor agrees to indemnify and hold harmless dmg, other Show sponsors and the facility and their respective officers, agents, insurers and employees, against all claims, damages, costs and charges of every kind resulting from their sponsorship or its occupancy of exhibit space, if applicable, and its environs, for personal injuries, death, property damages or any other damage sustained by the Sponsor, dmg, the facility, or a visitor to the Show and their respective officers, agents, employees or those for whom in law they are responsible. 5. LIABILITY AND INSURANCE (a) The Sponsor shall obtain and maintain at its own expense a comprehensive general liability and all risk property insurance policy acceptable to dmg for the period commencing on the first move-in date and terminating on the last move--out date. The policy shall name dmg as loss insured and insure the Sponsor against all claims of any kind arising from or in any way connected with the Sponsor’s presence or operations at the Show. The policy shall provide coverage of at least $2,000,000 for each separate occurrence. At the request of dmg, the Sponsor shall provide dmg with a copy of such policy. The Sponsor is responsible to insure its own exhibit, personnel, display and materials from any damage or loss through theft, fire, accident or other cause and accepts all risks associated with the use of its exhibit space and its environs. The Sponsor shall not make any claim or demand or take any legal action, whatsoever, against dmg, other Show sponsors or the facility in which the Show is held, for any loss, damage or injury howsoever caused, to the Sponsor, its officers, directors, agents, representatives, and employees or their respective property. Neither dmg nor the facility will assume liability for loss for damage, through any cause, of equipment, products, goods, exhibits or other materials owned, rented or leased by the Sponsor. (b) Any person who is a prevailing party in any legal proceeding brought under or related to the transaction described in this sponsorship agreement is entitled to recover prejudgment interest, reasonable attorney’s fees, and all other costs of litigation from the non-prevailing party. 6. BOOTH DISPLAY – (Applicable to exhibiting sponsors ONLY) (a) All exhibits require full floor covering and must be constructed of hardwall. Booth construction and signage must be exhibited in accordance with the rules and regulations pertaining to the Sponsor’s booth type and as outlined in the Exhibitor Service Kit. (b) The Sponsor agrees that no display will be dismantled or goods removed during the term of the Show, but will remain intact until the end of the final closing hour on the last Show day. The Sponsor also agrees to remove its display and equipment from the Show site by the final move-out day, and in the event of a failure to do so, or failure to return the allocated space to the same condition as at the move-in date, the Sponsor agrees to pay for any additional costs and expenses incurred by dmg. (c) The Sponsor shall not sell, promote or advertise any products and services not in conformity with this sponsorship agreement without the prior written approval of dmg. 7. PAYMENT TERMS (a) A non-refundable deposit equal to thirty per cent (30%) of the total value of the sponsorship is required to be paid upon signing of the contract. (b) The balance of the payment in full of the total value of the sponsorship is required one hundred and eighty (180) days in advance of the opening date of the Show.

8. CANCELLATION AND TERMINATION (a) The Sponsor shall have the right to cancel this sponsorship agreement by notice in writing to be delivered to dmg no later than one hundred and twenty (120) days preceding the opening date of the Show. All deposits received by dmg up to the date of notice of cancellation are non-refundable and non-transferable. In the event that the Sponsor (i) notifies dmg less than sixty (60) days preceding the opening date of the Show that it wishes to cancel this sponsorship agreement; or (ii) fails to make payments in accordance with the payment schedule set out herein; or (iii) except as otherwise permitted herein, fails to appear at the Show; dmg reserves the right to (iv) cancel this sponsorship agreement without notice and all rights of the Sponsor hereunder shall cease and terminate; (v) retain any payment made by the Sponsor as liquidated damages (and not as a penalty) for breach of this sponsorship agreement; (vi) re-license the said Sponsorship; and (vii) bring action against the Sponsor for payment of the full cost of the space originally licensed from dmg. (b) In the event that this sponsorship agreement is cancelled or terminated, the Sponsor shall immediately cease using any event, Show or dmg logos or trademarks. If the Sponsor violates or breaches any other terms or conditions of this sponsorship (c) agreement, all payments made by the Sponsor and all amounts due to dmg shall be deemed earned by dmg and all deposits received shall be non-refundable and non-transferable. In the event of any violation or breach of the terms and conditions of this sponsorship agreement, dmg shall have the right to immediately occupy the space, if applicable, of the violating and/or breaching Sponsor and utilize it in any manner as dmg deems appropriate, including, but not limited to, re-licensing its use to another sponsor. The Sponsor shall not be entitled to any offset or mitigation of the amount due under this sponsorship agreement as a result of the use of or payment for the space by another sponsor in the Show. (d) Each covenant by the Sponsor contained herein is material and of the essence of this sponsorship agreement and violation of any term or condition hereof by the Sponsor shall be a default of the entire agreement entitling dmg to immediately and without notice revoke the privileges granted to the Sponsor and, if applicable, take possession of the space of the defaulting Sponsor. Any such revocation of the license granted for the sponsorship herein shall be without prejudice to dmg to make any claim for damages or enforcement of the payment of any amounts due pursuant to the terms hereof. 9. FORCE MAJEURE (a) In the event that (i) the facility in which the Show is to be held or is held is destroyed or becomes unavailable for occupancy or (ii) dmg is unable to permit the Sponsor to occupy the facility or the space, or (iii) if the Show is cancelled or curtailed, for any reasons beyond the control of dmg, including but not limited to, casualty, explosion, fire, lightning, flood, weather, epidemic, earthquake or other Acts of God, acts of public enemies, riots or civil disturbances, strike, lockout or boycott, dmg will not be responsible for any loss of business, loss of profits, consequential or special damages, (direct or indirect), or expenses incurred by the Sponsor, of whatever nature that the Sponsor may suffer. (b) In the event of ‘force majeure’, as outlined in paragraph 9.(a) above, dmg will agree to refund the value of the sponsorship less any costs already incurred on behalf of the Sponsor by dmg in preparation/execution of the sponsorship arrangement and dmg shall be released from its obligations to the Sponsor with respect to the Show. 10. MISCELLANEOUS a) The relationship between Sponsor and dmg will be that of independent contractors. This sponsorship agreement does not constitute the parties, and the parties will not be deemed to be, partners or joint ventures’ of one another. Neither party will have any right to act as the agent or legal representative of the other party or to create any liability for or bind the other party in any respect whatsoever. b) This Agreement supersedes all prior agreements, understandings, negotiations and discussions, whether oral or written. There are no conditions, warranties, representations or other agreements between the parties in connection with the subject matter hereof, whether oral or written, express or implied, statutory or otherwise except as expressly stated in this sponsorship agreement. c) A waiver of any default, breach or non-compliance under this Agreement is not effective unless in writing and signed by the party to be bound by the waiver. A waiver by a party of any breach of any term or provision of this sponsorship agreement by the other party shall not be deemed a waiver of any continuing or subsequent breach or non-observance, whether of the same or any other nature. No waiver will be inferred from or implied by any failure to act or delay in acting by a party in respect of any default, breach or non-observance or by anything done or omitted to be done by the other party. c) No alterations or variations of the terms of this sponsorship agreement shall be valid unless made in writing and signed by each of the parties hereto. d) Sponsorship agreement shall be governed by and construed in accordance with the laws of the Province of Alberta and the laws of Canada applicable therein. e) This Agreement shall endure to the benefit of and will be binding upon the parties hereto and their respective successors and permitted assigns.
