The designer Emanuela Burgener signs her creations in the name of Margherita, her eldest daughter, to whom her jewels are dedicated. Her designs are strikingly modern and fashionable yet maintain the noble traditions of classical Italian jewellery with the exceptional and meticulous craftsmanship established by Margherita’s grandfather.
In 1966, he founded theValenza workshop, in northern Italy, where the family continues to work exclusively. A passion and love for the lively colours of aquamarine and other coloured precious gemstones, selected for their highest quality from all over the world, underlie Margherita Burgener’s creations.

Established in 1989, originally as a Neuchatel-based watch manufacturing company, Enigma has distinguished itself by creating innovative timepieces such as a collection of unusual jumping hours, a unique mechanical watch that rewinds by turning the bezel, and by setting diamonds on steel cases as early as 1991. In 2003, Enigma introduced and launched a fine jewellery collection and currently has international retail stores in Rome, Geneva and Porto Cervo. Enigma jewels are recognizable for their strong, individual designs inspired by Gianni Bulgari, its founder and owner. Gianni Bulgari is the former Chairman and CEO of the eponymous family business, which he left in 1987.

Margherita Burgener The designer Emanuela Burgener signs her creations in the name of Margherita, her eldest daughter, to whom her jewels are dedicated. In 1966, he founded the Valenza workshop, in northern Italy, where the family continues to work exclusively. Rolex The company Rolex was set up by M. H. Wilsdorf in London in 1905 in order to launch the new fashion of wristwatches in Britain.The trade name Rolex was devised as it was short and easy to pronounce in most languages. In 1919, Wilsdorf relocated the company to Geneva and in 1926, invented the waterproof “Oyster” model, made famous by Mercedes Gleitze who wore it when she swam the English Channel in record time. Edmond Hillary wore a Rolex on his great Everest expedition and Jacques Piccard also wore one when he explored the depths of the ocean bed. Consecutive and Responsive Bidding The auctioneer may open the bidding on any lot by placing a bid on behalf of the seller.The auctioneer may further bid on behalf of the seller up to, but not including, the reserve by placing consecutive bids or bids in response to other bidders. 4 After the Auction Payment Buyers are required to pay for purchases immediately following the auction unless other arrangements are agreed with Phillips de Pury & Company in writing in advance of the sale. Payments must be made in Swiss Francs either by cash or wire transfer, as noted in Paragraph 6 of the Conditions of Sale. It is our corporate policy not to accept single or multiple payments in cash or cash equivalents in excess of CHF 10,000. Collection It is our policy to request proof of identity on collection of a lot. A lot will be released to the buyer or the buyer’s authorized representative when Phillips de Pury & Company has received full and cleared payment and we are not owed any other amount by the buyer. We will levy removal, interest, storage and handling charges on uncollected lots. Loss or Damage Buyers are reminded that Phillips de Pury & Company accepts liability for loss or damage to lots for a maximum of five days following the auction. Transport and Shipping As a free service for buyers, Phillips de Pury & Company will wrap purchased lots for hand carry only. IMPORTANT NOTICE TO ALL PURCHASERS OF COLORED GEMSTONES Clients are advised that many colored gemstones are treated to enhance their properties. For example, heating is commonly used to improve the color or transparency of rubies and sapphires; oiling is commonly used to enhance the clarity of emeralds. Such enhancement procedures are widely accepted by the international jewelry profession. While heat enhancement of color is generally believed to be permanent, the process may impact the durability of the gemstone and special care of the stone may be required over time. Gemstones which have been oiled may need to be re-oiled after a period of years to retain their maximum clarity. IMPORTANT NOTICE REGARDING BURMESE STONES Clients are advised that rubies and jadeite of Burmese origin and articles of jewelry less than 100 years old which contain Burmese rubies or jadeite may not be imported into the United States. A purchaser’s inability to import any such item into the US shall not constitute grounds for non-payment or cancellation of the sale. While we undertake to exercise reasonable care in undertaking such activity, we cannot accept liability for failure to execute such bids except where such failure is caused by our willful misconduct. (f) Employees of Phillips de Pury & Company and our affiliated companies, including the auctioneer, may bid at the auction by placing absentee bids so long as they do not know the reserve when submitting their absentee bids and otherwise comply with our employee bidding procedures. 5 Conduct of the Auction each lot is offered subject to a (a) Unless otherwise indicated by the symbol reserve, which is the confidential minimum selling price agreed by Phillips de Pury & Company with the seller.The reserve will not exceed the low pre-sale estimate at the time of the auction.

(b)The auctioneer has discretion at any time to refuse any bid, withdraw any lot, re-offer a lot for sale (including after the fall of the hammer) if he or she believes there may be error or dispute and take such other action as he or she deems reasonably appropriate. (c)The auctioneer will commence and advance the bidding at levels and in increments he or she considers appropriate. In order to protect the reserve on any lot, the auctioneer may place one or more bids on behalf of the seller up to, but not including, the reserve without indicating he or she is doing so, either by placing consecutive bids or bids in response to other bidders. (d)The sale will be conducted in Swiss francs and payment is due in Swiss francs. For the benefit of international clients, pre-sale estimates in the auction catalogue may be shown in US dollars and, if so, will reflect approximate exchange rates. Estimates in US dollars should be treated only as a guide. A currency converter may be used during the auction as a convenience for bidders. Errors may occur in the currency conversion process, and Phillips de Pury & Company shall accept no responsibility for any such mistakes.
(e) Subject to the auctioneer’s reasonable discretion, the highest bidder accepted by the auctioneer will be the buyer and the striking of the hammer marks the acceptance of the highest bid and the conclusion of a contract for sale between the seller and the buyer. Risk and responsibility for the lot passes to the buyer as set forth in Paragraph 7 below.
8 Failure to Collect Purchases (a) If the buyer pays the Purchase Price but fails to collect a purchased lot within 30 days of the auction, the buyer will incur a late collection fee of CHF 50, storage charges of CHF 7 per day and pro rated insurance charges of .1% of the Purchase Price per month on each uncollected lot.
(f) If a lot is not sold, the auctioneer will announce that it has been “passed,” “withdrawn,” “returned to owner” or “bought-in.”
(b) If a purchased lot is paid for but not collected within six months of the auction, the buyer authorizes Phillips de Pury & Company, upon notice, to arrange a resale of the item by auction or private sale, with estimates and a reserve set at Phillips de Pury & Company’s reasonable discretion.The proceeds of such sale will be applied to pay for storage charges and any other outstanding costs and expenses owed by the buyer to Phillips de Pury & Company or our affiliated companies and the remainder will be forfeited unless collected by the buyer within two years of the original auction.
(g) Any post-auction sale of lots offered at auction shall incorporate these Conditions of Sale and Authorship Warranty as if sold in the auction. 6 Purchase Price and Payment (a)The buyer agrees to pay us, in addition to the hammer price of the lot, the buyer’s premium and any applicable VAT (the “Purchase Price”).The buyer’s premium is 25% of the hammer price up to and including CHF 60,000, 20% of the portion of the hammer price above CHF 60,000 up to and including CHF 1,200,000 and 12% of the portion of the hammer price above CHF 1,200,000. VAT of 7.6% is payable on the hammer price and the buyer’s premium and is refundable to non-Swiss resident buyers who, within 30 days following the sale, present to Philips de Pury & Company an export declaration, duly stamped by Swiss customs, proving that the lot has left Switzerland. Phillips de Pury & Company is not obliged to release a lot to the buyer until title in the lot has passed and appropriate identification has been provided, and any earlier release does not affect the passing of title or the buyer’s unconditional obligation to pay the Purchase Price. 7 Collection of Property (a) Phillips de Pury & Company will not release a lot to the buyer until we have received payment of its Purchase Price in full in cleared funds, the buyer has paid all outstanding amounts due to Phillips de Pury & Company or any of our affiliated companies, including any charges payable pursuant to Paragraph 8 (a) below, and the buyer has satisfied such other terms as we in our sole discretion shall require, including completing any anti-money laundering or anti-terrorism financing checks. (b)The buyer must arrange for collection of a purchased lot within five days of the date of the auction. On the date of the auction and for two days immediately following, buyers may collect purchased lots at the Hotel de la Paix, 11 quai du Mont Blanc, Genève, Switzerland.Thereafter, all purchased lots should be collected at our offices at 23 quai des Bergues, Genève, Switzerland. Purchased lots are at the buyer’s risk, including the responsibility for insurance, from the earlier to occur of (i) the date of collection or (ii) five days after the auction. Until risk passes, Phillips de Pury & Company will compensate the buyer for any loss or damage to a purchased lot up to a maximum of the Purchase Price paid, subject to our usual exclusions for loss or damage to property. (c) As a courtesy to clients, Phillips de Pury & Company will, without charge, wrap purchased lots for hand carry only. (d) Phillips de Pury & Company will require presentation of government issued identification prior to release of a lot to the buyer or the buyer’s authorized representative.
9 Remedies for Non-Payment Without prejudice to any rights the seller may have, if the buyer without prior agreement fails to make payment of the Purchase Price for a lot in cleared funds within five days of the auction, Phillips de Pury & Company may in our sole discretion exercise one or more of the following remedies: (a) store the lot at Phillips de Pury & Company’s premises or elsewhere at the buyer’s sole risk and expense at the same rates as set forth in Paragraph 8 (a) above; (b) cancel the sale of the lot, retaining any partial payment of the Purchase Price as a deposit forfeited by the defaulting buyer; (c) reject future bids from the buyer or render such bids subject to payment of a deposit; (d) charge interest at 12% per annum from the date payment became due until the date the Purchase Price is received in cleared funds; (e) subject to notification of the buyer, exercise a lien over any of the buyer’s property which is in the possession of Phillips de Pury & Company or any of our affiliated companies and, within 14 days of such notice, arrange the sale of such property and apply the proceeds to the amount owed to Phillips de Pury & Company or any of our affiliated companies; (f) resell the lot by auction or private sale, with estimates and a reserve set at Phillips de Pury & Company’s reasonable discretion, it being understood that in the event such resale is for less than the original hammer price and buyer’s premium for that lot, the buyer will remain liable for the shortfall together with all costs incurred in such resale; (g) commence legal proceedings to recover the hammer price and buyer’s premium for that lot, together with interest and the costs of such proceedings; or (h) release the name and address of the buyer to the seller to enable the seller to commence legal proceedings to recover the amounts due and legal costs. As security to us for full payment by the buyer of all outstanding amounts due to Phillips de Pury & Company and our affiliated companies, Phillips de Pury & Company retains, and the buyer grants to us, a security interest (droit de gage) in each lot purchased by the buyer at auction and in any other property or money of the buyer in our possession or coming into our possession. In Switzerland, we have the right but not the obligation to have recourse to the proceedings of Article 151 of the Swiss Act on Debt Collection and Enforcement Proceedings and, accordingly, we may sell by forced sale or private treaty. Our security interest will terminate upon actual delivery of the lot to the buyer or the buyer’s agent. 10 Rescission by Phillips de Pury & Company Phillips de Pury & Company shall have the right, but not the obligation, to rescind a sale without notice to the buyer if we reasonably believe that there is a material breach of the seller’s representations and warranties or the Authorship Warranty or an adverse claim is made by a third party. Upon notice of Phillips de Pury & Company’s election to rescind the sale, the buyer will promptly return the lot to Phillips de Pury & Company, and we will then refund the Purchase Price paid to us. As described more fully in Paragraph 13 below, the refund shall constitute the sole remedy and recourse of the buyer against Phillips de Pury & Company and the seller with respect to such rescinded sale. 11 Export, Import and Endangered Species Licenses and Permits Before bidding for any property, prospective buyers are advised to make their own inquiries as to whether a license is required to export a lot from Switzerland or to import it into another country. Prospective buyers are advised that some countries prohibit the import of property made of or incorporating plant or animal material, such as coral, crocodile, ivory, whalebone, rhinoceros horn or tortoiseshell, irrespective of age, percentage or value. Accordingly, prior to bidding, prospective buyers considering export of purchased lots should familiarize themselves with relevant export and import regulations of the countries concerned. It is solely the buyer’s responsibility to comply with these laws and to obtain any necessary export, import and endangered species licenses or permits. Failure to obtain a license or permit or delay in so doing will not justify the cancellation of the sale or any delay in making full payment for the lot. 12 Client Information In connection with the management and operation of our business and the marketing and supply of auction related services, or as required by law, we may ask clients to provide personal information about themselves or obtain information about clients from third parties (e.g., credit information). If clients provide us with information that is defined by law as “sensitive,” they agree that Phillips de Pury & Company and our affiliated companies may use it for the above purposes. Phillips de Pury & Company and our affiliated companies will not use or process sensitive information for any other purpose without the client’s express consent. 13 Limitation of Liability (a) Subject to subparagraph (e) below, the total liability of Phillips de Pury & Company, our affiliated companies and the seller to the buyer in connection with the sale of a lot shall be limited to the Purchase Price actually paid by the buyer for the lot. (b) Except as otherwise provided in this Paragraph 13, none of Phillips de Pury & Company, any of our affiliated companies or the seller (i) is liable for any errors or omissions, whether orally or in writing, in information provided to prospective buyers by Phillips de Pury & Company or any of our affiliated companies or (ii) accepts responsibility to any bidder in respect of acts or omissions, whether negligent or otherwise, by Phillips de Pury & Company or any of our affiliated companies in connection with the conduct of the auction or for any other matter relating to the sale of any lot. (c) All warranties other than the Authorship Warranty, express or implied, including any warranty of satisfactory quality and fitness for purpose, are specifically excluded by Phillips de Pury & Company, our affiliated companies and the seller to the fullest extent permitted by law. (d) Subject to subparagraph (e) below, none of Phillips de Pury & Company, any of our affiliated companies or the seller shall be liable to the buyer for any loss or damage beyond the refund of the Purchase Price referred to in subparagraph (a) above, whether such loss or damage is characterized as direct, indirect, special, incidental or consequential, or for the payment of interest on the Purchase Price to the fullest extent permitted by law. (e) No provision in these Conditions of Sale shall be deemed to exclude or limit the liability of Phillips de Pury & Company or any of our affiliated companies to the buyer in respect of any fraud or fraudulent misrepresentation made by any of us or in respect of death or personal injury caused by our negligent acts or omissions. 14 Copyright The copyright in all images, illustrations and written materials produced by or for Phillips de Pury & Company relating to a lot, including the contents of this catalogue, is and shall remain at all times the property of Phillips de Pury & Company and such images and materials may not be used by the buyer or any other party without our prior written consent. Phillips de Pury & Company and the seller make no representations or warranties that the buyer of a lot will acquire any copyright or other reproduction rights in it. 15 General (a)These Conditions of Sale, as changed or supplemented as provided in Paragraph 1 above, and Authorship Warranty set out the entire agreement between the parties with respect to the transactions contemplated herein and supersede all prior and contemporaneous written, oral or implied understandings, representations and agreements. (b) Notices to Phillips de Pury & Company shall be in writing and addressed to the department in charge of the sale, quoting the reference number specified at the beginning of the sale catalogue. Notices to clients shall be addressed to the last address notified by them in writing to Phillips de Pury & Company. (c)These Conditions of Sale are not assignable by any buyer without our prior written consent but are binding on the buyer’s successors, assigns and representatives. (d) Should any provision of these Conditions of Sale be held void, invalid or unenforceable for any reason, the remaining provisions shall remain in full force and effect. No failure by any party to exercise, nor any delay in exercising, any right or remedy under these Conditions of Sale shall act as a waiver or release thereof in whole or in part. 16 Law and Jurisdiction (a)The rights and obligations of the parties with respect to these Conditions of Sale and Authorship Warranty, the conduct of the auction and any matters related to any of the foregoing shall be governed by Swiss law. (b) Phillips de Pury & Company, all bidders and all sellers agree to the exclusive jurisdiction of the Courts of the Canton of Geneva, subject to appeal the Federal Tribunal, to settle all disputes arising in connection with all aspects of all matters or transactions to which these Conditions of Sale and Authorship Warranty relate or apply. (c) All bidders and sellers irrevocably consent to service of process or any other documents in connection with proceedings in any court by facsimile transmission, personal service, delivery by mail or in any other manner permitted by Swiss law or the law of the place of service, at the last address of the bidder or seller known to Phillips de Pury & Company.
AUTHORSHIP WARRANTY Phillips de Pury & Company warrants the authorship of property in this auction catalogue for a period of five years from date of sale by Phillips de Pury & Company, subject to the exclusions and limitations set forth below. (a) Phillips de Pury & Company gives this Authorship Warranty only to the original buyer of record (i.e., the registered successful bidder) of any lot.This Authorship Warranty does not extend to (i) subsequent owners of the property, including purchasers or recipients by way of gift from the original buyer, heirs, successors, beneficiaries and assigns; (ii) property created prior to 1870, unless the property is determined to be counterfeit (defined as a forgery made less than 50 years ago with an intent to deceive) and has a value at the date of the claim under this warranty which is materially less than the Purchase Price paid; (iii) property where the description in the catalogue states that there is a conflict of opinion on the authorship of the property; (iv) property where our attribution of authorship was on the date of sale consistent with the generally accepted opinions of specialists, scholars or other experts; or (v) property whose description or dating is proved inaccurate by means of scientific methods or tests not generally accepted for use at the time of the publication of the catalogue or which were at such time deemed unreasonably expensive or impractical to use. (b) In any claim for breach of the Authorship Warranty, Phillips de Pury & Company reserves the right, as a condition to rescinding any sale under this warranty, to require the buyer to provide to us at the buyer’s expense the written opinions of two recognized experts approved in advance by Phillips de Pury & Company. We shall not be bound by any expert report produced by the buyer and reserve the right to consult our own experts at our expense. If Phillips de Pury & Company agrees to rescind a sale under the Authorship Warranty, we shall refund to the buyer the reasonable costs charged by the experts commissioned by the buyer and approved in advance by us. (c) Subject to the exclusions set forth in subparagraph (a) above, the buyer may bring a claim for breach of the Authorship Warranty provided that (i) he or she has notified Phillips de Pury & Company in writing within three months of receiving any information which causes the buyer to question the authorship of the lot, specifying the auction in which the property was included, the lot number in the auction catalogue and the reasons why the authorship of the lot is being questioned and (ii) the buyer returns the lot to Phillips de Pury & Company in the same condition as at the time of its auction and is able to transfer good and marketable title in the lot free from any third party claim arising after the date of the auction. (d)The buyer understands and agrees that the exclusive remedy for any breach of the Authorship Warranty shall be rescission of the sale and refund of the original Purchase Price paid.This remedy shall constitute the sole remedy and recourse of the buyer against Phillips de Pury & Company, any of our affiliated companies and the seller and is in lieu of any other remedy available as a matter of law.This means that none of Phillips de Pury & Company, any of our affiliated companies or the seller shall be liable for loss or damage beyond the remedy expressly provided in this Authorship Warranty, whether such loss or damage is characterized as direct, indirect, special, incidental or consequential, or for the payment of interest on the original Purchase Price.

Ces procédures d’amélioration sont largement acceptées par les professionnels internationaux de la bijouterie.Tandis que le traitement thermique de la couleur est généralement considéré comme permanent, le processus peut influencer la durabilité de la pierre précieuses et des soins particuliers peuvent s’avérer nécessaires avec l’écoulement du temps. L’huilage des pierres précieuses peut nécessiter un renouvellement après un certain nombre d’années pour conserver leur clarté maximale.
Conditions de Vente Comme noté ci-dessus, la vente aux enchères est régie par les Conditions de Vente et la Garantie d’Authenticité.Tout acheteur éventuel doit les lire soigneusement. 4 Après la vente aux enchères Paiement Les acheteurs sont tenus de régler leurs achats immédiatement après la vente aux enchères, à moins que d’autres dispositions n’aient été prises par écrit avant la vente avec Phillips de Pury & Company. Le paiement doit être effectué en francs suisses, soit au comptant, soit par virement bancaire, comme indiqué au paragraphe 6 des Conditions de Vente. En conformité avec notre politique d’entreprise, nous ne pouvons accepter de paiements individuels ou multiples en espèces ou équivalents dépassant la somme de CHF 10,000. CONDITIONS DE VENTE Les Conditions de Vente et la Garantie d’Authenticité présentées ci-dessous régissent le rapport entre enchérisseurs et acheteurs d’une part et Phillips de Pury & Company et les vendeurs d’autre part.Tous les acheteurs éventuels doivent lire attentivement ces Conditions de Vente et la Garantie d’Authenticité avant d’enchérir. 1 Introduction L’offre à la vente et la vente de chaque lot dans ce catalogue sont soumis: (a) aux Conditions de Vente et à la Garantie d’Authenticité; (b) aux avis additionnels et conditions imprimées en d’autres endroits dans ce catalogue, y compris le Guide pour les Acheteurs Potentiels, et (c) aux suppléments à ce catalogue ou à d’autres stipulations écrites, affichées par Phillips de Pury & Company dans la salle des ventes, tels que modifiés, dans chaque cas, par tout addendum ou annonce du commissaire-priseur avant la vente aux enchères. Les certificats des laboratoires gemmologiques européens révéleront l’embellissement par la chauffe uniquement si cela est spécifiquement demandé; cependant, de manière générale, lorsqu'il n’y a pas eu embellissement par la chauffe ou traitement, ils le confirment. Les variations dans la méthodologie et la technologie utilisées par les divers laboratoires gemmologiques peuvent aboutir à une absence de consensus parmi les attestations sur la question de savoir si une pierre précieuses particulière a subi un traitement, l’étendue du traitement et le caractère permanent ou non du traitement. Il est impossible pour Phillips de Pury & Company d’obtenir de tels certificats pour toutes les pierres précieuses proposées aux enchères. Les acheteurs potentiels devront, par conséquent, garder à l’esprit que les pierres précieuses colorées proposées à la vente sans certificat gemmologique ou sans déclaration spécifique dans le texte du catalogue peuvent avoir été traitées afin d’embellir leur couleur, leur transparence ou leur clarté. (d) Les acheteurs potentiels reconnaissent que de nombreux lots sont d’un âge et d'une catégorie tels qu’ils signifient qu’ils ne sont pas en parfaite condition. Phillips de Pury & Company peuvent préparer et fournir des attestations relatives à l’état d’un lot à titre gracieux et pour assister les acheteurs potentiels quand ils inspectent les lots. Les descriptions figurant dans le catalogue et les rapports sur l’état d’un lot peuvent faire référence à des défauts particuliers sur un lot mais les enchérisseurs doivent noter que les lots peuvent avoir d’autres défauts non expressément rapportés dans le catalogue ou dans les rapports sur l’état du lot.Tous les poids sont approximatifs, qu’ils soient ou non qualifiés par les appellations « déclaré être » (« stated as ») ou « approximatif » Les illustrations ont pour unique but d’identifier les lots et ne peuvent être utilisées comme indications précises de taille ou de poids ou pour transmettre des renseignements complets sur l’état réel des lots. (b) Le commissaire-priseur peut à tout moment et à sa discrétion refuser toute offre, retirer tout lot, offrir à nouveau un lot à la vente (y compris après que le marteau soit tombé) s’il pense qu’il peut y avoir une erreur ou un litige et prendre toute autre mesure qu’il considère comme raisonnablement appropriée. (c) Le commissaire-priseur ouvre et fait continuer les enchères aux niveaux et incréments qu’il considère appropriés. Pour protéger la réserve sur un lot, le commissaire-priseur peut mettre une ou plusieurs offres pour le compte du vendeur jusqu’à un montant inferieur á la réserve sans indiquer que c’est ce qu’il fait, en plaçant soit des offres consécutives soit des offres en réponse aux autres enchérisseurs. (d) La vente se déroulera en francs suisses et le paiement sera dû en francs suisses. Pour la commodité des clients internationaux, les Estimations Avant la Vente figurant dans le catalogue de la vente peuvent être indiquées en dollars américains et correspondront dans ce cas à des taux de change approximatifs. Les estimations en dollars américains doivent être traitées à titre indicatif uniquement. Un convertisseur de devises peut être utilisé pendant la vente pour la commodité des enchérisseurs. Des erreurs peuvent se produire dans la processus de conversion des devises et Phillips de Pury & Company n’accepteront aucune responsabilité pour de telles erreurs. (e) Sous réserve de la discrétion raisonnable du commissaire-priseur, le dernier enchérisseur accepté par le commissaire-priseur sera l’acheteur et la tombée du marteau marquera l’acceptation de la dernière enchère et la conclusion du contrat de vente entre le vendeur et l’acheteur. Le risque et la responsabilité pour le lot passent à l’acquéreur comme exposé au paragraphe 7 ci-dessous. (f) Si un lot n’est pas vendu, le commissaire-priseur annoncera qu'il a été « passé », « retiré », « rendu au propriétaire », ou « racheté par la maison ». (g)Toute vente après enchères des lots offerts à la vente aux enchères sera soumise aux Conditions de Vente et à la Garantie d’Authenticité comme si les lots avaient été vendus aux enchères. 6 Prix d’Achat et paiement (a) L’acheteur accepte de nous payer, en sus du prix d’adjudication du lot, la Commission de l’Acheteur et touteTVA applicable (le « Prix d’Achat »). d’avoir reçu et encaissé le règlement de son Prix d’Achat complet, l’acheteur ayant payé tous montants en souffrance dus à Phillips de Pury & Company ou à toute autre société affiliée, y compris toutes charges payables conformément au paragraphe 8 (a) ci-dessous, et après vérification que l’acheteur a bien rempli toutes les conditions que nous pouvons fixer à notre seule discrétion, y compris les contrôles antiblanchiment d’argent ou les contrôles anti-financement du terrorisme. Sitôt que l’acheteur a rempli toutes les conditions précitées, il devra nous contacter au numéro +41 22 906 8000 pour convenir de l’enlèvement des biens achetés. (b) L’acheteur doit organiser l’enlèvement du lot acheté dans les cinq jours suivant de la date de l’enchère. A partir de la date de la vente aux enchères et pendant les deux jours immédiatement suivants, les acheteurs peuvent enlever le lot acheté à l’Hôtel de la Paix, 11 quai du Mont-Blanc, Genève, Suisse. Par la suite, tous les lots achetés doivent être enlevés à nos bureaux au 23 quai des Bergues, Genève, Suisse. Les risques sur les lots achetés restent la responsabilité du client, y compris la responsabilité de couvrir ces risques en contractant une assurance appropriée, à compter de la date qui est la plus ancienne entre (i) la date d’enlèvement et (ii) cinq jours après la vente aux enchères. (d) Phillips de Pury & Company exigeront la présentation d’une pièce d’identité nationale avant de remettre un lot à l’acheteur ou au représentant autorisé par l’acheteur. 8 Non-enlèvement des Achats (a) Si l’acheteur paie le Prix d’Achat mais fait défaut à enlever un lot acheté 30 jours après la vente aux enchères, l’acheteur encourra une charge de retard d’enlèvement de CHF 50, de frais d’entreposage de CHF 7 par jour et charges d’assurance au prorata de .1% du Prix d’Achat par mois sur chaque lot qui n’a pas été enlevé. (b) Si le lot acquis est payé mais n’est pas enlevé dans les six mois à dater de la vente, l’acheteur autorise Phillips de Pury & Company, sur préavis, à procéder à une revente du lot par vente aux enchères ou vente privée, avec estimation et prix de réserve fixé à la discrétion raisonnable de Phillips de Pury & Company. Les recettes d'une telle vente seront compensées avec les frais d’entreposage et tous autres coûts et dépenses en souffrance dus par l’acheteur à Phillips de Pury & Company ou à nos sociétés affiliées; le solde sera perdu par l’acheteur sauf s’il vient le prendre dans les deux ans de la vente aux enchères initiales. 9 Recours en cas de non-paiement Sans préjudice d’aucun droit potentiel du vendeur, si l’acheteur, sans que ce soit convenu à l’avance, ne règle pas le Prix d’Achat pour un lot et que son versement n’est pas encaissé dans les cinq jours de la vente, Phillips de Pury & Company peuvent, à leur seule discrétion, exercer un ou plusieurs des recours suivants; (a) entreposer le lot dans les locaux de Phillips de Pury & Company ou ailleurs aux seuls risques et dépens de l’acheteur et au taux mentionné au paragraphe 8 (a) ci-dessus; (b) annuler la vente du lot, en conservant tout paiement partiel du Prix d’Achat reçu à titre de dédit abandonné par l’acheteur défaillant; (c) rejeter toute future enchère de l’acheteur ou la soumettre au versement d’un dépôt; (d) percevoir des intérêts au taux annuel de 12% à partir de la date à laquelle le paiement est dû jusqu’à la date de réception du Prix d’Achat en fonds encaissés; (e) sous réserve d’annonce à l’acheteur, exercer leur droit de gage sur tous actifs de l’acheteur qui se trouvent en possession de Phillips de Pury & Company ou en mains de toute société affiliée et, dans les 14 jours suivant cette annonce, organiser la vente desdits actifs et imputer les recettes au montant dû à Phillips de Pury & Company ou à toute société affiliée; (f) revendre le lot aux enchères ou en vente privée, avec des estimations et un prix de réserve fixés à la discrétion raisonnable de Phillips de Pury & Company, étant entendu que dans le cas d’une telle revente, si le prix d’adjudication est inférieur au prix d’adjudication initial additionné de la Commission de l’Acheteur pour ce lot, l’acheteur restera responsable pour le déficit ainsi que pour toutes les dépenses contractées pour une telle revente; (g) commencer des procédures judiciaires pour récupérer le prix d’adjudication et la Commission de l’Acheteur pour ce lot, ainsi que les intérêts et les dépenses engagés pour de telles procédures; (h) remettre les nom et adresse de l’acheteur au vendeur pour permettre au vendeur de commencer les procédures judiciaires afin de recouvrer le montant dû ainsi que les dépenses judiciaires engagées. Pour nous garantir le paiement complet par l’acheteur de tout montant en souffrance dû à Phillips de Pury & Company et à nos sociétés affiliées, Phillips de Pury & Company a, et l’acheteur nous octroie, un droit de gage sur chaque lot acquis par l’acheteur aux enchères et sur tout autre actif ou fonds de l’acheteur que nous posséderions ou que nous viendrions à posséder. 10 Annulation par Phillips de Pury & Company Phillips de Pury & Company auront le droit, mais non l’obligation, d’annuler une vente sans préavis à l’acheteur s’ils croient raisonnablement qu’il existe une violation matérielle des déclarations et garanties du vendeur ou de la Garantie d’Authenticité ou si une demande de dommages—intérêts est présentée par un tiers. Après notification de la décision de Phillips de Pury & Company d’annuler la vente, l’acheteur restituera immédiatement le lot à Phillips de Pury & Company et l’acheteur sera remboursé par nos soins du Prix d’Achat qui a été payé. GARANTIE D’AUTHENTICITE (« AUTHORSHIP ») Phillips de Pury & Company garantissent l’authenticité des lots dans ce catalogue de vente aux enchères pour une période de cinq ans à partir de la date de la vente par Phillips de Pury & Company, sous réserve des exclusions et limitations exposées cidessous. (a) Phillips de Pury & Company donnent cette Garantie d’Authenticité uniquement à l’acheteur initial inscrit dans ses livres (soit l’enchérisseur gagnant inscrit) de tout lot. Cette Garantie d’Authenticité ne s’étend pas aux (i) propriétaires subséquents de la propriété, y compris les acheteurs ou bénéficiaires d’une donation de l’acheteur initial, les héritiers, successeurs, bénéficiaires et cessionnaires; (ii) aux objets créés avant 1870, sauf s’il est établi que l’objet est un faux (défini comme une contrefaçon faite il y a moins de 50 ans avec l’intention de tromper) et a, à la date de la demande d’indemnisation du chef de cette garantie, une valeur significativement inférieure au Prix d’Achat payé; ((iii) objets pour lesquels la description dans le catalogue fait état d’un conflit d’opinions sur l’auteur de l’objet; (iv) aux objets pour lesquels notre attribution d’authenticité a été compatible à la date de la vente avec les opinions généralement acceptées des spécialistes, académiciens ou autres experts; ou (v) aux objets dont la description ou la datation est prouvée inexacte moyennant des méthodes scientifiques ou des tests qui n’étaient pas généralement acceptés au moment de la publication du catalogue ou qui étaient à cette époque estimés excessivement onéreux ou pas pratiques à utiliser.
(e) Aucune disposition dans ces Conditions de Vente ne sera considérée comme excluant ou limitant la responsabilité de Phillips de Pury & Company ou de leurs sociétés affiliées envers l’acheteur concernant toute fraude ou toute déclaration fausse et frauduleuse faite par l’une d’entre nous ou concernant un décès ou des dommages corporels qui auraient été causés par nos actes ou omissions par négligence.
(b) Pour toute réclamation pour violation de la Garantie d’Authenticité, Phillips de Pury & Company se réservent le droit, comme condition d’annulation de toute vente sous cette Garantie, d’exiger de l’acheteur de fournir à ses frais les opinions écrites de deux experts reconnus approuvés préalablement par Phillips de Pury & Company. Nous ne serons liés par aucun rapport d’expert présenté par l’acheteur et nous réservons le droit de consulter nos propres experts à nos frais. Si Phillips de Pury & Company consentent à annuler une vente sous la Garantie d’Authenticité, nous rembourserons à l’acheteur les coûts raisonnables facturés par les experts accrédités par l’acheteur et approuvés préalablement par nous.
14 « Copyright » Le « copyright » de toutes images, illustrations et matériel écrits produits par ou pour Phillips de Pury & Company concernant un lot, y compris le contenu de ce catalogue,
(c) Concernant les exclusions exposées dans le paragraphe (a) ci-dessus, l’acheteur peut former une demande fondée sur une violation de la Garantie d’Authenticité à condition qu’il: (i) ait notifié à Phillips de Pury & Company, par écrit dans les trois
mois depuis la réception de toutes informations ayant suscité le doute sur l’authenticité du lot chez l’acheteur, en spécifiant la vente aux enchères où la propriété était incluse, le numéro du lot dans le catalogue de la vente aux enchères et les motifs pour lesquels l’authenticité du lot est mise en question, (iii) l’acheteur rende le lot à Phillips de Pury & Company dans le même état qu’au moment de sa vente aux enchères et soit à même de transférer un droit de propriété valable et ayant une valeur commerciale sur le lot, qui ne doit être l’objet d’aucune demande d’indemnisation de tiers survenue après la date de la vente aux enchères. (d) L’acheteur comprend et consent à ce que le remède exclusif à toute violation de la Garantie d’Authenticité sera l’annulation de la vente et le remboursement du Prix d’Achat initial payé. Ce remède constituera le seul remède et recours de l’acheteur contre Phillips de Pury & Company, toutes nos sociétés affiliées et le vendeur, en lieu et place de tout autre recours disponible en matière juridique.
