CONDITIONS GENERALES DE VENTE / TERMS OF SALE AND DELIVERY

Clause n° 1 : Objet Les conditions générales de vente décrites ci-après détaillent les droits et obligations de la société DCW Entreprises (ci-après « la société » ou « DCW Entreprises ») et de son client dans le cadre de la vente des marchandises suivantes : Lampes Gras – lampes Schottlander - lampes Here Comes the Sun - lampes In The Tube, Chaises Surpil et toute future collection.

Toute prestation accomplie par la société implique donc l’adhésion sans réserve de l’acheteur aux présentes conditions générales de vente.

Clause n° 2 : Prix – taxes – frais transport Les prix des marchandises vendues sont ceux en vigueur au jour de la prise de commande. Ils sont libellés en euros et calculés hors taxes. Par voie de conséquence, ils seront majorés du taux de TVA applicable au jour de la commande. Les frais de transport seront facturés suivant les conditions communiquées au client lors de la première commande ou suivant celles qui lui auront été notifiées ultérieurement.

DCW Entreprises s’accorde le droit de modifier ses tarifs à tout moment. Toutefois, elle s’engage à facturer les marchandises commandées aux prix indiqués lors de l’enregistrement de la commande.

Clause n°3 : Garantie DCW Entreprises garantit le bon fonctionnement de ce matériel pendant la période de garantie commerciale. Si le matériel s’avère défectueux pendant la période de garantie commerciale, la réparation du matériel sera effectuée gratuitement par DCW Entreprises.

Les réparations gratuites ne peuvent être obtenues que sur présentation de la facture ou du ticket d’achat d’origine délivré au client par le revendeur. DCW Entreprises se réserve également le droit, au lieu de réparer un produit défectueux, de remplacer ce produit défectueux par un produit de qualité identique ou supérieure.

1. Durée de garantie Cette garantie commerciale est valable pour une durée de un an à compter de la date d’achat par le consommateur.

2. Bénéfice du service de la garantie Les frais de transport du matériel (expédition du matériel à DCW Entreprises et son retour) sont à la charge du client.

3. Limitations DCW Entreprises ne garantit pas ce qui suit : - le remplacement de pièces dû à l’usure normale ; - les accessoires (par exemple ampoules) vendus avec le produit ou séparément ; - les défauts résultant de modifications effectuées sans l’accord de DCW Entreprises ; - tous dommages résultant de la non-conformité d’un matériel à des normes ou spécifications en vigueur dans un pays autre que le pays d’achat.

- Toute réclamation concernant l’aspect extérieur ou les finitions, envoyée à la société au-delà de 10 jours de la date d’achat, la facture ou le ticket d’achat d’origine Le service de la garantie est exclu si les dommages ou défauts ont pour origine : - tout usage inapproprié, toute utilisation excessive, toute manipulation ou tout emploi du matériel non conforme aux instructions contenues dans la notice d’utilisation, et notamment, un stockage inapproprié, une chute ou des chocs excessifs ; - la corrosion, la saleté, l’eau ou le sable ; - toute connexion du matériel à des sources de courant non conformes aux usages; - tout emballage inadéquat du matériel lors de son expédition à la société ; - tout évènement de force majeure ou toute cause hors du contrôle de DCW Entreprises à savoir notamment la foudre, l’eau, le feu, les émeutes et la ventilation non appropriée.

Clause n° 4 : Retours Les retours sont autorisés seulement dans le cas de réclamation et doivent être préalablement validés par écrit par la société. Les produits retournés devront être envoyés dans leur emballage d’origine, complets.

Au cas où le produit serait endommagé pendant le retour faute d’emballage approprié, nous nous réservons le droit de ne pas traiter le retour.

Clause n° 5 : Internet 1. L’utilisation sur Internet d’images ou des marques appartenant à DCW Entreprises est assujettie à

une autorisation écrite de DCW Entreprises.

2. Les images des produits et toute représentation des produits de DCW Entreprises doivent être fournis exclusivement par DCW Entreprises ou un représentant légal. Seules les images officielles fournies par DCW Entreprises doivent apparaître sur le site du revendeur.

3. La vente en ligne n’est autorisée qu’après l’obtention par le site d’un accord écrit préalable de DCW Entreprises et en tous cas sous les 2 conditions suivantes : - Seuls les produits stockés par le client pourront être proposés à la vente sur le site e-commerce.

- En aucun cas la remise affichée ne devra être supérieure à 15% : le manquement de cette condition entrainera une demande de retrait des produits du site concerné.

D’autre part, nous souhaitons que les paramètres ci-dessous soient appliqués : - Les prix affichés par le site suivent le tarif TTC recommandé de DCW Entreprises en vigueur.

- Les opérations de promotion ou solde de nos produits mis en ligne fassent l’objet d’un accord écrit préalable de DCW Entreprises Clause n° 6 : Modalités de paiement Le règlement des commandes s’effectue : 1. soit par chèque ; 2. soit par virement.

Clause n° 7 : Retard de paiement En cas de défaut de paiement total ou partiel des marchandises livrées et à échéance de paiement passée, l’acheteur devra verser à la société une pénalité de retard égale à trois fois le taux de l’intérêt légal.

Le taux de l’intérêt légal retenu est celui en vigueur au jour de la livraison des marchandises.

Clause n° 8 : Clause résolutoire Si dans les quinze jours qui suivent la mise en œuvre de la clause « Retard de paiement », l’acheteur ne s’est pas acquitté des sommes restant dues, la vente pourra être résolue de plein droit sur décision de DCW Entreprises et pourra ouvrir droit à l’allocation de dommages et intérêts au profit de DCW Entreprises.

Clause n° 9 : Clause de réserve de propriété DCW Entreprises conserve la propriété des biens vendus jusqu’au paiement intégral du prix, en principal et en accessoires. À ce titre, si l’acheteur fait l’objet d’un redressement ou d’une liquidation judiciaire, la société se réserve le droit de revendiquer, dans le cadre de la procédure collective, les marchandises vendues et restées impayées.

Clause n° 10 : Livraison Le délai de livraison indiqué lors de l’enregistrement de la commande n’est donné qu’à titre indicatif et n’est aucunement garanti . Par voie de conséquence, tout retard raisonnable dans la livraison des produits ne pourra donner lieu au profit de l’acheteur à : 1. l’allocation de dommages et intérêts ; 2. l’annulation de la commande.

En cas de marchandises manquantes ou détériorées lors du transport, l’acheteur devra impérativement formuler toutes les réserves nécessaires sur le bon de livraison à réception desdites marchandises. Ces réserves devront être, en outre, confirmées par écrit dans les cinq jours suivant la livraison.

A défaut de respect de chacun de ces délais, aucune réclamation ne sera prise en considération.

Clause n° 10 : Force majeure La responsabilité de DCW Entreprises ne pourra pas être mise en œuvre si la non-exécution ou le retard dans l’exécution de l’une de ses obligations décrites dans les présentes conditions générales de vente découle d’un cas de force majeure. À ce titre, la force majeure s’entend de tout événement extérieur, imprévisible et irrésistible au sens de l’article 1148 du Code civil.

Clause n° 11 : Tribunal compétent Tout litige relatif à l’interprétation et à l’exécution des présentes conditions générales de vente est soumis au droit français. À défaut de résolution amiable, le litige sera porté devant le Tribunal de commerce de Paris.

1. PRICES 1.1 This price list is valid from January 15th 2015 and supersedes all previous lists.

5. RETURNS 5.1 Returns are allowed only in the case of claims and must be pre-authorized by us by writing. We reserve the right to repair or replace the goods. The claimed goods must be packaged in the original complete packaging.

1.2 Unless otherwise stated, prices are quoted exclusive of value added tax and sales tax, carriage and freight which will be payable in addition.

5.2 In the case of damages due to a non proper return packaging, we reserve the right to charge the corresponding repair costs.

1.3 The pricing do not include bulbs (except for the lamp Gras ref. N°207) and installation.

6. INTERNET • The presentation of pictures of the articles or similar forms of representation of DCW Entreprises products, as well as the mentioning of brands in an Internet-based application or similar system must have the explicit written permission of DCW Entreprises.

• Pictures of the articles or similar forms of representation of DCW Entreprises products, should be provided by DCW Entreprises or a representative only. Only official pictures provided by DCW Entreprises will appear on the seller website.

• E-commerce is not allowed without our prior written consent, and should meet following conditions : - The stated consumer prices must comply with DCW updated recommended prices (incl. VAT) - Any promotional / seasonal sales on one product of DCW Entreprises’ range must be approved by DCW Entreprises upon prior request.

- Except upon prior written agreement with DCW Entreprises, DCW Entreprises will not accept any discount superior to 15% off the current recommended public prices.

- Only stocked products by the buyer can be sold on the website If these three conditions are not respected, DCW Entreprises will request the removal of DCW Entreprises products the website by the 24 hours.

1.4 DCW Entreprises reserves the right to change price lists at any time and on any product without prior notification.

DCW Entreprises reserves the right to change form, appearance and / or execution of the listed models.

1.5 Orders will only be considered placed once a formal receipt of Confirmation of Order has been provided by DCW Entreprises.

1.6 Order confirmation is final and binding. Any subsequent change or cancellation is subject to DCW Entreprises’ consent.

2. ORDERS 2.1 In order to guarantee the availability of the ordered items, the payment is due within 10 days on receipt of the proforma invoice.

2.2 Unless otherwise agreed, the prices applying to any orders will be the prices valid at the time of dispatch of the Goods.

All prices are in Euro unless otherwise stated. DCW Entreprises will execute the orders (totally or partially) according to the availability of the Goods requested at that particular time.

The Customer is responsible for ascertaining whether the Goods ordered are suitable for and sufficient for its purpose.

7. WARRANTIES 7.1 A one year limited warranty against manufacturing defects is offered on standard goods (materials and manufacturing).

Finish as well as indirect damage to persons or articles is not covered by this warranty.

3. PAYMENT TERMS 3.1 General payment terms: Payment by wire transfer to DCW Entreprises’ bank

7.2 Any modifications made to the product by the customer will void the warranty.

3.2 Payment terms shall be as specified by DCW Entreprises and agreed by the Customer

8. INSTALLATION 8.1 DCW Entreprises will not install the lamps nor the chairs. For the lamps, they should be installed by a qualified electrician.

Installation must be carried out in accordance and compliance with current and local regulations.

3.3 Time for payment of any sums due shall be of the essence.

3.4 Without prejudice, in the event of any delay in payment DCW Entreprises shall be entitled to charge interest on any outstanding balance at the rate of 3% per annum above the base rate of such reputable bank as DCW Entreprises may from time to time nominate.

8.2 Because of the variety of different wall types and construction DCW Entreprises cannot advise on fixings. Please check the type of wall construction you have before using the standard fixings delivered by DCW Entreprises and use appropriate fixings that are suitable for the weight of the light being installed.

3.5 DCW Entreprises reserves the right to suspend the provision of Goods to the Customer where any amounts are overdue under, or the Customer is in breach of, any contract between DCW Entreprises and the Customer, until all such amounts have been paid in full.

8.3 Please note replacement bulbs should be in accordance with recommendations in the product instructions.

9. GENERAL REMARKS 9.1 DCW Entreprises reserves the right to modify without prior notice the models of the current catalogue and valid price list or to take them out of the product range.

3.6 The Customer shall not be entitled by reason of any set-off, counterclaim, abatement or analogous deduction to withhold payment of any amount due to DCW Entreprises, without prior written consent from DCW Entreprises.

4. DELIVERY – SHIPPING 4.1 If not agreed differently by written approval from DCW Entreprises, Incoterms will apply being all transport costs assumed by the customer. The customer will contact the courier or the forwarder.

4.2 The Customer will be responsible for inspecting Goods upon delivery and it is a condition of the Contract that any shortage or defect in Goods at delivery are notified to the Company in writing within 7 ( seven) working days from the delivery date.

4.3 DCW Entreprises shall not be liable for late delivery and delay in delivery shall in no case entitle the Customer to cancel the order unless such cancellation is agreed by DCW Entreprises in writing (cf 9.2)

9.2 DCW Entreprises reserves the right to change given discount rates in any time.

9.3 All goods, until full settlements of our claims, remain property of DCW Entreprises.

9.4 The Customer acknowledges the conditions of sale written down here.

9.5 The court of Paris, France has the sole jurisdiction in case of litigation.
