2025 FERRERO REBATE AGREEMENT GUIDELINES
Distribution / Display Performance
1. Distribution and/or display requirements (as determined by Customer’s selections in this Agreement) will be verified by retail audits. A minimum of 90% of all retail audits must be in compliance with distribution and/or display requirements to be eligible for payment. In the event Customer has more than one store participating in the rebate program (“Program”), the results of any audit covering at least ten percent (10%) of a Customer’s stores may be extrapolated to all of Customer’s stores. Customer agrees to be bound by the results of each such audit. Ferrero further reserves the right to (a) withhold Program payments from Customer, pending the results of an audit of Customer’s performance, and/or (b) bill back Customer for any Program payment for which Customer did not qualify (such right to survive the Program’s expiration or termination and/or termination of Customer’s participation in the Program).
2. Customer must furnish Ferrero with a store list for all of the participating Customer stores. Customer’s store list may be updated throughout the Rebate Period (as defined below); provided, however, that Customer shall be solely responsible for providing Ferrero with an updated list of participating stores. Ferrero shall not be obligated to pay Customer for any stores which Customer has not identified in writing to Ferrero as being a participating store.
3. A minimum of three(3) Display Performance Events (from qualifying brands as determined by Ferrero in its sole discretion) are required for Customer to receive payment of the Display Performance Rebate. Customer shall identify the displays/floorstands it selects for purposes of meeting the minimum requirement by writing the names (or other identifying information) of the displays/floorstands in the spaces provided on the front page of this Agreement. Rebates earned for Display Performance will be paid as a lump sum after the end of the Rebate Period (i.e., after July 1, 2025 and after December 31, 2025).
4. Delivery for each display/floorstand must be taken during the months required by Ferrero, in it sole discretion, for each such display/floorstand to be eligible for the Display Performance Rebate.
5. Customer’s distributor is responsible for passing along any allowances on displays.
Payments
1. Customer has sixty (60) days from the end of the Rebate Period to bill for earned rebates.
2. Rebates will be calculated using the Ferrero list price on qualifying items and based on performance achieved by store.
3. Proof of performance provided by the Customer’s distributor, along with a copy of a Plan-O-Gram is required for payment. Failure to supply factual / credible proof of performance negates any obligation of Ferrero to pay any Rebate under this Agreement.
4. A minimum of $50 must be earned during the Rebate Period for a check to be drafted; however, carryovers are allowed. Program payments will be mailed directly to Customer and shall not be issued through a deduction.
5. Rebates payable to Customers pursuant to this Agreement will be based upon Customer meeting the performance and distribution requirements, as well as the Program guidelines set out under this Agreement.
Other Terms
1. Customer is required to sign and return this Agreement to its Ferrero representative before November 30, 2024 in order to be eligible for the full year Program from January 1, 2025 - December 31, 2025 ( “Rebate Period”) unless otherwise approved by Ferrero in writing.
2. Customers signing this Agreement after November 30, 2024 will only be eligible for the following year Program. E ective dates for the following year Program are January 1, 2026 - December 31, 2026.
3. Customer must pay for all Ferrero products purchased directly from Ferrero in accordance with the terms and conditions of Ferrero’s price schedule.
4. Failure to comply with any of the Program guidelines hereunder or the Program and Distribution Requirements, will terminate this Agreement and thereby cause the forfeiture of all Program payments. All Customers are required to sign this Agreement for a 12-month period, in order to participate in the Program.
5. Either party has the option and right to terminate this Agreement with thirty (30) days prior written notice to the other. In the event of termination by Customer pursuant to this paragraph, Customer shall forfeit all Program payments no matter the e ective date of termination. In the event of termination by Ferrero pursuant to this paragraph, if Customer has met all of the Program and Distribution Requirements and these Guidelines as of the date of termination, Ferrero shall pay Customer a pro rata portion of the total eligible Rebate payment based upon the date on which Ferrero terminates this Agreement.
6. Pay outs to participants will be made twice annually - with first half payout (1/1/2025 - 7/1/2025) on 8/1/2025 and second half payout (7/2/2025 - 12/31/2025) on 2/1/2026.
