Dear Prospective Candidate Thank you for expressing an interest in joining Stonewall’s Board of Trustees. We are at an incredibly important moment in Stonewall’s journey. In the last 28 years, we have achieved a huge amount and worked tirelessly for real and lasting change for LGBT people. However, now more than ever, the LGBT community is facing challenges, some old and some new, that have to be tackled head-on – with passion, reason, confidence and kindness. We are looking for unique individuals to join us on this journey. Becoming a Stonewall Trustee will provide you with the opportunity to build on your existing strategic and leadership skills, learn from and provide challenge to other members of the board, support and guide the wider Stonewall team, and make a real and lasting change to the lives of LGBT people. I am immensely proud of our board and staff, and I know that they find Stonewall to be an incredibly rewarding experience, personally and professionally, as do I. Our work will continue until all LGBT people are accepted without exception at work, at home, at school, in public services and in their places of worship. ABOUT US BACKGROUND INFORMATION Stonewall exists because lesbian, gay, bi and trans people everywhere are still unable to live full, authentic lives without fear of discrimination. Recognised as one of the most effective charitable organisations in the United Kingdom, we’re known for helping transform the legal landscape for Britain’s 3.7m lesbian, gay and bi people since formation in 1989. Today, however, we face a new chapter that is as complex as it is challenging. We must secure absolute inclusion for all, and create a world where all LGBT people everywhere are accepted without exception.
No longer must we just engage politicians in our mission and values, but also sports fans, faith leaders, teachers based in rural England or small business owners. It also means that recognising and representing the unique lived experiences of different LGBT people in all the work we do, ensuring that no one feels left behind. For us to achieve this, Stonewall must be more strategic in its approach than ever before. We must develop and capitalise on partnerships with influential organisations. But we must also ensure that, as an organisation, we are protected and led by the most passionate and proactive people. We hope you will consider becoming one of them.
OUR STAFF At Stonewall we believe our people to be our most precious resource. OUR IMPACT EMPOWERING INDIVIDUALS 1,027 people attended our personal empowerment programmes in the last year – double the number from the year before. This year, we aim to have more than 2,000 attend.
Our School Role Models made 133 visits to schools in Britain in the last year to inspire young LGBT people and allies in school. This year, we’ll train 60 new School Role Models in England, 10 in Scotland and 10 in Wales.
In the last year we worked with over 100 LGBT rights organisations from 70 countries, and trained 15 LGBT human rights defenders from Russia.
TRANSFORMING INSTITUTIONS We worked with 742 organisations through our Diversity Champions programme in the last year, helping them create inclusive and accepting workplaces. We worked with 100 international businesses through our Global Diversity Champions programme.

This year we’ll continue to grow and work with more DCs and Global DCs to support LGBT people in all their global communities. Our training reached 26,840 education staff. This year we’ll train 20 new Training Partners to increase our reach, and we’ll expand to support 500 faith schools.

CHANGING HEARTS AND MINDS We engaged with 237 LGBT community groups in the last year on how we can support them to change hearts and minds in their area. This year we’re rolling out our By Your Side campaign to more community partners than ever. This year we are kicking off a new threeyear strategy to eliminate homophobia, biphobia and transphobia in sport, at a national and grassroots level.
We sent out 36,000 pairs of Rainbow Laces in the last year to supporters who helped promote the campaign. This year we’ll support bi and trans communities and ensure their voices and experiences are heard, and we’ll support marginalised communities such as the Gypsy Traveller community and the LGBT disabled community.
CHANGING LAWS 116 parliamentary candidates signed up to Stonewall Scotland’s election manifesto in 2016, including all party leaders and 47 elected MSPs.
In the last year, we raised 21 specific concerns with the Foreign Office about LGBT human rights violations abroad.
We responded to 48 government consultations across Britain in the last year. This year, we’ll work in a changing political environment to ensure LGBT rights remain firmly on the political agenda.

TREASURER AND TRUSTEE RECRUITMENT Stonewall | March 2017 The Board is seeking to recruit a Treasurer, a governance Trustee and up to 2 additional Trustees to join our high performing and ambitious Board.
TIME COMMITMENT The time commitment for the Trustee roles is the equivalent to one day a month. The Board meets 4 times a year at the Stonewall HQ in Clerkenwell, London (all day). In addition to this Trustees are expected to participate in sub-committee work – these groups also meet 4 times a year (early evening). Travel and other out of pocket expenses will be reimbursed.

ROLE PROFILE TRUSTEE DESCRIPTION • Ensure Stonewall applies its resources exclusively in pursuing its objectives • Contribute actively to the Board of Trustees’ role in giving firm strategic direction to Stonewall, setting overall policy, defining goals, setting targets and evaluating performance against agreed targets • Safeguard the good name and values of Stonewall • Declare any conflict of interest while carrying out the duties of a Trustee • Be collectively responsible for the actions of the organisation and other Trustees • Ensure the effective and efficient administration of Stonewall • Ensure the financial stability of Stonewall and the proper investment of the organisation’s funds
• Protect and manage the property of Stonewall • Attend meetings and read papers in advance of meetings • Actively participate in the Finance Committee or Remuneration Committee (Remco) or other subcommittee meetings, which may be established for specific purposes, as appropriate • Participate in other tasks as they arise from time to time, such as interviewing new staff, helping with fundraising • Keep informed about the activities of Stonewall and wider issues which affect its work. Work with fellow Trustees in a collaborative way, using feedback to enhance Board effectiveness and performance and agreeing individual objectives with the Chair to shape personal contribution
In addition to the duties of all Trustees, each Trustee should use any specific skills, knowledge or experience they have to help the Board of Trustees reach sound decisions. This will involve scrutinising board papers, leading discussions, focusing on key issues, and providing advice and guidance requested by the Board on new initiatives, or other issues relevant to the area of, Stonewall’s work in which the Trustee has special expertise. TREASURER ROLE PROFILE OVERALL
SPECIFICALLY
In addition to the general requirements set out in the Trustee job description, the Treasurer will:
• Liaise with relevant staff and Board members to ensure the financial viability of the organisation.
• Oversee the financial affairs of Stonewall and ensure they are legal, constitutional and within accepted accounting practice. • Oversee the effective Risk Management of Stonewall, and ensure that Risk Management practices are embedded into operational and service delivery activities. • Chair the Finance Committee – see Terms of Reference at Annex A. • Ensure proper financial records are kept and that effective financial controls and procedures are in place. • Monitor and report to the Board on the financial health of the organisation, and provide an annual report at the AGM. • Review the financial and corporate structure implications of major projects and initiatives. • Oversee the production of necessary financial reports/returns, accounts and audits, and signoff annual report and accounts. • Ensure that financial obligations are undertaken, such as payment of taxes. • Provide a sounding Board for the Managing Director, and maintain a conduit for whistle blowing. • Undertake Board responsibilities as a Trustee and Director of the Company.

• Make fellow Board members aware of their financial obligations and take a lead in interpreting financial data to them. • Regularly report the financial position at Board meetings, and at the AGM. • Oversee the production of regular forecasts, an annual budget and a long term financial plan. • Oversee the production of annual statutory accounts and review with the auditors. • Provide advice to the Chair on sign-off of annual report and accounts. • Ensure proper records are kept and that effective financial procedures and controls are in place. • Appraise the financial viability of projects, plans, proposals and other initiatives which may have a financial or corporate structure implication. • Lead on appointing and liaising with auditors. • Oversee the production and maintenance of a Risk Register, and report on it to the Board. • Ensure that effective Risk Management practices are embedded into operational processes across Stonewall.

GOVERNANCE TRUSTEE ROLE PROFILE OVERVIEW • Works with the Company Secretary, sharing expertise, advice and helping to reduce the burden on the Company Secretary by actioning Trustee specific tasks – for example updating the Trustee Expenses Policy. • Supports the Company Secretary in undertaking a triennial audit of Stonewall Governance and Articles as agreed by the Board of Trustees in June 2013. • Supporting the Chair and Deputy Chair on matters of protocol and governance in support of the Company Secretary or if the
Company Secretary isn’t present or available and actioning tasks to support them. • Supporting the Company Secretary in raising any sensitive governance matters with the Chair, Deputy Chair or individual Trustees as appropriate. • Taking minutes for the Board of Trustees and ensuring appropriate records management if it is felt inappropriate for a member of the Executive (the Company Secretary) to attend a reserved business or otherwise closed session of the Board of Trustees.
