WHAT’S THE PURPOSE OF A TITLE OPINION?

GENERAL COUNSEL

Q: A FEW YEARS AGO, MY WIFE AND I PURCHASED SOME ACREAGE NEXT TO INTERSTATE 10. OUR ATTORNEY PERFORMED A TITLE OPINION PRIOR TO THE PURCHASE. AFTER OWNING THE PROPERTY FOR A YEAR, WE HAVE UNCOVERED NUMEROUS TITLE PROBLEMS. WE HAVE SINCE SUED THE ATTORNEY FOR MALPRACTICE, BUT NOTHING HAS BEEN RESOLVED YET. AND, WE STILL HAVE THE PROPERTY - WITH UNCLEAR TITLE. WHAT EXACTLY IS A TITLE OPINION, AND WHAT IS THE PURPOSE OF GETTING A TITLE OPINION IF IT DOESN’T ACTUALLY GUARANTEE CLEAR TITLE TO PROPERTY? A: A title opinion is a written statement from an attorney, wherein the attorney states his opinion as to the merchantability of the title to the land in question. The opinion should contain a brief description of the property (usually a legal description), and it should give the full names of the owners. If the attorney has discovered any exceptions, they should also be listed within his opinion.

There are some exceptions that are always listed – and those exceptions are acceptable because they don’t really interfere with the merchantability of the title. For example, things such as recorded building restrictions, servitudes, right-of-ways, and building set-backs should be disclosed on a title opinion, but they don’t necessarily mean there are title problems. Most title opinions also include a statement that the attorney’s opinion is based only upon what he found in the public records of the parish where the property is located. Most attorneys usually clearly state that they are not responsible for improperly recorded or unrecorded liens, surveys, zoning restrictions, and inheritance rights of illegit¬imate children. Thus, if the problems you have uncovered were not things the attorney should have discovered when checking the mortgage records of the parish in which the property is located, the attorney might not be at fault. However, if the problems were recorded, and should have been discovered by the attorney, your problems are probably more serious. This is because, in Louisiana, when you buy property, you become liable for any charges or debts recorded not only against the property, but also against the person from whom you are buying the property (but up to the value of the property).

A title opinion is essentially a low-cost insurance policy that lasts as long as the attorney is legally obligated to fix any problem he overlooked. Of course, this obligation is limited to the same period of time that an attorney can be sued for malpractice – in Louisiana; there is a three (3) year limitation on malpractice claims. The amount of protection available to you, at this point, depends on a couple of things. If you took out a mortgage to buy the property, the lender probably required you to purchase lender’s title insurance. However, lender’s title insurance only protects the lender’s money in the event of a title problem – even though the borrower has to pay the premium. Most lenders require a borrower to purchase lender’s title insurance because in all likelihood, your mortgage will eventually be sold to another investor, in another state. That investor will probably want to be able to recover against a national insurance company rather than a local attorney.

If you purchased owner’s title insurance, then you have some additional coverage. Since mortgages are almost always less that the purchase price, owner’s title insurance provides coverage up to the purchase price of the house – above and beyond the amount of the mortgage. If purchased at the time of closing, owner’s title insurance is usually pretty inexpensive. If the title opinion given by your attorney says that there are no mortgages or liens on the property, and it turns out that there are, he is personally responsible for either fixing the problem at his own expense or maybe even paying the mortgage or judgment. However, you will have to file a claim with his malpractice carrier, and maybe even eventually file a lawsuit to have the matter resolved. Attorneys are required to carry malpractice insurance, and your attorney’s malpractice insurance should stand behind him to insure that there enough funds available to correct any problem that may occur, even if the problem didn’t arise immediately. If you don’t think things are moving as quickly as they should, call the attorney or adjuster handling your claim and let them know how you feel. They may not be aware of your frustration, and by explaining to them how you feel, you may be able to persuade them to speed up the process. HOMEOWNER’S ASSOCIATION SLOW TO RESPOND TO PROBLEMS Q: I OWN A CONDO AND IT IS CURRENTLY FOR SALE. A FEW MONTHS AGO, I DISCOVERED A LEAK IN THE UPSTAIRS BEDROOM. I HAVE NOTIFIED THE HOMEOWNER’S ASSOCIATION AND THEY ARE WORKING WITH ME TO GET IT FIXED, BUT IT’S SLOW GOING AND THE DAMAGE IS ONLY GETTING WORSE. CAN I JUST HAVE THE LEAK REPAIRED MYSELF AND SEEK REIMBURSEMENT FROM THE ASSOCIATION? A: That depends. Generally, the roof of a townhouse/ condo is common property and it is the responsibility of the homeowner’s association to maintain it. Whether or not you can make the repairs yourself and then seek reimbursement from the association probably depends on the association’s governing documents: its condominium declaration, covenants, conditions, restrictions, and bylaws. There should be something in these documents that addresses emergency repairs and the documents might also outline how the repair is to proceed. Typically, these rules will also stipulate whether you can make the repair yourself and then withhold that amount from your next dues payment, or whether the association must make the repairs. First, if you have not already done so, you should notify the association in writing of your problem. Be specific. You should include information about where the leak is and when it started. You should also state that the leak needs to be repaired promptly because it is getting worse and if it is left unchecked, it will necessitate additional repairs. If you think the association is stalling, let them know that you think they have had ample time to fix the problem and that if they don’t repair it within a short period of time, you will have the repairs done yourself and might deduct the amount from you association dues. This should get them moving in the right direction.
