LOCATION The ranch is located about an hour east of Missoula, Montana. It’s accessed from the Interstate 90 at the Phosphate exit just west of Garrison Junction. Deer Lodge (pop 2,994) is only 20 minutes from the ranch and the city offers a rich Montana history. The city’s name is derived from the geological formations that produce warm springs and mineral deposits. Native Americans knew the area as a wintering ground for deer and elk due to the warmer climate, abundant feed, and salt deposits. All essential services are available in Deer Lodge. Fifty-five miles down I-90 is the town of Butte, Montana (pop. 33,853) known for its colorful mining history. Butte offers urban amenities, shopping, and dining. Missoula (pop. 72,364) is only an hour and fifteen-minute drive from the ranch, and it is the heart of western Montana. It is known for its cultural, recreational, and shopping opportunities. Missoula is a Salish Indian word, meaning “near the cold, chilling waters”. Missoula lies in a setting where five large valleys converge and is known as the Garden City due to its lush landscape in the heart of a fertile valley. Missoula is also home to the University of Montana, hailed by Rolling Stone Magazine as the “most scenic campus in America”. Outside Magazine ranked U of M as “among the top 10 colleges nationally for combining academic quality and outdoor recreation.” Missoula is known for having a well-established commercial airport, excellent medical facilities, shopping, and some of the finest dining opportunities in the entire state of Montana. Helena (pop. 29,900), the state capital of Montana, is located approximately 50 miles from the ranch. Helena offers a complete range of retail services, medical services, and transportation amenities. The Missouri River flows nearby with several lakes within a short driving distance. Holter and Hauser Lakes, created by two of the three dams on the Missouri River in the Helena area, are perfect for outdoor recreation including fishing, swimming, camping, water-skiing and boating. Meriwether Lewis was struck by the steep canyon walls and noted ‘the Gates of the Mountains’ in his journal. Boat tours are available at the Gates of the Mountains, 16 miles north of Helena off I-15. 2

AIRPORT INFORMATION Approximately 75 miles away, Missoula International Airport offers direct flights to nine major US markets, with connecting flights to thousands of cities around the world. Direct flights include; Chicago, Denver, Minneapolis, Salt Lake City, Seattle, Los Angeles, Phoenix, San Francisco and Las Vegas. Minutemen and Neptune Aviation both cater to private aircraft while Missoula International Airport accommodates United, Delta, Horizon and Allegiant Airlines.

CLIMATE This area enjoys a relatively mild Montana climate. August is the warmest month, and the average high is in the 80 degrees. RECREATION Fishing

The surrounding area is home to some of the finest fly fishing destinations in the west, including the Clark Fork River, Little Blackfoot River and the world famous Rock Creek; these streams offer a combination of cold water and quality features that hold large populations of cutthroats, rainbows, browns, brookies, and the increasingly rare bull trout. The dry fly fishing opportunities, particularly on the 50 mile stretch of Rock Creek, bring eager fishermen to Granite County throughout the spring, summer, and fall months. Only an hour away, the Blackfoot and Missouri Rivers offer amazing fishing opportunities. Georgetown Lake is a popular summertime fishing destination as well one of the best opportunities for ice fishing in the state of Montana. The lake supports good populations of Kokanee salmon, westslope cutthroat trout, brook trout, and rainbow trout. Near Helena, Canyon Ferry, Holter and Hauser Reservoirs offer even more options for lake fishermen.

Hunting Montana is known for its excellent hunting and endless outdoor recreation. The ranch is located on the southern edge of the Garnet Range in the midst of thousands of acres of accessible BLM and State lands. With lush grasses, timbered draws and live water, the ranch provides exceptional wildlife habitat and resident elk, mule deer, whitetail and antelope are always around. For the wing shooter, the ranch is also home to a variety of upland birds like Blue and Ruffed Grouse, and the Merriam turkey also inhabits the land. The ranch lies in the following hunting districts: 291 for deer, elk, moose, antelope and mountain lion. Black Bear and wolf fall under district 290. Hunting for upland birds such as Grouse and Merriman Turkey are also available during general seasons and finally, waterfowl hunting can be spectacular as a variety of transient game birds utilize the area on their Pacific Flyway migration. Landowner preference tags may be available for Deer and Elk but this applies to Montana residents only. Other Recreation The surrounding area offers a continuous range of other recreational pursuits including but not limited to golfing, whitewater rafting, horseback riding, hiking, backpacking, bird-watching, mountain biking, and skiing. AREA INTERESTS The Rock Creek Cattle Company is only a 25-minute drive from the ranch. This 28,000± acre ranch offers golfing on an 18-hole course designed by Tom Doak, fine dining, guided hunting and fishing, and many other fun filled activities. Limited social memberships are available for sale.

Georgetown Lake Up the road from Philipsburg lies the winding Flint Creek Grade which leads to the year-round outdoor recreational destination of Georgetown Lake. Georgetown Lake is a popular area for boating, jet skiing, fishing, hiking, camping, and windsurfing in the summer, with cross country skiing, snowmobiling, ice-fishing, and hunting in the fall and winter. The lake itself is 3,000± acres in size and sits in a basin at approximately 6,362 feet in elevation between the Flint Creek Range to the north and the Anaconda Mountains to the south. The 160,000± acre Anaconda-Pintler Wilderness Area just south of Georgetown Lake provides true wilderness opportunities, mountain lakes, small stream fishing, and excellent big game hunting.

Discovery Basin Ski Area Just off the shores of Georgetown Lake is the Discovery Basin Ski Area. Discovery offers legitimate big mountain alpine skiing in a small town “mom and pop” style venue, as well as a nice system of Nordic ski trails. Locals consider Discovery as a hidden gem due to the quality of skiing and close proximity to Fairmont Hot springs. The ski hill is only an hour from the ranch.

Fairmont Hot Springs According to Fairmont Hot Springs Resort, John Hankey bought the hot springs in 1900 and renamed it the “Fairmont Hotel Springs,” offering accommodations for $2 per day. Today locals from all over western Montana enjoy the resort and hot springs.

Spotted Dog Wildlife Management Area This wildlife management area is only 20 minutes from the ranch and is approximately 37,000± acres in size. Characterized by rolling grassy hillsides, timbered draws, and abundant wildlife, this vast area has been set aside for the preservation of fisheries and wildlife habitat. Watershed management protects the water quality in the Little Blackfoot River by reducing the quantity of silt in the spring runoff. W ATER RIGHTS All appurtenant water rights will transfer. Water rights are available from the office of Fay Ranches upon request. A water right is the right to use water, both surface and subsurface. In Montana, water rights are the rights to use the water of and not ownership of the water itself. Water rights may not automatically transfer with land. All water in Montana is property of the state of Montana for the use of the people of Montana. The actual ownership of water rights in Montana may not be known as many water rights are still the subject of a statewide adjudication process. The transfer of water rights is recorded with the State’s Department of Natural Resources and Conservation and the transfer of any right may or may not warrant that right until the adjudication process is completed.

MINERAL RIGHTS All mineral rights appurtenant to the property and owned by the Seller will convey to the Buyer at closing. Mineral rights are not guaranteed. It is suggested that the Buyer conduct a mineral search with a title company.

CONSERVATION EASEMENTS Fay Ranches, Inc works extensively with conservation easements. We find them to be useful tools in keeping family farms and ranches intact and avoiding subdivisions, which compromise the beauty of our rivers and the value of the surrounding land. Conservation easements can also provide attractive tax benefits to the investor. The ranch does not have a conservation easement on it. RELATIONSHIPS IN REAL ESTATE As required by Montana law, a broker or salesperson shall disclose the existence and nature of relevant agency or other relationships to the parties to a real estate transaction. The various relationships and description of duties are as follows: 1. SELLER AGENT A “Seller Agent” is obligated to the Seller to: • Act solely in the best interests of the seller; • Obey promptly and efficiently all lawful instructions of the seller; • Disclose all relevant and material information that concerns the real estate transaction and that is known to the seller agent and not known or discoverable by the seller unless the information is subject to confidentiality arising from a prior or existing agency relationship on the part of the seller agent; • Safeguard the seller’s confidences; • Exercise reasonable care, skill, and diligence in pursuing the seller’s objectives and in complying with the terms established in the listing agreement; • Fully account to the seller for any funds or property of the seller that comes into the seller agent’s possession; and • Comply with all applicable federal and state laws, rules, and regulations. Montana law permits a real estate agent, after providing written disclosure to a seller and obtaining a seller’s written consent, to represent multiple sellers of property and to list properties for sale that may compete with the seller’s property, without breaching any obligation to the seller. A 'Buyer Agent' is obligated to the Seller to: • Disclose any adverse material facts that are known to the buyer agent and that concern the ability of the buyer to perform on any purchase offer; • Disclose to the seller or the seller agent when the buyer agent has no personal knowledge of the veracity of information regarding adverse material facts that concern the property; • Act in good faith with a seller and a seller agent; and • Comply with all applicable federal and state laws, rules and regulations. 3. DUAL AGENCY If a seller agent is also representing a buyer, or a buyer agent is also representing a seller with regard to a property, then a dual agency relationship may be established. In a dual agency relationship, the dual agent is equally obligated to both the seller and the buyer. These obligations may prohibit the dual agent from advocating exclusively on behalf of the seller or buyer and may limit the depth and degree of representation that you receive. A broker or a salesperson may not act as a dual agent without the signed, written consent of both the seller and the buyer. A “Dual Agent” is obligated to a Seller in the same manner as a seller agent and is obligated to a Buyer in the same manner as a buyer agent, except a dual agent: • Has a duty to disclose to a buyer or seller any adverse material facts that are known to the dual agent regardless of any confidentiality considerations; and • May not disclose the following information without the written consent of the person to whom the information is confidential; • The fact that the buyer is willing to pay more than the offered purchase price; • The fact that the seller is willing to accept less than the purchase price that the seller is asking for the property; • Factors motivating either party to buy or sell; and • Any information that a party indicates in writing to the dual agent is to be kept confidential. 4. STATUTORY BROKER A “Statutory Broker” is not the agent of the Buyer or Seller but nevertheless is obligated to them to: • Disclose to: i. a buyer or buyer agent any adverse material facts that concern the property and that are known to the statutory broker, except that the statutory broker is not required to inspect the property or verify any statements made by the seller; and ii. a seller or a seller agent any adverse material facts that are known to the statutory broker and that concern the ability of the buyer to perform on any purchase offer; • Exercise reasonable care, skill, and diligence in putting together a real estate transaction, and • Comply with all applicable federal and state laws, rules and regulations. 5. IN-HOUSE SELLER AGENT DESIGNATE Created when the agency holds both the listing on a property from the seller and a buyer broker agreement with the buyer, an in-house seller agent designate is a broker or salesperson employed by or associated as an independent contractor with a broker and designated by the broker as the exclusive agent for a seller for a designated transaction and who may not be considered to be acting for other than the seller with respect to the designated transaction. 6. IN-HOUSE BUYER AGENT DESIGNATE Created when the agency holds both the listing on a property from the seller and a buyer broker agreement with the buyer, an in-house buyer agent designate is a broker or salesperson employed by or associated as an independent contractor with a broker and designated by the broker as the exclusive agent for a buyer for a designated transaction and who may not be considered to be acting for other than the buyer with respect to the designated transaction.
