don’t know about you but while I love the pristine blue skies of autumn and revel in bursts of unexpected late-summer heat and alfresco dinners, my mind is already fast-forwarding to winter cocooning. It begins as swiftly as the softest fashion knits hit the rails – but this year bathrooms have come sharply into focus as I’ve watched the curation of yet another inspiring trends feature unfold this month (see page 25). And when deputy editor Julia Freemantle fell upon our striking cover image, it was a done deal. She wrote: ‘This textural but simple design by Jonas Lindvall has to be the most beautiful bathroom I’ve seen in years – understatement and luxury in one. And the organic curved corners and combination of cool grey and warm metallic taps is just flawless.’ There you have it, and I couldn’t agree more. ONE PANAMERA FITS ALL The previous generation was maligned for its ungainly design. But the new Porsche four-door banishes that concern – and more besides TEXT Terence Steenkamp PHOTOGRAPHS Supplied

xcept for the faint rustle of wind past the side mirrors and the monotone din produced by the enormous 295mm-wide rear rubber, the Porsche Panamera 4 E-Hybrid Executive’s cabin is enveloped by, well … silence. The new 2.9-litre V6 petrol engine and its twin turbos lay dormant. Instead, thrust is provided by the permanently active (Porsche uses the word ‘excited’; the work of Google Translate, perhaps?) 100kW electric motor, fed by a 14kWh lithium-ion battery. It can do so for 50km, the brand claims, before the V6 wakes from its slumber to supplement the electric machine and propel the 2.25 tonne, 5.2m-long E-Hybrid Executive to 100km/h in a mere 4.7 seconds. Not fast enough for you, you glutton? After a further 12.7 seconds, 200km/h flashes by, before the vehicle runs out of puff at 278km/h. This is a hybrid, remember, just like the Toyota Prius; it’s not supposed to be this quick. It certainly doesn’t feel quite so potent from the sumptuous driver’s seat. From silky soft leathers wrapping the horizontal expanse of dashboard, carefully curated wood trim and metal that is actual metal, the second-generation Panamera’s cockpit sets new refinement and quality standards for Porsche.

But it also introduces new tech in the form of Advanced Cockpit, a concept that eschews hard buttons controlling, for example, the climate system in favour of virtual ones that provide tangible feedback when pressed. It works fabulously. Most striking, however, is the seamless integration of these forward-thinking tools in an environment that places luxury at the forefront, especially in this 150mm longer Executive model with its room for four occupants. So, to the reason people buy cars with alternative powertrains: fuel economy. Porsche claims the Panamera 4 E-Hybrid parsimoniously drinks 2.5 litres every 100km. Impossible, surely? Indeed. On a 100km-plus route in the Western Cape, I struggled to get close to 10 litres per 100km. That’s still mighty impressive considering the sheer girth of the vehicle and the power accessible under foot, but to reap the benefits of the E-Hybrid’s advanced drivetrain, owners will have to stick to the 50km battery range. Do that, however, and you’ll have one of the cleanest-running vehicles in our market, across all segments. More so than the wonderful cockpit, the arresting exterior, soothing ride and hellfire performance, the efficacy of the E-Hybrid’s one-vehicle-for-all-tastes approach is its most remarkable achievement. porsche.com

A concealed garden and ocean views come together in this classic Clifton property, a granite boulder forming a unique part of the design

T
here are not many three-storey properties where each level has direct access to the garden. Adding to the magic, the 500m2 oasis is secreted behind a dominating granite rock and hugs the Clifton home, creeping up into the slopes of Lion’s Head. The homeowner confides that it was the private garden that stole her heart when she bought the property 20 years ago. That and the sea views from the two balconies fronting the home. Interior designer Dylan Thomaz of Studio Dylan Thomaz, who worked with the owner to refresh the look of the property, says it is truly unique. ‘The design is timeless and classic. It has so much soul and depth,’ he says. PAST MEETS PRESENT With its white walls, terracotta roof, shutters and sea views from every room, the property has a sense of a Mediterranean villa. It’s designed for ‘easy beach living,’ confirms Thomaz. Earthy, concrete screed floors give the house a richness that mirrors the dark wood throughout, balconies included, but are equally practical for beach-to-pool living. Subtle touches, such as different shades of the same palette used to tint the floors and textured wallpaper in the dining room and bedrooms, give it a richness that feels both classic and contemporary. There’s also a nod to the heritage feel of the property – the floors, for instance, remind you of a highly polished stoep where families would gather at the end of the day. This is in keeping with its past: the original house was the worker’s cottage for the manor house of Clifton.
INSIDE AND OUT Thanks to the consistent design, the flow from each floor is seamless. The ground level features a welcoming entrance hall with two spare bedrooms, which have the privacy of a dedicated floor. The second floor is the heart of the home, with an open-plan dining area and kitchen that leads onto the balcony and a TV room. The kitchen, too, has an old-world feel thanks to a feature brass extractor fan and the use of dark wood. There are also some charming surprises, such as the floating wooden stairs leading you from the second floor to the main bedroom above. The top floor is dedicated to the main bedroom – a comfortable retreat with a balcony that again serves up panoramic views of the ocean – and a casual lounge with exposed wooden ceilings. The textured sisal wallpaper is one of the homeowner’s favourite additions to the house, which previously had stark, white walls throughout. ‘It really gives it warmth and adds a different dimension and feel to the place,’ she says. The lounge opens onto the pool, a decked area with seating and a koi pond, surrounded by established trees and plants. The outside areas have been curated to create multiple spaces to relax and take in the views – be they the sea from the kitchen and main bedroom, or the mountain from the garden. ‘Stacked doors mean you can open the house up,’ says Thomaz. ‘Wherever you sit, you feel like you are lost in time. You can just completely enjoy the moment.’ dylanthomaz.com

Design has evolved so far that you can literally choose any colour you want. Black and gold (both yellow and rose) are good choices for their timelessness. And for something really different, white is the newest hot colourway – it’s fresh as well as graphic

Black and white are basics, yes. But they’re being taken to more extreme, graphic heights in bathroom design. The effect is dramatic. OPENING IMAGE Black basins are a big statement, even more so paired with matching taps. This supremely cool space using the Opera collection by Italian outfit Altamarea (altamareabath.it), a range inspired by the Scandinavian cabinets of the 50s and 60s, shows just how effective layering tones of black and grey can be, despite its inherent simplicity 01 This ultra-contemporary application by Agape (agapedesign.it) pairs straight lines and slim proportions. The narrow vertical wall tiles are echoed by a wafer-thin countertop, the starkness of which is accentuated by the monochrome palette 02 The new Cuna bath by Patricia Urquiola for Agape (agapedesign.it) is a celebration of form – a blend of lines and curves in contrasting colours. Liz Biden of The Royal Portfolio (theroyalportfolio.com) has injected her signature opulence into the spaces, which combine ornate light fittings and consoles with freestanding tubs and velvet-covered furniture, looking out over the city, for a bath ritual that’s all about the senses OPPOSITE PAGE Small guest bathrooms are the perfect environment to go all out – the cost is comparatively low when using expensive materials and the space is one seen by all. This De Gournay-designed (degournay.com) Orientalmeets-Art Deco space is all about gloss – the Rateau wallpaper on gold bullion gilded paper and the black walnut and oak cabinets create a glowing enclave

here’s never been a better time to fly in the rarefied world of first and business class. Amid heated competition for passengers willing to pay a premium for long-haul comforts, global airlines are embracing luxury brands and custom design to create a luxury experience from boarding to arrival. ‘Good design shows our customers that we care about them,’ says Peter Cooke, design lead for aircraft cabins at British Airways (britishairways.com). ‘The end goal is always to create truly great experiences for our customers.’ He adds that the airline’s ongoing cabin evolution is always a reflection of the brand’s DNA. ‘It’s a nod to our heritage, but should be progressive, modern and contemporary,’ he says. That is perhaps best exemplified in BA’s new-look FIRST cabins. For inspiration, the design team turned to classic British brands, a process they dubbed ‘heritage in progress’. Taking their cue from classic automotive interiors – Bentley, Jaguar, Aston Martin – the result is a timeless in-flight product. ‘One of our blueprint principles was design for a reason; nothing was superfluous,’ says Cooke. ‘Everything had a purpose and function was paramount.’ That translates into understated luxury in the Italian leather with twinstitch detailing. The foldaway table features a leather writing surface and intricate barley-print detailing. It’s more private club than airline seat. Electronic blinds across the double windows are managed by a single integrated control. A 21in monitor delivers in-flight entertainment in a cabin with improved space and stowage. ‘The trend is to have a more private suite space, which we incorporated into the design,’ says Cooke. CABIN CONFIDENTIAL Since Singapore Airlines (singaporeair.com) launched its first suites aboard the A380 superjumbo, airlines have been expanding the amount – or at least perception – of private space on offer in their premium cabins.
With The Residence, Etihad (etihad.com) delivered a private apartment with separate bedroom, lounge and washroom but few can afford its hefty price tag. Rather, first and business class is the battleground driving innovation at 35 000ft. Surprising, then, to see a US legacy carrier, never known for being first out the blocks, leading the charge in the business class battle. Atlanta-based Delta Air Lines (delta.com) will launch its new Delta One suite in late 2017, becoming one of the first business class cabins in the world to feature a sliding privacy door for each suite. ‘People like to have some privacy and the feeling of owning their space,’ says Ryan Graham, senior designer at Factorydesign, the London-based firm responsible for the product. ‘It is a major step forward in business class travel.’ Along with a full-height sliding door at the entrance to each suite, the new product delivers ambient lighting and contemporary design. Delta One will initially launch as part of the airline’s new Airbus A350 aircraft, before being retrofitted to its Boeing 777 fleet, the aircraft used on its ultra-long-haul route connecting Johannesburg and Atlanta. Qatar Airways (qatarairways.com) may just pip Delta to the post, though. At this year’s ITB Berlin travel trade show, the Doha-based carrier revealed its innovative new QSuite business class product, which will launch in June this year. Italian leather and satin-rose gold finishes deliver the levels of luxury you’d expect from the airline that clinched World’s Best Business Class in the 2016 Skytrax awards. But the real talking point is the innovative seat layout and adjustable privacy panels allowing up to four suites to be converted into a private space. It’s a boon for time-pressed business travellers looking to justify the cost of a premium cabin. The airline also turned to The White Company of London to create custom sleeper suits, a perk usually reserved for first class. Luggage brand BRIC’S and Castello Monte Vibiano Vecchio took care of the revamped amenity kits.

LUXURY DESIGN ON-BOARD Global carriers are increasingly playing off the cachet of well-known luxury brands. In 2017 British Airways is embracing homegrown design with first class washbags by Liberty. Issued in a range of eye-catching designs, they’re filled with top-drawer skin products by Refinery and Aromatherapy Associates. In its new Polaris business class product, American carrier United (united.com) partnered with Saks Fifth Avenue for custom-designed bedding and turned to Soho House & Co’s Cowshed Spa to stock its amenity kits. Likewise, American Airlines (aa.com) brought Chicago brand Cole Haan on board, topping the kits up with products from 3LAB and Clark’s Botanicals. Dubai-based Emirates (emirates.com), never a laggard in the world of luxury, taps into Irish brand VOYA for airport lounges and onboard showers, while Italian luxury icon Bulgari took care of the revamped amenity kits. Qatar Airways, meanwhile, opted for Giorgio Armani fragrances and products in its first-class kits. PROPER AIRLINE FOOD (REALLY) Just as luxury brands add extra appeal to premium cabins, so the culinary offering is becoming a crucial selling point. Airlines continue to work with awardwinning chefs. Cathay Pacific (cathaypacific.com) recently partnered with chef Pino Lavarra of Michelin-starred Tosca restaurant at The Ritz-Carlton in Hong Kong to bring Italian flair to its premium menus. United works with Bill Kim of Chicago eatery Urbanbelly. British Airways has worked with Heston Blumenthal to revamp its in-flight dining in the past. On selected flights, Air France (airfrance.com) offers guests in La Premiere (first class) the choice of menus by Joël Robuchon, Guy Martin and Daniel Boulud.

TAILOR-MADE FLYING But touting chefs in toques is no longer enough. The savvy airlines are broadening their scope to include more bespoke experiences. Emirates has been quick to flaunt its luxury credentials with its Dom Pérignon service in-flight. The airline offers exclusive vintages onboard, complete with canapes created in collaboration with Pascal Tingaud, the chateau’s Michelin-starred Chef de Cuisine. The airline also recently reimagined the iconic horseshoe-shaped lounge/bar aboard its fleet of Airbus A380s. ‘In our latest revamp, we have taken inspiration from private yacht cabins,’ explains Tim Clark, president of Emirates. ‘We have increased the seating space, and also made it more intimate and conducive for our passengers to socialise or enjoy our lounge service.’ Soundproof curtains separate the bar from the premium cabins, while mood lighting, surround sound and large-screen TVs help you forget you’re at 35 000ft. Cathay Pacific took a more unusual approach recently, with the world’s first handcrafted beer brewed to enjoy at altitude. The Hong Kong Beer Co used fuggle hops, Dragon Eye fruit and honey from Hong Kong’s New Territories to produce the Betsy Beer, a full-bodied craft ale ideal for high-flying beer lovers. DOWN TO THE GROUND It’s not all about what’s on board. Airlines are paying as much attention to the passengers’ experience on the ground as in the air. Cathay’s new lounge at Heathrow T3 sticks to the airline’s contemporary Asian aesthetic. Artwork is by noted Chinese artist Han Feng and the Solo Chairs are from the airline’s lounges at Hong Kong International Airport. The airline has also invested on home turf, expanding The Pier business class lounge. Despite seating more than 500 travellers, the design by London-based Studioilse delivers an intimate, sophisticated space. The full-service marble bar remains, complete with Cathay’s signature cocktails, while the noodle bar and tea house bring a distinctly Asian identity to this cosmopolitan globetrotting space. Although on a smaller scale, there’s a similarly international feel to the new Emirates lounge at Cape Town International Airport. As part of a global revamp of its lounges, Emirates invested almost $3 million in the facility. It’s the 14th lounge worldwide to boast the airline’s new lounge concept and incorporates Italian marble floors, leather armchairs and walnut wood finishes just a few steps from the aircraft. Back in London, British Airways is about to open a new First Wing at T5 that will similarly offer a seamless journey from check-in to the exclusive Concorde Room to the revamped FIRST cabins. Great design, they say, is invisible, and yet it’s also memorable. For Peter Cooke and airline designers worldwide the quest continues to transform just how memorable the world of premium travel can be.

AN ODE TO THE ARCH A collaboration between world-renowned architectural firm Snøhetta and South Africa’s Local Studio was revealed at Design Indaba in March. Arch for the Arch is a memorial to Archbishop Desmond Tutu and his work over the years as a human rights activist. Through various workshops the two firms came up with the shape of an arch that will consist of 14 intertwined strands of bent wood, representing the 14 chapters of the South African constitution. The second arch will take its place in Cape Town between St George’s Cathedral, where Tutu served as archbishop, and the National Parliament. The European Centre for Architecture Art Design and Urban Studies, along with The Chicago Athenaeum, recently awarded the Silo District a 2017 Green Good Design Award. In addition, the Green Building Council of South Africa awarded No 5 Silo a prestigious six-star design rating. No 5 Silo’s most notable green features include a highperformance facade that ensures optimal use of natural lighting, a landscaped roof with photovoltaic and an advanced seawater heating and cooling system. iven how much it costs to maintain a large property, many homeowners might consider subdivision to reduce monthly rates, and provide a financial windfall to pay off the bond or other debt. But the process is neither simple nor quick. In some cases it could take up to two years to obtain the required approval. To start, determine whether your property can, in fact, be subdivided. Different areas have different zoning scheme regulations that will determine the minimum erf size for any property in that area. Your property will have to be at least double the minimum size for subdivision to be possible. Some title deeds also contain clauses that the property may not be subdivided. It is sometimes possible to have this stipulation removed with approval from anyone who may be affected. But this would mean extra costs and admin, and it would increase the length of the process. As the subdivision process is complicated, it is advisable to ask experts for guidance. It’s best to find professionals who have experience in your particular area, as the specific requirements differ from one location to another.
A town planner or land surveyor would be able to assist in preparing the application and presenting it to the council. They will then ask an engineering company to put together a services report. This will look at how the proposed new erf would access bulk services such as sewerage, water and electricity. Bear in mind that you will have to pay the cost of extending access to these services. A conveyancer could then handle the legal aspects and ultimate sale. The plans will be submitted to the council together with the required application forms. If it is necessary for the owners of the surrounding properties to provide their approval, these will also be included. Once the council has received everything, it then needs to consider the application. This can take a number of months as it needs to be circulated among a number of different departments. When a decision is reached, the municipal town planner will send a letter to the appointed conveyancer to indicate whether or not the application is approved, and if so, what conditions are attached. If it is necessary to give notice to the general public, this will have to be done in two local papers as well as the government gazette. If the property is bonded, you’ll need the bondholder’s consent before a subdivision can take place.

t’s so much easier to buy into a concept when the company selling it does so emphatically. Propertuity, South Africa’s urban regeneration pioneer, has invested hugely in Maboneng and is gradually building a neighbourhood of affordable forward-thinking residential developments, mixed-use spaces and cultural hot spots. Its entire Johannesburg operation is based there, too, in Siemert Street. The wedge-shaped Flatiron-esque building commands a corner across from the soon-to-be-complete Hallmark House hotel. A joint venture with property company Quorum, with whom Propertuity has joined forces on a number of buildings, Work + Art is a six-storey building that used to be owned by Weil and Asheim, a major investment group whose CEOs included famous Joburg businessman such as Manny Simchowitz and Brian Joffe. Their success resulted in a luxurious space whose signs of prosperity can still be seen in architectural details such as the wooden panelling and marble bathrooms. After they moved on, the building became the base of numerous clothing manufacturers (Doornfontein has a long history as a centre for CMTs). All this history helped to inform the spirit of the current incarnation, from the design to the name – Work + Art refers to the original owners, as well as a valuable private art collection the building once housed. ‘We chose it because, in addition to the fact that it’s a fantastic building – together with Hallmark opposite – it forms a commanding presence and represents our vision for the area, something you experience visually as you come off the highway and up Siemert Street,’ says Neil Eliason from Quorum. As with all Propertuity developments, it has a unique identity, sophisticated design and community focus. In addition to Propertuity and Quorum on the sixth floor, there are a number of anchor tenants, including Nedbank retail and Stallion Security. SMEs and consultancies occupy the rest. Propertuity has injected its signature art and design expertise into the public spaces, as well as its Mad Men meets edgy urban sixth-floor HQ, which is a tribute to the mid-century history of the space. ‘Our upgrade has tried to reinforce this language as it sits well with the progressive ethos of the building and its tenants,’ says Jonathan Liebmann, founder of Propertuity. In line with this, Aimee Henning of Malica Design has created a subdued and sophisticated environment with meeting pods, velvet sofas in jewel tones and elegant wood-and-metallic panelling that echoes the tone of the original space, but with an artisanal twist. It all feels surprisingly and wonderfully cosy and old world, offsetting the real urbanness of the street below. From the facade with its sculptural steel and landscaping installation, to the surrounding pocket park and the foyer’s vibrant sculptures and artwork, the effect is dynamic and alive with plants, colour and people. The rooftop, too, features artwork by rising young artists Jake Singer and David Brits, which frame the skyline to quite breathtaking effect. And, while it does have a rich art culture, contrary to popular belief (or public assumption), Maboneng is not just an area for bars and galleries. There is a thriving property market – both investment and rental (which is Propertuity’s biggest business) – and one where Propertuity is carving out a niche as leaders in accessible but desirable housing. Its vision for spaces and how they can assume an identity makes its developments stand out from many generic apartment blocks going up around South Africa. Each draws on the history of the area – whether through its name or by using an existing piece of the city and adding to it – so that the character of the area has never been lost, despite massive regeneration, a vote of confidence in what the city has been, and can be. This confidence is contagious, and not just with the public. Massive corporates and big-name architects have put their stamp of approval on the vision, including David Adjaye, whose collaboration with Propertuity on Hallmark House is one of the most eagerly anticipated hospitality projects in Joburg history, as well as finance giant RMH’s investment in a third of Propertuity as part of its new niche property portfolio. propertuity.co.za

PROPERTY PARTNERS For many, real estate is a vital part of an investment portfolio. However, not everyone is willing or able to dive into the property market on their own. What are the implications of investing with a friend or family member? TEXT Patrick Cairns PHOTOGRAPHS iStock by Getty Images

or some, investing in property may be about affordability. For others, it may be about risk: potential homeowners would rather not invest so much in a single asset and run all the related risks on their own. In both cases buying with a friend or family member could be a potential solution. ‘Buying property is often not easy,’ says Carl van der Berg, financial consultant for Alexander Forbes. ‘The most obvious advantage of investing in property with someone else is that the risks of ownership and the costs related to that ownership would be spread.’ CONSIDER THE RISKS However, a significant investment of this kind should not be undertaken lightly. It’s important to understand the complexities of this kind of arrangement. ‘One of the most difficult issues in law is co-ownership,’ says Andrew Bembridge, a director at ENSafrica. ‘It can create myriad problems if it’s not properly regulated.’ There are a large number of potential disagreements that could arise between co-owners. And when this happens, the consequences can be severe. ‘Financial needs and realities change over time and in ways that they don’t suspect,’ says Chris Hajec, managing director for Seeff Properties in Randburg. ‘For instance, what happens when one party wants to sell, but their co-owner doesn’t? Or one of the partners loses their job and their income?’ ‘If you are forced to sell, it could happen that there is a shortfall,’ says Tommy Nel, head of credit at FNB Home Loans. ‘There is always a percentage of properties sold for less than they were bought for. If that happens, then all the joint bond holders would be joint and severally liable for the shortfall.’ Van der Berg agrees that it’s essential to consider the risks of getting into business with friends or family, where roles and responsibilities need to be shared. ‘In the likely event that one investor becomes more involved than another, they might feel more entitled to a greater share of the rental income,’ he says. ‘This could lead to all types of conflict that can’t be plotted on a graph or solved with a calculator.’

PUT IT IN WRITING For this reason, Bembridge strongly advocates a property ownership agreement to set out the roles and responsibilities of the partners and protect their respective interests. It’s essential to have a clear understanding in advance of what the investment goals are, what the exit strategy is and how the expenses will be managed. One person becoming insolvent or another partner exhibiting all forms of ownership but still insisting that the other person maintains a certain amount of liability are two scenarios Hajec has encountered due to the lack of an agreement. PROPERTY OWNERSHIP AGREEMENTS SHOULD COVER n Details of the ownership share and who is entitled to what percentage of any income or capital gains. n How the property will be sold. Can it only be sold after a certain period and at a certain price? Do all parties have to agree? In cases where one partner has a greater share, can they force the sale? n A voting structure for agreeing on tenants and any maintenance or alterations to the property. n How expenses will be met and what happens if one party fails to meet their obligations. Will this dilute their share or will it become a debt to the other partner or partners? n A provision that all parties must have life insurance in place to cover their share of the bond. n Detail on how financial records should be kept to ensure that all income and expenses are fully registered. All contributions made by the respective parties also need to be recorded. n How the property will be managed. Will an agent be employed or will one or more of the partners take responsibility? How will they be remunerated if they do? n What happens if one of the partners takes residence in the property? Having this agreement in place will ensure that nothing is left to chance. And when dealing with significant amounts of money, it could save more than your relationship. It could save your financial future as well.

KNOW YOUR PARTNER Buying property with a friend or family member may sound like a sound idea as you already have an established relationship. But don’t take it lightly. It should still be treated as a business decision. Properly vet the person you’re getting involved with, advises Chris Hajec, managing director for Seeff Properties in Randburg. ‘It doesn’t matter that they are your friend,’ he says. ‘You don’t know the nuances of your friend’s financial life. Ask for a credit report, proof of income and an asset and liability register. If someone is unwilling or unable to give these to you, you need to question whether you feel secure being in business with them. There is a lot at stake for your financial life if that person defaults.’

BONDED TOGETHER Buying a property in partnership will usually mean taking out a joint bond. ‘A bank will require a mortgage bond to be registered over the whole property,’ says Andrew Bembridge, a director at ENSafrica. ‘In theory it is possible to register a bond over a share, but that is not good security for a bank as no one will readily buy a share in property at a sale of execution.’ To cover its risk, the bank will therefore require that all co-owners are liable for the debt. When you take out a joint bond, the full bond will reflect on both party’s credit profiles, explains head of credit at FNB Home Loans, Tommy Nel. ‘At the credit bureaux a joint bond is reflected under both names,’ he says. ‘So if the repayment is R10 000, that will show in both profiles.’ Therefore consider the risks to your own credit rating if your partner can’t meet their obligations. Co-owners also have to take into account what will happen if one of them wants to sell their share. ‘You can substitute a debtor on a loan agreement as long as at least one of the original parties remains,’ Nel explains. ‘So one partner can sell their share of the property to the other or even to someone else without having sell the property and re-bond it. But a new affordability assessment would have to be done.’

VOTING AS MEMBER OF A HOMEOWNERS’ ASSOCIATION: IT’S TRICKIER THAN YOU THOUGHT Exercising voting rights in communal living schemes is a very important way in which owners can join in the management of the development in which they invested. Governance documentation must therefore be drafted carefully to facilitate participation and to protect owners’ rights. Proxies are one of the considerations that must be dealt with carefully. The March 2017
judgment in Du Plessis Barry v Clearwater Estates NPC raised the following enquiry: The Homeowners’ Association (HOA) was incorporated as a company and its Memorandum of Incorporation (MoI) provided that when members appointed proxies, a written document to that effect had to be lodged at the HOA’s offices ‘not less than 48 hours before the time appointed’ for the meeting, failing which it would be invalid. The Companies Act however
stipulates that it is an unalterable rule that a shareholder may appoint a proxy ‘at any time’. Was the MoI nonetheless valid? The court said ‘no’, as it contravened the Act. Whether drafting governance documentation or changes and amendments thereto, make sure that applicable legal provisions are taken account of.
