Be Careful What You Say when Advertising your Property In a Toronto small claims court decision dated April 2, 2014, Deputy Judge Jack Prattas decided that even though the seller did not know that the problem existed with the basement walls, he was still responsible to pay. This is because he had carelessly said the property was gutted to the bare bones and the buyers relied on this when buying it. Prattas found that the buyers were misled into believing that they were getting a basement which did not have any hidden defect. However, the judge also found that the buyers, as a result of the warnings by the home inspector, should assume part of the risk, since they chose not to do any further inspections. He awarded the Mauros 50 per cent of the damages, or $4,329.50. No puni-

ellers and real estate agents will advertise the top-selling features of a home so as to attract the biggest number of buyers. But there’s a fine line between marketing hype and false advertising, so be careful what you say. If it turns out wrong later, you may have to pay for it. Here’s why: In September 2009, Hussain AlSaffar bought a detached home on Salem Ave. in Toronto’s west end for $439,000. He bought it “as is” from a family who had owned it since 1967. The basement was not finished. Al-Saffar planned to renovate it, so he got the necessary permits and made extensive changes, including refinishing of the basement. A year later, he sold it to Clare Mauro and her mother, Anne Mauro, for $658,000. The MLS listing form said: “This house was gutted to the bare bones and has literally been rebuilt from scratch. Except for the four exterior walls, almost everything else is new. New insulation, framing, walls, floors, roof, electrical, plumbing.” A brochure given to people viewing the house said: “Fully insulated from basement floor walls all the way to attic. Basement designed as a comfortable entertainment centre and/or spacious home office. Gutted to the bare bones.” The Mauros did an inspection. The report indicated concerns about basement leaks. It said in part: “Cannot predict how often or badly crawl space or basement will leak” and that there were “efflorescence, stains dampness on the

exposed foundation wall, and that these are typical conditions not out of the ordinary for a home that age.” It turned out that 99 per cent of the foundation wall was not visible, as is usually the case when homes are inspected. The report said that since the inspector could not see behind the walls, the buyers were encouraged to consult a contractor or engineer. The buyers smelled must and dampness almost immediately after closing. No investigation was done behind the drywall as they did not wish to do any unnecessary damage to the finishes. There was then a major flood one year after closing. Most of the costs incurred to repair the damage were covered by insurance. The cleanup crew discovered that the north foundation wall leaked water into the basement. They also found cracks in the mortar between the cinder blocks, including one crack that appeared to have been crudely plugged with a piece of wood to stop the flow of water. The buyers sued for the $8,659 cost to repair the leaky basement wall. They also claimed $1,000 in punitive damages, stating that the seller deliberately concealed the problem. They claimed the seller must have known about it if he gutted the basement to the bare bones. The seller said he had not seen any leaks and did not notice the piece of wood because he did not strip the basement walls to the cinder blocks, but rather just insulated and dry walled the area in front of the existing plaster.

The lesson for sellers is to make sure any statement about the home is true. The lesson for buyers is that when inspecting older homes, it is always a good idea to do further due diligence about water penetration issues, from the roof or the basement. A

s the spring housing market heats up, it’s a busy time for closing deals. The price you pay is very important, but you also have to think carefully about your closing date, so that everything goes smoothly. Here are seven things to remember: Any day but Friday: The last Friday of a month is typically the busiest day in most real estate law offices, especially in the summer. This mean many deals won’t be able to close until late in the day. Worse, if the deal has to be extended, you don’t get keys until the following Monday, or maybe Tuesday if it is over a long weekend. Wednesday is good: If there are delays, it is much easier to manage a one-day extension than an extension over a weekend. When sellers must move: You should be out of your home by 3 p.m. on closing day. Most real estate contracts stipulate that sellers must turn over possession as soon as the deal is registered electronically. Usually — assuming it is not the last Friday of the month — that happens by 2 to 3 p.m. Vacant possession must be given to the buyer at that time. Try to close early: If you are buying and selling in the same time period, close two days early and get bridge financing. You will close your deal without pressure

and have a few days to move in while you wait until your sale closes. This will also make it much easier to negotiate an extension, if you have to, as you will not be dependent on the money from your sale to close your purchase. Clean up after yourself: You must turn the house over in broom-swept condition, which means no garbage. Buyers should make a final visit two days before closing to make sure the seller is properly cleaning up. When to move: Buyers should not plan to move in until late in the day or the day after closing, to avoid paying extra to movers if things get backed up or the deal has to be extended. Do an inspection: Even if you are not moving in that day, buyers should check the condition of the home on the day of closing, to make sure that nothing has been broken or damaged. The seller typically guarantees everything will be working on the closing date, not afterwards, so find out right away if you need to make a claim about anything after closing. By doing your homework before choosing a closing date, you should be able to avoid pitfalls later.

Donating to Charity: Where Does your Money Go? by Gianni Leonetti, Leonetti Consulting Businesses are often asked to make donations to all sorts of charities. As a business owner, it is good to support causes that you believe in and want to give a helping hand to. How can you know if your dollars are going where you intended? Some charities hire third party telemarketing companies that keep the bulk of the donations, other charities use familiar sounding names to solicit donations but aren't exactly who you think they are, and unfortunately some are just not legitimate charities. We have a few tips to help you feel confident that your money is well spent when you make a donation. Before you donate: Think about the causes that are important to you. You can then pick the charities you want to support and make a donation before you are even asked. This gives you more control in your ability to research causes and find the most effective way to support them, You'll be less likely to respond to pressure and your money may go further. Make sure that the charity is who it claims to be. Sometimes fraudulent

organizations use names that are similar to well-known and respected charities.
Ask for the charity's registration number. Each registered charity has a specific registration number that must appear on your official donation receipt. You can confirm that a charity is registered by searching for them by name or registration number in the CRA Charities Listings. You have a right to request written literature and a copy of the charity's latest annual report. The annual report should include a list of the board of directors, a mission statement and the most recent available audited financial statements with accompanying notes.
If a charity does not provide you with the information you request, you may want to think twice about donating. Honest charities typically encourage your interest and respond to your questions. Find out where you dollars go. How much of your donation goes for general administration and fundraising expenses and how much is left for the program services you want to support? Most efficient charities are able to spend 75%

Although, keep in mind that newer groups and those that are working on less popular issues may find it necessary to spend a greater percentage on fundraising and administrative costs than more well-established or popular groups. After you donate: Keep records of your donations. Be sure to obtain a receipt or printed copy of your donation so you will have a record for tax purposes. Registered charities are not required to issue an official donation receipt. However, the Canada Revenue Agency advises charities to notify potential donors of any circumstances in which they will not issue an official donation receipt. You should be aware that you cannot claim a charitable tax credit or deduction unless you have an official donation receipt. Other ways to give back to your community: • Volunteer: This can be a great way to get information about a charity before giving money. Hands-on experience will tell you how well

managed the organization is and how effectively it accomplishes its mission. Make donations-in-kind: Often a donation of your product or services could be just as helpful as a cash donation. Donate your employees time: Recruit your employees to get involved and ask them if they are willing to spend some of their working hours to help out. Advertise or promote an event: Sometimes charities can use an avenue to get the word out. Offering space in your business or letting your customers know about the event could be a helpful promotion for the charity. Consider sponsorship: Sponsorship has many benefits that can help charities and local groups but also can benefit your business by creating company visibility and increasing sales.
