How to take Title on a Purchase Types of Ownership

I

n Ontario (aside from sole ownership) there are four basic ways for two or more individuals to own real estate. Each person involved in ownership in the transaction should obtain his or her own independent legal advice as to method of ownership and potential liability as an owner. JOINT TENANTS: Under this type of ownership, each owner owns equally. Joint Tenancy typically means that, should a purchaser become deceased, the remaining purchaser(s) on title will inherit the deceased's interest in the property. Where one of the "joint tenants" dies, the surviving joint tenant(s) usually automatically becomes the owner(s) of the property no matter what a will might state. This is the manner of holding title most commonly used by spouses. TENANTS IN COMMON: Under this type of ownership each owner’s share can be different (e.g. John owns 90% and Jim owns 10%). Tenancy in Common means that should a purchaser become deceased, that deceased person's interest in the real estate will be transferred according to that person's will or, if no will exists, according to the Law of Ontario (if the real estate is in Ontario). IN TRUST: A trust situation should be discussed with a lawyer. It generally signifies that the person who is registered on title in the Ontario Land Registry Office is not the true, or beneficial, owner. e.g. 'JOHN SMITH, IN TRUST" It does not usually indicate (but it can) on the face of the document who is, in fact, the real owner (the beneficial owner).

PARTNERSHIP AGREEMENT: If more than one person will be shown on title as owner and, if only one person is providing all (or a substantial portion) of the funds needed for the purchase, you may wish to consider entering into a special partnership agreement to avoid any future misunderstanding with respect to distribution of proceeds upon a resale of the property. Should you wish such an agreement to be prepared for signature when you sign final closing documents, please inform this office. Our fee for such a typical agreement is $50.00. One of the features of such an agreement is to return to each purchaser whatever cash was originally contributed by each purchaser at the time of completing the transaction as well as any additional contributions made to improving the property during the period of ownership (such as, new roof, finishing basement, remodelling kitchen, new floorings, addition to house, etc.). Other features of the agreement deal with distribution of the balance of proceeds once the property is eventually resold and what happens if one partner wishes to sell and the other partner does not. What your Home Insurance Won’t Cover Sellers are better off disclosing any damage to their home; buyers — talk to the neighbours before you commit.

I

f you’re selling your home and the buyer asks whether you’ve had a fire or there has been other damage to the house, just tell them and avoid trouble later. In an unusual case revolving around this principle, Zahid Shah, a Brampton man who was sued by the buyers of his home for withholding that information, hoped his insurance company would help him pay to defend the suit. Shah was planning to rely on a clause in most home insurance policies that says the insurer will pay if a court finds the policyholder must pay damages because of unintentional injury to a person or to the property. George and Francesca Chrysanthis offered to buy the Brampton house from Shah in the spring of 2010. They noticed black marks on a door hinge and were worried there had been a fire. This was important to them because Mrs. Chrysanthis had respiratory difficulties. They asked their real estate agent to find out. The agent spoke to Shah’s real estate agent and was told there had never been a fire or smoke damage to the home. The Chrysanthis’s moved in on June 26, 2010. Shortly after, neighbours told them there had been a kitchen fire and

Shah had received a cash settlement to fix the damage. The Chrysanthis’s sued Shah, the real estate agents and the home inspector for their failure to find out about the damage. Shah asked his home insurance company to defend them, claiming that he had not understood the questions that had been asked by their agent. Since he misunderstood the questions, he argued, he should be covered since he had made a mistake. The judge disagreed. In a decision dated March 18, 2013, Justice Deena Baltman found that since all of the allegations against Shah were based on fraudulent misrepresentations, they were not covered by the policy. The claims were not only about lying, but that the sellers also actively concealed the fire damage so that it would not be noticed by the buyers, agents and home inspectors. “There is no plausible way to categorize the claim here as anything other than deceit,” she said. In other cases, where it is claimed that the seller was careless in making statements about their home and the buyer suffered a loss later, the insurance company was required to defend them. For example, in the case of Aitken vs. Unifun Assurance, when a seller was careless and failed to properly disclose such things as a leaky roof and basement and bad wiring, the court held that the seller’s insurance policy had to defend the claim based on the damages suffered

Bridge Financing can Ease Closing Day Stress

B

ridge financing could have saved the day last month when a series of disasters on closing day caused three related real estate deals to fall apart. When a bank pulled the financing from one buyer at the last minute, it caused all the deals to fall apart because each one was contingent on the previous seller getting the money to close their own sale. This is what real estate lawyers refer to as a train wreck. If bridge financing had been

used, it is likely that this could have all been avoided. In a typical bridge situation, the buyer closes their purchase a few days before their sale. They go to their bank and ask for a loan, to pay for the entire purchase, with the understanding they will repay the loan as soon as their sale closes. The interest is usually prime plus 3 or 4 per cent per day. By closing a few days early, the interest cost is typically $100 to $200. One of the benefits of closing a few days early is that you can slow-

ly move into your new home. I have heard plenty of stories where buyers are moving out and moving in on the same day and while they are packed up at 1 p.m., they cannot get into the new home until after 6 p.m., resulting in additional moving costs, since you typically pay by the hour. In my client’s situation, we were fortunate to be able to extend their purchase agreement because our seller did not need the money on closing to buy another property. Still, the sellers could have cancelled the contract and sued for the deposit and any losses that they may have incurred in any resale of the home. In order to extend the closing, my clients had to pay interest on the money owed to the seller during the period of the extension. They also had to pay extra moving and storage costs because their furniture had already been picked up from their home when they found out that the deals could not close. You might wonder how a lender can cancel a loan at the last minute. You would be surprised how often this happens. When a buyer is preapproved for financing, or even given a commitment from a lender on a specific purchase, it is still conditional on the buyer satisfying all

of the lender’s conditions before the closing. This could include providing proof of income, employment letters, as well as proof that they have the entire down payment from their own resources, and are not receiving it from third parties. If there is any suspicion on the part of the lender that their conditions have not been properly satisfied, they have the right to cancel the loan, even at the last minute. If you are considering selling and buying on the same day, first ask your seller whether they need the money to buy another property. Ask the same question of the person buying your home. If the answer to either question is yes, consider closing your purchase a few days earlier and obtaining bridge financing so that you do not become involved in your own train wreck. Buying and selling on the same day is normally a stressful experience even if it all works out, but by taking extra precaution, you can avoid unwelcome surprises later, provided that everyone is properly prepared in advance. Why Don’t Women have Enough Life Insurance???? by Gianni Leonetti, Leonetti Consulting Traditionally, life insurance companies solicited men as the main breadwinners in a family to ensure, that they had adequate life insurance coverage. Now, times have changed, but the statistics on women show that great percentage of American and Canadian women carry no life insurance. And those that do have a policy, carry about half as much coverage as men do. Most modern Canadian households are dual-income households. If you were married, especially if you have children, would your husband be able to afford the family style of living if you were to pass away? The loss of either parent would have extremely serious implications. Parents depend on each other in all sorts of ways that go beyond earning an income and paying the bills. In many cases, the surviving parent would have to leave their full-time job in order to care for the kids. Or if they choose to continue to work, the extra childcare needed would become very expensive. If you are single, who would assume the burden of paying for your final costs if you were to pass away? This may fall to your parents, who are also likely to be living on a fixed income. Many single women, especially those with children, may be on a tight budget and feel they can't afford life insurance. However, they may be surprised to know that a 30

year old healthy woman can purchase a $250,000 10-year term life insurance policy for $12.00 a month. If you are a healthy 50 year old, that does not mean it is too late to buy affordable life insurance; your cost for the same policy as above would only be about $30.00 a month. If you have children, it is especially important to make sure they will be taken care of if anything were to happen to you. Studies show that nearly six out of ten women in Canada are living on their own by the time they are 85. In addition, women generally outlive men by an average of six years. If you have adequate life insurance coverage, dependents will be able to continue their lives and standard of living. That way they only have to deal with the grief of your passing, instead of any financial burdens incurred by it. Women need life insurance protection to ensure that whoever survives them will be provided with available capital. Term life insurance has always been one of the most costeffective ways for both men and women to protect their loved ones.
