With viewings complete and a buyer's offer accepted, you are now embarking on the trickiest part of the sales journey.
The journey from ‘Sold Subject To Contract’ to completion typically takes 3-4 months, though delays can extend the timeframe. This period involves legal checks, financial arrangements, and coordinating every link in 'the chain'. A chain includes properties linked to yours, where each sale depends on another.
The following guide explains the legal steps, clarifying the responsibilities at each stage. While it can sometimes seem complex and frustrating, your dedicated Sales Progressor will keep you informed and ensure everything stays on track.

Offer Accepted & Memo of Sale
Your estate agent drafts and sends a memorandum of sale to both parties’ solicitors, confirming the details of the buyers and sellers. B applies for their mortgage. If financial support is being gifted, B must provide a gifted deposit letter with proof of the original source of funds to comply with anti-money laundering (AML) regulations.
Common Delays: Missing or unclear proof of funds, extended AML checks, and tracing gifted funds – especially across generations or from overseas – can significantly slow the process.
The Legal Pack & Searches Begin
S provides relevant information and documents requested by their solicitor to complete the paperwork. SS then compiles the draft contract pack, including essential documents such as the property information form, fixtures & fittings list, and title deeds, sending it to the BS . The BS will review the draft contracts, initiate local authority, drainage, and environmental searches to assess risks associated with the property. These checks highlight any planning restrictions, rights of way, flood risks, or legal encumbrances that may impact the transaction.
Common Delays: Administrative backlogs can delay local authority and environmental searches. Management packs will need to be requested for leasehold homes and properties that are on managed estates. Leasehold transactions often take longer due to slow responses from freeholders, managing agents and any other third parties involved.

Exchange of Contracts - It's Official!
Once BS and SS have completed their legal requirements, including the solicitors copy of the mortgage offer, they will review their file, and finalise contracts. When in receipt of the signed contracts, the solicitors can start to discuss exchange and the agents can help in regards to setting a completion date (moving day). At this stage, B pays a deposit typically 10% of the purchase price (this can be passed up the chain, and varying deposit amounts can be agreed). Once the completion date is formally agreed and the L confirms funds will be available for completion, exchange can happen and the sale becomes legally binding. The B and S can now pack final items and book a removal company.
Common Delays: Chain delays can impact all linked property transactions. The entire process can be stalled if a buyer or seller is unprepared or has a change of heart. Your Sales Progressor will monitor progress to keep things moving.

Completion Day - Keys Released!
On the day of completion (moving day), the BS transfers the remaining balance to the SS finalising the sale. Once the funds are received, your estate agent releases the keys to the new homeowner, marking the successful conclusion of the sale.
Common Delays: Banking delays or last-minute mortgage fund transfers can postpone completion. If unexpected issues arise, move-in dates may be affected - thankfully many removal companies offer short-term storage solutions.

Mortgage & Survey Checks
L arranges a property valuation to confirm the property's worth for mortgage purposes. This could be a desktop or physical valuation survey. In isolated cases, B may choose to commission additional surveys – typically only for older properties or where specific concerns exist, such as damp or structural issues. Once all requirements are met, L will issue the mortgage offer, which can take anywhere from 24 hours to six weeks in extreme cases.
Common Delays: Structural issues may require further inspections or price renegotiations. If an EWS1 certificate is needed for cladding or balconies, delays can occur if the building's management company has not arranged an assessment. On occasion lenders may request additional buyer information, delaying the mortgage offer.

Clarifications & Contracts
Once the draft contract papers are reviewed, ensuring all terms are agreed upon, BS will raise their legal enquiries (questions) with the SS B and S must work with their solicitors to resolve any outstanding legal or financial concerns before proceeding forward with the exchange.
Common Delays: At this stage, delays can be caused by slow solicitor responses, pending mortgage offers, management/leasehold company delays and outstanding information from third parties ie, the local council or Land Registry.
