{ Three common legal issues all small businesses should address } Chosing the Right Business Structure As her business grew, Melissa hired an attorney and accountant to organize and legalize her business structure. Learning that the legal entity under which the business operated affected how she paid taxes and her personal liability helped her make the decision to incorporate her business. “There are a number of Minnesota business entities,” says Hilary StonelakeCurtis, business law attorney at Dunlap & Seeger in Rochester. “The most common include a sole proprietorship, partnership, corporation and limited liability company. All are governed by Minnesota law and have different organizational requirements and tax implications.”

Sole Proprietorship Owned by one person, this entity is unincorporated and does not separate the business from the individual for tax or state legal purposes.
“When starting my business, I basically walked into our bank and asked for a start-up loan,” says Melissa Shea, owner and CEO of Shea Designs, Inc., a graphic design company in Viola, Minnesota, which creates logos, signs and banners. “Little did I know I needed a business plan and the appropriate pieces in place to get approved for a loan.” Luckily, Melissa’s business never suffered for it, but that isn’t always the case. Certain legal situations, left unaddressed, can get companies into significant trouble quickly— from unexpected liability to employment lawsuits. Here are three common legal issues every new owner should examine before taking the plunge.”
Pros May be less expensive and complicated to set up, owner retains total control of the business and receives all profits. Cons Owner bears personal responsibility for all business debts, taxes and liabilities.
General Partnership A partnership is an unincorporated entity created when two or more people carry on an activity as co-owners for profit (whether they intended to form a partnership or not). Pros and cons are generally the same as a sole proprietorship.
Corporation Minnesota corporations can be for profit, nonprofit, or a cooperative and are formed by filing Articles of Incorporation with the Minnesota Secretary of State. Corporations may elect to be taxed as a C-corp. or an S-corp.:

C-Corporation The company pays tax on its profits, but the shareholders do not until a dividend is distributed. Pros Shareholders generally not personally responsible for company debts or liabilities; company can raise money by issuing stock to new investors. S-Corporation Business profits are not taxed at the entity level so profits and losses may pass through to shareholders on their personal income tax return. Pros Shareholders generally not personally responsible for company debts or liability; no double taxation. Cons Number of shareholders is limited, must be a domestic corporation, and can have only one class of stock.
Limited Liability Corporation (LLC) An LLC is formed by filing Articles of Organization with the Minnesota Secretary of State and can include one owner (known as a member) or multiple ones. Pros Ease of set up; generally shields the business owners’ personal assets from company debts and liabilities; taxation flexibility. Current: Minnesota law regulating LLCs recently underwent significant revisions, so consult an attorney for further details. In choosing the best entity for your business, consider how you distribute profits and losses, the complexity and management of your organization, insurance needs, investment goals, and your personal financial situation.
Adhere to Employment Regulations Because most businesses need to hire workers, it is crucial to have a firm understanding of employment law. Here are some important things to know:

• Failing to properly classify your workers as employees (vs. contractors) can be incredibly costly. “Follow the multi-part tests laid out by the IRS to determine if the individual is an employee or independent contractor,” advises Trisha White, Certified Public Accountant and Senior Manager at Smith Schafer & Associates. “If an individual is inappropriately classified as an independent contractor—and later reclassified as an employee by the IRS—the business owner must remit the Social Security and Medicare taxes plus penalties and interest on the wages paid.”

• Know the standard for exempt and non-exempt workers under the federal Fair Labor Standards Act, which governs when overtime must be paid. • Collect and remit all required payroll taxes to government agencies. “The penalties for late payment of taxes and late filing of payroll-related returns are the highest in the payroll area,” says White. “So businesses need to work with an accountant or third party payroll processor they trust. In most cases, the owners are personally liable for unpaid tax payments, regardless of who is responsible within the organization.” • Have written policies to guide workers’ conduct. “Well-drafted documents governing the employment relationship are essential,” says Stonelake-Curtis. “An employment handbook may set forth policies relating to vacations, sick leave, and discipline. Other employment documents may include non-competition and nonsolicitation agreements which protect the information disclosed during employment.”
Protect Your Intellectual Property “Intellectual property (IP) relates to the legal ownership of copyrights, trademarks, patents, industrial design rights and trade secrets,” says Stonelake-Curtis. Complex state and federal law govern IP, so contact an attorney to determine what IP your company may have, how best to protect it, and how to avoid violating anyone else’s. Trademark concerns the names, symbols and words created by your company; trademarking them gives your organization the exclusive right to use them. Patents keep others from exploiting your inventions for a 20-year period after the filing date of a patent application. Copyrights govern the use of an expression or original piece of work such as a book, photograph or musical recording.

Relaying spoken messages more effectively

eginning with our first utterance, we’ve been communicating. Thankfully, our ability to convey a message has grown significantly since “mama.” Now, are we as effective and confident as possible or is there room for improvement? We turn to area business women and educators who have been honing this talent for years.

When that happens, remember to fail forward. “Learn from past mis-communications,” advises Regina Seabrook. “Be willing to accept feedback about what went wrong. It takes great courage, but sometimes we have to get over our fears and get over ourselves. Otherwise, we keep perpetuating patterns.”
To improve your communication confidence, look for opportunities to communicate with family, friends or professionals in either organic, social settings or more formal gatherings. Get involved in the community to meet people who are different from you and have varying communication styles. If social communication is out of your comfort zone, set goals and take steps towards becoming more confident. Meet with a personal coach or mentor to help you identify strategies to help you improve your communication skills and who will hold you accountable. The Rochester Area Chamber of Commerce Women in Leadership and Development (WILD) program includes opportunities for professional women to meet and learn professional development skills including confident communication. In 2016, the Rochester Area Chamber of Commerce WILD will launch a mentorship program for women members to develop their own self-improvement plans.

Start with Self-Awareness “All our comments come from a bias of personality, lived experiences and socialization, so communicating with one another is a process,” says Regina Seabrook, Rochester Public Schools SAFE Program Coordinator/ Community Partnerships Liaison. “It starts with self-knowledge. You have to know who you are and how you think about things.” She suggests asking yourself: What is my approach—am I direct or indirect, expressive or subtle? What is the point of my communication? Am I clear? Do I want feedback? How am I being received? Not sure what kind of communicator you are? “Do some inventory,” Seabrook recommends. “Go
Consider Your Audience Determining what kind of speaker you are is only half of the equation. Understanding how others communicate is also critical. “Expecting everyone to communicate in one universal style is unrealistic and short-sighted,” says Julie Brock, Workforce Development and Education Director, Rochester Area Chamber of Commerce. “Give your audience time to think about your message and ask questions. Consider their perspectives, and be open to follow-up conversations to address ideas or concerns that arise later.” “We all have something to contribute to conversations; being open to learning and hearing what others have to say can make us all better,” says Melissa Brinkman, CEO of Custom Alarm of Rochester. “I am a big note taker, so I jot down ideas from others. Whether I incorporate those at that time or save for later, I feel it is respectful to show consideration for others’ opinions.”

• Practice intentional listening. When we focus on those with whom we are communicating, we don’t have brain space to listen to our inner monologue.
• Be nimble. If you are paying attention and listening, you’ll know when you need to change direction and respond to the truth in the room.
• Defer judgment. Pause and accept the potential of all ideas and points of view before judging or critiquing.
• Get comfortable being uncomfortable. Effective communication sometimes involves direct, honest and difficult information which can be distressing. With practice, you will get more comfortable being uncomfortable.
• Be authentic. Know, feel, practice and share your authentic story/self. • Make declarations. Declare your point of view clearly, succinctly and specifically. • Jump in. Go for it; be brave and bold; gravitate towards action not analysis paralysis.
