Terms and Conditions of Sale Outils de Communication
These terms and conditions apply to the sale of advertising space in products related to the Paris Salon du Livre (catalogue, programmes, e-letters, etc.) and on the show’s website at www.salondulivreparis.com. Related products and the Paris Salon du Livre website are hereinafter referred to as ‘Promotional Tools’. Any request for advertising in the Paris Salon du Livre Promotional Tools shall be deemed firm and irrevocable by the advertiser as soon as the order has been registered by Reed Expositions France. Advertising requests made by an authorised representative jointly bind the representative and the advertiser, particularly with regard to full payment of the advertisement in question. The authorised representative must be acting under the instructions of the advertiser who must specify the scope and duration of the authorised representative’s mandate. In the event of conflict between these terms and conditions of sale and an advertiser’s terms and conditions of purchase, it is hereby agreed that these terms and conditions of sale shall prevail. Advertisers agree to provide the necessary documents or offset film for printing and/or online posting of their marketing message for the dates scheduled. Any technical expenses shall be borne by the advertiser. Advertisers must comply with the requirements of Reed Expositions France as specified in its sales material regarding the technical elements to be supplied (e.g. banner ad format). In the event that the advertisement is being produced by the Paris Salon du Livre promotions department, a proof may be submitted to the advertiser who must advise any changes by return. Failure to return the proof within this turnaround time implies tacit acceptance thereof. In the event of non-compliance with the deadlines for submitting technical elements, an advertisement featuring the advertiser’s company name and address shall be produced at the advertiser’s expense. Turnaround time for online posting is three business days from receipt of technical elements. In the event an order is cancelled for any reason whatsoever, Reed Expositions France shall retain the 50% deposit. Reed Expositions France shall not be liable for any technical elements that advertisers or their authorised representatives fail to recuperate within three months of the last insertion. Registration by Reed Expositions France of an insertion request only grants advertisers the right to use the space reserved for them. Placement, formats, methods of display of insertions offered and rates thereof are detailed in the attached order form. The rates do not include technical expenses such as potential design or production fees for the
insertions. Excluding placements specified in the published rates, no position may be guaranteed, irrespective of the advertiser’s stipulations on the order form. The text and graphics of an advertisement, particularly brand and corporate names, shall be published under the sole responsibility of the advertiser. In particular, any reproduction rights regarding photographic material shall be the responsibility of the advertiser. The advertiser releases Reed Expositions France, the publisher, printer or a third party from any civil or criminal liability they may incur as a result of advertisements they have published at the request of the advertiser. The advertiser guarantees them against any third party claims in respect of the content of these advertisements. The advertiser thus agrees to pay for the defence of Reed Expositions France, the publisher, printer or any third party should they be the subject of an action or claim relating to the content, data, information, message, etc of the advertisements, and to bear the cost of compensation due for any loss or damage sustained. The liability of Reed Expositions France shall not exceed a total amount equal to two-twelfths of the total annual amount paid for the service, excluding any extension or renewal period. Any error made by Reed Expositions France, the publisher, printer or a third party in an advertisement shall not result in its cancellation. The correction shall be made in the subsequent catalogue or promotional product. No claim shall be accepted unless submitted in writing within eight days of the insertion or online posting date. No delay, suspension or cancellation in respect of the distribution of an advertisement due in particular to technical failures inherent in the Internet network and external to Reed Expositions France and beyond its control shall be grounds for the advertiser or his or her authorised representative to refuse payment, even partial, nor shall it grant the advertiser or his or her authorised representative the right to a new insertion at the expense of Reed Exhibitions France or to any type of compensation whatsoever. Reed Expositions France shall not be held liable for any accidental or deliberate damage caused to the advertiser by third parties due to or by their connection to the Internet. The advertiser waives all claims against Reed Expositions France or a third party due to loss, destruction, damage or injury resulting from the interruption or disruption of business, caused directly or indirectly by, consisting of or arising from the failure of any computer, date processing equipment, multimedia microcircuit, operating system, microprocessor (computer chip), integrated circuit or similar component, or
any software, whether or not owned by Reed Exhibitions France. In accordance with French Data Protection Act No. 78-17 of 6 January 1978, advertisers have the right to view, modify, correct or delete their personal data. To exercise this right, advertisers should write to Reed Expositions France - Service Communication. In accordance with press and publication practices, Reed Expositions France has the right to refuse the insertion of any advertisement without the need to justify such refusal. Placements are made according to the dates booked by the advertisers. Invoices are raised in accordance with these booking dates and must be settled upon receipt. In the event that an order is placed through the intermediary of an agency authorised by the advertiser, the invoice will be sent to that agency with copy to the advertiser. Fifty per cent of the cost of the advertisement including VAT is payable at the time of the order with the balance due upon receipt of the invoice. Failure to pay by the due date shall result in the immediate payability of the entire outstanding amount plus an indemnity set, by way of a penalty clause, at 10% of the amounts past due and unpaid. Any delay in payment shall result in the additional application of a late payment penalty at a rate equal to one and a half times the prevailing rate of interest. Collection fees shall be borne by the debtor. In case of dispute, the Commercial Court of Nanterre shall have sole jurisdiction. Any advertising request implies acceptance of the above terms and conditions.
