Following the Merger, St. Albans will cease to exist and the subsidiaries of St. Albans will be wholly-owned subsidiaries of DFA. The Merger Agreement contains customary provisions regarding representations and warranties, indemnification (via pro rata credits or debits to the non-dissenting members and former members of St. Albans), transitory governance-related matters concerning the surviving entity, tax matters, employee and benefit matters,

publicity, the requisite approval of the St. Albans members, delivery of the necessary consents, waivers and approvals, further assurances and other matters.
