The firm will develop a list of target investors, lenders, placement agents and operating partner or partners for the individual elements of the project using its proprietary global network of relationships globally to be approved by the client, including: a. Funds of funds b. Family offices c. Pension funds d. Sustainability funds e. Private-equity funds f. Large strategic investors g. Public institutions h. Private investors i. Alternative lenders
Approach to Investors
The firm will issue the short version of the deal teaser to the investors approved by the client. If investors show interest in proceeding further, they will be required to sign an NDA, which will give them access to the project data-room. The firm will support the client in the presentation of the investment case, based on an information memorandum and financial model. The firm will support the client in the negotiation with investors leading to the issue of a letter of intent (“LOI”) or term sheet.
Negotiation with Investors
The firm will support the client in the selection of investors for negotiation (exclusive or non-exclusive), based on criteria such as investment amount, valuation and strategic value added by each investor. Support the due-diligence process executed by each investor. Support the negotiation process. Prepare and review the transaction documents, including term sheets, contracts, and business plans. Support the deal closing procedures.
