Are HOA Board Term Limits Allowed? By Kelly G. Richardson, Esq.

Mr. Richardson: I appreciate your column in the [paper]. Many of your topics are extremely helpful. According to our election rules and bylaws, no director shall serve more than two consecutive terms. The president now claims that SB323 has done away with term limits and she can run again and continue to serve on the Board for a third consecutive term. She also claims our attorney said there are no longer term limits, however, no board member has been allowed to see that correspondence. Please, would you help to clarify this? I’m hoping you can provide some direction. — L.K. Dear Kelly: First I’d like to thank you for all the great articles I read in the [paper]. Our HOA does not have term limits for board members. There are plenty of us that would like to have term limits and I’m shocked that when the HOA was created that this was excluded. — Thanks, A.T. Dear L.K. and A.T.: Many HOAs find term limits useful to ensure a healthy turnover of the board and have bylaws which limit consecutive terms of service. On the other hand, HOAs having difficulty in filling their board seats may find term limits to be undesirable. The key is for each association to adopt a system which works for its community. However, a change in the law this year may take that option away from California common interest developments. The new law now in force from last year’s SB323 appears to have eliminated term limits from HOAs in California. Civil Code Section 5105(b) lists one mandatory disqualification for board candidacy

— non-membership — and subpart (c) of the statute lists four optional disqualifications, which an association can adopt in its election rules or bylaws (assessment delinquency, co-ownership with a current director, not a member for at least one year, and felony conviction which would affect HOA’s dishonesty insurance). The unanswered question is — are these the only qualifications allowed, or are these five legislatively approved but there could be other disqualifications adopted by the HOA? At this point, there is no ironclad answer, but the conservative consensus among the legal community is that the list of these five disqualifications is exclusive. If the list is exclusive, then term limits would be eliminated under the current statute. The term limit is itself a disqualification from candidacy, and if no other disqualifications are allowed, then term limits are gone in California HOAs. At this point, it does not appear worth the effort to try to adopt term limits in bylaws or election rules, because it is possible a court would find that a term limit is outside the approved five disqualifications. This is one of the many unintended negative consequences of SB323 for California HOAs. Hopefully the Legislature, whose members all work under term limits, will move to correct this problem. The author of last year’s SB323, Senator Wieckowski, has introduced Senate Bill 969, which proposes to add term limits to the list of authorized disqualifications. How to Tell a Story with Trays

Trays not only make everything that sits upon them feel special, they are also attractive workhorses, beautifully corralling all our stuff. By Mary Carol Garrity At its heart, good design is all about telling our stories. My favorite spaces are those that wrap me up in the world of the people who live there. The furniture and accents we select for our homes work together to give glimpses of who we are and what we hold dear. Trays are the ultimate tools for telling your stories in your home. I view trays filled with tableaux as artwork, simple stages on which the one-act plays of our lives come alive. You will find them in just about every room of my cottage, holding things that are precious, like family heirlooms, and everyday, like our TV remote and my readers. I was working with a customer, helping her make her home a better reflection of her style and personality. On our checklist was styling the open hutch in her dining room and creating a display on her living room coffee table. She had lovely accents, but what she was missing was a good selection of trays. We fixed that! To make her hutch less staged or fussy feeling, we used trays to help it tell a series of interesting stories. For example, we placed a tray on a shelf and filled it with bottles of after-dinner drinks and glasses. It made her hutch not only functional, but also visually appealing. I used a tray in a similar way to house tea cups in the bookcases that line my dining room walls. Since our cottage is so small, we have to use just about every inch when we entertain. Trays are an essential when we take the party to the living room, den or outside. I like to keep trays on my end tables, ready to fill with drinks or snacks when friends drop by. To make your drinks service more appealing, poke in an accent. Trays not only make everything that sits upon them feel special, they are also attractive workhorses, beautifully corralling all our stuff. For example, in my bathroom, I have a round silver tray on my vanity that holds a glass compote filled with my jewelry and a mug chockfull of makeup brushes. I filled in the empty spaces with little treasures that make me smile, like petite framed photos of my family. Take away the tray, and you’ve got a cluttered mess. Add the tray, and it looks like artwork. I like to use trays in my kitchen to pull together things like Dan’s cooking utensils, vinegars and oils; the makings for my morning cup of coffee; or dishes and silverware ready to put on the table for dinner. Place one on your office desk

to hold pens, paper clips and papers. In your family room, fill a tray with your remote controls, magazines and books. It’s a great place to put your reading glasses so you don’t lose them. Trays also make fabulous artwork. In bookcases, you can tilt a tray on its side and use it as a backdrop to a display, giving the space added depth. Materials Throws and blankets come in all different types of materials, and some are more common than others. One of the most popular materials right now is faux fur. Faux fur is considered to be luxurious and elegant and can easily translate to a lot of different rooms in the home. Faux fur also comes in different colors and textures from smooth to shaggy. As an alternative, wool still remains a popular choice in throws. Thicker wools tend to maintain shape and provide warmth. Another material often used is cotton. Although not as warm as wool, cotton is a popular throw choice, especially in a children’s room. Looking for other material choices? Why not consider cashmere or mohair? Throws made of this material tend to be a higher price point but will likely be beautiful additions to your home. Different Styles Of Throws These days, knitting remains more popular than ever. And as such, a number of different styles of knits have become in vogue. One of the most popular styles of throws is known as a chunky knit. These types of throws tend to be plush, oversized and incredibly cozy. For those looking to incorporate the Danish sense of calm known as hygge, this is a certain way to help achieve it. How To Decide Color Keep in mind that a throw is an accessory that can help enhance nearly any decor. A throw can introduce a new color to a space, blend with existing colors or act as an accent. For those looking to maintain a more neutral palette, taupe, black and charcoal gray are some great options. Prefer to incorporate a pop of color? Why not incorporate warm colors into your space such as chocolate brown, deep orange, mustard yellow or a rich red? Suggested Rooms In The Home The beauty of throws is that they can be can be used anywhere. Social areas, such as living rooms and family rooms, are typically great choices, as these are areas where people typically relax or curl up by a fire or television viewing. Bedrooms are also a perfect location, as they can serve as additional bedding at night. Another location a throw may provide a welcomed decor element and comfort include a home office, where there might be a reading chair. Styling Tips When it comes to throws, it’s best to do what feels and looks most comfortable to you. At the foot of a bed, a folded rectangle can provide a clean, crisp look, while on sofas and across beds, throws simply tossed into place may work best.
