Understanding the Operating Expenses in Your Office Lease A few weeks ago, I wrote about the different types of commercial leases that are out there. It is important to understand them so that you know what other expenses you are on the hook for besides rent. These expenses are called Operating Expenses and a Landlord will do their best to budget for these expenses each year. For some expenses like taxes and insurance, it is not too difficult to determine the budget for those. However, there is another portion of Operating Expenses referred to as Common Area Maintenance (CAM) expenses. This expense can be a little more difficult to budget, as it will include repairs, maintenance and the operation of any common or shared areas in your building. This can include shared lobbies, hallways, bathrooms, elevators, parking areas and landscaping. Since these types of expenses can vary from year to year, usually a reconciliation happens at the end of each year where a Tenant will either receive a bill for any overages in these expenses or a credit towards the next year if the expenses were less than budget. It is vital for a Tenant to review these expenses before they sign a lease and to make sure they understand each expense. Often times a Tenant can negotiate on these items depending on the expense and the situation. Property owners will want to keep the expenses open ended but a Tenant who studies their lease and collaborates with their agent will be able to limit some of these expenses. Additionally, a Tenant should make sure they understand what areas of the building are included in their lease as “common areas” and they should eliminate any that are not truly available to them or their clients. This could include areas that would normally be considered common but become private due to another Tenant’s exclusive use. A Tenant also has the right to demand an audit of the Operating Expenses each year to make sure the Landlord is not trying to pass through expenses incorrectly. It is imperative that a Tenant reviews that reconciliation each year to make sure it is accurate. Even if a Tenant’s lease is Full-Service Gross (FSG) or Modified Gross, it is important to review the lease language. The Lease may allow a Landlord to charge a Tenant for increases in the Operating Expenses after the first year. The Landlord would use the first year’s expenses as a Base Level and then each year after that the Tenant would be responsible for the difference. Having a trained and experienced commercial real estate agent can make all the difference when negotiating your lease and assisting you throughout the lease term to make sure your expenses are in line with the true costs of the building. You will have a trusted advisor who will be able to help you navigate your lease so you can focus on making your business a success.

Kelly: Who has oversight of HOAs in California if someone wants to file a complaint against their HOA or management company? Thanks, — J.H. Dear Mr. Richardson: I am amazed by the lack of training or basic knowledge that is required of HOA directors before they get elected. You would think just the basic understanding by directors of employee rights, relations and what creates a hostile work environment are to be expected. In one of your future columns could you include any Civil Codes, Davis-Stirling Act requirements related to employee rights and how a board should interact with employees? — G.H. Dear J.H. and G.H.: There is only one statewide mandatory qualification to serve as a director in one’s HOA — one must be a member. Someone can participate in making HOA Board decisions involving hundreds of thousands of dollars with no training or experience whatsoever. Also, there is no agency supervising compliance by HOAs or their directors with the Davis-Stirling Act. Certain law enforcement agencies enforce crimes or Fair Housing law violations, for example, but no state agency is charged with general oversight of HOA operations or governance. Some states have at least minimal requirements for board service. Florida since 2013 requires a director to certify within 90 days of starting board service that they have either completed an HOA certification course or have read the entire HOA governing documents. The Community Associations Institute (“CAI”) proposed a bill about 13 years ago to require just 3 hours of low cost HOA orientation for directors, but the bill was watered down during the legislative process so much that it ultimately was vetoed by then-Governor

Schwarzenegger. There has been no push since then for requiring a minimum level of education or training for HOA directors. There are many educational resources for HOA volunteer leaders. CAI in California has many topical seminars offered by its eight Chapters during the year, and a 3-hour Basic Board Education Course, which is presented periodically at a low cost. CAI’s headquarters has low-cost and free on-line courses and materials. The Executive Council of Homeowners (ECHO) also has educational offerings. California does not license HOA managers and no state agency monitors manager performance or imposes discipline. There are no minimum requirements to become a manager, but there are requirements to call oneself a “certified” manager. Three trade organizations educate and credential managers: CAI, California Association of Community Managers (CACM), and the Institute of Real Estate Management (IREM). A designation from one of these organizations does not guarantee competency or integrity but shows dedication by the individual toward their profession and should be considered by HOA boards to be essential. CAI, CACM, and IREM have disciplinary processes in response to ethics violations but do not monitor competency. Readers often ask me whether suing the HOA is advisable to force it back on track. The answer is no. By suing the HOA board one often triggers the HOA’s directors and officers insurance, so the HOA’s attorney fees are paid by insurance, while you pay your attorney out of pocket. The relational damage within a community from such a lawsuit can linger for years. Furthermore, even if you win, the same bad directors often remain in place afterward. Instead of filling attorney pockets, elect directors committed to governing the HOA the right way. — Sincerely, Kelly

Your Handyman By Mark Baird
Door & Drywall Repair Question: I have a small duplex in Goleta that I rely on for rental income and the last renter was a college student who made a lot of noise and left some damage that needs to be repaired. There is a small hole in the bedroom door about the size of a pencil and several holes in the drywall that are about the size of his fist! Do I need to go out and buy a new door and how can I get the holes in the wall fixed? Your HandYman: The damage inflicted on your rental property is unfortunately common and is usually the result of the mixing of alcohol with high levels of testosterone, and in my opinion is essentially just vandalism. We receive regular calls to repair door and wall damage in Isla Vista during moving weeks and to repair the same damage but from domestic violence incidents in every zip code in town. A small puncture type hole in a hollow core bedroom or bathroom door can be filled with a presto patch type of product, sanded smooth and then the entire side of the door repainted.
A hole in a door that is larger than a dime or so really can not be repaired so that the patch is not noticeable and then a new door needs to be hung. A hole in the drywall that is less than about 1” in diameter can usually be covered with mesh drywall tape, textured with joint compound, sanded and painted. A hole larger than 1” in diameter requires that the hole be neatly opened into a rectangle using a drywall saw, wood backer boards fastened to the inside edges with drywall screws, a new piece of drywall then securely screwed to the backer boards, the seams taped, the whole patch textured with joint compound, sanded and then painted to match. The sign of a good drywall patch is that it is not noticeable when completed which requires that the drywall texture be matched expertly along with the color and sheen of the paint. Drywall patching is usually best left to an experienced contractor otherwise you are permanently left with an unsightly wall. Hopefully, you held a big security deposit from this inconsiderate person that will cover your repair expenses.
Fountain Dilemma Question: Years ago, we installed a small fountain in our backyard so we could enjoy the sound of water while entertaining friends on our patio and also as a place for songbirds to bathe and drink. Lately our neighborhood has been overrun with crows that have taken over the fountain and dump all sorts of crud into the water that has just ruined our third pump. Any ideas on how we can take back our fountain from these lively marauders? Your HandYman: There is a giant colony of crows that seem to roost in the eucalyptus trees just south of Goleta Beach on The Gas Company property who can be entertaining or mostly annoying with all the commotion and noise they cause as they move around the
Goleta Valley during the day. It has been my observation that the crows seem to only be interested in a fountain or pond with water that is deep enough for them to submerge themselves into or to dunk whatever it is that they have planned for their next meal. It is this dunking activity that will quickly fill your fountain with dirt and plant debris that can clog or ruin most smaller pumps. Try filling in the fountain basins with a decorative rock like Mexican beach stones that can be purchased by the bag at most garden centers, and this will put an end to the crow’s dunking actions. You will still be able to enjoy the sounds of the water splashing onto the rocks, the smaller songbirds and humming birds will return to drink and the crows will hopefully move on to deeper waters.

Black and white are not only versatile colors, but combined can create a luxurious yet neutral color palette. Considered classic and timeless, a black-and-white color combination can allow the freedom to change looks simply through the use of accent colors. Introducing black and white into an existing room or infusing black and white into a previously design space can be achieved in many ways. Here are some top tips. 1. Consider black and or white for some of your primary or main furniture selections such as sofas, beds and side tables. Black can especially bring a luxurious feel. 2. Add black and/or white through the use of artwork. 3. Don’t be afraid to paint an accent wall using colors such as black or dark charcoal. These colors pair especially well with certain species of wood, such as ash or walnut. 4. Mix both black and white as well as black/white selections in the same space. This will help create a sense of cohesiveness.

Floors get more abuse than just about any other surface in the home — and that’s just from normal wear and tear! There are many additional things that can cause them to deteriorate prematurely. Prolong the life of your floors by avoiding these six common mistakes. WEARING HIGH HEELS Your high heels might be stylish, but they’re some of the worst offenders for ruining hardwood floors. The sharp point of the heel is known to dent wood — especially if it doesn’t have a rubber tip attached to the bottom. Instead of wearing them around the house, save your shoes for when you’re going out the door. If it’s too late and you’re already noticing damage, consult a professional about having your floors repaired.

NOT CLEANING REGULARLY No matter what kind of floor you have — wood, carpet or tile — be sure to clean it regularly. Grime, dirt and dust can be ground into your floor and cause damage over time. Not to mention, dirty floors are unsanitary and can reduce your indoor air quality. Be sure to mop hard surfaces regularly (without using too much water) and have a pro clean your carpet annually. DAMAGE FROM SPILLS If you’re known to spill frequently, be sure to clean things up right away. Prolonged exposure to something as harmless as water can cause warped wood, mildew and rot. And acidic liquids like tomato juice can stain floors and even harm the finish! Some messes, like pet urine, will leave a lingering odor if not cleaned immediately.
LONG PET NAILS As much as you love your furry friends, their nails could be causing a big issue for your flooring. Long pet nails and claws are known to scratch up floors and can wreck the finish over time. Spend a bit here and there to have their nails trimmed and avoid a large refinishing project in the future. Plus, your dogs and cats will thank you for the pedicures — nails that are too long are bad for their paws. MAKING THE WRONG FURNITURE DECISIONS Your furniture is having a bigger impact on your flooring than you think! Be sure to stick pads on the bottom of your chair, table and couch legs to protect from scratches. And if you have an office chair with wheels, keep it off the hardwood flooring — place a mat underneath it instead. Also, consider rotating the location of your furniture now and then. This should change the location of heavily trafficked areas, and slow normal wear and tear.

How to make a creative container garden for your Home By Lynn Underwood Your empty pots are just waiting to be filled with spirit-lifting flowers and foliage. But with thousands of varieties of plants, where do you start? Houseplants have migrated outdoors in this collection of creative container garden recipes by designers Sarah Davis of Sunnyside Gardens, Minneapolis, and Kelsey Ness of Lynde Greenhouse & Nursery, Maple Grove, Minn. “People are becoming more comfortable grabbing houseplants for container gardens,” said Davis. “They bring diversity and color, especially in shady spots.” Dramatic big-leafed beauties — from the flamboyant Florida Red cordyline to the junglelike Alocasia Polly — are the stars of the show, with splashy foliage rather than flowers. When designing a container garden, an upright houseplant can fill the role of the tall, bold “thriller.” Then surround the centerpiece plant with mounding “fillers.” Lastly, tuck in “spillers,” which are varieties that cascade and trail over the edge of the pot. The trick is repeating, complementing and contrasting plant colors, textures and shapes for a visually captivating composition. And you don’t need a cart filled with flats to do it. “You can create a beautiful pot with just three simple ingredients,” said Ness. Plus containers are a lot easier to care for than an expansive in-ground garden.
