Avoid Overuse of Closed Sessions Part 4 By Kelly G. Richardson, Esq. CCAL [After three previous articles addressing reader questions on this subject, this concludes the series] Perhaps the most frequently abused HOA governance tool is the closed session. Boards justify overuse of closed sessions for various reasons, such as that their open meetings are too raucous and closed sessions are more productive. However, the Open Meeting Act (part of the Davis-Stirling Act) requires all board deliberations to be in open meetings with members able to listen except for the short list of topics listed in Civil Code Section 4935. Closed session is intended for certain subjects in which harm could be inflicted upon the HOA or others if they were discussed in front of the community. The topics which may be addressed in closed session are: 1. Litigation. This also includes the risk or threat of litigation, and normally is why attorney discussions in closed meetings are considered permitted. Closed discussions are essential to protect attorneyclient privilege. 2. Formation of contracts. This is the most misinterpreted item regarding closed sessions. This does not mean ANYTHING to do with contracts but regards their FORMATION. Vendor selection is not formation of contract. Formation of contract is the negotiation strategy (counteroffer) and attorney advice regarding the contract’s legal terms, which all obviously need to be kept confidential and therefore discussed in closed session. 3. Hearings regarding member discipline (Civil Code Section 4935(a)) or regarding requiring a member to reimburse the HOA for common area damage (Civil Code Section 5855(b)). These statutes allow a member to request closed session for such hearings, but boards should routinely hold such hearings in closed sessions without waiting for a request. Closed sessions avoid embarrassing the member involved. 4. Personnel matters. Managers are not “personnel” unless the manager

receives their paycheck directly from the HOA. Vendors are not “personnel,” nor are directors or committee members. If someone is paid directly by the association as an employee, they are “personnel,” and discussions regarding them must be confidential to protect their privacy. 5. Meeting with members regarding their proposed delinquent assessment repayment. Closed discussions protect the member from the revelation of personally embarrassing information. 6. Votes to start foreclosure on a delinquent owner’s property. It is not clear to me why the statute requires a lien vote in open session but the foreclosure vote (the next step) in closed session. Nevertheless, Civil Code 4935(d) requires foreclosure votes in closed session and then (as all action items) noted generally in the minutes of the NEXT open session meeting. One other topic may be best handled in closed session, even though the Open Meeting Act does not specifically authorize it. California Fair Housing Regulation 12176(b) requires that matters regarding resident requests for accommodation of a disability to be kept confidential. If the HOA obeys the Open Meeting Act, the board will violate this regulation (and could be sued or subject to DFEH discipline). Boards may wish to consult their legal counsel regarding how to address this conflict. I have alerted Kevin Kish, Director of California’s Department of Fair Employment and Housing, and hope this regulation can be adjusted soon to resolve the current conflict with board responsibilities under the Open Meeting Act. Avoid over use of the closed session function, which should be used sparingly, because misuse will create distrust in the board and ultimately harm community cohesion.

A Step in the Right Direction for Housing Supply There is a bill working its way through the legislative process in California that could make it easier to add new housing units to our supply desperate market. SB 10 is an effort to allow cities to rezone transit accessible parcels for small housing projects (up to 10 units) without the expensive and time-consuming studies required under the California Environmental Quality Act (CEQA) if the property is an area that has good access to public transportation. Often builders are stymied for years through frivolous CEQA challenges from groups looking to restrict new housing. These types of NIMBY efforts are usually couched in terms of protecting environmentally sensitive issues but no proof is required in order to file a CEQA challenge and most challenges end up being dismissed once they finally work their way through the system. In the meantime, residents continue to suffer from a lack of housing supply. This bill would not mandate that cities have to approve these projects. It gives the power to the cities to work with applicants and to decide if the project fits the profile to be exempted from the CEQA required studies. There are already a host of exemptions for pro-environmental activities. SB 10 looks to continue this by focusing on housing in areas that are already close to transit and jobs. This would have the effect of reducing the impact on California’s environment by reducing the need for cars and supporting public transportation. Critics see this as an effort to do remove environmental safety measures that protect the residents. Given that, these projects still have to seek local governmental approval this argument appears thin that housing would be built in unsafe areas of California. These are going to be areas that already have density of housing and the demand continues to be strong for more housing due to the proximity to jobs. In order to address the issues of supply and affordability we need to make it easier for cities and builders to build. We have to remove roadblocks that can drag out the approval of a project for years and scare off developers looking to build. Additionally, we have to look at strengthening the supply of housing where it is needed most. That is closer to where the jobs are and closer to where there is a good source of public transportation. If California is going to be able to fight back against the changing climate that brings drought and massive wildfires we will have to look to make it easier to add density where it makes the most sense. We cannot keep pushing our housing further and further away. That is not safe for Californians or their environment.

Question: Dear Ed: I would like to have my shower water filtered to be a little gentler on my hair. Since I live in a condo, larger water filter systems may not be an option. Are small filters available that can be installed right in my shower stall? — Beth Answer: You can find small shower filter units that connect directly to an existing hand shower setup. They usually hook up between the hand shower diverter valve and the hand shower hose connection. Having the filter on the hand shower only is a good idea. Now the standard head coming out of the wall is used for washing and the hand shower is used for the final gentle rinse. This can cut down on filter cartridge changes. Also, since the cylinder-shaped filters are exposed, most have been designed with attractive styling in mind. Is it Worth the Cost to Hire a Professional Organizer?

A Big Hole in the Wall Question: After over 30 years of reliable service the valve on the shower in our Montecito home finally gave up the ghost and stopped working correctly. We now have a brand-new shiny shower valve installed by our plumber who left us a big gaping hole in the wall behind the shower above our beautiful marble countertop. Can just the hole in the drywall be patched or do we need to have the entire wall need redone? Your Handyman: Well, the bad news is that your wall needs to be repaired but the good news is that your plumber was able to open up a hole in the drywall and not in a tiled surface or in the exterior wall of the house. The mark of a professional drywall patch is that it can not be noticed at all after the patch is completed and the paint is dry. The first step is to clean up the edges of the hole so that they are all straight cut lines with no rough edges, and you are left with a rectangle with 90 degree corners. The next step is to take some scrap pieces of flat wood like plywood strips, place these boards behind the drywall halfway past each opening edge and then screw them into place with drywall screws going through the old drywall. This gives you a solid wood backer surface to screw the new piece of drywall into place allowing no movement that will create telltale cracks in the finished work. The next step is to fill the screw divots and the seams with drywall joint compound which is commonly referred to as drywall mud and wait for it all to dry. It has been my experience that drywall tape is not needed when the patch is blocked and screwed on all sides. Once this first step in the repair is completely dry, then the critical part of the repair takes place which is the matching of the texture on the patch to that of the surrounding walls. There are many different styles of drywall texturing and the key to making the patch disappear is to have a professional do the texture matching. An experienced drywall contractor has all sorts of tricks that he may use so that the final layer of mud that he applies to cover the new drywall blends in perfectly with the old wall. The last step is painting it to match and usually it is best to take a small piece of the old painted drywall that was removed by the plumber to a paint store to have it scanned and color matched. Often if the wall was painted more that a couple of years in the past, the original paint has been sitting in the can so long that it may no longer be a perfect match. An experienced person at a paint store will be able to match both the color and sheen so that it all blends together and the patch remains as only a memory. In some cases, the color can be difficult to match and it is best to repaint the entire wall.

HOW MUCH WILL IT COST AND IS IT WORTH IT? Like most home service providers, professional organizers base their fees on experience, location and the type of service requested. You can typically expect to pay by the hour, though many professionals will offer service packages for specified rooms and common situations like moving preparation. Question: We just had a new redwood fence built in our back yard to replace an older fence that was falling apart. Do the redwood fence boards need to be painted or stained to protect them from the weather? We are hoping that this fence will outlive us, and we want to know the best way to protect it. Your Handyman: Redwood fencing is by far the most common type of residential fencing in Southern California due to its appearance, durability, and affordability relative to other types of fencing. You can drive down almost any street in Santa Barbara and see numerous homes with fencing made from redwood fence boards often with the top corners lopped off in what is commonly called “dog eared”. The main reason wood fences fail is that they are built with wood posts that can be quickly compromised by termites or dry rot. Hopefully, your new fence is supported by steel posts which can safely be expected to outlive the fence owner. Redwood fence boards and redwood in general contain a natural substance call tannin that gives the redwood the ability to resist weathering and insects, and if the wood is left natural it will soon take on an attractive grayish brown color. Most redwood fences are left natural, but some are stained often with a red tinted penetrating stain or less commonly painted with a solid color paint. Staining or painting probably does add some minor durability to the wood but I suspect that it really is more an esthetic decision about how the fence looks. So, with all that being said, if you think that the appearance of the fence will be enhanced by staining, then you should do it.

Space is a challenge for many homeowners, and built-ins can be the ideal solution. Additionally, those who aren’t fans of off-the-shelf solutions may desire built-ins because of the customization and design freedom they can allow both homeowners and designers. Closets Closets are a popular location for builtins, especially drawers and shelves. Builtins allow for storage that will not infringe on what is often a limited space. Wall-towall closets allow for the most amount of

design capability and flexibility. Look to place your built-ins along perimeter walls, and consider a mix of shelves and drawers. Living spaces Living spaces that may or may not include other social areas such as family rooms and dining rooms also serve as great design opportunities for built-ins. For these areas be sure to think function first and define the needs of the space before beginning to construct your built-ins. Throws and blankets are not only aesthetically pleasing but this time of year, they’re functional as well. With the winter chill settling in, you may look to incorporate throws and blankets into the mix. Design Recipes has compiled a list of what to look for that promise to help keep you cozy!

MATERIALS

Throws and blankets come in all different types of materials, and some are more common than others. One of the most popular materials right now is faux fur. Faux fur is considered to be luxurious and elegant and can easily translate to a lot of different rooms in the home. Faux fur also comes in different colors and textures from smooth to shaggy. As an alternative, wool still remains a popular choice in throws. Thicker wools tend to maintain shape and provide warmth. Another material often used is cotton. Although not as warm as wool, cotton is a popular throw choice, especially in a children’s room. Looking for other material choices? Why not consider cashmere or mohair? Throws made of this material tend to be a higher price point but will likely be beautiful additions to your home.

vogue. One of the most popular styles of throws is known as a chunky knit. These types of throws tend to be plush, oversized and incredibly cozy. For those looking to incorporate the Danish sense of calm known as hygge, this is a certain way to help achieve it.

HOW TO DECIDE COLOR

Keep in mind that a throw is an accessory that can help enhance nearly any decor. A throw can introduce a new color to a space, blend with existing colors or act as an accent. For those looking to maintain a more neutral palette, taupe, black and charcoal gray are some great options. Prefer to incorporate a pop of color? Why not incorporate warm colors into your space such as chocolate brown, deep orange, mustard yellow or a rich red?

SUGGESTED ROOMS IN THE HOME

Colored quilts, especially those made out of cotton, can brighten up a children’s room.

The beauty of throws is that they can be can be used anywhere. Social areas, such as living rooms and family rooms, are typically great choices, as these are areas where people typically relax or curl up by a fire or television viewing. Bedrooms are also a perfect location, as they can serve as additional bedding at night. Another location a throw may provide a welcomed decor element and comfort include a home office, where there might be a reading chair.

STYLING TIPS

When it comes to throws, it’s best to do what feels and looks most comfortable to you. At the foot of a bed, a folded rectangle can provide a clean, crisp look, while on sofas and across beds, throws simply tossed into place may work best. Another option may be to drape a throw over the back of a sofa or chair. In general, there is no right or wrong way to display a throw.

MISTAKES TO AVOID

When it comes to throws and blankets, here is a short list of do’s and don’ts. DO: Experiment with different colors and textures. Consider color choices, either using a throw color that blends with your space or provides an accent. DON’T: Use too many different materials in one room, though it is perfectly acceptable and welcomed to use different styles of throws throughout the home. Forget function. Skimp on size. Throws are intended to be generous and cozy. It has been many years ago for most of us when we first saw Kong Junior coleuses in trials across the country. We liked what we saw but knew we had to get our hands on it to see what it could really become. Now we can all say it is truly a winner and worth of all those accolades. This is a coleus you can truly design around. Then I was partial to the Kong Junior Lime Vein which is a dark magenta with lime green variegation, and the Kong Junior Green Halo that is a combination of chartreuse with yellow

cream in the center. Now it would be hard for me to scratch any off the list. There are also Kong Junior Scarlet, Kong Junior Rose, and a mix. The leaves of the Kong Junior are about 30 percent smaller when compared to the original Kong series. This will make it so much easier for the grower to ship, for the garden center to display and for you to get home intact. Here in Columbus Ga., and as you walk into a store at a favorite shopping center you see Kong Junior Rose head high in

a glorious mixed container with Luscious Marmalade lantana and Supertunia Royal Velvet petunia for a dazzling look. This also tells you they are almost in full sun which is way more than we thought years ago. Even better there is not the first bloom forming on the coleus. In the shade garden, you will still have an incredibly beautiful coleus reaching about 2-feet in height with an outward spread to 3-feet. You could not ask for a better garden size. Since we grow coleus for its boldly colored foliage, there is no point in letting them use energy to develop flowers. Pinch these off when they form to help keep a bushier plant and those colorful leaves coming. One key to success with Kong Junior or any coleus is to add organic matter to your soil. In heavy clay soil, organic matter will improve drainage and aeration, and allow better root development. Liberal amounts of organic matter help sandy soils hold water and nutrients.

Organic matter, which improves soil and serves as a food source for soil fungi and bacteria, comes in the form of peat moss, compost, shredded bark, leaves and even shredded newspapers. If you have tight heavy clay, add enough to physically change the soil structure. Ideally, at least onethird of the final soil mix should be some type of organic material. To accomplish this, spread 2 to 4 inches of organic matter and the recommended rate of fertilizer over the garden surface and till to a depth of 6 to 10 inches. My favorite fertilizer for coleus is a 12-6-6. A pre-plant fertilizer followed by light monthly applications will keep the plants growing well. The Kong Junior coleus varieties allow you to create lush foliage partnerships in the tropical-style garden as understory plants to tall bananas, and gingers or with colorful impatiens that will look like the Balata Garden in Martinique.
