Proxies are still used in most HOAs and continue to contribute to confusion and controversy during HOA elections. A proxy is a document by which one association member authorizes another member to vote for them. Unless banned by governing documents, proxies are allowed in HOAs under Corporations Code 7613 and Civil Code 5130. However, there is no such thing as a “board proxy”. If a director is not participating in the meeting, they cannot have another director vote for them. There are three types of proxies- the directed proxy, the general proxy, and the quorum-only proxy. Directed proxies instruct the proxy holder how to vote, while a general proxy allows the proxy holder to vote as they see fit. A proxy for quorum-only purposes is self-explanatory, in that the member does not wish to vote or to give their vote to someone else but desires to help the association attain quorum. The legal requirements for a general proxy are very simple, and that is where the problems begin. Per Corporations Code Sections 178 and 7613, a proxy need only express that a member authorizes someone else to vote for them. Section 178 requires proxies be “signed” by the maker, although the definition of “signed” is much broader than simply a signature. By implication, the statute requires proxies to be dated. A proxy could be written on a scrap of paper. Some associations establish an “official” proxy form, but this often creates disputes since any member can submit their own proxy so long as it meets the minimal legal requirements. Directed proxies are quite difficult to properly prepare and so are rarely used. Under Civil Code 5130(c), directed proxies must have detachable sheets tell-
ing the proxyholder how to vote. The proxyholder keeps that sheet, and then casts a secret ballot. However, since the ballots are secret, there is no way to confirm that the proxyholder voted the ballot as instructed. Civil Code 5130(a)(1) adds another simple limitation - a proxy may only be given by a member to another member (not a relative or tenant, for example). Some special voting subjects, such as recall or ratifying contracts with a director, must be mentioned on the general proxy for it to be usable on those issues, per Corporations Code 7613(g). Proxies expire by the terms of the proxy unless they have no stated expiration date and then automatically expire in eleven months. A proxy cannot state an expiration date longer than three years. A member can revoke a proxy at any time by either casting a ballot before the proxy holder does, issuing a later dated proxy, or by writing a note of revocation. Proxies create many potential problems in the election process. There is no reliable way for Inspectors of Election to confirm the date or validity of a member’s signature. Some members play games with proxies, leaving dates blank, or collecting them under questionable circumstances. Proxy issues are one of the most common HOA election dispute issues. Proxies are unnecessary since members have at least 30 days to cast their ballots in an “absentee” fashion. There is no need to transfer one’s voting rights. Consider amending your association’s bylaws to only allow quorum-only proxies and ask your HOA attorney about this.

Questions My sister leases an apartment in an area hit by a natural disaster and was forced to evacuate. Now she cannot return to her apartment due to damaged roads and is temporarily renting elsewhere. Her landlord is unwilling to work with her and is demanding rent even though it is impossible to use the apartment. What can she do?

The law in most states provides that, at a minimum, when a property is damaged or destroyed by a disaster, the tenant can terminate the lease and find a new place to live. If the home is only partially damaged, but the rest is still habitable, the rent will be reduced. A lease can give tenants more rights than the statutory minimum, so every tenant should carefully review its terms. In your sister’s situation, the apartment is not damaged, just her ability to get back to it from the evacuation. I hope your sister purchased renters insurance and can make a claim. Renters insurance is usually reasonably priced and can make a big difference when a tenant finds themselves in an unexpected situation. Fires, break-ins, storms, and other calamities are rare but are easier to bounce back from if properly insured. I recommend that every tenant get renters insurance. She also should see if there is any assistance available from governmental programs, such as those FEMA offers, or charities providing disaster relief. While I can understand that her landlord might need the money to pay the mortgage on the home or other reasons, people should try their best to work with each other when a disaster hits. If the landlord attempts to evict your sister for non-payment, she should speak with an attorney or her local legal aid society. The law provides several possible defenses that might help her, depending on the specifics and where she lives. Gary M. Trick-or-Treating Candy Chutes Could Help Save Halloween

By Liam Ford If one thing deserves to go on during this freak show of a year, it’s Halloween. America’s civic, cultural and political life live in the spirit of the holiday. Halloween was born from remnants of a pagan feast that also is bound up with the celebration of one of the highest holy days
in the Christian calendar, All Saints Day. But All Hallows’ Eve has never been made an official holiday. Its traditions aren’t organized. It started out in the United States as a night for bonfires, tale telling and costume parties. It became a night for sometimes dangerous mischief. And after World War I, it turned into a night for children to beg door-to-door. Since March, I’ve been thinking about
Halloween and what the coronavirus pandemic might do to it. Haunted houses, the resorts of older teens enamored of frights but not willing to dress up in silly costumes, are out. Parties are out. Kids shouldn’t gather with their friends to form door-to-door mobs. And the isolation and the real-world horrors imposed by COVID-19 have had me flashing back to 1982. That year, the Chicago-area Tylenol murders, with bottles of painkillers tainted with cyanide, canceled trick-or-treating. Can kids trick-or-treat safely this year, I wondered? Then the Centers for Disease Control advised parents to “avoid traditional trick-or-treating.” Instead, the CDC advised people to leave small bags of treats outside your door. (How long would those last?) But Chicago Mayor Lori Lightfoot and city Health Commissioner Dr. Allison Arwady gave us some hope when they said they weren’t canceling Halloween. Then my wife saw something on Facebook. A chute, made of a PVC pipe, designed to deliver Snickers or Twix or Laffy Taffy to the hungry hordes, while keeping the young ghouls away from those handing out the treats. And I decided to build it. Orange would be best. And orange PVC pipe is used for sprinkler systems. But it commonly comes as a 1-inch-wide pipe, too small for even the funnest-sized candies. So, like a lot of people on YouTube and Facebook, I priced 10-foot-long, plain white, 3-inch PVC. They’re the most common and easily available tubes, and last weekend I was on the verge of spending about $15 at a local hardware store. I needed about an 8-foot piece to attach to the front porch railing of our Rogers Park house, long enough to launch candy from the top step and have it be easily caught by kids on the front walk. Luckily, I found enough scrap 2-inch PVC in the rafters of our garage.
I took it down, brought it to the front porch and it fit. (If you’re buying a piece and don’t have the equipment to safely cut it to size, most hardware stores will do it for you.) Cleaned off and hosed through, then disinfected and hosed again, it was ready for use. My wife got a few rolls of orange duct tape (we visit Clark-Devon Hardware regularly), and I ended up using just one full roll, for about $5, to wrap the tube. To keep the candy from shooting right out onto the sidewalk, I bought a 2-inch, 45-degree angle elbow for the bottom of the pipe. I was going to mount the tube to the top of the railing with metal straps, but the hardware store clerks told me zip ties (with a little more duct tape) would do the job just fine. Mounting complete, decorations came next. My 11-year-old daughter broke out some markers. I wrapped the chute with orange holiday lights and draped the top threequarters with a wispy black cloth. To keep the tube clean until Halloween, I attached round pieces of cardboard covered in tape at both ends. The chute does work. (Violating house rules, we broke into the stash of Halloween candy to test it.) Not only do the candy pieces come zooming out of the chute, they make a suitably didgeridoo-like sound on the way down. A repurposed plastic jack-o-lantern, with a hole cut in its mouth so it looks as if the pumpkin is spewing candy, completes the rig. Next, we’ll have to figure out how to mark off social distancing for the families we hope will give us a chance to use our newest, most 2020 of decorations. So, friends and fellow candy-lovers, don’t let the pandemic smash our Halloween spirit. We need it now more than ever. We’re a nation built on ingenuity. And duct tape.
