Voorwoord

Waarde lezer, Voor u ligt de eerste editie van de twaalfde jaargang van het FSR Forum. Deze editie biedt u de gelegenheid zich te verdiepen in de wondere wereld van Corporate Restructuring.

De artikelen in deze editie zijn geselecteerd om u een overzicht te geven van de verschillende activiteiten die onder corporate restructuring vallen. Ten eerste vragen wij ons af wat corporate restructuring eigenlijk inhoudt en beschouwen wij het proces van operationele en financiële herstructurering. Hierna is het goed om te bekijken wanneer het nou eigenlijk zin heeft om een corporate restructuring uit te voeren. Daarnaast wordt er dieper in gegaan op de invloed van de desbetreffende activiteit op de shareholder value en is de invloed die managers kunnen hebben op het gehele proces ook een belangrijke factor om in ogenschouw te nemen. Wat voor implicaties kan een restructuring hebben? Dit voorwoord geeft een inleiding op het onderwerp, waarna de artikelen in deze editie ingaan op een aantal specifieke aspecten van corporate restructuring.

Een achterliggende gedachte voor het kiezen van dit (actuele) thema kunt u vinden in de huidige herstructureringen zoals bijvoorbeeld bij de vrachtdivisie van KLM, maar denk bijvoorbeeld ook aan de horizontale overname dit jaar van de hoogspanningsnetwerken van Essent, Nuon en Delta door Tennet. Recentelijk wil Tennet daarbij ook nog een Duits gedeelte van E.on. overnemen.

Maar wellicht vraagt u zich af wat ‘corporate restructuring’ nou eigenlijk precies inhoudt.

In het interview met Edwin van Wijngaarden kunt u lezen dat zijn definitie van Corporate Restructuring eigenlijk inhoudt dat bedrijven een overlevingsprobleem tijdig herkennen en vervolgens actie ondernemen door een operationele en financiele herstructurering. Het artikel van Luc Renneboog en Peter G. Szilagyi, genaamd ‘Corporate Restructuring and Bondholder Wealth’, maakt voor de definitie van corporate restructuring een onderscheid tussen portfolio restructuring, financial restructuring en organizational restructuring, maar benadrukt dat deze vaak tegelijkertijd plaatsvinden.

Waardoor kan een corporate restructuring worden veroorzaakt?

Het proces van reorganisatie van een bedrijf kan worden geïnitieerd door een aantal verschillende factoren, zoals het opnieuw positioneren van een bedrijf om competitiever te worden, een veranderend economisch klimaat het hoofd bieden of wellicht het roer omgooien en doorgaan in een compleet nieuwe richting. Ook fusies en overnames kunnen aanleiding geven tot een herstructurering binnen een bedrijf. Zo heeft Ahold onlangs als toelichting op haar kwartaalcijfers aangekondigd dat zij een aantal reorganisaties gaat doorvoeren om de verwachte groei beter op te kunnen vangen. Het bedrijf wil haar processen en structuur verder vereenvoudigen en standaardiseren zoals toekomstige acquisities makkelijker te integreren zijn.

Wat zijn de redenen om corporate restructuring uit te voeren en wanneer heeft het zin?

Maran Marimuthu geeft aan dat de fundamentele reden voor het uitvoeren van een corporate restructuring is ‘to further enhance the long-term survival of firms through greater efficiency and cost-effectiveness’.

Herstructurering van een bedrijfsentiteit is vaak een noodzaak wanneer het bedrijf een punt heeft bereikt waarop het niet langer op een efficiënte manier de algemene gang van zaken van

het bedrijf kan managen. Zo kan een bedrijf een corporate restructuring aangaan wanneer het vanwege fiscale voordelen dat het bedrijf toelaat om meer omzet te genereren in het productie proces. Maar ook het meer efficiënt indelen van afdelingen binnen een holding maatschappij kan voordelen opleveren door middel van een effectief management model.

De herstructurering wordt dan gezien als een positief signaal voor een groeiende onderneming en wordt vaak aangemoedigd omdat bijvoorbeeld het marktaandeel vergroot wordt.

In het algemeen is het idee van corporate restructuring dus dat het plaatsvindt om een bedrijf op dezelfde manier te laten functioneren als voorheen maar op een efficiëntere en effectievere manier.

Wat levert de restructuring op vanuit het perspectief van de verschillende stakeholders?

Uiteindelijk is een bedrijf dat een herstructurering in welke vorm dan ook ondergaan heeft, theoretisch gezien efficiënter, beter georganiseerd en beter gefocust op zijn ‘core business’ met een herziene strategie en een nieuw financieel plan.

In het artikel van Magdy Abdel-Kader en Vagia Mentzeniot wordt de case-study van GEC/Marconi gebruikt om uit te leggen wat het effect van een corporate restructuring kan zijn op de aandeelhouderswaarde. Jennifer Griffin geeft in haar artikel een andere kijk op de consequenties van corporate restructuring. Zij bespreekt ‘de ripple effects on corporate philanthropy’.

Door het lezen van het interview met Edwin van Wijngaarden zult u ook een beter beeld krijgen van de issues binnen corporate restructuring waarmee de praktijk op het moment worstelt.

Tevens legt hij uit hoe het proces van herstructureringen er in de praktijk veelal uit ziet.

Naast al dit moois over corporate restructuring vindt u deze jaargang ook weer de vertrouwde column van de heer Groeneveld terug. Deze keer heeft hij een interessante k(r)anttekening geschreven waarin hij zijn kritische blik werpt op het huidige pensioenbeleid.

Naast de wetenschappelijke artikelen in dit magazine worden ook de recente gebeurtenissen binnen de Financiële Studievereniging Rotterdam weer besproken. Er is veel gebeurd in de afgelopen twee maanden; na de WALV heeft het twaalfde bestuur officieel zijn intrede gedaan. In de vorige editie hebben wij ons al voorgesteld, ondertussen zijn wij goed van

start gegaan en zijn we al niet meer weg te denken op de kamer.

Verder worden in deze editie de commissies voorgesteld die dit jaar de organisatie van de vele activiteiten die de FSR rijk is op zich zullen gaan nemen.

Op het moment van schrijven hebben een al aantal evenementen de revue gepasseerd. Zo zijn de International Banking Cycle en de Big 4 Cycle met succes afgesloten. Ook zijn bijvoorbeeld de European Finance Tour commissie en de Financial Business Cycle commissie druk bezig met de voorbereidingen voor hun evenementen. Het International Research Project is nu ook op zoek naar deelnemers voor haar onderzoek in India.

Corporate Restructuring and Bondholder Wealth Luc Renneboog and Peter G. Szilagyi This paper provides a comprehensive overview of existing academic research on how restructuring affects the wealth of creditors, a critical issue that has not been addressed adequately in the literature. Fixed creditor claims are impacted not only by the firm’s post-restructuring performance and cash flow volatility, but also any unexpected changes in its capital structure, which in turn have a direct impact on default risk. The view that the firm’s capital structure choice may be specifically motivated by the creditor-shareholder conflict has been universal since Black and Scholes (1973) first advocated that a levered firm’s equity can be seen as a call option on the firm’s assets. The literature has established that such capital structure changes may also impact operating performance through investment distortions such as excessive risk taking (Jensen and Meckling, 1976) and underinvestment (Myers, 1977), although at the same time the disciplinary effect of leverage on management has also been emphasized (Jensen, p14 1986; Grossman and Hart, 1983).

The Effect of Corporate Restructuring on the Shareholders’ Value: The Case of GEC/Marconi Magdy Abdel-Kader and Vagia Mentzeniot Diversification in the 1950’s and 1960’s gave rise to huge conglomerate firms and this has led Jiraporn et al. (2006) to question whether corporate diversification enhances or destroys shareholders’ value. Proponents of diversification argue that diversified firms gain benefits such as enhanced operating efficiency, larger internal capital markets from where companies could increase their debt capacity, lower taxes and the capability of taking up more positive net present value projects. On the other hand, critics of diversification argue for divestiture and re-focusing instead. p24

Financial Restructuring, Capital Structure

and Some Important Considerations Maran Marimuthu

Firms are bound to conduct financial restructuring as part of their corporate restructuring program for greater efficiency and cost-effectiveness that ultimately requires adjustments on capital structure. This article synthesizes some important considerations that should be incorporated for remodeling our work on capital structure.

Corporate restructuring has undoubtedly become a major program for many organizations as it paves ways for greater efficiency and cost-effectiveness. Both corporate and business strategies are currently integrated into restructuring program to yield greater financial performance in both short and long run. The general framework for corporate restructuring comprises of reorganization of assets (acquisitions and sell-offs), creating new ownership (spin-offs, split-ups and equity carve-outs), reorganizing financial claims (exchange offers, leveraged recapitalization, financial reorganization and liquidation) and other strategies (eg joint ventures, LBOs, etc) (Weston, Siu and Johnson, 2001). Corporate restructuring is intended to either reacting to crisis or to be part of the company’s pre¬emptive plan for their survival in the industry.

Restructuring process is a lengthy and a painstaking one. It presents many challenging tasks and requires analysis of social benefits and costs. The most difficult task is to persuade the most suffered to understand the desirability of the reform efforts (Yoon, 2004). In the mean time, strategic evaluation of re-engineering, restructuring and downsizing policies are perceived as the influential management paradigm. With this, companies are able to fully leverage on their core competences in creating superior competitiveness (Morden, 1997).

Palliam and Shalhoub (2002) found that corporate restructuring could be an impetus for organizational change. Corporate restructuring is also positively correlated with companies’ long term profitability. Significant cost reduction and increases in market shares are expected to result from corporate restructuring. In general, corporate restructuring could be viewed as a company’s expansionary program which includes mergers and acquisitions, takeovers and green-field investment.

On the other hand, its ‘contractionary’ program could be referring to divestiture, downsizing, down-scoping and the third one which is quite common that is financial restructuring.

Thus, the effects of corporate restructuring on financing decision i.e. capital structure in particular can not be denied.

Capital structure concerns the relative proportions of debt and equity financing that helps companies to minimize their overall financing cost (cost of capital). This continues with the calculation of the Weighted Average Cost of Capital

(WACC). WACC = [Proportion of Debt x Cost of Debtafter tax) + (Proportion of Equity x Cost of Equity]. Financial restructuring obviously involves equity or debt restructuring that has direct influence on capital structure. In short, it can be clearly restated that debt restructuring is a means of conducting financial restructuring program that has effect on a company’s capital structure (Miller and Modigliani, 1958; Myers and Majluf, 1984; Majumdar and Chibber; 1999 and Rajan & Zingales, 1995). This article discusses issues related to financial structuring and capital structure. It then synthesizes the financial implications resulting from financing activities that incorporate certain critical areas of capital structure that so far have not been rigorously explored but these areas tend to create a significant impact in the manner the literature on capital structure is understood.

The two different views In general, as company’s borrowing rises, its financial risk also goes up and this forces shareholders to increase their required rate of return. This in turn causes WACC (discount rate) to go up and hence, reduces shareholder value (present value of dividends). Let us take a closer look at the traditional view first. The traditional view argues that when gearing ratio is too low, the company loses cheap debt but if gearing ratio is too high, shareholders are faced with higher financial leverage (higher financial risk), and as a result, their required rate of return on equity capital will go up, thus WACC will rise and subsequently company value (shareholder value) will fall. It can be concluded that under the traditional view, to increase debt is welcomed but if it is too high, then the company has to face financial distress. In short, the guiding principle is that debt should be handled with great caution.

(Myers and Majluf, 1984; Kester, 1986; Friend and Lang, 1988; Majumdar and Chibber; 1999) In contrast, the Modern Theory, developed by Merton Miller and Franco Modigliani-MM’s Theory (1958), challenged the traditional view by reiterating the fact that capital structure is irrelevant to company value and cost of capital through the process of ‘arbitrage’. They argued that value of a company depended on its income stream and the degree of business risk

but not debt and equity. Thus, companies can go up to 100 per cent debt financing. MM’s propositions can be simplified as follows; MM Proposition I (without tax) Value of Unlevered = Value of Levered = Operating Income/ ke ke-required rate of return by shareholders MM Proposition II (without tax) The rate of return required by shareholders increases linearly as the debt/equity ratio is increased and this is supported by the formula below; ke = ku + [(ku – kd) D/E] : ke Cost of equity of a levered company ku-Cost of equity of an unlevered company kd-cost of borrowing D-Debt E-Equity MM Proposition I & II (with tax) i. Risk-Return Trade-off MM’s initial model was the classification of firms into ‘homogeneous risk classes’as a way of controlling for inherent operating or business risk (Pike and Neale, 2003) and at glance, the formulas can be illustrated as follows; i. ke=Rf+(ERm–Rf) x Bu x [1+D(1¬T)/E ] ii. ke=Rf+Bu(ERm–Rf)+(ERm–Rf) x Bu x [ D(1-T)/E ] iii. Bg = Bu [ 1 + D(1-T)/E] iv. Bu = Bg/[ 1 + D(1-T)/E ] ke-cost of equity of a levered company, D-Debt, E-Equity,, ERm-market return, Rf – risk free rate of return, Bu-beta of unlevered firm, Bg-beta of levered firm, T-corporate tax

PO and TO Factors Conforming to basic financing continuum model which first starts with the use of internal funds (retained earnings) then followed by the use of external funds (involving riskless debt, risky debt and equity) is viewed as pecking order (PO). Hence, the PO factor will force firms to strive for greater profitability in order to minimize their financing costs (Myers and Majluf, 1984 and Myers, 1984 and Shyam-Sunder & Myers, 1999).

Firms that choose the equity and debt financing to balance the costs and benefits of debt (tax shield) in order to achieve optimal capital structure is regarded as trade-off (TO) or better known as static trade-off theory. TO reiterates the fact that WACC is minimized and therefore firm value is maximized.

Critical Review Modigliani and Miller (1958; 1963) came out with advancement in the capital structure by creating a new body of knowledge for understanding capital structure. Obviously, they reiterated that capital structure is irrelevant to company value. The validity and reliability of their theory has been tested by many researchers all over the world. In addition, Modigliani and Miller (1966) claim that industrial classification and other key assumptions are very important to their theoretical model. Despite the criticisms by many researchers, Hamada (1969) and Stiglitz (1974) do support MM’s view with regard to irrelevance of capital structure to company value. However, skepticism about the MM’s findings remain intact as in the real world, for instance, banks do not finance projects up to 100 per cent.

Theis and Casey (1998) carried out a study on a number of companies in the UK. The main focus was made on companies’ capital structure and a special focus was on the MM’s tax

rationale for debt levels. They pointed out that shareholders prefer lower levels of debt and less diversification to reduce the threat of insolvency.

Titman and Wessels (1988) indicate that costs and benefits are associated with debt and equity financing. However, they failed to prove that future growth, volatility of earnings and firm sizes have effect on capital structure. Myers (1977) argues that tangible assets (fixed assets) can support a higher debt level as compared to intangible assets such as growth opportunities. Mean time, Thies and Klock (1992) claim that the relationship between earnings variability and financial leverage is ambiguous and the findings are quite mixed.

Wood (2004) revealed that required returns on debt and equity can have ‘near-constancy as capital structure varies.

He added that there was a need to create a period by period capital structure and required returns as market conditions change across time and projects are financed in arbitrary manner. This means that WACCs tend to differ (change) from time to time with regard to the type of project to embark on as cash flows of one project differ compared to the other.

Debt-financing is dictated by the company’s ownership structure and cost of capital. However, capital structure decision is also dictated by company size, issue size and condition of the security market and it seems the determination of capital structure can be intuitive (Joseph T.L. Ooi, 2000). This could be an expanded version of the traditional view. In another study, Stulz (1990) points out that debt levels are positively related to firm company value.

Based on the managers’ perspectives, a few meaningful conclusions could be made with regard to capital structure.

While the idea of the traditional view remains intact, capital structure is viewed under cyclical and non-cyclical industry.

Capital structure under the non-cyclical industry seems to be more manageable and is closer to the optimal debt ratio and whereas, capital structure under the cyclical industry needs to be managed on a broad range basis (Groth and Anderson, 1997). However, they suggested that tax shield offers benefits to shareholders and management to make fullest use of the borrowings in lowering its WACC. In addition, lower business risk allows greater proportion of debt to be used in the capital structure. Nonetheless, these arguments do not seem to support the Modern Theory (MM’s Theory) in an explicit way.

In another study, it was revealed that financial leverage level tended to differ due to various factors (Al-Sakran, 2001). It was added that in the presence of tax, companies tended to increase their debt financing as this would be beneficial to them in the form of tax shield. This is quite relevant to the MM model but the overall findings are centered to the traditional view as there was a negative relationship between growth and debt financing. This indicates that (as propagated by the traditional view) when debt financing rises, risk also increases, shareholders’ required rate goes up, need for higher dividends, thus lower retention ratio and this causes lower growth.

Boateng (2003) showed size of the Joint Venture (JV) and type of industry can have effect on capital structure. The result of the industry effect on capital structure also indicates that firms in textile, building and construction, mining and exploration have a higher gearing compared with firms in food processing, agriculture, financial services, automobile and transport. He added that perceived risk and tax laws would be considered as factors that tend to influence the capital structure. This signifies that companies are quite opportunistic to fully leverage on borrowings but not taking borrowings excessively. Harris and Raviv (1988) describe that debt forces the managers to liquidate non-profitable operations if cash flows are poor. Barclay, Smith and Watts (1995) prove that

there is a positive relationship between leverage and size of the earnings increase.

The mixed findings refer to either positive or negative relationship between leverage and profitability. According to Stulz (1990), the debt can be the positive and negative effect on the firm value. The effect of debt on the firm value depends on the growth opportunities. Therefore, debt is positively related to the value of a low growth opportunities firm and the debt is negatively related to the value of a high growth opportunities firm.

Mcconnell and Servaes (1995) stated that the correlation between leverage and performance is negative for high growth opportunities firm and positive for low growth opportunities firm. The measurement of performance of Mcconnell and Servaes (1995) is Tobin’s Q. Then, Jung, Kim and Stulz (1996) also have the results that consistently related to them in which the influences of debt on the firm value depend on the firm’s growth opportunities.

Riddiough (2004) argues that MM theory hardly exists but however, the right combination of debt and equity will minimize WACC. As transaction costs and conflict between owners and lenders generally increase as a result of higher gearing, he suggested that supplemental financiers (subordinated debt, convertible debt) could be allowed to leverage on the optimal capital structure. The success of this approach is very much dependant on the perceived risks and transaction costs. Hence, he pointed out that equity financing would still be favourable and again it is favouring the traditional view. Harris and Raviv (1991) provide a comprehensive literature on capital structure and the findings well spread to the two main views.

Argument In spite of the many studies carried out on capital structure, it has been noted that very few studies attempted to challenge the traditional view and further explore the applicability of the MM’s view given a specific business environment with some specific firm characteristics. Many researchers get complacent with their findings especially when their findings go in line with the traditional view as a result of the corporate restructuring program and thus the old mind-set still seems to be more prevalent. However, it is evident that companies have started engaging themselves in relatively higher gearing operations though this will result in higher shareholders’ required rate of return and effectively higher cost of capital but via tax deductibility, greater profitability could be achieved ( Boateng, 2003; Al-Sakran, 2001). In short, as argued earlier, the life cycle of a company, firm specific characteristics and type of business environment will have impact on capital structure (Wood, 2004; Groth and Anderson, 1997; Al-Sakran, 2001; Boateng, 2003). Thus, it should be pointed out that coupled with the firm characte ristics (size, growth, etc), the business dimensions (business environment) in which companies are operating could give a significant impact on capital structure. These business dimensions could be viewed either global dimension (global companies) or regional dimension (regional/local companies), though not rigorously discussed in finance, however, this is an important aspect to consider (etc Doz,1986; Tor, 1995) in global investments. Hence, these dimensions might split the discussions of corporate restructuring, debt restructuring and the implications on capital structure where different results could be expected.

The basic fundamental argument is that higher debt results in relatively lower equity and lower dividends but retained earnings (retention ratio) which will in turn push up the company’s sustainable growth. Thus, higher debt results in higher growth assuming the company’s business risk remains the same. And, firm’s level of growth will tend to have impact on its decision on the use of debt for its financing activities

and this will in turn influence its performance as well (Stulz, 1990; Mcconnell and Servaes, 1995; Mcconnell and Servaes, 1995; Kim and Stulz, 1996; Abor, 2005). The current literature is very much dominated by the input of large companies mainly from the global dimension (US and European companies) which are relatively much larger than the companies in the regional dimension (e.g. developing nations).

Thus, these two groups tend to have different ‘tunes’ of growth.

Practically, global companies are in the maturity stage will have lower growth as compared to regional companies which are striving for international expansion will tend to have higher growth. As firm growth level has its own significance on or relationship with, capital structure (Maran, 2008), there is a need to get the current literature incorporated with how companies in regional dimension should adjust to their gearing ratio when they are confronted with different levels of growth opportunities.

The main argument in this study is, while the need to adjust gearing ratio for greater profitability remains intact, theses companies however, should consider the effect of their existing growth level (whether high or low), so that optimality in their capital structure could be achieved and their investment decisions will be more fundamentally sound. Hence, firm growth should be taken as an important moderating variable.

The benefit of debt is tax deductibility of interest payment leads firms to the use the debt. It should be noted in the context of regional dimension mainly involving the Asian companies.

Since they are relatively smaller in size, vulnerability to ‘economic shocks’ and difficulty for their long-term survival (as compared to US and European companies) are always the main aspects to look into (Thorpe and McCaffer, 1991; Langford et al., 1993; Spencer and Winch, 2002, Chan, Tam and Cheung, 2005). Therefore, the calculation of WACC of these kinds of companies should not be static or fixed for a long period as their exposures in the business environment tend to change from time to time. However, the period of short-term and long-term must first be clearly defined and constructed to reflect the real dilemma faced by the companies and this could even be extended to type of industry.

Another important question is that how frequent these companies should review their WACC to reflect the true or actual cost of capital. This is essentially important as most companies would have either overstated or understated WACC if they were to adopt a fixed WACC. This tends to give misleading information on their Investment Opportunities Schedule (IOS) for various stages of operating cycle and also causes disastrous investment decisions in cases where firms are faced with economic shocks. Hence, the construction of WACC must vary in accordance with the life cycle of company in a given business environment.

Conclusion Undoubtedly, firms that have a special focus on financial restructuring as part of their corporate restructuring program, must not overlook its direct implications on capital structure.

It is not just a reshuffling of the debt-equity ratio, rather the ‘hidden factors’ (company life cycles, firm characteristics and business dimensions) might become a major ‘disturbance’ for them to cope up with their desired financing cost. Financing decisions based on incomplete input will lead us to poor investment decisions and thus, value creation can never be attained. This signifies that financial structuring will not yield positively towards firms’ financial goals if practitioners fail to have a comprehensive financing modeling. Bear in mind, it should not be a ‘ready-made model’ rather a tailor-made model’ to suit individual firms.

Waarom viel je keuze op KPMG? “Dat was na een workshop van KPMG tijdens de Master Accountancydag. Deze workshop was veruit de leukste. Dit zat hem vooral in het enthousiasme waarmee de KPMG’ers vertelden, maar ook het soort mensen sprak me aan. Na mijn deelname ben ik benaderd om twee dagen mee te lopen bij de klant. Ik was die dagen ook echt onderdeel van het team dat de interim controle deed. Toen heb ik besloten om mijn scriptie bij KPMG te gaan schrijven.

‘Een heel gezellige sfeer en toch een hoop leren’

En voldeed het aan je verwachtingen?

“Het was zeker een goede zet. Tijdens het schrijven van mijn scriptie vond ik het bovenal gezellig.

Je leert je toekomstige collega’s kennen en je zit met meerdere scriptanten in hetzelfde schuitje. Je kunt af en toe dus onderling overleggen.”

Werd je begeleid in het zoeken naar een onderwerp?

“Ik had zelf al een idee voor een onderwerp, dus ik had daarin niet zo veel begeleiding meer nodig. Maar als je nog niet weet waar je over wilt gaan schrijven, kunnen ze je bij KPMG goed helpen. Er zijn KPMG’ers die elk jaar studenten begeleiden en advies geven over hun scriptieonderwerp. Zij kunnen je vooral adviseren in hoe de praktische kant van je onderwerp tot uitdrukking kan komen.“

Hoe was je start als trainee?

“Er was eerst een introductieweek, gezamenlijk met kantoor Den Haag. Die week bestond vooral uit veel informatie opslaan over alle praktische zaken en hoe het er bij KPMG aan toe gaat. Er waren ook veel leuke en enthousiaste verhalen van KPMG’ers. De tweede week was meteen al de Audit Academy. Dit was echt een superleuke week. In teams werken met collega’s van all over the country was helemaal top. Een heel gezellige sfeer en toch ook een hoop leren, want het zijn wel lange dagen met veel informatie.”

Wist je tijdens je afstudeerstage al dat je bij KPMG wilde blijven werken?

“Nog niet aan het begin van mijn afstudeerstage, maar na een tijdje op kantoor te hebben gezeten was ik er wel uit. De sfeer was leuk en de mensen spraken me aan. Door de meeloopdagen wist ik al dat ik de job wel leuk zou vinden, dus alleen mijn gevoel met KPMG moest nog matchen.

En dat bleek zo te zijn.”

Heb je tot slot nog tips voor accountancystudenten?

“Allereerst, als je interesse hebt in accountancy, laat het dan niet uit je hoofd praten door mensen uit je omgeving die zeggen: ‘het is niks voor jou’ of ‘het is gigantisch saai’. Het is namelijk echt een hele leuke job! Verder zou ik zeker bij alle kantoren langsgaan en op je gevoel afgaan om te bepalen welk kantoor bij jou past. Kies voor je eigen gevoel, anders zul je later toch spijt krijgen.”

Corporate Restructuring and

Bondholder Wealth

1. Introduction

2. Theoretical background

The last decade or so has witnessed a spectacular surge in corporate restructuring across the globe. Market deregulation, technological shocks and intense competition for capital supply have pressured firms into moving beyond changing their business and financing strategies, and making major changes in their organizational structures. Restructuring activity has been most pronounced in the US, where the merger wave of the latter half of the decade was the fifth of the twentieth century, and firms have increasingly found that sheer size was no longer sufficient to deter takeover threat. As a result, and also motivated by other sources of management discipline, restructuring activity has largely focused on increasing corporate efficiency, through corporate refocusing and financial restructuring. In Europe, where market-based disciplinary mechanisms have historically been weaker, the reconfiguration of firms has been slower but accelerated in response to the on-going economic and financial integration of the continent, driven by concerted efforts of the European Union. In Japan, the restructuring process has been measured and painful, but most firms have undergone some form of reorganization in response to the burst of the asset bubble in the late 1980s and the banking crisis and continued economic stagnation that followed.

The consequences of these trends for the firm’s creditors remain much debated. The firm’s ability to service the fixed claims of creditors is directly influenced by restructuring through changes in its operating and cash flow performance. However, creditors are also affected by any ensuing change in the firm’s capital structure and underlying collateral and liquidation value, as long as they are imperfectly protected from this change (Masulis 1980). This paper provides a comprehensive overview of the academic literature on how restructuring actually affects the wealth of creditors. Empirical evidence remains fairly patchy, and virtually absent for markets other than the US, on the extent to which creditors are impacted by restructuring-related changes, what type of and how extensive protection they should be afforded, and what is the economically optimal level of such protection. These questions are of great relevance today, when the network-based corporate governance regimes of Continental Europe and Japan are increasingly promoting the use of market-based financing methods, while at the same time gradually dismantling the disciplinary devices they have historically relied upon to control the shareholder-creditor conflict in the firm. This comes at a time when market-oriented systems are being increasingly questioned in their ability to control agency problems themselves, not least due to the recent massive overinvestment in the US technology sector and some of the biggest corporate scandals in history.

Restructuring activity is generally associated with three motivations in the academic literature, namely (i) to address poor performance; (ii) to exploit strategic opportunities and (iii) to correct valuation errors. The literature distinguishes three different types of transactions, encompassing multiple forms of change in firm organization (Stewart and Glassman 1988; Bowman and Singh 1993; Gibbs 1993). Portfolio restructuring makes disposals from and additions to a firm’s businesses, e.g. through asset sales, spin-offs, equity carveouts or mergers and acquisitions (M&A). Financial restructuring changes the firm’s capital structure e.g. through leveraged buy-outs (LBO), recapitalizations (LR), share repurchases, or employee stock ownership plans (ESOP).

Finally, organizational restructuring, represents a change from a functional to a business-unit design. These restructurings often occur simultaneously or sequentially at any one time.

The empirical literature has given notable attention in recent years to the immediate reaction of equity and bond markets to restructuring activity in the US. In this section, the main hypotheses that affect the size and direction of these wealth changes are presented, emphasizing in particular the wealth of creditors.

(a) Value creation The classic motivation for corporate restructuring is to redeploy the firm’s assets to higher valued uses. As long as the restructuring improves the firm’s operating performance and increases its post-transaction cash flow and debt servicing ability, it will create value for both shareholders and creditors.

(b) Agency costs of outside equity The basic principal-agent conflict between shareholders and managers arises from management trying to extract both pecuniary and non-pecuniary benefits from the firm, while transferring some or all of the cost incurred to the outside shareholders. An important source of such benefits may be managerial empire building and managerial entrenchment (Murphy 1985; Jensen 1986). Empire building is closely tied to the argument that managers prefer building less risky, diversified firms with lower leverage, so they can reduce the uncertainty of their human capital investment in the firm (Amihud and Lev 1981), and lessen the probability of bankruptcy and employment risk ((Jensen and Meckling 1976; Ramakrishnan and Thakor 1984). To that end, managerial interests are naturally aligned with those of creditors.

The natural aim of managers and creditors to reduce firm riskiness is in direct conflict with shareholder interests, as implied by Black and Scholes’ (1973) view of equity as a European call option on a firm’s assets. In this classic view, the realignment of managerial and shareholder interests will inevitably damage creditor interests. In market-oriented governance regimes, this realignment is largely done by making management a residual claimant in the firm through

debt contract. Keeping debt maturity short also mitigates the agency costs of debt.

The creditor-shareholder conflict is of course multidimensional and may have significant costs for shareholders as well, to the extent that it leads to investment distortions (Myers 1977; Lyandres and Zhdanov 2003). Since ultimately shareholders bear the costs of inefficient investment in the form of lower equity and firm values, they have economic incentives to resolve or ameliorate the shareholder-creditor conflict by accepting restrictive debt covenants, or through monitoring and auditing activities. John and Nachman (1985) show that shareholders may also want to mitigate these problems due to reputational concerns.

(d) Signalling effect of the financing decision Several theoretical models show that under informational asymmetries, the financing method of corporate restructuring may have an important signalling effect, as it may reflect management’s private information about the value of the assets in place. Ross (1977), DeAngelo and Masulis (1980) and Leland and Pyle (1977) convey the expectation that share prices will react positively to leverage-increasing trans­ actions. The response of bond prices will depend on the

Managerial discretion is also controlled by a variety of disciplinary mechanisms such as boards of independent directors and external pressures from competitive markets, including the markets for corporate control (Manne 1965) and managerial labour (Fama 1980), and capital and product markets. In network-oriented systems, where ownership and credit supply are less fragmented, the active involvement of the firm’s stakeholders in management monitoring has historically provided a substitute for these devices.

In market-oriented systems, controlling the manager-shareholder problem is also potentially tied to increasing the firm’s default risk, which directly damages creditor interests.

Jensen (1986) describes the implicit incentive effect of increased leverage, which commits the firm’s free cash flow to repaying debt. Grossman and Hart (1983) find that the increased threat of bankruptcy and loss of control may also induce managers to avoid policies they might prefer but which reduce firm value. Short-term borrowing is further shown to limit the tendency of borrowers to increase asset risk (Harris and Raviv 1990; Calomiris and Kahn 1991).

(c) Agency costs of risky debt The principal-agent conflict between creditors and shareholders gives rise to a several agency problems in the context of the firm. Jensen and Meckling’s (1976) asset substitution problem captures the fact that shareholders may expropriate creditor wealth without affecting total firm value by substituting low-risk assets with high-risk ones. Claims dilution may also significantly damage the interests of existing creditors.

These problems are anticipated by creditors, who price their debt accordingly, transferring the ensuing costs to the firm itself. Bondholders may also write protective covenants into the bond indenture, while private lenders respond through increased monitoring and continuous renegotiation of the

tradeoff between any positive investment effect associated with the leverage increase and the negative effect of increased leverage. Flannery (1986) argues that the choice of debt maturity also sends a signal of the firm’s default probability.

To the extent that the restructuring entails new capital offerings, the above hypotheses are rebutted somewhat by Myers and Majluf (1984) and Miller and Rock (1985), who argue that additional security issues will always convey a negative signal of overvaluation and lower than expected cash flow, respectively.

Recent studies empirical studies lend support for these hypotheses (Spiess and Affleck-Graves 1995 and Hertzel, Lemmon, Linck and Rees 2002 on equity; Spiess and Affleck-Graves 1999 on bonds; Billett, Flannery and Garfinkel 2003 on bank loans).

(e) Tax benefit of debt Fama and Miller (1972) show that when a firm employs leverage in its capital structure, its value increases by the market value of the tax subsidy on the interest payments.

These gains accrue entirely to the shareholders of the firm, but may indirectly benefit all other stakeholders including creditors through improved cash flow. The tax benefits of debt may not be present for firms that consistently alternate between new debt and equity issues, but may be of great economic significance for firms that undergo levered restructuring, especially LBOs or LRs. It is however debated whether potential tax benefits constitute a true motive for undertaking leveraged corporate actions (Modigliani and Miller 1963; Miller, 1977; DeAngelo and Masulis 1980). Nevertheless, Bartholdy and Mateus (2003) find that tax advantages and provisions for tax loss carry-forwards do motivate capital structure decisions.

They also note that tax benefits may be better exploited in network-oriented governance regimes, where the amount of debt lent to a firm is not used as an incentive device and is therefore less sensitive to agency problems.

(f) Expected bankruptcy and reorganization costs

creates operating synergies, it yields an incremental cash flow, which raises the total value of the combined firm. Such an increment tends to arise when the merging firms are in the same or related industries, and is accrued to the firm’s shareholders entirely, although creditors will benefit indirectly. Conglomerate mergers tend not to create operating synergies, but they often create greater financial synergies, including a greater co-insurance effect than do synergistic mergers. Other, less significant financial synergies in conglomerate mergers often include reduced corporate tax liability and lower agency costs.

On the whole, theory predicts that synergistic mergers will affect both shareholders and bondholders more positively than will conglomerate mergers. When the merging firms form a conglomerate, their combined value is often subject to a “conglomerate discount”, since investment distortions are often expected to be endemic in the new firm (Rajan, Servaes and Zingales 2000). Also, in conglomerate mergers most benefits accruing to the creditors are a result of wealth expropriation, and shareholders will try to neutralize this wealth transfer, for example through leveraged financing.

A handful of empirical studies examine the actual impact of mergers and acquisitions on bondholder returns. Kim and McConnell (1977) and Asquith and Kim (1982) examine complete conglomerate mergers, and find that total bondholder wealth is not affected, on average, by these transactions.

Dennis and McConnell (1986) and Walker (1994) use a mixture of conglomerate and synergistic mergers and find the same result. None of the above studies compensate for the potential effect of leveraged financing, however. Eger (1983) examines pure exchange mergers only, where shareholders cannot reverse wealth transfers to bondholders, and find statistically significant abnormal gains. Maquieira, Megginson and Nail (1998) also examine pure exchange mergers, and find significantly positive gains for synergistic and insignificantly positive gains for conglomerate mergers. The authors find that these wealth effects are sensitive to the expected change in the leverage of the combined firm and, consistent with Walker (1994), the presence of covenants specifying merger restrictions and minimum asset coverage ratios.

The theoretical literature has shown extensively that the expected costs of involuntary bankruptcy and reorganization has a significant effect on the value of levered firms. These costs include lawyer and accountant fees, legal costs and the costs of managerial time involved in bankruptcy and reorganization proceedings. Warner (1977) estimates however that the direct costs of bankruptcy are small relative to firm value. Masulis (1980) approximated capital structure changes by investigating exchange offers, and could not pick up on any such bankruptcy cost effect.

3. Empirical evidence An extensive collection of empirical studies document through significant changes in bond prices that, as theory predicts, creditor wealth may be heavily affected by corporate restructuring actions. Broadly speaking, portfolio restructuring and financial restructuring affect creditors through two main channels: changes in the firm’s capital structure composition and operating performance. In addition, portfolio restructuring affects creditors through altering the firm’s collateral and liquidation value as well as cash flow variance.

3.1 Portfolio restructuring Portfolio restructuring changes the contracting relationship that exists between the shareholders and creditors of a firm through altering the firm’s underlying collateral and liquidation value. In addition, to the extent that portfolio changes alter the cash flow variance of the firm, the restructuring may trigger wealth transfers between creditors and shareholders.

This wealth redistribution effect, defined as the “co-insurance effect” by Lewellen (1971), immediately follows from Black and Scholes’ (1973) view of a levered firm’s equity as a European call option, and is also predicted by Higgins and Schall (1975) and Galai and Masulis (1976).

3.1.1 Portfolio expansion: mergers and acquisitions Mergers and acquisitions are unique among the types of portfolio restructuring in that they make additions to, rather than disposals from, firms’ businesses. While these trans­ actions can be very diverse, they can be broadly -classified as synergistic or conglomerate mergers. When the merger Returns are calculated using an event study methodology. John (1986) argues that acquirers will tend to target firms with less leverage and/or better operating performance, so the value of the acquirer’s bonds should increase and that of the target’s bonds should decrease. Kim and McConnell (1977) conversely propose that acquirers also tend to be larger and more highly rated, and will consequently reap little wealth benefit for bondholders from the transaction. The empirical evidence provides some weak support for John’s argument. For target bonds, there are no wealth effects detected in general, except by Billett, King and Mauer (2004). For acquirer bonds, Eger (1983) and Settle, Petry and Hsia (1984) find positive, while Billett, King and Mauer find negative abnormal returns. Dennis and McConnell (1986) report significant, albeit small losses for lower-rated acquirers.

The most recent paper of Billett, King and Mauer (2004) stands out in the empirical literature, as they use a vast, 940strong sample of US mergers. The strong findings the authors report indicate that the insignificant results of many of the preceding studies may in fact be due to issues relating to sample size and quality of data. The study reports small but uniform losses for acquirer bondholders, which appear barely influenced by whether the merger is conglomerate or not. Target bonds tend to benefit more from the coinsurance effect, as indicated by the substantial gains accrued to lowerrated and small losses suffered by higher-rated target firms.

This finding is also explained by the fact that contrary to John’s (1986) prediction, the authors report, on average, a higher leverage ratio for targets than for acquirers.

3.1.2 Portfolio reduction: corporate refocusing Since the early 1980s, a distinctive element of US corporate activity has been the prevalence of restructuring actions that reduce a firm’s business focus. Firms may choose one of three main mechanisms to divest an operating unit: equity carveouts, spin-offs and asset sell-offs. Aside from the economic gains associated with asset restructuring, carve-outs and spin-offs may be particularly effective in reducing agency costs, through a permanent increase in public disclosure and external monitoring, as well as tying managerial compensation to the price of the subsidiary’s stock. Managerial signalling models predict that in an adverse selection environment, carve-outs may also convey a favourable signal on the value of the parent’s equity, but negative information on the value of the subsidiary (Welch 1989; Nanda 1991). Because a spin-off does not involve external financing, it has no signalling effect, and no wealth is expropriated from outside equity investors. Unlike a carve-out, a spin-off generates no cash flow for the parent either, so it do not create a potential for agency problems of the type associated with Jensen’s (1986) free cash flow hypothesis.

Shleifer and Vishny (1992) stress the importance of sell-offs as a way of resolving financial distress. Unlike carve-outs and spin-offs, sell-offs bypass the monitoring intrinsic to the restructuring, while also generating potential free cash flow problems. Partial acquisitions, or asset sell-offs from the buyer’s point of view, potentially entail agency problems similar to those seen in mergers and acquisitions.

It is evident that all three mechanisms of corporate refocusing may trigger significant wealth redistribution effects. Galai and Masulis (1976) describe how unexpected spin-offs constitute the expropriation of bondholders’ collateral and liquidation value, and this argument can clearly be extended to carve-outs and sell-offs. The literature sometimes documents cases, where creditors are further expropriated wealth by the firm’s debt being unevenly allocated between the parent and the spun-off or carved-out firm. John (1993) emphasizes that

spin-offs, as well as carve-outs and possibly divestitures, also result in a loss of co-insurance, particularly in cross-industry transactions.

The empirical evidence on the actual wealth effects of these restructuring mechanisms remains relatively scarce. Schipper and Smith (1983) briefly examine the behaviour of bond prices and bond ratings around spin-off announcements, and find little evidence of a wealth transfer from the parent’s bondholders. Hite and Owers (1983) find insignificant negative abnormal bond returns, which may indicate that bondholders anticipate and control wealth transfers, though the authors use a small sample. More reliable evidence is presented by Maxwell and Rao (2003). The authors find that parent bondholders, on average, suffer a significant negative abnormal return, dependent on the leverage effect and the change in collateral, but seemingly insensitive to the coinsurance loss.

Parrino (1997) examines a single textbook case, the 1993 spin-off of Marriott’s management businesses, and also finds evidence for substantial bondholder losses. The original plan of this latter transaction is a famous piece of work, because it allocated most of Marriott’s debt to the parent firm, which was to be stripped of most of its cash flow (covenants ensured that Marriott’s bondholders could delay the spin-off and ultimately won more favourable terms).

The wealth effects of asset sell-offs are documented by Datta and Iskandar-Datta (1996) and Datta, Iskandar-Datta and Raman (2003). These papers find that these transactions are, on average, value enhancing for bondholders. However, many sell-offs trigger wealth transfers, depending on the motive and the way the proceeds are distributed. On the acquirer’s side, Datta and Iskandar-Datta (1995) and Datta, Iskandar-Datta and Raman (2003) document that acquisitions of disposed assets and business units are generally value destroying for bondholders. This indicates that the benefits of the coinsurance effect and increase in collateral are outweighed by the negative impact of increased leverage, if the acquisition is debt-financed as is mostly the case, and a more pessimistic expectation of future performance.

Easterwood (1998) examines the special case of divestments made by firms that underwent leveraged buyouts in the 1980s. He finds that, on average, these transactions are not associated with bondholder wealth changes, which may indicate that their wealth enhancing effect is balanced out by possible wealth expropriation in the highly levered firm. This is supported by the author’s finding that divestments earn financially non-distressed firms significantly positive, but distressed firms significantly negative abnormal bond

returns. Furthermore, the bondholder losses in distressed firms are only significant when core assets are divested.

These results, and the fact that Easterwood finds that abnormal returns are negatively related to the firm’s post-buyout capital structure, also lend weak support to the intra-creditor wealth transfer hypothesis of Rajan (1992) and Diamond (1993).

This hypothesis postulates that when a firm is in distress, private lenders may press for an early liquidation of assets at the expense of other, less senior creditors. Of course, early liquidation may be most detrimental when it involves core assets, whereas the disposal of non-core assets may be beneficial, to the extent the proceeds are used to pay off existing debt (Datta and Iskandar-Datta 1995).

The firm’s creditors should be negatively affected by any negative signal about the firm’s future prospects, but benefit ceteris paribus from the reduction in the firm’s leverage ratio and a consequent wealth transfer from shareholders. Kalay and Shimrat (1987) find that bond prices react negatively to new SEO announcements and conclude that the signalling effect dominates, while not ruling out some wealth redistribution. Elliott, Prevost and Rao (2002) conversely find significant bondholder gains that increase with debt maturity and firm default risk, and emphasize the redistribution effect. Eberhart and Siddique (2002) confirm this latter result for longer time periods.

The creditor wealth effects of changes in the firm’s capital structure can be most simply investigated through the response of existing bondholders to announcements of new capital offerings. The empirical literature provides scarce and inconclusive direct evidence on the wealth effects of debt issuance. Kolodny and Suhler (1988) find that, on average, the announcement of new debt issues has a positive effect on existing bondholders, which actually increases with the firm’s initial leverage and the size of the issue. This result seems to correspond with the findings of Akhigbe, Easterwood and Pettit (1997). The authors find that bond markets react negatively to new issues only when they are motivated by a current cash flow shortfall. These results are consistent with Miller and Rock’s (1985) cash flow signalling effect, and provide no evidence of wealth transfers associated with relatively large changes in leverage. This appears to be supported by the finding of Eckbo (1986), Mikkelson and Partch (1986) and Akhigbe, Easterwood and Pettit that debt issue announcements convey no significant effect on share prices.

3.2.2 Seasoned equity offerings Theory suggests that the stock market tends to react negatively to new equity issues (Myers and Majluf 1984; Asquith and Mullins 1986; Masulis and Korwar 1986). The perception

3.2 Financial restructuring Transactions of financial restructuring are fundamentally different from portfolio restructuring, as they are directly aimed at altering the firm’s capital structure. Creditors are directly affected by any such capital structure changes, since they may entail a sizeable change in the firm’s leverage ratio and ceteris paribus change the firm’s default probability. Masulis (1980) takes account of the three effects that broadly define creditor wealth changes entailed by capital structure alterations: the wealth redistribution effect (Jensen and Meckling 1976) and the expected bankruptcy cost effect (Robichek and Myers 1966; Kraus and Litzenberger 1973), counterbalanced by a more modest corporate tax effect (Modigliani and Miller 1963).

The direction and size of creditor wealth changes is also impacted by the incentive effect of leverage and any ensuing investment effect associated with the use of the funds.

New equity issues A. Effect on long-term corporate debt

Matched bond

Security exchange offers and recapitalizations come closest to approximating pure capital structure changes in a firm, as they do not involve simultaneous asset structure changes (in the form of cash inflows or outflows). In a joint study, Masulis (1980) empirically examines debt-for-stock exchange offers and recapitalizations, which both have a leverage-increasing effect on the firm’s capital structure. The author finds that as theory predicts, bond price reactions are significantly negative for these transactions. The results provide support through wealth transfer hypothesis in particular, which is reinforced by the finding that creditors unprotected by covenants suffer larger wealth losses. Masulis (1983) later developed a linear model to estimate the firm valuation effects of these trans­ actions and broadly finds the same results.

3.2.4. Public-to-private transactions Portfolio refocusing is often preceded by public-to-private transactions. These transactions tend to be referred to collectively as leveraged buyouts (LBO), as they are almost exclusively financed with massive leverage. The majority of LBOs are management-led, but firms may be taken private by a variety of entities: the incumbent management (management buyout, MBO), an outside management (management buyin, MBI), employees (employee buyout, EBO), or institutional investors and private equity firms (institutional buyout, IBO).

Jensen (1986) note that LBO firms typically provide increased incentives for management to increase firm value, which is often the main impetus behind a subsequent portfolio refocusing.

The agency costs of managerial discretion are addressed through higher levels of leverage and greater concentration of equity ownership. The control function of debt is particularly pronounced in LBOs, since the restructured firm’s post-trans­ action leverage ratio often approaches unity. At the margin, this mostly requires management to borrow from banks, which are often given an equity interest as well through strip financing. To the extent that managers become shareholders

Increased monitoring tends not to fully compensate creditors for the potentially vast agency costs of risky debt in leveraged transactions. This is reflected by the finding of Marais, Schipper and Smith (1989) that Moody’s systematically downgrades firms undergoing LBOs. The empirical literature does not provide fully conclusive evidence either way. Asquith and Wizman (1990), Travlos and Cornett (1993), Cook, Easterwood and Martin (1992) and Warga and Welch (1993) find statistically significant bondholder losses, which provides evidence for wealth expropriation. Conversely, Marais, Schipper and Smith (1989) find insignificantly negative abnormal returns and conclude that bondholders adequately protect themselves, or that the wealth expropriation effect is offset by improvements in the expected cash flows. Of these studies, several demonstrate that abnormal returns are sensitive to covenant protection (Asquith and Wizman 1990; Walker 1991; Cook, Easterwood and Martin 1992); maturity (Walker 1991; Warga and Welch 1993; Cook, Easterwood and Martin 1992) and bond rating (Warga and Welch 1993).

3.2.5 Leveraged recapitalizations Like LBOs, LRs result in (the potential for) a substantial increase in management ownership of equity, either directly or indirectly through ESOPs or retirement plans. Combined with

the incentive effect of leverage, as well as the disposal of discretionary cash through the dividend payment, this should lead to greater alignment of shareholder and managerial interests.

The huge leverage-increasing effect of LRs implies that these transactions may also expropriate substantial wealth from creditors. The empirical literature offers limited evidence for such an effect. Handa and Radhakrishnan (1991) finds that bondholders, on average, earn insignificantly negative abnormal returns in the two weeks preceding and following LR announcement, and significantly positive gains immediate before the announcement date. Gupta and Rosenthal (1991) also find insignificantly negative abnormal bond returns for longer time periods. A drawback of both these studies is that they work with small samples, which downward biases the finding of any significant effect. Moreover, many of the firms undertaking LRs are under imminent takeover threat, which complicates the investigation of announcement returns. An indication of longer-term creditor wealth losses is provided by frequent rating downgrades of the restructuring firms by Moody’s and Standard and Poor’s.

3.2.6 Share repurchases and dividend payouts Many studies on how a firm can outright expropriate wealth from creditors cite the classic case where the firm borrows cash and redistributes the proceeds to its shareholders through dividend increases (or special dividends) or share repurchases. The creditor wealth implications of these transactions are driven by two main hypotheses. The signalling hypothesis (Bhattacharya 1979; Kalay 1980) suggests that redistributing cash flows to shareholders conveys positive information about the prospects of the firm. This is particularly the case with dividend increases, which indicate a permanent commitment to higher payouts. However, all else equal these payout mechanisms increase leverage, and the wealth transfer hypothesis predicts that this may be a source of creditor wealth loss in the absence of adequate protection.

There are numerous studies that examine the signalling versus wealth transfer hypotheses of both dividend announcements and share repurchases. The evidence for dividend increases is very mixed. Woolridge (1983) and Handjinicolau and Kalay (1984) find insignificantly positive bond price reactions. This appears to support a signalling effect, while not ruling out a wealth transfer effect for highly levered firms in particular. Jayaraman and Shastri (1988) find similar results for special dividends. Dhillon and Johnson (1994) find that bond prices actually fall upon the announcement of dividend increases, which provides evidence for the wealth transfer hypothesis.

Dann (1981) analyzes the wealth effects of share repurchase announcements. On announcement day, he finds insignificantly negative bond returns and positive abnormal stock returns, which suggests that bondholders may lose more from the wealth effect than gain from the signalling effect. Maxwell and Stephens (2003) find much stronger evidence for both hypotheses, reporting significant bondholder losses on average, but sizeable gains in firms where shareholders react very

favourably to the transaction. The authors also find that bondholder losses will be greater when the repurchase program is large, and when the firm’s bond rating is non-investment grade. This indicates that a share repurchase program is still viewed by the market as a positive signal, although its wealth benefit (and more) is largely expropriated from bondholders.

Rating agencies are found to be twice as likely to downgrade as upgrade bond ratings after repurchase announcements.

3.2.7 Executive stock option plans A technique often applied to ameliorate the manager-shareholder conflict in market-oriented governance systems is the use of ESOPs, designed to induce managers to take on more risk. An ensuing wealth transfer from bondholders to shareholders has been compellingly documented by DeFusco, Johnson and Zorn (1990). Bruner and Brownlee (1990) take a single case study of Polaroid’s 1988 leveraged ESOP, and find similar results.

4. Concluding remarks and research agenda This paper has provided a comprehensive overview of the empirical literature on how corporate restructuring affects bondholder wealth. As has been seen, evidence on restructuring and its consequences for the firm and its creditors remains patchy. This largely owes to the fact that restructuring is a complex and multidimensional event, whose impact on creditor wealth is the net effect of a variety of factors. The validity of existing studies has also come to be increasingly criticized for issues related to sample size, data quality and the methodologies employed. The virtual lack of related studies on the network-oriented corporate governance systems of Continental Europe and Japan represents another gap in the existing ­literature. In network-oriented systems, agency problems in the context of the firm are addressed differently, and bondholder-shareholder agency problems may be consequently less severe. In Europe, in particular, market deregulation, increased competition, economic and financial integration, new tax and accounting regulations, as well as recent struggles with pension reform have not only triggered frantic restructuring activity, but also set off a gradual convergence of corporate governance regimes towards the market-oriented model. This comes at a time when market-oriented systems are being increasingly questioned in their ability to control

De problematiek van de oude dag laat zich op uiteenlopende manieren oplossen. Ik herinner mij te hebben gelezen over een nomadenstam die elk najaar een wilde rivier moest oversteken. De oudjes die daartoe niet meer in staat waren, bleven achter op de verlaten oever. Zij zouden de winter niet overleven.

Ergens in het Midden-Oosten in de oudheid konden ouderen worden geadopteerd. Hun vermogens vielen dan toe aan de adopterende kinderen. Er zijn vermoedens dat adoptie niet altijd vrijwillig geschiedde.

In een meer recent en nabij verleden bleven de oudjes bij hun kinderen. Tòt de tijd kwam dat de kinderen de oudjes naar een gesticht brachten, later een tehuis, en nog later een serviceflat genoemd. Er is geen verticale zorgplicht meer.

Voor alle partijen wel zo plezierig als de ouderen financieel zelfstandig zijn. Daartoe dient de AOW en daartoe dienen pensioenregelingen. Laten we het daar eens over hebben.

Een pensioenregeling hoort vaak bij de financiële voorwaarden van je baan. Je werkgever maakt een afspraak met een pensioeninstelling. Met ingang van een bepaalde leeftijd krijg je als verzekerde een uitkering. Die is afhankelijk gesteld van het verdiende salaris (eindloon; middenloon), of zij is afhankelijk van de betaalde premie. Een deel van de premie wordt door de baas betaald, en het resterende deel door de werknemer. De hoogte van de premie is afhankelijk van de looptijd, verwachte sterfte, verwachte levensduur, en vaak dus ook van de hoogte van het salaris.

Daarvoor heb je dan je hele leven gewerkt Niet in de laatste plaats zal ook het verwachte rendement op de ontvangen premies hierbij een rol spelen. Wanneer ik zeker wil zijn van mijn pensioenuitkering, moet de beleggingsopbrengst van mijn premies ook zeker zijn. Wanneer daarbij toch onzekerheid wordt aanvaard, dreigt een mismatch. Wel is het verleidelijk om enig risico te accepteren.

Risico hoort gepaard te gaan met hogere verwachte rendementen. Die verwachting zou gepaard kunnen gaan met lagere premies. Bovendien valt het misschien niet altijd mee om voldoende omvangrijke ‘zekere’ beleggingen te vinden

voor die e 600-miljard die door de Nederlandse pensioenfondsen moet worden belegd. Nederlandse staatsobligaties hebben een AAA-notering. Die zouden in aanmerking komen.

Uitsluitend beleggen in Nederlandse staatschuld is wel erg saai. Daar heb je geen grote geleerden voor nodig. En ook geen grote afdelingen. Het is natuurlijk veel leuker om risicovoller te beleggen en vervolgens te onderzoeken of met bijvoorbeeld derivaten toch de risico’s kunnen worden afgedekt. Daar ben je wel even mee bezig. Dat is ook veel interessanter doordat je als grote belegger een belangrijke stem krijgt in de aandeelhoudersvergadering van tal van beursgenoteerde ondernemingen in binnen- en buitenland.

Je gaat in het onroerend goed en bent daar een hele baas. Je wordt een speler waarmee rekening moet worden gehouden.

Het wordt pas vervelend wanneer het kaartenhuis instort doordat bij het geaccepteerde risico de hogere verwachte rendementen niet worden gehaald. Wat dan resteert, is de nadelige kant van risico: koersverlies en onderdekking. Plotseling is je pensioenuitkering ten minste voor een deel onzeker geworden, respectievelijk moet je – zoals de notarissen – een deel gedag zeggen. En “daarvoor heb je dan je hele leven gewerkt”. Die onbezorgde oude dag ziet er ineens een stukje somberder uit. Toch maar bij de kinderen aankloppen?

Het lijkt gedwongen winkelnering. De werkgever kent een pensioenregeling die door een uitvoeringsinstantie als bijvoorbeeld het ABP wordt uitgevoerd. Dat fonds werkt met name voor niet-ondernemende werknemers als ambtenaren en mensen in het onderwijs. Die kiezen met hun loopbaan en ook met betrekking tot hun pensioen voor zekerheid. Alle geld gaat daarheen, naar het ABP. Ook dat deel dat al die mensen zelf aan premie betalen. Ik ken de verzuchting dat iemand voor dat eigen deel liever zelf zou beleggen, respectievelijk zelf voor een verzekeraar zou willen zorgen. Met die eigen verzekeraar zou ook een ‘eigen’ risicoprofiel voor de eigen te beleggen premies kunnen worden afgesproken.

Denkbaar is dat deze vrijheid wordt beperkt voor het deel van het pensioen dat boven een bepaald minimum uitgaat.

Beneden dat minimum is het een collectieve zorg. En daar zou helemaal niet mee mogen worden gesold.

Door werknemers voor het eigen deel van de premie met betrekking tot hun beleggingsstrategie de vrije keus te laten, ontstaat een levendig beeld van veel kleine beleggers die actief zijn betrokken bij de zorg voor hun oude dag. Die strategie kan worden geïncorporeerd in overig beleid van de werknemer: koop of huur van de eigen woning; zelf een onderneming

starten; selectieve investering, bijvoorbeeld in duurzame projecten. En voorzover zij in effecten zouden beleggen, zouden meer kleine aanbieders en vragers de markten minder imperfect maken dan nu met die enkele miljarden-beleggers mogelijk is. En met als mogelijk gevolg minder volatiliteit en ook voor de pensioenfondsen dus minder risico.

Een pensioenregeling hoort vaak bij de financiële voorwaarden van je baan Een argument voor het huidige beleid zou kunnen zijn dat de individuele belegger minder goed zou beleggen dan de professionele staf van een groot pensioenfonds. Dat is niet ondenkbaar. Anderzijds: een terugval als bij ABP van bijna 150% naar 83%, en per 1 september 2009 weer omhoog naar 102%, toont een volatiliteit die een kleine portefeuille niet zou misstaan. Het onderstaande grafiekje van het ABP wekt trouwens de indruk dat er nogal wat variabele rente in de beleggingsportefeuille zit. Variabele rente zou mooi zijn omdat de onderliggende waarde dan op een koers blijft liggen van 100%. Maar wanneer je zoals het ABP vaste verplichtingen hebt, zou vooral een vastrentend inkomen zijn nut bewijzen.

Terug naar de werkelijkheid. Inmiddels is de indexering van de uitkeringen opgeschort. Bij de huidige inflatie van 0,3% is dat gemis niet zo heel groot. Maar gerekend moet worden met een hogere verwachte inflatie. Inflatieverwachting maakt deel uit van de vermogenskostenvoeten op de financiële markten. Bij een lagere dekkingsgraad geeft het ABP die vergoeding niet door aan haar gepensioneerden. Dat is minder fraai. En geeft het ABP bij herstel van de dekkingsgraad de gecumuleerde inflatievergoeding, of blijven de uitkeringen eeuwigdurend lager?

Er zijn dus wat vragen. Onderzoek moet daarop antwoorden kunnen geven. En onderzoek komt er. De Financiële Telegraaf - 25-8-2009 publiceerde het volgende: “Gisteren maakte Donner de namen bekend van twee onderzoekscommissies. Oud-ABP-belegger Jean Frijns moet met twee medeleden bekijken of pensioenfondsen de afgelopen jaren wel verantwoord belegden. De commissie moet zich vooral concentreren op de ontwikkelingen in de samenstelling van de beleggingsportefeuille. Daarbij worden ook de resultaten van een recent onderzoek van toezichthouder DNB bij tien pensioenfondsen meegenomen. Frijns moet in deze functie een deel van zijn eigen werk controleren. Tot eind 2004 was hij de hoogste belegger bij ABP. Op dit moment zit hij in de beleggingscommissies van PGGM (Zorg en Welzijn) en van de pensioenfondsen van Unilever en Stork. Frijns zegt de zaken goed te kunnen scheiden. ‘Bij ABP ben ik lang genoeg weg om onafhankelijk te kunnen opereren. Mijn huidige functies zijn puur adviserend. Ik acht mij niet verantwoordelijk voor het beleggingsbeleid van de drie fondsen waar ik actief ben’.”

Waarom zou Frijns deze beker niet aan zich voorbij willen laten gaan? Met verwijzing naar zijn voorafgaande en huidige activiteiten zou iedereen hebben begrepen dat hij hier verstek moest laten gaan.

The Effect of Corporate Restructuring on the Shareholders’ Value: The Case of GEC/

GEC/Marconi’s transformation from a diversified conglomerate to a focused telecommunications and information technology company was an eventful and rambling transmission that resulted in the deterioration of shareholders’ value.

It represents one of the most dramatic falls from grace in British corporate history and one of the greatest corporate governance fiascos of all time. The study investigates the wealth effects of Marconi’s sell-offs and acquisitions on its shareholders’ value by calculating the abnormal returns on the announcement days of all the disposals/acquisition during 19962002. The results support the view that shareholders’ value increases when a company proceeds to corporate sell-offs to pursue a focus strategy. However, the authors conjecture that GEC/Marconi has destroyed shareholders’ value through these disposals/ acquisitions because of several mistakes, such as being prone to heavy debt.

Literature Review and Hypotheses Development Divestiture of an asset takes place when the asset holds back the seller’s other operations. That would be the case if, for instance, the seller’s main operations were unrelated to that asset. An immediate consequence of a sell-off would be an increase in focus, i.e. the seller’s business would operate more resourcefully. However, research on divestiture has generated ambiguous results (Brauer, 2006).

Boudreax (1975) conducted one of the first studies on divestiture and its impact on shareholders’ value.

He collected data from 1965 to 1970, for 169 US corporate divestiture, of which 138 were voluntary and 31 involuntary. He argued that if a company divests, then it gives up the cash flows associated with the divested assets and takes on the cash flows of the acquiring divisions. A positive net present value to the divesting firm should be related with an increase in shareholders’ value.

A negative net present value would imply the opposite. He finds that voluntary divestitures are associated with abnormally positive price movements in the firm’s shares and that if the divestiture is done properly, the reaction of the market is similar to the reaction from an acquisition or merger announcement; that is an increment to shareholders’ wealth. Moreover, he supports the view that the market reaction is consistent with financial theory and the then existing evidence of price movements related to such corporate announcements. Jain (1985) conducted a similar study to investigate the effect of voluntary sell- offs on stock returns. She studied a sample of a thousand sell-off events and found strong evidence that both sellers and buyers receive significant abnormal positive returns. She also found evidence that for a period before the sell- off announcements, the sellers experienced significant negative returns and thus supports the view that the sellers performed poorly before the sell-off had taken place.

Klein (1986) examined how the information revealed on the announcement day of a sell-off affects the return of the relevant share. He found that the returns on shares vary according to whether the transaction price is announced or not. He calculated both daily and cumulative average returns for a number of sell-offs and the results led him to reject the null hypothesis that on average a sell-off announcement has zero or negative effects on the ordinary shareholders’ wealth. Furthermore, on average, a sell-off announcement results in significant but small positive excess returns for the seller, but not for all the announcements. He found that for the sub-sample where the transaction price was not revealed, the effect of the announcement was not statistically different from zero. For the sub-sample where the price was revealed, the returns were significantly positive. Finally, he found a positive relation between the relative size of the divestiture and the share returns: the larger the sell-off, the larger the return.

Another early study by Hite, Owers and Rogers (1987) supports the efficient deployment hypothesis of asset sales. This hypothesis states that a sell-off promotes efficiency by assigning assets to better uses and the seller attains some of the ensuing gains. Moreover, managers should only hold on to those assets for which they have a comparative advantage, but sell them as soon as another firm gains that advantage and can manage them more resourcefully. Shareholders then make a profit from sell-offs eventually, whether managers decide to re-invest the earnings or pay them out.

Lang, Poulsen and Stulz (1995), challenged the above hypothesis and put forward the financing hypothesis of asset sales. According to their research, “management values size and control, so that it is reluctant to sell assets for efficiency reasons alone” (p. 4). Accordingly, the dominant reason for a sell-off is to provide funds when other resources of financing are too expensive.

Equity sales are considered unattractive mainly because of agency costs of debt, or asymmetries of information. They also support the view that once a sell-off is completed the value of the

asset increases because if it had turned out to be low, the sale would not have happened. Their empirical results are consistent with the financing hypothesis of asset sales, rather than with the efficient deployment hypothesis.

They find that firms that sell assets are usually poor performers and/or, have high debt. Moreover, the typical firm sells assets primarily because of financial distress, rather than because of finding out that another firm would run the asset more efficiently. This contradicts the result of the efficient deployment hypothesis that the stock price reaction to a successful sell-off is related to the use of the proceeds. Instead they find that when the proceeds of a sell-off are used to pay debt, there is a positive stock price reaction; a negative or insignificant stock price reaction follows sell-offs for which the proceeds are expected to be kept within the firm. Comment and Jarrell (1995) considered focus from a different point of view. In their study, they try to see how the diseconomies of scope in the 1980’s led to focus and if focus is consistent with an increase in shareholders’ value. Finally, they examine the relationship between stock returns and focus. According to their research, focus changes as a company divests or acquires new businesses, or it can shift over time depending on the growth rate of the industry. Comment and Jarrell found that negative economies of scope were present during the 1980’s, which led to an increase in focus, which is consistent with shareholders’ value maximization.

Kaiser and Stouraitis (2001), conducted an extensive study on Thorn EMI to evaluate the effects of reversing diversification and the results on shareholders’ value after reinvesting the proceeds of asset sales. The results contradict the theory that shareholders’ value is destroyed if the proceeds from asset sales are reinvested for expansion purposes through acquisitions. Briefly, in 1985, Thorn EMI was one of the largest diversified UK conglomerates whose stock price had declined by 44% in the previous 18 months and was trading at a diversification discount of 68%. The change in management led to an eleven-fold increase in its market capitalization by 1996 and an outperforming stock price. The new management had divested all the non-core operations of EMI and reinvested the proceeds in the core music division. Kaiser and Stouraitis, find that contrary to the theory, managers do not destroy shareholders’ value when they reinvest the proceeds from asset sales for expansion through acquisitions.

When the conglomerate lacked funds for investment in its music division, it was decided to raise funds through asset sales. The stock market met the company’s announcements of acquisitions in music with positive reaction. Kaiser and Stouraitis attributed the increase in Thorn EMI’s value to the fact that management chose to exit from declining industries,

pursue a focus strategy and to specific restructuring and other strategy-related announcements made.

They report abnormal returns associated with thirty-four major restructuring events and they found that divestments resulted in large positive market reactions. Correspondingly, most music acquisitions resulted in positive market reaction.

Their results support the hypothesis that refocusing the firm and reinvesting the proceeds from asset sales in acquisitions that strengthened the music division created value for shareholders. Thorn EMI raised funds by sell-offs to focus on their core activities and experienced operating performance advances and value increases.

Research Hypotheses In this study, three hypotheses are tested in an attempt to understand and explain what happened to Marconi’s shareholder value throughout the period under study. They examine how it was affected after the announcements of the sell-offs to pursue the focus strategy, the announcements of the acquisitions and finally the announcements of the sell-offs to reduce leverage.

In particular, the following hypotheses are tested: H1: Shareholders’ value increases after the announcement of a corporate sell-off whose proceeds are used to increase focus H2: Shareholders’ value deteriorates after the announcement of an acquisition for expansion purposes H3: Shareholders’ value increases after the announcement of a corporate sell-off whose proceeds are used to decrease leverage.

Research Methodology This study concentrates on one company, Marconi, and uses the theory in an attempt to understand and explain the specific.

An explanatory case study approach was employed here to explain the reason behind an observed practice (focus strategy).

The aim is not to produce generalizations but to provide explanations for observed practices. The case study research method has been criticized as an immature or pre-science subject area, because one cannot generalize from a single experiment. However, to find whether a theory explains the observations, one needs to replicate the ‘experiment’ both in similar and in different conditions. In particular, considering the theory behind corporate sell-offs, Kaiser and Stouraitis (2001) conducted their case study on a successful company that managed to create and sustain shareholders’ value after the focus-strategy. But one cannot conclude that what they found is applicable for each company that pursues a focusstrategy, especially for these companies that have had a ram-

bling restructuring period and are now in great financial trouble, like Marconi Corporation.

By conducting a similar case study on Marconi, the findings can be compared with Kaiser and Stouraitis’ (2001) and evaluate whether the theory can in fact be applied to both successful and unsuccessful companies.

Case studies are viewed as a way to use a theory to explain observations. If the theory provides convincing explanations, it is retained and used further. If not, it is rejected and modified.

If a sufficient number of similar case studies can be collected, researchers would be able to generate a theory. However, researchers should be careful not to fall into “the trap of trying to select a representative case or set of cases” (Yin, 1984:39), in order to produce statistical generalizations.

Marconi is by no means a representative case, rather a critical one and that is why it was chosen to test the theory. The objective was to determine whether the theory provides plausible explanations for critical cases, or whether alternative theories need to be generated.

of acquisitions/ disposals according to whether they stand out of the sample due to peculiarities. At the end of the group’s discussion, an overall critic of the results is given to explain whether they are consistent with the theory.

Analysis of disposals for focus strategy In December 1996, Simpson outlined the group’s disposal plans (see Table 1). The first disposal of an unwanted business was that of Satchwell Controls, the UK’s largest manufacturer of systems to manage temperature, airflow and humidity in commercial buildings. Satchwell Controls was sold to Siebe, a diversified engineering group for £80m including debt.

Satchwell had been part of GEC since 1968. In the year before the sale it delivered record profits, making £4.9m from sales of £60.3m. It had net assets of £9.4m and employed around 1,000 people. Despite Satchwell’s success, Simpson was more concerned with focus and Satchwell had to go.

Data Collection Method Annual reports and financial statements are the major means of understanding and explaining the financial situation of a company across time and they were obtained from Marconi’s web site (www.marconi.com). Moreover, stock market data were obtained from DataStream to calculate the abnormal returns around the announcement days. The announcement dates of each acquisition/disposal were carefully obtained from Marconi’s website and major UK newspapers through the Lexis-Nexus Database. Additional data sources are referenced in the text when appropriate.

The History of the Restructuring of GEC/Marconi and its Effects on Shareholders’ value Following Lord Weinstock’s departure in 1996, George Simpson was appointed as chief executive of GEC. In December 1996, he started his new plan to restructure the business assembled by his predecessor. After announcing the half-year results, he outlined the group’s disposal plans. He intended to sell large parts of its industrial businesses that did not belong to GEC, which were made up of more than 150 separate companies.

Simpson drew up a strategic plan to be completed by July 1997 and expected to raise £300 million from the sales. 1997 was an important year in shaping the future direction of GEC. Apart from Simpson’s plan to dispense all activities not seen as central to GEC’s future, his biggest concerned focused on GEC-Marconi, (the defence business), since he considered it to be at the heart of the future of GEC. In the analysis to follow, there are some comments on groups

The second disposal took place a few days later. GEC sold AB Dick, its Chicago-based office equipment company to Paragon Corporate Holdings Inc. The sale price was not revealed. AB Dick together with Videojet, a printer manufacturing business, made operating profits of £37 million with a £299 million turnover. Its performance however, was not satisfactory according to GEC’s standards and off it went.

The next disposal was that of the Wire and Cables Group on 19th March. The business was sold to TT Group Plc for £16 million in cash. The Wire and Cables Group had a turnover of £197 million, profits of £2 million and net assets of £34 million.

The last two disposals of this group were the disposals of Marconi Instruments to IFR Systems Inc for £65 million and a few days later the disposal of GEC Plessey Semiconductors to Mitel Corporation for £135 million. Marconi Instruments included business units in Britain, France, Spain, Germany and the United States. It had £4.5 million profits on sales of £65.9 million. GEC Plessey Semiconductors had sales of £215 million and profits of £7.2 million. All the above disposals left GEC with almost £1 billion in hand, to pursue its focus policy.

According to the theory, one would expect the share price of Marconi to rise, which in turn would give positive abnormal returns. In most of the above disposals not only are low abnormal returns reported, but also, in the case of GEC Plessey Semiconductors, the abnormal return is negative. Apart from the AB Dick return, no other return is even close to being significant, a fact that is contradicts the theory. On the announcement day, investors are very cautious and in some cases they even have a negative reaction. In many cases, the returns on Marconi are negative; not just for the disposal day but for the next two days also. One might argue that these five disposals were part of GEC’s new managing director’s strategy and since investors were not familiar with his methods they did not support his plan. On the other hand, the abnormal returns on the Satchwell disposal were found, surprisingly, to be lower than the abnormal returns of other disposals. Actually, the expectation was to report quite high abnormal returns for the first disposals, since they represented the new focus strategy, which at the end of the day, was what shareholders wanted. In all of the above disposals the abnormal returns seem to follow at an increasing scale. It is worthwhile noting that as days pass investors seem to react more to the news and the market also reacts in a more upbeat manner. This results in largely significant BHARs for the fifth, sixth and seventh day’s windows. This fact is consistent with the theory that the announcements of corporate sell-offs result in large positive stock market reaction.

However, it is to be noted that in the Satchwell disposal the BHAR[-1,4] and the BHAR[-1,5] are significantly high and this could be effected by the AB Dick disposal, which took place in the fifth day of the window.

Analysis of acquisitions for focus strategy March and April of 1999 witnessed two very important acquisitions taking place with ambiguous consequences for shareholder value. In the middle of these two acquisitions, Marconi also acquired Logitron and Tetrel Ltd on the 3rd March, for which positive significant abnormal returns are reported. In this section the Reltec and Fore acquisitions and their impact on shareholder value in the short and longer term are analysed.

On the 1st March 1999, Marconi acquired the US telecommunication network products company, Reltec for £1.3 billion ($2.1 billion). Reltec based, in Ohio, was at the time a fast expanding operation with sales of more than $1 billion annually. In the year ended 31st December 1999, Reltec reported revenues of $1,067 million and net income of $30 million. The sale price of $2.1 billion included net debt of $361 million and was equivalent to an agreed price of $29.50 per share in cash that represented a premium of 36% on the closing price on Friday 26th February.

Reltec became part of the Marconi Communications’ group and would sell Marconi’s products to the US market, with its own products being incorporated in Marconi’s portfolio. It represented

an attractive acquisition because firstly, it gave Marconi access to the US market and secondly, the synergies between Reltec and Marconi in terms of products created a new product portfolio that would increase the size of the markets addressable by Marconi.

Thirdly, Reltec would strengthen Marconi’s existing portfolio of products, making Marconi more attractive to its existing customers. Size and geographic reach were becoming increasingly important in the industry at the time, therefore the Reltec acquisition would help Marconi to create a global enterprise with competitive advantages and significant value to shareholders. The acquisition was expected to enhance earnings per share before goodwill and group cash flow return on investment.

On 26 April 1999, Marconi announced the acquisition of Fore Systems Inc, which was based in Pennsylvania and was a leading designer and producer of high performance networking products based on ATM and IP technologies. The acquisition price was £2.8 billion or $35 per share in cash, which represented a premium of 43% on the Fore closing share price on Friday 23rd of April. Fore’s revenues were $632 million with gross profit of £346 million and at that time it was a leading global supplier of high performance, internet switching equipment. Along with Marconi Communications’ leading optical network solutions and next generation access products (acquired with Reltec), Marconi was positioned at the front of the rapidly growing global communication infrastructure market. Fore was an attractive acquisition at the time because it would strengthen Marconi’s presence in the USA, which was the world’s largest market for telecommunications equipment. That would provide Marconi with access to new markets and new customers, extend Marconi’s market portfolio and give a big boost to their sales. It was expected that the acquisition would be neutral to Marconi’s earnings per share before goodwill in the year to follow, but would enhance earnings thereafter.

At the time, the market welcomed both US acquisitions.

They were seen as a wise move by GEC because they would increase its market value and the synergies between GEC and the acquired companies were excellent in terms of the existing industry, the potential of the industry and management expertise. Reltec’s management team and employees would bring depth of experience in sales, marketing and operations. A significant 5.46% abnormal return is reported for the Reltec acquisition with high BHAR for all time windows of 7.42%, 13.46%, 13.67%, 9.54% and 9.19% respectively.

Let us point out though that the return on the FTSE 100 on the announcement date of the acquisition was –1.8%. Overall, the Fore acquisition was thought to be a “bargain”. Marconi paid a huge amount of money, to achieve a huge amount of money. The announcement of the acquisition was taken very warmly by investors, increasing shareholders’ value. The abnormal return on the day of the announcement was quite significant (3.92%) and the BHAR for all time windows were increasingly and positively significant. Accordingly, the return on the FTSE 100 on that date was 1.17%. However, the market might have welcomed these two acquisitions too warmly. Firstly, ATM (connection oriented technology), which was Fore’s specialty was not too fashionable at the time, so the extreme abnormal return reported the day of the acquisition is not validly justifiable. Secondly, the prices paid for these two companies were thought to be too high. In the case of Reltec there was a 36% premium on the closing share price; plus the sale price incorporated net debt of $361 million.

The price paid for Fore was also seen as high: a premium of 43% on the closing share price. These two large cash purchases enhanced shareholders’ value at that time, but one cannot help wonder what their impact was in the longer term. The answer could be, almost with certainty, that they contributed to Marconi’s transition to an over-debted and value-destroying company. To be more precise, to pay for these acquisitions, Marconi could only use cash because it was not compliant with the US Foreign Corrupt Practices Act and could not list shares in the US for use as acquisition currency. Thus Marconi had to borrow £2.1 billion to finance these acquisitions. That however was not manageable debt and there is no doubt that Marconi’s management made over-optimistic assumptions in 1999 about the potential for growth in Reltec and Fore. In the longer term, the consequence of these two acquisitions was value destruction.

According to theory, the announcements of these acquisitions should be related to negatively significant abnormal returns, which is not the case here. Positive abnormal returns are reported, which mean an increase in shareholders’ value. However, the authors conjecture that even though the immediate effect of the announcements was positive, shareholders’ wealth deteriorated eventually because of the debt problems associated with the acquisitions on later dates. This conjecture is based on the assessment of the data, financial reports and above all, on facts. At the very end of 1999, Marconi’s share price was outperforming the FTSE 100. The company had made rapid progress as communications equipment and IT provider. Lord Simpson had succeeded in pursuing his focus strategy and in mid 2000 when the company reported its full-year profits, the figures more than fulfilled analysts’ expectations.

Sales in core business had risen by 40 per cent and operating profits had gone up by 48 per cent. After all the successful acquisitions, Marconi needed to win some big orders to keep its place at the top. In September 2000 Marconi’s share reached its peak at £12.50. However, in 2001, after BT and other telecom service providers cut back on their capital spending on equipment, Marconi’s order book plunged; so did the telecommunications’ sector; so did the FTSE- 100; so did Marconi’s share price. Table 3 shows turnover, operating performance and earnings per share for the years from 1996 to 2002. The deterioration in turnover began in 2001 and was very obvious by 2002. Table 3 shows turnover, operating performance and earnings per share for GEC/Marconi. Turnover figures are given for continuing and discontinued operations (in parenthesis). Operating performance figures are for continuing operations, excluding goodwill amortization and exceptional items. Figure 1 shows standardized values for Marconi’s stock price, the Telecommunication’s Index and the FTSE 100 index during 1996-2002. Marconi’s share price was heading for a tumble.

Analysts at that time said that Marconi was rather unlucky because of the state of the market.

Furthermore, the company had severe debt problems. At the year ending 31st March 2001, Marconi’s net debt amounted to £3,167 million. After a number of profit warnings during the same year, Lord Simpson ceased being part of Marconi’s management team. The company then pursued a new strategy of further disposals, but not for the purpose of focusing; rather to reduce its debt. In October of 2001, Marconi announced its first disposal to reduce net debt.

After four major disposals (Medical Systems, Commerce Systems, Data Systems and the 50 per cent stake in GDA), as well as a number of non-core asset disposals, Marconi managed to raise £1,559 million and reduce its net debt to £2,865 million in the year ending 31st March 2002.

This group of disposals gave results that support the “financing hypothesis of asset sales” discussed earlier, according to which the stock price reaction of a successful sell-off is positive if the proceeds are used to pay back debt. Out of a total of eight disposals to reduce net debt, one produced a quite significant abnormal return of 1.79 percent and the rest enhanced shareholders’ value by very significant percentages. On average, the new disposals’ strategy to reduce net debt enhanced shareholders’ value. Two disposals’ announcements had a negative impact on shareholders’ value, but that is attributed not to the nature of the disposal but to negative news appearing in newspapers about Marconi’s debt.

In particular, the –4.4% abnormal return on the Marconi Medical Systems disposal was a product of Marconi’s announcement about renegotiating its banks’ contracts. Marconi intended to request a longer term for its loans and offer banks higher interest rates. The debt would be moved from the company to the subsidiaries which would give banks greater access to cash flow. Marconi was portrayed as a company without a future and that affected its share price around those days. The same situation resulted in the Lottomatica and the Data Systems disposals, for which a negative abnormal return of –3.45% is reported.

Around those days, Marconi’s image in the corporate world was rather vague; it was represented as a company debilitated by corporate debacles and debt. Overall, it must be pointed out, that,

unlike in the case of sell-offs to pursue a focus strategy, in this case the BHAR for all the day windows does not follow an increasing scale. As days pass, when the abnormal return is negative it becomes more negative; when it is positive, it becomes less so. Additionally, it should be noted that the BHAR around the days of the first Lottomatica disposal (28 Nov 2001), the second Lottomatica disposal and the Data Systems disposal (5 Feb 2002) may be enlarged because of further disposals that took place around these days.

average it was found that shareholders’ value increased. This finding is consistent with Comment and Jarrell’s (1995) findings. However, shareholders’ value strongly deteriorated from 1996 when Lord Simpson took over and imposed the focus strategy. Therefore, the authors conjecture that in this particular case, shareholders’ value was destroyed by the focus strategy, but this result was not observable in the abnormal returns calculated on the announcement dates. The test of significance conducted for the seven-day window supports this conjecture.

Conclusion This case study examined GEC/Marconi’s conversion from a diversified conglomerate to a focused telecommunications and information technology company. The diversification period between 1968-1996 and the restructuring period from 1996-2002 were examined. The restructuring of GEC/Marconi was a gradual one. Therefore, this case gave the opportunity to quantify some of the benefits/costs of the gradual restructuring and to test the following hypotheses: H1: Shareholders’ value increases after the announcement of a corporate sell-off whose proceeds are used to increase focus H2: Shareholders’ value deteriorates after the announcement of an acquisition for expansion purposes H3: Shareholders’ value increases after the announcement of a corporate sell-off whose proceeds are used to decrease leverage.

The abnormal returns on the announcement days and the buy and hold abnormal returns around the announcement days (7 day window) for forty-four acquisition/disposal announcements were calculated. Information about the sale price and the sellers/ buyers of the disposed/acquired businesses was also gathered in an attempt to assess the validity of GEC/Marconi’s actions.

Evidence was found to support the theory that corporate sell-offs are connected with positive stock price reaction. However, it is reported that some disposal announcements were related with significantly high negative abnormal returns. The results are consistent with Boudreax (1975), Jain (1985) and Klein’s (1986) findings.

Similar results were obtained for the disposals whose proceeds were used to reduce leverage. Most of the abnormal returns reported were excessively positive, as supported by Lang et al.

(1995), with only two cases of highly negative abnormal returns.

Finally, the stock market’s reaction to the announcements of acquisitions (to pursue the focus strategy) was examined. On

However, evidence supporting the theory was found in a few cases: the analysis of GEC/Marconi reveals similarities and differences compared with the restructuring of Thorn EMI (Kaiser and Stouraitis, 2001). The Thorn EMI case contradicts the idea that managers destroy shareholders’ value when they reinvest the proceeds from asset sales for expansion through acquisitions. The only difference between the current case study and the Thorn case study, is that, even though the market met Marconi’s announcements of acquisitions/disposals with a positive reaction, Marconi’s shareholders’ value deteriorated during the restructuring period and never managed to recover.

At the end of 1996, GEC’s infamous cash mountain had to be invested. Shareholders were demanding focus to achieve value for their money. The obvious path for the diversified conglomerate was to pursue a focus strategy. Its decision to concentrate on the telecommunications and information technology sector was welcomed by everyone. Lord Simpson planned his new strategy efficiently, but the results were not easy to predict. The telecommunications sector downturn had its effect on the results as well. The restructuring was accompanied by heavy debt and an extraordinary decrease in shareholders’ value.

Finally, this case study raises a number of questions that could be addressed in future research on corporate restructuring. In particular, could it be the case that there is no unique answer as to whether a focus strategy through corporate sell-offs, is value enhancing on an individual basis? Under what conditions do corporate sell-offs and the reinvestment of the proceeds for acquisitions become value enhancing? What obstacles does a company face during its restructuring period?

Corporate restructurings: ripple effects on corporate philantrophy Jennifer J. Griffin Corporate restructurings, by their very nature, are inherently disrupting. With managerial discretion potentially curtailed, the ripple effects of restructurings are likely to be widespread and long-lasting. This paper examines the effects of donations from corporate philanthropic foundations after acquisitions and thereby addresses this gap apparent in current empirical research literature by presenting an testing a model of the effects of M&A’s on corporate philanthropy, integrating insights from business strategy, corporate citizenship, philanthropy and corporate public affairs (PA) literature.

Examination of the impacts of corporate citizenship and business strategy is warranted in today’s research on corporate restructurings, since larger acquisitions are occurring more frequently, and acquisitions have the potential to adversely affect large numbers of individuals.

As ever-larger firms consolidate, with record-breaking merger announcements, the potential for increased scrutiny by the media, shareholders, anti-trust officials and salient stakeholders is heightened. These findings, contrary to predictions, suggest that corporate philanthropy increases during the first year after an acquisition within the same industry. Moreover, the increase is sustained.

Literature review Conceptually, corporate philanthropy can be considered to be an ad hoc extension of marketing; an outreach project of the chief executive officers (CEOs); a buffer that mitigates issues; or a fully functional strategic entity with millions of dollars of resources (Smith 1994; Altman 1997; Porter and Kramer 2002). Corporate foundations annually give a percentage of profits to specific organisations, encourage volunteerism among employees on company time, lend employees money to buy homes contingent upon those employees working in the community or encourage grassroots political activism (Rogers and Zimet 1986; Brammer and Millington 2002).

While the communities are increasingly expecting such donations (Sharfman, 1994), these expectations could go unmet. Communities are often considered within the secondary, and only occasionally primary, area of involvements of firms (Preston and Post 1975; Clarkson 1995). Community outreach in the form of philanthropy has traditionally been considered as a discretionary activity (Carroll 1979). That is, philanthrophy funds, if they exist, stem from slack resources (Bourgeois 1981). Perceived as a discretionary activity, philanthrophic activities have often suffered from a lack of consistency. Lack of consistency in funds, focus and staffing hampers year-over-year community investment efforts. A lack of consistency in both rhetoric and resource allocations in the short and the long term often indicate a diminished role of philanthropy and the importance of the local community to an organisation.

Recent arguments for philantrophy as a competitive advantage (Porter and Kramer 2002), and suggestions of the wide-ranging positive impacts of strategic philanthropy (Mescon and Tilson 1987; Alperson 1995; Buchholtz et al. 1999; The Conference Board 2000; Financial news 2000)

create an alternative explanation questioning the ‘discretionary’ nature of philanthropic funding.

Furthermore, some suggest that firms are in need of securing from these secondary stakeholders, local communities and governments, a ‘licence to operate’ (Post et al. 2002; Corporate Public Affairs 2003). This suggests that firms are evolving from a traditional role of corporate-community involvement.

Firms are becoming attuned to the changing expectations and demands of communities whether they meet, mitigate or counter these demands. Anecdotal evidence suggests that the ripple effects of organisational activities have a significant impact, are important and require a viable corporate response because community stakeholders do affect the ongoing operations of the firm. Furthermore, the social fabric of local communities is being re-examined in the light of ‘serial’ acquisitions and unanticipated corporate restructurings. These alternative explanations of strategic uses of philanthropy, as opposed to a discretionary activity, and the evolving role of corporate-community relations warrant further investigation.

Philanthropy and private foundation decisions are generally integrated into the responsibilities of a top management executive, often reporting directly to the CEO, challenged with managing multiple external constituencies. In US firms, the additional responsibilities which this executive may have include: direct corporate contributions, media relations, community relations and governmental relations (Foundation for Public Affairs 1999, 2001; Post and Griffin 1997; Post et al. 1982). In EU and Australian firms, corporate PA executives often have issues management and community responsibilities combined with corporate contribution decisions,

with sometimes less of an emphasis on governmental relations (Canadian Council for Public Affairs Advancement 1999; The Australian Centre for Corporate Public Affais 1996; Griffin and Lenn 1998). Within a firm, corporate PA functions may create an opportunity to leverage multiple relationships, including philanthropic relationships, for organisational effectiveness.

An ability to leverage relationships suggest an integrated or embedded approach that can lead to strategic corporate philanthropy. Alternatively, additional responsibilities may distract the executive from effectively managing community involvement activities, resulting in ‘cheque-book’ philanthropy (Andriof and McIntosh 2001) – supporting the traditional view of philanthropy as a discretionary activity.

As either a discretionary or a strategic resource managed by an executive solely focused on philanthropy, or in conjunction with other responsibilities, philanthropic decisions are likely to be affected by acquisitions. In the next section, we extend the business strategy literature on M&As to examine philanthropic impacts. Then, we examine the corporate citizenship literature within an M&A context, to create a model and hypotheses.

Business strategy literature Corporate restructurings, in general, and M&As specifically, are tools to further a firm’s economic interests. Primary rationales for acquisitions are generally two-fold: diversifying interests to mitigate uncertainty or integrating resources/ assets to increase synergies. Diversification and integration strategies help firms to achieve greater market power via economies of scale and scope, increase profitability and global competitiveness (Hitt et al. 2001).

Diversification often eliminates or lessens existing interdependencies (Pfeffer 1972). Minimising interdependencies reduces risks (Hitt et al. 1996) and creates a stable operating environment. Firms heavily reliant upon volatile governmental contracts with cumbersome reporting requirements, for example, may diversify their holdings to minimise its risks and its governmental dependencies (Pfeffer 1972).

Diversifying can gain access to new resources and new markets by creating new combinations of resources and markets (eg worldwide telecommunications, cable and internet consolidations). Creating the potential for growth via access to new markets and creating a stable operating base, minimising cyclical economic impacts, are two primary benefits of diversification. A more stable economic base over the long term can, in turn, lead to larger and more stable slack resources, such as philanthropic donations by corporate foundations.

Alternatively, acquisitions based on integrating resources/ assets are often justified by the synergies they create (Sirower 1997); Feldman and Spratt 1999). Synergies of some form are essential and are often achieved by acquiring complementary resources.

Complementary resources, in which the assets/resources or capabilities are not redundant with the acquiring firms’ resources, combine with existing resources to enhance profitability (Hitt et al. 1998, 2001).

Each economic-based acquisition strategy is likely to affect a firm’s philanthropic activities after an acquisition. Economic rationales, however may be attenuated by the firm’s existing relationships with its community and its corporate citizenship ideals. Corporate citizenship literature will now be examined for additional factors affecting philanthropic funding following acquisitions.

Corporate citizenship literature Corporate citizenship, the process of identifying, prioritising

and responding to the company’s intertwined social, political and economic responsibilities (Post 2000; Andriof and McIntosh 2001), focuses on the relationships that dfefine and engage organisations with their external stakeholders. It speficially emphasises the examination of salient constituencies that have a ‘stake’ which can affect, or are affected by, firms’ actions (Freeman 1984; Mitchell et al. 1997; Post et al. 2002).

Salient constituencies during acquisitions include customers, governmental officials, investors or unionised employees.

When viewed as part of corporate citizenship, philanthropy is much more than ‘cheque-book’ philanthropy (Andriof and McIntosh 2001). Rather, corporate philanthropy is one mechanism within the corporate tool kit regarding the motivations, processes and outcomes of managing external relationships.

While restructurings do, and will, occur, how they are managed is likely to be reflected in broader, longer-term impacts on the firm’s reputation, trust and goodwill.

Restructuring significantly affecting the ‘stake’, including both economic and non-economic stakes, of these constituencies is likely to result in increased scrutiny and potentially vocal opposition.

While simple to rectify, given appropriate emphasis, communities and philanthropic recipients are often overlooked during uncertainties of restructurings – reinforcing a perceived lack of commitment and mistrust between the corporation and its community – regardless of dollar donated (The Conference Board 2000; Malkerson 1999).

Overall, a corporate citizenship view of the firm examines multiple sets of stakeholders that affect and are affected by corporate restructuring processes (Andriof and McIntosh 2001; Waddock 2001; Post et al. 2002; Freeman 1984). This includes philanthropic funding recipients. PA executives can use this broader perspective to anticipate and proactively mitigate unintended consequences from increased scrutiny by local, and often vocal, constituents.

Simultaneously examining corporate citizenship and business strategy impacts is warranted in today’s corporate restructurings, since larger acquisitions are occurring more frequently, and acquisitions have the potential to adversely affect large numbers of individuals (Hubbell 1993; Chase et al. 1997). As ever-larger firms consolidate, with record-breaking merger announcements, the potential for increased scrutiny by the media, shareholders, anti-trust officials and salient stakeholders is heightened.

The model and hypotheses The dearth of theoretical or empirical research examining the impact of M&As on philanthropic activities may be due to the fragmented aspects of the issues examined separately in various papers. This model begins to bring various published studies together for a more holistic view, suggesting that corporate philanthropic activities after acquisitions are shaped by both economic (strategic) and corporate citizenship contexts.

The hypotheses are developed below.

Business strategy hypotheses M&A decisions are driven primarily by organisational economic gains. Diversifying holdings or integrating resources are likely outcomes of organisational restructurings. Diversification strategies mitigate uncertainty by expanding control to unrelated products and markets, leading to stable and reliable earnings.

Stable earnings through long-term economic cycles increase slack resources and create resources to fund discretionary activities such as philanthropy. Firms with more relilable earnings may be inclined to make larger, long-term contributions. Since this present study is only interested in short-term activities, we cannot test for changes in long-term contribution patterns.

Integration strategies, however, increase the likelihood of creating redundant resources. Redundant resources are likely to be rapidly rationalised during this type of consolidation. A number of administrative and routine activities that are discretionary costs are likely to be eliminated or reduced. These integration strategies occur when a firm from one industry acquires another firm within the same industry, creating significant overlap in operations, distribution channels or services.

Consolidation within similar industries, especially when two large firms are merging, creates redundancies that probably need to be eliminated. This leads to our first hypothesis.

Hypothesis 1: Philanthropic funding will decrease after acquisitions within similar industries.

Similarly, if an acquisition occurs within the same geographical area, there are likely to be redundant resources that need to be eliminated. When serving geographically similar charities, for example, lists of philanthropic recipients are likely to be carefully examined and ‘double-dippers’ are eliminated. If two merging firms funded the same recipient organisations, the combined firm may give this recipient only one, smaller grant. Overall, the philanthropic funding is likely to decrease.

This leads to our second hypothesis.

Hypothesis 2: Philanthropic funding will decrease after acquisitions within similar geographies.

Corporate citizenship hypotheses As a discretionary resource, philanthropic funding is likely to fluctuate, depending upon the needed support and scrutiny of salient stakeholders such as the government, employees or communities. Increased scrutiny is likely to occur during hostile acquisitions (Bhagat et al. 1999; Hanly 1992; The Conference Board 2000), since they ‘invite strong reactions, both positive and negative, from academics as well as the general public’ (Bhagat et al 1990: 1). With strong reactions and increased scrutiny, hostile acquisitions may increase philanthropic funding to create goodwill.

Conversely, without hostility between the acquiring and the target firm, increased scrutiny, no unusual philanthropic outlays or changes in funding patterns are likely to occur. It is easier to operationalise friendly (non-hostile mergers), rather than determining the existence of, or degree of hostility, as debated extensively in the academic literature (see, for example, Schwert 2000), this hypothesis is framed and testes as a friendly acquisition. This leads to the third hypothesis.

a relatively small firm, little/no anti-trust scrutiny is likely to take place, and top management and employees of the target firm will probably have minimal bargaining power to enhance philanthropic activities. This leads to the fourth hypothesis.

Hypothesis 4: Philanthropic funding will remain the same if a dominant firm acquires a target firm.

Methods The sample population consisted of all firms divesting or acquiring target firms, worth $100m or over, that were closed in the USA in 1997. The target, acquiring or combined firm had to have a private, corporate foundation. Concentrating on acquisitions over $100m was necessary to enhance the sample size and mitigate limitations of publicly available information for smaller firms (Hitt et al 2001). Acquiring and target companies were identified through Mergerstat research files. We examined only private foundation giving, rather than other forms of giving or self-reported outreach activities, to maintain the high reliability and validity of the data for US private foundation philanthropic funding via government mandated Internal Revenue Service (IRS) 990 PF forms. Firms’ company-sponsored, private, non-operating charities (i.e. private foundations) were the sole object of analysis, in order to create a homogeneous population for this initial study.

Firms’ financial data and private foundations’ philanthropic data were collected on acquiring and target firm for three years after the acquisition was completed. Because of differences in the way companies report financial information during transitions, data from the year of acquisitions were excluded (i.e. 1997). In all, 644 acquisitions worth over $100m closed in the USA in 1997. After eliminating trans­ actions with a non-US buyer (n=55), a non-Us target (n=90), those without publicly available information and organisations without a private foundation (n=316), the final sample population was 183 transactions involving 140 different acquiring organisations. This sample population is representative and large enough to draw statistical inferences.

Results and discussion Table 1 reports regression analysis results for each hypothesis.

The intention here was to examine how the philanthropic activities of firms differ after restructurings, by analysing strategic and corporate citizenship variables. All models are well specified, with adjusted R-squared values greater than 10 percent and overall F values significant at p ≤ 0.01, at a minimum.

Diversification often eliminates or lessens existing inter­dependencies Hypothesis 3: Philanthropic funding will remains the same during friendly acquisitions.

Alternatively, if a large, dominant firm acquires a smaller target firm, it is likely that the economically dominant firm will ‘take over’ the philanthropic funding policies and make the combined firm smaller to the acquiring firm’s original policies.

That is, little or no scrutiny is likely to occur. The small firm generates little widespread attention, based on its lack of economic power, while the much larger firm continues doing ‘business as usual’, without significant changes in discretionary activities such as philanthropy. When a dominant firm acquires

Industry similarity is statistically significant and is related to philanthropic funding after acquisitions. Yet, contrary to the direction hypothesised for the first hypothesis, acquisitions within similar industries significantly increased philanthropic funding. Increased philanthropic funding suggests that philanthropy is not considered a redundancy to be eliminated due to corporate restructurings. Private foundation funds are not necessarily just another opportunity to rationalise costs during consolidations.

It is speculated that increasing philanthropic monies after acquisitions may help to stabilise critical relationships

during the upheavals and uncertainties associated with corporate restructurings. Within similar industries, an emphasis on reducing redundancies and cutting overhead costs associated with relentless cuts in jobs, local investments, capital investments and R&D expenditure may create the need for a ‘positive’ win for the employees and local communities. Investments in philanthropy may take the form of ‘goodwill compensation’ as a purposeful efforts to offset or ameliorate the negative publicity surrounding the rationalisation efforts of restructuring.

Consistent and vocal community investments might be particularly important for enhancing corporate reputation, since current, future and laid-off employees are likely to live in local communities.

Furthermore, if consolidating industries are retail based, local charities might also be supporting local consumers, as well as local employees.

The second hypothesis was not supported. Combining firms with similar geographies had no statistically significant effect on philanthropic funding after acquisitions.

Similar geographies were defined as those firms having the same home state for their headquarters. Eliminating ‘double dippers’ may not make a significant impact on funding decisions, since the state by state comparisons may have included too broad a geographical area. A more fine-tuned approach – focus areas – might be necessary to examine the variance in philanthropic funding after acquisitions within similar geographical areas. An alternative explanation is that acquisitions within similar geographies may already have occurred (ie these ‘low hanging fruit’ opportunities were realised during acquisitions of the 1970s, 1980s or 1990s). As mergers continue in the 21st century, firms must look further afield for common synergies and strategic advantages to overcome the costs of acquisitions.

As expected, the third and fourth hypotheses were supported.

There was no change in philanthropic funding during friendly mergers or when a dominant firm was present.

Acquisitions occurring with little external scrutiny are not .likely to significantly, and positively, related to funding in every regression analysis. The larger the combined organisation, the larger was the philanthropic disbursements.

was analysed for the year of the merger (1997) and three years beyond the close of the merger (i.e. 1998 – 2000). Both types of integration strategies – industry similarity and geographical similarity were examined for a delayed effect.

Geographical similarity showed no changes in philanthropic funding for three years beyond the close of an acquisition; however, within similar industries, philanthropic funding increased during the first and the third years after the acquisition. After three years, industry similarity remained statistically significant at the p ≤ 0.05 level in increasing philanthropic funding. Both models are well specified ( p < 0.001), with an adjusted R-square of 13 per cent and 20 per cent, respectively. Overall, it was found that philanthropic funding increases and continues to increase after merges within the same industry.

Conclusions After corporate restructurings, community outreach via philanthropic giving, volunteering and sponsorships are generally believed to diminish or be eliminated. These findings suggest otherwise. Within similar industries, private foundation philanthropic funding significantly increased and continued to increase after M&As. This increase was sustained up to three years after the close of a merger.

Often disregarded as a non-operating, non-value generating aspect of the business, philanthropic funds are generally considered as discretionary activities that ebb and flow according to the economic slack of the firm. Yet, this study found that philanthropy funding increased after acquisitions within similar industries. More research is needed to understand if economic conditions or specific community stakeholders are affecting these increases in philanthropic funding.

Examining why there are increases in philanthropic funding after consolidations within similar industries may help to explain differences in philanthropy as a cost-cutting, discretionary resource versus a resource that creates new business opportunities or stabilises critical relationships (Porter and Kramer 2002). In addition, examining the ripple effects of corporate restructurings on community stakeholders may be explained by the power of specific stakeholders. For example, employees might live in the local community. Communities are an oftern overlooked – but potentially highly vocal, demanding and disruptive – stakeholder group during corporate restructurings. Increasing philanthropic funding after M&As may help to retain (or enhance) corporate reputation, trust and goodwill with local constituencies.

From a corporate PA executive’s perspective, it is in the firm’s best interest to underscore the message that corporate restructuring does not necessarily imply decreased philanthropic funding. Rather, philanthropic funds increase significantly after an acquisition and continue to increase after acquisition within similar industries. While our initial findings of increased philanthropy are contrary to economic expectations, there are two specific caveats to keep in mind.

First, this paper focuses on a portion of US corporate philanthropy – company-sponsored private foundations. This limitation is due to the desire for high-quality, valid, reliable and publicly available information from government-mandated IRS 990-PF forms. Secondly, additional avenues of corporate philanthropy were not considered in this study. All in all, the findings warrant further investigation.

Sensitivity analyses Sensitivity analyses were conducted to see if the increase in philanthropic funding during the first year after an acquisitions was a short-term phenomenon that reversed direction after a few more years, or if it was sustained for a period of three years. To test for a delayed lag effect, philanthropic funding

Tijdens mijn bestuursjaar voor de Financiële Studievereniging Rotterdam (FSR) kwam ik in aanraking met Ernst & Young en al snel werd ik geprikkeld door de wijze waarop deze organisatie zich presenteerde. Mede om deze reden besloot ik om voor mijn afstudeerstage voor Ernst & Young Advisory – Multi National Clients te kiezen.

Tijdens deze periode heb ik niet alleen mijn afstudeeronderzoek afgerond, maar heb ik ook de organisatie, de afdeling en de collega’s goed leren kennen. Zowel door het aanwezig zijn op kantoor, als ook zeker door de sociale activiteiten die ik bijwoonde, kwam ik erachter dat ik graag als advisor bij deze afdeling wilde komen werken.

Nu ik daadwerkelijk aan de slag ben, kan ik zeggen dat dit een goede beslissing is geweest.

studie, wat nu? en haar werknemers beter te leren kennen. Zo behoren een dag of langere periode inhousedag of borrellezing tot de mogelijkheden. Zelf heb ik dan ook graag van voor mijn toekomstige werkgever.

Ik heb gemerkt dat het werk als advisor nogal dynamisch is. Dit komt o.a. doordat de verscheidenheid van opdrachten enorm is, wat er voor zorgt dat het werk steeds afwisselend is.

Hiernaast geldt over het algemeen dat de projecten van langere duur zijn, wat de kans geeft om een organisatie goed te leren kennen, mede ook omdat je nauw samenwerkt met allerlei niveaus en afdelingen binnen de organisatie van de klant, alsook binnen Ernst & Young. Als laatst wordt er altijd in teamverband gewerkt, wat erg motiverend is. Bovendien geeft het echt een stuk voldoening om je samen met je collega’s in het zweet te werken zodat je uiteindelijk een goed advies kunt leveren aan de klant.

Iets meer dan drie jaar geleden stond ik voor dezelfde keuze als jij. Ik wilde mijn Economie scriptie graag bij een accountantskantoor schrijven, maar waar begin je met kiezen?

Mijn naam is Arjan Latour, ik ben Senior Staff bij Ernst & Young Accountants in Rotterdam. Ik ben na mijn bestuursjaar van de FSR begonnen met een scriptiestage bij E&Y. Ik was vervolgens niet meer weg te slaan. Wat maakt E&Y zo mooi?

De uitdaging! Naast de reguliere controle werkzaamheden die ik uitvoer bij clienten, heb ik bijvoorbeeld al te maken gehad met een aantal bijzondere onderwerpen .

In mijn korte carrière heb ik nu al te maken met uitdagende zaken zoals bijvoorbeeld een omgekeerde fusie met aparte inbrengverklaring en een beursgang.

Wij willen graag nummer 1 zijn in ons vak.

Ik vind mijn werk te vergelijken met topsport en E&Y heeft een heel team van topsporters zo’n klus te klaren. En het mooie is, bij deze topsport kan je daarna nog een biertje doen! Maar je kunt eindeloos blijven lezen over een sport, je weet pas echt of de sport leuk is als je deze ervaart!

Eén van die mogelijkheden is de master class naar Lillehammer in Noorwegen van 24 november t/m 27 november 2009.

Corporate Restructuring

in de praktijk Daniel Kizilirmak

Wij treffen Edwin van Wijngaarden in het kantoor van PwC in het Brainpark in Rotterdam, waar hij sinds 2009 als senior manager op de afdeling Business Recovery werkt.

Zijn ervaringen complementeren de theoretische artikelen en geven het thema Corporate Restructuring een meer praktische dimensie.

Wanneer wij hem vragen waar hij als eerste aan denkt bij Corporate Restructuring (CR), antwoordt Edwin als volgt: ‘Ondernemingen die op een gegeven moment een overlevingsprobleem hebben en uit deze situatie willen komen’.

Dus elke onderneming komt eigenlijk wel eens in aanraking met Corporate Restructuring?

‘Bedrijven hebben natuurlijk altijd weleens groei- en rendement problemen, nagenoeg iedere onderneming wordt daarmee in haar bestaan een keer geconfronteerd. Een bedrijf kan zelfs een meer urgent operationeel probleem krijgen maar als er tijdig ingegrepen wordt hoeft er niets aan de hand te zijn. Vaak is de oplossing relatief eenvoudig en zijn zachte maatregelen genoeg, bijvoorbeeld bijsturen van de strategie, wat minder renderende activiteiten verkopen of wat strakker werkkapitaalbeheer. Maar als dat onderhoud niet regelmatig uitgevoerd wordt, dan kan het zijn dat een onderneming in een overlevingsprobleem komt’.

Maar wanneer spreken we dan echt van een overlevingsprobleem?

Dat probleem is met de economische situatie op dit moment wat groter en eerder gekomen, omdat bij sommige bedrijven een groot deel van de omzet is weggevallen, soms wel meer dan 40%. Dan zijn de problemen heel snel, en heel veel, groter. Zeker als het ‘onderhoud’ in het verleden niet vaak genoeg is uitgevoerd valt een bedrijf op dit moment veel sneller door de mand.

Er zijn een aantal bedrijven die bijvoorbeeld door ‘Leveraged Buy-Outs’ zwaar gefinancierd zijn.

Deze bedrijven komen in het algemeen veel sneller in de problemen dan bijvoorbeeld familie­ bedrijven. De laatste hebben meer vet op de botten, maar als dat niet het geval is zoals bij veel LBO ondernemingen dan zijn er veel sneller overlevingsproblemen. Voordeel is overigens wel dat deze bedrijven in het algemeen eerder actie ondernemen.

Corporate Restructuring kent volgens Edwin van Wijngaarden twee kanten.

Enerzijds de operationele herstructurering: wat kan er operationeel gezien worden gedaan?

Verkoop van onderdelen, sluiten van locaties, reorganisaties, verkoop van activa, werkkapitaal beheer, etc. Deze acties leiden tot een nieuwe waardering van de geherstructureerde onderneming.

Vervolgens wordt gekeken welk financieringsplaatje hier bij past en dat wordt vergeleken met de huidige financieringspositie. Niet zelden leidt dit ook tot aanpassingen in de financiering­ situatie, de andere kant van CR; de zogenaamde financiële herstructurering. Bijvoorbeeld door een ‘debt-equity swap’, waivers, nieuw aandelenkapitaal of additionele financiers.

Bedrijven die een overlevingsprobleem tijdig herkennen en vervolgens actie ondernemen door een operationele en financiële herstructuring, dat is eigenlijk Corporate Restructuring.

Edwin van Wijngaarden benadrukt dat er geen ‘template’ is voor een herstructurering.

‘Het is een buitengewoon divers proces. Het kan heel simpel zijn, bijvoorbeeld als het een bedrijf betreft met veel hoogwaardige activa die snel liquide is te maken. In dat geval zou een eenvoudige verkoop van de activa al een hele vooruitgang kunnen betekenen.

Maar er zijn heel veel bedrijven waar het niet zo eenvoudig is of waar veel meer moet gebeuren en verkoop van activa slechts een tijdelijke oplossing is. Hier moeten bijvoorbeeld reorganisaties worden doorgevoerd en/of verliesdraaiende onderdelen worden afgestoten. Overigens kan het best zo zijn dat de onderneming haar ‘kroonjuwelen’ moet verkopen om de rest van de organisatie voor een faillissement te behoeden en de herstructurering mogelijk te maken’.

Voordat er van een herstructurering gesproken kan worden, zo drukt Edwin van Wijngaarden ons op het hart, moet er eerst een stuk ‘awareness’ zijn.

‘Deze erkenning van een probleem, blijkt op zichzelf al een probleem. Zo wijst hij op de faillissementen van de afgelopen tijd, veelal komt dat doordat acties niet op de juiste tijd ondernomen

Ondernemingen die op een gegeven moment een overlevingsprobleem hebben en uit deze situatie willen komen

zijn. Als het slecht gaat met een bedrijf hoor je vaak de volgende excuses: “ik heb ‘topline’ wel wat omzet verloren maar mijn concurrent is in de markt aan het duiken met de prijs”, of “tijdelijke prijsconcurrentie in de markt”, “de markt is tijdelijk slecht door de economische recessie”. De vraag is of dit terechte excuses zijn en of het inderdaad tijdelijk is; zijn het reële excuses of is het een vorm van struisvogelpolitiek?’

De ervaring van Edwin van Wijngaarden en zijn team is echter dat deze ‘awareness’ er vaak niet of te laat is.

Niet onbelangrijk want hoe eerder actie wordt ondernomen hoe meer tijd en ook hoe meer opties een bedrijf heeft. De vraag is ook of het management wel geschikt is voor zijn of haar rol in economisch lastige tijden. Voor de wind zeilen is nu eenmaal makkelijker dan tegen de wind in zeilen.

Edwin van Wijngaarden (37) is geboren in Rotterdam. Op zijn 19e begint hij met werken bij PricewaterhouseCoopers (PwC), tevens start hij dan zijn opleiding aan NIVRA Nijenrode. Sinds 2006 is Edwin part-time lecturer Financial Accounting aan NIVRA Nijenrode en sinds 2007 geeft hij werkcolleges in ditzelfde vak aan de Erasmus Universiteit.

Vanaf 2009 is hij werkzaam bij de afdeling Business Recovery Services van PwC.

Toch kan er volgens Edwin van Wijngaarden wel een algemene schets worden gegeven van het herstructureringsproces.

Er wordt allereerst een interventie uitgevoerd, dit om te zorgen dat het bedrijf niet failliet gaat terwijl plannen voor een herstructurering worden gemaakt. Typisch wordt in deze fase het bloeden gestopt en worden de diverse stakeholders geïnformeerd; het gaat in deze periode echt om tijd kopen om gelegenheid te krijgen alternatieve plannen te maken.

Hierop volgt de analyse en diagnose. Dit zijn zeer korte periodes, we hebben het hier over weken. De diagnosefase leidt tot de verschillende opties die er zijn, waarna een voorstel wordt opgesteld voor de financiële herstructurering. Deze plannen worden voorgelegd aan de verschillende belanghebbenden, waaronder de financiers. Als alle direct betrokkenen het ermee eens zijn wordt het herstructureringplan in werking gezet wordt – mits het aangenomen is – en na afloop geïmplementeerd en geëvalueerd.

‘Mits het aangenomen is?’ Is er veel weerstand tijdens een herstructureringsproces?

De weerstand tijdens het herstructureringsproces komt vooral doordat heel veel verschillende stakeholders bij een dergelijk proces betrokken zijn. Een ieder van deze stakeholders heeft zijn eigen agenda en doelstellingen. Neem als voorbeeld een bank en een aandeelhouder. De aandeelhouder wil geen zekerheiden op zijn activa hebben, geen strikte convenanten, maar juist ruimte en flexibiliteit, terwijl de bank juist zekerheden en strikte convenanten wil. En dan hebben we het alleen nog maar over banken en aandeelhouders. Betrek vervolgens ook nog Junior Lenders, Private Equity partijen, Vulture Funds, het management zelf, de ondernemingsraad en de vakbonden bij, en het mag duidelijk zijn dat het managen van een dergelijk proces complex en tijdrovend is.

Het herstructureringsproces zelf verloopt dus niet altijd vlekkeloos. Hoe wordt hiermee omgegaan?

In de implementatiefase wil je continu inzicht hebben in de voortgang van het herstructureringsproces. Om dit te realiseren worden per doelstelling één of meerdere ‘Key Performance Indicators’ geïdentificeerd die op zeer regelmatige basis gemeten worden. Door de realisatie te vergelijken met de eerder geformuleerde doelstellingen krijg je inzicht in waar je staat.

Op het moment dat uit de evaluatie blijkt dat de doelstellingen niet worden behaald is het zaak om tijdig terug te gaan naar de basis. Wellicht gaat er iets mis in de uitvoering of misschien moet het herstructureringsplan worden aangepast.

Een belangrijk middel in voornamelijk financiële herstructurering is het kijken naar de waarde van de onderneming voor en na de herstructurering. Dit wordt vaak gedaan door middel van een ‘Discounted Cash-Flow’ analyse, maar daarnaast ook door ‘multiples’. Er zijn echter ook andere belangen, denk bijvoorbeeld aan de belangen van de werknemers.

Neemt de Corporate Restructuring op dit moment toe of af?

De Business Recovery groep van Edwin van Wijngaarden heeft op dit moment meer te doen dan in het recente verleden.

Dit is uiteraard niet verrassend wanneer je kijkt naar de huidige economische recessie.

Gaat dit op de korte of lange termijn veranderen?

Edwin doet liever geen voorspellingen over de toekomst. Wel denkt hij dat de gevolgen van de crisis nog een tijd zullen aanhouden, waarbij er sterke verschillen zullen zijn in sectoren.

‘Na de crisis ontstaat er een nieuwe werkelijkheid, het competitieve landschap gaat anders worden en dit zal zeker haar reflectie hebben in het marktaandeel van ondernemingen voor en na de crisis. Er komt een lange-termijn dreiging voor bedrijven die de crisis overleven en kansen voor nieuwkomers die starten met een ander kostenprofiel dat beter de post-crisis realiteit reflecteert.’

Maar ook het bankenlandschap zal volgens hem veranderen.

‘Op dit moment zijn er banken die op voorhand al niet mee willen doen in een herstructureringsproces. Er zijn ook banken die op het moment dat een bedrijf haar financieringsproblemen kenbaar maakt, direct hun zekerheden gaan uitoefenen. Een aantal is wel bereid om mee te doen, maar onder hele andere condities dan van voor de crisis’.

Die wereld is nu volstrekt anders, komt het allemaal weer terug bij het oude?

‘Ik persoonlijk denk het niet, in ieder geval niet op de middellange termijn’.

De LBO’s ziet Edwin van Wijngaarden wel terug komen, maar niet in dezelfde mate als in het verleden en met een veel lagere leverage.

‘Er zijn rapporten beschikbaar waarin wordt gesproken over een algemeen tekort aan financiering. Dit verandert de bereidheid om geld uit te lenen aan bedrijven, “the fight for money” noem ik het maar even. Wie krijgt het wel en wie krijgt het niet. Banken zijn met hun neus op de feiten gedrukt, zij gaan veel beter kijken naar risicoprofielen en risicobeheersing’.

Hoe geef je dan als onderneming zekerheid aan banken dat jij de juiste partij bent?

‘Benader het probleem vanuit het perspectief van de stakeholders, die stakeholders veranderen ook, net zoals klanten, leveranciers en ook de financieringspartijen. De business case zal veel beter moeten worden onderbouwd en hoe dat er uitgaat zien na de crisis? Ik heb nog geen idee’.

Veel van de herstructureringen die op dit moment plaatsvinden zullen een reactie zijn op de crisis, maar natuurlijk vinden er ook genoeg herstructureringen plaats buiten een crisis, bijvoorbeeld als ‘pre-emptive move’. Hoe zou u het verschil tussen deze karakteriseren?

Bij een ‘pre-emptive move’ is er meer tijd, er kan er bijvoorbeeld nog over de strategie worden nagedacht. Als de druk hoog is, is hier geen tijd meer voor. Er is ook meer tijd voor bijvoorbeeld de verkoop van activa of bedrijfsonderdelen. Hierdoor kan de verkoop worden klaargemaakt en goed in de markt worden gezet. Denk aan HBU, onderdeel van ABN-Amro. Minister van Financiën, Wouter Bos moest het verkopen en dat speelde natuurlijk wel een rol in het bod dat Deutsche Bank plaatste.

Bij een ‘pre-emptive move’ zijn er dus meer opties, meer tijd, en dus ook waarschijnlijk een hogere realiseerbare waarde dan wanneer de herstructurering volgt op een crisis. De waarde van activa is ook anders in tijden van crisis. Helaas vindt deze vorm van herstructurering in de praktijk nog te weinig plaats.

Zijn rol in een herstructureringsproces omschrijft Edwin van Wijngaarden zelf als erg divers, maar ondanks zijn grote invloed op het ‘hoe’ en ‘wat’ van het proces, blijft het ‘wel’ en ‘niet’ uiteindelijk een beslissing van de onderneming zelf en de direct belanghebbenden.

‘Je moet niet weglopen voor je verantwoordelijkheden als onafhankelijk specialist. Ik kan me daar wel op een gezonde

manier voor afsluiten, uiteindelijk zoek je met elkaar naar de beste oplossing voor het bedrijf en haar belanghebbenden.

Een faillissement is voor bijna geen enkele belanghebbende de beste oplossing; de waarde van een onderneming is dan sowieso lager dan bij de voortzetting van de bedrijfsactiviteit.

Dit probeer je in het oog te houden’.

Als voorbeeld geeft hij een recente opdracht waarin een fabriek zou gaan sluiten op voorspraak van de buitenlandse directie. De ondernemingsraad had een alternatief plan opgesteld en de vraag was of zijn Business Recovery Services (BRS) team het alternatieve plan kon beoordelen.

Omdat de banen van de mensen met wie ze aan tafel zaten op de tocht stonden, is het goed voor te stellen hoe lastig deze situatie was.

In dit voorbeeld had de buitenlandse aandeelhouder een goed plan neergelegd, en zodoende kon met goede voorwaarden de fabriek worden gesloten, ofwel solvent worden afgewikkeld.

Het alternatieve plan van de ondernemingsraad zou, zo oordeelde het BRS team, waarschijnlijk alleen maar leiden tot continuering van de verliezen en tot uitstel van sluiting. De vraag die je dan stelt: Is er dan nog wel geld voor een sociaal plan? Als mens doet dat je uiteraard wat, maar daar leer je als professional mee om te gaan.

‘Een dokter moet ook wel eens vervelend nieuws vertellen, maar dat maakt hem of haar nog geen slechte dokter’.

Het advies dat Edwin van Wijngaarden meegeeft aan studenten die geïnteresseerd zijn in de CR business: ‘Het belangrijkste is ervoor open te staan om jezelf te verplaatsen in de rol die alle belanghebbenden hebben in zo’n proces. En niet bang zijn om met je poten in de modder te gaan staan. Je moet zelf op onderzoek uit gaan, je moet niet denken dat je vanaf je bureau door middel van een aantal managementrapportages het probleem kan doorgronden. Je moet er naar toe, je moet met mensen praten, zelf een kijkje gaan nemen. Je moet zelf onafhankelijk een oordeel kunnen vormen en dat kan niet van afstand. Vaak kunnen problemen worden verzwegen, maar een praatje met de man op de vloer of met de secretaresse van de directeur kunnen veel dingen boven water brengen.

Woord van de voorzitter

Geachte leden, Onderscheiden en kansen grijpen zijn de woorden die het XIIe bestuur wil koppelen aan de FSR. Deze slogan komt terug tijdens een bestuursjaar, als actief lid en als deelnemer aan onze activiteiten en vormt de basis voor een mooi jaar. Als voorzitter van de FSR ben ik trots dat ik het komend jaar de verantwoordelijkheid heb om deze vereniging te leiden en om bij dezen voor de eerste keer te schrijven in het FSR Forum.

Ten eerste zou ik het XIe bestuur willen bedanken voor de goed geleide overdracht gedurende de zomermaanden. Na de druk bezochte Wissel ALV ligt de verantwoordelijkheid nu bij het XIIe en dankzij jullie weten wij vrijwel alles over de vereniging. Het feit dat wij er op zijn gewezen aan het eind van het collegejaar 2008/2009 te beginnen met het recruiten van commissieleden is heel goed uitgepakt. Begin september waren we helemaal rond!

Een van onze doelen dit jaar is om de betrokkenheid en verantwoordelijkheid te vergroten bij de actieve leden. Een bestuursjaar is voor mij heel leerzaam, maar dit geldt ook zeker voor onze commissieleden. Het is in mijn ogen een feit dat de vereniging valt of staat bij hun inzet en enthousiasme en daarom willen wij, het XIIe bestuur, laten zien dat wij hen enorm waarderen.

De borrel voor de actieve leden is hier het bewijs van. Wij zijn inmiddels een team van ongeveer 30 man. Na de geslaagde actievendag wil ik de actieven uitnodigen voor het FSR Nieuwjaarsgala begin januari en het actieven weekend in april. Hopelijk zijn jullie er allemaal bij.

Het jaar start traditioneel met twee belangrijke activiteiten voor onze beide doelgroepen. De International Banking Cycle is na twee banken nu al een succes. Ondanks de economische crisis blijven de banken geïnteresseerd in de International Banking Cycle en ook voor studenten is het een mooie kans om deze op het oog harde zakelijke wereld eens goed te bekijken. Achteraf zijn de vooroordelen onjuist. Naast de IBC is de Big 4 Cycle voor accountancy studenten een uitgelezen mogelijkheid om de accounting wereld eens goed te leren kennen. Op een formele en informele manier proberen de vier grootste accountancy kantoren te tonen dat zij een zeer goede omgeving creëren voor ambitie en work-life balance. Het Multinational diner was wederom een geslaagde avond. De studenten konden de multinationals op informele wijze leren kennen en de locatie restaurant Mooi hielp hier uiteraard goed bij.

De reizen van de FSR staan dit jaar uiteraard weer op de kalender. Onze grootste project het International Research Project zal dit jaar naar het diverse India gaan. Tien accountancy en tien finance georiënteerde studenten zullen in Mumbai hun onderzoek in de praktijk brengen en deze emerging market verder onderzoeken. India is een unieke bestemming waar, naast de focus op het onderzoek, unieke ervaringen zullen worden beleefd. Ook de European Finance Tour zal een speciale reis worden. Istanbul is de plek van bestemming en door de letterlijke poort naar het Oosten zal geanalyseerd worden hoe het Turkije in het algemeen en Istanbul in het bijzonder er financieel gezien voor staan.

De FSR heeft de eer dit jaar ook een aantal nieuwe projecten te mogen presenteren. Ten eerste zal de FAN Multinational Battle in Maart georganiseerd worden. Middels het oplossen van cases opgesteld door vijf participerende multinationas zal team Rotterdam tijdens deze battle strijden tegen Amsterdam, Groningen, Maastricht en Tilburg. Verder wordt er dit jaar alles aan gedaan om de internationale studenten te voorzien in hun behoeftes. Jammer genoeg wordt deze groep te vaak over het hoofd gezien dus een mooi evenement speciaal voor internationals staat op de planning rond juni 2010. Ook het Forum heeft een aanpassing gekregen. Het was tijd

voor een goede facelift en deze editie is daar het bewijs van.

Wij gaan ervan uit dat het Forum nu gelijk in het oog springt!

Het volgende punt wat ik aan wil snijden is onze investering in een nieuwe website. De afgelopen jaren is dit onderwerp al een aantal keer naar voren gekomen, maar wij van het XIIe bestuur waren er niet tevreden over. Het inschrijfsysteem voor nieuwe leden en activiteiten was niet naar onze wens.

Ook de behoefte om de FSR en de actitiveiten goed te promoten liet te wensen over en onze carrièresite kan veel beter. De carrièresite is voor bedrijven en studenten een ideale plek om elkaar goed te leren kennen en van elkaar gebruik te maken, het is dan wel een vereiste dat dit goed werkt. Eind november gaat onze nieuwe website de lucht in.

Ondanks de economische crisis en moeilijke financiële situatie wil ik via deze weg de leden gerust stellen dat de FSR haar hoofd goed boven water weet te houden. Binnen het bestuur gaat alles soepel, wat zijn uitwerking heeft op loyale commissies en bedrijven die nog steeds enthousiast zijn en vertrouwen hebben dat de FSR haar activiteiten professioneel neerzet.

Mijn dank gaat daarom ook uit naar onze relaties met onze partners. Zonder hun support zou de FSR niet staan waar we zijn en gelukkig zullen door deze crisis de studenten en bedrijven dichten bij elkaar komen.

Als afsluiting wil ik u nogmaals uitnodigen tijdens onze activiteiten. De slogan van de eerste alinea zou ik graag nogmaals herhalen, maar ik wil u er niet mee vervelen. Het XIIe bestuur zal er dit jaar alles aan doen zodat u al uw mogelijk­ heden kan benutten en anders kan zijn dan de ‘rest’. Hopelijk begroet ik u snel tijdens een van onze reizen, battles, inhousedagen of borrels.

Ook dit jaar zal de FSR de brug tussen de accountancy­ student en accountantskantoren verkleinen. De studenten krijgen de gelegenheid om de culturen van de verschillende kantoren te proeven door middel van inhousdagen en een diner.

Voor de achtste keer zal dit jaar de Corporate Finance Competition, hét corporate finance evenement van Nederland, worden georganiseerd.

De Big 4 Cycle is nu al ten einde en wij mogen concluderen dat het een enorm succes was. De bachelor-3 en masterstudenten van zowel de economische als bedrijfskunde faculteit hebbben in grote getalen de vier grote accountantskantoren bezocht. Dit was voor hen de unieke kans om de onderlinge verschillen tussen de Big 4 kantoren te zien. De auditmedewerkers van de kantoren zelf hebben ook een goed beeld kunnen krijgen van hun eventueel toekomstige collega’s.

In januari 2010 hebben de studenten de mogelijkheid om de vijf middelgrote kantoren te ontmoeten tijdens een informeel diner. Uiteraard zal de accountancycommissie ervoor zorgen dat de studenten en kantoren een plezierige avond zullen beleven. Naast het genieten van het eten, kunnen beide partijen elkaar op zowel zakelijk als persoonlijk vlak leren kennen.

Gedurende deze 3-daagse business course zullen de deel­ nemers in competitieve setting een aantal uitdagende Corporate Finance gerelateerde cases uitvoeren. Onder begeleiding van de professionals van de deelnemende ondernemingen zal in teamverband gewerkt worden aan de vijf interactieve en uitdagende cases.

De Corporate Finance Competition vindt volgens traditie plaats in een vijf-sterren hotel in Nederland en zal dit jaar van 19 tot en met 21 mei worden georganiseerd.

Alleen de beste 20 finance studenten zullen worden geselecteerd om deel te nemen aan dit fantastische evenement!

Houd dus de promotie in de gaten, wij als commissie hebben er in elk geval erg veel zin in!

Finance commissie

Multinational Battle commissie

Dit jaar is er, in tegenstelling tot vorig jaar, een finance commissie opgericht. Deze commissie heeft niet alleen de verantwoordelijkheid voor de Financial Business Cycle, maar zal ook zorgen voor het Young Financials Diner en het Multinationaldiner.

Deze laatste heeft afgelopen 7 oktober al plaatsgevonden.

Op deze avond zijn vertegenwoordigers van vier mooie bedrijven aan tafel gegaan met studenten. De deelnemende bedrijven waren TNT, ExxonMobil, KPN en Heineken.

In het doeltreffend genoemde mooie restaurant Mooii heeft iedereen van een heerlijk diner kunnen genieten en uitgebreid met elkaar gesproken. De borrel na het diner zorgde voor nog wat meer luchtigere gesprekken.

Wij als finance commissie zijn erg blij dat we dit hebben mogen neerzetten en kijken al uit naar het volgende evenement, dat de Financial Business Cycle zal zijn. Hierin zitten al verschillende mooie partijen, waardoor wij er zelf al naar uitkijken om deze dagen mee te maken. Uiteraard hopen we dat vele studenten dat met ons willen doen! Tot dan!

Al vele jaren organiseert de Financiele Associatie Nederland, waar de FSR samen met vier andere verenigingen uit Nederland lid van is, de Finance and Controlling Competition. Dit jaar zal dit evenement echter een vernieuwd concept, en om dit nog duidelijker te krijgen een nieuwe naam, krijgen.

Vanaf dit jaar zal het zogenaamde MultinationalBattle worden neergezet.

Vijf toonaangevende multinationals zullen op een externe toplocatie in drie dagen cases voorleggen aan 20 topstudenten uit heel Nederland. Deze studenten zullen in vijf stedenteams van vier studenten tegen elkaar strijden om de winst.

De vier studenten per stad zullen daarvoor al zijn geselecteerd door een multinational welke een case in de stad zelf heeft voorgelegd aan een groep geselecteerde studenten. Het MultinationalBattle belooft een topevenement te worden.

Rest mij dan ook niets meer dan af te sluiten met de aan dit event verbonden tag ‘Five Multinationals, five battling cities, are you part of it?’!

International International Banking Cycle 2009 Research Project 2010 Elk jaar organiseert de FSR in samenwerking met de FSA de International Banking Cycle (IBC). Dit jaar zal alweer de vijftiende editie plaatsvinden waaraan acht van ’s werelds grootste en meest prestigieuze investment banks deelnemen.

Ondanks de zware tijden van crisis waar we allen mee bekend zijn, in het bijzonder in de bankenwereld, blijven de Londense banken zoeken naar talentvolle studenten.

Tijdens de IBC zullen er workshops gehouden worden voor een select groepje studenten, gevolgd door een open bedrijfspresentatie voor ieder die geïnteresseerd is. Als afsluiter van de dag zal er een borrel gehouden worden, waar in een informele sfeer kennis gemaakt kan worden met bankiers en recruiters.

Voor degenen die geïnteresseerd zijn in een stage of full-time positie binnen een van de banken is er de mogelijkheid om uitgenodigd te worden voor een interview en daarmee mogelijk de eerste stap in een mooie carrière te zetten.

De IBC is een van de grootste activiteiten die de FSR jaarlijks organiseert en vergt daarmee ook veel voorbereidingswerk. De commissie is dan ook deze zomer al actief bezig geweest om alles op poten te zetten om zo straks weer honderden studenten de kans te bieden om kennis te maken met de deelnemende investment banks.

Ontdek de wereld van de Taj Mahal, de heilige Ganges rivier, de sari’s, het echte straatleven en de Bollywood films... Een gezellige groep, een groot avontuur.. Het International Research Project (IRP) gaat naar India!! Van 26 april t/m 7 mei zullen wij afreizen naar dit intrigerende, cultuurrijke land om alle inns en outs van deze emerging market te ontdekken!

Voorafgaand aan deze reis zullen er een aantal bedrijfsbezoeken, masterclasses en gastcolleges plaatsvinden. Op locatie zullen er een aantal bedrijfsbezoeken op het programma staan, maar ook een aantal andere activiteiten. Uiteraard is er ook de gelegenheid voor vrije tijd en om gezellig met elkaar te gaan stappen!

Een groep van 20 topstudenten op het gebied van Finance of Accounting & Controlling zal worden geselecteerd om aan het IRP deel te nemen. Van deze studenten wordt verwacht dat zij onderzoek uitvoeren gericht op het vakgebied van hun interesse en binnen het brede onderwerp ‘’Emerging Markets’’.

Docenten van de vakgroepen accountancy en finance zullen de deelnemers gedurende het onderzoekstraject begeleiden. Studenten (bachelor en master) kunnen dit onderzoek gebruiken voor hun scriptie, maar ook kan het onderzoek door bachelor-3 studenten ingebracht worden als keuzevak. Inbreng als keuzevak levert mogelijk 4 ects op.

Commissies voorstellen

European Finance Tour 2010 Na Milaan in 2006, Madrid in 2007, Zürich in 2008 en Wenen in 2009, trekt de FSR met de European Finance Tour (EFT) dit jaar naar Istanbul. Als booming poort naar het Oosten is dit een geweldige bestemming voor de financieel georiënteerde student om meer te leren over de kansen die Turkije als land, met Istanbul als zakelijk hart, kan brengen in de toekomst.

De EFT is elk jaar weer een mooie activiteit om je als finance student te oriënteren op verschillende richtingen die dit gebied brengt en om kennis en inzicht te vergaren in de financiële wereld buiten ons kikkerlandje.

Gezien het feit dat er aardig wat organisatorisch werk vooraf gaat aan een reis als deze start de commissie ook al vroeg en tegen de tijd dat deze editie van het Forum uit de pers komt rollen zijn de commissieleden dan ook gestart met alle werkzaamheden. Aangezien er elk jaar een nieuwe bestemming wordt bezocht waar de FSR nog niet bekend is komt de commissie altijd weer voor een grote uitdaging te staan.

De EFT zal dit jaar plaatsvinden van 29 maart tot 2 april 2010 en zeker weer een groot succes worden. Net als in de voorgaande jaren ben ik overtuigd dat de groep deelnemers weer een ervaring om nooit te vergeten zal opdoen. Mede daarom zou ik iedereen aanraden zich aan te melden voor deze onvergetelijke reis naar een bijzondere bestemming!

Activiteitenverslagen Wissel ALV Commissieborrel

Wissel ALV - Op donderdag 3 september was het voor ons, het beoogd XIIe bestuur van de FSR, eindelijk zover we kregen de kans om ons voor te stellen aan onze leden en daarnaast de mogelijkheid om de sluier van ‘beoogd’ af te werpen en hét XIIe bestuur van de FSR te worden. Na een heerlijk inleidend diner in restaurant Kip met het XIe bestuur, de RvC en de KasCo werd de vergadering geopend en geschorst, werd er bier gedronken en geklaagd, werden er complimenten uitgedeeld en nog meer bier gehaald, werden er verslagen opgelezen en niet ge­luisterd, werd er wel geluisterd en niets gezegd, vloeiden er tranen en was er een kakofonie van borrelpraat, werd er gelachen en gehamerd. Wij als beoogd XIIe bestuur van de FSR kregen nog de unieke kans om te laten zien aan de aanwezigen en onze visie op verschillende aspecten van onze functie te geven. Toen was de tijd gekomen, het uur van de waarheid. Wij zagen het XIe bestuur als kaarsvet afdruipen, de een na de ander werd gedechargeerd.

Uiteindelijk stond alleen Niek Bosman daar nog, met zijn hamer in de hand en al bezig om de knoop van zijn das los te maken. “Zijn er bezwaren tegen de installatie van Peter James als voorzitter van de FSR?” Het bleef (buiten de gebruikelijke herrie om) stil. De hamer vloog naar beneden, het geluid van hout op hout, en het was gebeurd! De eerste steen was gelegd.

Uiteraard moest er even snel gehandeld worden en werden ook zonder bezwaar achtereen­ volgens Jan Pieter Uittenbroek, Sina Rahimy, Marc van Erkelens, Karin Knegt, Bram Lips en Nienke Louwmans geïnstalleerd. Daar stonden wij dan, achter de tafel, met jasje en dasje, trots! De eerste goede beslissing die is toen genomen is een schorsing, waarin iedereen de gelegenheid kreeg om het nu al zo populaire XIIe bestuur te feliciteren en veel geluk te wensen.

Na het afwerken van enkele niet onbelangrijke formaliteiten werd de avond gesloten en het feest doorgezet in de altijd mooie Sorbonne. Uiteraard was de laatste halte die avond Bram’s favorite, de Has. Wij zijn erg blij dat het XIe bestuur ons heeft gebracht waar we zijn begonnen na deze ALV, daarvoor grote dank van onze kant. Wij hebben er nog steeds ontzettend zin in en hopen iedereen dit jaar veel te zien bij al onze activiteiten.

Hét XIIe bestuur

Commissieborrel - Eerder in deze editie werden u de verschillende commissies van de FSR voorgesteld. Samen zullen zij de vele activiteiten van de vereniging gaan organiseren. Het is dus niet alleen belangrijk om als commissie een goed team te vormen, ook tussen de verschillende commissies willen wij graag een goede samenwerking creëren.

Ondertussen zijn alle commissies al van start gegaan, enkele activiteiten zijn zelfs al weer bijna afgerond. Toch vinden wij het erg belangrijk dat de actieve leden gedurende het gehele jaar bij de FSR betrokken blijven. Dus ook wanneer Vasco, Luc en Joyce niet meer zo vaak op de kamer zullen zijn hopen wij ze nog wel te zien bij de vele borrels en activiteiten die wij (voor onze actieven) organiseren.

Wij geloven namelijk dat de inzet van onze actieve leden het succes van de Financiele Studievereniging Rotterdam garandeert en wij zullen er dan ook voor zorg dragen dat iedereen het hier naar zijn zin heeft. Zo kunnen we er samen een onvergetelijk jaar van maken!

De eerste borrel van dit jaar hebben wij dan ook georganiseerd voor alle (nieuwe) actieve leden. Hier kregen ze de mogelijkheid om ons als bestuur en alle andere actieve leden beter te leren kennen. Nadat iedereen was voor­ gesteld aan de rest barstte de integratie los en al snel kon geconcludeerd worden dat deze avond zeer geslaagd was.

De actievendag is met het verschijnen van deze editie inmiddels ook al gepasseerd. Wij gaan er van uit dat iedereen hier van heeft genoten en het net als wij een geslaagde dag heeft gevonden. In de volgende editie van het FSR Forum zal een verslag komen van deze activiteit; uiteraard mét beeldmateriaal.

Rest ons alleen nog te melden dat het FSR Gala dit jaar op vrijdag 8 januari zal plaatsvinden en wij hopen jullie daar ook allemaal te mogen begroeten. Het belooft nu al een legendarische avond te worden. Zij die nog geen date hebben geregeld of zich graag laten verrassen kunnen zich melden bij het bestuur.

Activiteitenverslag Multinational Dinner

1. Hoe beviel de opzet in het algemeen?

Ik was positief verrast over de organisatie door de FSR. Bij binnenkomst was er een warm welkom met een drankje, waarna iedereen zijn naamkaartje kreeg met daarop de bedrijven waarbij hij/ zij mee zou gaan tafelen. De locatie, restaurant ‘Mooii’ te Oude Haven, was ook zeer geschikt voor de gelegenheid: hip maar formeel. Ook de structuur van de avond was helder: drie gangen van 50 minuten bij verschillende bedrijven.

2. Hoe waren de gesprekken? Kreeg je de kans de vragen te stellen die je had?

Bij de tafelgesprekken kreeg je als student goed de gelegenheid om vragen te stellen. Van elk bedrijf waren er twee afgevaardigden, en per bedrijf (per gang) zaten vijf studenten aan tafel. Door deze kleinschaligheid kon je echt persoonlijk in gesprek gaan met de bedrijven. Wel had ik verwacht dat de bedrijven wat meer interesse zouden tonen in de studenten. Het waren in mijn ervaring vooral vraaggesprekken in plaats van dialogen.

3. Heb je het idee dat je de bedrijven na dit diner beter kent?

Dat hangt af van de mensen waarmee ik heb gesproken. Ik vond dat de mensen van TNT erg open waren en veel vertelde over de gang van zaken bij TNT. Zo vertelde een van de afgevaardigden hoe TNT Post zijn best doet om de daling van volume in de post-branche te vertragen. Erg interessant! Van Exxon Mobile en KPN heb ik in mindere mate een beter beeld gekregen.

4. Ben je van plan hier verder iets mee te gaan doen? Bijvoorbeeld in de vorm een sollicitatie?

Persoonlijk ben ik niet van plan om direct te gaan solliciteren naar aanleiding van het diner. Ik vond dat de bedrijven daar ook niet erg op aanstuurde of toe uitnodigden. Ik weet niet of dit de bedoeling was, maar dit zou eventueel beter kunnen in de toekomst. De avond was vooral gezellig en informatief, maar het ‘wervingsgehalte’ was naar mijn mening vrij laag.

5. Tot slot nog op of aanmerkingen?

Al met al een geslaagde avond!

1. Hoe wordt een diner als dit beschouwd binnen de recruitment?

Het wordt beschouwd als een oriënterend diner.

Waarbij studenten op een informele manier kunnen kennis kunnen maken met TNT en ze alle vragen kunnen stellen die ze hebben.

2. Volgen hierop ook daadwerkelijk follow-ups in de vorm van applicaties?

Dat kan zeker, als studenten geïnteresseerd zijn kunnen ze hun CV altijd via onze website uploaden en op die manier solliciteren.

3. Waar wordt op gelet tijdens het diner?

Op het enthousiasme van studenten en hun interesse in TNT. We vinden het altijd erg leuk als studenten zich hebben voorbereid en gerichte vragen hebben.

4. Wat is de meest originele vraag die gesteld is?

“Wat moet ik als financial over 5 jaar nog bij een postbedrijf wat per jaar 5-10% van zijn volume verliest?” Er zit natuurlijk een kern van waarheid in deze vraag alleen wordt er Nederland heel erg naar het binnenland gekeken en naar het postbedrijf, terwijl de dreiging door liberalisering in Nederland door concurrentie voor ons precies het tegenovergestelde betekent in het buitenland. Daling door internet/digitalisering biedt weer kansen voor pakketservice en express, de andere 2 onderdelen van TNT.

5. Tot slot nog tips voor studenten die van plan zijn zich in te schrijven voor het volgende bedrijfsdiner?

Bereid je een beetje voor door bijvoorbeeld de website te lezen. En het is altijd goed om een aantal vragen te bedenken waarop je graag een antwoord wilt hebben.

1. Tevreden met het eindresultaat?

Ik ben heel erg tevreden met hoe het Multinational diner gegaan is. De locatie was mooi, het eten erg lekker en de borrel gezellig. De deelnemende bedrijven waren erg positief over het diner en, heel belangrijk, de studenten ook. Het doel was om de afstand tussen studenten en potentiële werkgevers te verkleinen en ik denk dat dat ook zeker gelukt is.

2. Waar wordt op gelet tijdens de selectie van kandidaten voor het diner?

De bedrijven selecteerden de kandidaten op basis van hun CV. Elk bedrijf had net weer een andere wensenlijst waar de deelnemers aan moesten voldoen.

3. Wat heb je er persoonlijk aan gehad om dit te organiseren?

Natuurlijk heb ik zelf ook kennis kunnen maken met de deelnemende bedrijven en ik weet nu beter wat ik wel en niet zoek in een werkgever. Ook verbaasde het me hoe groot het verschil tussen bedrijfsculturen kan zijn en dat bedrijven echt naar mensen zoeken die daar goed bij passen. Ik zit zelf in mijn master jaar en ik denk dat ik nu wel een beter beeld heb van hoe het er aan toe gaat op de arbeidsmarkt. Daarnaast heb ik ook meer waardering gekregen voor het werk dat verzet wordt om dit soort events te kunnen neerzetten, maar ik zou het zeker weer doen.

Activiteitenverslagen Master Kick-off dag 2009 Diesborrel

Beste lezer, Op dinsdag 1 september stond de master kick-off dag voor het collegejaar 2009-2010 op het programma. De tweede editie van dit evenement moest uiteraard net als vorig jaar een succes worden en het XIIe heeft er uiteraard alles aan gedaan. Na het informatieve gedeelte voor de master studenten Financial Economics en de master studenten Accounting, auditing & Control en Accounting & finance stond er een heerlijke High Tea klaar in de Faculty Club (H17).

De master kick-off dag is een ideale gelegenheid voor ten eerste de faculteit om haar jaar-programma te presenteren en ten tweede voor de FSR om zichzelf voor te stellen. Tijdens het informatieve gedeelte in CB061 (B3) en CB109 (B5) kon de FSR via een redelijk flitsende presentatie kort en krachtig laten zien wat wij te bieden hebben. Gelukkig voor de FSR waren er een groot aantal nieuwe inschrijvingen en konden we snel naar de Faculty Club voor de High Tea.

De High Tea in de Faculty club was erg goed en lekker en het was een ideale manier om beter kennis te maken met geïnteresseerde studenten in de FSR, ook de aanwezigheid van enkele hoogleraren werd door studenten erg op prijs gesteld. Naast deze twee argumenten waren er nog andere die de master kick-off dag tot een geslaagd evenement maakten. Ten eerste is de Faculty Club een locatie waar studenten niet veel komen, maar zeker erg chique en professioneel overkomt. Dit maakt het voor studenten een interessante locatie zeker gezien de skyline van Rotterdam die vanuit de Faculty Club erg goed te zien is. Als tweede was, naast de mooie locatie en goede lunch, Lounge Classics vertegenwoordigt. Lounge Classics is een vernieuwend liveconcept waarbij lounge en dance muziek wordt gecombineerd met een saxofonist. Gevolg is dat er een ideale sfeer werd gecreëerd.

Diesborrel - Madonna moet het minder leuk en druk hebben dan de FSR want als zij zingt “Time goes by so slowly” herkent de FSR hier zich niet in.

De tijd gaat namelijk als een ware Fyra voor de FSR, want 6 oktober 2009 was de FSR weer een jaartje ouder en bestond ze al 11 jaar. Dit kon uiteraard niet zonder slag of stoot voorbij gaan, dus werd er op 9 oktober een Diesborrel georganiseerd in Kade4. Paul Boxhoorn (Xe bestuur) was de ongelofelijke eer ten deel gevallen om op deze heug­ lijke dag de pedel te zijn. Hij hield de zaken strak in het gerief en riep op miraculeuze wijze, door de staf tegen de grond en het plafond te slaan, personen op die de felicitaties aan de FSR wilden overbrengen. De FSR was verheugd dat de verschillende besturen zo hun best hadden gedaan om er iets moois van te maken, de toespraken waren prachtig en de cadeaus van nuttig (spaarlamp, tacosaus) tot ongelooflijk doelloos, groot en schattig (dwerghamster). Al met al was het een prachtige borrel waarin er vaak diep in het glaasje is gekeken en er luid is geproost op het voortbestaan van onze prachtige vereniging!

Al met al was de master kick-off dag een geslaagde dag en hebben wij ons doel bereikt. Er is een groot aantal nieuwe leden bijgekomen, bovendien is er genoeg communicatie over en weer geweest en zijn de International banking Cycle en de Big4 Cycle goed gepromoot. Voor volgend jaar zou de Faculty Club weer tot de mogelijkheden behoren om de master kick-off dag tot een succes te maken. Verder hoop ik de nieuwe leden terug te zien tijdens onze activiteiten. De klasse van de Faculty Club zal tijdens de evenementen gegarandeerd zijn.

Het International Research Project gaat naar India!! Van 26 april t/m 7 mei zullen wij afreizen naar dit intrigerende, cultuurrijke land om alle ins en outs van deze emerging market te ontdekken!

InternatIonal research Project 2010 De Financiële Studievereniging Rotterdam organiseert het International Research Project dat speciaal gericht is op finance en accountancy studenten. We zullen komend voorjaar met een groep van 20 studenten afreizen naar India, het land van geuren en kleuren, met enorme contrasten tussen arm en rijk.

Dit land is aan het veranderen van een ontwikkelingsland in een mondiale krachtpatser! Het thema van dit project is daarom ‘emerging markets’.

Vanaf januari zal het onderzoekstraject onder begeleiding van de docenten finance en accountancy van start gaan. In Nederland zullen we verschillende bedrijven bezoeken, gastcolleges en workshops volgen waarna we van 26 april tot 9 mei 2010 afreizen naar Mumbai om met eigen ogen te zien hoe het er daar aan toe gaat.

De studenten hebben de mogelijkheid om zelf een onderwerp voor hun onderzoek te kiezen. Het onderzoek zou je kunnen gebruiken voor je bachelor- of masterscriptie maar je kan het ook inbrengen als keuzevak en er 4 ECTS mee verdienen.

Naast hard werken om het onderzoek af te krijgen zal er ook voldoende tijd zijn om te ontspannen en (het nachtleven van) Mumbai beter te leren kennen. Ook is er uiteraard de mogelijkheid om door te reizen!

FSR Oud-bestuurder Joris Kil (24) was voorzitter in het 9e FSR bestuur (2006/2007), deed een bachelor in bedrijfskunde en is na een jaar FSR bestuur toch maar overgestapt naar financiële economie. In 2008 studeerde hij daarin af. Tegenwoordig is hij promovendus economie aan de Erasmus Universiteit Rotterdam.

Hoe herinner je jouw FSR tijd?

Mijn FSR bestuursjaar gaat toch wel de boeken in als een van de mooiste jaren tijdens mijn studietijd. Dat je verantwoording mag dragen over zo’n grote, succesvolle vereniging waar zoveel kan en mag en je het serieuze met het “studentikoze” kan afwisselen is natuurlijk prachtig. De mensen die je leert kennen via de FSR, vooral je bestuursgenoten worden beste vrienden en je maakt samen de mooiste dingen mee.

Wat zijn de momenten van jouw FSR bestuursjaar die je het meest zullen bijblijven?

Onder andere onze jaar evaluatie met het bestuur bij La Villete, de “eigen” ALVs, het tripje naar Groningen met de besturen van de FAN, het actievenweekend in Antwerpen en de actievendag bij dutchwaterdreams, en het oud-besturendiner (pre-crisis variant!!).

Wat is volgens jou jullie beste bestuursprestatie?

Als beste bestuursprestatie zie ik het jaarverloop waarin we de FSR positie hebben weten te versterken en doen groeien zodat er weer een sterke basis-vereniging stond waardoor de volgende besturen meer ruimte kregen voor nieuwe projecten en experimenten.

Heb je persoonlijk er ook nog iets van opgestoken?

Persoonlijk heeft het FSR bestuursjaar mij geleerd wat mijn leiderschapsstijl is en hoe beslissingen te nemen en het overtuigen van het team waarin je werkt. Menselijk inzicht en omgang met verschillende besturen en professoren heeft mij ook veel geleerd waarvan ik vandaag nog steeds profijt heb.

Wat doe je nu zoal?

Sinds 1 september ben ik begonnen met het promotie traject aan de Erasmus Universiteit. Tijdens het schrijven van mijn scriptie raakte ik dusdanig geïnteresseerd in mijn onderwerp en na voltooiing ben ik samen met mijn professor gaan kijken naar eventuele mogelijkheden om dit nog verder uit te werken en zodoende het onderste uit de wetenschappelijke kan te halen. Het traject dient voor mij dan ook als een soort bevestiging van de waarde van mijn bevindingen tijdens mijn scriptie, en ik ben benieuwd om te zien hoe de wetenschappelijke wereld deze ontvangt.

komt dit naar voren door overbetalen en hoge premiums, die verklaard kunnen worden door psychologische invloeden zoals optimisme en zelfverzekerdheid. Ik ben een model aan het ontwikkelen om besluitvorming in M&As van de psychologische tekortkomingen te ontdoen en zodoende te rationaliseren. Voor mij combineert het drie vakgebieden die mij erg interesseren en in plaats van statistisch iets aantonen probeer ik daadwerkelijk implementeerbare oplossingen aan te dragen voor bestaande menselijke problemen in de economie.

Heb je niet het idee dat je nog gewoon studeert?

Hoewel het erg te vergelijken is met betaald studeren - ik moet nog 40ects halen in specifieke vakken - ben ik onwijs vrij in de indeling van mijn tijd. Je moet hier wel mee om kunnen gaan want je zult altijd jezelf moeten stimuleren en dusdanig geïnteresseerd zijn in je onderwerp om er constant weer aan te gaan zitten. Het creatieve proces van het schrijven vind ik erg leuk, maar je hebt zo je goede en slechte dagen, en daarom is het fijn dat je de slechte dagen compleet iets anders kan gaan doen “om inspiratie op te doen”. Een goede band met je promotor is vanzelfsprekend een van de kritieke punten, die bij mij wel goed zit. Vanaf het tweede jaar vallen les geven en scripties begeleiden ook onder de werkzaamheden.

Heb je veel aanspraak van andere Phd studenten?

Op dit moment zitten er ongeveer 100 Phd studenten bij economie (ESE) en de management school (RSM) waardoor je altijd genoeg mensen hebt om mee te praten en van gedachte te wisselen. Hoewel iedereen met iets anders bezig is, wordt er ook veel samen gewerkt op papers en kan het inzicht van een ander vakgebied een hoop opleveren.

Wat onderzoek je precies?

Heb je al nagedacht over het vervolgtraject?

In mijn onderzoek combineer ik de onderwerpen finance, strategie en psychology in een M&A context. Daar economie een rationale studie is maar beslissingnemers, CEOs en Mangement teams, menselijk en dus irrationeel, lijken een hoop economische modellen minder te voorspellen dan ze beweren. In M&As

Ik heb nog 4 jaar te gaan en hoop die op te vullen met succesvolle paper publicaties en veel reizen naar congressen en als bezoekende onderzoeker op buitenlandse universiteiten. Vooralsnog verwacht ik daarna het bedrijfsleven in te stappen, om uiteindelijk de praktijk te ervaren van de economie, maar wie weet wat de toekomst brengen zal!

FSR Alumnivereniging

Waarde lezer, Het onderwerp van deze editie van het FSR Forum is Corporate restructuring.

Treffend gezien de mooiste financiële studievereniging zelf een product is van de corporate restructuring in 1999 van de Financierings Associatie Rotterdam ‘Pecunia’ en het dispuut voor accounting, accountancy & controlling ‘Pacioli’.

Oud actieve leden van de FSR, Pecunia en Pacioli kunnen lid worden van de FSR Alumnivereniging. Doel van de alumnivereniging is om de contacten tussen de FSR, oud-bestuurders en oud-actieven leden in stand te houden. Hiertoe zullen we ook dit jaar weer een aantal borrels en activiteiten organiseren.

Graag wil ik alle oud-bestuurders, oud-commissieleden van FSR, Pecunia en Pacioli die nog geen lid zijn dan ook van harte uitnodigen zich aan te melden door een e-mail te sturen naar alumni@fsr.nu of het contactformulier op de website www.fsralumni.nl in te vullen.

De kosten voor het lidmaatschap bedragen tien euro per jaar. Hiervoor kan je deelnemen aan alle activiteiten en krijg je het nieuwsblad de Kroonrede, met daarin onder andere memorabele momenten uit de oude FSR doos, op de deurmat.

Oud actieve leden van de FSR, Pecunia en Pacioli kunnen lid worden van de FSR Alumnivereniging.

Op zaterdag 24 oktober is het VIe bestuur van de FSR Alumnivereniging geïnstalleerd tijdens de ALV in restaurant Abacanto in het Westelijk Handelsterrein.

Het is voor mij een grote eer dit jaar de voorzittershamer van de alumnivereniging te mogen hanteren.

Arjan Latour, secretaris in het VIIe FSR bestuur en het Ie bestuur van de alumnivereniging zal de functie van vice-voorzitter bekleden.

Daarnaast zullen h.t. FSR bestuurders Jan Pieter Uittenbroek en Sina Rahimy respectievelijk de functie van secretaris en penningmeester vervullen. Ik zie uit naar een goede samenwerking en een verdere professionalisering van de vereniging. Aan ons de uitdaging om de successen van de borrels, BBQ’s en golfclinics van voorgaande jaren te overtreffen.

Trainee bij de gemeente Rotterdam Gemeente Rotterdam

We bouwen bij de gemeente Rotterdam aan de stad én werken voor bijna 600.000 Rotterdammers.

Met 13.500 medewerkers zijn we een grote werkgever in het Rijnmondgebied. En met een paar duizend uiteenlopende functies ook een veelzijdige. Rotterdam is in veel opzichten een voorloper, een stad die durft. Rotterdam zoekt trainees met bezieling, die hun verantwoordelijkheid nemen en ook de minder gebaande paden durven te betreden. De stad die durft zoekt trainees die durven.

Zo’n stad zoekt studenten die graag de handen uit de mouwen steken. En die beseffen dat je alleen door goed samen te werken, zaken voor elkaar krijgt.

Trainee in Rotterdam Elk jaar bieden we afstudeerders met een (bijna) afgeronde universitaire of HBO-opleiding de kans een tweejarig traineeprogramma te volgen. In deze twee jaar voer je vier projecten uit bij verschillende diensten en deelgemeenten. De omvang van de organisatie, het gevarieerde werk en de Rotterdamse dynamiek geven je volop ruimte in het opdoen van kennis en ervaring. Bij gebleken geschiktheid kan je dienstverband met maximaal drie jaar worden verlengd. We zoeken dan samen met jou naar een functie die bij je past.

Nathan van Balen, trainee bij het Gemeentearchief Rotterdam: ‘De diversiteit van de stad is terug te zien in het traineeship en ook in het team waar je mee samenwerkt. Je krijgt een opleidingsprogramma waarin je de gemeente en je collega’s goed leert kennen.

Met de andere trainees kun je leuke discussies aangaan en nieuwe invalshoeken onderzoeken. Dit houdt je scherp tijdens trainingen en werk, maar ook in je dagelijks leven. In mijn ogen de ideale manier om werken, leren en netwerken te combineren.’

Het programma Het traineeprogramma start jaarlijks op 1 mei en 1 november voor tien trainees van allerlei opleidingen. Je maakt een plan van aanpak waarin je je opdracht beschrijft en hoe je de klus gaat klaren. Het eindresultaat vinden we heel belangrijk. Je laat iets achter waar niet alleen jij trots op bent, maar waar de organisatie ook iets mee kan. Afhankelijk van je studierichting, persoonlijke ontwikkeling en van wat jij tijdens de sollicitatie aangeeft, zoeken wij projecten die daarop aansluiten.

Monique van Hoof, trainee bij de Servicedienst: ‘Het traineeship staat voor doen, durf en diversiteit. Doen: laat je verrassen door vier verschillende projecten en steek je handen uit de mouwen.

Durf: jezelf durven ontwikkelen, persoonlijk en professioneel. Diversiteit: diversiteit binnen de organisatie en vooral ook binnen de traineegroep, je leert met en van elkaar.’

Begeleiding en evaluatie Je krijgt tijdens elk project een persoonlijke mentor en een persoonlijke coach. Je mentor begeleidt je op je werkplek met het uitvoeren van jouw project. Samen met je coach maak je een Persoonlijk Ontwikkelings Plan (POP). Dit doe je met assessmentresultaten en je eigen ervaringen en wensen. De gesprekken met je coach gaan vooral over het spiegelen van jouw gedrag. Een POP is een dynamisch stuk, dat je steeds aanpast aan jouw ervaring.

Hanneke van der Plicht, trainee bij deelgemeente Prins Alexander: ‘Het traineeship is een tweejarig avontuur! Ik word steeds uitgedaagd om het beste uit mezelf naar boven te halen, om mezelf grondig onder de loep te nemen en samen met mijn traineegenoten te blijven leren. Het is een trektocht waardoor ik de gemeente in de volle breedte leer kennen.

De combinatie met werken voor de mooiste stad van Nederland maakt voor mij elke werkdag tot een feestje!’

Een stad die durft, geeft jong talent de ruimte

Arbeidsvoorwaarden Je krijgt een contract voor twee jaar dat bij goed functioneren verlengd wordt. Het salaris ligt tussen e 2.300,- en e 3.000,- bruto per maand, bij een 36-urige werkweek. We bieden moderne secundaire arbeidsvoorwaarden, zoals een uitstekende verlofregeling. De laatste zes maanden van het programma kun je meestal invullen naar eigen voorkeur. Daarna nemen wij samen met jou de beslissing over een reguliere baan bij de gemeente Rotterdam.
