Prizes

The Prizes are as follows: • •

Special Event

Major Prize: 1 x boat valued at $60,000 (Manufacturer’s Suggested Retail Price (MSRP)); and Weekly Prizes: 17 x weekly prizes comprising of goods valued at up to $1,399.

The Finalists will be invited to attend a Special Event between 6 March 2020 and 9 March 2020 at Copperlode Dam, Cairns, QLD, during which the finalists may participate in the following activities: •

a two-day fishing trip experience, including the Major Prize Draw (transfers and accommodation included).

Selection of Finalists

The Finalists for the Major Prize will be selected at 4.00pm AEDT on 4 February 2020.

Major Prize Draw date

The Major Prize will be drawn at the Special Event at 3.00pm AEDT on 8 March 2020.

Weekly Prize Draw Dates

The Weekly Prizes will be drawn in accordance with clause 12, with the first Weekly Prize to be drawn at 4.00pm AEST on 4 October 2019.

TERMS AND CONDITIONS 1.

Information on eligibility, mechanisms on how to enter, the Prizes, the information in the Schedule and any Attachments form part of these Terms and Conditions. An Entrant’s participation in the Promotion is deemed acceptance of these Terms and Conditions.

Eligibility: Entry is open to Australian residents aged 16 years or over (Entrants). Employees, immediate family members, Shimano Dealers (including employees of the Shimano Dealers), retailers, suppliers, associated companies and agencies related to Shimano are not eligible to enter the Promotion. All entries of Entrants who are under the age of 18 years must have the consent of their legal guardian. Any entries of Entrants who are under the age of 18 years who do not have the consent of their legal guardian and who enter the Promotion without disclosing, or by attempting to conceal, their age will be deemed invalid.

How to enter: To enter and be eligible, Entrants must, during the Promotional Period: (a)

spend at least $50 on any of Shimano’s range of products (including the following brands: Shimano, Squidgies, Environet, Power Pro, Spanyid and G.Loomis) (Shimano Range Products) at one of the Shimano’s participating dealers (a list of the Shimano’s participating dealers can be found at Attachment 1 to these Terms and Conditions) (Shimano Dealer). The Entrant will receive one entry in the Promotion per $50 spent and will receive a unique coupon from the Shimano Dealer (Coupon); and

(b)

correctly complete and submit the online entry form, by using the Coupon and uploading a valid store receipt to prove purchase of a Shimano Range Product, at www.shimanolms.com.au or any one of Shimano’s affiliate websites (Sites), in accordance with the instructions provided on the Sites. Entrants will be required to provide all mandatory information that may include, but is not limited to, the Entrant’s full name, residential address, age, date of birth, email address and contact telephone number.

All entries will be deemed accepted at the time of receipt by Shimano and not at the time of transmission. All entries are final. 4.

Multiple entries: Entrants must enter the Promotion in their own name. There are no limits on the amount of entries that an Entrant can submit, provided these Terms and Conditions are complied with on each occasion. The use of automated entry software or other mechanical, electronic or other means that allow an Entrant to automatically enter the Promotion repeatedly is prohibited and will render all entries submitted by the Entrant invalid.

Verification of Entrants: Shimano reserves the right, at any time, to verify the validity of entries and Entrants (including an Entrant’s name, age and place of residence) and to disqualify any Entrant. Failure by Shimano to enforce any of its rights at any stage does not constitute a waiver of those rights.

Game of chance: As the Promotion is a game of chance, and subject otherwise to these Terms and Conditions, skill plays no part in determining the winning Entrants or Finalists and each valid entry will NOT be individually judged. The winning Entrants and Finalists will be confirmed by Shimano. The numbers below reflect the minimum number of Finalists who must be entered into the Major Prize Draw (defined in clause 11(e)) from each of the following categories of Shimano Dealers, as set out in Attachment 1: • • • •

BCF x 1 Finalist; Anaconda x 1 Finalist; Tackleworld x 1 Finalist; and Independent and Group Fishing Dealers x 3 Finalist.

For instance, if during the Selection of Finalists (defined in clause 11(a)), the first 6 Entrants drawn are from only 3 of the above categories, the last of the Entrants drawn will not be considered a Finalist and the Promoter will continue to draw Entrants until such time as an Entrant from the fourth category is drawn. 7.

Expenses: Entrants are responsible for any and all expenses incurred when entering the Promotion and accessing, claiming and/or using the Prizes (unless otherwise stated in these Terms and Conditions).

Final decision: Any decision by Shimano is final and no correspondence will be entered into with Entrants regarding the decision.

Multiple Prizes: There is no limit to the number of Weekly Prizes that an eligible Entrant may win and a winning Entrant of a Weekly Prize will remain in the running to win the Major Prize.

10.

Prizes: Subject to clause 20, the Prizes are not transferrable and not redeemable for cash. The Prizes will be awarded in the name of the relevant winning Entrant, in accordance with clauses 11, 13, 13 or 15.

11.

Special Event & Major Prize Draw: The Major Prize will be awarded as follows: (a)

the Promotor will conduct an initial draw to select 6 finalists (Finalists) to participate in the Special Event (Selection of Finalists), on the date set out in the Schedule, by using a computerised system;

(b)

the Finalists will be notified within 48 hours of the Selection of Finalists;

(c)

the Finalists will have until the end of the relevant Redemption Period in clause 15(a) to claim their spot in the Special Event and the Major Prize Draw;

(d)

the Finalists must attend and participate in the Special Event to remain in the Major Prize Draw;

(e)

at the end of the Special Event, on the Major Prize Draw date (as set out in the Schedule), the Major Prize will be drawn, as follows: (i)

the Promoter will issue each of the Finalists a number from 1 to 6;

(ii)

the Promoter will draw numbers from a barrel randomly and one at a time;

(iii)

each time a number drawn from the barrel matches a number issued to a Finalist, the Finalist will be considered out of the running for the Major Prize;

(iv)

the Major Prize Draw will continue until such time as only one Finalist remains; and

(v)

the last remaining Finalist (or last man standing) will be the winning Entrant of the Major Price,

(Major Prize Draw). 12.

Weekly Prize draws: The Prize (as described in the Schedule) consists of a Major Prize and multiple Weekly Prizes which are each separately redeemable by a winning Entrant. The first Weekly Prize will be drawn at the end of the first week of the Promotional Period and each subsequent Weekly Prize will be drawn 7 days thereafter, until the Weekly Prize pool is exhausted. For the avoidance of doubt, the first Weekly Prize will be drawn on the Weekly Prize Date, as set out in the Schedule.

13.

Weekly Prize Draw venue: The weekly draws to determine winning Entrants of the Weekly Prizes will take place at 2 Wurrook Circuit, Caringbah NSW 2229 (Weekly Prize Draws). The Promotor will conduct the Weekly Prize Draws by using a computerised system to draw winning Entrants.

14.

Winning Entrants and Finalists: The winning Entrants in the Weekly Prize Draws, Major Prize Draw and the Finalists in the Selection of Finalists, if any, will be notified in person, by email and/or by telephone within 48 hours of the relevant Draw.

15.

Redemption Period: The redemption period, during which: (a)

the Finalists from the Selection of Finalists may claim their spot in the Special Event and the Major Prize Draw, commences on the date of the Selection of Finalists and ends 10 days from the date thereof;

(b)

the Major Prize may be claimed, commences on the Major Prize Draw date (as set out in the Schedule) and ends 1 month from the date thereof; and

(c)

each Weekly Prize may be claimed, commences on the relevant Weekly Prize Draw Date and ends 1 month from the date thereof,

(each, a Redemption Period).

If a winning Entrant does not claim the relevant Prize or a Finalist does not claim its spot in the Special Event and the Major Prize Draw, within the relevant Redemption Period, the Prize or spot in the Special Event and the Major Prize Draw will be deemed to be forfeited by the winning Entrant or Finalist. 16.

Unclaimed Prize Draw: If any Prize remains unclaimed or if a Finalist has not claimed its place in the Special Event and the Major Prize Draw by the end of the relevant Redemption Period, a second draw or selection (Unclaimed Prize Draw), will take place on the first business day after the expiry of the Redemption Period at 2 Wurrook Circuit, Caringbah NSW 2229. The Unclaimed Prize Draw will be conducted at the same time and manner as the original Weekly Price Draw, Major Prize Draw or Selection of Finalists, subject to any directions from a regulatory authority. Shimano may conduct the Unclaimed Prize Draw without the need to seek approval from the relevant regulator in New South Wales, Australia. The alternative winning Entrant or Finalist, if any, will be notified by email and/or telephone within 48 hours of the Unclaimed Prize Draw.

17.

Unavailable Prize: If any Prize is unavailable and Shimano has used all reasonable efforts to arrange the Prize, Shimano may, in its absolute discretion, reserve the right to substitute the Prize with a prize of equal value and/or specification, subject to any written directions from a regulatory authority.

18.

Invalid entries: In the event that an entry is deemed or found to be invalid, Shimano may redraw or decide on another winning Entrant or Finalist.

19.

Risk in the Special Event: The Finalists acknowledge that there may be inherent risk in attending and participating the Special Event (including all activities at the Special Event). The Finalists further acknowledge that attending and participating in activities at the Special Event, may result in injury or death. The Finalists attend the Special Event at their own risk. In attending the Special Event, the winning Entrant must: (a)

attend, undergo and pass any appropriate training, briefings, safety demonstrations, required medical tests and other requirements (including blood alcohol testing) of Shimano and/or any provider of the Special Event (or activities at the Special Event), as determined in their absolute discretion;

(b)

declare to Shimano and/or the provider of the Special Event (or activities at the Special Event), any health-related issues that may affect their safe participation in any part of the Special Event;

(c)

not have any heart condition or history thereof, or other medical conditions that would make it dangerous to attend or participate in the Special Event (including all activities at the Special Event);

(d)

not be under the influence of any drugs including alcohol;

(e)

comply with all directions of Shimano and/or the provider of the Special Event (or activities at the Special Event) and any relevant officials; and

(f)

wear all safety and other equipment required.

Shimano and/or the provider of the Special Event (or activities at the Special Event), may in their absolute discretion reserve the right to refuse to allow the Finalist to take part in the Special Event if they reasonably believe the Finalist represent a safety risk or for any other reason. You acknowledge that the Special Event may be organised and conducted by a third party and you agree that to participate in the Special Event you may be required to accept any terms or conditions or waiver provided by the third party. 20.

Major Prize (Boat): To be eligible to claim the Major Prize, the winning Entrant must be capable of obtaining the necessary boating registration for the Major Prize in its name, in accordance with the applicable State or Territory legislation in which the Prize is delivered. If the winning Entrant is, through any legal incapacity or otherwise, unable to register the Prize in their own name, then the winning Entrant may assign the Prize to another person (who consents to such assignment) with legal capacity for the purpose of registration. Shimano takes no responsibility for any such arrangement between the winning Entrant and the assignee. The Major Prize does not include any registration, licensing or other fees necessary for the winning Entrant to use or enjoy the Major Prize.

21.

Publicity: A winning Entrant’s or Finalist’s full name will be published in a national newspaper, and/or on the Sites, at www.shimanolms.com.au. By entering the Promotion, a winning Entrant or Finalist consents to the publication of such information.

22.

By entering the Promotion, Entrants consent to Shimano using their name, image and/or voice in the event that they are a winning Entrant (including photograph, film and/or recording of the same) in any media for an unlimited period without remuneration for the purpose of promoting the Promotion (including any outcome), and promoting the Promotor’s business and any products manufactured, distributed and/or supplied by Shimano. The Entrant further agrees that they will participate in all reasonable promotional activities in relation to the Promotion as requested by Shimano and its agents.

23.

Email Database: By entering the Promotion, the Entrant agrees to Shimano including the Entrant’s email address in Shimano’s promotional email database and to receive promotional emails and communications from Shimano, from time to time. To opt-out of the promotional emails and communications, the Entrant may contact Shimano using Shimano’s Contact Details in the Schedule.

24.

Non-Excludable Guarantees: Nothing in these Terms and Conditions limits, excludes or modifies or purports to limit, exclude or modify the statutory consumer guarantees as provided under the Competition and Consumer Act 2010 (Cth), as well as any other implied warranties under the Australian Securities and Consumer Act 2010 (Cth) or similar consumer protection laws in the State and Territories of Australia (Non-Excludable Guarantees).

25.

Consequential Loss: Despite anything to the contrary, to the maximum extent permitted by law, Shimano will not be liable under these Terms and Conditions for any consequential loss including but not limited to consequential loss, indirect loss, loss of profit (including anticipated profit), loss of benefit (including anticipated benefit), loss of revenue, loss of business, loss of goodwill, loss of opportunity, loss of savings (including anticipated savings), loss of reputation, loss of use (including both real and anticipatory) and/ or loss or corruption of data, whether under statute, contract, equity, tort (including negligence), indemnity or otherwise.

26.

Liability: Except for any liability that cannot by law be excluded by law (including the Non-Excludable Guarantees) and to the maximum extent permitted by law, Shimano (including its respective officers, related entities, employees and agents) will not be liable to an Entrant for, and the Entrant indemnifies, waives and releases Shimano in respect of all liability (including but not limited to all expenses, costs, damages, claims, losses) arising in any way out of or in connection with:

27.

(a)

any act or omission of the Entrant;

(b)

any breach of these Terms and Conditions by the Entrant;

(c)

any Force Majeure;

(d)

a matter arising out of clause 28;

(e)

the Finalist being unable to attend or participate in the Special Event and/or participate in the Major Prize Draw, as a result of clause 19;

(f)

any personal injury or loss;

(g)

the Special Event;

(h)

claiming the Prize;

(i)

use of the Prize in any way;

(j)

any theft of any Prize or unauthorised access or third party interference in the Promotion;

(k)

any entry or Prize claim that is late, lost, altered, damaged, delayed or misdirected (whether or not after their receipt by Shimano) due to any reason beyond the reasonable control of Shimano; or

(l)

any tax liability incurred by a winning Entrant.

Force Majeure: If performance of the Promotion, provision or use of the Prize (or any part of it), or any obligation under these Terms and Conditions is prevented, restricted, or interfered with by a Force Majeure Event, and if as a result Shimano is unable to carry out its obligations or to provide the Entrant

with the Prize (or any part of it), Shimano may in its absolute discretion, subject to any written directions made under any applicable legislation, cancel, terminate, modify or suspend the Promotion and/or, if necessary, provide an alternative prize or prizes to the same value as the original Prize. Shimano will give public notice of such an event and that the Promotion has been cancelled, terminated, modified or suspended. Force Majeure Event means any event or circumstance beyond Shimanoâ&#x20AC;&#x2122;s reasonable control includes, without limitation, acts of God, fire, explosion, vandalism, storm or other similar occurrence, orders of acts of military or civil authority, or by national emergencies, insurrections, riots, or wars, strikes, lockouts and work stoppages, terrorism, infection by computer virus, bugs, tampering, unauthorised intervention, technical failures or anything which corrupts or affects the administration, security, fairness, integrity or proper conduct of the Promotion. Shimano will use reasonable efforts under the circumstances to avoid or minimise any Force Majeure. An act or omission will be deemed within the reasonable control of a party if committed, omitted, or caused by such party, or its employees, officers, agents, or affiliates. 28.

Shimano accepts no responsibility and will not be liable for any late, lost, delayed, corrupted or misdirected entries, claims or correspondence whether due to error, omission, alteration, tampering, deletion, theft, destruction, transmission interruption, communications failure or otherwise. Shimano has no control over communications networks or services, the Internet, or computer or telephone networks or lines and accepts no responsibility for any problems associated with them, whether due to traffic congestion, technical malfunction or otherwise.

29.

To the maximum extent permitted by law, as a condition precedent to accepting the Prize, a winning Entrant must sign any legal documentation as, and in the form, reasonably required by Shimano and/or Prize suppliers, including but not limited to a legal release and indemnity form.

30.

Online entries: In the event that a dispute arises as to the identity of an online Entrant, the entry will be deemed to have been submitted by the authorised account holder of the email address. The authorised account holder means the natural person who is assigned to an email address by an Internet access provider, online service provider, or other organisation that is responsible for assigning email addresses for the domain associated with the email. Shimano may ask any Entrant to provide Shimano with proof that such party is the authorised account holder of the email address associated with the entry.

31.

Personal information: Shimano collects personal information in order to conduct the Promotion and for other purposes as set out in the entry form or page for the Promotion and may, for this purpose, collect, use and disclose such information to third parties, including but not limited to agents, contractors, service providers, Prize suppliers and as required, to regulatory authorities. Entry is conditional on providing this information. Entrants should direct any request to opt out, access, update or correct information to Shimano. All entries including the personal information in them becomes the property of Shimano. The collection of personal information in relation to the Promotion will be managed in accordance with Shimanoâ&#x20AC;&#x2122;s Privacy Policy (available at https://www.shimanofish.com.au/content/fish/oceania/au/en/homepage/privacy-policy.html).

32.

Legal Warning: Any attempt, deliberate or otherwise, to cause malicious damage or interference with the normal functioning of the Site, or the information on the Site, or to otherwise undermine the legitimate operations of the Promotion may be a violation of criminal and civil laws and, should such an attempt be made, whether successful or not, Shimano reserves the right to seek damages to the fullest extent permitted by law. If Shimano suffers loss or incurs any costs in connection with any breach of these Terms and Conditions or any other legal obligation by an Entrant, the Entrant agrees to indemnify Shimano for those losses, damages and costs.

33.

Linked Sites: The platform for the Promotion may contain links to other websites (Linked Sites). Shimano does not endorse and is not responsible for the content of any Linked Sites. Any Linked Sites displayed on the platform are for the Entrantsâ&#x20AC;&#x2122; convenience only and the Entrant agrees to access, use and otherwise deal with Linked Sites at their own risk.

34.

Social Media: Social media membership pages, applications and use of social media generally is subject to the prevailing terms and conditions of use of the social media platform. Unless otherwise indicated in these Terms and Conditions, the Promotion is in no way sponsored, endorsed or administered by, or associated with, any social media platform including, but not limited to, Instagram, Facebook, Twitter

and Pinterest. If an Entrant uses social media to participate in the Promotion, the Entrant understands that they are providing their information to the Promoter and not to any social media platform. Entrants are solely responsible and liable for the content of their entries and any other information they transmit to other Internet users. By participating in the Promotion, the Entrant releases Instagram, Facebook, Twitter, Pinterest or applicable social media site from all claims, liabilities, suits, actions and expenses, including costs of litigation and reasonable legal costs associate with the Promotion. 35.

General: Unless the contrary intention appears, a reference in these terms or in any advertisement relating to the Promotion, to Australian dollars, dollars, AUD$ or $ is a reference to the lawful currency of Australia.

36.

Delivery: Shimano will use its best endeavours deliver the Prizes within 28 days of the winning Entrant redeeming the Prize within the Redemption Period.

37.

Amendments: These Terms and Conditions may be amended or replaced from time to time if required by any regulatory authority.

38.

Jurisdiction: These Terms and Conditions are governed by the laws of the States and Territories in which the Promotion is conducted and the Commonwealth of Australia. Entrants submit to the jurisdiction of the courts of their State or Territory.

39.

Entire Agreement: These Terms and Conditions represent the entire agreement between Shimano and any Entrant and supersede any prior agreement, understanding or arrangement between Shimano and any Entrant, whether oral or in writing.

40.

Representations: Shimano excludes all, warranties, guarantees or representations (whether express or implied) except as expressly provided in these Terms and Conditions.
