INFORMATION ABOUT THE OWNERS SVEN & BARBARA EBBESSON Sven migrated to America from Sweden when he was 15 years old, coming to Winfield, Kansas where he graduated from high school. He has a doctorate in anatomy and has had a prestigious academic career in medical research. His medical research brought his family to Alaska more than 20 years ago as the Director of the medical department at University of Alaska. He met his wife, Barbara, a nurse, in Germany while stationed in the Army. They both retired in 2000 and are now retiring from the farm as well. Sven has always been drawn to agriculture as his family in Sweden were farmers. Following the purchase of his first tract of land, Sven, Barbara and their three sons began clearing land in order to grow potatoes. The soil fertility plus the area’s climate makes the land ideal for growing potatoes. From the beginning they decided the farm would be organic and went through all of the inspections and paperwork to get the official designation. Potatoes are now primarily sold as seed potatoes. Typically they grow 12-15 different varieties. Ebbesson Farms is well known throughout Alaska for their exceptionally high quality potatoes for both human consumption and seed. Provided that a perpetual covenant for the benefit of all Aiaska residents restricts the use of the land to agricultural purposes only as defined in AS 38.05.321. Except as expressly modified above, the terms of the original Deed of Trust shall remain unchanged and in full force and effect. EARNEST MONEY: The Buyer does hereby deposit with Yukon Title, Fairbanks, Alaska, NON-REFUNDABLE earnest money as security that the terms and conditions of this Contract shall be fulfilled by the Buyer. Earnest Money shall be deposited after Acceptance of the Contract by all parties. The earnest money shall be applied to the purchase price at closing.

CLOSING: The parties agree that time is of the essence, and Buyer agrees to close on or before November 1, 2013. Buyer and/or Seller will have the necessary funds available to close this Contract, payable by cashier’s check, certified funds, or wire.

POSSESSION: Possession of the land only used for hunting shall be day of the Auction. If property sells as one parcel (all land and equipment), Buyer shall receive possession day of Auction (including the current potato crop). If the property sells in separate parcels, possession of the potato farm will be after harvest of 2014 potatoes.
8.
AGENCY DISCLOSURE: Seller and Buyer acknowledge that United Country-Theurer Auction/Realty, LLC, and its agents or representatives are, or will be, acting as the agents of the SELLER, with the duty to represent the SELLER’S interest.

PRORATION OF TAXES AND RESERVES: Buyer shall be responsible for any future real estate taxes.
10. INSURANCE: Seller shall maintain current insurance in force until closing. Should possession take place prior to closing, Buyer shall secure hazard insurance effective on or before possession date. Buyer will be solely responsible for obtaining insurance to cover any casualty loss occurring after closing, even if possession is retained by Seller after closing. 11. MINERALS: All Seller-owned minerals shall be conveyed to Buyer at closing; land is not currently leased for oil or gas. 12. SURVEY: Property is being sold as per the legal description. Any survey required by lender shall be at the expense of the Buyer.

13. TITLE EVIDENCE: A preliminary title commitment has been prepared by Yukon Title, Fairbanks, Alaska, and at the Seller’s expense. The Seller shall cause to be furnished to Buyer a title insurance company’s commitment to issue, after closing, a title insurance policy in an amount equal to the full purchase price naming Buyer as the insured. A copy of the title commitment will be furnished to Seller, Buyer, lender, listing broker, and selling broker, if any, as promptly as possible. The Seller and Buyer shall each pay one half the cost of the Owner’s title insurance. In the event Seller is entitled to a discount, the Seller shall receive the full discount. Buyer shall pay for any title coverage for the benefit of Buyer’s lender. Buyer shall have a reasonable time, not to exceed five business days, to examine the title insurance commitment and to notify Seller of any objections to the title. Seller shall have a reasonable time, not to exceed 30 days after the scheduled closing date, to cure any title defect other than Permitted Exceptions. Should the Seller be unable to furnish marketable title subject to only the Permitted Exceptions, and should the Contract be terminated for that reason, then the earnest money shall be refunded promptly to the Buyer, the Seller shall reimburse the Buyer for the cost of a survey paid for by Buyer, but only if, the survey disclosed a title defect that cannot be corrected within the time provided above, and all parties shall be released from any further obligation. 14. DEED AND DOCUMENTS FOR CLOSING: Seller shall pay the cost of preparing the Deed, Affidavit of No Liens, other Seller-related documents necessary for closing, and its own closing costs. Buyer shall pay their own recording costs, taxes, fees, and closing expenses. Each party hereto shall be responsible for paying its own legal fees incurred under this Contract whether or not closing occurs. 15. INSPECTIONS: Any inspections, treatments or requirements from inspections shall be the sole responsibility of the Buyer. 16. PHYSICAL CONDITION OF PROPERTY: The Buyer accepts the above described property in its present existing condition without warranty, expressed or implied, by the Seller or the Listing or Selling Broker. The Buyer has carefully examined the premises and the improvements (if any) located thereon, and understands that the purchase price was bid after consideration of any and all possible defects in said real estate and the improvements thereon, and further acknowledges that the property is being purchased “as is”; that there have been no express warranties other than those of good and merchantable title; and that Buyer is relying on his or her inspection of the premises as to its condition and not upon any representation or lack thereof by Seller or Seller’s agent. Buyer further agrees that upon possession or closing, whichever occurs first, Buyer waives any and all claims against Seller or Seller’s agent of any nature relating to this transaction. PURCHASE IS NOT CONTINGENT ON FINANCING. 17. REPRESENTATIONS AND RECOMMENDATIONS: Seller certifies to the best of its knowledge there are no known environmental hazards or defects on the real estate being purchased. In the event Buyer desires to obtain an environmental study, he shall do so at his expense and furnish proof of any environmental hazards or defects to Seller ten days prior to closing. In the event of proof of an environmental hazard or defect, Seller shall have the right to correct same within a reasonable time or to cancel this contract. If cancellation is elected, the earnest deposit shall be returned to Buyer. The escrow agent is hereby authorized to release to Seller all monies paid in connection with this transaction as soon as the title is approved by Buyer, and the escrow is closed, less any expense in connection with this sale. 18. INTERIM MAINTENANCE: Subject to paragraph 7, Seller agrees to deliver possession of the Property in a like or better condition than it is now, reasonable wear and tear excepted. 19. LIENS: Seller represents and warrants that there are no unpaid (whether recorded or not) chattel mortgages, conditional sales contracts, financing statements, or security agreements affecting any fixture, portion of the Property or item of personal property covered by this Contract. Any existing liens which the Seller is required to remove under this Contract may be paid and discharged from the sale proceeds at the closing. 20. BROKERAGE FEES: The party handling the closing is hereby authorized and directed to collect and disburse the brokerage fees and advertising/marketing fees, if any, at closing. 21. ALTERATIONS: Any alteration of the terms and conditions of this Contract must be agreed to in writing by both Buyer and Seller. Ebbesson
22. NOTICE TO BUYER REGARDING MEGAN’S LAW: AS 12.63.010 requires the registration of sex offenders residing with the State of Alaska. Under AS 34.70.050, Buyer is independently responsible for determining whether a person who has been convicted of a sex offense resides in the vicinity of the property that is the subject of the Buyer’s potential real estate transaction. HEIRS AND ASSIGNS: This Contract shall inure to the benefit of, and be fully binding upon the Seller, their heirs, executors, administrators, successors, and assigns. No assignment shall serve to release or relive the party assigning from any responsibilities or obligations hereunder. 24. TAX DEFERRED EXCHANGE: Seller and Buyer acknowledge that either party may wish to structure this transaction as a tax deferred exchange of like-kind property within the meaning of Section 1031 of the Internal Revenue Code. Each party agrees to reasonably cooperate with the other party to effect such an exchange; provided, however, that (1) the cooperating party shall not be required to acquire or take title to any exchange property, (2) the cooperating party shall not be required to incur any expense or liability whatsoever in connection with the exchange, (3) no substitution of the effectuating party shall release said party from any of its obligations, warranties, or representations set forth in this Contract or from liability for any prior or subsequent default under this Contract by the effectuating party, its successors, or assigns, which obligations shall continue as the obligations of a principal and not of a surety or guarantor, and (4) the effectuating party shall not delay the closing as set forth in Paragraph 6, (5) the effectuating party shall be responsible for preparing all additional agreements, documents, and escrow instructions required by the exchange, at its sole cost and expense. 25. DEFAULT: If Buyer defaults hereunder, Seller may retain the Deposit and may also pursue such remedies as are available to Seller at law or in equity, including, without limitation, an action for specific performance. If Seller defaults hereunder, Buyer’s sole remedy shall be the return of the Deposit (less any accrued interest) and the Buyer expressly and unconditionally waives and releases any other claim, demand injury, or cause of action, whether at law or in equity. 26. AGREEMENT APPROVAL: This Contract constitutes the entire agreement between the parties and supersedes any previously executed contracts and representations, verbal or written. Neither this Contract, nor any interest herein, shall be transferred or assigned by Buyer without the prior written consent of Seller. 27. MISCELLANEOUS:

TERMS AND CONDITIONS OF SALE RESTRICTIONS: Subject only to (1) all City, County, and State laws, ordinances and regulations and (2) any easements, encumbrances, and restrictions applicable to the Property. Seller is placing no restrictions on the property. UTILITIES: United Country-Theurer Auction/Realty, LLC, nor the seller guarantees the availability of utilities, public or private. This consists of but is not limited to: wells, septic tanks, access to public utilities or any hookup fees therewith. Confirmation of utility availability is the bidder’s sole responsibility. BUYER’S PREMIUM: A 3% Buyer’s Premium will be added to the High Bid to determine Contract Purchase Price. EARNEST DEPOSIT: Earnest Money in the amount of 10% of the Purchase Price is due on Auction Day and upon signing the Purchase Contract. TITLE EVIDENCE/DEED: Seller will deliver to Buyer an insurable deed for the Property at time of closing, conveying clear and marketable title of surface rights to said Property, free of all encumbrances, liens and judgment, except for those lawful conveyances and restrictions that exist on record before the date of the auction, as noted in the title insurance commitment. SURVEY: Property is being sold as per the legal description. Any survey required by lender shall be at the expense of the Buyer. POSSESSION: Possession of the hunting land will be day of auction. If property sells as one parcel (all land and equipment), Buyer shall receive possession day of Auction (includes the crop). If property sells in separate parcels, possession of the potato farm and equipment will be after harvest of 2014 potatoes. MINERALS: All Seller-owned mineral interest shall be conveyed to Buyer at closing. Land is not currently leased for oil or gas. TAXES: Buyer shall be responsible for any future real estate taxes. PROPERTY SOLD “AS IS, WHERE IS, WITH ALL FAULTS” WITHOUT REPRESENTATION OR WARRANTY OF ANY KIND: The real property shall be sold subject to conditions, restriction, right-of-way easements, and reservations, if any, of record, filed and unfiled mechanic’s and materialmen’s liens, if any, and all other matters of record taking priority, subject to the rights, if any, of tenants-in-possession, and further subject to all conditions announced at the sale; and confirmation of the seller. Announcements made day of auction take precedence over previously printed material and oral statements. FOR THE LIVE AUCTION: Bidders must present a photo identification in order to obtain a Bidder’s Number. The high bidder will execute a Contract for Sale of Real Estate and provide a binding deposit of 10% of the Purchase Price. CLOSING: Buyer must close sale of real property on or before November 1, 2013. TIME IS OF THE ESSENCE. The entire purchase price must be paid by Cashier/Certified check or wired funds at closing. No purchase is contingent on financing. Buyer is entitled to a deed for property upon full payment. Buyers should have all tests and inspections completed prior to the date of the auction. Only the Purchase Contract shall set forth Seller’s obligations to the successful Bidder.

ADDITION OR WITHDRAWAL FROM SALE; CONDITION OF SALE: All bids are subject to Seller approval and the tracts are being offered for sale with that reservation. The Auctioneer reserves the right to cancel the auction up to the time prior to the commencement of bidding. If a subsequent survey by the Buyer shows a greater or lesser number of acres or square footage this will not affect the purchase or purchase price. AGENCY: The Broker/Auctioneer is acting as agent for the Seller only. During bidding, the Auctioneer has the right to reject any raise that in his opinion is not commensurate with the property value. In the event of any dispute after the sale, United Country-Theurer Auction/Realty’s record of final sale shall be conclusive. All information and materials provided by Auctioneer is subject to inspection by all appropriate parties and the Auctioneer assumes no liability for its accuracy, errors, or omissions nor its agents, the Seller or its agents. Prospective bidders should independently verify any information being materially relied upon in making a purchasing decision. LIQUIDATED DAMAGES: Buyer will forfeit all of their deposit if they cannot close within the stated time herein and no written extension has been granted by the Seller. If such action occurs, United CountryTheurer Auction/ Realty, LLC, hereby has the right to disperse the deposit as stated in the listing agreement and the Buyer has no claims to such money or property being sold. Liquidated damages are to cover cost of auction, cost incurred by seller, labor cost, and additional cost of auction as not defined in this agreement. These liquidated damages do not restrict the seller from suing the Buyer for performance damages and/or any additional damages the seller suffers by the default of the Buyer. ARBITRATION: For disputes that are not resolved by the parties within 10 days after either party gives notice to the other of its desire to arbitrate the dispute, the dispute shall be settled by binding arbitration by the American Arbitration Association in accord with its then-prevailing rules. Judgment upon the arbitration award may be entered in any court having jurisdiction. The arbitrator shall have no power to change the provisions of this Agreement. The arbitrator shall consist of one arbitrator, who must be a real estate attorney actively engaged in the practice of law for at least the last five years. BUYER’S NOTE: Individual purchases are to be considered as singular transactions not contingent on the sale of other properties or tracts. United Country-Theurer Auction/Realty, LLC, reserves the right to offer the property in individual tracts, combination of tracts, as a whole or in any way that we see fit in order for it to bring the most money for the owner. The sale of combinations supersedes the sale of individual tracts. The decision of the Auctioneer is final. Seller and United Country-Theurer Auction/Realty, LLC, reserve the right to amend any terms and conditions prior to or during the auction.
