Welcome Letter
Welcome to CAJPA’s leadership! On behalf of the CAJPA Board of Directors, committee members and staff, I want to thank you for your willingness to be part of California’s voice for risk sharing pools. CAJPA was founded in 1981, when the pooling concept for insurance purposes was still relatively new and fairly obscure. Not wanting to venture alone in unchartered waters, CAJPA was formed to meet the need for communication and cooperation among the newly formed JPAs. CAJPA has always taken challenges head-on and provides its members with essential member benefits and advocacy unique to California’s risk sharing pools. For the last 39 years, CAJPA has provided its members with up-to-date professional development opportunities, an accreditation program requiring the highest of standards, impactful advocacy at both the Capitol and with state regulators; as well as a family-like culture where professionals share knowledge and support one another. As a member of CAJPA’s Board of Directors, you will be playing a part in the future of the organization, providing input and making vital decisions on how to best serve our members. Regardless if you are one of the nine elected board members or one of the committee chairs, you will find a strong unity of purpose on the CAJPA Board. Currently, the Board of Directors meets virtually each month. We have an annual multi-day strategic planning session as well. Directors are encouraged to attend as many CAJPA events as possible. CAJPA is managed by an association management company, Smith Moore & Associates, with its headquarters located in downtown Sacramento, California. We have included a staff roster with roles and responsibilities to assist you. If you ever need assistance or have questions, please feel free to reach out to staff. CALIFORNIA ASSOCIATION OF JOINT POWERS AUTHORITIES BYLAWS ARTICLE I - NAME The organization shall be known as the "California Association of Joint Powers Authorities" hereinafter referred to as CAJPA or the Association. ARTICLE II – PRINCIPAL LOCATION The principal office of the Association will be located at such place within the State of California as the Board of Directors may designate. ARTICLE III – PURPOSE The purpose of the Association: 1. To provide a forum for Joint Powers Authority (JPA) members to exchange information on mutual issues arising in the administration of self-funded and group purchasing insurance programs, and other programs associated with the operation of such JPAs; 2. To work effectively in initiating legislation and/or administrative policies and regulations, and provide support for or opposition to legislation affecting programs of JPAs; 3. To provide accreditation standards and award Certificates of Accreditation to JPAs which meet those standards; 4. To act as a peer resource to members in administering programs; and 5. To sponsor educational conferences and programs to benefit and enhance the administration of JPAs. ARTICLE IV – MEMBERSHIP Section 1 - Regular Membership Regular Membership is open to all JPAs formed under California Government Code Section 6500, et seq, which provide self-funded, group purchase insurance, or other risk financing/risk management programs. Each JPA shall appoint one Designated Representative to receive mailings and official communications and to represent the Regular Member at general membership meetings. Regular Members are subject to policy, rules and procedures adopted by the Board of Directors relating to activities at Association meetings or conferences. Section 2 - Affiliate Membership Affiliate Membership is open to any government or non-profit entity that does not otherwise meet the criteria for Regular Membership. Affiliate Members may attend Association meetings. Affiliate Members are subject to policy, rules and procedures adopted by the Board of Directors relating to activities at Association meetings or conferences. Section 3 - Associate Membership Associate Membership is open to JPA service providers, including individuals. Associate Members may attend Association meetings. Associate Members are subject to policy, rules and procedures adopted by the Board of Directors relating to activities at Association meetings or conferences. Section 4 - Membership Dues Annual membership dues as established by the Board of Directors shall be payable no later than 90 days following the date of the invoice. 4

ARTICLE V – VOTING Section 1 – Regular Members Each Regular Member is entitled to one vote, which shall be cast by the Regular Member’s Designated Representative at the general membership meeting. Section 2 – Affiliate Members Affiliate Members do not have voting privileges. Section 3 – Associate Members Associate Members do not have voting privileges. ARTICLE VI – WITHDRAWAL Any Regular, Affiliate or Associate Member may withdraw from membership at any time by filing a written notice of withdrawal with the Association. No dues shall be refunded in the case of withdrawal from membership. ARTICLE VII - MEETINGS OF THE ASSOCIATION Section 1 - Meetings of the Association There shall be at least one meeting of the Association’s Regular Members (“general membership meeting”) held each year, which shall be called by the President. Additional general membership meetings may be called by the President or by a majority of the Board of Directors. Section 2 - Notice Notice of the time and place of all general membership meetings shall be delivered to all Designated Representatives at least two weeks prior to the meeting. The notice shall specify the place, date and hour of the meeting, and the means of electronic transmission by and to the Association or electronic video screen communication, if any, by which members may participate in the meeting. For the annual meeting, the notice shall state the matters that the Board of Directors, at the time notice is given, intends to present for action by the members. For a special meeting, the notice shall state the general nature of the business to be transacted and shall state that no other business may be transacted. The notice of any meeting at which directors are to be elected shall include the names of all persons who are nominees when notice is given. Approval by the members of any of the following proposals, other than by unanimous approval by those entitled to vote, shall be valid only if the notice or written waiver of notice states the general nature of the proposal or proposals: (a)
Removing a director without cause;
(b)
Filling vacancies on the board;
(c)
Amending the Association's articles of incorporation;
(d)
Electing to wind up and dissolve the Association.
Section 3 - Quorum - General Membership Meetings Each Designated Representative of a Regular Member of the Association shall register prior to general membership meetings, and fifteen (15) of these registered Members shall constitute a quorum for the transaction of the business of the Association. Unless otherwise provided for in these Bylaws, action shall be by a majority 5

vote of the Designated Representatives present at the general membership meeting with each Regular Member limited to one vote. Proxy voting is not permitted. ARTICLE VIII - BOARD OF DIRECTORS Section 1 – Intent It is the intent of the Association that it be governed by Board Members whose primary function is to participate in the management or governance of a JPA and that such Board Members are not also vendors who are providing additional products and/or services to the JPA or to the pooling community on a for-profit basis. Section 2 - Board Members There shall be a Board of Directors consisting of nine (9) voting members elected from among the Regular Members of CAJPA and elected by the Regular Members. Chairs of standing committees shall also serve as exofficio, non-voting members of the Board of Directors. Section 3 - Eligibility Every CAJPA Board Member must be either a public employee who is a member of the management team of a Regular Member, a public employee who is a voting member of the governing board of a Regular Member, or an individual public employee whose primary duties are the operation of a Regular Member agency. A Board Member will become the Designated Representative of “his or her” Regular Member upon assuming office on the CAJPA Board, if he or she is not already so designated before that date. Section4 - Duties The Board of Directors shall govern the Association and shall have such authority as is not inconsistent with these Bylaws to carry out all functions of the Association; to receive, accept, and utilize property, real or personal, from any members of the Association; and to receive, accept, and expend and disburse monies by contract or otherwise, for purposes consistent with the provisions of these Bylaws, which monies may be provided by any revenues of the Association. The Board of Directors shall annually, on or before the first day of the Association's fiscal year, adopt a budget showing each of the purposes for which the Association will need money and the estimated amount of money that will be needed for each such purpose for the ensuing fiscal year. The Board of Directors shall establish annual membership dues not later than 60 days prior to the ensuing dues fiscal year. The Board of Directors shall ensure that a complete and accurate system of accounting of the Association's funds shall be maintained at all times consistent with established accounting procedures and practices. The Board of Directors has the authority to delegate certain duties as it deems appropriate. Section 5 - Meetings of the Board of Directors Meetings of the Board of Directors shall be called by the President or may be called by a majority of the Board of Directors. Written notice of such meetings shall be delivered to members of the Board of Directors not less than three (3) days prior to such meeting. Five (5) or more voting members of the Board of Directors present at a meeting shall constitute a quorum. In the event action is necessary by the Board of Directors prior to a scheduled meeting, an affirmative vote of six (6) or more of the members of the Board of Directors by telephonic, electronic or mail poll conducted by the President shall be sufficient to constitute action. Issues decided by this voting method shall be reported at the next regular Board of Directors meeting. ARTICLE IX - ELECTION OF THE BOARD OF DIRECTORS Section 1 - Terms Each director shall be elected to serve a three-year term. The term of office for each director shall commence on January 1, following the election and expire on December 31 of the elected term. The Board of Directors 6

positions shall be numbered One through Nine. The Secretary of the Association shall maintain a record of position numbers and the corresponding board member's name and term expiration dates. Section 2 - Nominating Committee There shall be a Nominating Committee appointed by the President of the Board of Directors and composed of no fewer than three (3) Designated Representatives of Regular Members. The Nominating Committee shall be responsible for seeking nominations; identifying one or more eligible candidates for each Director's position on the Board of Directors whose term is scheduled to expire; and recommending as many eligible candidates as there are Directors’ positions up for election. At least two weeks prior to the election, a written report of the nominating committee stating the names of all eligible persons nominated, and the names of the persons recommended by the Nominating Committee, shall be delivered to all Designated Representatives. Section 3 - Votes to Elect Those nominees receiving the greatest numbers of votes cast by Designated Representatives of Regular Members shall be elected. In the case two or more candidates for one position receive an equal number of the votes, the election shall be determined by drawing. ARTICLE X - DUTIES OF OFFICERS Section 1 - Officers Officers of the Association shall consist of a President, Vice President, Secretary and Treasurer. The officers shall have such duties as are herein prescribed. Section 2 – Election of Officers The Board of Directors shall elect a President and Vice President, each to hold office for a two-year term, except as hereinafter provided, and until a successor is elected. In the event the President or Vice President so selected ceases to be a member of the Board of Directors, or for other reasons is unable to serve, the resulting vacancy in the office of President or Vice President shall be filled at the next Board of Directors meeting held after such vacancy occurs. The offices of Secretary and Treasurer, shall be elected by the Board of Directors at the first Board meeting following the general election, and the persons so elected shall serve for a one year term from January 1 to December 31. The officers shall have such duties as are herein prescribed. Section3 - President The President shall preside at all meetings of the Association and the Board of Directors, and shall appoint, replace, or reaffirm committee chairperson(s). The President shall serve as an ex-officio member of all committees. Section 4 - Vice President The Vice President shall preside in the absence of the President and in case of vacancy in the office of President, perform the duties of that office until a President shall be elected. Section 5 - Secretary The Secretary shall maintain a record of proceedings of all meetings and shall be the custodian of official documents and records other than financial records for the Association. Section 6 - Treasurer The Treasurer shall maintain a record of the financial transactions of the Association, including but not limited to, income and expense statements, bank accounts and investments. Financial records shall be subject to an annual audit by an independent, Certified Public Accountant.

ARTICLE XI – VACANCIES Section 1 –Vacancies A vacancy or vacancies on the Board of Directors shall be deemed to exist upon the specific circumstances which may include any of the following: (i) the death, resignation or removal of a director; (ii) an increase in the number of authorized directors; or (iii) the failure of the Designated Representatives to elect directors by ballot. Vacancies on the Board of Directors shall be filled by appointment by a majority vote of the Board of Directors after they have considered the recommendations of the Nominating Committee. The replacement shall serve for the remainder of the term of the Board Member whose position was vacated. Section 2 – Resignations Any director or officer may resign by giving written notice of resignation to the President, Vice President or Board Member. Should a director no longer meet the eligibility criteria as provided in Article VIII, Section 3 of these Bylaws, that director shall immediately be deemed to have resigned. Section 3 – Removal from Office The Board of Directors, by an affirmative vote of five or more of the Board members, shall have the power and authority to remove an officer or director with or without cause and declare his or her office vacant if he or she (i) has been declared of unsound mind by a final order of court; (ii) has been convicted of a felony; (iii) has been found by a final order or judgment of any court to have breached any duty under Section 7230 through 7238 of the California Nonprofit Mutual Benefit Corporation Law (relating to the standards of conduct of directors); (iv) fails or ceases to meet any required qualification that was in effect at the beginning of that director’s current term of office; (v) has three unexcused absences from Board of Directors meetings during a calendar year; or (vi) fails to fulfill the duties of a Board member. ARTICLE XII – COMMITTEES Section 1 - Committees The Board of Directors may establish or dissolve committees or Ad Hoc committees as may be appropriate. Standing Committees are advisory to the Board of Directors. The Board of Directors may delegate certain duties to the committees as it deems appropriate. Section 2 - Members With the exception of the Nominating Committee, the chairpersons of each committee shall select members from among the Regular, Affiliate and/or Associate Members, subject to the approval of the Board of Directors. ARTICLE XIII – ACCOUNTS AND RECORDS Section 1 - Fiscal Year The fiscal year of the Association shall be established by the Board of Directors. Section 2 - Budget The Board of Directors shall adopt an operating budget for the Association prior to the start of each fiscal year. Section 3 - Funds and Accounts The Treasurer shall establish and maintain such funds and accounts as may be required by good accounting practice or by the Board of Directors. Books and records of the Association shall be open to inspection at all reasonable times by representatives of a Member.

Section 4 - Treasurer's Report The Treasurer, 120 days after the close of each fiscal year, shall give a complete written report of all financial activities for such fiscal year to the Board of Directors. Section 5 - Annual Audit The Board of Directors shall provide for a certified, annual audit of the accounts and records of the Association which audit shall conform to generally accepted auditing standards. When such an audit of the accounts and records is made by a Certified Public Accountant, such report shall be reviewed and approved by the Board of Directors. Section 6 - Costs Any costs of the audit, including contracts with, or employment of, Certified Public Accountants, in making an audit pursuant to this Article, shall be borne by the Association. ARTICLE XIV - LIMITATION OF ASSOCIATION’S LIABILITY No officer, director, or member shall make or incur any debt or liability in the name of the Association or on its behalf unless such debt or liability is authorized by the Board of Directors and is not inconsistent with these Bylaws. ARTICLE XV – INDEMNIFICATION Every director, officer or employee of the Association and such others as may be specified from time to time by the Board of Directors, shall be indemnified by the Association against all expenses and liabilities, including legal fees, reasonably incurred or imposed upon them in connection with any proceeding to which they may be made a party, or in which they may become involved, by reason of being or having been a director, officer or employee of the Association, or any settlement thereof, whether the person is a director, officer or employee at the time such expenses are incurred, except in such cases wherein the director, officer or employee is adjudged guilty of negligence, willful misfeasance or malfeasance in the performance of his or her duties. The foregoing right of indemnification shall be in addition to and not exclusive of all other rights to which the indemnified person may be entitled (such as, by way of example and not limitation, the rights to be defended and indemnified under a policy or policies of insurance purchased for such purposes by the Association). ARTICLE XVI – DISSOLUTION The Association shall use its funds only to accomplish the purposes specified in these Bylaws. No part of the funds shall be used to the advantage of any single person or entity or be distributed to the members of the Association. In the event of the dissolution or final liquidation of the Association, its remaining net assets shall be distributed to such nonprofit corporations or associations as are exempt from Federal Income Tax under Section 501(c)(6) of the Internal Revenue Code, as deemed appropriate by the Board of Directors. ARTICLE XVII - AMENDMENTS OF BYLAWS Amendments to these Bylaws may be proposed at any time by a vote of two-thirds (2/3) of the Board of Directors, but any such amendment shall not be effective until approved by a majority vote of the Designated Representatives of the Regular Members voting at a general membership meeting or by a majority vote of the Designated Representatives of the Regular Members if the vote is by mail ballot. The Board of Directors may establish the effective date of the Bylaw amendments as any date on or after the date such amendments are approved by the Regular Members’ Designated Representatives. 10

DEFINITIONS Affiliate Member Any government or nonprofit entity that does not otherwise meet the criteria for Regular Membership. Affiliate Members must be approved for membership by the Board of Directors and must be in good standing. Associate Member An individual or agency which is in the business of providing products or services to one or more Regular Members and/or other agencies. Generally, Associate Members operate on a for-profit basis and provide some services or products to Regular Members or other agencies. Associate Members must be approved for membership by the Board of Directors and must be in good standing. Board of Directors The governing body of the California Association of Joint Powers Authorities (CAJPA). Delivery The delivery of communications regarding Association meetings or other business either personally, by telegraph, teletype, or other form of wire or wireless communication; or by first class U.S. mail or private carrier. Notice given by electronic transmission by the Association shall be valid only if: (1.) Delivered by (i) facsimile telecommunication or electronic mail when directed to the facsimile number or electronic mail address, respectively, for that recipient on record with the Association; (ii) posting on an electronic message board or network that the Association has designated for those communications, together with a separate notice to the recipient of the posting, which transmission shall be validly delivered on the later of the posting or delivery of the separate notice of it; or (iii) other means of electronic communication; (2.) To a recipient who has provided an unrevoked consent to the use of those means of transmission for communications; and (3.) That creates a record that is capable of retention, retrieval, and review, and that may thereafter be rendered into clearly legible tangible form. Designated Representative The Designated Representative who is elected or appointed by the Board of Directors, Executive Committee, or other duly-empowered authorizing body of a Regular Member to represent the interests of the Regular Member at Association general membership meetings. This person is eligible to cast the sole vote of that Regular Member at general membership meetings. Management Employee An individual employed by a public agency in a management or leadership capacity who meets eligibility requirements for the Public Employees Retirement System (PERS) or State Teachers' Retirement System (STRS). Meeting A gathering of members of the Board of Directors, or of Designated Representatives of Regular Members of the Association, for purposes of transacting Association business. Any board or general membership meeting may be held either by attendance in person; or by attendance by conference telephone, video screen communication, or other communications equipment; or both by attendance in person and by attendance via electronic means. Whether effected by personal appearance or by electronic means, participation in a meeting shall constitute presence in person at the meeting if (1.) Each member participating in the meeting can communicate concurrently with all other members; and (2.) Each member is provided the means of participating in all 11

matters before the Board of Directors, including the capacity to propose, or to interpose an objection to, a specific action to be taken by the Association. Regular Member A public risk pool which is a Joint Powers Authority formed pursuant to California Government Code section 6500, et seq which provides self-funded, group purchase insurance, or other risk financing/risk management programs and services to a California public agency or agencies. Regular Members must be approved for membership by the Board of Directors and must be in good standing.

Motion carried. Consent Calendar Past President Andy Sells motioned to approve the minutes, including the change in Director Craig Schweikhard’s title. Director Schweikhard seconded. Motion carried. Action Items New Committee Members New committee members Nicole Henry, Health Benefits Coordinator, has been chosen to add to the Professional Development Committee and Alexandria Barr, California Schools JPA to the Legislative Committee. Director Schweikhard motioned to approve the new committee members, Janet Selby seconded. Motion carried. Accreditation Consultant Contracts CAJPA Administrative Director Carmen Berry mentioned that because Consultant Robin Johnson is retiring, the Accreditation Committee is adding two new consultants; David Nunley and Embross, LLC, who will be working as a team. Their bios are located in the packet. As well, it was discussed that Jim Marta’s role on the accreditation committee should now be more of a program manager rather than a consultant. He will be focusing on reviewing the studies and training the consultants, as mentioned in the previous October board meeting minutes. Tort Liability Data Analysis Project-NDA CAJPA Director Catherine Smith stated that one of the concerns that was expressed from Julie is providing contributors with an NDA. There was some level of concern about the data that was provided to AON being used only for research purposes. CAJPA has prepared an NDA and it has been reviewed by David McMurchie and he believes it will cover the other firms concerns about privacy. AON is asking the board to approve it so that they can move forward with the project. Vice President Dean mentioned that CAJPA staff can work to provide a FAQ for pools to send out to their members; possibly on the CAJPA website. Julie will put that into the agenda for the next meeting. Past President Sells motioned to approve the NDA and move forward with the Tort Liability Data Analysis Project. Director Schweikhard seconded. Motion carried. Pooling Academy MOU-AGRIP CAJPA Executive Director Smith stated that the development of the content for the pooling academy is in full swing. The first meeting was an overview of the project, connecting with Lexipol, and the pooling basics in Texas that Administrative Director Carmen attended. The MOU has not been approved yet as CAJPA’s legal counsel is currently reviewing it. David McMurchie does not have any issues on the project but rather needs more clarification on the termination clause, dispute resolution, etc. To approve moving forward, President Rhay stated that it would be contingent upon David McMurchie’s changes. Vice President Dean mentioned that number one seems to be a disadvantage to CAJPA because our financial contribution is permitted to ‘tomorrow’ rather than a 90-day term. CAJPA is obligating ourselves monetarily but not receiving anything in return. In conclusion, the MOU needs some fine tuning before moving forward. Completion of the pooling project will happen in 2022. Legal Affairs Committee Chair Mike Pott motioned to give the authority of this project to President Karla Rhay and Past President Sells to approve without bringing is back to the board. Director Schweikhard seconded. Motion carried. 2020 Annual Budget SMA Staff Resources Before the topic began, President Rhay mentioned that at the strategic planning session the board will get into the details of the SMA contract. As of now, only a quick overview will be provided. For the Board, they can provide annual feedback every year and come up with simple questions of what is working and what is not, goals, etc. Director Smith would be allowed to attend the meeting and hear the dialogue. Director Smith mentioned you will see the 2020 proposed areas in the contract specifically about CAJPA, AGRIP, and the Pooling Academy. CAJPA staff will also be undertaking a legislative data project to see who is represented in each district. Director Smith mentioned that staff did an 18-month dues renewal to put the membership cycle to mirror the fiscal year. Associate member dues are coming in a little slower but will speed up more around conference time. If staff covers all of the revenue from the data collection project, you’re looking at a deficit of $46,000. Director Smith mentioned that with the number of projects SMA staff is currently working on with CAJPA, they are not adequately staffed to be able to properly manage. Therefore, Director Smith has requested an additional $60,000 to properly allocate work among SMA staff and dedicate the necessary time to CAJPA. This would allow Carmen and Catherine to spend more time on the data collection project with AON and the Pooling Academy. SMA will allocate 60% of one staff members time to CAJPA. Motion to approve the additional $60,000 to SMA for additional staffing was made by Director Lefmann. Vice President Dean seconded this motion. All in favor. Motion carried. California Public Private Alliance Director Lefmann gave an overview of the California Public Private Alliance coalition. Because the issue of independent contractors deeply affects CAJPA pools and their members, on behalf of the Legislative Committee Director Norm Lefmann is recommending that CAJPA partner with CPPA. Such a partnership would commit CAJPA to an annual cost of $6,000. Although there is no prior line-item approval for such an expense, this is an opportunity to join in pursuing administrative and legislative policies that are favorable to our interests for a relatively small cost. Board discussed the recommendation. Gina Dean motioned to approve the funding for the coalition and to join the coalition. Janet Selby seconded. Motion carried.

Discussion Items Committee Policies and Procedures Vice President Dean stated that at the previous board meeting herself, Mike Pott, and Director Norm Lefmann reviewed the policies and procedures manual to check for updates. In order to receive consistency, they put together a spreadsheet and had each committee to review it to make any changes or add input. As of now, each committee has reviewed it and has made necessary changes. CAJPA staff will move forward with creating the documents for board approval at a future meeting. Messaging for AB 218 Director Lefmann stated that when Consultant Faith Borges sent out the messaging idea for AB 218 to the legislative committee, it got a visceral reaction. The idea was to have some kind of toolkit that CAJPA can give schools so that they have something that they can give to communities. President Rhay suggested this toolkit be a resource on the CAJPA website. It is an opportunity for CAJPA to see what we can do as an association so that when we are faced with schools who have to deal with this, we are more prepared. Director Martin Brady and Secretary Janet Selby have external PR professionals that may be able to help with this project. 2020 Strategic Planning Meeting Agenda Items The strategic planning session will focus around rebuilding the SMA contract. Feedback processes about Board expectations and the roles of SMA staff will be further discussed. As well, SMA will report out on what they are doing to the Board. CCWC Update Director Martin Brady mentioned the CCWC conference is a great way to get current info. The first board meeting is April 22, 2020 in Downtown Sacramento. Many things will be discussed specifically pertaining to vendors being reinstated. Lastly, Director Brady wanted to bring attention to the CalPERS reform that is taking place. It is not conflicting with the CAJPA conference in Tahoe. AGRIP Update Vice President Dean reported that the Governance Conference is in a few weeks. Membership Report CAJPA Administrative Director Carmen Berry reviewed where membership is currently at. BICEP’s organization has dissolved. Therefore, there are four JPA’s that haven’t renewed. Committee Reports Accreditation There was nothing new to report. Professional Development CAJPA Conference Planner Teri Anticevich reported that registration for Sponsors and Exhibitors will open earlier. Teri is reviewing the sessions and making sure that everything is scheduled. It was decided that the networking reception would be earlier rather than later. There is one keynote speaker that has submitted a session. Director Smith confirmed that staff is planning an AGRIP data collection session. She also reported that she met with the Lake Tahoe Resort about the upscale of the hotel. They are small changes but there will be no significant change overall.

Finance Committee Committee Chair Puneet Behl reported in the finance meeting on February 4, 2020. She had reached out to Michael Mischkott. They reviewed the committee policies and procedures and made changes as needed. Legislative Report Consultant Faith gave a brief overview of bills that the legislative committee has been focused on. AB315 has died. AB628 creates unlimited leave of absence for victims and family members of sexual assault; it died. She is looking forward to the bill review in March where we will hear more about bills that directly affect CAJPA. For LAD, Lois Gormley and Jackie Miller are reviewing the inserts. LITL Committee Committee Chair Heather Fregeau reported the committee already had their first session and it went really well. Technology Committee Chair Lam Le reported that the committee plans on meeting sometime in May and their last meeting went really well. Legal affairs Nothing new to report. Discussion Items AB 2336 WC COVID-19 Presumption Legislation - CONFIDENTIALLegislative Advocate, Faith Borges updated the board that AB 2336 will not be the bill number to carry this language but rather AB 664. She also informed the board that she is cautiously watching for similar bills to be introduced. In doing so it would be helpful if the board could identify and agree on a manageable list of presumptions. What should CAJPA officially endorse? It would also be helpful for her to know the current exposure rates?

The board discussed at length various concerns and areas where they would be willing to support such legislation. Coming to the consensus below. 1. It is not a conclusive presumption 2. For certain workers with direct contact such as health workers and safety officers and those with high exposure 3. Only applies during the governor’s state of emergency 4. Based on a diagnosis or hospitalization or WHO’s recommendations of diagnoses not exposure 5. Benefits are limited to statutory benefits The board also agreed to contact Faith directly with exposure rates she can use in your advocacy efforts. Past President Andy Sells motioned that with those four things in mind the board agrees to allow Faith to move forward with CAJPA’s support. Director Craig Schweikhard seconded. Motion carried. 2020 Strategic Planning Meeting and Future BOD Meetings President Karla Rhay reviewed the survey results with the board and asked for comments in regards to the strategic planning and board meetings for the remainder of 2020. Craig suggested that the strategic would be difficult to do virtually. In favor of the postponement to November. Andy suggested to wait until later. Gina suggests we should have the strategic session in May as planned due to the fact that we have an obligation to our members to move forward and continue making decisions that are in our members best interest as things continue to change daily. Members may be looking to us to see what going to be happening in the pooling industry. She is also concerned that AGRIP is moving quickly and will make CAJPA irrelevant if we are not providing a resource to our members. The board agreed that there will be many important issues coming up regarding the conference as well as member benefits and the board should plan to meet monthly. Craig suggested the monthly board meetings have smaller issue driven agenda’s so they can have more impact at the meetings. President Rhay confirmed that we will keep the existing dates and move forward with a virtual strategic planning meeting. Future board meetings for this calendar year should be monthly and virtual. Staff will work to schedule the new dates. Director Janet Selby motioned to keep our May meeting dates and turn it into virtual meeting and have staff look into how we are going to do this as well as have monthly board meetings all virtually through the end of the year. Gina seconded. Motion carried. 2020 CAJPA Annual Conference Update Executive Director Catherine Smith reviewed the trends they are seeing with other conferences and in the association industry. She identified to main areas of focus: communication with the hotel and communication with our members. She explained that if we cancel now, we will lose our deposits of roughly $200,000.00. Because we still do not know what the guidelines will be related to COVID-19 in September and those guidelines from the state could allow us to get out of our contract without penalty the recommendation from staff is to wait for now but look into what a virtual conference might look like and what it will cost. Vice President Dean suggested that we create a task force to work with staff to develop an outline for a virtual conference should we need to go down that path. We would need to make a final decision by July 1st. Gina Dean, Lam Le and Rose Burcina all volunteered to be on the task force. Catherine will work with Teri and Treasure John Stenerson to review both the annual budget and the conference budget. Vice President Dean made the motion to continue with staff recommendations to wait to cancel the 2020 Annual Fall Conference, review the budget, create a task force as outlined above and begin planning what a virtual conference could look like. As well as limit any contracts or spending as long as possible. Past President Andy Sells seconded the motion. Motion carried.

CAJPA’s Role in Communicating with Members Regarding COVID-19 CAJPA staff sent a survey to the board where two questions were asked regarding member communication. The board reviewed the responses and discussed. The board agreed that we need to make sure were giving members what they need right now in light of not being able to give them the normal services and it should be unique information given out related to pools. The recommendation was made that the communications committee meet to create member specific communications related to Covid-19. Director Janet Selby suggested that the committee use the three pillars: Education, Advocacy and Accreditation to help guide the communication criteria. Staff will look back to see who was on this committee and reach out to them to get a meeting scheduled to start development of communication outline and report back to the board. Gina Dean suggested that Rick Brush would be a good add to the committee. As action to create this committee was taken at the May 2019 strategic planning meeting, no further action was needed at this time. Tort Liability Data Collection Project Update Past President Andy Sells reported that they had a short meeting this morning with AON. They are still missing 3 members data and are extending the deadline for them. They have a good start preparing a draft. Otherwise, Julie is moving along keeping us informed. Ratification of Vote on Joint Virtual Event with AGRiP Executive Director Smith gave a briefing on the establishment of a CAJPA Virtual Conference Subcommittee to evaluate virtual options moving forward. She explained that the subcommittee was not focused on recreating the Fall Conference, but instead was focused on creating a new event entirely with the understanding that this event would only occur in place of the conference in 2020. Executive Director Smith met with AGRiP regarding the cancellation of their own event, when they had the idea to hold an event collaboratively. NLC RISC will also be cancelling their conference and coming on to the event as a partner. The Board reached consensus electronically to move forward with the event as presented. Past President Sells motioned to ratify the electronic vote to move forward with a joint virtual event with AGRiP and NLC RISC as presented. Secretary Janet Selby seconded. Motion carried with one abstention (Dean). Election of Officers Executive Director Smith notified the Board that President Rhay will be retiring from her position at California Schools JPA and thus will be departing from the CAJPA Board; with this, the Board will need to appoint a new slate of officers. Current Vice President Dean has expressed interest in filling the President role while Director Lefmann has expressed interest in filling the Vice President role. Secretary Selby motioned to appoint the following slate of officers: Gina Dean for President, Norm Lefmann for Vice President, Janet Selby for Secretary and John Stenerson for Treasurer. Past President Sells seconded. Motion carried. President Rhay noted that her departure and Director Lefmann’s shift to Vice President also leaves a vacancy for a Director. She suggested that the Board appoint Melissa Hernandez from California Schools JPA to fill that role with the understanding that she’d have to run in the next election. Director Craig Schweikhard motioned to appoint Melissa Hernandez of California Schools JPA to the Board of Directors. Director Martin Brady seconded. Motion carried. Executive Director Smith added that elections will be held virtually this year as the Fall Conference will not be held. Executive Director Smith, Vice President Dean and Director Lefmann are to get together to pinpoint a date to hold the elections in an attempt to begin advertising early, as there typically tends to be a problem in obtaining a quorum. Discussion Items Tort Liability Data Analysis Project Julie Theirl, Craig Bowlus and Mujtaba Datoo of Aon Risk Solutions presented a complete Phase 1 report to the Board. CAJPA Resource Page and Forum Director Lefmann reported that the Communications Committee has been meeting on a weekly basis and is making COVID-19 their biggest priority at this time – the resource page and forum are live and available now. These will be used for any information and discussion relevant to CAJPA and its members. The Committee has not started on a communications strategy yet, but should be able to turn their attention to that soon. Director Lefmann added that the new website is nearing completion and will be a good addition to their strategy. CCWC Update Director Brady reported that CCWC is currently focusing on the legislative process with COVID-19. Their conference in mid-July was cancelled, but they have promised to put together a series of timely educational seminars to send to their members. Director Brady noted that the CCWC second quarter Board Meeting will take place on July 15th and he will have an update then.

AGRiP Update Vice President Dean reported that AGRiP has been busy working with CAJPA Staff on the new virtual event. The two teams are also continuing to work on the Pooling Academy together, where the primary concern currently lies in getting the attention of subject matter experts (SMEs). Vice President Dean noted that the CEO/Executive Staff Conference was cancelled but a virtual version of this event is a possibility. Connection Point for QEI supporters in September was postponed. Committee Reports Accreditation Committee Chair Kimberly Dennis reported that two additional consultants were hired to have some representation in Southern California; the consultants participated in a full day of training on Wednesday, where many Committee members also participated to help provide insight. Committee Chair Dennis noted that there is one potential new standard that the Committee will be proposing in a couple of months. Finance Committee Chair Puneet Behl reported that the Finance Committee has been working to identify SMEs for the Pooling Academy. She asked the Board to reach out if they have anyone they’d like to recommend. Legislative Committee Chair Lefmann reported that it has been a different legislative year, with workers compensation and some other areas keeping the Committee busy. Legislative Advocate Faith Borges reviewed recent legislative changes and asked the Board to reach out if they’d like to be added to her distribution list for legislative matters. LITL Committee Chair Heather Fregeau reported that the Committee has been meeting on a monthly basis to check in and to discuss whether or not to hold a virtual LITL Program. If the Committee does choose to move forward with a virtual program, they’d like the content to be forward thinking and new. Professional Development Nothing to report. Technology Committee Chair Lam Le reported that he’s received some feedback on sessions for the virtual joint event. He added that the Committee is to meet early next month to report back on today’s Board Meeting. Legal Affairs Nothing to report. Roundtable The Board thanked Karla for her presidency and her leadership within the association. Next Meeting Dates The next Board Meeting is scheduled for July 17th at 1:00 p.m. via Zoom. Action Items Accreditation: Suralink Accreditation Committee Chair Kimberly Dennis informed the Board on how the accreditation consultants have been managing studies offsite. Gathering data and consistency within the studies have proven challenging for the consultants while working remotely. Jim Marta suggested the consultants use the digital software Suralink for the accreditation studies. Jim is familiar with Suralink and has experienced great success with it. Financially the program is $23 a month and between $1,600-$2,000 annually. • Craig Schweikhard motioned to approve the Accreditation Committees use of the program Suralink for accreditation studies. Revised 2020 CAJPA Budget Executive Director Catherine Smith and John Stenerson worked on a revised budget based on the fact that the CAJPA Annual Conference will not happen this year. ‘Pooling Today’ is the replacement event in the fall to bring in revenue. CAJPA will receive the first $175,000 in proceeds from the virtual event. Essentially it is CAJPA’s sponsors and exhibitors that will make up a majority of the revenue. With the Data Collection Project, CAJPA will receive $250k from supporters. As well, the AGiIP Pooling Academy will bring in revenue. Catherine is confident that CAJPA will receive what it set out to bring in for the year. Catherine reinstated that in the new budget they tried to capture any revenues that the organization can gain despite going through the difficulties of the pandemic. • Janet Selby motioned to approve the revised CAJPA budget (with the adjustment to the accreditation program). Martin Brady seconded. Motion carried. Discussion Items AGRiP Representative President Gina Dean will continue to be the AGRiP Representative for CAJPA. The representative is not permitted to vote on anything financial between CAJPA and AGRiP. Ann Gergen, Catherine, and Gina are confident that this will work well. • Gina recommended to have a non-CAJPA board member serve as a representative in the future. Legislative Data Collection Project Vice President Norm Lefmann updated the board on the status of the Legislative Data Collection Project. CAJPA staff has been able to build basic reporting that pulls a report of 120 districts. They would like to discuss a better way to report a single district. At the end of the board packet is an example of the user interface staff is proposing. Janet Selby noted that the interface will likely help CAJPA’s grassroots efforts. Norm is encouraging financial support for the program as it will help them get to the finish line of the project. • Andy Sells motioned to approve the funding and use of the new user interface for the Legislative Data Collection Project. Martin Brady seconded. Motion carried. Tort Liability Data Analysis Project Catherine informed the Board that they are working on the final phase of the report. Catherine will keep everyone informed and on schedule. John Stenerson mentioned that there are 2,300 claims greater than $5,000. CCWC Update Director Martin Brady reported that CCWC had a second quarter meeting on Wednesday, July 15. The CCWC is continuing to monitor COVID related legislation. They are working closely with Faith to remain updated. The Legislative session ends August 31st so they will be tracking updates until then. The CCWC Conference in mid-July was cancelled, but they have promised to put together a series of timely educational seminars to send to their members. AGRiP Update Gina reported that AGRiP has started their strategic planning session. Meetings will be held every other week within a one to two-month period. Their meetings will consist of evaluating how to move the association forward in a completely new environment. Committee Reports Accreditation Committee Chair Kimberly Dennis reported that the committee met on Tuesday. There will be a new in-depth review of the accreditation standards and Kimberlee will present that to the Board at the next meeting. Finance Nothing to report.

Legislative Committee Chair Norm Lefmann reported the committee will meet next week. All legislation needs to be reported by August 31st. The governor did a press conference today regarding the reopening of schools. If anyone has questions or would like notes on the press conference, Faith can send that over. As well, Faith can answer any questions on federal or state efforts. LITL Nothing to report. Professional Development Catherine reported that Pooling Today is progressing well. Magic Johnson and Mike Madrid are both keynote speakers. There is a teaser video available on the CAJPA website. Legal Affairs Committee Chair Mike Pott reported that the committee will be meeting next week to discuss the criteria for amicus briefs. Communications Committee Chair Norm Lefmann reported that the committee has been meeting weekly to discuss how to enhance the community forum. Next Meeting Dates August 21st from 12:30 p.m.-2:30 p.m. via Zoom. Action Items Committee Policies Administrative Director Carmen Berry discussed that at the strategic planning meeting the Board wanted to update the policies and procedures documents. Committee chairs and staff have been continuously working on them and the committee standards. Completed documents will be presented by the end of 2020. 2020 Strategic Plan Executive Director Catherine Smith reported on the strategic planning meeting and highlighted that the main discussion was regarding the 2020 Fall Conference. Smith provided a 2021 Action Plan (Annual Priorities) and noted key areas document of the strategic plan. CAJPA’s main initiatives for 2020 and 2021 are the data collection project and the Pooling Academy. CAJPA’s mission statement was slightly updated and the organization’s goals remained the same. President Dean requested that in future meetings there is a standing update on the strategic plan. The Board had no changes to staff’s prepared documents. Past President Sells moved to approve the strategic plan. Director Schweikhard seconded. Motion carried. AMC Evaluation Smith discussed that one of the actions in the strategic plan is to evaluate the association management company (Smith Moore & Associates). A survey will be sent out to the Board and the results discussed at a future board meeting. Past President Sells brought up some concerns with the survey questions that are specific to SMA’s work on the audit and membership. SMA and President Dean will reevaluate the questions before sending it to the Board. Accreditation Policies and Procedures Manual Accreditation Committee Chair Kimberly Dennis noted that there unclear sections of the Accreditation Committee policies and procedures. She asked if the Board would like to provide clarification of those sections or if they would prefer that the committee tackle them and bring them to the Board for approval. Secretary Janet Selby noted that she trusts the committee and to create the policies and procedures document and to bring it back to the Board for input. Accreditation Updated Standards Chair Dennis told the Board that the committee has fully vetted the accreditation standards and identified changes that needed to be made. There were additions to the financial section. The Board Chair Dennis bring the document back at a future meeting with a track changes format so they can clearly see what changes are being proposed. Legal Affairs Legal Affairs Committee Chair Mike Pott presented the committee’s updated policies and procedures manual. Past President Sells moved to approve the Legal Affairs Committee’s policies and procedures manual. Secretary Selby seconded. Motion carried. Chair Pott provided the Board with proposed amicus brief criteria and noted that it is for our membership to use when submitting an amicus request. Secretary Selby moved to approve the amicus brief criteria. Director Schweikhard seconded. Motion carried.
Standing Agenda Items Tort Liability Analysis Project Julie Theirl and Craig Bowlus with AON presented the final Phase 1 report for the tort liability analysis project. The report included objectives, an executive summary and snapshots of data collected. Next steps for the project would be to close out Phase 1, identify claims and data collection parameters and issue a Phase 2 data call. The project is still targeted to be completed by November 2020. The Board discussed distribution of the Phase 1 results.

Legislative Update Legislative Committee Chair Norm Lefmann gave an overview of current committee activities which included the CalPERS/Independent Contractor project and workers compensation and wildfire legislation. Legislative Advocate Faith Borges provided an update on pending legislation of interest to CAJPA and the impact of COVID-19 on the legislation session. CAJPA Virtual Events Berry and CAJPA Conference Planner Teri Anticevich gave a status update on Pooling Today, CAJPA’s collaborative virtual event set for October. Berry also discussed the ongoing development of the Pooling Academy. Both efforts are going well. The launch of Pooling Academy has been moved to April 2021. Smith gave an update on the Board Governance Program as the task force is meeting next week. CCWC Director Brady provided an update on the CCWC. The Coalition has been very active with all of the workers compensation bills under consideration. The next CAJPA Board meeting is scheduled for September 18, 2020 at 12:30 p.m. via Zoom. With no further business to discuss, President Dean adjourned the meeting at 2:21 p.m.

AMC Evaluation Results Gina Dean and Norm Lefmann met with Catherine to discuss an operating plan for the upcoming year. The consensus was to incorporate the board in the operating plan. If the board approves the plan, they will put together a renewal contract for SMA. The contract will also specify CAJPA continuing to work with Faith Borges as a legislative consultant. Moving forward, Gina, Norm, and Catherine will combine the operating plan with the strategic plan and bring it back to the board for approval. AB218 Litigation Mike Pott informed the board about AB218. While working with AON and a group of defense attorneys who are commonly on these cases, they are seeing claims attorneys trying to recover troubled damages against public agencies. A few attorneys have been able to get cases before the court. Though they have filed allegations to strike damages, the claims get dismissed. So far, they are trying to do a coordinated effort on these claims and amicus briefs. Mike asked the board if CAJPA should play a role in some sort of response with the claims. His suggestion is to have a council to discuss amicus briefs and another to determine how to get school boards on the defense approach. The Board is in agreement to coordinate an effort on these claims. Melissa Hernandez recommended a webinar series explaining AB218 to our members. Catherine suggested we could make it a part of the Legal Affairs briefing virtual event in December. Janet Selby suggested to have multiple pools strategize together. A good strategy might be to use CAJPA staff to put something together to figure out the best communication method. Mike Pott will reach out to JPA pools to see their interest. Discussion Items Legislative Update Both Norm Lefmann and the board thanked our Legislative Consultant, Faith Borges, on an outstanding legislative year. Despite COVID-19, many efforts were put forth on CAJPA’s behalf. Faith thanked the board for their flexibility and patience during an abnormal year, and for the support in making efforts happen. In total CAJPA had 21 key bills and 12 were wins. Bills that were losses were mostly support bills. Overall, the board is incredibly thankful to the legislative team for everything they were able to accomplish throughout the year. CAJPA Events Update Carmen updated the board on the status of Pooling Today. Updates include Magic Johnson being recorded this past Monday and 20 out of 24 session descriptions are now available on the website. CAJPA is hoping for more pool members in attendance, but they are hopeful they will register closer to the event. The Board Governance and Legal Affairs briefing are also moving along well. CCWC Update Nothing to update. AGRiP Update Gina informed the board that AGRiP did have a board meeting at the end of August. They also had an evaluation of their AMC services and did a strategic planning virtual as well. Committee Reports Accreditation Nothing to report. Finance Nothing to report. Action Items Strategic Plan Catherine informed the Board on the strategic plan for the 2021 year (see attachment). There are five folds and objectives. CAJPA would like to make sure the AMC is supporting the Board as best as possible. The format that the strategic plan is currently in is what they will proceed with. Catherine also presented the preliminary budget for 2021 (see attachment). Pooling Today brought in $175k in revenue. The sponsors and exhibitors were a strong source of revenue from the event. Catherine is projecting an estimated $153k deficit in the budget for 2021. All future conference revenue has been reduced by 20%. The recommendation is to move as many CAJPA events virtual as possible. Gina informed the Board that this budget has not yet been approved and remains preliminary. CAJPA staff will continue to be mindful of additional opportunities to bring in revenue. Catherine projected that 2022 may resume as a normal functioning year.

Committee Reports Accreditation Nothing to report. Finance Nothing to report. Legislative Norm informed the Board that the Legislative Committee met on November 2nd. Janet Selby spoke with Beth Lyons about her new position on the committee. In 2020, there were many bills that the legislative committee had to tackle and but they pushed through and successfully managed the year. CA had a split legislature for most of the year. With the presidential election results, there has been no political landscape shift. Tort Liability Catherine reported that they are in the midst of completing phase two and will have a report out by the January 18th Board meeting. Virtual Event Carmen reported that 1,546 people registered for Pooling Today. Accounting is still finalizing the financials for the event. There were some difficulties with vendor experience so staff will be working on ways to simplify that in the future. The pooling academy met this morning and informed staff that everything for launch is on track as planned. They plan to release the ‘hot topics’ in April. The Legislative Action Day will be moved virtually as well. The goal is for staff to capture as much revenue for 2021 as possible. Membership Report Rayneedae gave a membership report update to the Board. As of now, only 13 JPA’s have renewed, but physical secondary dues renewal notices will be mailed out next week. AGRIP Gina reported that AGRiP will continue to work as normal but will updated the Board if needed. Roundtable Kimberly Dennis mentioned that at the next Board meeting she would like to discuss an increase in accreditation rates at $1,000. There will be a more comprehensive review of this at the January accreditation meeting. She would like some feedback on where the Board stands with this.
