“How Did It Come To This?” hese are words which may have gone through the mind of Hans Gross as he sat through the 6-day Trial of a claim for €13.5 million brought against him by Bruce MacInnes in the High Court. Judgment was delivered on the 27th January 2017.
T
The claim related to an alleged oral contract said to have been made over dinner in a Mayfair restaurant in March 2011, Mr. Gross wished to sell his successful business and Mr. MacInnes offered to assist in achieving an enhanced sale price by using his skills in that business as an experienced Investment Banker. A few days after the dinner, Mr. MacInnes sent to Mr. Gross an e-mail setting out what he alleged was an agreement “on headline terms”, which included his leaving his current employment with an investment bank to concentrate on the sale, but he did not leave his employment until July 2011. The business was eventually sold to a purchaser introduced by Mr. MacInnes who
brought the claim, claiming that there was a binding enforceable contract and the terms of remuneration had been agreed. He claimed alternatively to be paid for all his work under a “quasi contract” as otherwise Mr. Gross would be unjustly enriched. Mr. Gross said that no contract had been entered into. Mr. Justice Coulson found in favour of Mr. Gross
A lesson to be drawn from this is to be wary of discussions about any business transaction in informal situations
for a number of reasons. Whilst a contract can come into existence in the circumstances of a private dinner a Court needs to scrutinise the circumstances and detail of what may or may not have been agreed. The Claimant’s e-mail had suggested that further detailed negotiations would be required

The new revival of the classic musical, starring Grammy award winner Sheena Easton opened at the Theatre Royal on Drury Lane, on Tuesday, 4th April. The Duchess joined the cast on stage at the end of the show where she was presented with a pair of tap shoes. The Duchess of Cambridge was greeted upon arrival and hosted by Lord Michael Grade, the show’s co-producer, and presented to Graham Butland (EACH Chief Executive) and 12-year old Ollie Duel. Ollie uses the EACH hospice at Milton in Cambridgeshire and presented Her Royal Highness with her programme for the evening. Ollie lives in Cambridge and he attended the evening with his parents, Claire and Gavin, and 18-year-old sister Georgina. Ollie has a complex medical condition that affects his bowel and stomach which means he has to be attached to several tubes to help with breathing, feeding and more. The charity has outgrown its current hospice in Quidenham, Norfolk and aims to raise £10 million to transform children’s palliative care, including a new purpose-built hospice near to Norwich. In January this year, Her Royal Highness visited Quidenham to meet with staff and families for an update on the appeal as EACH needs to secure a further £5 million to make its vision a reality. EACH provides care and support for nearly 800 children, young people and family members across the region, with 361 currently using its Quidenham hospice. Changes In Your Tax
very time I sit down to write a piece for those lovely people at the Dispatch magazine, I never quite know how to start. So this time I thought I would look back and see what I wrote in May 2016 – just to see what has changed! Well the first topic I wrote about was that May is officially my favourite month of the year with many spring flowers including bluebells and freesias. 12 months on, May is still my favourite month of the year with so much to look forward to and all the summer events just round the corner.

There is so much to see and do around and about at this time of year, that I doubt that anyone wants to be stuck indoors spending ages on their tax affairs. But despite the distractions there is actually quite a bit going on in the world of accounting so it may just be worth spending a few minutes checking out the changes so that you are up to date and don’t miss out.

In the mean time we have recently been trying to assist a number of our clients with the changes to the flat rate VAT scheme. The flat rate scheme used to be ideal for clients who needed simplified VAT systems and had very little in the way of purchases or expenses to set against their sales VAT. Now with the introduction of the new 16.5% limited cost trader rules, suddenly the flat rate scheme doesn’t seem quite as appealing. If you have previously been using the flat rate VAT scheme and are now concerned that the new rules may be affecting you – why not come and talk to us – We have run through the new rules with many of our clients and can help opt in or out of the flat rate scheme whatever you decide to do. April 2017 also saw a big increase in the number of employers who reached their staging dates for auto enrolment. We have been able to help a large number of our payroll clients to fulfil their duties and most

have been really relieved to find that the actual pension requirements were not as costly or as onerous as they had first thought. The initial percentage of contributions is really quite low and there is no need to spend a lot of money unless you really want to – there are many schemes out there which cost far less than anticipated. Remember if you are an employer – check when your enrolment duties start and don’t get caught out. We will never tell you which pension provider to use, this must always be your decision but we can help you to get through the process unscathed. A popular question so far this tax year amongst the KBA clients has been – “should I go limited?” Deciding whether or not to form a limited company and transfer your business into a legal entity is a big decision and definitely not one that you should make quickly or

lightly. There are a lot of advantages to becoming a limited company, but equally there are some disadvantages too. Remember that if you hear someone telling you how wonderful it is to be limited and that there are no down sides – they are likely to be: Living in cloud cuckoo land, Extremely lucky or completely misunderstanding the entire system! The biggest piece of advice that I would give is, don’t rush into anything – make sure that you understand all the implications of becoming limited, the different ways to account for salaries and dividends. Make sure you understand when your year ends will be, when your tax is due, what savings you are likely to make and ensure that everything is tied up transferring your old business into the new incorporation. Don’t leave any lose ends and don’t leave any assets in the old business. It is really impor tant to ensure
that you obtain a true and fair valuation of all equipment and assets – so that no questions can be asked later when the entire process is not fresh in your mind. Incorporating a company can be relatively straight forward but make sure that you understand exactly who is going to be a director, what the shareholdings should be, who should be appointed as shareholders etc and most of all get your timings right. Companies House and HMRC have different filing requirements and it can be costly and stressful if you get into a muddle. Why not come and have a chat with us first – we can run through all the possibilities and make sure that you know exactly what you want to achieve, what the criteria are and the deadlines. Most of all whatever you decide to do in May – make it count for you and enjoy every minute.

Workplace Pensions: Time for Re-Enrolment he year 2017 sees two significant milestones for Workplace Pensions. Our Workplace Benefits specialist, Rob Clarke, gives an update on the requirements.

Workplace pensions have become a key part of employers’ statutory duties and the initial stages of the roll-out of auto enrolment are all but complete. All businesses that were in existence in October 2012 will now have passed their staging dates and have begun the auto enrolment process (or made a declaration if they had no workers to enrol). Only those businesses that were set up after October 2012 are yet to begin the process and will be given staging dates between April 2017 and February 2018. Any businesses set up from October 2017 onwards must comply with the rules immediately. The other milestone to be reached in 2017 is that those businesses whose staging dates fell in the early days of the process are now about to hit their threeyear anniversary bringing with it another

set of obligations. This will affect around 40,000 employers during 2017. As an employer, at the three-year anniversary of your staging date you are required to undertake three main tasks. Firstly you must re-enrol any workers who opted out after they had been automatically enrolled into the workplace scheme. Workers who chose to opt out three years ago must go back into the scheme but they do have the opportunity to opt out again, if they so wish. You must carry out an assessment of your workers to determine their eligibility and entitlements and re-enrol any staff affected. In addition, you must write to any staff you are re-enrolling within six weeks of the re-enrolment date. The second task for you to undertake is to check that your scheme remains compliant under the rules and is still fit for purpose. There have been changes to the rules since the first qualifying workplace pension schemes were set up, such as in respect of any commissions paid for advice you took in setting up the scheme. You may find that
the scheme you have in place is no longer delivering the outcomes that you looked to achieve when you first set it up – and that changes in the way advice is being delivered and charged to employers mean you may need to look for a new source of advice. Another change since the early days of auto enrolment is that a limit has been put on the amount that the fund provider can charge to manage the scheme’s default investment fund(s). This charge cap has been set at 0.75%. Any schemes set up before this change in the rules may no longer be compliant if they involve a default investment fund that carries a higher charge. Your third task at the three-year anniversary of your staging is to submit a re-declaration of compliance. This must be done within five months of the anniversary date. The three-year anniversary of your scheme is also a good time to review both the performance of the scheme itself and of the service provided by the pension company

and advice firm involved. To an extent, those with early staging dates at the start of the roll-out of auto enrolment were guinea pigs for the different services being offered and the workplace pension landscape has seen many shifts and adjustments in the past three years. For example, there have been considerable advances in the technology behind auto enrolment since its early days with new “middleware” providers coming onto the scene. Financial advisers have also updated and amended their service offering to provide a higher level of support for businesses to take over tasks such as managing contributions and handling all the scheme administration.

We all need to think about how changes will affect Attleborough more widely. One idea we want to trial is have a time limit on Queen’s Square car park. We would keep car par king free, but bring in a r ule that you can only leave your car there for two or three hours. This could be enforced using

Spring. the internationally-renowned theatre company, Quarantine, takes a look at the human life-cycle in a brand-new show focusing on living, dying and one’s relationship with time. Comprising three live performances and a film, the work’s epic in scale, ambition and subject with each piece having a distinctive flavour. For instance, Summer. gathers dozens of people on stage responding to events on the day of performance, Autumn. unfolds as a two-hour interval in history, full of food, conversation and clairvoyance, Winter. meets a woman preparing for death and Spring. focuses on pregnant women and imagines lives as yet unlived. Wednesday/Thursday, 17th/18th May (8.30pm) A roaming wooden box searches for a place to land after a long journey through unknown lands. Masked characters emerge to tell tales of their escape and arrival, dreams and fears - and how they started their lives anew. Exile is the name of their destination. Asylum is their hope. For this mask-theatre piece, TheatreFragile met with local refugees and support workers to gather their stories and experiences. These unheard voices will take centre-stage of an interactive performance poetically presenting the complex issues of exile. Super Sunday

Friday 12th to Sunday 21st May (various times) A giant inflatable moon featuring detailed NASA imagery of the lunar surface will change the landscape of The Forum in Norwich city centre for the first week of the festival in the captivating show, Museum of the Moon. With an atmospheric soundscape, audiences are invited to relax on deckchairs and bask in the moonlight while a lineup of lunar-inspired live music, dance and performance will happen beneath the moon from the likes of Rabo de Foguete, Total Ensemble Theatre Company and Norwich Cathedral Choir. Museum of the Moon is the brainchild of Luke Jerram, well known worldwide for large-scale public artworks he creates encouraging public participation. VR Playground

Philip Glass and Laurie Anderson - who’ll be joined by special guest, Rubin Kodheli, in American Style - have collaborated over many years on various live and recording projects and came together to create American Style in 2015, a work which has grown and developed into a unique piece of art. Trading songs and improvising, the pair approach the piece with a loose and inventive feel - a collaboration with the ghostly and majestic spoken performances and words of such good friends as Allen Ginsberg, Lou Reed and Leonard Cohen. In a music world rife with technological tricks of the trade, Naturally 7 celebrates the beauty of the human voice. The collective bring their distinct and charming a cappella style to gospel, R&B, soul and jazz, performing classics in ways you’ve never heard them before. The group has toured the world with artists as diverse as Michael Bublé, Quincy Jones and Ludacris while their rendition of ‘In the Air Tonight’, performed on the Paris Metro, quickly gained them over six million views on YouTube. The Arms of Sleep
Following the multi-award-winning What I Learned From Johnny Bevan, Luke Wright’s second verse play deals with love, loss and belief against a backdrop of scuzzy indie venues and ’80s politics. One can expect jangling guitars, visceral verse and a Morrissey-sized measure of hear tache. Frankie Vah - written and performed by Luke Wright - is directed by Joe Murphy with a score by Ian Catskilkin and lighting by Tom Clutterbuck.

In The Arms of Sleep - a ten-hour choral piece featuring specially-written music by Helen Chadwick, Orlando Gough, Jonathan Baker and John Hopkins - is this year’s offering from The Voice Project. They’ll gather 40 audience members to form a choir and travel into the space of sleep where galaxies and so forth are born. The setting’s the Georgiandesigned Assembly House in Theatre Street, Norwich, where guests will spend the night surrounded by sound and shadows, balancing and drifting between sleep and wakefulness. Inspired by turn-of-the-century spiritualism, Victorian sideshows and the golden era of vaudeville, Night Magic lifts the veil and enters into the realms of the unknown. One will witness death-defying magic, euphoric aerial acts and enchanting live music in this exciting new show from home-grown talents, Hocus Pocus Theatre and Gossamer Thread’s Vaudeville Co. In Reason in Madness, world-renowned soprano, Carolyn Sampson, is joined by pianist, Joseph Middleton, for an exploration of madness in music ranging from the unsettling beauty of Richard Strauss’ ethereal ‘Ophelia Lieder’ to the sumptuous hedonism of Debussy’s ‘Chanson de Bilitis’. 50 GEMS OF NORFOLK!
Dispatch Magazine editor Jonathan Hor swell turns the tables to inter view Pete Goodrum about his new book. You seem to have covered quite a range of places. I have. I wanted it to be wide ranging to reflect the sheer variety of the county. So I’ve chosen some towns and villages, and covered some aspects of Norwich. But I’ve also selected some intangible things - like the Norfolk accent for instance. And some people who I think are important to Norfolk and its history.

I couldn’t resist the opportunity to turn the tables and interview him about his latest book!

So this is a bit different Pete - you’re the one being interviewed for Fine City. It’s usually the other way round! I know! It does feel rather odd. Off you go! What made you write this book, after your previous rather more historically driven books? It was an odd coincidence. As you know I write and present the Mustard TV series ‘Norfolk’s Hidden Gems’. My publishers asked me to write a book called ’50 Gems of Norfolk’ and initially I was, to be honest, a bit confused. I thought there must be some sort of link. It turned out to be a happy coincidence. Your work on the tv series must have helped though. It did. Needless to say some of the ‘gems’ I’d visited for the tv series found their way into the book.
You say in the introduction that it’s a ‘personal’ selection. I do. And I really wanted to make that point. As I was saying earlier, there’s so much to choose from, and it would be impossible to make a definitive choice. So it’s my selection. And I’ve featured the 50 Gems alphabetically - as far as possible - to be fair about it. The book really does underline how much you love Norfolk. Thank you! I’m glad that comes through. I do love Norwich and Norfolk. It’s my home, it’s where I’m from. There so much that’s interesting about our history, and so much that goes on here now. I want the book to be attractive to locals as well as visitors. I think you’ve achieved that! I was amused to see that you included Jack Valentine! Ha! I decided on him very early in the process. He appears to be genuinely, uniquely, ‘Norfolk’. And in a way that’s what the book is about. Things and places that make Norfolk unique. Because it is! I share your enthusiasm. And I know your readers will. Thanks. I appreciate that. What’s it like being the interviewer? It’s been a pleasure. But shall we change places again now? I’ve got magazines to edit! Fair enough. I’ve got a column to write!
I do love Norwich and Norfolk. It’s my home, it’s where I’m from. There so much that’s interesting about our history, and so much that goes on here now.
Other than those, how did you go about choosing your ’50 Gems’? It wasn’t easy! There’s so much to love about Norfolk it was difficult to refine the choice down to just 50!

Helping those with Hearing Loss in East Anglia f you are reading this ar ticle it is because you suspect that someone you care about might have a hearing loss. And you want to help. Hearing is an easy thing to take for granted.
I
Initially, you may have a giggle at their misunderstanding of words or the bizarre interpretations they come up with, but after a while the daily miscommunication will lead to concern and frustration of having to repeat yourself. Age-related hearing loss generally occurs gradually and as a result, it is often family and friends who are the first to notice the problem. Things are not nearly as easy with a hearing loss. It is difficult to converse in a crowded room or over the phone. It is not that things are not always loud enough, but that they are not clear enough. People often claim that there would not be a problem if others would just stop

mumbling. Sounds fade so gradually that they can disappear unnoticed, for example when the birds stop chirping. Hearing loss affects one in six of us in the UK and when you do the math this equates to over 264,000 people here in Suffolk and Norfolk! This is a worrying statistic, which is only set to rise with a recent repor t suggesting the figure will be one in five by 2035. Unfor tunately too many people simply ignore their hearing loss and do nothing and for those that choose to do something, it can take them up to ten years to make that decision. Left untreated, hearing loss can affect relationships between the person affected and their family and friends, quietly eroding their quality of life. That is why it is impor tant to motivate your loved one to get their hearing tested and to take the
necessary action, and to learn how you can help with any communication diffculties. May marks the return of Deaf Awareness Week (15th-21st May) and is a special event designed to raise awareness about hearing loss and the suppor t that is available to help those affected. Organised by the UK Council of Deafness based locally in Colchester, the awareness week is a fine example of many organisations collaborating and working together in a joint campaign. At my company The Hearing Care Centre, we are getting involved by trying to break down the barriers that stop people seeking help. People worry that hearing aids are big and cumbersome and that their friends will know they are wearing one. Truth is though they couldn’t be more wrong. Hearing aids today are small, discreet, almost invisible when worn and are packed full with some amazing features.
