Kerry Butcher Accountancy Services Is becoming a limited company right for you? Happy New Year to you all! Ok so I know that this is a bit late and we have already done January 2015 but did you notice that we didn’t appear in the last edition of Dispatch? This was because it was “silly season” for us - the final month leading up to TAX RETURN DEADLINE! But now it is over for another year so time to move onwards and upwards. Ok just before we do –a few important things to say – firstly if you didn’t get your tax return in before the deadline – don’t panic, don’t ignore the situation and do come and talk to us. The penalty for late submission of your tax return is £100 but this goes up quite quickly if you carry on ignoring the requests – so our advice would be come and chat to us and let us help you get your affairs sorted, your tax return submitted and amounts owed calculated – even if you can’t afford to pay all that you owe it is far better to have the amount calculated and submitted – and then discuss a payment plan with HMRC. Plus one final thing – don’t forget if you find something that you forgot to include in your tax return, an amendment can be filed for up to 3 years after – so if you forgot to include some vital expenses or mileage or some income –don’t ignore this – and definitely don’t wait for HMRC to come and find you – be proactive and make sure you are up to date. Right enough self assessment for now! One of the most popular questions that I get asked by clients is – Should I go limited ? There are a lot of plusses and minuses for becoming a limited company, for some businesses it may seem like a no brainer and for others maybe now is just not the right time. However one thing most people do seem pretty certain of is that to transfer your business to a limited company - is a tax saving measure. But did you know that one of the most popular tax breaks associated with becoming limited has been changed from 4 December 2014? Most sole traders and partnerships will have traded for a few years before
they start to think about becoming a limited company. This means that the unincorporated business will have built up a reputation known as goodwill, which can be sold to the company that the owner is connected to. ( A proper valuation must be obtained first). Up until 4 December 2014 subject to conditions, the amount paid for goodwill to the business owner was liable for capital gains tax, but this was usually only at 10% thanks to entrepreneurs relief. Since 4 December 2014 this entrepreneurs relief no longer applies and if goodwill is sold to a company which the business owner is connected to (rather than exchanged for share capital to that value) capital gains tax will now be due at either 18% or 28%.

Although this sounds harsh don’t forget that each individual still has an annual exemption for capital gains tax each year, so this may not be quite as bad as it sounds. It is always really important to make sure that you have all of the facts before you make any big decisions. Also don’t forget that if you decide to incorporate your business, company accounts will have to be prepared which are larger and more complicated. Accounts must also be submitted to Companies House and a large more complicated tax return (corporation tax return) must also be submitted to HMRC. As a director of a company you will also have to complete a self assessment tax return as well, so that self assessment fun will continue anyway. As you can tell, there is a lot to think about for all businesses and it is important to make sure that whatever decisions you make, they are right for you. Tax savings are great but if you end up filing company accounts late at Companies House, the amount you saved in tax might just about pay the late filing penalty that will be charged by Companies House – and this is not tax deductible. East Anglia’s Children’s Hospices (EACH) Maker a pledge to support the nook appeal in 2015 East Anglia’s Children’s Hospices (EACH) is calling upon the people of Norfolk to make an extra special pledge in 2015 - to support the nook appeal in any way they can. The nook appeal was launched on November 25th in the presence of the charity’s Royal Patron, The Duchess of Cambridge, outlining the vision for a new purpose-built children’s hospice which will cost £10m to build and equip. The new hospice will replace the current facility in Quidenham which is extremely restricted in its facilities and development. There are many ways in which you can support EACH which could not only benefit you as an individual, but also the many life-threatened children, young people and their families who rely on EACH for care and support. Getting healthy is always a great way to start the year, and there’s plenty of ways to do it and raise vital funds. You could get sponsored to go on a diet, give up smoking or drinking alcohol and you could also donate the money you save to the appeal too. As well as abstaining, you could get active by taking part in a challenge to improve your fitness and there’s plenty to choose from.
