Asset Protection Planning & Formailites
Nevada law provides a number of asset protection planning tools. Some of Nevada laws provide asset protection based upon the nature of the asset (i.e. life insurance, annuities, qualified retirement plans) without any affirmative act taken by the individual owner. Other assets are at risk to predatory creditors when no planning is done. Such assets include cash or cash equivalents, rental property, vacation property, and business assets. To protect these assets, we often recommend that a person consider forming a combination of Nevada self-settled spendthrift trust, also known as an asset protection trust or NOST as we often call it, along with one or more Nevada limited liability companies (“LLC”). When properly implemented, the NOST and the LLC(s) provide a plan that will protect otherwise exposed assets from the reach of predatory creditors. Implementation of the plan does not afford indefinite success against predatory creditor attack. Although it is not always required by Nevada law, it is our experience that the client that treats his or her plan with more formalities is less likely to have such plan fail to meet the client’s intended purposes – keeping his or her assets safe. These are just a few of the often overlooked formalities that we recommend in relation to the LLC: Operating Agreement. The members of the LLC should enter into an Operating Agreement. The terms of the Operating Agreement will describe each member’s powers and authority, set forth the procedural rules to follow when scheduling meetings and making decisions, and describe the economic interests and voting rights of each member. The Operating Agreement should be updated from time to time to reflect changes to membership shares and/or operating procedure. 14
Annual Member Meetings. It is recommended, again not required, that the members of the LLC have an annual meeting in order to reinforce the LLC’s identity as a full-fledged business entity. Meeting minutes should be taken to record who is present at such meeting, the items discussed, etc. Accurate Financial Documents and Records. It is vital to maintain accurate financial documents that clearly underscore the LLC’s independent financial status. The LLC should establish a bank account in the entity’s name. Avoid using the LLC account for personal expenses. Any loans made to a member of the LLC should follow arms length business formalities being properly documented and structured. Adequate Capitalization. The LLC must be able to demonstrate adequate capitalization to maintain its operations. An undercapitalized LLC will threaten its liability protection. The following recommended formalities are applicable to the NOST: Annual Trust Meetings. The Trustees should hold an annual meeting to discuss NOST activity of the prior year including new investments and/or assets and whether or not distributions were made to any of the NOST beneficiaries. It is also important to discuss proposed distributions for the upcoming year in such meeting. Much like the LLC, we recommend that minutes be taken as a formal record of the meetings. Public Recordation. Pursuant to Nevada law, a person may not bring an action with respect to a transfer made to the NOST unless that person is a creditor of the transferor if such action is commenced within a period of two years from the date the transfer was made or six months after the person discovers or reasonably should have discovered the transfer, whichever is later. Nevada law further provides that if a recordation is made relating to the transfer, then a person shall be deemed to have reasonably discovered the transfer which starts that six month period’s “clock.” It is important to make these public recordations as soon as practicable following a transfer made to the NOST. Otherwise, a transfer may be exposed beyond the two year tolling period.

Advocacy & Assistance to frail seniors living in the community – Advocacy, assistance, information and referrals for Seniors who are 60 years of age or older. Elder Protective Services – For persons 60 years old and older who may experience abuse, neglect, exploitation, or isolation. Home and Community Based Services Waiver (HCBSW) For the frail elderly provides nonmedical services to older persons to help them maintain independence in their own homes as an alternative to nursing home placement. State Health Insurance Program (SHIP) Certified counselors provide unbiased information to Medicare beneficiaries, their families, and caregivers about Medicare and related health benefits. Senior Medicare Patrol (Nevada SMP) This program educates Medicare and beneficiaries, their families and caregivers on how to: protect themselves from medical identity theft, detect errors, fraud and abuse, and report suspicious billing practices. Taxi Assistance Program (TAP) Program provides discounted taxicab fares to seniors and persons with disabilities based on income eligibility guidelines.

The Nevada Veterans Foundation was formed in 2011, a Nevada State Chartered Non Profit [501 (c) (3)] #45-3363846 Organization. The purpose of the Nevada Veterans Foundation is to raise the necessary funds to build a Veteran’s Family Guest house on the campus of the Southern Nevada VA Medical Center in North Las Vegas for current and former military personnel and their families. The Fisher House Foundation will assist the NVF by matching the funds raised lacally thus providing a cost free 16 suite Fisher House with common areas for Military and Veteran's families traveling more than 50 miles to be with their loved ones receiving treatment at the Southern Nevada Military and Veterans healthcare facilities. Their goal is to raise $3 million for the construction of the Southern Nevada Fisher house and an additional $300,000 for a Meditation Garden Pathway, Children's play area and RV/Travel trailer sites.

What is Probate?
During a person’s lifetime, assets are generally owned in a person’s individual name. After a death, title must be transferred from the decedent to his or her beneficiaries. Probate is the legal process of paying all debts and taxes and transferring title from a decedent’s estate to the beneficiaries. Senior Bathroom Safety In a country where the senior statistic welcomes 10,000 new members a day, the topic of safety is of paramount concern in almost all day-to-day decisions. Although there are many options for seniors when it comes to living arrangements, not much compares with being able to stay in your own home. This is referred to as “aging in place”. When new parents have a newborn, the first thing the caring parents do is “Baby Proof” their house to protect their newest addition. Families of seniors or seniors themselves, rarely think to “Senior Proof” their homes. One out of every three seniors fall every year, so safety and ease of use are paramount. By far, the bathroom is the most dangerous room in the house. Most seniors have difficulty or can’t get in and out of a bath tub. This creates an incredibly risky situation for falling, all of which can be prevented. The first improvement seniors should make to their home is either a walk in bath tub or a walk in shower. How to Select an Assisted Living Home/Center The following is a consumer checklist of important services, amenities and accommodations in assisted living communities. Every community is unique. We recommend making several visits, at various times of day, to each residence you are considering.
Consider the following as you assess an assisted living residence: Atmosphere As you arrive at the residence, do you like its location and outward appearance? Did you receive a warm greeting from staff welcoming you to the residence? Does the administrator/staff call residents by name and interact warmly with them as you tour the residence?
Are elevators available for those unable to use stairways? Are hand rails available to aid in walking? Is the residence clean, free of odors and appropriately heated/cooled?
Do residents socialize with each other and appear happy and comfortable?
Does the residence meet local and/or state licensing requirements?
Are you able to talk with residents about how they like the residence and staff?
Does the residence have a means of security if a resident wanders?
Do the residents seem to be appropriate housemates for you or your loved one? Are staff appropriately dressed, personable and outgoing? Do the staff members treat each other in a professional manner?
Needs Assessments, Contracts, Costs & Finances Is a contractual agreement available that discloses healthcare and supportive services, all fees, as well as admission and discharge provisions?
Are the staff members that you pass during your tour friendly to you?
Does this process include the resident, their family and facility staff along with the potential resident’s physician.

Individual Unit Features Do dining room menus vary from day to day and meal to meal? Are different sized and types of units available? Are units for single and double occupancy available? Do all units have a telephone and cable TV and how is billing handled? Is a kitchen area/unit provided with a refrigerator, sink and cooking element?
Social & Recreational Activities Is there evidence of an organized activities program, such as a posted daily schedule, events in progress, reading materials, visitors, etc.? Are residents’ pets allowed in the residence? Who is responsible for their care? Does the residence have its own pets?
Food Service Does the residence provide three nutritionally balanced meals a day, seven days a week? Are snacks available? May a resident request special foods? Are common dining areas available? May residents eat meals in their units? May meals be provided at a time a resident would like or are there set times for meals?
Services Can the residence provide a list of services available? Does the residence provide housekeeping services in residents’ units? Does the residence provide transportation to doctors’ offices, the hairdresser, shopping and other activities desired by residents?
