National Company Law Tribunal approves merger of HDFC Ltd into HDFC Bank

The decks were cleared for the creation of a financial giant on Friday when the National Company Law Tribunal (NCLT) approved the merger of HDFC Ltd into HDFC Bank.The amalgamation has already received approvals from the Competition Commission of India, Reserve Bank of India, stock exchanges, shareholders and the insurance and pension regulators. HDFC and HDFC Bank had announced their merger in April last year — and said the exercise would be completed by the second quarter or third quarter of the next fiscal.Under the terms of the merger, every HDFC shareholder will get 42 shares of HDFC Bank for 25 shares of HDFC.The companies had also said that after the merger, HDFC Bank will be owned 100 per cent by public shareholders and existing shareholders of HDFC will own 41 per cent of the lender.While the announcement came after market hours, the HDFC Bank share ended at Rs 1,572.55 on the BSE — a gain of 1.36 per cent or Rs 21.10 over the last close whereas the HDFC counter rose 1.14 per cent or Rs 28.80 to close at Rs 2,561.45.

American actor Lance Reddick, known for his work in ‘The Wire’ and ‘John Wick’, has passed away at the age of 60. The cause of the actor’s death is not yet clear but sources claim that it was a natural death. The musicians were on a press tour for John Wick: Chapter 4. The fourth film in the John Wick franchise was slated for release on March 24, in which she played the role of Karen. Upon learning of the sad news, his ‘The Wire’ co-star Wendell Pierce tweeted a touching tribute, writing, “He was a talented musician as well as an actor, so sad for our artist family. Godspeed my friend. , you’ve made an identity here.” The Wire star Isiah Whitlock Jr. also paid tribute, writing, “Shocked and saddened by the news of Lance Reddick’s passing. RIP buddy. You will be missed.”Kirk Acevedo, who starred with Reddick on Oz and Fringe, tweeted, “You will be greatly missed.” Many such celebs and fans have paid tributes to the actor through social media.

In 2014, Reddick starred in the action-thriller film John Wick, a part of three consecutive films, with a 4th series due to be released this month. Reddick has also been a part of Netflix’s ‘Resident Evil’ and Amazon’s ‘The Legend of Vox Machina’. Reddick has also worked as a voiceover artist and lent his voice to the video games ‘Destiny’, ‘Destiny 2’, ‘Horizon: Zero Dawn’ and ‘Horizon: Forbidden West’.

Shah Rukh Khan-starrer Pathaan continues to keep the cash register ringing with a net collection Rs 540.98 crore at the domestic box office in 50 days since its release. According to trade reports, the Hindi version of Pathaan has collected Rs 522.40 crore nett so far, while the Tamil and Telugu dubbed versions have raked in Rs 18.58 crore nett, taking the film’s total earnings to Rs 540.98 crore nett. The Siddharth Anand directorial, also featuring Deepika Padukone and John Abraham, has been dominating the box office since its release on January 25. Pathaan also has a smashing cameo appearance by Salman Khan, who reprises his roles as Tiger from the Tiger franchise. The camaraderie shared by Shah Rukh’s Pathaan and Salman’s Tiger has been praised by the audience and critics alike. Deepika Padukone plays an ISI agent in the action thriller, while John Abraham is Pathaan’s nemesis in the movie.

The Madras High Court on Friday quashed a petition seeking entertainment tax exemption for Tamil Film I starring Chiyaan Vikram and Amy Jackson. The petition was filed in the HC by Sri Vijayalakshmi Films, which acquired the distribution rights of the film for Puducherry and Tamil Nadu. The Union Territory of Puducherry refused to exempt Sri Vijayalakshmi film from entertainment tax, after which the distributor decided to move to court.When the petition came up for hearing before Justice SM Subramaniam, counsel T Ravichandran, representing the petitioner, argued that the decision made by the Union Territory of Puducherry administration not allowing tax exemption for the film was incorrect as the title of the film was in Tamil, which allowed it to be exempted from tax. He said that the word I could be used as an exclamation or expression of astonishment in Tamil and hence the film should be exempted. It was further argued that because the petitioner utilised the Tamil word I in wall posters, advertisements and promotional campaigns, they should be exempted from paying entertainment tax. Senior attorney B Ramaswamy, who represented the government of Puducherry, disputed this. He argued that the petition could not be entertained because theatre owners and not distributors were given an exemption from paying entertainment tax. The petitioner, in this case Sri Vijayalakshmi Films being the distributor, could not claim exemption from tax.After hearing both sides, Justice SM Subramaniam said that the government exempts entertainment tax as a concession to encourage naming of films in Tamil. He added that the concession cannot be claimed as a right. He also said that one has to pay entertainment tax according to law and dismissed the petition of Sri Vijayalakshmi Films, stating that the court cannot order exemption from entertainment tax just because a Tamil word has been used in the title of the film.
