One of the key objectives of the current board is to avoid the need for a special assessment. To do this, it is essential that we make certain our financial policies and balances are up to date and adequate. To that end, the board directed the finance committee to review two key financial policies this spring, the Operating Fund Policy and the Replacement Reserve Fund Policy. Both documents were reviewed at the April 27 board meeting and I invite you to review the proposed revisions. Tahoe Donner Association has an operating budget of over $14 million each year and operating revenues (materially subject to weather) of $9 million. The current Operating Fund Policy has a minimum fund balance (like a reserve contingency) of $500,000, which is approximately 3 percent of the operating budget and 5 percent of operating revenues. In the first quarter of 2012, the association dipped very close to zero in this reserve balance, due to lack of snow. However, with aggressive cost containment and good business volumes during the remainder of 2012, we managed to recover back to budget (refer to the 2012 Annual Report in this issue for details). Accordingly, we have tasked the finance committee to review the potential need of increasing the minimum fund balance of the Operating Fund Policy with a proposed balance of $1 million. The Replacement Reserve Fund Policy addresses perhaps the most financially significant element of your association. Currently, we are sufficiently funded to maintain our over 1,400 reserve asset components with today’s dollars replacement cost of over $36 million. However, as our assets age, our reserve study projections clearly indicate the need for more funding in the near future. Current owners have the responsibility of paying for the depreciation of association assets, so as to not defer the burden to future owners. Underfunding replacement reserves is the Achilles heel of

many homeowner associations and we should plan our best to mitigate the risk associated with needing a special assessment. With each member’s annual assessment of $1,505 in 2013, $434 or 29 percent was allocated to the Replacement Reserve Fund. The Finance Committee recommends increasing this $434 a minimum of 4 percent each year into the future to assist in mitigating the impact of cost inflation and to ensure we have an adequate balance in the Replacement Reserve Fund. The new policies are designed to fully comply with the requirements of California state law, and encompass the principles contained in the Reserve Study Guidelines for homeowner association budgets promulgated by the Department of Real Estate of the State of California, and the association’s governing documents. The changes in the policies are designed to ensure that Tahoe Donner Association’s reserves for the repair, restoration, replacement or maintenance of existing major common area components are adequately managed and funded going forward. In addition, it is recommended that the board, working with senior staff and the finance committee, establish a process and timeline for the development of the annual Reserve Study – Physical Analysis and Funding Analysis, the annual budget and assessment analysis and approval, and the approval of actual expenditure of Replacement Reserve Funds. This will ensure compliance with the new policy to achieve consistent and accountable business practices, and support the board’s duty of oversight and management of the process. The process and timeline will become part of the updated Financial Planning and Budget Development Procedures, which is on the finance committee’s agenda to update this fall, for review and approval by the board.

T

he 2012 Annual Report for Tahoe Donner Association is a special insert for you in this month’s magazine. This report provides comprehensive information on 2012 financial results and communicates the 2012 audited financial statements and Independent Auditor’s Report. The majority of our amenities performed very well in 2012, despite a difficult start to the year. We started 2012 through the two months ending February $522,000 off budget. This was due to not opening Downhill Ski and Cross Country for skiing until January 24 because of a lack of snowfall. We did recover financially in March and April with great spring skiing conditions. With this significant first quarter deficit, management and the board implemented a financial recovery plan with the goal of getting back to budget for the full year 2012 while minimizing the impact on service levels. With strong summer business volume and focused costs containment, we came out of the summer back on budget! I would like to thank our entire management team for their exemplary performance during such challenging operational conditions. Finally, we received just enough snow in late December to have strong holiday business to close out the year. The resulting Operating Fund’s 2012 net operating results for the year were favorable to budget $113,000/ 3 percent or $17 per owner and favorable to last year $298,000/6 percent or $46 per owner. In 2012, The Lodge achieved a first ever positive net operating result ($38,000), improving over budget by $81,000 and over 2011 by $62,000. As compared to 2008, the Lodge’s 2012 results are an incremental net operating result (NOR) improvement of $200,000. Congratulations to Manager Mike Peters and Chef Lew Orlady and the entire team at The Lodge! In our Capital Funds for 2012 we re-invested previously accumulated cash funds of eight million dollars in capital expenditures. Most significantly, we completed the Euer Valley land and the Forestry building and land purchases. For 2013, the financial start has been interesting. Despite the region’s driest first quarter in over 100 years, we had good snow conditions and strong business levels through mid-March. Results through March

are favorable to budget $360,000. However, we forecast April to miss budget in the $175,000 range due to both downhill and cross country closing for the season after April 1, versus a budgeted closing of April 14. Accordingly, we forecast results $185,000 favorable to budget going into the start of summer season 2013. For summer operations, the golf course is one of our most valuable and financially significant operations. The course is scheduled to open on May 24, yet I remain optimistic for an even earlier opening date. Golf daily rates remain unchanged for the fourth consecutive year and golf season pass rates remain unchanged from 2012. The daily play rates vary by time of the season as well as the time of day playing. Members can also purchase multi-play packs to lower the cost per round. All members can book tee times 14 days in advance, and your reservation can be cancelled within 24 hours of play time. So if you think you may be coming up to play, book your tee time in advance to ensure availability! Our golf rates for members are lower than market to benefit our members, so please come and enjoy our spectacular home course. The 2013 Summer Fun Guide was mailed at the same time as this magazine, so you should have received it by now, or will shortly. The guide can also be found online at tahoedonner.com (see link on bottom right of the page). There is a wealth of information on our summer activities, and many require some advanced planning too. I would like to thank the finance committee and board for their valued insight and oversight of the association. I am sure you will find some interesting facts and figures (like $47.8 million in total assets) regarding Tahoe Donner in your association’s 2012 Annual Report after page 16. 3. Executive meetings – Occur as necessary and are provided for by statute so that boards can address issues involving privileged information or matters of a private nature. (Per Civil Code §1363.05, executive sessions are closed to the membership.) Topics for executive session include:

ROLES AND RESPONSIBILITIES The Tahoe Donner Board of Directors is the governing body of the association and is ultimately responsible for the direction and oversight of the affairs of the organization. Tahoe Donner’s board is made up of unpaid volunteers elected by the membership. It is the board’s fiduciary responsibility to oversee the operation and financial management of the organization, which includes management of the common areas as well as the operation of the resort amenities and enforcement of land-use restrictions and architectural standards. The board is also responsible for setting the association’s policies, standards, programs, and is specifically empowered to: • Prepare the annual budget for the association • Establish the rate of the annual assessments • Make and amend association rules • Enforce all provisions of the governing documents • Oversee the maintenance of all common areas and all amenities located within the community Members of the board of directors act as representatives for the property owners of Tahoe Donner and, as such, they must become familiar with, abide by, and uphold the association’s governing documents, such as the Declaration of Covenants and Restrictions (C&Rs), the bylaws, and the rules and regulations contained in the Covenants Rules. These governing documents establish the specific duties and powers of the board, outline the parameters of board authority and jurisdiction, and establish the rules that are required for the good of the community.

BOARD MEETINGS: CONDUCTING ASSOCIATION BUSINESS Productive board meetings are the foundation of a successful association. As such, Tahoe Donner’s board meetings are carefully planned, facilitated, and documented. There are six types of board meetings: 1. Regular meetings – Occur monthly, usually the fourth Saturday, where discussion and actions are taken on a variety of items. 2. Special meetings – Occur as needed for discussion or action on items that cannot wait until the next regularly scheduled board meeting.

• Litigation • Formation of contracts • Disciplinary hearings • Personnel issues • Payment of assessments • Property foreclosures 4. Emergency meetings – Occur when there are circumstances that could not have been reasonably foreseen which require immediate attention and possible action by the board. 5. Annual membership meeting – Occurs annually in June for the election of directors as provided for in the association’s bylaws. 6. Organizational meeting - Occurs immediately following the election of directors at the annual membership meeting for the purpose electing officers, appointing committee liaisons, and the adoption of the annual board meeting calendar. 7. Virtual meeting – Occurs electronically to accommodate board members who cannot appear in person at a board meeting (whether regular, special, emergency or executive session); they can attend electronically by telephone or video. The most important aspect of any meeting is for the board to address current association matters through meaningful discussion and to vote on the issues at hand. The president chairs these meetings with an emphasis on conducting a timely and efficient meeting. A properly prepared agenda is distributed to board members in advance of the meeting, along with supporting information regarding all issues to be discussed or decided upon. While board meetings are open to members and all are encouraged to attend, it should be noted that these meetings are held for the purpose of conducting important association business. Members may speak during the open forum portion at the beginning of the meeting and are given three minutes to speak on any item not on the meeting agenda. The board may not discuss or take action on any item not on the agenda for the meeting. However, board members and management may briefly respond to statements or questions from association members, ask clarifying questions, make brief announcements, or make brief reports on their own activities. The board works as a team and there is a balanced sharing of the workload among all its members. Directors listen to perspective’s from others, showing respect for those on the board or members of the association with differing opinions. Decisions made, even though not unanimous, become the decision of the board, with minority members accepting the decision of the majority. No single board member controls or dominates the board or association.

WHO ARE THE OFFICERS? WHAT ARE THEIR RESPONSIBILITIES? In order for the Tahoe Donner Board of Directors to operate in an effective and healthy way for the benefit of the association, every board

member must play a distinct and active role relating to a specific area of responsibility. The board is made up of the president, vice president, treasurer, secretary, and director-at-large. To follow are typical officer responsibilities for board members at Tahoe Donner:

THE PRESIDENT • Sets the time/place for meetings and chairs the board meetings. • Oversees staff’s preparation of board meeting agendas. • Responsible for covering the agenda during meetings and keeping directors, staff and members on topic and focused. • Leads the board with the same voting power as any other board member. • The president may not unilaterally speak for the board, but must always be the voice of the board. • Serves as liaison to one of the standing committees.

THE VICE PRESIDENT • Assumes and performs the duties and responsibilities of the president during the president’s absence. • Serves as the appeal board chairman for appeals from Architectural Standards Committee’s fines for rule violations. • May perform other duties as requested by the Board of Directors from time to time. • Serves as a liaison to one of the standing committees.

THE TREASURER

TAHOE DONNER 2013 DIRECTOR ELECTION MAKE YOUR VOTE COUNT Even though homeowner associations are quasi-governmental in nature, they are not pure democracies where members can vote on all the issues. Instead, they are representative democracies where powers are delegated to elected representatives – the Board of Directors. You will shortly be receiving election materials for the 2013 Board of Directors election. Two of the five seats on the Board of Directors are up for election this year. Along with the election materials, as usual, you will find candidate’s statements from each candidate that gives the voter some insight into the perspectives of the individual candidates. Candidates’ Night, to be held on June 8 at Northwoods Clubhouse from 7 to 9:00 p.m., will also provide an opportunity to get a better understanding of the candidates. With an annual operating budget over $14 million and a total annual budget of over $20 million, the board’s responsibilities are quite substantial, and their decisions affect a large number of people in a significant way. It’s important for every member of Tahoe Donner to be informed about issues facing the association, to attend the annual membership meeting, and to make your voice heard through your vote! As the old saying goes, if you don’t participate in the process you forfeit your complaining rights… or something like that! Your vote is critical to the future of Tahoe Donner. Be involved with the voting process to ensure that your board is a good one.

• Reviews and initials monthly investment account reconciliations and provides quarterly reports to the board on the status of the association’s investments. • Serves as liaison to the finance committee. • While the treasurer does not have to perform the day-to-day record-keeping functions of the association, as this responsibility is transferred to management, the treasurer is still ultimately responsible for insuring that the financial records of the association have been maintained properly and in accordance with sound accounting practices.

THE SECRETARY • Records the minutes of all executive meetings. • Certifies that each set of minutes are a true and correct copy of the minutes of meetings, as approved by the board. • Assists the president in moving the board agenda along by monitoring time limits. • As with the treasurer, the secretary does not have to perform the day-to-day record-keeping functions of the association, but should still oversee certain functions, making sure that they are being performed and handled properly and in accordance with state law and the association’s governing documents. • Serves as liaison to one of the standing committees.

THE DIRECTOR-AT-LARGE • Performs duties as requested by the board of directors. • Serves as liaison to one of the standing committees.

Barring any significant weather events, we believe we may be able to open the driving range by May 3. There is still a lot of preparatory work to be completed before the course is ready for play, but it appears that early season course conditions will be the best they have been in several years, which is just one of many reasons we are so enthusiastic on the 2013 golf season. On that note, here are a few reasons to get excited about golf at Tahoe Donner this summer:

ho is ready for golf? We are! With the first Major Tournament of the year done, golf is once again the word on everyone’s minds. The Masters championship is a picturesque prelude to the golfing calendar and three former Masters Champions all have something in common with Tahoe Donner’s stunning golf course. Craig Stadler, Tom Watson and the great Jack Nicklaus have all strolled along Tahoe Donner’s manicured fairways, as can be seen in the framed photos at the Lodge Restaurant and Pub. Every spring, it is a challenge to get golfers out on the course as early as possible without damaging the course and affecting it for the rest of the season. There is a reason Tahoe Donner Golf Course is known for having the “best greens in Tahoe,” and sometimes that

means giving a little more time for the grass to grow. One of the benefits of a mild winter is getting to golf earlier than usual, and this year the course is scheduled to open on May 24—possibly earlier. Watch your email inbox for announcements. Opened in 1976, Tahoe Donner Golf Course was the first 18-hole championship golf course in the Truckee area. Over its first 31 years the course earned a reputation as one of the premier courses in the High Sierra, but, after a 2007 remodeling by architect Cary Bickler and renowned shaper Eddie Krikorian, the bar was raised even higher. Golf Digest magazine nominated Tahoe Donner Golf Course for Best Remodeled Golf Course in America, and just last month it was featured in the Southwest Airlines Spirit magazine as one of the featured courses of the Reno Tahoe region. “The excitement is building for the 2013 golf

season and there is a lot to look forward to,” says Ed Leinenkugel, director of golf at Tahoe Donner. “We will offer our patrons a newly remodeled golf pro shop, an expanded snack bar with a new hot grill, a new fleet of Club Car golf carts and a new beverage cart for the course.” In addition, 2013 season golf passes and multi-play pack rates remain the same as in 2012, as well as most daily rates. Location is everything and golfers can take pleasure in playing here in the fresh mountain air and among Tahoe Donner’s remarkable towering pines. THE V ith each passing day, the modern world gets busier with improvements in technology and equipment. The consequence of this increased demand is the reduction in physical activity and increasing health issues. Ironically, our fast-paced, high-tech lives bring these issues to the forefront every day over the Internet and through published media in our hands and over the radio waves. It is perhaps because of this inability to unplug from the fast pace of life that individuals are making choices to make leisure time and recreation more of a priority. This notion is supported by information collected through Tahoe Donner membership surveys. Recently, a large percentage of the total respondents voiced their desire to continue acquiring open space and maintain the 40 miles of trail system. Furthermore, in feedback to management, it is credited that one of the primary reasons new members purchase homes here is for the amenities. They value what Tahoe Donner has to offer. While many homeowners are interested in the improvements to the trail system and the initiatives Tahoe Donner is implementing to create

Now that we are here, friends and family often ask which is my favorite trail and where they should go, but it is really hard to answer. (continued from p. 19) but if you hike up there at the wrong time, the summer sun may melt you, or the winds may blow you away! The shaded trails at lower elevations can be great when the upper trails are not so hospitable. In the early spring, the snow on the lower trails will melt off and they become accessible for riding and hiking before the upper trails are available. A few years ago, our nephew passed away. We thought it would be wonderful to put a bench somewhere in his memory. The staff at Tahoe Donner was amazing and immediately helped us with this project. We found yet another beautiful place, with amazing views, where we can now reflect on his life and everything that he loved about the mountains. His memory reminds us to live for the moment and enjoy everything that this world has to offer. We challenge you to find his bench, enjoy the views, and reflect. I think you’ll know when you find it!”

There are many stories like Kim’s that touch on the value of the recreation space in Tahoe Donner and the memories built with friends and family. The trail system brings out the best in all of us by its simplicity and ability to revive the child within. Many avenues are available for members to enjoy the recreational space within Tahoe Donner, whether through solitary rides, family hikes or with groups and clubs of Tahoe Donner. There are two trail-specific Tahoe Donner clubs that always welcome newcomers; theFriends of Tahoe Donner Trails Club and the Hiking Club. Getting involved in one of these clubs, or one of the many other clubs Tahoe Donner has to offer, is an excellent way to meet your neighbor in a community where approximately 80 percent are second homeowners. The two trails clubs value the benefit of the great outdoors and each provide support to the Tahoe Donner trails in their own way. They have their own unique way of sharing their passion for the trails through events, volunteer actions, and great stories from the trail.

When I step onto the trails I do so not for the excitement of trekking into the wilderness, but for the pleasure of visiting an old familiar

I founded Friends of Tahoe Donner Trails as a chartered club to promote the use and enjoyment of the trails in general, and to advance the tradition of volunteerism on our trails in particular. Last summer we helped build new trails, repaired some old ones, and lent a hand with a tree planting project. The club welcomes ideas for volunteer projects involving Tahoe Donner’s trails and open spaces; it is a platform for ideas to become reality. I encourage everyone who enjoys the trails, whether on foot, on a bike, or on horseback, to join.”

forest. I walk the same paths and frequent favored haunts. I revisit the cool and tangled riparian groves along Alder Creek, and I climb to the outcrop atop Hawk’s Peak. I return to the primeval cedars, I stroll again through the wildflowers, and I check for the swallows. The trails are well-worn by my feet and wellknown to my mind, but familiarity can also breed affection.

Together with the Friends of Tahoe Donner Trails Club and the Tahoe Donner Hiking Club, the trails department will be kicking off two main events for the season. On Saturday, June 22 the annual Tahoe Donner Trails Day is scheduled, rain or shine, with a plan to address trail improvement near the Cross Country and Equestrian Center. Adults and children are welcome to the kick-off event; all that’s needed to bring is a big smile, willingness to get dirty, sunscreen, a hat, water, and a hungry stomach for the trail-side sack lunch. Participants will receive a Tahoe Donner volunteer trail crew t-shirt and will learn the essentials of sustainable trails. This year, Tahoe Donner Association is also introducing an Adopt-a-Trail program. This exciting new program allows trail enthusiasts the opportunity to adopt a section of the trail system to monitor, maintain and sustain for future use. We hope to see participation grow in our volunteer events every year as they truly benefit the association now and in the future. (Continued on p. 22)

traILs master pLaN cOmpLete During the development of the 2030 General Plan, the General Plan Committee Trails and Open Space sub-group prepared a working paper which detailed the committee’s recommendation for open space land purchases to expand homeowners’ recreation opportunities. There were also operational recommendations made, including dedicating additional staff to the trail system as well as placing increased focus on the trails through the operational and capital budgets. Over the summer of 2011 management prepared a draft trails master plan as the first step in providing for future development, planning and day-to-day maintenance of the existing trails system. The next step in providing for guidance and management of the trail system was to engage a trails consultant to review, validate and make recommendations on the trails master plan in order to finalize the document for implementation. After review and discussion, the board of directors authorized contracting with Alta Planning + Design for the Trails Master Plan Validation and Consultation Services project at the July 2012 board of directors meeting. The project spanned the months of August 2012 through February 2013 with field site inspections, three membership input meetings, collaborative consultations with management, trails users, and other interested individuals, General Plan Committee review, and board of director updates. Management provided a final

draft of the Trails Master Plan for review over February and March for final comment. The draft copy was made available to the board of directors, general membership, General Plan Committee, and member trail enthusiasts. At the March 2013 board meeting, the board of directors adopted the Trails Master Plan as a guiding document for policy, maintenance, and planning and development of future trail projects. He enjoys the many swimming opportunities and likes to chase the squirrels, who regularly outsmart him. The hike to the top of Hawk’s Peak is a good workout and provides terrific views of Mt. The Tahoe Donner Trails Master Plan (TMP) provides general background and overall management objectives for the trail system within Tahoe Donner Association. The primary elements of the TMP include the background on the TMP development; existing facilities, their condition and current trail maintenance; proposed system for the trails; and future development and improvements to existing trails, as well as new connections and new trails. The TMP will be used as a tool for long term guidance and management for the Tahoe Donner Trail System. The plan identifies goals and policies as wells as standards and guidelines for design and maintenance. This plan also identifies potential projects and programs to encourage utilization and community connectivity.

VISION The Tahoe Donner trail system supports the varied membership use, encourages continual exploration and stewardship of the community and recreation space.

In the fall, the trail through the aspen grove by the Cross Country Ski Center is the perfect place to see the leaves change and the perimeter loop is a popular route for our Tahoe Donner Hiking Club. Tahoe Donner trails also provide us with convenient access to the Donner Rim Trail, Pacific Crest Trail and the Emigrant trail for longer hikes and mountain biking. In member surveys, trails and open space are consistently ranked as the number one feature of Tahoe Donner. The development of the Trails Master Plan and the creation of a trails manager position is a giant step to enhancing our already wonderful trails network. Congratulations to staff, the board of directors and the many members who have worked so hard to expand and maintain this unique asset.” Looking forward to this summer and fall, Tahoe Donner has exciting projects on schedule for the trails. TRUCKEE DONNER PUD PIPELINE CONSTRUCTION FOR SUMMER 2013 Truckee Donner PUD is contracting for water mainline replacements in the Tahoe Donner Area this summer (see map). Work will begin in mid May and will run through the summer construction period. The work will begin on the Northwoods at Coyote Moon section as per the contract documents. The rest of the schedule will be discussed with the contractor at an upcoming pre-construction meeting once the contract documents are in place. The work will be sequential moving from one location to another, so only one area will be impacted at a time. The Truckee Donner PUD has undertaken this water mainline replacement project to address persistent leaks and an aging water sys-

tem in Tahoe Donner. The Truckee Donner PUD has made significant investments in replacing Tahoe Donner’s water distribution system and fixing leaks over the last decade, resulting in substantial water savings. Although these projects can cause some short-term traffic disruptions and delays, the reduced water waste and associated energy savings due to reduced pumping costs are there for the long-term! Tahoe Donner and the Town of Truckee have several events to help you dispose of unwanted items and excess yard waste coming up this summer. Green baG for Green Waste

at 8 a.m. Get there early to get your materials and your volunteer t-shirt. Street assignments are done on a first-come, first-served basis so if you want to clean up your favorite street, get there early. Children are welcome as long as they are accompanied by a responsible adult. All participants get to enjoy a free BBQ with music at the Truckee River Regional Park on Brockway Road, starting at noon following the clean-up. For more information, see truckeeday.org.

The program is now running year round—although it’s rarely used through the winter— and will get into full swing May 1. Residents may place up to four bags at the curb each week for no additional charge. Bags are available for purchase at Mountain Hardware and Tahoe Supply Company. Member Services at the Northwoods Club House also has a small supply for sale. Bags must be tied and weigh no more than 40 pounds each for collection. Pine needles, small twigs, pine cones, weeds, and shrubs are accepted. For green waste drop off, there is no one specific date. Residents with proof of local residency can drop off up to six yards (equals about 40 green bags) of yard waste any time the dump is open during the months of May and June. The Town of Truckee will host its annual e-waste recycling day on Saturday, June 15 at the Town Hall from 9 a.m. to 2 p.m. At the same location, the Truckee Police Department will be on hand to accept confidential documents for free onsite paper shredding between 9 and 11 a.m. Electronics disposal (computers, televisions, VCRs, stereos, copiers, cell phones, radios, telephones and fax machines) are common electronic products that must be kept out of your household trash and recycled separately. These items and more, including household batteries, fluorescent light bulbs, empty aerosol cans and any item that contains mercury will be accepted during the annual collection event. The board also approved hiring a general contractor to work with the Dale Cox Architects to develop detailed construction plans and construction cost estimates for this project. • Director of Finance and Accounting report: Approved 4-0 The board approved the 2013 preliminary February financials.
