CONDITIONS GÉNÉRALES DE VENTE

GENERAL CONDITIONS OF SALE

COMMANDES : Toute commande implique la totale acceptation par l’émetteur des présentes conditions générales de vente. Les commandes ou les marchés qui nous sont transmis, soit directement, soit par nos agents, ne sont valables qu’après acceptation écrite du Siège. Il est entendu que tous nos articles doivent être installés selon les règles de l’art et les normes en vigueur. Le seuil minimum de commande s’élève à 650 H.T. Toute première commande devra être accompagnée d’un relevé d’identité bancaire et du numéro de SIRET, faute de quoi elle ne pourra être enregistrée.

PRIX : Les prix figurant dans nos différents barèmes sont des prix de base de facturation établis hors TVA. Le montant de celle-ci ajouté au total facturé est calculé selon le taux en vigueur le jour de l’expédition.

Sauf convention contraire, ces prix sont réputés révisables si la livraison doit intervenir dans un délai supérieur à deux mois, en cas de modification des quantités, de changement de spécifications et, d’une façon générale, dans tous les cas où nos clients imposent une contrainte non acceptée par nous à la commande.

DELAI DE LIVRAISON : Sauf convention expresse, les délais de livraison sont donnés à titre indicatif et ne sont en aucun cas des délais de rigueur. Nous déclinons toute responsabilité en cas de retard ou de restriction de livraison. La non-observation des délais ne peut entraîner ni pénalités, ni dommages et intérêts. En cas de livraison partielle de commande, le solde non livré ne peut retarder le règlement de la partie livrée. Si l’expédition du matériel est retardée du fait du client, le matériel sera emmagasiné et manutentionné aux frais de l’acheteur. Cette disposition ne modifie en rien les obligations de règlement de la fourniture.

EXPEDITION : Toutes les marchandises voyagent toujours aux risques et périls du destinataire, même en cas d’expédition en port payé. Il appartient donc au destinataire : 1) de vérifier au moment de la réception, l’état et la quantité des produits en procédant au besoin, en présence du livreur, à l’ouverture de tout colis dont l’aspect serait douteux.

2) de formuler, en cas d’avarie ou de manquants, des réserves précises et détaillées sur le récépissé de transport en spécifiant notamment la nature et l’importance des dégâts (bruits de casse, colis endommagés, mouillures, colis manquants, etc.). Des formules de réserve imprécises ou de caractère systématique telles que : “sous réserve de déballage”, “sous réserve de contrôle quantité et qualité”apposées sur le récepissé de transport sont nulles et non avenues et n’ont aucune valeur légale.

3) de confirmer ces réserves par lettre recommandée avec accusé de réception adressée au dernier transporteur dans les 3 jours ouvrables suivant la livraison et ce conformément à l’article 105 du code du Commerce.

La non-observation de ces formalités empêche toute action contre le transporteur. Seul le destinataire exerce recours contre le transporteur en cas de retard, manquants et/ou avaries.

CONDITIONS DE LIVRAISON : Nos expéditions s’entendent franco de port et d’emballage pour les envois supérieurs à 750 H.T. en région Parisienne et à 1150 H.T. en France Métropolitaine (à l’exclusion des gaines d’éclairage continu et des luminaires spéciaux qui seront traités au cas par cas).

Pour toute commande inférieure à ces seuils, une participation forfaitaire aux frais de port, emballage, facturation et écritures sera facturée à raison de 25 H.T. pour la Région Parisienne et 40 H.T. pour la France Métropolitaine. Tout transport spécial ( express, par avion, etc. ) demandé par le client sera à la charge de ce dernier.

PAIEMENT : Nos prix s’entendent pour règlement à 30 jours fin de mois de livraison net sans escompte. Les paiements effectués au comptant bénéficient d’un escompte de 1%. Les règlements effectués avec l’accord écrit d’Arlus au delà de 30 jours fin de mois de livraison sont affectés d’un agio de 0,04 % par jour calendaire supplémentaire. Les billets à ordre et autres effets devront nous être retournés dûment signés ou acceptés dans les 15 (quinze) jours de la réception des effets, ce délai étant de rigueur. Tout dépassement du délai de réglement est subordonné au paiement par l’acheteur de pénalités au taux de 1,5 fois le taux de l’intérêt légal, calculées par jour, semaine entière, mois entier. Le défaut de réglement d’une facture à son échéance, rend le paiement de toute somme facturée immédiatement exigible même si celle-ci a donné lieu à des traites déjà mises en circulation. Si un paiement n’est pas fait à échéance, nous nous réservons formellement le droit de suspendre l’exécution de nos engagements aprés mise en demeure restée sans effet. Dans le cas où le débiteur ne nous règlerait pas à l’amiable, son dossier sera transmis au contentieux et la somme due sera automatiquement majorée de 10 %. Nous nous réservons le droit, en cas de difficultés financiéres de l’acheteur, de demander des garanties à défaut desquelles le contrat pourra être annulé sans mise en demeure ni indemnités. Toute commande correspondant à l’ouverture d’un nouveau compte client devra être réglée comptant par chèque à la commande. Dans le cas contraire, notre expédition est faite contre remboursement.

RESERVE DE PROPRIETE : Nos marchandises restent notre propriété jusqu’au règlement intégral et effectif des factures correspondantes (loi 80335 du 12 Mai 1980). Toutefois l’acheteur est autorisé à procéder à la revente avant paiement intégral, à condition que la revente soit effectuée par l’acheteur pour notre compte avec clause de réserve de propriété. L’acheteur supporte, à compter de leur réception, les risques afférents aux marchandises, à la garde et la conservation desquelles il devra apporter tous ses soins. En cas de non paiement des marchandises aux échéances convenues, nous pourrons nous prévaloir de la présente clause de propriété pour nous faire délivrer une autorisation exécutoire en restitution de marchandises par jugement ou ordonnance de référé par le Président du Tribunal du Commerce de Nanterre ou du lieu où se trouvera la marchandise vendue.

RETOURS : Les retours ne seront acceptés qu’aprés un accord écrit préalable de notre part. Nous n’acceptons aucun retour du matériel de fabrication spéciale ou du matériel ne figurant pas dans nos catalogues ou nos tarifs en vigueur. En cas de retour autorisé pour une raison non imputable à notre société, le remboursement pourra, après expertise de nos services, atteindre 80 % du montant facturé pour les marchandises intactes, dans leur emballage d’origine. Les frais de remise en état et d’emballage ainsi que les frais de transport que nous aurons à supporter seront déduits de la note de crédit.

GARANTIES : L’acquéreur bénéficiera de la garantie légale des vices cachés. Cette garantie est limitée de convention expresse au remplacement pur et simple des piéces reconnues défectueuses, sans aucune indemnité pour retard, port aller et retour, montage ou démontage, accident directement ou indirectement provoqué ou supposé tel, ou tout préjudice quelconque. Toute garantie est exclue pour les incidents provenant de cas fortuits ou de force majeure ainsi que pour le remplacement ou les réparations qui résulteraient de détériorations provenant de négligences, défaut de surveillance ou d’entretien et d’utilisation défectueuse ou non conforme à nos spécifications et à notre accord.

ECHANTILLONS - APPAREILS SPECIAUX : Toute demande d’échantillon pour soumission doit faire l’objet d’une commande. Dans le cas où l’affaire ne peut nous être confiée, un avoir sera établi après le retour de la marchandise à condition que celle-ci soit en bon état. Les appareils spéciaux ou hors catalogue, réalisés suivant les spécifications techniques de l’acheteur ne peuvent en aucun cas nous être retournés.

ETUDES & PROJETS : Les études et documents remis ou envoyés restent notre entière propriété; ils ne peuvent être copiés, communiqués, reproduits ou exécutés sans notre autorisation expresse et doivent nous être restitués sur notre demande.

MODIFICATIONS : Dans un souci d’amélioration technique, nous nous réservons le droit d’apporter des modifications aux produits. Les dimensions indiquées dans nos catalogues ou barèmes peuvent être modifiées sans préavis et comportent toujours une certaine tolérance. Nous pouvons également être amenés à cesser la fabrication de certains modèles. Dans ces cas, nous ne sommes pas tenus de fournir les articles supprimés ou fabriqués suivant les anciennes spécifications.

DROIT APPLICABLE - ATTRIBUTION DE COMPETENCE : Les contrats sont régis par la loi française.

En cas de contestation, le Tribunal de Commerce de Nanterre sera seul compétent, même en cas de pluralité de défendeurs ou d’appel en garantie. Nos traites ou acceptation de règlement n’opérent ni dérogation, ni renonciation à cette clause attributive de juridiction.

ORDERS: Every order implies full acceptance by the issuer of the present general conditions of sale.

Orders or markets that are refered to us whether directly or through our agents shall not be valid unless they have been accepted by the head office in writing. All our articles will be installed according to the rules of the art and valid standards.The minimum order threshold amounts to 650 net of taxes. Every first order has to be accompanied by a bank identity statement and the SIRET number (i.e. registration number in the trade register) failing that it won’t be registered.

PRICES: Prices quoted in our different price lists are invoicing basic prices established outgoing VAT. The amount thereof, added to the invoice total amount, will be calculated according to the prevailing rate on shipment day. Unless agreed to the contrary, these prices are revisable in cases where delivery is due to occur within a delay superior to two months and in cases of quantities or specifications modification and , in general, in cases where our clients dictate when placing the order a constraint unacceptable to us.

DELIVERY TIME: Unless an explicit agreement, times of delivery are given for information only and can absolutely not be considered as final deadlines. We accept no responsibility whatsoever for any delay or any delivery restriction. The non-observance of delivery time shall not entail any penalty or compensation. In case of part - delivery, the remaining undelivered quantity shall not delay the payment of the already delivered part of goods. If material’s shipment is delayed due to the client, it will be stored up and handled at the buyer’s expenses. This provision does not affect whatsoever the obligation to pay the supply of goods.

SHIPMENT: The goods are despatched at the risks of the buyer even in cases where they are despatched “carriage paid”. Therefore, the buyer has to : 1) Check on receipt the state and quantity of products and proceed if necessary to the opening of every dubious outward appearance of packages in the presence of the deliverer.

2) Formulate in cases of damages or missings, accurate reserves detailed on the transport receipt and specify namely the nature and importance of the damages (damaged packages, missing packages, wet marks, breakages, etc...). Inaccurate or systematic wording of reserves such as “subject to display” or “subject to quality and quantity control” stated on the transport receipt, are nul and void and have no legal validity.

3) Confirm these reserves by registered letter with acknowledgment receipt sent to the last transport company within three working days following delivery in compliance with article 105 of the commercial law. The non-compliance with these formalities will prevent any action against the transport company.

Only the buyer has the right to appeal against the transport company in cases of delays, missings and/ or damages.

DELIVERY TERMS: Our deliveries are understood to be carriage and package free of charge for all consignment superior to 750 net of taxes within the region of Paris, and those superior to 1150 net of taxes within the Metropolitan France (with the exclusion of the continuous lighting sheath and special light fittings wich will be handled case by case). For any order inferior to the said threshold, a fixed contractual contribution to the cost of freight, packaging, invoicing and documents is set at 25 net of taxes for the region of Paris, and at 40 net of taxes for the Metropolitan France. The client will be charged for any special transport (express, airfreight, etc...) requested by him.

PAYMENT: Our invoice prices have to be paid net and without any discount within 30 days from delivery day. Cash payment get a 1% discount. Payments made with the written approval of Arlus beyond the 30 days limit from delivery day, will be charged a 0.04% agio per each additional calendar day.

Promissory notes and other bills must be returned to us duly signed or accepted within the final deadline of maturity date fixed at 15 days from bill receipt. Any overstepping of the delay of payment will be subdued to the payment of agios by the buyer on basis of the legal interest rate multiplied by 1.5.

Any delay in invoice payment onmaturity date will render the payment of any invoiced amount immediatly due, even if it was the object of bill of exchange already in circulation. If payment fails to be made on maturity date, we retain the right to suspend the execution of our engagement after ineffective formal notice. In case where the debtor does not pay amicably, his file will be transmitted to the legal department and the due amount will be automatically increased by 10%.

In case of financial difficulties on the part of the buyer, we retain the right to claim guarantees failing which the contract can be cancelled without summons or compensations.

Every order corresponding to the opening of a new client account will be paid cash by cheque when placing the order. In the opposite case, our delivery will be made against reimbursement.

PROPERTY RIGHT: The ownership of the goods remains with us until the full and effective payment of corresponding invoices ( Law 80335 dated May 12, 1980). Nevertheless, the buyer is authorised to resale before the full payment provided that the resale be made by the buyer to our account with the clause of the property right. Upon receipt of the goods, the buyer shall bear the risks pertaining to them and shall take great care in watching over them and preserving them. In case of no-payment of the merchandise at the agreed maturity date, we can avail ourselves of the present ownership clause to be granted an enforceable authorisation to recover the merchandise by virtue of a judgement or a summary order injunction delivered by the presiding judge over the commercial court in Nanterre or in the place where the merchandise is sold.

RETURNS: Returns of merchandise shall not be accepted unless a previous written approval from us.

We will not accept the return of any special manufacturing material or of any material not mentioned in our catalogues or valid tariffs. In case of an authorised return due to a reason inattributable to our Company, the refund can reach 80% of the invoiced amount for the merchandise kept intact in its original packaging after an expert evaluation made by our services. Costs of restoration and packaging and transport as well which we will have to support will be deducted from the credit note.

GUARANTEES: The buyer will benefit from the legal guarantee against concealed defect. This guarantee is limited by explicit agreement to the sheer and only replacement of defective parts without any compensation for delay, assembling and dismantling, accident directly or indirectly provoked or presumed likewise, or for any other prejudice whatsoever. Every guarantee is excluded for incidents due to accidental cases or cases of force majeure as well as for those due to a replacement or repairing resulting from deterioration due to negligence, lack of monitoring and maintenance or faulty and non-consonant use with our specifications and our agreement.

SAMPLES-SPECIAL DEVICES: Any sample request for tender will be subject to an order. In the case where this matter cannot be entrusted to us a credit note will be issued upon the return of the merchandise provided the latter be in a good state. Special devices or devices not shown in our catalogues designed according to the technical specifications given by the buyer cannot be returned to us in any way.

STUDIES AND PROJECTS: The ownership of studies and documents sent or handed over remains with us. They cannot be copied, communicated, reproduced or executed without our explicit authorisation and will be returned to us on our request.

MODIFICATIONS: As we are concerned with technical improvement, we retain the right to bring improvements to the products. Dimensions indicated in our catalogues or price list can be modified without previous notice and include a certain allowance. We may also be brought to stop the production of certain models.In these cases, we shall not be obliged to supply suppressed articles or articles produced according to old specifications.

APPLICABLE LAW - POWER OF JURISDICTION: Contracts are governed by French law. In case of dispute, the commercial court of Nanterre will have solely jurisdiction even in the case of multiplicity of defendants or introduction of third party. Our bills of exchange or payment acceptance do not cause neither derogation nor renunciation towards the present power of jurisdiction clause.
