Re: Audience submitted logo ("Materials"), specifically to be filmed and included in one or more programs (the "Programs") tentatively entitled Photography Brand Makeover with Sarah Petty and Erin Verbeck. CREATIVELIVE, INC. ("CL") is producing the above described Programs. We understand that you, ______________________________ (“Owner�) are the owner of all rights in the Materials. We desire to include the Materials, or portions of them, in the Programs. To do so, we need your consent thereto and to our making further uses of the Programs (inclusive of the Materials). Accordingly, please sign in the space below to indicate your agreement with the following: 1. You hereby grant to CL, its licensees and assigns, a non-exclusive, irrevocable, perpetual license, with right to sublicense, to incorporate the Materials into the Programs, to prepare derivative works therefrom (including without limitation copies for distribution and spinoffs into other media), and to edit, reproduce, distribute, perform, display, transmit, and broadcast the same, in whole or in part, in any form or media of whatever kind, whether now known or hereafter devised, throughout the world, including without limitation publicity and promotional uses, and whether for profit or non-profit purposes. 2. You understand that CL has no obligation to use the Materials in the Programs or otherwise, nor to produce and broadcast the Programs, but if the Materials are used in the Programs, CL shall, to the extent consistent with its and CL's policies, acknowledge in the end credits of the Programs your consent to the use of the Materials. You also consent to CL's use, in connection with the promotion, advertising, distribution, financing, or production of the Programs or derivatives therefrom, and for general organizational promotional purposes, of your name, likeness, identity, and trade symbols, and those of any and all persons and talent in any way connected with the Materials. 3. (a) You represent and warrant that you are fully authorized and empowered to enter into and perform under this Agreement; that you possess all rights to the Materials, and any other copyrights and/or properties necessary for the grant of this license and consent; that the use of the Materials licensed herein will not infringe upon the rights of any third party, including without limitation any copyrights and privacy rights, nor shall any third party be entitled thereby the any residuals, royalties, or other payments however designated. (b) You will indemnify and hold harmless CL and its agents, board members, and affiliates from and against any claim, loss, damage, liability, and expense (including reasonable attorneys' fees and costs associated therewith or with the enforcement of this indemnity) arising from any actual or alleged breach of any of your representations and warranties.
