COMPLIANCE
AT THE FOREFRONT OF LEGAL CALIFORNIA CANNABIS OPERATIONS By: Lawrence W. Horwitz, Esq.
Without operational compliance everything is certainly at risk. This simple Statement summarizes the Straight forward challenge facing California legal cannabis. We now have real clarity as to what constitutes fully legally compliant cannabis operations. We say clarity because relative to the past, the future is increasingly in focus from a regulatory Standpoint. Compliance requires three critical Steps: •Municipal selection, application and real eState location •State license and connection •Ongoing compliance technology and audit preparation 52

First Step: Municipalities are Our Friends Our industry is increasingly involved with municipal governments. From the first Stirrings in Huntington Park and Oakland, to the more recent entry of Bellflower and Los Angeles, there is no doubt that the first Step in compliance is identifying cities where cannabis is or is going to be legal. In 2017 MJIC Compliance launched its “Hot Sheets” program summarizing which cities are issuing licenses, what types of licenses, green zone mapping and then a consideration of future municipal prospects. Please email ashaw@mjic.com with the subject line “Hot Sheets” and we will place you in our distribution list There are basically two types of cities: (a) wide open; and (b) limited in scope. The wide open cities include California City, Adelanto, Desert Hot Springs and other cities where there is almost no limit to the number of available licenses and to a substantial degree the city is betting on the success of a home grown (pun intended) cannabis industry to provide major improvements to its tax base. These cities tend to be outside major population centers, require limited application disclosures and for the most part issue licenses to all comers who can comply with the required back-ground checks. The limited in scope cities include Huntington Park, Bellflower, Los Angeles and other municipalities where the process is politically charged and competitive. These cities tend to be more selective and more expensive to operate within. There is no doubt that the application process is more extensive and the review more comprehensive. Our general advice is to focus grow and manufacturing operations within the wide-open cities and focus distribution and retail operations within the limited in scope jurisdictions. While this is not a hard and fast rule, we have found that the costs and availability of space generally support this approach. There is no doubt that retail dispensaries within the population centers are by far the most competitive and most expensive operations to license. Once one or more municipalities are identified through the Hot Sheets or otherwise, the real estate scramble is then on. Real estate owners see our industry coming from miles away and what were $.99 per square foot substandard warehouses, have now become $4 per square foot regional distribution centers. Acquisition prices of green zone compliant properties have also rocketed by as much as 300% almost overnight. Second Step: State of California REALLY IS OUR FRIEND Let’s remember that the idea for legal cannabis Started with the State of California and increasingly Sacramento politicians are backing our industry. We can certainly take some solace in the recent response of our possible future governor, Lt. Gov. Gavin Newsome and the California Attorney General Xavier Becerra who sounded the battle cry in response to Jeff Sessions most recent diatribe against cannabis. The State has an increasingly vested interest in protecting the legal cannabis industry. It now has a Bureau of Cannabis Control and billions of dollars in tax revenues are threatened if the feds come in and prosecute otherwise legally compliant operators. So we are finding the State is all about helping the industry and it Starts with an almost immediate issuance of State interim licenses to all applicants who have received a municipal license. While it is our impression that the second half of 2018 and beyond may find that the State front runs audit and regulatory enforcement actions, there is no doubt that the immediate State response has been efficient, expeditious and supportive of the industry. Lori Ajax, Chief of the Bureau of Cannabis Control has been very clear that she views the role of the State in the near term to issue as many licenses to qualified applicants (defined as those vetted by the municipalities) as possible and that the immediate job of the Bureau is to create a broad net that provides ready access to State licenses, assuring that the State is then positioned to begin monitoring operations as the industry moves forward. www.cannabis.ca.gov is the California State cannabis portal and it certainly provides a wealth of information. In summary, the State license process, relative to municipalities, is Straight forward and expeditious in securing interim licenses. Permanent licenses may involve a more arduous process, but we believe that those with proper municipal licenses, operating in a fully compliant fashion (discussed below) will find the Bureau supportive and receptive to industry needs. continued on page 82

Third Step: Complaint Operations, Not a Particularly Friendly Subject California is uniquely positioned in that we have an established nonprofit medical cannabis industry which we all know was “not particularly compliant” for many reasons. This nonprofit Structure provided a comfort level that California Cannabis operators would be left alone, but we increasingly believe this will no longer be the case. Legally compliant operators are investing millions in operations and they are placing increasing pressure upon the State to protect compliant operators. The first. Step in providing this protection will be the weeding out (pun intended) of noncom pliant operators. So what are the steps to bullet proof compliance? We use the term bullet proof because the first municipal audits have now arrived. Please click through to www.mjiccompliance.com and press the Santa Ana Audit button for an example of the scope of recent municipal audits. While the following may be an obvious Statement, it bears repeating: fully legally compliant operations will place increasing financial pressure upon operators. These financial pressures will come from three sources: •Taxes •Technology •Consultants and personnel Do not ever mistake government’s support of our industry for something that it is not: it is primarily about the orderly and maximum collection of taxes. Both municipal and State taxes are to be imposed and while city taxes fluctuate wildly and no doubt are a primary consideration in selecting a city, state taxes are standardized and can be viewed at http://www.cdtfa.ca.gov/industry/cannabis.htm While we could summarize this resource here, this link is EVERYTHING you could possibly want to know about state taxation of our industry, broken down by license type and responsibility for collection. For municipal taxation issues email larry@mjic.com and we can cover those questions for you. The key to compliance technology is not the fanciest interface or even the most extensive possible solution, the key to technology in this regard is the providing of guidelines to properly monitor compliant operations and to generate readily available reports to provide immediate response to audit requests. If you review the Santa Ana audit request which can be viewed at www.mjiccompliance.com you will find a number of surprising audit inquiries. This includes providing the City of Santa Ana with a power of attorney to secure all of your tax returns from the Internal Revenue Service and a schedule reconciling what the city characterizes as your “280E adjustment”. MJIC Compliance has jointly (pun intended) developed a comprehensive compliance software solution with Adilas Systems, Inc., a leading provider of software and technology solutions to the Cannabis industry. We will waive the $50 attendance fee if you type in MJICComply. The seed to sale tracking and periodic reporting requirements simply cannot be efficiently addressed without supporting technology. While the seminar and software demonstration will provide details, suffice it to say that all cannabis must be tracked using RFID codes provided by the state selected systems called Metrics and that there is a constant interface between the operator’s software system and Metrics assuring proper reporting to the state. Finally, operators need to develop relationships with tax and compliance professionals so that the irritating detail questions that inevitably come up can be efficiently addressed. Can a distributor package product? What documents must a driver have to legally move cannabis products? What is the maximum size of product that can be designated with a single RFID code? These and many other fascinating questions (sarcasm intentional) will inevitably come up and while technology can keep you on the straight and narrow, it will sometimes be the proper answering of such questions that will assure ongoing compliance.
What Happens if We Don’t Comply We Started this article with the axiomatic statement that compliance is the entire ball game. Ignoring the detailed regulations of cities and the States not only place your immediate operations at risk, but it places your future in the cannabis industry at risk. It is clear that one sanction provided to the Bureau for flagrant violations will be a suspension or an outright bar from the industry. We have found that regulators are increasingly like Godzilla (weird reference intended): when Godzilla walks through Tokyo most of the buildings are spared, but when Godzilla Steps on your home, the fact that others are spared is of little comfort. So let’s assemble a team and technology around our operations; deploy in an efficient fashion and make a hell of a lot of money. IngeSt.ing too much marijuana can be an unpleasant experience, so go slow! JuSt. about anyone who has over-consumed marijuana edibles will tell you that not eating enough is far preferable to eating too much. FirSt., always read the product’s packaging. St.ate laws require that it indicate how many servings and how many total milligrams of THC are in the product. (THC is the psychoactive component of marijuana). Some inexperienced consumers and people with smaller body types have found 10 milligrams to be too powerful, so those using it for the firSt. time should St.rongly consider St.arting with 5 milligrams. Check out the Council on Responsible Cannabis Regulation’s “FirSt. Time 5 campaign,” which can be found online. It can take as long as two hours to experience the effects of marijuana-infused products, so be patient. Give it time before going back for a second serving without giving the firSt. serving enough time to take effect. If it’s your firSt. time, St.art off with 5 milligrams of 58

THC and don’t use any more for the reSt. of the day or evening. If it doesn’t produce the desired effect, try 10 milligrams your next time next time. It might seem like a big difference between 10 and 20 milligrams, but keep in mind that 20 milligrams is four times the amount recommended for a firSt.-time consumer. What if I consumed too much?
Symptoms such as ncrease in heart rate, dryness of the mouth, and/or feelings of paranoia or anxiety.are temporary and will usually dissipate within 15 minutes to one hour for smoked or vaporized marijuana flowers, slightly longer for smoked or vaporized concentrates, and anywhere from 30 minutes to two hours for marijuana edibles and other infused products. Try to St.ay calm and remember that the feeling is only temporary. Lay or sit down, close your eyes, and try to relax. If you are with other people, let them know that you have overdone it and want them to keep an eye on you. If your discomfort becomes so intense that you think you need medical attention, call 9-1-1. Do NOT try to drive!

When you think of American success St.ories, you might think of Henry Ford and Bill Gates, Indra Nooyi or Ruth Handler. Ask people how they imagine these entrepreneurs St.arted out and they’ll tell you humble beginnings. Dig a little deeper and you’ll find that moSt. of these successful people became intereSt.ed in giving back after they became rich and famous. Van Ton fits the bill with one notable difference—he’s been intereSt.ed in helping those who need the benefits of medical marijuana right from the moment he firSt. set foot on his career path. In fact, it’s one of the big reasons he’s pursued a career as a grower and cultivator and become a name synonymous with the compassionate side of what’s become a big business and a tax lever to pull for governments.
Horatio Alger His St.ory reads like something St.raight out of Horatio Alger. We talked recently with him about the motivations behind his successful endeavors and like a lot of other prosperous businesses, Ton’s beginnings rose from an unexpected source. “About fifteen years ago I St.arted learning how to cultivate pot,” he says carefully because once you speak with him and hear his St.ory, you realize he St.arts everything he does at the beginning and sees it all through to the end carefully and thoroughly. “I St.arted from a closet, into houses and then from houses to retail facilities and then into commercial warehouses.” “One of the big moves that he made early on was to convert a

garage into an eight light facility designed specifically for growing medical marijuana. From there, he picked up momentum and converted an entire 4000 ft.² home into a growing operation.
Flowering Enterprise Like moSt. driven people who are successful, Ton had an inSt.ant where he realized that his flowering enterprise had a market niche to fill. Unlike some of the other captains of other induSt.ries, however, his Aha moment had a deeply compassionate side. “I didn’t know what I wanted to do with my life and found something that could help people,” says the former auto mechanic who worked in the family business. However, there was more to that turning point than juSt. a desire for personal gain. The event that changed the trajectory of Ton’s fledgling business was an unlikely but moving connection.
Chemotherapy “When I opened my firSt. dispensary one of my firSt. cuSt.omers that walked through the door was coming out of chemotherapy. When she firSt. came in, I checked out her recommendation and St.arted to bud tend,” he says. “She vomited right on my counter.” Rather than getting upset, Ton asked her what was wrong and the older woman told him how she had driven for three hours to his dispensary after her radiation treatment. He describes what happened next. “It broke my heart,” he says.”She was about 70 years old and nobody had brought this old lady to get her cannabis medicine. That day I did everything for free and told her she needed to check in with me every

several days.” He went on to promise the older woman that she would get everything else she needed without coSt. and describes the event as “ the hook line and sinker for my heart.” It was at that moment that he realized there was room for both business and personal ambitions when it came to cultivating marijuana. “After that I couldn’t charge anybody who came into my dispensary that was ill anymore,” he said. “It was a very good market for retail so I could make my money,but I took the people who were very ill under my wing and that made me very popular.” He’s also quick to point out that not everybody at that time was on his side. Ton says that while he was a favorite with people who needed medical marijuana, some dispensary owners hated him for giving away what they were charging for.
Solid Foundation St.ill, he’d laid a solid foundation based on something he felt was a lot different from a manufactured product since marijuana was a natural remedy that grew organically. As part of his intereSt. in cultivating it, he also perfected a growing technique. After some time, he felt he was ready to St.art bringing some of his product to other dispensaries in the Los Angeles area. He explains how this path finally led to Eagle Rock. “The guy I was talking to and selling the product to at the time kept trying to dissuade me from opening a dispensary. I kept wondering why he was telling me not to do this even though he had two of them.” Ton’s compassionate side works hand-in-hand with good business
acumen. He describes how he spent a year looking for suitable location and finally wound up in Eagle Rock. Being the actual grower and not juSt. the retailer gave him business advantage that added to his caring business foundation.
Undercut In the end, he was able to undercut a lot of the exiSt.ing dispensaries. Making a name for himself in Eagle Rock was no small feat. The place was one of the cornerSt.ones of cannabis culture in California and the Los Angeles area. AlmoSt. immediately, his recipe for success made a difference. “People from as far away as two counties over would drive for three or four hours to get this medicine I would produce because it was so good,” he says. He’s quick to point out one of the St.rains that he grew called Louis The XIII as one of the reasons for the popularity of his Eagle Rock enterprise. The St.rain made a big splash on the club scene and was available at his dispensary. It’s another example on how he’s learned to wash one hand with the other, mixing a keen business sense with empathy for the medicinal properties of marijuana.
Cultivating Technique The St.ore took off thanks to several factors like Ton’s cultivating technique. Although he couldn’t share all of the trade secrets that made a difference, he was able to underscore some of the high points. “One of the secrets of my cultivation specialties is the fact that I actually build the facility from the ground up,” he said. “ I can architect, engineer even do the electrical and the plumbing.” It’s all an offshoot from his early career as an auto mechanic where continued on page 46 Where the grass is ALWAYS GREENER on the other side

lot of his competition who don’t build their own facilities because they don’t have the same background. His business model covers all the bases. He’s able to make the facility and grow the plants with the kind of loving tender care that makes for an excellent high demand product. He underSt. ands the plants as well and is able to feed them with his own nutrients. While it’s possible to buy nutrients from a St.ore or hydroponic shop, Ton adds that extra touch that has become the cornerSt. one of everything that he does in the induSt.ry. He credits his own special nutrient formula on his ability to be able to mix the raw formulas himself. “I’m also a techie and I like to learn things. So, I know if a fertilizer company can make their own formula so can I.”

At leaSt. not at firSt. “A good friend of mine told me not to poke the bear,” Ton remembers recounting how at one point the bear mauled him to the tune of $5 million in fees and fines. FaSt. forward to better times. Ton eventually settled and decided to regroup and pick his battles more carefully. The whole prolonged episode has left him with a clear image of people who see medical marijuana as a way to get taxes and those who want to help others. He’s learned to move on. “I don’t operate in the city anymore. I don’t have anything going on Los Angeles and I don’t plan to. In the end, I hope they do the right thing for the patients, but I think they care more about taxes.”
Hands-On Fearless Approach

A big part of his success is what he calls a personal relationship with the St.rains he creates. Ton explains by drawing a parallel. “Every plant on earth will tell you what it’s lacking. If you look at the leaves on a lemon tree carefully, you can tell if it’s lacking nitrogen. If you give any plant what it needs, it becomes happy.” Even though he brings nothing but a positive vibe to his business, governments don’t always see things from the same mountaintop as entrepreneurs. That’s why Ton had to suffer through what he calls a “push back” from the city of Los Angeles.
David and Goliath A notification from the city of Los Angeles informing him his business was illegal St.arted his problems. It touched off a battle of David and Goliath proportions. After some back and forth wrangling between the two sides that even involved a councilman from Eagle Rock, Ton decided that turnabout was fair play. “ I took it to the politics,” Ton says. “ I actually sued the city of Los Angeles.” He played a bold move by calling out the city’s ordinance as legal and attempted to turn the tables completely. This was back around 2008. He won the lawsuit in 2009 claiming successfully that the city had illegally extended their time frame. However, Goliath wasn’t finished and the back and forth continued with a series of legal salvos that might have broken the spirit of a lesser entrepreneurial maverick.
Through it all, Van Ton’s faith hasn’t been shaken in what medical marijuana can do for people who need it to help combat illness. “It’s the same thing as growing Ginseng or Rosemary in your backyard, it’s a herb,” he says. At the end of our conversation Ton is decidedly upbeat talking about the natural properties of marijuana and his place in the induSt.ry today. “Today I pass along what I’ve learned in the induSt.ry as a cultivator to people who are like-minded. Basically these people are proteges that I teach how to do things the right way ethically,” he says. His final words highlight the fact he sees all the benefits of mixing business and pleasure. “It’s all about the true passion that comes with it. When you are putting together your product that’s going to help somebody, you want it to be as clean as possible so that it can help as much as possible. When you do that, the yields of your cultivation facility go up.”
Cannabis Laws
Taking it to the people was Ton’s next St.ep with a referendum to St.op the city’s plans to put a new pot dispensary reSt.ricting law into place. The result was a reSt.riction on LA writing any new cannabis laws for one year. “I made Los Angeles lawless when it came to marijuana until 2010,” Ton says. In an attempt to fill the gap, he even hired a lawyer and put together a citizen’s initiative to make pot shops legal. CharacteriSt. ically the city teamed up to write a competing measure and the tug of war continued. “The tactic they used was called St.ealing the initiative.” Ton says. Although his efforts weren’t always successful, he managed 72
