GENERAL TERMS & CONDITIONS MINIMUM ORDER Minimum opening order: $500 + gst + freight. Minimum reorder: $200 + gst + freight. Please note orders can be shipped under this amount, subject to a handling fee of $15 applied to your order. NEW ACCOUNTS All new accounts are subject to a minimum opening order and must be approved by The Colour Society’s Head Office. MINIMUM QUANTITIES All our items will have minimum order quantities and order pack sizes. Please refer to relevant brands order form/price lists for all pack sizes and order quantities. PROFORMAS All new accounts will be on a proforma basis and credit card details must be provided at the time of placing the order. We require 3 proforma invoices to be processed prior to any potential credit facilities being considered. EXCLUSIVITY We do not generally offer exclusivity on our wholesale products. If you are regularly ordering a particular product or range for your store, you are welcome to discuss this with us. Our minimum order expectation for a brand varies depending on the brand and its product mix. We would generally expect around $3000 per season based on one initial order and a minimum of two reorders per season to have the full range exclusive. To also consider this we would require the brand and each collection and category to have well rounded representation and not just single selected items. We are also happy to discuss single product/s exclusivity. If we have agreed exclusivity for a range and/or products and you don’t place a re-order for this range and/or product within 3 months, exclusivity will no longer apply. The Colour Society is a boutique distribution company and we therefore offer a number of brands, there may be more than one stockist listed in an area, however we will specify what each stockist holds in store. TERMS The Colour Society orders must be pre-paid (unless you receive prior approval for a credit account – ask for a copy of the Application for Credit Account form for further terms and conditions). You will be required to pay a 40% deposit at the time of placing your pre-orders each season on receipt of your invoice. We accept credit cards (Visa/MasterCard - fees apply) or bank payments. Full payment is required prior to your goods being shipped unless trading terms have been agreed upon. Failure to make payment will see your order cancelled. Please note that for some of our brands we only hold limited stock as initial orders are placed on an indent basis, so all top up orders will be held for a maximum of 10 business days before being relocated to another stockist. No orders will be processed unless relevant payments are received. TRADE FAIR ORDERS The Colour Society will create a list of requested items and an invoice will be emailed through to you. All pre-orders require a non-refundable deposit of 40% on invoice confirmation. SHIPPING Our parcels are shipped by the Sendle network. Delivery charges will be applied to your final invoice before payment and shipment occurs. All amounts are based on the courier’s weight and dimension calculation system. For international orders, we will select couriers that best match the stockist’s destination. The Buyer agrees that any date of delivery specified by The Colour Society is an estimate only. The Colour Society shall not be liable to the Buyer for any loss or damage arising as a result or consequence of a delay. DAMAGE AND NON-DELIVERY The Colour Society warrants that the products delivered shall conform with the description provided in our catalogue. Products which do not conform to the description or are defective in material or workmanship will be replaced or at The Colour Society’s option a credit for the original wholesale price will be provided. Any damages claims will not be accepted unless made in writing within 7 days of receipt of goods and the relevant invoice number is quoted, alongside the details of damage and supporting photos emailed to hello@thecoloursociety.com.au. Non-delivery must be reported immediately. Occasionally we may run out of products after you have paid for them. In these instances, we will provide you with a credit note (for amounts under $250) or a
refund (for amounts over $250). Please note that order handling fees will not be refunded or credited. CREDIT CARD PROCESSING FEES As of 1 July 2017, all credit card payments made via Visa or MasterCard to The Colour Society will incur a 1.5 per cent surcharge. The surcharge will cover the cost of processing and administration of credit card payments. We currently do not accept AMEX. BACKORDERS Please advise at the time of placing your order whether you accept backorders. Backorders ship automatically and without notification within 60 days of the original shipment. If a backorder has been held over 60 days from the original shipment or is valued at under $150, The Colour Society reserves the right to cancel shipment. Backorders are shipped under the same payment terms as the original shipment. RETURNS No returns will be accepted without prior written authorisation. Returns are subject to a 20% restocking charge. Our return address is not our shipping address. ONLINE ORDERING The Colour Society accepts orders through our wholesale web ordering system. The website is linked to our warehouse inventory, so you can see what’s in stock and order these products for immediate delivery, unless stated otherwise on each product listed. PRICES Prices shown on our website and order forms are exclusive of GST. We reserve the right to alter these prices at any time unless already invoiced. All goods come with a RRP guide and goods must not be priced under this amount, unless it clearly states SALE. We request so to be fair to all retailers that no sale reductions occur or are advertised until at least the middle of each season and preferably the end of each catalogue season (twice yearly). SALEOUTLETS, WEBSITES AND ONLINE SALES You are only authorised to sell through the retail store that you have listed on your initial application to The Colour Society at the address given. Secondary stores must receive prior approval. Websites and online sales must have prior approval from The Colour Society. Even if your retail store has an online store you must receive separate approval for that online store. The Colour Society does not allow its products to be sold at an online auction or through markets without written permission. BRAND INTEGRITY The purchaser will sell the goods in their entire packaging including the existing labels and will not tamper, change or relabel any of the goods without prior written permission. The purchaser will not wholesale any goods purchased through The Colour Society. COPYRIGHT AND IMAGES All images featured on our website, in our catalogues, social media pages or used within any advertising medium by The Colour Society for our brands is subject to copyright. If you would like to use any of the images for promotional purposes please email to ask permission first. Use of the image/s is only allowed for the time of the promotion and can only be used if you are currently stocking that pictured product. Images will be provided for approved online stores only and at no point should our online images be used for stockist sites. You will be provided with access to our high-resolution images once you are an approved online store. OVERDUE ACCOUNTS All goods supplied remain the property of The Colour Society until payment is made in full at the agreed price. In the case of non-payment, the customer is liable for all additional costs incurred by The Colour Society in order to settle the debt. CANCELLATIONS Once an order has been confirmed by The Colour Society a legally binding agreement has been formed and cancellations are not possible without penalties. Orders that have been shipped cannot be cancelled. PRIVACY POLICY Any personal information that you provide to us including your name, address, telephone number and email address will be treated confidentially and will not be released, sold or rented to any entities or individuals outside of The Colour Society. The Colour Society does not collect or record any credit card details you may provide when purchasing products from us (unless an authorisation form has been completed). If you have

Australia 7000 USE OF THE COLOUR SOCIETY’S INTELLECTUAL PROPERTY The Buyer may not use The Colour Society’s copyright logos, patents, trademarks, trade dress, trade names or images of Danica Studio and/or Now Designs products without The Colour Society’s prior written approval. LIMITATION OF LIABILITY These Conditions of Sale do not exclude or limit the application of any laws, including the Competition and Consumer Act 2010 (Cth), where to do so would contravene those laws or cause any part of these Conditions of Sale to be void. These Conditions of Sale exclude all conditions, warranties, terms and consumer guarantees implied by laws, general law or custom except any the exclusion of which would contravene any laws or cause this condition to be void (“Non-Excludable Condition”). The Colour Society’s liability for breach of a NonExcludable Condition is limited, at The Colour Society’s discretion, to the replacement of the goods or the supply of equivalent goods, the repair of the goods, the payment of the cost of replacing the goods or of acquiring equivalent goods or the payment of the cost of having the goods repaired. The Colour Society will not pay any indirect, economic, special or consequential loss or damage including but not limited to loss of revenue, profit, production, business, anticipated savings or claims by the Buyer, even if The Colour Society knows they are possible or otherwise foreseeable. The Colour Society will bear its own costs and expenses of responding to your warranty claim. However, the Buyer must bear its own costs in making a warranty claim. TERMINATION This agreement may be terminated by The Colour Society immediately by notice in writing to the Buyer if any one or more of the following occur: • the Buyer fails to perform or observe any of its duties, obligations or responsibilities under these Conditions of Sale; • this Buyer engages in any conduct or practice that in the opinion of The Colour Society is detrimental or harmful to the name, goodwill, reputation or interests of The Colour Society; • the Buyer (if a company) passes a resolution to wind up voluntarily (other than for the purposes of reconstruction or amalgamation) or has a winding up petition filed against it or a receiver, receiver/manager or any other form of insolvency administrator appointed to it or any of its property; • the Buyer becomes a bankrupt or any director or shareholder of the Buyer becomes a bankrupt; • where the Buyer consists of two or more persons in a partnership, one or more of them become a bankrupt; or • where the Buyer consists of two or more persons in a partnership, the partnership is dissolved. SEVERANCES If any of these terms and conditions is or becomes for any reason wholly or partly invalid, that term or condition shall, to the extent of the invalidity, be severed without prejudice to the continuing force and validity of the remaining conditions. JURISDICTION Notwithstanding any implication of law to the contrary, these terms and conditions shall be deemed to be made and construed and to be enforceable in according to the laws of the State of Tasmania and by mutual consent to be subject to the jurisdiction of the courts of Tasmania. INTERPRETATION In these terms and conditions: • “The Colour Society”, “we”, “us”, “our” means The Colour Society Pty Ltd (ACN 147 502 047) and any other related entities as provided by the Corporations Act 2001. • “You” means any customer of The Colour Society who orders any goods from us. ACCEPTANCE OF TERMS The placement of any order to be supplied by The Colour Society will be considered as confirmation of acceptance of these trading terms.
