Observations & Conversations Until the vacancy rate nationwide starts to contract, expanding retailers will continue to have all the leverage in negotiating deals. If a retailer can get into a “B” or “A” site without spending a dime on their fit-out or fixtures, and they’ve tied up the space for up to 10 years at a below market rent, they’ll be golden when the recession and its aftershocks pass. This issue of The Dealmakers is being distributed at the ICSC’s Florida Dealmaking and, although the Florida market is far from a rebound, I think the sinkhole in its economy has finally stopped getting deeper. Granted, there are a number of impending foreclosures of shopping centers throughout the state and centers with lots of empty holes to fill, but there are projects in those same situations across the country. In order to stave off the bank or as a measure or paranoia and prudence, I’m seeing landlords doing deals with tenants that, two years ago, they wouldn’t have even considered adding to their center, such as cheerleading schools, colleges, thrift stores and non-profits and indoor entertainment concepts like penny arcades for adults or for children, the likes of Monkey Joe’s (a nice indoor inflatable playground operation, it’s just doesn’t produce the same draw as what a supermarket or any traditional anchor would). But now, just to keep cash flow going, all potential tenants look good these days. Some of these potential tenants, however, are getting crazy on their TI demands and business terms in general, but until the vacancy rate nationwide starts to contract, expanding retailers will continue to have all the leverage in negotiating deals. If a retailer can get into a “B” or “A” site without spending a dime on their fit-out or fixtures, and they’ve tied up the space for up to 10 years at a below market rent, they’ll be golden when the recession and its aftershocks pass. A lot of landlords of these types of deals will take a haircut for the short term, but at least they have better odds at keeping their project intact and off the list of foreclosures. My take is that things aren’t getting worse and, even though there aren’t an onslaught of deals to be done, there is enough activity to keep most of us from having to ask “Do you want fries with that?” Some good news; the party line says that the swarm of tenants asking for rent reductions has subsided in the past month, but that doesn’t mean retailers aren’t still closing stores and the most stressed operators will have a hard time surviving another bad Christmas season, especially the ones that don’t have enough cash or credit to buy more inventory. I have to vent a little... a problem that I see becoming more prevalent, because there are fewer deals to be done, is the cut-throat, behindyour-back, find a loop-hole-to-screw-you type of mentality streaming from all sides of the table, from the broker, to the landlord and the tenants, with the lenders and construction folks sitting on the side lines taking pot shots too. My attitude is that I’d rather spend more time on actually making deals than overextending my efforts to cover my tuckus from here to Sunday, but unfortunately, in this climate, most people that get a W2 are more concerned about justifying their keep than making deals happen and the ones that get 1099’s are scratching and clawing to get their share of the pie and poking their hands in to anyone else’s slice that will let them. Not pretty, but you learn who your true business comrades really are when deals are hard to come by. Maybe I am old school (my ID reads middleaged, yet I like to think my mind is progressive), however after almost page 4

three decades in this business, I still believe that deals can get done without people getting ugly during and after negotiations. Frustrated yes, that’s to be expected, but, nasty, greedy and deceptive behavior is just plain unacceptable and it’s not forgotten easily, if ever. I’m sure that I’m not the only one who has a list of people that I’d rather not do business with because they’re a-holes. It seems lately that my list is getting longer, but on the flip side, at least now they won’t waste any more of my time. While on the topic of a waste of time, I read an article about a shopping center in West Delray, FL that displayed an abstract sculpture with an anatomically correct nude family and parents from a local elementary school are complaining to the owner of the center that he should move it. The story has made national news headlines. The landlord is keeping the art where it is and telling the local yokels to “get over it,” but I bet his tenants aren’t too thrilled with the extra negative attention. Other news from Florida is that Benderson Development got approvals to build almost a million sq.ft. of open-air retail in the little, but growing town, of North Port near Sarasota. Fourth Quarter Properties is also planning to bring a million more square feet of retail to North Port. Both projects have yet to announce any anchors or a construction start date, but it’s a monumental ambition to fill two million square feet of new retail development in any town. Granted, North Port’s population has doubled within the past ten years to around 55,000 residents and 100,000 potential customers are within 10 miles, but the odds of both of these projects breaking ground anytime soon are pretty slim. Not to mention that another project in North Port with 1.5 million sq.ft. of retail initially proposed by Jeffrey R. Anderson Real Estate a few years ago seems to have stalled. Moving to the other side of the state, Ramco Gershenson plans to develop a 365,000 sq.ft. shopping center in Jacksonville with a 2011 ground breaking slated, contingent on an economic rebound. I’m seeing real activity in new development of small strip centers of 20,000 sq.ft. and under in Florida, however, proposed large scale projects seem to be bogged down in the economic wait-and-see mode. Retailers are in the circle and stall mode too, and with back-to-school season looming, it looks like more doom and gloom retail sales forecast are in our future, which won’t help matters. But in the big picture, the future for Florida is bright and developers are optimistic that a few years down the road they’ll turn their conceptual plans into reality. Profile — A monthly column featuring retail real estate companies FIRC Group, Inc. — A South Florida company adopts, adapts and improves by Nicholas Hamner It is a quirk of human nature that we tend to see things more clearly only after some aspect of our lives has been shaken to its core. Many of us found our resolve strengthened when the financial shakeout of last year destroyed much of what we had worked for and threatened our business, and the world is full of people and companies who found success in hard times. After the oil crisis of the mid1970s nearly eliminated all working investment capital, Antonio O. Fraga, Sr. regrouped, strengthened his resolve and worked to make FIRC Antonio O. Fraga, Sr. Group, Inc. the company Founder and President it is today. After spending 10 years with IBM, Fraga, Sr. moved his family to Miami, FL to start a business in real estate. He became a property manager for a group of Venezuelan investors and founded Fraga International Realty, acquiring its first property, a multifamily complex, during 1974 and its first retail center in Homestead, FL the next year. The company officially became FIRC Group, Inc. in 1979 and continued acquiring, renovating and developing properties throughout the Southeast. The company began using its own capital to acquire and develop properties for itself during the 1990s and now, having survived numerous recessions, bubbles and hurricanes, maintains offices in Miami, FL and Asheville, NC. Fraga, Sr. flirted with retirement for a couple of years but decided to come back to operate the company’s Asheville office as president while his son, Alexander Alexander W. Fraga “Alex” W. Fraga, serves Vice President as vice president and runs the Miami office. The two are the company’s only principals and are supported by the company’s management, leasing, construction and accounting departments. The company outsources all architectural duties along with engineering and legal issues. Alex Fraga says, “Our key players are everyone involved in the FIRC family in both FL and NC. We have employees that have been with the company for 27 years. We’ve always found success in surrounding ourselves with the best team possible.” He concludes, “Success comes from being smart enough to know what it is you don’t know and then finding the people who do.” Development for FIRC, in the current economic

climate, is a struggle, as it is for any company trying to move forward on a project. Fraga says, “Today, you find yourself working twice as hard for hopefully half the return;” noting the stringent requirements banks now place on project financing. He notes that redevelopments with tenants in place stand a better chance for financing, but that “land is a four-letter word.” He says, “When banks want to see leases for more than 50% of a project’s space, not provide higher than a 65% to 70% loanto-value on the note and include higher interest rates along with higher debt service requirements, it makes developments very difficult to undertake and complete. When banks don’t lend, the world doesn’t turn.” Hardships notwithstanding, the company has several developments and redevelopments underway. FIRC is redeveloping West Gate, a 130,000 sq.ft. center located along Westgate Parkway in Asheville, NC, in phases, with the initial phase, a 13,000 sq.ft. strip center with interstate frontage, currently under way. The company has a long relationship with the center, having managed it for more than 25 years before acquiring it in 2004. Additional phases will include a condominium component overlooking the French Broad River that will feature views of the Asheville skyline and the Appalachian mountains along and an office component. Fraga says, “In a different time in a different economy, we would have been able to develop everything at once. In today’s economy, we build what the economy allows, and right now that is the 13,000 sq.ft. strip center.” The company is also developing Main Street at Enka Village, a 600,000 sq.ft. mixed-use project being developed across four phases at the intersection of Sand Hill Road and Enka Lake Road in Asheville. The first phase will include a large multi-family component consisting of 136 apartments along with a 25,000 sq.ft. retail component. He notes, “We have seen a very strong demand for rental apartments in the Asheville market.” The company is also continuing to flesh out its downtown property in Asheville, a mixed-use building located at the intersection of Haywood Street and Battery Park Avenue known as Haywood Park. The company recently acquired the property, featuring streetfront retail, office and hospitality components, and future plans include a renovation. In FL, the company is near completion on a 13,600 sq.ft. center located along Northwest 87th Avenue in Doral known as Doral Village. Future developments include Shops at Three Lakes, a 36,750 sq.ft. strip center located at the intersection of 132nd Avenue and Southwest 136th Street in Miami, FL. The project is located near the Tamiami Airport and will feature retail and office components. The company is also beginning work on El Prado Towers at Old Spanish Village, the 20,000 sq.ft. retail component of a mixeduse development known as Old Spanish Village located at the intersection of Ponce de Leon Boulevard and Coconut Grove Drive in Coral

Gables, FL. Across the street at the intersection of Ponce de Leon Boulevard and Catalonia Avenue, the company has begun work on a 52,000 sq.ft. mixed-use center that will feature a 12,000 sq.ft. retail component and a 40,000 sq.ft. office component. Additionally, the company plans to build out the additional phases of the West Gate and Main Street at Enka Village projects in Asheville. Future developments for the company, Fraga explains, are often planned utilizing a mix of old and new practices. “We start with old-school canvassing to see what is in the area already,” he says, “and new technologies allow us an enhanced view of where demographics are shifting and where new hot spots may arise.” While financing remains a difficult obstacle for any development project, Fraga notes that leasing momentum has started to increase again. He says, “Calls from tenants interested in leasing are improving from where they were last year. They are not as strong as they were several years ago, but I don’t know if we’ll ever return to that level.” He then notes that with the increase in calls comes an increase in demands from prospective tenants. He says, “Tenants are looking for the landlord to finance their expansion. We had a microbrewery chain ask for a TI of $300 psf.” A difficult economy requires a fundamental change in thinking. Fraga says, “Time and time again, you hear the phrase ‘Only the strong survive.’ Too many got into this business and made big money only knowing .01%. Those finding success today are not the strong, they are the knowledgeable.” To that end, he notes that FIRC has returned to its roots in third party management and leasing, and is creating an investment fund. The fund features two tiers of investors, with a group of investors from Mexico looking to acquire traditional investment-grade strip centers between 12,000 sq.ft. and 30,000 sq.ft. and a second tier from Venezuela looking to acquire premier properties and high rises. FIRC continues to manage properties for other parties, though Fraga notes the company often adds an advisory role to its management duties. “We bring 30 years of skills to our management duties and treat every project as if it were our own,” he says. “We don’t just lease, cut the grass and collect the rent; we advise them, considering all potential hurdles.” For more than 30 years, FIRC Group, Inc. has survived and thrived through boom times and busts. Tulepan Management LLC has started construction of Phase 1 of Coral Square Shoppes, a 182,000sf retail center situated on 17 acres on S. US 1 and Edwards Road in Fort Pierce. Phase 1 will be anchored by a 17,000sf SAVE-A-LOT Food Store and 25,000sf of retail space in two buildings. When completed, the project will consist of retail, restaurant, entertainment and office components. Financing for Phase 1 of the project is being provided by the City of Fort Pierce, in conjunction with the Federal Government’s HUD 108 Loan Program. The project was the first if its kind in the City of Fort Pierce to receive official “Brownfield” designation and was subsequently awarded a Grant from the U.S. Department of Housing and Urban Development’s Brownfield Economic Development Initiative, which is co-sponsored by the U.S. Environmental Protection Agency. The architect for the project is Kenneth McGee PA, and the general contractor is Kast Construction.
