Welcome to our special edition for the ICSC Southeastern Conference in Atlanta. Leasing activity is brisk in the Southeast. Retailers are actively opening stores in the market with a lot of activity from grocery store chains including Sprouts Farmer’s Market, Whole Foods and Publix. I’m doing some work with a landlord of a site in North Carolina that should have never been developed as retail. It’s on a decent feeder road, but wedged between car dealerships and furniture stores. The landlord bought it cheap and thought he could bring in a supermarket to “save” the site. There’s a hulking 64,000 square foot vacant building behind a convenience strip center that hogs all the visibility. We were exploring turning the vacant building into self-storage, when a broker brought in a family entertainment concept that includes a “trampoline park.” It sounded like a good use. Although the economics were lousy, the operators of the concept had a net worth and experience. I’ve done my fair share of percentage-only deals, so low to no rent deals don’t throw me off as long as it has the potential for getting a fair market rent with a little extra sooner than later. After we bid out and hammered construction costs for the original deal, a few weeks later the tenant came back and wanted additional TI. We spent more time talking with the tenant’s “construction person” and the difference came down to the tenant wanting an extra $30,000 for items that I would categorize as fixtures. The tenant, of course, wanted to debate that I was wrong. My response was “It doesn’t matter if I’m wrong, the answer is no. We won’t pay for it, the original build-out dollars for the original deal. If you want to contribute towards the CAM, then maybe the landlord would take it under consideration.” I know the words are coming even before I hear them; of course the tenant says, “Then the deal is dead.” Okay, no problem is my attitude. If a deal dies over $30,000 for a 64,000 square foot space, then it needed to die. Two days later, the tenant’s broker called and tried to pressure my landlord into spending the extra dough. The landlord started to have second thoughts about holding back the extra $30,000, because it’s been vacant since he bought it in 2010 and he’s feeling desperate. My advice was to sit tight. Then the tenant requested a conference call between the construction folks, the attorneys, the tenant, its broker and the landlord, along with me. The call started out okay, but then the tenant expressed sentiments that he was helping us out by operating in the building and we were lucky that he had an interest in occupying it. I don’t deal well with arrogance so my response was, “Are you a non-profit? Cause, we’re not.” He fired back, “We will do a lot of volume here and you’ll get your percentage rent.” I added that my confidence in that was dwindling, because if he couldn’t comprehend that the landlord is not only doing a below market deal, but that he’s also covering $35,000 of common area maintenance, taxes and insurance, plus a broker’s fee then I’m not so sure of your business acumen. Yep, he took it personal and further testified that he was a great operator and he’ll make money in spite of a bad location. Once again, I said, “We can’t do an extra $30,000.” It’s now 45 minutes into the call and I estimated that collectively about $2,000 was spent in an hour on attorney and consulting fees related to this one conference call that was going nowhere. The tenant started yelping that we had wasted his time and we jerked him around. The landlord responded, Page 4 | October 31, 2014

“Are you kidding me? I agreed to everything you asked for based on the drawings you sent me and that’s exactly what’s in the lease.” The broker spoke up and said, “Well, the space has been empty for so long, we need the extra allowance. $30,000 is just a drop in the bucket over ten years.” My BS radar went off; the tenant knew how long the space had been vacant since the day they did the initial walk-through and now they started to make stuff up to justify another thirty grand. I responded, “If it’s such a nominal amount, why not cut your brokerage fee in half and put it towards getting the deal done?” Again, the tenant spouted off about how he was the white knight to save the property. At this point, we were approaching an hour and half conversation. I interjected, “It is impossible for ownership to spend another dime, but we appreciate your time” and I told the landlord that I would call him back after we hung up on the conference call. The tenant started to scream and curse that we jerked him around. Calmly, I responded, “Do you want the deal? We can have fifty of these conversations, the answer would still be no.” He finally agreed, and I’m certain he cursed me out even more after he hung up the phone. Funny how some people react to the word “no.” When a tenant is unreasonable and petty before they sign a lease, I know that’s the same tenant that will play every game in the book not to pay what it agreed to after we sign the lease. The tenancy will be an adversarial relationship from day one. In my youth, I worked with one of the most ruthless retailers that I have ever encountered in my thirty years in real estate. He spent more money trying to save money, with the thought he would wear everyone down and occasionally he would win in court, because of a poorly written lease. His attitude was that he would hold on to the money as long as possible before being forced to pay and he got his rocks off by trying to get away with it. I saw him go so far as letting a landlord put an injunction on the property because he refused to pay CAM for years at a clip and then he would negotiate with the landlord to pay half of what was two years overdue.
