OSTON — Corporate migration patterns have blurred since 2008’s transformative recession, and further evidence of Boston becoming a haven for new age firms in its aftermath has come via SimpliSafe, the nationally recognized home security startup moving to a Synergy Investments building at 294 Washington St. in Downtown Crossing. recounts to Real Reporter, but escalating rents there “were a little scary, and the transportation is not as good there as Downtown Crossing,” at which there is a convergence of all major MBTA subway lines, i.e. the Blue, Green, Orange and Red spurs, compared to the latter link being the sole one serving Cambridge. “They have a very diverse employee base, and they didn’t want to lose anyone (via a relocation),” outlines Sutton. “Here they have every direction covered.” Sutton points to that aspect and downtown’s rapidly recovering economy for sparking the arrival of like-minded companies carrying an entrepreneurial flair and youth-oriented employee base, a constituency he has been representing. “Downtown Boston is very vibrant today, and this is just the beginning,” Sutton relays, adding, “We were able to sell (SimpliSafe CEO Chad Laurans) on what is already there today, but also what is coming along very shortly, and that was very appealing to (consider).”

CBRE/NE (Quietly) Peddles Weymouth Plaza for $34.2M

OUTH WEYMOUTH — CBRE/NE’s nationally recognized retail brokerage operation has plenty to talk about thus far in 2014, with $565 million processed through midyear involving 2.4 million sf and listings worth another $200 million presently in the pipeline. One assignment the team is apparently unable to discuss, however, just concluded in the $34.2 million purchase of a 130,000-sf shopping plaza here on the South Shore bought by Edens from Federal Realty Investment Trust. CBRE/NE principal Christopher Angelone could not even acknowledge any role in the deal by the group that includes principal William Moylan and Vice President Nathaniel Christopher Angelone Heald. Market sources had previously pegged CBRE/NE as agents for the property that is grocery anchored by a Whole Foods Market and also houses such retailers as CVS, Marshall’s and Starbucks. One industry professional familiar with the asset terms the nearly $265 per sf “a pretty aggressive price,” opining the reportedly steady stream of interest from other suitors is William Moylan a result of the community’s solid demographics, plus visibility of the plaza and its lineup of well-known retailers. “It was hotly contested,” maintains that observer who adds the interest was mixed between local investors and national capital sources and operators such as South Carolina-based Edens. Constructed originally in the mid-1970s on an 11.1-acre parcel, the Pleasant Shops are Nathaniel Heald located close to South Shore Hospital on a visible parcel adjacent to Route 18 in an established retail corridor, according to marketing materials detailing the listing. ALL RIVER — A freshly minted McDonald’s backed by an unusually lengthy lease extending to 2044 is being sold at a reported price of $2.14 million in one of nine netleased CRE sales negotiated over the past seven days by Marcus & Millichap’s prolific brokerage team led by Vice Presidents Robert Horvath and Todd Robert Horvath Tremblay, transactions collectively cresting $41.5 million in a potpourri of product stretching from Portland, ME, to Abbeille, LA. Milestone Feted for $185M Hub Project

OSTON — Three national CRE heavyweights welcomed South End residents, local dignitaries and public officials including Mayor Martin J. Conflicting Business Models

The question is: Which brokerage firms are best equipped to service the real estate JOE CIOLLA portfolios of companies today? To answer that question, it may be helpful to look at the two basic business models from which to choose: traditional or “dual agency� firms that represent both tenants and landlords, and firms that exclusively represent tenants. In the case of dual agency firms, brokers have an allegiance— and a fiduciary responsibility—to the landlord, not the tenant, and they are expected to bring tenants to the landlord’s buildings. But of course, landlords and tenants have different agendas, as landlords try to secure the highest rates and yield the fewest concessions, while tenants seek the lowest rates and the most concessions. When the goals of landlords (and their brokers) are incompatible with the needs of the tenant, conflicts of interest may be inevitable.

That approach then manifested itself in a portfolio of three Summer Street buildings in Downtown Crossing that Synergy and erstwhile partner GreenOak put on the market. Stuart Shiff DivcoWest initially agreed to acquire them and then shifted gears to bring Synergy back into the mix, reportedly securing a minority stake as DivcoWest took on the role of GreenOak, a New York firm that bought into the portfolio and was aiming to cash out. Based in San Francisco, DivcoWest is led by Stuart Shiff, considered an expert on new-age leasing trends and a vociferous supporter of the metropolitan Boston and Cambridge markets. Led by founder David Greaney 10 years ago, Synergy is rumored to be serving as operating partner on those buildings in reflection of the firm’s deep local knowledge and proven ability to take underperforming assets and bring them back to life, as in the case of the 90,000 sf Summer Street package that is now 100 percent leased. Synergy principal Maura Griffith Moffatt would not elaborate on the arrangement in any of the partnerships, including the most recent one that occurred this week when the two groups paid $39.5 million for 38 Chauncy St., a Class B office building in the Midtown District that DivcoWest had initially tied up before inviting Synergy to the show. Then now have similar intentions for 55 Summer St., a Downtown Crossing building the two are expected to purchase later this year after dealing with a structured loan on the asset. That is also owned by Brickman. “We are off and running as a team again, and looking to continue what we have been able to accomplish in the past,” Moffatt relays. At this juncture, she says the latest holding bought is being assessed on what its future needs might be, but Moffatt expresses confidence that the “formula” Greaney standardized into a successful business model will be likely applied at 38 Chauncy St. Totaling 132,000 sf, that building which dates to 1899 was acquired from Brickman after that New York firm had held the property for three years, initially paying $21.1 million in July 2011. One report indin cates the seller spent approximately $4 million on upgrades.

million for the pharmacy in Halfmoon NY that was the highest paid among the nine harvested. “It is just the way this market is right now—our product continues to attract a lot of capital from multiple sources,” observes Horvath, pointing to 1031 Exchange investors as a consistent source, as well as private funds and even institutional groups. The latter tend to favor opportunities from $20 million and above, but Horvath reports plenty of fervor for listings below that level, as evidenced in the Fall River trade that was said to have been under a 4 percent capitalization rate. “You don’t see something like that very often,” says Horvath, attributing stiff competition for the property in being new construction plus having the lengthy lease to Starbucks/Mattress Firm, South Portland MA a marquee tenant, and involving a property in a busy retail corridor. The purchase by Pentucket Motor Lodges Inc. equates to a healthy $555 per sf needed to nail down the coveted asset. There was also plenty of investor traffic for an International House of Pancakes Restaurant in Plymouth that Horvath/Tremblay dispatched for $1.98 million. The 6,175-sf unit benefits from being a pad site to New England Development’s Shops at 5 just off Route 3 at Exit 5, plus in housing a successful restaurant as its tenant. “It’s a very strong location,” Horvath adds, although the industry veteran was even more upbeat regarding reaction to the 6,800-sf South Portland retail plaza that brought in $4.78 million—more than $700 per sf. “That was a big, big number,” he acknowledges, IHOP, Plymouth MA especially in a fringe market. Real Ideas The largest publically traded commercial real estate firms derive about three-quarters of their revenue from owners and investors and only one-quarter from tenants. So, traditional brokers typically try to maximize the terms of each transaction and fortify long-term relationships with landlords, knowing they may only deal with the tenant every five or seven years, or when leases expire. In contrast, tenant rep firms are positioned to ensure objectivity and accountability throughout the transaction and beyond. They can push the landlord for better terms and not worry about compromising the landlord-client relationship. In fact, by focusing on going beyond the transaction itself and providing ongoing corporate services, these firms often serve as an extension of the company’s real estate department. Throughout the relationship, tenant rep firms serve just one master—the tenant.

Common Sense and Common Practice While it may seem like common sense that it’s not possible to fairly represent two masters at the same time, the truth is that the dual agency approach is still common practice. Why? The roots of dual agency run deep: • Commercial real estate brokerage was founded in the late 1800s to facilitate property owners in the sale and leasing of buildings and property management. • These firms started to market their services not only to landlords but also to tenants; many relationships formed with landlords years ago have remained intact without critical examination. • Within the last few decades, tenantonly firms emerged as companies began to recognize the need for exclusive representation. While tenant rep firms continue to gain market share, many traditional firms are well-entrenched. However, despite the deep roots of traditional firms, the potential for conflicts, whether overt or covert, is still a concern. Examples of conflicts involve deals that may not be visible to tenants. For instance: • Landlords may offer incentives and

be informed if the broker is offered bonuses or discounts. Be sure that your interests are protected in your lease in such matters as expansion, contraction and termination rights as well as nondisturbance clauses in the event of new ownership. Carefully consider the bottomline budget implications of your prospective firm and determine your greatest opportunities for savings. Companies are advised to research the track record and recommendations of prospective commercial real estate firms. They should also consider the value of integrated services such as transaction management and project management. At the end of the day, it’s clear that traditional real estate firms and tenant rep firms will continue to compete against each other on the same playing field—and competition in the marketplace is always good. At the same time, both sides should continue to respect each other and cooperate in a collegial manner. What is most important is the need for companies to ask the right questions, weigh the options and select the firm that is right for them. And it’s important that they perform their due diligence knowing that we work in a post-Sarbanes-Oxley world, where even the appearance of conflicts is not acceptable. We are not suggesting that anyone should question the integrity of professionals on either side of this debate. In so doing, a broker may lose objectivity. • Listing brokers may be compromised if landlords want to keep tenants in their building or in another one of their listings even if the office isn’t in the tenant’s best interest. • Some firms representing landlords have a separate division that supposedly represents tenants; other firms say they integrate tenant representation within the larger group of landlord brokers. Either way, traditional firms still have a vested interest in putting landlord listings first. • Overall, dual agency brokers have always been beholden to landlords, either because the landlords are clients of their firms or they want to get future listings from these landlords.

Conflict Checklist What can you do to prevent conflicts? Raise the issue of potential conflicts from the get-go. Ask for an account of all the brokerage firm's relationships, listings and asset/property management work with landlords. Ask for full disclosure from brokers, including the amount of fees or commissions landlords are paying them. Expect to

One counter to the healthy market is increased competition from outside. “Both ourselves and the other lending institutions are slowly seeing the impact of several new players entering the market,” relays Brandon. “We’re seeing out-ofregion institutions, life companies and out-of-market banks because Boston is being touted nationwide as one of the greatest markets out there, so you’re seeing folks you typically wouldn’t expect to see.” While Eastern Bank closed nearly $160 million in CRE loans through midyear, Senior VP of Commercial Real Estate Nicholas K. Moise reports that pricing continues to be under pressure. “The mix of business changed a bit, as the prior couple of years we were looking more at borrowers who were Darryl J.
