hite-collar crime and advice for those called on the carpet by the federal government dominated a recent Manhattan legal conference that attracted federal judges, prominent lawyers and Connecticut’s former U.S. Sen. Joseph I. Lieberman. To address the changes coming for white-collar cases, defense lawyers Daniel J. Fetterman and Mark P. Goodman of Manhattanbased law firms Kasowitz, Benson, Torres & Friedman LLP and Debevoise & Plimpton LLP, respectively, hosted a legal forum at Thomson Reuters headquarters in New York City recently that centered on their book, “Defending Corporations and Individuals in Government Investigations.” The Kasowitz link manifested itself via the presence of the firm’s senior counsel, Lieberman, who delivered the keynote address. etteridge, the 117-year-old jewelry store that has sat as snugly as a gem in velvet at 117 Greenwich Ave. since the 1940s, is moving to 239 Greenwich Ave. Owner Terry Betteridge, whose greatgrandfather and grandfather founded the business in 1897, said growth is the reason for the move. “We’ve gone from nine employees to 45 in our current building,” Betteridge said recently as he walked between his shop at 117 Greenwich Ave. and the new shop to open in May at the site of the former Restoration Hardware. “We are now using closets for offices. It’s ridiculous — we have to move certain things to get at other things.” Newmark Grubb Knight Frank Retail’s Jessica Curtis, senior managing director, and James Ritman, executive vice president and managing director, assisted both Betteridge and the 239 Greenwich Ave. owners, Greenwich-based Aberdeen Properties Inc. and White Plains, N.Y.-based Acadia Realty Trust, in the lease transaction. purchased the more than 100-year-old landmark property in 1997, whereupon Aberdeen Properties undertook a two-year renovation of the mixed-use property. “This prominent location is befitting a world-class jeweler,” Curtis said. “It’s the 50-yard line for the best retail in Greenwich,” Betteridge said. “It’s really dead center. I’m happy with it and I feel very, very good about it.” Betteridge said his current business footprint is 6,000 square feet; the new address will have 13,000 square feet. The new space will host, among other additions, a place for diamond cutting. In January, Betteridge will fly to Botswana, where the company rents an office, to bid on rough diamonds at a government auction. Betteridge placed his company among the largest diamond buyers in the world — along with the likes of Tiffany and Lazare — saying, “We’re sitting at the table with the big boys. Companies compete to release antidotes for blood thinners

wo pharmaceutical companies in Danbury — one big and one small — are in a race to get federal approval for drugs that can reverse the effects of blood thinning agents. Boehringer Ingelheim, an international company with billions of dollars at its disposal, and local startup Perosphere are in trials with drugs that can reverse the effects of certain anticoagulants, also known as blood thinners. No such reversal drug exists on the market today. Anticoagulants often are used for people with heart disease or a high risk of stroke. The drugs need to be reversed in cases of severe bleeding or in cases when emergency surgery needs to be performed, such as after a car accident. Boehringer Ingelheim released the results of a phase one trial recently of idarucizumab, a treatment in development to reverse the company’s anticoagulant, Pradaxa. The company received a breakthrough therapy designation from the U.S. Food and Drug Administration for idarucizumab in June, less than two months after it reached a $650 million settlement over claims that it failed to warn consumers using Pradaxa about potential fatal bleeding episodes. Drugs under development like idarucizumab and Per977, which is being developed by Perosphere, can, studies show, reverse the effects of blood thinning agents almost immediately. “We are very happy that the phase one studies have shown what we expected — an immediate reversal,” said Joanne van Ryn, a director with Boehringer’s Department of CardioMetabolic Disease Research. She said the company hopes to submit its

drug to the FDA for approval in the first half of next year. Sol Steiner, the founder and CEO of Perosphere, said the company is in the middle of phase two trials and hopes to submit its drug application to the FDA by late next year. And while both drugs are similar in that they are reversal agents, Steiner said he believes Per977 has attributes that could make it more attractive to the medical community. Perosphere unveiled a $5 million manufacturing facility in Danbury in October it hopes to use for the new drug and others the company has in development. While idarucizumab is being studied to reverse the anticoagulant effects of Pradaxa, Steiner said studies show Per977 can reverse all oral anticoagulants on the market. It also

reverses the anticoagulant with a much smaller dosage than idarucizumab, he said. “These drugs are very expensive to produce,” he said. “Requiring a higher dosage could increase the costs associated with idarucizumab.” He said because Per977 works on most anticoagulants, doctors in an emergency situation who don’t know what a patient is using might decide to use his drug instead. “It has a much larger market and you have (to) use a lot less of it,” Steiner said. “In the long run, from a financial point of view, we believe that our drug is a better bet.” Hearst Connecticut Media includes four daily newspapers: Connecticut Post, Greenwich Time, The Advocate (Stamford) and The News Times (Danbury). Fight against pipeline expansion reaches 11th hour BY MARK LUNGARIELLO mlungariello@westfairinc.com

A

meme posted to the Facebook page of an activist group in the region shows Homer Simpson with his hands to his head and his eyes wide as he looks down at the controls of a nuclear power plant. “D’oh!” the meme says up top. Below, it continues, “Indian Point & Spectra AIM Project — What could go wrong.” Members of the group Stop the Algonquin Pipeline Expansion, or SAPE, are continuing their push to stop the expansion of a natural gas pipeline that runs through the region, including through northern Fairfield County near Brookfield, despite lopsided odds and a clock ticking down to federal approval that may reach its end as soon as this month. The Algonquin Gas Transmission pipeline, owned by Spectra Energy Partners LP, runs near Indian Point Energy Center in Buchanan, N.Y., where two nuclear reactors operate. Although the plant’s owner, Entergy Corp., and the Nuclear Regulatory Commission said expanding portions of the pipeline from 26 inches to 42 inches in diameter wouldn’t pose an increased safety risk,

SAPE isn’t convinced. The group points to a Nov. 3 report by Richard B. Kuprewicz, president of the Redmond, Wash.-based Accufacts Inc., which called the safety evaluation and analysis of the risks to the nuclear generators “seriously deficient and inadequate.” Accufacts was retained by the town of Cortlandt, where Spectra is planning to run new pipes through the area and county-owned parkland. Kuprewicz’s report has become a rallying cry asking that the Federal Energy Regulatory Commission, or FERC, which has approval authority over the expansion, to require further studies before making a decision. “While Accufacts can appreciate attempts to keep certain information of such an important safety analysis somewhat secret,” the report states, “much more detailed effort is needed to assure the public that prudent and complete safety analysis efforts have been performed in choosing possible pipeline options in this location.” Kuprewicz also called the project “oversized” and “overbuilt,” saying in the report that the operator “appears to be positioning for further expansions on the Algonquin

system” and that future expansions should be considered in any project impact reviews. New York state Assemblywoman Sandy Galef, a Democrat who represents parts of northern Westchester as well as Putnam, cited the study in a letter to FERC asking for further review and studies. SAPE members have been organizing daily calls and periodic meetings with local, state and federal elected officials to rally to delay FERC approval and ask for more studies. Several group organizers met with the staff of U.S. Sen. Chuck Schumer, D-N.Y., and stated their concerns. A call to Schumer’s office was not returned as of press time. If divine intervention is needed to stop the project, even the pastor of St. Patrick’s Church in Verplanck, N.Y., has gotten involved. In a Nov. 18 letter to FERC posted on the SAPE Facebook site, the Rev. George N. Oonnoonny claimed that Spectra intentionally made errors in describing how the

expansion would affect the church. “How is it reasonable to consider that the parishioners of St. Patrick’s will be able to get to church, park, allowed to worship and observe other religious activities while the construction, with its related noise, is in progress?” he asked. Oonnoonny said Spectra had said in its filings that it had a formal meeting with church officials in September when it hadn’t and he noted that although Spectra said it would not schedule construction during Saturday and Sunday mass, it didn’t not take other ceremonies and activities, including weddings, into account. Spectra spokeswoman Marylee Hanley said in a phone message that the existing pipelines have operated “without incident” and were installed prior to the construction of Indian Point in the 1960s. “The Algonquin pipeline system has been operating in the area for more than 60 years,” she said.

March of Dimes salutes Stamford Hospital and Cohen Children’s Institute BY BILL FALLON bfallon@westfairinc.com

ore than 700 people rallied to the Hilton Stamford Hotel recently for the March of Dimes Fairfield County 2014 Real Estate Award Breakfast, which this year honored Stamford Hospital and the hospital’s pediatric program, the Cohen Children’s Institute. Title sponsors included Stamford-based The Ashforth Co. and A.P. Construction,

also with offices in White Plains, N.Y., and Oregon; Stamford-based Building and Land Technology; and Stamford Hospital and the Cohen Children’s Institute. The hospital and its pediatric program and Ashforth also joined Stamford-based real estate company Reckson — SL Green Realty Corp. as “Fund the Mission” sponsors. In its 19 years, the event has raised a total $6 million toward the pediatric and premature-birth healing missions of the March of Dimes.

Ed Tonnessen, executive managing director at Jones Lang LaSalle in Stamford, connected the medical and real estate dots, saying of the $450 million Stamford Hospital expansion due for completion in 2016, “For us real estate people, it’s the high-rise in town.” The event had all the trappings of a successful annual gathering, but the gravity of the cause and the stories involved had many wiping away tears. Parents Scott and Jamie Krugg told such a tale: A premature newborn. A stroke. Emergency transport. The

stuff of life and death. And an army of people at Stamford Hospital, the March of Dimes and beyond who helped. Young Julian Fiore, son of David Fiore, principal at Marcus Partners Metro New York office, assisted his father during the raffle by tapping into the event’s evident good karma. Julian’s brother, Francis, benefitted from March of Dimes work. Julian acknowledged a tincture of sibling friction with Francis, but he needled and pleaded and raised nearly $50,000 from the raffle.

a panel of regulators and attorneys specializing in cases involving insider trading and Securities and Exchange Commission investigations. Lieberman, who served Connecticut in the Senate for 24 years, represents clients in independent and internal investigations and advises them on public policy, strategic and regulatory issues. Lieberman — who said the current Congress oversaw the least productive legislative session he has ever witnessed — addressed what factors impact a congressional investigation and its proceedings. He said it is important and necessary for attorneys to establish a collaborative relationship with the staff of the congressional committee from the start. Otherwise, the potential exists for things to get “very bad.” “The truth is congressional investigations are less about procedure and law than it is about public policy and public opinion,” Lieberman said. “If things go bad for a client you’re representing before a congressional committee, it can be very bad. If a company or individual that you represent receives a notification that they’re the target of an investigation or request for testimony or information from a congressional committee, it’s very important for the counsel to quickly contact the staff of that committee.” Ultimately, the attorneys can’t stop Congress from conducting a hearing, but establishing credibility with the investigating committee could assure a friendlier reception to the staff and limit the number of hearings, Lieberman said. “Congress possesses immense powers of publicity,” Lieberman said. “From press conferences announcing the investigation to conducting public hearings that put your client on the defensive, Congress can control the way an individual or group is perceived by the public even if no law enforcement, regulatory or legislative action results.” Another factor, political climate, also impacts investigations. Last year, the rising political issue of the moment for the Democrats in Congress was income inequality, Lieberman said. In an address, President Barack Obama declared that the combination of increasing inequality and decreasing mobility are the “defining challenge of our time.” “The president has influence on regula-

tory bodies, who in turn work with prosecutors,” Lieberman said. “So I would expect that both of those entities will continue to be active in this field, all of which makes the discussion you’ll have today relevant and the availability of wise and effective legal counsel important as ever.” The event featured a regulatory round table that included Aitan Goelman, director of enforcement for the Commodity Futures Trading Commission; David O’Neil, former acting assistant attorney general for the criminal division and deputy assistant attorney general for the fraud section of the division at the U.S. Department of Justice; and Katherine R. Goldstein, deputy chief of the Securities and Commodities Fraud Task Force in the U.S. Attorney’s Office for the Southern District of New York. The panelists spoke to holding corporate executives accountable, protecting the integrity of the market for consumers and understanding insider trading prosecutions and other fraudulent activities. “The World Bank estimates that corruption costs the world economy $3 trillion per year, which is roughly 5 percent of the global economy,” O’Neil said. “One trillion dollars of them are paid bribes, so that’s

going to continue to be a core priority in the Justice Department.” O’Neil added that cybersecurity presents a new raft of issues. “The criminal division (of the Justice Department) just announced the creation of a cyber unit within the computer crime and intellectual property section that follows the organization in the national securities division and the reorganization along similar lines in the FBI,” O’Neil said. When it comes to global investigations and for those enmeshed in them, Aitan said there’s a possibility that too many cooks could be in the kitchen. Early and consistent communication between multiple regulatory entities is necessary for defense attorneys, Aitan said. “When I was talking about disclosure and wanting regulatory cooperation, I meant it’s important to keep the regulators informed about the other fronts you’re managing,” Aitan said. “The unfortunate circumstance is where you have a regulator who is kind of lurking and at the last minute would spoil the proposed settlement.” White Plains, N.Y.-based federal judges Cathy Seibel and Kenneth M. Karas offered perspectives on how defense attorneys can

effectively present their cases and clients. “Very few lawyers can be more coherent on their feet than in writing,” Seibel said. “I don’t want to drag lawyers in and take their time and take my time just as a formality. So if I read the papers, and I have a feeling, and I do research, and I know where I’m going, I don’t have to hear their arguments.” But the judge may still call an attorney in to make an oral argument, Seibel said. But generally speaking, it’s best to submit a clear written document with any supporting information such as letters from those who can build the attorney’s client’s credibility with stories of their upbringing and character insights. “Paint as complete a picture as you can of the person you represent,” Karas said. “In the context of their life, find evidence that says, ‘Don’t judge my client by 15 minutes. They serve the community and their country.’ And there are instances where I’ve seen people have genuinely done things, not so they could have their lawyer say, ‘Look my client did Meals-on-Wheels last week.’ Nonetheless, give the judge a sense of the person being sentenced. The specific instance of the person making a difference is extremely helpful.”

T

he Metro-North Railroad will pay $250,000 to an employee who said he was intimidated and retaliated against after reporting an on-the-job injury in 2011. The U.S. Department of Labor said the fine was a record for punitive damages in a retaliation case. After a Connecticut coach cleaner hurt his knee after tripping on some displaced floorboards on Nov. 17, 2011, a supervisor told him en route to the hospital that workers hurt on the job are written up for safety and passed over for promotions. Metro-North issued disciplinary charges against him shortly after he reported the injury. When the worker filed an anti-discrimination complaint with the Occupational Safety and Health Administration on April 12, 2012, the railroad issued further charges against him. The cleaner filed an amended complaint in April 2013. David Michaels, secretary of labor for OSHA, said in an announcement Dec. 16 that Metro-North’s conduct was “deliberate and discriminatory.” “When employees, fearing retaliation, hesitate to report work-related injuries and the safety hazards that caused them, companies cannot

fix safety problems and neither employees nor the public are safe,” Michaels said. According to the administration, unofficial reports from other employees exemplified a culture in which reporting injuries was discouraged and dangerous conditions were not noted. In the retaliation case, Metro-North will have to pay the employee $250,000 in punitive damages, the maximum allowed by law, and $10,000 in compensatory damages as well as covering attorney fees. The railroad also was ordered to wipe the disciplinary charges from the employee’s record and conduct training for supervisors and managers about whistleblower rights under the Federal Rail Safety Act. Aaron Donovan, a spokesman for the Metro-North, told the Business Journal in an email that the processes for the railroad have changed since the events of 2011. “Since then, Metro-North has made considerable strides to create and promote a safety culture that encourages employees to report safety concerns and injuries without fear of retaliation,” he said. Among those changes, Donovan said, is a confidential close-call reporting system so employees can report safety issues without fear of reprisal.

Ramping up your workers’ experience I have an inexperienced team of people. They’re eager and want to learn, and they are picking things up quickly. That said, I need to get them ready for a big seasonal push that’s coming within a few short weeks. How do I get them started right — and quickly? THOUGHTS OF THE DAY: Getting things done right is important. Lay out a training plan in writing. Test for comprehension in small doses. Look for trainers within the pool of people who do the work already. Get out of the way to find out if they can do it. Move people around until you get the right fit. Doing work without mistakes saves time, effort and money. Multiply revenue by 1 percent. That’s a dollar estimate of what each 1 percent increase in costs related to errors means to your business. That should be motivation enough to make it worth your while to figure out how to move new people into the workforce with as little disruption and as few errors as possible. Before you put people to work, prepare some written instructions. They’ll pick up more if you back that up with written notes they can refer to as they go about doing the work. Ask people to make corrections to the training notes if they find something that doesn’t make sense or that is done differently from the way it was described. Decide how much should be taught each day and how to measure progress. The first time is the hardest; after the first round of training you’ll have benchmarks based on the first group’s progress. If error rates spike, slow down the training until the error rate drops. Go through each routine or job that people will be performing and lay out the parameters. Identify who should be consulted if there’s a question. If more than one person is involved, put it in writing — who to go to for what. Set up a time at the end of each day to review how things went. Focus first on what went well and how much progress was made. Then talk about what went wrong, and what errors or problems people encountered.

Encourage people to discuss problems openly. Ask them to describe how they dealt with the challenges they ran into and what they learned. Make sure that people who are struggling get someone assigned to work with them one-on-one. Wrap up with encouragement for the next day by focusing on the progress made so far. Start the next day with a brief meeting to go back over what has been learned. Remind people about lessons from the previous day’s wrap-up. Ask if anyone had any insights overnight that they’d like to share. Find competent trainers who can teach people what to do and act as positive role models. Look at the pool of people who already do the job well. Ask one or two of them to do training part time. Look for trainers who take pride in a job well done, who do it with a smile and who are good at encouraging those around them to enjoy what they’re doing. Think twice about moving someone into training just because they’re good at the task. Make sure they have good people skills as well. A big part of training is motivating and encouraging people. Steadily ramp up the tasks people are asked to perform. If they make mistakes, see if they recognize they’ve made a mistake and if they can fix it on their own. Give people a chance to show you without being interrupted. If possible, make people figure out how to fix their mistakes instead of fixing it for them. If they don’t get it, then show them how to do the task and ask them to do it exactly the way you showed them. Consider that people may have hidden talents. You might hire a person to do one task and then find out they’re really good at something else. Don’t be afraid to switch people around. Move someone else in to do the task you hired this person for. Move this person on to the tasks for which they’ve shown more aptitude. Looking for a good book? Audit and tax services deserve independent attention

I

n 2002, Congress passed the SarbanesOxley Act, or SOX, forever changing our view of the role of auditors and auditor independence. In the aftermath, companies wrestling with auditor independence rules and attendant regulatory scrutiny must decide whether their audit firm should be providing them with tax services. Although a number of companies continue to use their audit firm to perform tax services, the practice runs counter to regulators’ professed preference for maintaining auditor independence. SOX specifically points out the poten-

tial dangers of the same firm undertaking auditing and tax services for a single company. While auditors are not prohibited from providing routine tax work — as long as the arrangement receives prior approval from the audit committee — the practice may lead to potential or perceived conflicts of interest. Regulatory enforcement under these stepped-up auditor independence standards has increased the level of risk for companies relying on a single audit firm for both audit and nonaudit work. In January, the Securities and Exchange Commission issued a Report of Investigation Section 21(a) explaining that

— although tax services and other nonaudit services provided by an auditor may be permissible — the way they are provided may adversely affect the “auditor’s independence, in fact or appearance.” The heightened scrutiny from the SEC as well as the IRS, shareholders and the media is causing businesses to re-evaluate their audit relationships. Whereas auditors were once the primary providers of corporate tax expertise to their audit clients, we are seeing a rapidly growing number of companies choosing to separate their audit and tax services, leading to a decline in auditorprovided tax services among all businesses — both public and private. Although one size does not fit all, there are compelling reasons for separating audit

independence. • Centralize communication. It is a myth that keeping audit and tax services together within a single provider opens lines of communication. Companies have no guarantee that the audit and tax teams at a single accounting firm, particularly a large one, talk or share information with each other. When audit and tax services are provided by two different firms, the company doing the hiring becomes the central point of contact, privy to all communication with both providers. As such, the company directs the messaging around what the business is and what the business does. • Competitive environment. The presence and interaction of two firms allows each to scrutinize the work of the other

and tax work among two different providers. • Avoid independence issues. Independence is paramount to the integrity of audit work. Audit firms cannot audit their own work without undermining their independence. Separate audit and tax providers avoid auditor independence issues. Roles become more defined and pure; the audit firm — and audit committee — stay focused on audit while the tax firm concentrates on tax opportunities and the mitigation of tax risk. • Advocate for best outcomes. SOX prevents an auditor from acting as an advocate, thereby limiting an audit-provided tax professional’s ability to provide advice. By comparison, a nonaudit tax specialist is free to counsel management and provide an opinion on important tax issues without generally being subject to questions of auditor

firm. With two firms vying for your business, clients can demand — and get — the highestquality technical expertise from each firm. Two heads are better than one. Separate audit and tax professionals will bring different knowledge sets to resolving complex tax problems, resulting in broader insights that can improve a company’s decision-making. In assessing whether to separate audit and tax functions, a company’s tax profile is a key factor. As a company grows and its tax profile becomes more complicated, companies should consider separating their tax and audit relationships to preserve auditor independence and drive better tax outcomes. METRO-NORTH TO SCREEN FOR SLEEP APNEA The Metro-North Railroad chose a contractor on Dec. 15 that will conduct sleep apnea screenings for train engineers. The Metropolitan Transportation Authority on Dec. 17 approved a $200,000 contract with Mount Laurel, N.J.-based Persante Health Care Inc. The contract will run for seven months, part of a pilot program. According to an announcement from the Metro-North, all 410 of its engineers as well as engineers in training will undergo an in-house screening. Those recommended for additional screenings will be referred to Persante, which will then provide training and at-home test kits. Engineers may be referred to a sleep specialist based on the results. The pilot program comes a year after a Hudson Line train en route to Grand Central Terminal from Poughkeepsie, N.Y., jumped the tracks near the Spuyten Duyvil station in the Bronx, killing four and injuring dozens more. The train’s engineer, William Rockefeller, told investigators he had dozed off at the controls and did not apply the brakes before a sharp curve. He was later found to have sleep apnea.

CBIA Announces Leadership Changes

MS Healthcare president and chief executive officer Donna R. Galluzzo has been elected chair of the Connecticut Business & Industry Association’s board of directors. The board also elected Joe Brennan as president and chief executive officer, replacing John Rathgeber, who is retiring February 1 after 37 years with CBIA. Robert S. Sobolewski, president and chief executive officer of Farmington-based ebm-papst, Inc. and John Ciulla, executive vice president with Webster Bank in Stamford, were elected as vice chairs of CBIA’s board. Galluzzo succeeds James P. Torgerson, president and chief executive officer of UIL Holdings Corporation, who becomes the immediate past chair of the state’s largest business organization. “I’m honored to serve as chair of the CBIA in its bicentennial year,” said Galluzzo, referring to CBIA’s 200th anniversary, which will be marked in 2015.

He has served on numerous legislative task forces and commissions on economic and tax policies. He also serves on several boards and councils. “Donna, Bob, John, and Jim will play invaluable roles as we promote the sound economic and fiscal policies Connecticut needs to become more competitive for private sector investments and job creation,” Brennan said. CBIA also announced that Brian Flaherty will bring his years of government affairs and legislative experience to his newest role as senior vice president, public policy. “We’re incredibly pleased to have Brian join our team,” said Brennan. “He brings energy, experience, and terrific perspective and will play an invaluable role as we address the challenges facing our member companies and the state’s economy.” In leading CBIA’s public policy division, Flaherty will Donna Galluzzo have responsibility for the association’s government affairs, grassroots, research, and communications operations. Flaherty was most recently vice president for public policy and external affairs at Nestlé Waters North America, a division of Nestlé, Inc., where he oversaw the company’s government relations, sustainability, and stakeholder engagement activities. Prior to joining Nestlé, Flaherty was an eight-term member of the Connecticut House of Representatives, representing Watertown, Middlebury, and Woodbury.
