A

proposal by a Phoenix-based real estate development company would bring 434 apartments and additional retail and restaurant space to the popular White Plains restaurant corridor on Mamaroneck Avenue. Alliance Residential Partners, one of the country’s largest pri-

vate integrated multifamily real estate companies, has filed plans with the city to build the project, called Broadstone White Plains, at the corner of Mamaroneck Avenue and East Post Road. Plans call for a 440,000-square-foot apartment tower complex that would include three building segments: a 16-story building, a 15-story building and a six-story building. The project includes frontage on Mitchell Place as well. At street

level, there will be about 8,000 square feet of retail space, divided into two spaces, which developers say would likely be used for restaurants. Greg Belew, managing director of development for the Northeast region of Alliance Residential Company, said the property’s location along restaurant row made it especially attractive. surge in signups on the New York State of Health insurance exchange has bolstered backers of Obamacare, even as talk in Washington has turned to repealing the Affordable Care Act. More than 3.6 million people signed up for health insurance on the state-operated marketplace during the open enrollment period that ended on Jan. 31, the state Department of Health reported. That’s an increase of 751,000 people, or 26 percent, from a year ago. In Westchester County, nearly 152,000 people enrolled in plans, for a 38 percent increase. “It’s been a tremendous success,” said Mark Scherzer, legislative counsel for New Yorkers for Accessible Health Coverage. “New York is one place were premiums came down. Everyone else is complaining that they went up.” Before the state exchange opened in 2014, private insurance was covering a dwindling number of New Yorkers, according to a report written by Peter Newell and Nikhita Thaper for the United Hospital Fund. Monthly premiums for the least expensive health insurance policy had typically exceeded $1,000. In the first year of the state-run marketplace, the average monthly premium dropped to $431. Premiums have risen since then, including an average bump of 16.6 percent for individual plans

this year, the state Department of Financial Services announced in August. But those plans still cost 55 percent less than before Obamacare, adjusted for inflation and not counting federal tax credits. “Overall, the individual market is in markedly better shape now than it was in 2013,” the United Hospital Fund report concluded. New York was the poster child for a dysfunctional health insurance market, Newell said in a telephone interview. The Affordable Care Act turned that around. The individual mandate requires nearly everyone to get health insurance, creating a more balanced risk pool of young healthy people and older sick people. Federal subsidies made insurance more affordable. Insurers designed more flexible policies. “That unleashed pent-up demand,” Newell said. The number of uninsured New Yorkers as of late 2015 had declined to 5 percent, or 850,000 people, from 10 percent, the Health Department reported in August. Westchester, where more than 15 percent of the population is covered by the state marketplace, illustrates the trend. About 101,000 residents are covered by Medicaid — almost five times more than in 2014. Of course, millennials’ affinity for hyperconnectivity also can be a distraction, but when used to advance a job and business, having the ability to keep connected is key.

For those projects that require a team tactic, look to your company’s millennials. My generation enjoys group dynamics, especially with other young professionals. Working alongside each other fosters camaraderie, gives us a chance to learn from one another and sustains energy. It also adds to our everyday experiences, something that nearly all millennials desire. Turn to us as well for networking opportunities. Most of us enjoy getting to know other millennials through business networking events and social gatherings. We look forward to sharing ideas with like-minded individuals as well as with people with different mindsets. Getting out and associating with others challenges us to put ourselves out there past our comfort zones and builds on our one-onone interactions. That’s good for business, and not only for in-house jobs. Companies that connect with millennials heighten the likelihood of widening the business’ following, potentially increasing the bottom line. At my office, for instance, understanding the younger generation’s views on finances, savings and investing helps us tailor suitable products for them. But being able to have a trusted adviser of the same generation talk directly with millennial clients or potential clients about their financial needs is more powerful because of their heightened ability to relate with each other through a shared perspective. Making the most of millennial employees isn’t much different from supporting any other worker in a firm. When done right, young professionals can elevate businesses with their individual skill sets and forward-thinking viewpoints. Danone NA moving headquarters to downtown White Plains BY RYAN DEFFENBAUGH rdeffenbaugh@westfairinc.com

anone North America, the parent company for brands such as Dannon yogurt and Evian water, will move its headquarters from Greenburgh to downtown White Plains next year. The French international food products company announced the move of its U.S. headquarters following the approval of a zoning amendment by the White Plains Common Council on Feb. 6 that allowed the company to open a food laboratory in The Source at White Plains building at 100 Bloomingdale Road. The move represents a significant catch for the White Plains Central Business District. Danone is planning to bring 400 employees to the new site, with a projected 150 additional jobs within the next five years. Danone said in a press release that the decision to move to downtown White Plains recognizes that “today’s talent prefer to be in an open and flexible working environment that inspires creativity and inclusiveness.” “We want as much open space as possible to maintain the sense of community we currently have, to encourage informal and ad hoc communication and to ensure as much freedom and autonomy as possible in an energetic and exciting workplace,” said Dessislava Miteva, the company’s chief people officer and Vice President of human resources. “Additionally, being within walking distance to restaurants, shopping and mass transit is important for our company.” Once it moves in 2018, the company will occupy 80,000 square feet on the first and fourth floors of the 240,000-squarefoot building on the corner of Maple Avenue and Bloomingdale Road. Danone’s food laboratory will be at street level and allow people to view the production of small yogurt samples. Danone also plans to develop another 23,000 square feet of space on the fourth floor. The building is already home to Whole Foods, Dick’s Sporting Goods, The Cheesecake Factory and Raymour and Flanigan, among other office and retail tenants. The Hudson Gateway Association of Realtors moved its offices to a 16,000-square-foot space on the fourth floor in 2016. As part of the move, Danone will receive $1.273 million in sales tax exemptions from the Westchester County Industrial Development Agency. The company will spend about $30 million on renovations

for the space, representatives told the IDA board in October. The company will also receive state funds from Empire State Development through its Excelsior Jobs Program and Capital Grant program.

Danone told the Westchester IDA in October that it had also been exploring space in Fairfield County before choosing downtown White Plains. The move will likely leave vacant office space in Greenburgh, where Danone has occupied 100 Hillside Ave. since 2003. The property is owned by Alfred Weissman Real Estate LLC, a Rye-based real estate owner and developer. A representative from Alfred Weissman declined to comment at press time. When Danone’s likely move was first reported in October, Greenburgh Supervisor Paul Feiner wrote a letter encouraging the company to stay. “If they do leave, we will work with Mr. Weissman to try to find a suitable use for the property,” Feiner told the Business Journal in October. “But Dannon has been a fantastic neighbor and it has been a great location and good relationship, so obviously we were disappointed.” The Source at White Plains is owned by Bloomingdale Road Investors LLC, a

unit of the Swiss global financial firm UBS. The group bought the building in 2005 for $153 million. The building was originally constructed as a collaboration between Fortunoff, a home and jewelry retailer, and New York City developer R-Squared LLC. Fortunoff went bankrupt in 2009 and shortly after closed its White Plains location. The terms of the lease for Danone have not yet been finalized, according to a company spokesperson. Before approving the application from Danone, White Plains Mayor Thomas Roach said he was pleased to welcome a new “community partner.” “It’s a corporation which has an outstanding reputation, an outstanding history and is locked squarely in the healthy food and wellness movement,” Roach said. “So we are very excited and proud to have Danone join our group of community partners we already have in the city and look forward to working with them in the future.”

WESTCHESTER HEALTH ASSOCIATES SIGNS WITH NORTHWELL

Westchester Health Associates (WHA), a physician group with 130 providers in 39 locations throughout Westchester and Putnam, as well as in Stamford, will join Long Island-based Northwell Health on March 1, Northwell Health announced. Northwell Health, the state’s largest health system, has continually grown its presence in Westchester since first entering the area with the addition of Phelps Memorial Hospital Center in Sleepy Hollow in 2014. The health system, which rebranded in 2015 from North Shore-LIJ Health System, also includes Northern Westchester Hospital in Mount Kisco. The agreement integrates WHA into Northwell Health Physician Partners, which includes about 2,700 clinicians throughout the New York region. WHA’s practice includes primary care physicians and specialists in allergy and immunology, cardiology, dermatology, endocrinology, gastroenterology, neurol-

ogy, ophthalmology, obstetrics and gynecology, pediatrics, plastic surgery, podiatry and urology. “With the addition of Westchester Health Associates, Northwell Health is significantly expanding its footprint in Westchester County and beyond, adding 39 locations to an ambulatory network that already includes more than 550 outpatient facilities throughout the New York area,” said Michael J. Dowling, Northwell Health’s president and CEO. Northwell Health is seeking state approval to add the Visiting Nurse Association of Hudson Valley, a nonprofit, certified home health care agency based in Tarrytown, to its network. Last year, Northwell teamed up with GoHealth Urgent Care to open three urgent care centers in Westchester as well.

LEGAL SERVICES NAMES CHIEF PROGRAM OFFICER

Rachel Chazin Halperin, an attorney who has worked on domestic violence issues for most of her career, has been named chief program officer of Legal Services of the Hudson Valley. Halperin will supervise eight offices, special projects, the intake unit and grant initiatives. “There’s more need for our services than ever,” Halperin said. “People are

struggling in the Hudson Valley.” She said 570,000 people who are at or below 200 percent of federal poverty level are eligible for its services. Halperin said there is a lot of uncertainty about federal funding, which along with state and local government funds accounts for 94 percent of the budget. Halperin joined Legal Services in 2014 as deputy director. Previously, she was executive director of domestic violence programs at HELP USA, legal director of My Sisters’ Place and an attorney at the Legal Aid Society of the District of Columbia. She serves on the board of the New York State Coalition Against Domestic Violence. Barbara Finkelstein is the CEO of Legal Services, a $16 million nonprofit organization that employs 130 people, including 85 lawyers, in Westchester, Putnam, Dutchess, Rockland, Orange, Ulster and Sullivan counties.

MOODY’S UPGRADES NEW ROCHELLE CREDIT RATING

Moody’s Investors Service has upgraded the city of New Rochelle’s credit rating from Aa3 to Aa2. The rating signifies that New Rochelle has a very strong capacity to meet its financial commitments on general obligation limited tax bonds. The rating appears to be the first upgrade for New Rochelle since at least 2007, a Moody’s spokesman said.

The Aa tier is one level below Moody’s highest or best, AAA tier, and means that Moody’s believes the city’s bonds carry low credit risk for investors. Moody’s cited the city’s operational surplus and improved finances after years of structural imbalances. The credit opinion, issued on Jan. 17, also refers to a stabilizing tax base, the city’s above-average median family income, modest pension and debt burdens and lower payouts on property tax appeals. The city posted an operating surplus of nearly $5 million for 2015, for its fourth consecutive surplus. It showed an operating fund balance of $13.8 million, compared to $1.6 million in 2011. The city’s debt burden of $68.2 million is low, the report states. The burden will rise but still be manageable when the city, as expected, issues $40 million in bonds as part of a ten-year capital plan and $5.4 million in bond anticipation notes this fiscal year. Several redevelopments projects that are expected to be completed in the next three to five years will be exempt from property taxes, under payment in lieu of taxes agreements. But ultimately, the report says, the new buildings will contribute to the tax base. “Conservative budgetary management,” the analyst concluded, “will continue to support healthy financial operations of the city.” — Ryan Deffenbaugh, Bill Heltzel

or less of federal poverty level and costing $20 or less a month, doubled to more than 23,000 in Westchester. Enrollments in qualified private health plans — insurance that is certified as providing essential health benefits and cost-sharing limits for plan participants — declined by 10 percent, to less than 15,000, as people shifted to Medicaid and the Essential Plan. Statewide numbers are similar. Medicaid covers 2.4 million people in New York, followed by the Essential Plan with more than 665,000 enrollees and Child Health Plus with nearly 300,000. Qualified health plans cover almost 243,000 people, down 11 percent or 29,000 fewer New Yorkers than last year.

The national picture is less rosy. Enrollments in the federal health insurance marketplace, covering all but 11 states, declined by more than 4 percent to 9.2 million people in the recent open enrollment period. Higher premiums, fewer insurers and pledges by Republicans to repeal the law may have taken a toll. President Trump has described the ACA as “a complete and total disaster,” and he issued an executive order directing federal officials to waive or delay any provisions of the law that would impose costs or penalties or a regulatory burden on individuals. ACA advocates say repeal of the law would hurt economic growth. New York would lose $4.9 billion in federal health care spending and more than 52,000 jobs, and more than 1.1 million people in the state would lose health insurance, accord-

ing to estimates by the Economic Policy Institute, a research group that focuses on economic conditions of low- and middleincome Americans. Gov. Andrew Cuomo announced different estimates: 2.7 million New Yorkers would lose coverage, and loss of federal funding would cost the state $3.7 billion, local governments $595 million and residents $250 million in federal tax credits. About 92,000 Westchester residents would be at risk of losing health insurance, according to Cuomo, and the county would lose $15.2 million in annual funding. “If federal funding goes away,” said James Schutzer, a benefits consultant with J.D. Moschitto & Associates in White Plains, funding for the state’s Essential Plan and expansion of Medicaid goes away. “Where is that funding going to come from?” Most people in New York get health

insurance through employer-based plans. Repeal of the ACA would not cause them much disruption, Schutzer said, because many of the ACA regulations were embedded in state law before Obamacare. But employers are concerned about escalating premiums, he said, and repealing the ACA would not address the underlying costs of health care. “I’m asked the question every day,” Schutzer said. “’What does it all mean?’” “Look, employers want answers. When will health insurance rates stop going up? If that takes repeal, they’re all for it. If not and rates continue to skyrocket, they’re going to be against that.” It’s the underlying cost of delivering health care that pumps up insurance premiums. The problem, Schutzer said, is that no one is offering good solutions to controlling those costs.

Belew said the company targets “vibrant urban/suburban nodes,” making White Plains a fit for its growing operations in the New York metropolitan region. “In terms of density of shopping and restaurants and the availability of good transit options, the city has made great strides in coming into its own as a desirable residential destination,” Belew said. He’s certainly not alone in that view. The city has drawn a steady stream of developers willing to make substantial investments on luxury rentals. At the same Jan. 31 meeting that Alliance gave its plan to the White Plains Common Council, another development team presented plans to convert the 330,000-square-foot former AT&T office building at 440 Hamilton Ave. to residential uses. A recently approved $275 million

redevelopment of the Westchester Pavilion a couple blocks from the Broadstone proposal will include 707 rental units. Development around the city’s Metro-North station has been led by a $250 million development under construction at 55 Bank St. that will have 561 apartment rental units and a proposed redevelopment of White Plains Mall that would bring another 600 units. The city is also reviewing a project that would add 400 rental units at the former Good Counsel campus on North Broadway. “What we see is a lot of people are getting priced out of New York City, so they start to look at other alternatives just outside the city with a reasonable commute,” Belew said. “White Plains has a lot of amenities and a 35-minute ride into Grand Central. You could very easily have a 35-minute ride or more from some parts of Brooklyn.”

restaurants and nightlife spots. “That can really help set our apartment community apart from others,” Belew said. The design, by international architecture firm Lessard Design, calls for a mix of 35 studios, 247 one-bedroom apartments, 130 two-bedroom, and 22 three-bedroom apartments. Of those units, 6 percent would be designated as affordable. The six-story parking structure would be within the building, not visible from street level, Belew said. The plan also calls for a small public park on the Mitchell Place side of the building. Alliance Residential Partners filed plans with the city for the Broadstone White Plains project earlier this month, Belew said. The project would need only site plan approval. The developers will also apply to the Westchester Industrial Development

He said the development, given its location, could appeal to a wide range of demographics. “We’re right in the middle of restaurant row, only several blocks from the train station ... we have a central location that will be appealing to younger renters,” Belew said. “But also appealing to an older demographic that may be empty nesters and want to be close to shopping and restaurants.” Broadstone White Plains would represent Alliance Residential Partners first development in New York. The company owns 89,000 units in 32 metropolitan markets, focused heavily in the western part of the country, but also in the South in Florida, Georgia, Maryland and Virginia. The company has offices in Manhattan and Secaucus, N.J. The company’s first proj-


Ginsburg buys White Plains apartments for $35M

insburg Development Cos. is entering the growing luxury rental apartment sector in White Plains. The company has bought the 124-unit luxury apartment building at 34 S. Lexington Ave., known as Halstead White Plains Metro North. The Valhalla-based development group led by Martin Ginsburg paid $35.25 million for the 12-story building. The deal was announced by Avison Young, a commercial real estate services firm that arranged a $28.64 million acquisition loan for Ginsburg Development Cos. On Feb. 6, Ginsburg told the Business Journal that the building offered a chance to bring the company’s brand into White Plains.

development. Already under construction is 55 Bank St., a $250 million, 561-unit apartment building that will be a block over from Halstead White Plains. Also nearby, the owners of the decades-old White Plains Mall on Hamilton Avenue near the train station have proposed a mixed-use makeover that includes a craft food hall, public space and 600 apartments units. Add to that two new loft apartment buildings that have been approved along the mostly industrial Westmoreland Avenue. Ginsburg said he had been watching new development around the train station

with interest. He called White Plains a “destination place.” “We’re very focused on transit-oriented development,” Ginsburg said. “New York City is the Big Apple here, and I think White Plains is becoming its own little apple as well.” Ginsburg Development Cos. has started or completed construction on a series of luxury apartment developments in the last three years. In November, the development group held a topping off ceremony for its $100 million River Tides at Greystone luxury apartment project in Yonkers. The group has recently opened the $65 million,

118-unit Harbor Square apartment building in Ossining, and the $35 million, 66-unit The Lofts on Saw Mill River apartment complex in Hastings-on-Hudson. Ginsburg has also broken ground on another luxury Yonkers development: the $21 million 1177@ Greystone, also on Warburton Avenue. DSF Group’s other Westchester properties include the 40-story Halstead New Rochelle building. In September, the company entered into a contract to buy La Rochelle, a 25-story tower with 412 apartments at 255 Huguenot St. in downtown New Rochelle.

Barry Fenstermacher “It’s got a great location,” he added. “We like the style of the building, it was completely renovated and it’s really in excellent shape. It’s also right near the railroad station and convenient to everything in downtown.” Ginsburg bought the building from DSF Group, a Boston-area real estate investment firm that picked up the property in 2013 for $34 million. The firm converted the building from extended-stay corporate apartments to luxury rentals shortly after its purchase. Ginsburg Development Cos. will make further renovations and change the building’s name, but Ginsburg said there is no set timeline on when that will happen. The building is less than a mile from the city’s Metro-North rail station. Its amenities include a rooftop terrace, 24-hour fitness center and new finishes in the apartments such as granite countertops and wood flooring. The building’s management, Buzzuto Management Co., lists studios starting at $2,175, one-bedrooms at $2,515 and twobedrooms at $3,450. White Plains has drawn significant interest from apartment developers in the blocks around its train station. The city recently studied and finalized a plan for a transit district in the area that would open up property parcels for possible mixed-use

Finding the gems when hiring I can see how hard it is to hire good people. Got any tips? THOUGHTS OF THE DAY: When searching, make sure every tool works well. Use interviews to find out if soft skills are present. Know your culture. Set aside plenty of time for getting to know the candidate. Avoid blamers. Look for drive and ambition. Check your company’s profile on Glassdoor. When it comes to current employees who are listed on the company’s website and anyone who will interact with the candidate, be aware of how they come across in the virtual world. Savvy candidates will check you out as much as you are checking them out. They want to see websites that are up to date, social media posts that are informative and relevant to the business, people they would benefit from affiliating with and an active, accurate brand representation that is worthy of their time and effort. Emotional intelligence and ability to focus are intertwined. Can candidates demonstrate a high degree of both? Do they stay

on point and keep their cool as they try to learn more about your company and tell you about themselves? Use a detailed job description to check for learned skills. But balance the search for hard skills with the need to find people who can contribute to your company’s culture. If you’re not sure what your company’s culture is all about, turn to current and former employees, clients and vendors for help. Make a list of key words that describe your culture. See how many of those key words your candidates use. Think through your company’s style of working. Do people arrive and leave early or late? Long or short lunches? Long or short meetings? Information and updates delivered orally in large group meetings or one-on-ones, or circulated in written reports? What kind of work environment have candidates done well in? How does that compare with your company’s setting? Consider the peers this candidate will have to fit in with. Are they formal or informal, fast-paced or slow? Are they quick to reach conclusions or more deliberative? Do they collaborate and inform, or take leaps of faith and apologize later? Keep in mind that diversity of background and approach can

be valuable. If you’re looking for a disrupter, make sure they also have leadership ability to bring others along with them.

Set aside plenty of time for getting to know the candidate. Avoid blamers. Look for drive and ambition. Everyone tends to let their hair down in social settings. Go out for lunch or dinner to get to know candidates better. Have multiple people do interviews. Look critically at references. Do they really have an accurate picture of the candidate? Are they willing and able to share what they know? Make sure they understand you’re trying to help this candidate find the best opportunity for them as well as for you. Avoid blamers. Some people will not look below the surface to find out what’s

holding them back. That gets in the way of learning and making progress. If it’s always someone else’s fault when bad things happen, steer clear. Look for people who have done unusual things to get ahead. Whether it’s taking on extracurricular activities in school or extra projects at work, look below the surface. What kind of work did they excel at, what motivated them? Did they take on risks and additional workload because it was imposed on them, or because they were self-motivated? LOOKING FOR A GOOD BOOK? UOVO, a Queens-based fine art storage and collections management company, has opened its second office and warehouse facility in Rockland County, the company has announced. The new Blauvelt facility, UOVO: 100 Bradley PKWY, has been renovated to include 140,000 square feet of climate- and temperature-controlled storage space, with customized private rooms and concierge shared storage, viewing room, private workspaces and state-of-the art security. UOVO in 2016 acquired the 34-year-old industrial building, on a roughly 9-acre property in Orangetown, for $14 million, Rockland County land records indicate. UOVO also operates UOVO: 33 Kings HWY, a 100,000-square-foot art storage facility in Orangeburg. The company in late 2014 paid $8.5 million for the office and warehouse building on a 13-acre tract. UOVO two years ago opened UOVO: NYC, its 280,000-square-foot flagship facility in Long Island City. Since the company’s launch in 2013, it has opened more than 550,000 square feet of space and serves more than 600 clients, according to company spokespersons.

OSSINING APARTMENT BUILDINGS SOLD FOR $2.25M

A Bronx-based company recently paid $2.25 million for a two-building commercial property at 70-80 Spring St. in downtown Ossining. Adjacent to the Birdsall-Fagan Police and Court Facility, the fully occupied and newly renovated buildings include 15 apartments, two retail stores and 15 parking spaces, according to Goldschmidt & Associates. Eric S. Goldschmidt, senior partner at the Scarsdale brokerage firm, represented the seller, Seashell Realty LLC. The buyer, 3415 Knox Avenue LLC, was represented by Nicholas McMillan of Giner Realty in Katonah. Seashell Realty, which lists a Bedford address, paid $2 million for the Spring Street property in 2009, according to Westchester County land records. Goldschmidt in a press release said he is also representing the company in the sale of 139-141 Main St., which includes eight apartments and three retail stores in downtown Mount Kisco.

The couple recently moved to the county’s Sound Shore from New York City. “Westchester County presents a range of issues distinct from living in an urban environment, which is where many of our clients are coming from,” she said in the announcement. A spokesperson for Ian K. Katz Group said it closed on client purchases totaling $18 million in 2016.

HOMESERVICES ADDS HOULIHAN TITLE AGENCY

HomeServices of America Inc. has entered New York state’s title insurance market with the recent acquisition of Thoroughbred Title Services LLC, an 8-year-old subsidiary of the Houlihan Lawrence real estate brokerage. Financial terms were not disclosed.

The recent deal for the title insurance company followed last month’s announcement that HomeServices, a Berkshire Hathaway affiliate and the nation’s secondlargest residential brokerage, had acquired Houlihan Lawrence. A family-owned business started in Bronxville in 1888, Houlihan Lawrence had grown to be one of the largest and most successful residential real estate firms in Westchester County and the northern suburban region, with $6.7 billion in closed sales in 2016. Both Houlihan Lawrence and Thoroughbred Title Services are headquartered at 800 Westchester Ave. in Rye Brook. Eric Swarthout, president of Thoroughbred Title Services, in the recent announcement said Thoroughbred’s “leadership, values and goals remain the same.” The company operates in Westchester, the Hudson Valley, New York City and Long Island and, according to its website, has done title work for more than 10,000 homebuyers since its founding in 2009. — John Golden

State’s highest court agrees: A trade is a trade

W

hen the London Stock Exchange received its coat of arms in 1923, inscribed on it was a Latin saying, Dictum Meum Pactum. It translates as, “My word is my bond.” The adage, which dates back centuries, is well known and often cited as it underscores the importance that integrity plays in life and in business. Perhaps that’s why the London Exchange displays its motto nearly a century later. It’s an important reminder that our words and our bonds really do matter. All across the world, in markets, banks and on trading floors, people understand that principle all too well. So too do industry professionals who operate by another common principle, “A trade is a trade,” which effectively means buyers and sellers abide by rules by which they verbally agree to terms and then confirm their deal in writing. In ever-changing markets where billions can be won or lost in moments, such commonly accepted practices have been in place to prevent the markets from spiraling into chaos. Such rules are necessary. New York’s highest court, the state Court of Appeals, recently firmly established this as a part of the law, likely saving trading markets from the potential of serious disruptions and disorder brought on by institutions or rogue players that don’t necessarily respect an adage that was more or less an unwritten rule until the court made its decision in late December. In simple terms, the landmark decision regarding the case Stonehill Capital Management LLC (Stonehill) vs. Bank of the West (BOTW) overruled a surprise New York Appellate Court ruling. The higher court essentially concluded that a sale, purchase or trade is executable as long as the material terms and conditions are spelled out and mutually accepted — such as through emails and conversations — even if a contemplated formal agreement has not been signed. A trade is a trade, that is. The decision also raised the bar on often-used escape clauses that were aimed to give one party an ability to back out for any reason they deem fit. That’s not how our markets function best and the court understands that. The decision sided with Stonehill, which I represented, and stemmed from the auction sale of an $8.7 million distressed mortgage loan; the case made its way through three New York courts dating back to 2014. Our argument was that Bank of the West had accepted Stonehill’s offer to pur-

chase the loan by accepting its bid and agreeing to use a standard industry form as the loan sale agreement. But BOTW pulled out of the deal when the market changed in its favor — earning it millions — saying they were not bound to sell the loan to Stonehill because they didn’t have a signed agreement. The bank also maintained that it was not bound to sell the loan to Stonehill because under the auction terms, BOTW had the sole discretion to withdraw the loan from the sale at any time. The Court of Appeals disagreed. Its unanimous decision was forward-looking, practical and based on common sense and practice. Because it is not subject to appeal, it puts an end to any doubt as to when a deal is actually a deal. The decision will reverberate across the country and around the world, as New York is considered the gold standard of governing laws in commerce and finance. Some trade groups, such as the Loan Syndications & Trading Association, which works to increase transparency, education, fairness and order in the loan markets, are calling this a “watershed” moment. Why? Because oral agreements — as in a person’s word — ensure the order of the financial markets. Had the lower court decision prevailed, the integrity of the U.S. debt and equity markets would have been in serious jeopardy going forward, with parties having carte blanche to back out of agreed-upon trades arbitrarily or because of changing market conditions. That not only could have affected institutional markets, but could have trickled down to unsettle trading markets that comprise investments in 401Ks, mutual funds and any number of other financial accounts where investors large and small save for college, retirement, homes and the like. Markets demand a platform of absolute confidence. This decision not only restores that platform, it permanently defines and protects it going forward. “A trade is a trade” or “Your word is your bond” are concepts to live by and trust — in business and in life. Westchester IDA backs Ossining apartment projects BY BILL HELTZEL bheltzel@westfairinc.com

A

bandoned industrial buildings, a dormant construction site, a vacant and deteriorating historical house and subsidized housing for the elderly nearing the end of its useful life are conditions that can hurt a town’s image. But two projects in the village of Ossining could convert those liabilities into assets over the next two years. The Westchester County Industrial Development Agency gave preliminary approval to financial incentives for Hudson Steppe and Maple House Apartments at its Jan. 26 meeting. Developers on the two projects want to invest more than $118 million, create 189 apartments, preserve and restore 105 apartments, fix the historical house and create 240 construction jobs. The developer of Hudson Steppe, Ossining Land LLC, is an affiliate of Orb Management in Manhattan. The firm acquired two parcels at 34 State St., in 2007 and 2008 for $12.65 million. But the project was delayed by the Great Recession, real estate crash and market demands that required plans for condominiums to be scrapped.

The work will produce 190 construction jobs and then 11 permanent positions at the completed mixed-use property. A possible impediment remains in obtaining construction financing. “The financing of new construction projects still remains a challenging environment,” according to the developer’s IDA application, although lenders look more favorably on projects with public-sector support. The company noted that they have been in “protracted negotiations” with a bank that succeeded its original lender. Maple House Renewal LLC got preliminary approval for a different kind of IDA assistance, a $27 million bond. Maple House Apartments, a 6-story, 105unit facility, was built in 1983 at 15 Maple Place and is nearing the end of its useful life, according to the IDA applicant. It was designed as “enriched housing” for the disabled, the frail or those who can live independently but need extra help. Residents must be at least 62 years old and qualify for a federal Section 8 housing subsidy. The developer plans to repair and renovate the exterior, replace the roof and an elevator and upgrade mechanical systems. The first floor will be reconfigured to include a new management office, busi-

ness center, fitness center, storage area and library-game room. Kitchen cabinets and appliances, bathroom fixtures and vanities will be replaced in apartments as needed. Work is expected to take eight months, and the residents will continue to live there during construction. CH&E Construction of Lancaster, Pennsylvania, is the general contractor. The project will create 50 construction jobs and one property management position. The overall budget is $39.1 million. That includes construction costs of $3.95 million, or $38,000 per unit, and $26.5 million to acquire the land and buildings. The developer is also seeking a $12 million low-income housing tax credit from the New York State Housing Financing Agency. The Richman Group Affordable Housing Corp., of Greenwich, is the tax credit syndicator — purchaser. Maple House Renewal is managed by a company owned by Renewal Housing Inc., a nonprofit affiliated with the National Foundation for Affordable Housing Solutions. The foundation is developing the project with Pala Maple House Holdings LLC.

The foundation, which honors her memory and love of animals, is creating an animal sanctuary on 34 acres in Newtown and sponsoring a scholarship at Cornell’s veterinary school.

FAMILY SERVICES AWARDED ALZHEIMER’S FOUNDATION GRANT The Alzheimer’s Foundation of America (AFA), has awarded a $5,000 Phyllis and Milton Berg Respite Care Grant to Family Services of Westchester (FSW) for its My Second Home program in Mount Kisco and White Plains. AFA is a nonprofit with more than 2,600 member organizations nationwide. It works to provide optimal care and services to people living with dementia and their families. FSW’s My Second Home offers older adults a safe, supervised, home-like day care environment as an affordable alternative to assisted living or nursing home care. FSW is a nonprofit based in Port Chester. The grant is named for the deceased parents of Barry Berg, the AFA board’s treasurer. Both of Berg’s parents passed away in 2009. His mother,

Phyllis, had Alzheimer’s disease, and his father, Milton, was a devoted caregiver. The grants are awarded to AFA member organizations that provide respite services which help give family caregivers a much-needed break. Charles J. Fuschillo Jr., AFA’s president and CEO, said studies have shown that respite care “can aid in maintaining caregiver health and delay costly nursing home placement.” “Anyone who has a loved one who is affected by Alzheimer’s disease knows the value of respite care,” said Susan Wayne, president and CEO of Family Services of Westchester. “This generous grant will allow us to continue providing the much-needed time-out for those caregivers who are dealing directly with the effects of Alzheimer’s disease in a family member.”

NEW ROCHELLE OPERA’S TRIBUTE TO MARTA EGGERTH The New Rochelle Opera kicks off its 2017 season with a fundraiser that will include a tribute to the late opera, operetta, concert, theater and movie star Marta Eggerth, a former Rye resident. honorary board member of the New Rochelle Opera. The event takes place on Sunday, March 12 at The Fountainhead in New Rochelle. Proceeds will support the company’s June production of Franz Lehar’s “The Merry Widow.” Eggerth and her husband, Jan Kiepura, appeared in more than 2,000 performances of “The Merry Widow.” . Born in Hungary, her career flourished through the 1930s both in live performances and films. In 1938, Eggerth fled the Nazis and came to America, joining the Metropolitan Opera. In the early 1940s, she was signed by MGM and made two movies with Judy Garland. In addition to appearing in operas and operettas, she performed on Broadway. Although she retired for a few years after her husband died in 1966, she returned to the concert stage in the 1970s and continued performing into her nineties. Friends of Karen in North Salem, which supports critically ill children and their families, has named Laura Salerno and Sara Colodner to its board of directors. Salerno is a communications and media relations strategist with nearly a decade of public relations experience. Prior to launching her own consulting practice in 2015, she was a vice president at the advertising and public relations company Havas. Previously, she was a vice president at Rubenstein Public Relations, where she spent more than seven years overseeing PR and

St. Christopher’s, headquartered in Dobbs Ferry, is an organization dedicated to helping children with special needs and their families. In Valhalla, it operates the Jennie Clarkson Campus on 35 acres of secluded, wooded property overlooking the Kensico Reservoir. That’s where St. Christopher’s runs its REACH program, providing intensive treatment for 48 youths who are cognitively limited. Animals have been used in the therapy from time to time, and now St. Christopher’s plans more extensive use of therapy animals. It plans to bring goats to the Jennie Clarkson campus on a permanent basis. “The animals will live on the campus’ 2.5-acre farm and fuse together animal-assisted therapy and nature-based education. There’s an endless list of ways we can incorporate the animals into the St. Christopher’s curriculum,” said Anne-Marie Sasso, a consultant and certified therapeutic livestock coordinator. “Beyond inspiring them with empathy towards all living things, the goats will afford children opportunities to share experiences and learn new skills, as well as improve their work ethics.” St. Christopher’s believes that incorporating animals into therapy can assist in decreasing aggression and negative self-image while increasing cooperative behavior, empathy and social relatedness. In the presence of animals, children and adolescents tend to talk more openly and those on the autistic spectrum display more social relatedness. The organization will bring the animals to state and county fairs, allowing the children to be in a public setting

BOARD CHANGES AT WESTCHESTER LAND TRUST

ENTA EXEC REAPPOINTED TO GRIEVANCE COMMITTEE

Westchester Land Trust (WLT) has a new chairman of its board of directors. He’s Bruce Churchill, a resident of Pound Ridge. He replaces Jonathan Wiesner, who steps down after serving as chairman for five years. Wiesner now will co-lead WLT’s Advisory Board. Churchill has been on the board of directors for three years. During Wiesner’s tenure, WLT completed 24 land-conservation projects, protecting 735 acres in Westchester and eastern Putnam counties, and was reaccredited by the Land Trust Accreditation Commission. It also helped preserve Stuart’s Fruit Farm in Somers, the oldest working farm in Westchester County. Churchill recently retired after 30 years as a media executive with companies such as Paramount Pictures, Fox Television and DIRECTV. “I am eager to begin my new role, working more closely with WLT’s talented staff and dedicated directors during this exciting time for the organization,” he said. Beth Crowell of Bedford joins the board after serving as co-chair of WLT’s 2016 annual benefit. Crowell manages her own residential interior design business. She began her career at Christie’s Auction House and Peter Marino Architects. New to the board is Joseph Edgar of Pound Ridge. Robert Glazer, CEO of Tarrytown-based ENT and Allergy Associates LLP (ENTA), has been reappointed to the Grievance Committee for the Ninth Judicial District of New York State. His new term runs through November 2019. The committee, which is made up of both attorney and nonattorney volunteer members, is tasked with reviewing complaints lodged against members of the New York State Bar Association. The committee decides whether Robert Glazer there is probable cause to believe a lawyer violated professional conduct rules as imposed by the Supreme Court of New York.
