he owners of Hampshire Country Club are suing the village of Mamaroneck, accusing elected officials of blocking attempts to develop condominiums at the 121-acre harbor-front property on the Long Island Sound. Hampshire Recreation L.L.C. is seeking $55 million in damages, according to a complaint filed Aug. 11 in state Supreme Court by Hampshire’s attorneys, Michael D. Zarin and David J. Cooper of the White Plains firm Zarin & Steinmetz. The owners, who filed two separate condominium plans with the village, said Mamaroneck’s board of trustees “blunted” any discussion of the plans and held illegal executive sessions on the proposals behind closed doors in an effort to drive down the value of the club’s property so that Mamaroneck could purchase it for itself.

A family’s journey through grief inspires a movie BY JOHN GOLDEN jgolden@westfairinc.com

J

ohn and Brenda Fareri hadn’t yet driven over to Port Chester to see the film showing at the AMC Loews cinema complex when I stopped at their development company’s office in Greenwich on an August afternoon. Brenda planned to see “Louder Than Words” on the last night of its one-week run in Westchester. She and her family — which includes adult triplets — already knew its story intimately, both the Hollywood version and the real-life one. “I think the whole process brought all of us back to 1995 emotionally,” Brenda told me, speaking of the movie’s production in which the Fareris were closely involved. She sat beside her husband at a conference table against a papered backdrop of construction plans and design renderings for real estate developments in the works at Fareri Associates. Eighteen years ago, John Fareri, one of this region’s prominent developers, and his wife undertook an extraordinary project that arose from grievous loss. Their daughter Maria, in a classroom exercise not long before her death at 13, had wished “for the health and well-being of all the children of the world.” Her parents did what they could to honor that wish with the opening of Maria Fareri Children’s Hospital in Valhalla in 2004, eight years after their project was conceived. It stands as both a memorial to their daughter and an international model for family-centered pediatric care. “It really does bring us back to 1995,” Brenda said of the film. Starring David Duchovny and Hope Davis as the shellshocked, bereft parents, it tells their story of a family torn by grief and the building of a hospital on a foundation of $40 million in donations raised by the Fareris. “A lot of it brought back certain things that you

push aside,” she said. From its opening scene of Maria — the inspirational story’s reassuring narrative voice — bicycling beneath trees brilliant with yellow fall foliage, the film captures that dark season in 1995. That September, Maria was hospitalized at Westchester Medical Center in Valhalla with symptoms that doctors first thought to be caused by a form of encephalitis. After “a couple days,” as John Fareri recalled, her severe illness was diagnosed as rabies. Unknown to her and her family, she had been bitten by a rabid silver-haired bat. Maria was removed from life support less than two weeks after entering the hospital. “In the U.S., two people a year die of rabies,” John said, “and there’s a successful protocol” of shots to inoculate people who might have had contact with a rabid animal. But the diagnosis came too late for their daughter. The virus had already passed into her brain and nervous system. “It’s all one long day to me,” Brenda said softly of that terrible time. They waited 14 hours for a hospital room, John recalled. Maria’s parents slept in chairs in the hall, a scene portrayed in the film. “There was no privacy at all,” John said. “The conditions were far from — it was a county institution that was built years ago. Today hospitals are different. The environment is very important.” It is that way at children’s hospitals in part because of a stubborn, fixedly determined developer of not too many words named John Fareri. Brenda said Duchovny’s taciturn character on the screen captured her husband well. She recalled Hope Davis teasing her co-star on the set: “‘Did you get your word right today, David?’ He said so little.” Having decided he would build a children’s hospital for Westchester Medical Center, “I found out the construction was the easy part,” John said wryly. The developer first had to raise $30 million

as equity. And the project had to be separated from Westchester County, which owned the medical center, and required a transfer of ownership to a public benefit corporation created by an act of the state Legislature. In the film, Duchovny’s character speeds to Albany and in sweat clothes storms into the office of former State Sen. Nick Spano, who reassures him that the needed legislation has passed. The Fareris’ introduction to Hollywood began with Tamar Lurie, a Greenwich real estate broker whose son, Rob Lurie, is a screenwriter and film director and served as executive producer on “Louder Than

Words.” “He thought it was an interesting story,” John said, and about five years ago approached the Fareris about making the movie. “We had a lot of reservations in the beginning,” said John. “We finally decided to go along and do it. “It was a very personal story and we weren’t sure that we wanted it out there. But there were certain advantages.” “It helped the children’s hospital,” said Brenda, who chairs the hospital’s charitable foundation. It could help other families deal with “a very, very tragic situation,” said John.

Exodus of young professionals slows, but brain drain continues BY MARK LUNGARIELLO mlungariello@westfairinc.com

T

he latest U.S. Census data show a slowing of the exodus of young educated workers out of Westchester County, but suburban brain drain remains an overall trend. Westchester has lost 12 percent of its 25- to 34-year-olds since 2000, according to the 2012 American Community Survey, but the recent numbers show an improvement over the 12.8 percent in the 2011 survey. An analysis of the data was presented at an Aug. 6 event in Purchase hosted by the Urban Land Institute’s Northern New Jersey and Westchester/Fairfield councils. Alexander Roberts, the executive director of fair housing group Community Housing Innovations Inc., shared a presentation that said despite the easing of the loss of young professionals, the county’s wealthiest communities were still experiencing the greatest losses. Roberts said in an interview that regional planners had predicted the demographic shift based on a lack of development of affordable housing construction.

“Single-family houses are out of reach for more than 40 percent of the population of Westchester,” he said. “Unless the free market in housing is restored, consumer choice will continue to be limited by local ‘police power’ acting against the free market.” Roberts said that land-use boards in Westchester’s elite communities have been unfriendly to residential developers and favored zoning that allows for large, expensive homes and hinders construction of multifamily and affordable dwellings. Fears of overcrowding small school districts or bringing new residents into elite neighborhoods, combined with ever-increasing property taxes have made home ownership an unattainable goal for many young adults, Roberts said. “It’s counter to American values of property rights that people should be able to do what the free market demands and not be thwarted by the desire of neighbors to preserve the status quo,” he said. Roberts authored a report in February using the 2011 data that cited a demographic collapse of 25- to 34-year-olds in Westchester and Long Island. Several communities listed in that report have seen their losses cut in the

newest data. Scarsdale cut its decline from 52 percent in 2011 to 42 percent in 2012. Rye, which had the largest exodus, 63 percent, in 2011, cut that number to 56 percent. Bronxville and Pound Ridge saw their losses increase, rising from 23 percent to 46 percent, and 58 percent to 63 percent, according to the report. Roberts said communities with lower-cost housing continue to have better results — Peekskill and White Plains saw 12 percent and 5 percent gains over 2000, according to the 2012 data. The administration of County Executive Rob Astorino, a Republican, has countered the perceived brain drain. Spokesman Ned McCormack said in a recent interview that the Census showed the county population growing overall, with a 57 percent increase in the 45-to-54 age group. McCormack attributed the shifts to changing habits of millennials, who he said tend to live in urban, walkable environments. Adults tend not to marry or have children as young as their counterparts of previous generations, and he said people are more likely to move to the suburbs in their 30s when they have children. Westchester’s

public school enrollment is up 2.5 percent in the period from 2000 to 2010, according to the county executive’s office. Roberts countered that the population of Westchester grew 2.9 percent, less than the national average of 9.8 percent growth since 2000. The county is in the midst of a contentious implementation of the settlement of a 2009 affordable housing lawsuit with the federal government. In that settlement, Westchester agreed to build or obtain 750 affordable housing units in some of its most elite — and racially diverse — communities. The majority of those units were required to be built in municipalities whose populations were less than 3 percent black and 7 percent Hispanic. Prior to the lawsuit, under the administration of County Executive Andrew O’Rourke, Westchester adopted a Housing Allocation Plan on the recommendations of a commission. That plan, adopted two decades ago, sought to build 5,000 units over 10 years with a portion allotted to each county community, but many of those communities did not produce their share of the units.

INBRIEF PEDIATRIC CENTER PLANS $22M EXPANSION

The Elizabeth Seton Pediatric Center plans a $22 million expansion project at its 2-yearold Yonkers nursing facility to accommodate an additional 32 ventilator-dependent children with medically complex conditions. The expansion is expected to create more than 100 jobs. An Elizabeth Seton spokesperson said the center will seek city approval of a three-story addition that will include 26,000 square feet of new space and 8,500 square feet of renovated space. Construction is expected to begin in February 2016 after zoning and financing approvals are secured. Elizabeth Seton officials said the addition will enable the center to serve a total of 50 ventilator-dependent children and 169 children in all. The John A. Coleman School at the Yonkers center will add two classrooms for the new residents. At the request of the state Department of Health, the Seton center created its long-

term ventilator care program at its former Manhattan location in 2006, the first in the state. The program started with four children and grew to 18 when the new 165,000-square-foot, 137-bed Seton center in Yonkers opened in 2012. “Before our groundbreaking long-term ventilator care program began, families of ventilator-dependent children faced the cruel dilemma of having to relocate their child out of state and far from their loved ones,” Patricia Tursi, CEO of Elizabeth Seton Pediatric Center, said in a press release. “We just couldn’t let that happen and we knew we needed to repatriate these children and reunite them with their families.”

CULINARY INSTITUTE TO OPEN CRAFT BREWERY

The Culinary Institute of America will enter the craft brewing business on its Hyde Park campus after Gov. Andrew M. Cuomo on Aug. 5 signed legislation allowing the school to manufacture and sell alcoholic beverages. Brooklyn Brewery has donated and will operate the small campus brewery in partnership with the institute. State officials said it is expected to open to the public in the summer of 2015.

Assemblywoman Didi Barrett, a Democrat from the mid-Hudson Valley who sponsored the brewery bill in the Assembly, in the governor’s press release said the culinary college’s partnership with an industry leader will allow the school “to develop a first-rate curriculum and enhance the Hudson Valley’s role as a leader in craft beverage production with its outstanding breweries, distilleries, cideries and wineries.” State Sen. Terry Gipson, a Democrat from Rhinebeck who sponsored the bill in the Senate, called the craft brewing program “a welcomed attraction to our tourism industry in the Hudson Valley. Most importantly, students will have the opportunity to experience this booming industry firsthand right here in Dutchess County.” Waldy Malouf, senior director of food and beverage operations at the Culinary Institute of America, said the jointly operated campus microbrewery “will teach students about fermentation, using grains in brewing, food pairings, as well as the management of a ‘brewpub’ hospitality operation. As a bonus, Hudson Valley residents and visitors will be able to sample the work of the students in all of our restaurants on campus.”

FRANK’S NURSERY AUCTION DATE SET

The town of Greenburgh will auction off Frank’s Nursery on Nov. 13, selling the foreclosed 7-acre vacant property at Dobbs Ferry Road after several years of controversy. The Greenburgh Town Board approved the auction day at its Aug. 5 meeting, after facing criticism from a local civic group for opening the auction to potential buyers that might ask to rezone the property. The town government initially approved a resolution saying it intended to sell the property only to a buyer that would maintain the property’s existing residential zoning, which also allows for assisted living facilities. Town Supervisor Paul Feiner, a Democrat, said the town rescinded that resolution on legal advisement, but members of the Edgemont Community Council said that move opened up the potential for large-scale retail development in the area. The auction will be handled by GA Keen Realty Advisors L.L.C., which will earn as much as 5 percent of the gross proceeds from the sale of the property. panies looking to buy the property. The town agreed in May 2013 to sell the land to Game On 365 L.L.C. for $1.7 million, with another $1.3 million to be paid over 13 years. The deal drew community opposition, with critics saying the phrasing of the deal didn’t properly ensure payment of the $1.3 million. Some residents said the town should have accepted an offer from Ardsley-based House of Sports, a competitor of Game On that had jumped in with a $3.5 million cash offer for the property “as is.” A month after announcing the deal with Game On, town officials offered the property to House of Sports instead, which led to each company threatening to sue the town if Greenburgh sold the property to its competitor. Feiner said he expected the starting bid for the property would be $3.5 million.

LEADERSHIP TRAINING SCHOLARSHIP OFFERED

The Westchester County Association is accepting applications for a full-tuition scholarship to be awarded a young professional pursuing a nonprofit agency’s leadership training program in the county. The WCA for the third year is offering

its Young Professionals Group Scholarship for Leadership Westchester, a nine-month curriculum designed to sharpen leadership abilities, strengthen communication skills and prepare young professionals for positions of influence, WCA officials said in a press release. Applications are due by Sept. 19 and should be sent to Joelle DiNardi at jdinardi@westchester.org. Leadership Westchester is a program of Volunteer New York!, formerly The Volunteer Center of United Way, that runs from October through June. Combining classroom discussions, collaborative fieldwork and selfstudy, the program gives participants an in-depth understanding of how nonprofits work and exposes them to leadership concepts taught at the nation’s top business schools, according to the press release. Classes number no more than 20 people, according to WCA officials, and include professionals from business, the public sector and nonprofit organizations. XYLEM GETS LOW-COST POWER FROM STATE

Xylem Inc., a global water technology company headquartered in Rye Brook, has been allocated 116 kilowatts of low-cost power through the state’s ReCharge NY program. New York Power Authority trustees recently approved a ninth round of allocations in the program created by Gov. Andrew Cuomo in 2011 to spur capital investments and new jobs statewide. A total of 11.8 megawatts of low-cost power will be distributed among 26 business operations and three nonprofit organizations making an estimated $270 million in capital investments. State officials said nearly 3,100 jobs, including more than than 300 new jobs, are

supported by this ReCharge NY round. Xylem last year relocated its headquarters operations from White Plains to 1 International Drive in the Reckson Executive Park in Rye Brook following its spinoff in October 2011 from ITT Corp. Federal regulators required the water systems technology and equipment provider to physically separate its operations from ITT headquarters at 1133 Westchester Ave. in White Plains. The company planned to invest $11.6 million in its new 67,145-square-foot facility, keeping 106 jobs in Westchester and pledging to add 15 positions here by 2016. Empire State Development, the state’s chief economic development agency, last year approved a $1 million capital grant for Xylem and $1.35 million in state tax credits through the Excelsior Jobs Program to support the company’s intracounty move. In the last two years, ReCharge NY has provided approximately 737 megawatts to more than 600 business operations and 71 nonprofits, according to state officials. Thomas Nappi, senior project manager for Hampshire, said the plans would have shored up the fiscal health of the club and generated new property taxes for the village and local public school district. “Unfortunately, the Village Board has allowed itself to be improperly influenced by a small group of club neighbors, who have threatened a protracted and expensive lawsuit if the board even considered our plans,” Nappi said. “It seems to us that the Village Board would rather destroy the club, lose valuable open space and risk millions of dollars in legal damages than allow minimal residential development.” The relationship between the village and the club has been strained since new owners purchased the 86-year-old club in 2010. Many expected residential development proposals from the new club owners, who bought the distressed property for $12.1 million. With rumors of condo devel-

tax credits in this fourth year of funding through the competitive regional economic development initiative launched by Gov. Andrew Cuomo in 2011. The councils are public-private partnerships administered by Empire State Development, the state’s chief economic development agency, which have developed strategic plans to spark economic growth in targeted industry sectors. The mid-Hudson region in the first three funding rounds was awarded a total of $219.4 million to spur 232 job-creating projects across an area that stretches from the southern Westchester border with New York City to Sullivan and Ulster counties in the Catskills. The projects endorsed this month for top consideration in Albany were among 111 priority project proposals received by the Mid-Hudson council. Although an unlikely scenario, funding awards to all 25 projects could generate more than $600 million in economic activity, create and retain more than 3,500 full-time jobs and employ about 3,700 construction workers, according to Empire State Development officials. In Yonkers, Sprayregen’s Rising Development Yonkers L.L.C. has proposed Exalta, a 550,000-square-foot luxury tower with approximately 400 residential units that would rise on a commercial block of properties acquired by Sprayregen several years ago adjacent to the city’s new Van Der Donck Park and riverwalk on the site of the former Larkin Plaza. opments in the air, the village and town of Mamaroneck combined to put in a $10.1 million bid on the property before ownership changed hands. Since then, residents opposing development have also accused the club of illegally hosting nonmember events on its premises. Hampshire representatives claim Mamaroneck has paid $6.25 million in costs in fines for other, unrelated court zoning decisions and spent more than $60,000 this year alone fighting the club on zoning issues. Hampshire sought to rezone several acres of its property to allow for the construction of 121 luxury condominiums under a plan that would have kept the 18-hole golf course in operation. That project would have built a 290,000-squarefoot condo cluster and 200-space underground garage expanding upon the existing 35,000-square-foot club house. The club would give up development rights for 100 acres of the property as part of the deal.

Development officials said the $168 million development would include nearly 110,000 square feet of parking and 34,000 square feet of ground-floor retail and restaurant space. The city of Yonkers in 2012 was awarded $2 million by the state for the first phase of another Rising Development project, a $22 million rehabilitation of five commercial properties on downtown Mill Street as residential and retail space. In tandem with the private developer’s project, the city that year also was awarded $921,425 to uncover a second segment of the Saw Mill River in the Mill Street area and create a new downtown public space. The city’s “daylighting” project to uncover stretches of the concrete-entombed Saw Mill River and so attract more private development and tourists downtown was given priority status again this year by the Mid-Hudson council. State officials said the third phase focuses on the development of a river-themed park near Getty Square along New Main Street from Ann Street to Nepperhan Avenue. The regional council also gave priority status to the city’s proposal to rehabilitate Ashburton Avenue with road, bridge and pedestrian walkway improvements. The street work is part of the city’s ongoing revitalization of the Ashburton Avenue neighborhood with private housing development partners. In Ossining, the council chose as a priority project the development and buildout of a 6,500-square-foot riverfront restaurant that is part of the $65 million Harbor Square resi-

That proposal was knocked down by the village at its Feb. 10 meeting, amid some opposition from members of the community who said the project would increase traffic in the surrounding coastal neighborhoods, add students to the public school district and come with environmental considerations in an area prone to flooding. The Mamaroneck Coastal Environmental Coalition, a civic group that formed in opposition to the proposal, criticized the club’s plan as well as a “Plan B,” which was to subdivide the golf course into 106 single-family homes sized between 6,000 and 7,000 square feet. That plan would not require any rezoning. “We believe the subdivision plan is designed to threaten the board and community so Hampshire can move ahead with the much more lucrative condo development,” Celia Felsher, the coalition’s president, told the board in February. “The board should not be taken in by the threat.” Instead of the single-family alternative,

though, Hampshire submitted a scaleddown condominium plan, which would have reduced the number of condo units to 97. The board of trustees did not look favorably on that plan either. The condominium plan could generate as much as $2 million per year, more than half of which would go to the Mamaroneck Union Free School District. The plan would maintain 125 jobs, according to the club, and the ownership would pay for maintenance of roadways, sewers and snow removal at the development, which would be called The Residences at Hampshire. Mamaroneck Mayor Norman Rosenblum said on Wednesday the village had not yet been served or seen the content of the complaint. hree Westchester County biotechnology companies announced secondquarter financial results last week, with Regeneron Pharmaceuticals Inc. and Acorda Therapeutics Inc. posting gains in earnings compared to last year’s second quarter. “Regeneron continued to make progress across all aspects of our business, delivering continued growth and another strong quarter,” said Leonard S. Schleifer, company president and CEO, in a press release. “In the last two months alone, we received approval for an additional indication for Eylea in diabetic macular edema and reported positive clinical results from our late-stage portfolio with alirocumab in hypercholesterolemia, dupilumab in atopic dermatitis and sarilumab in rheumatoid arthritis.” The Greenburgh-based company reported net income in accordance with generally accepted accounting principles of $93 million, or 92 cents per basic share and 82 cents per diluted share, in the second quarter, compared to GAAP net income of $87 million, or 89 cents per basic share and 79 cents per diluted share, in the second quarter of 2013. Eylea, used to treat macular degeneration in adults, had total net product sales in

the U.S. of $415 million in the second quarter, compared to $330 million in the second quarter of 2013, the company announced. As of June 30, Regeneron’s cash and marketable securities totaled $1.37 billion, compared to $1.08 billion on Dec. 31, according to the company. Acorda Therapeutics reported revenues of $97,129,000 against expenses of $86,150,000 in the second quarter, and total revenues of $177,648,000 for the first six months of 2014. Based in Ardsley, Acorda markets Ampyra, which is used to treat patients with multiple sclerosis, and Zanaflex, a muscle relaxant. “Ampyra sales in the second quarter were strong and we are reiterating our net sales guidance for the year,” said Ron Cohen, president and CEO of Acorda, in a company press release. “With six clinical-stage compounds currently in our pipeline, we are creating a diversified portfolio that addresses significant unmet medical needs and drives shareholder value. Our balance sheet puts us in a more competitive position to add new assets to our pipeline, and we are focusing on opportunities that have the potential to be accretive in the near and intermediate term.” The company reported GAAP net income

of $4.7 million for the quarter ended June 30, or 11 cents per diluted share. GAAP net income in the same quarter of 2013 was $3.9 million, or 9 cents per diluted share. Progenics Pharmaceuticals Inc. posted a loss for the second quarter of $11.1 million, or 17 cents diluted per share, compared to net loss of $12.3 million, or 24 cents per diluted share in the second quarter of 2013. The company also posted a net loss for the first six months of the year of $20.4 million, or 31 cents per diluted share, compared to $23.5

Ossining tries a two-way street to prosperity BY JOHN GOLDEN jgolden@westfairinc.com “The problem with the traffic is they’re driving muy rapido,” business owner Digna Vicente observed while cutting a customer’s hair on a recent weekday afternoon at Margot Salon in downtown Ossining. She was referring to the vehicles passing her shop on Spring Street, where village officials this month began a six-month pilot project that has opened a formerly one-way stretch of the commercial street to twoway traffic. The change has forced Ossining residents to break a long-accustomed habit when navigating Spring Street, which for more than 50 years has been limited to oneway traffic in the two blocks from St. Paul’s Place to its intersection with downtown Main Street and the heart of the city’s business district. Ingrid Richards, Ossining’s manager of downtown and economic development, said the village reopened the street to two-way traffic “to increase the visibility of the Spring Street businesses through proper traffic circulation.” She said the change was especially designed to make it easier for visitors driving through downtown, where turns off Main

Street onto Spring Street have been prohibited. A little more than one week into the traffic experiment, “We haven’t had much feedback yet,” Richards said. “It seems to be working well and people are using it.” She said the pilot project will be reviewed by village officials in about six months to determine whether the new traffic alignment should be permanent. The project, for which the village retained Nelson\Nygaard Consulting Associates, a San Francisco-based transportation planning firm, as technical consultant, is part of a comprehensive economic development strategy to revitalize a downtown that, like many other village Main Streets in the U.S., has seen a decades-long decline in numbers of shoppers and businesses. As in other Westchester communities, officials in Ossining want to attract new restaurants and retail stores and other commercial tenants by developing more downtown residential units like the Stagg Group’s newly built fivestory, 31-unit apartment building at 147-155 Main St. Called the “We Can Do It” site, it had been a vacant lot used for parking since a fire destroyed the property more than 15 years ago.

Nearby, at 33-35 Spring St., village planners have approved a two-story, 15-apartment addition to a two-story building, the former site of The Village Tavern, being redeveloped as an independent corner grocery store. Ossining business owners said the grocery could benefit from having the street outside its door reopened to two-way traffic. “People are still getting used to it,” said an employee at Miller’s Cleaners at 38 Spring St. in the pilot project zone. “They’re driving the wrong way, on the wrong side of the street.” “I’ve seen the village change,” said Philip Gioio, a 77-year-old Ossining apartment building landlord who, while banking on Spring Street, stopped to point out the narrowness of the new two-way stretch and the fast speeds at which cars travel it. “Things have to change. But it worked so well oneway for so long,” he said. “When I grew up in the ’40s and ’50s,” said Gioio, “people came from White Plains to Ossining to shop. … You don’t need another apartment building here (downtown). You need an anchor” business. “You’re so used to something,” said Ed Klotz, the owner of 23-25 Spring St, which includes Margot Salon and several business offices. “People get accustomed. It’s going to

take time for it to work.” Klotz said a pedestrian crosswalk is needed on Spring Street, where senior citizens living downtown frequently cross to the village post office. “You want people to come down here, you want prosperity here, you’ve got to give them a place to park,” said Klotz. Gioio and the owner of a dry cleaning business on Spring Street agreed that lack of parking space is a major problem even without more residents and new housing development downtown. “If it works, it works,” Klotz said of the village’s economic revival strategy. “I just don’t want to see it become another Tarrytown here, where you can’t find parking at all.”

Making major purchases requires excellent timing

Each year we need new equipment. There’s never enough cash in the bank. The loan payments are tough to handle. And we have to go to a third party for financing because our bank doesn’t want to deal with us. What do we do?

THOUGHTS OF THE DAY: Timing purchases of major equipment is crucial. Don’t assume you have to buy everything. Fitting expenses into a budget can help predict what you can and can’t afford. There are tricks to tying together a profit and loss statement (P&L) and the balance sheet so you can see what’s really going on. Make sure your equipment is used as productively as it should be. Most owners like to plan for the busy season, getting all their ducks in the row so they can handle the increased workload when it hits. Unfortunately ramp-up time is also cash-drain time. Payments for preorders of equipment and materials plus salaries for field employees who are just starting back to work combine with a slow start to invoicing and a waiting period to get paid. When you have lots of expenses and very little money coming in is the wrong time to bring on additional payments. Use a budget to plan out costs. Figure out what you can really afford and when. Estimate repair costs and downtime for repairs on existing equipment. Compare that with new equipment loans. Factor in time and expenses for tuning and adjusting the new equipment. Avoid pre-buying materials, equipment and personnel just to “get ready.” Delay purchases as long as possible. Plan things out to maximize cash flow. Build into the budget cash set-asides for next year’s purchases. When it’s time to replace old equipment with something new, make a plan to sell off used equipment at the height of the season. That’s when buyers are most likely to pay a premium to fill in holes in their equipment roster. It may be cheaper to rent some equipment for a short season, especially when you’re not sure how much you’ll use it or how long you’ll need it. Total of one to two months of high rental cost can be less than 12 months of payments on equipment you don’t need in the future. If down payments are a problem, try leasing. Keep cash in the bank by avoiding a down payment. And the lease payment only shows up as an expense on your P&L — which means you don’t add to liabilities on your balance sheet.

Look to have equipment leases and purchase payment plans begin during the busy season, with equipment arriving on a just-intime basis for the really busy periods. That may mean a little more disruption swapping equipment in and out at the height of the season. Figure out how to handle the disruption while benefitting from new equipment immediately going into use and earning its keep. Tax planning can get in the way of seeing TWB what’s going on with cash. When looking at the P&L remember that interest is

not the full amount due on a loan. Know the difference between accelerated depreciation and the amount of depreciation that matches the principal you’ll be paying down each year. Get help if you’re not sure. Finally, ask yourself some critical questions. Do I really need that new equipment? Will it make my crews that much more productive — enough to pay for itself? Can I run a second shift with the old equipment? Will a good refurbishing program in the slow season get an extra year of life out of equipment I already own? What happens if the season is slower than expected? Most equipment can’t be returned for a full refund. Delay delivery on new stuff until you’re sure things will

pick up. It may be cheaper to pay a penalty and cancel an order than to have to make monthly payments on something you don’t need. Be smart about what you spend and when. T

he Westchester County Board of Legislators isn’t waiting for an outside consultant’s report before reigniting the debate over hiring an outside company to manage county-owned Playland Park in Rye. Two months ago, a deal fell apart that would have handed over day-to-day operations of the park to nonprofit Sustainable Playland Inc., which was chosen in 2012 by County Executive Rob Astorino out of several companies that bid to “reimagine” Playland. When SPI and Astorino cut ties, the county executive announced the hiring of consultant Dan Biederman to analyze the business operations of the park and offer recommendations this fall. The commissioning of a report meant that Astorino, a Republican who is running for governor in November, would not float a new management deal until after the election. He said he was still committed to the goal of turning Playland, a 280-acre seasonal park, into a year-round destination. “The math is simple,” he said. “More days and more activities mean more dollars to defray costs to taxpayers and invest in preserving the traditions of Playland.” The administration has said Playland is facing declining attendance, deteriorating art deco infrastructure and yearly operating losses. Astorino’s office said Playland lost $4.3 million in 2013. County lawmakers are now looking to meet Sept. 4 with the two runners-up to SPI, with the potential of a new deal signed in time for the 2015 Playland season. Those runners-up are Central Amusements Inc. and Standard Amusements L.L.C., both of which have amusement park experience. The meeting means legislators and the company will meet before Biederman’s report is finalized. Deirdre Curran, a Port Chester resident and member of the anti-SPI group Save Playland, said the group was moving forward with an “open mind and optimistic attitude.” SPI was formed by a group of Rye residents for the sole purpose of taking over management of the park and the opposition questioned its level of experience and access to the needed capital. SPI’s plan to build a year-round, 82,500-square-foot field became a rallying cry for Save Playland’s members. Curran said the group had always maintained the runners-up were preferable due to their experience, access to capital and commitment to the amusement park function of the park. “They both endeavor to bring the park back to success without any permanent behemoth construction projects such as

SPI’s now-defunct Field Zone,” she said. “So if the county has indeed reached the point that they no longer feel it’s practicable for the county to run the park itself, we would welcome a good management contract if that’s what will help Playland.” Legislator Ken Jenkins, a Yonkers Democrat and rival of the county executive, has proposed skipping the review process altogether and signing a joint lease with Central and Standard. Jenkins had previ-

ously sued the county executive and looked to void the management deal with SPI. He withdrew that suit early this month after SPI backed out of the management deal officially in July. As the county takes up the process again, on the horizon may be a continued standoff with the city of Rye government. Although Playland is county owned, the city in a strongly worded letter from an environmental attorney, asserted its authority

over any proposed construction at the park. The city said it, not the county, should be lead agency under the State Environmental Quality Review Act, known as SEQRA. City Mayor Joe Sack, a Republican, was asked by the Business Journal about Rye’s involvement in the process moving forward. “I would withhold comment on any proposals at this time,” he said. “However, the city will as necessary continue to assert its rights under SEQRA.”

INBRIEF POLL: MOST VOTERS UNAWARE OF CUOMO ETHICS SCANDAL

Republican Rob Astorino is chipping away at Gov. Andrew Cuomo’s lead in the polls, but Astorino still trails the incumbent by 32 points, according to the latest poll of likely voters by Siena College. Astorino, the Westchester County executive, fared better than he did in polls a few weeks ago, narrowing his deficit by 5 percentage points. Cuomo, a Democrat, is embroiled in a controversy that Astorino’s campaign has called “Cuomogate,” in which the governor and his aides reportedly interfered in the investigations of an anti-corruption panel that Cuomo later prematurely disbanded as part of a deal with legislators. U.S. Attorney Preet Bharara is looking into activities around the commission, according to reports. The Siena poll showed that although voters see corruption as a problem in state government, nearly two-thirds were unaware of the scandal regarding the anticorruption panel, called the Moreland Commission. “Albany insiders and political junkies are certainly talking lots about Moreland, Bharara, investigations and the like, but most New York voters are spending their summer not following any of that news,” Steven Greenberg, Siena College pollster, said in a statement. Corruption was not listed as one of the top concerns of potential voters in November’s gubernatorial election, with 17 percent identifying it as the top issue. Jobs, taxes and education were said to be the top campaign issue for 28 percent, 21 percent and 20 percent of those polled, respectively. The poll said that among those familiar with the Moreland controversy, Cuomo led 49 percent to 41 percent, but among those who were not familiar with the panel, Cuomo’s lead was 62 percent to 19 percent.

MAN SENTENCED FOR SENDING THREATENING EMAIL

A Westchester County man who dealt in eyewear was seeing red when he sent his

business partners an email that earned him 12 months in federal prison. Roger Eichenholtz, of Yorktown Heights, was sentenced on Aug. 8 to 12 months in prison for making threats over the Internet. He pleaded guilty April 28 to sending threatening communications through interstate commerce. Eichenholtz lost an intellectual property lawsuit over his eyewear business in 2013. After the civil litigation, in which he represented himself, Eichenholtz repeatedly harassed his opponents via email, according to an FBI press release. On Sept. 24, 2013, Eichenholtz sent another email threatening civil and criminal litigation. He concluded the email by saying “PLAN B — if for some unforeseen miracle, you escape justice, I have access to a ‘Side Bolt 45.cal (sic) with six silver bullets that have your name on them.’” In addition to the prison term, U.S. District Court Judge Paul S. Diamond ordered three years of supervised release, a $100 special assessment and that the defendant be taken into immediate custody.

INBRIEF BACH TO ROCK SCHOOL COMING TO MAMARONECK

Bach to Rock, a franchised music school that has programs for students of all ages, will open a location in Mamaroneck in September. The school is owned by current B2R franchise group Amplified Capital Partners Holdings L.L.C., which opened its first Bach to Rock location in Port Washington, Nassau County, in 2012. Amplified Capital Partners Holdings was founded by entrepreneurs Glenn Fleischman and Alan Goodstadt to develop a chain of Bach to Rock schools in the New York metropolitan area and beyond. At 130 Mamaroneck Ave., the Mamaroneck school is the chain’s first location in Westchester County. “As our first franchisees, Glenn and Alan have demonstrated a strong commitment to music education and the long-term success of Bach to Rock,” said Brian Gross, president of Bach to Rock, in a company press release. “We’re confident that they will continue to meet the growing demand for personalized and fun music instruction

as schools continue to cut budgets for art programs and parents and students seek alternative ways to fill that missing piece in their education.” Bach to Rock’s school in Mamaroneck, and another new school in Syosset, Nassau County, will offer programs for children and adults, including individual lessons, group classes and early-childhood programs for children as young as 6 months old.

STANLEY BLACK & DECKER POSTPONES BREWSTER LAYOFFS

Stanley Black & Decker Inc. has postponed planned layoffs from its facility in Brewster. According to a notice posted on the New York state Department of Labor’s website, Stanley Black & Decker’s Powers business, on Powers Lane, was planning to lay off 35 of 150 employees beginning in August. Those layoffs have now been postponed until 2015. The business unit, which manufactures concrete and masonry anchors and fastening systems, markets its products under the name Powers Fasteners. Founded in 1921, Powers Fasteners was acquired by Stanley Black & Decker in 2012. The notice was filed as required by the Worker Adjustment and Retraining Notification Act. Produced by Identity Films, an 8-yearold independent production company founded by a former Wall Street trader, and financed by outside investors, the movie cost $5 million to $6 million to make, John said. It was filmed in 2012 in Connecticut at locations in Greenwich, New Canaan and Milford; hospital scenes were shot at The Nathaniel Witherell nursing home in Greenwich. Hurricane Sandy played an unbidden role, halting filming in Fairfield County for two weeks. “I was on the set every day; John was there quite often,” said Brenda. The Fareris and their children had cameo appearances in some crowd scenes. None of them, though, were on the set when Maria’s character, played by Olivia SteeleFalconer, was taken off life support as her parents stood by helplessly. It is still all too real and emotionally raw for the Fareris. “The movie kind of helped me anes-

thetizing,” John said. “When you see it over and over, it kind of anesthetizes you. “Grief affects people in all different ways. You never learn about grief in school. They stay away from that.” “I don’t say anything about how people handle grief any more. It’s very personal,” he said. As if to demonstrate, he pulled from his pocket a cigar cutter, a gift from Maria. The developer carries it with him every day. “I think when your child dies, you try to give that child some purpose,” he said. “It’s because of Maria that Children’s Hospital is there. It may be indirect, but if she didn’t live, if she wasn’t born, that children’s hospital wouldn’t be there. I know it’s helped a lot of people and will continue to help people in the future.” Brenda had seen in David Duchovny’s performance a spot-on likeness of her husband. And what of Hope Davis’s portrayal of Brenda? “I don’t know if it was me,” she said. “I know what wasn’t me — like throwing the dishes.” As their marriage and family founder with John’s silence and withdrawal, Brenda’s character at last erupts in tearful, dish-shattering anger that marks a turning point in the film. “She doesn’t throw plates,” her husband said. He bowed his head and smiled like a man of few words.

resident Barack Obama pointed a finger at the accounting industry for the rise in widely criticized corporate inversions, but the president of the New York State Society of Certified Public Accountants said he thinks the chief executive should look to those in his former professions — law and lawmaking — before laying blame. Corporate inversions are transactions in which an American company reincorporates overseas to escape paying corporate taxes to the federal government. They are legal, codified in the federal tax code, and drawing attention recently as more companies seek to ship their headquarters overseas to increase profits for shareholders. In a press conference Aug. 6 following the U.S.-Africa Leaders Summit, responding to a question from Bloomberg’s Margaret Talev, Obama said, “You have accountants going to some big corporations — multinational corporations but that are clearly U.S.-based and have the bulk of their operations in the United States — and these accountants are saying, you know what, we found a great loophole — if you just flip your citizenship to another country, even though it’s just a paper transaction, we think we can get you out of paying a whole bunch of taxes. Well, it’s not fair. It’s not right.” Firing back in a press release, Scott Adair, president of the state CPA society said, “I believe President Obama should be aware that U.S. corporations hire accountants for their distinct ability and expertise in seeing that clients fulfill their tax obligations as required by the laws adopted by Congress. In fact, it is a CPAs’ unique ability to legally navigate an extraordinarily complex tax code that makes CPAs’ services so valuable to their individual and corporate clients.” Corporations ranging from fruit giant Chiquita to pharmaceutical firms Mylan and AbbVie and pharmacy chain Walgreen

Co. have recently sought to increase profits by inverting. Walgreen Co. later decided against inverting through a merger with European drugstore chain Alliance Boots after facing backlash from investors and shareholders. “Foreign corporations are still subject to taxes on earnings derived from U.S. sources,” explained Philip G. Cohen, a professor of legal studies and taxation at Pace University’s Lubin School of Business and a retired vice president of tax and general tax counsel for Unilever United States Inc. Those same corporations, however, cannot be taxed on foreign earnings, and therein lies the benefit in an inversion transaction — corporations that do a large portion of business overseas reduce their tax bills by making sizable portions of their income untouchable by the Internal

Revenue Service. Federal tax laws comprise more than 73,000 pages, according to legal publisher Wolters Kluwer, nearly triple the amount in 1984. But the short section dealing with corporate inversions runs just over 1,500 words. That section, titled “rules related to expatriated entities and their foreign parents,” creates a loophole that enables corporations to avoid paying corporate taxes by merging with a foreign corporation as long as ownership of more than 20 percent of the corporation resulting from the merger remains overseas. Legislation has been introduced in the Senate to close the loophole. Sen. Carl Levin, a Democrat from Michigan, and 13 of his colleagues introduced the Stop Corporate Inversions Act of 2014 in May. “These transactions are about avoid-

ance, plain and simple,” Levin said in a statement announcing the bill’s introduction. The bill would require more than half of the ownership of a post-merger corporation to be held overseas to gain the same tax avoidance benefits currently available to companies that have more than 20 percent of their shares held abroad. Levin, in a floor statement to the Senate on May 20, said the legislation is necessary “because we simply cannot wait. Multinationals are exploiting this loophole today. Meanwhile, hard-working American taxpayers and small business owners, and even large corporations that have to compete with the tax avoiders but believe that inversion is wrong for their companies and for America, see their tax burden rise while our national debt grows.” Adair said the president should blame Congress “for creating the very loopholes he vilifies.” “Sustainable corporate tax reform is the elephant in this room,” Adair said in the state CPA society press release. “President Obama’s goals would be best served by looking to his fellow lawmakers if he wants a solution to this problem. The accounting profession stands ready to help.” Cohen, the Pace business professor and retired tax attorney, said he agrees with Adair. “It’s not the accountants’ fault; it’s Congress’ fault for not doing anything,” Cohen told the Business Journal. “Accountants and tax attorneys are paid to undertake legitimate tax planning — it’s Congress job to curtail abuses and close loopholes.” Corporate officers and directors have a fiduciary duty to shareholders to increase profits, and one easy way to do that is to lower a corporation’s tax liabilities, Cohen said. He noted that if the loophole remained open, a snowball effect could take place, where more and more corporations invert, increasingly reducing government revenue from corporate taxes. “I don’t fault business leaders for that,” he said.

aybe people were tryin’ to put them down. Maybe it was their g-ggeneration. Niles Citrin and Joel Cooperman in 1979 were still in their 20s when they founded their accounting-advisory firm Citrin Cooperman and, as related by Managing Partner Mark Fagan recently, business was slow. In perhaps the unlikeliest financial pairing in history, rockers The Who — whose members knew Cooperman from an earlier accounting gig —offered an advance on professional fees to help the fledgling firm. Thirty-five years and 35 mergers later, Fagan, 52, who runs Citrin Cooperman’s Connecticut office in Norwalk, said that when the firm’s working relationship with Moore Stephens International and its network of accounting firms is factored, Citrin Cooperman now is the 10th-largest accounting-advisory firm in the world. Its projected revenue across its six offices for 2014 is $160 million. But Fagan, 52, begins his days with workouts and maintains his high-school, threesport physique, and the firm still lists The Who as clients. He took his 18-year-old daughter to a Who show, her first concert. “I’m a big fan dating to college,” Fagan said, seated recently in his North Avenue, Norwalk, office, which dates to 2010 and where 25 people work. The company’s White Plains office, which Fagan formerly codirected with Alan Badey, employs 80. Because Cooperman and Citrin at their company’s birth were considered young, Fagan related, they set out on a strategic course to correct that perception. “They found business owners weren’t paying attention to them because of their youth,” he said. “So they hired some experience. But it was more than hiring white hair; they wanted to expand expertise and rev up business.” The still-young company based its hiring on two factors that continue to underpin its ongoing acquisition process: focused knowledge and a non-negotiable get-on-boardwith-our-culture dictate. Said Fagan, “The most important factor in a prospective merger is whether they can adapt to our culture.” Besides the basic drive to benefit clients and maximize wealth, the Citrin Cooperman culture is deeply and creatively rooted in public service. “Jeans on Friday” is common among businesses; the twist at Citrin Cooperman is that wearing jeans Fridays costs the employee $5, which is matched

for a charitable fund by the company. Every June, the computers go silent as the firm engages in a complete day of out-of-office service. Fagan said most of Citrin Cooperman’s 35 mergers have been in the last 15 years, including one completed July 1. One might expect exactitude of an accounting firm’s vetting process, and Citrin Cooperman’s efforts hark to the patience of a bygone era: nine months minimum, 10 months for this merger, three years for some, four years for others. “We want to make absolutely sure they match our culture,” Fagan said. Merged companies, when all the documents are signed, begin using Citrin Cooperman stationery and work as Citrin Cooperman. Fagan is what is termed a lateral partner. He came from another firm in 2003 but that firm was not acquired by Citrin Cooperman. The company’s expertise spans 21 broad industry groupings that run alphabetically from apparel to women entrepreneurs and leaders. Fagan cited construction as an example of a need finding a match, with a firm with a construction bent now acting as Citrin Cooperman and attracting 50 percent more business in that sector. “We seek tremendous expertise,” he said. “That makes us different than if we had grown internally.” It also makes the firm what he termed “a consultative practice,” answering questions for businesses in its catchment zone of a $5 million to $75 million annual company revenue stream. “If you own such a company, you may not have a CFO or other consultants in-house,” Fagan said. “But you want to send your kids to college. You want to live the life you want to live, buy a second home. We help you do that by advocating on behalf of your business and by making your business as profitable and as efficient as it can be. “Every accounting firm can do the basics — audits and statements,” Fagan said. “We look to better the business owner’s quality of life.”

Steps to a stress-free workers’ compensation audit

A

s a business owner, any time you hear the word “audit,” it’s likely to push your stress level up a notch. Whether it’s the IRS, an insurance auditor or some other agency poking through your records, an audit can be a nerve-racking and inconvenient experience for your company. But when it comes time for a workers’ compensation audit, there’s no need to panic or dread the experience. With a little preparation and common sense, you can help the process go smoothly — and potentially save your business a lot of money. When you’re facing your next workers’ compensation audit, here are seven steps to ensure a productive and less stressful experience: 1. Understand the “why” of audits. Your workers’ compensation premiums are initially based on the insurance company’s estimate of your exposures and payroll. At the end of the policy period, the company needs to conduct an audit to determine if the payroll and class codes quoted at policy inception accurately reflect the payroll and

scope of work during the policy period. Yes, the auditor works for the insurance company and is primarily looking for premiumproducing exposure. But many companies have overpaid by thousands of dollars due to classification and other errors, so an audit provides an opportunity to make sure the records are straight and you’re getting a fair deal on your premiums. 2. Gather all records and paperwork requested by the auditor, and make sure everything is thorough, in order, and readily available. Records you may be asked to provide include: • Employee records, • Payroll records, • Cash disbursements, • Certificates of Insurance and • Detailed description of your business operations. 3. Review prior audits. Your insurance company calculates your workers’ compensation premiums based on the total number of hours worked by all employees and the categories the employees fall under, such

as clerical worker or construction worker. Knowing how your employees have been categorized in the past can help you make sure they’re categorized correctly in future audits. 4. Double-check the categorization for employees of subcontractors. This is one of those situations in which many small businesses have been overcharged by thousands of dollars in a single year because of an error. If your subcontractors carry their own workers’ compensation insurance, you aren’t responsible for paying premiums for them. If they don’t, you could be responsible for the exposure under your policy. 5. Make sure overtime pay is noted individually for each employee. Your workers’ compensation premiums aren’t calculated at a full overtime pay rate. The formula for overtime insurance premiums varies from state to state, and in most states the auditor will break out overtime pay and discount it to straight time. This is another situation that can cost you unnecessarily if your records aren’t accurate.

6. Provide the auditor only those records they request; don’t volunteer more information than they ask for. This will help keep the audit focused and moving along, and avoid opening a can of worms that isn’t relevant to the audit. 7. Ask the auditor for the worksheet when the audit session is done and have your insurance agent review it for accuracy. If you believe there are errors, you have the legal right to ask for a corrected audit. Spending some time preparing for your next workers’ compensation audit is a worthwhile investment. With workers’ compensation being one of your biggest expenses, the last thing you need is to be paying more than necessary for premiums because of a small error. NEWSMAKERS [PLUS AWARDS AND EVENTS] AMERICAN HEART ASSOCIATION APPOINTS GEWITZ THE FOUNDERS AFFILIATE OF THE AMERICAN HEART ASSOCIATION recently appointed MICHAEL H. GEWITZ, to its eight-state affiliate board of directors for a two-year term. Gewitz is physician-in-chief and chief of pediatric cardiology at Maria Fareri Children’s Hospital at Westchester Medical Center. He is also professor and vice chairman of pediatrics for New York Medical College and vice president of Children’s and Women’s Physicians of Westchester L.L.P. “Through his continued support of our efforts, including the National American Heart Association’s pediatric cardiology committees and local support in our Westchester region, Dr. Gewitz has demonstrated his commitment to improving the lives of people in his community,” said Michael Weamer, AHA Founders Affiliate executive vice president. “Now, as a member of our board, he will leverage his expertise to help make a significant impact on heart health and wellness across our eight-

state region.” American Health magazine named Gewitz one of the “Best Doctors in America” and he has been included in every issue of the “America’s Best Doctors” publications, as well as New York magazine’s “Best Doctors in New York.” He was also a driving force behind the campaign to build the Maria Fareri Children’s Hospital at Westchester Medical Center. Gewitz is past chairman of the executive committee of the American Heart Association’s Council of Cardiovascular Disease in the Young and past chairman of its committee on rheumatic fever, endocarditis and Kawasaki disease. Prior to coming to Westchester in 1983, he was the founding director of the echocardiography program at the University of Pennsylvania’s Children’s Hospital of Philadelphia, which followed completion of pediatric residencies at the hospital and at the Hospital for Sick Children in
