brownfield cleanup site near the village of Ardsley, where a Texas development company last year withdrew plans to build an apartment complex after hearing strong opposition from residents and elected officials, has a new owner. Environmental Liability Transfer, a St. Louis-based environmental liability assumption firm, in May paid $1.85 million to acquire the 11-acre site from Akzo Nobel, the Dutch company that formerly operated a chemical plant on property straddling the Saw Mill River Parkway. Part of the former Akzo Nobel site, west of the parkway in Dobbs Ferry, has been redeveloped as the Chauncey Square shopping center and, more recently, the Rivertowns Square retail, entertainment and residential complex. The St. Louis buyer plans to complete the environmental restoration of the contaminated site and facilitate its redevelopment, said John Kowalik, Environmental Liability Transfer’s marketing and public relations director. The company acquires properties seen as environmental liabilities to their corporate owners, facilitates their cleanup and prepares them for resale. Its services are used in a variety of scenarios, including acquisitions, mergers and bankruptcies.

On wage inequality and economic mobility Editor’s note: The following remarks were delivered at an Aug. 10 press briefing on the region’s economy at the Federal Reserve Bank of New York, where Dudley has served as president and CEO since 2009.
T
oday’s briefing will focus on labor market inequality, including wage inequality in our region. Currently, we see comparatively high levels of inequality in the labor market in terms of differences in the wages workers earn. This situation has been in the making for several decades. Since the early 1980s, wages have increased more rapidly for workers toward the top of the income distribution than for the median worker, and much more rapidly than for workers toward the bottom of the distribution. Further, this increase in inequality can be seen throughout the entire distribution of wages.
TECHNOLOGY AND GLOBALIZATION
In my view, two main factors are responsible for this pattern of differential wage growth and the resulting increase in wage inequality. First, advances in technology have dramatically changed the nature of work, increasing the skill requirements for many jobs while displacing others. Second, the pace of globalization has accelerated in recent decades, with increased cross-border trade, investment, immigration and the emergence of global supply chains. Together, these economic forces have contributed to significant job losses in certain sectors, most notably manufacturing. The resulting decline in demand for middle- and lower-skilled workers has resulted in fewer jobs and has depressed wages for many in those industries. Other less important factors behind the rise in inequality include the decline in privatesector labor unions and the falling real value of the minimum wage. At the same time, technological change and globalization have created jobs in areas such as engineering and software development. Demand has been particularly high for knowledge workers, resulting in strong wage growth in certain sectors. Monetary policy can help support economic growth, but it is much less powerful in addressing the structural factors that underpin inequality in the labor market. That said, understanding the causes and consequences of economic inequality is important to the Fed. We are working hard at producing research, information, data and analysis so that we can better understand inequality and participate in an informed debate on how to best address it. One significant initiative within the

Federal Reserve System is the creation of the Opportunity and Inclusive Growth Institute at the Minneapolis Fed. The Institute conducts research to measure, analyze and make recommendations to improve the economic well-being of all Americans, with a particular focus on structural barriers that limit full participation in economic opportunity and advancement.
LAGGING ECONOMIC MOBILITY
In a free — market economy, some wage inequality is inevitable given variability in individuals’ endowments, skill sets and education levels. These attributes influence the demand for their services and the wages they are paid. We don’t expect those just starting out to have the skills of more experienced workers. But the access and opportunity needed to attain the attributes associated with higher wages may not be uniform — and that is concerning. Inequality reflects impediments to people reaching their potential. These include limits on access to education, credit, transportation and housing. Such impediments may discourage workers from investing in themselves and may lead some to drop out of the labor force. We should all work to ensure that people have opportunities to develop their skills, build human capital and improve their job prospects. To me, inequality is especially problematic when it reflects and reinforces barriers to economic mobility. Too many parents are increasingly pessimistic about their children’s economic future. According to a recent Pew Research Center survey, only 37 percent of American parents think their children will be better off financially than they are. This is a deeply troubling finding. I believe that income inequality is generally less problematic when it does not impede economic mobility and when economic mobility is high. While the “rags to riches” story has been a popular theme in U.S. history, income mobility in the U.S. is now notably lower than in many other advanced economies. Unfortunately, substantial differences in economic mobility exist within the U.S. Important research by Raj Chetty and his co-authors suggests that upward mobility strongly depends on where one grew up. That is, places themselves seem to have a measurable effect on economic outcomes for children as they reach adulthood. In particular, this research indicates that higher upward mobility is associated with areas that are less residentially segregated by race or income and that have higher-quality schools, stronger social networks, greater community involvement and stable family structures. Significantly, they find that places with greater upward economic mobility tend
to have lower income inequality. This evidence suggests that there is a fundamental inequality of opportunity for advancement that is tied to where people live. Reducing inequality of opportunity is something we should all work toward.
DIRECTIONS FOR POLICY
So, what are some specific ways policy can address inequality and improve economic mobility? While this is a difficult and complex set of issues with no easy answers, I do have a few thoughts. First and foremost, we can improve the quality of education for our most vulnerable citizens. Children who attend better schools and attain higher levels of education have more favorable long-term outcomes, including better job prospects and higher earnings. There are large disparities in the quality of education a student receives, which are highly correlated with where that student lives. We need to look for ways to provide higher-quality education regardless of where people live. Reducing the role of local property taxes in school financing to better equalize school quality across locations is one example. In addition, education’s benefits start very early in life and are cumulative. While we need to further strengthen primary and secondary education, there is convincing evidence that educational investments in early childhood have especially high rates of return in terms of lifetime earnings and are associated with many other positive outcomes. Workforce development is another key policy area that can improve economic mobility and reduce inequality. Because of the swift pace of economic change driven by advances in technology and globalization, we ought to step up efforts to help workers build the skills necessary to adapt to change. This means providing these types of services at the local level. These efforts should include innovative workforce development programs, coursework and certifications in key skills that are in demand, and fostering partnerships between higher education institutions and local employers. Here, I would point to Monroe Community College in Rochester as a model of successful collaboration with employers to create job-training programs that align with current employment opportunities. The issues of economic inequality and income mobility are among the most important that we face as a nation and as a region. These issues are particularly relevant for our region because the Second District is home to some of the highest and lowest levels of wage inequality in the country.

A
Boston-based comic shop has opened its doors at The Westchester mall in White Plains. Newbury Comics is more than just a comic book store. Yes, there are shelves stocked with the adventures of Batman, Spiderman and the like, but that’s just scratching the surface of this new 5,000-square-foot wonderland of popular culture. Graphic T-shirts printed with Star Wars characters or David Bowie’s face line the walls of the novelty store. Pokemon, The Legend of Zelda and Harry Potter memorabilia each take up residence on separate tables, offering bobble heads, pillows and stuffed animals. Music lovers will be pleased to find vinyl records, with everything from The Beatles to Outkast. The comic shop, which opened in August, traces its roots to a small storefront on downtown Boston’s eclectic Newbury Street. The store at 268 Newbury St. was founded by Massachusetts Institute of Technology students John Brusger and Mike Dreese in 1978. Initially, the shop sole-

ly supplied an array of comic books, though it soon expanded to offer music, clothing and other pop culture items. “The key to us remaining competitive has always been driven by a respect for independent ideas and alternative forms of expression,” said company co-founder and CEO Dreese. “We embrace all artistic ideas and let our customers decide what they like.” To maintain its success over the years, Newbury Comics relies on a system of trial and error, experimenting with new items and scrapping any existing products customers
do not react well to, said Duncan Browne, the company's COO. “Newbury Comics has always been very responsive to our customers' tastes and interests,” he said. “We have a long history of anticipating, responding to and evolving with our customers' interests.” Browne credits this close relationship with the customer for the comic shop’s longevity. “Listening to them, finding things they want when or even before they know they want them, constantly trying new things and surprising customers with items they haven't seen before,” Browne said. “(That) is what has kept us healthy and growing when others have not been able to move with the times and survive the changes in customer tastes.” “We’re the fun part of people’s lives,” Dreese said. Now a 400-employee company that recently celebrated its 39th anniversary, Newbury Comics ships its products to customers across the globe. The company operates 27 stores on the East Coast. On Long Island, Newbury Comics last year opened a shop in Roosevelt Field, a mall that, like The Westchester, is owned by Indianapolis-based Simon Property Group. Dreese said the Garden City store has been “extremely well-received by the community” and its success led Newbury Comics to look
to other nearby areas to expand its presence. The Westchester store is roughly 10 percent smaller than the company’s average-sized store, though shops range from 3,500 to 11,000 square feet. “We are able to operate in a fairly wide range of store sizes,” Browne said. Browne said that while the Westchester store offers the same stock as Newbury’s other locations across New England, from board games to onesies, the company refined its product selection to represent “the best of the best. This store has the best selection of items in those categories,” he said. Dreese said the company is thrilled to open in another Simon-owned mall in the region. “Newbury Comics provides a highly stimulating, experiential pop culture environment, which I feel fits in nicely with Simon’s bold vision for the future of the mall,” he said. That vision includes a multimillion-dollar renovation project Simon is undertaking at the 890,000-square-foot, 12-acre mall. Earlier this year, Simon unveiled the mall’s new fourth-floor Savor dining area, along with a new children's play area and technology lounge. Other enhancements at the 150-store mall include modernized elevators and lobbies, all new facades on major mall entrances and new landscaping and flooring.

TACO PROJECT OPENS AT BOYCE THOMPSON
The Taco Project, the Tarrytown casual taqueria, has officially opened its second location, this one at Yonkers' Boyce Thompson Center. The restaurant opened Aug. 29 with a ceremony attended by state and city officials. Taco Project is the latest tenant to open at the 85,000-square-foot Boyce Thompson Center, a $35 million redevelopment by Simone Development Cos. The adaptive reuse of the former Boyce Thompson Institute, which once operated as a nonprofit horticultural research center, has drawn a mix of medical, retail, banking and restaurant tenants. St. John’s Riverside Hospital, which occupies a newly built standalone building on the site’s north side, began accepting patients at its two-level, 15,000-square-foot medical office in April. Westmed Medical Group, the Purchasebased medical practice, will open an urgent and primary care space in a two-story, 20,000-square-foot addition on the origi-
nal building’s south side. Riverside Dental Health PC and ColumbiaDoctors have leased space in the original building. Tompkins Mahopac Bank opened a branch there last month, while the Italian eatery Fortina is set to open at the center later this year. Other retail tenants will include Plushblow Salon, Ultimate Spectacle and Family Wellness Pharmacy.
YONKERS COMPANY IN BETTER-BATTERY RESEARCH
Yonkers based alpha-En Corp. will work with the research division of Mercedes-Benz and Princeton University to study how its pure lithium metal can help produce the next-generation battery for cars and consumer products. Alpha-En is a clean technology company focused on developing high-purity lithium metal for battery technologies. The company has a patent pending for a process that produces high-purity thin film lithium metal anodes at room temperature, which the company said makes production cheaper and cleaner. According to the Aug. 29 announcement, the study will look at how pure lithium metal nano-rods produced by alpha-En can improve cell performance and battery production for electric vehicles and consumer product applications. The research will be conducted at Princeton. "We are very pleased and proud to be part of this joint research program with one of the world's leading luxury automobile
manufacturers at one of the most preeminent university and research institutions in the world," said Jerome Feldman, alpha-En founder and executive chairman. "Lithium metal batteries have long been considered the Holy Grail of energy storage." The company was founded in 2008 and formerly based in Tarrytown. Last year, alphaEn opened an 8,000-square-foot research and manufacturing center at the iPark Hudson campus at 28 Wells Ave. in Yonkers.
INSTACART EXPANDS INTO SOUTHERN WESTCHESTER
The online grocery delivery service Instacart is expanding its presence into southern Westchester County. The company announced that it will bring its service to parts of Westchester and Rockland counties, as well as the Bronx. The expansion adds 410,000 households to the company's coverage area, which already includes 5.3 million statewide, according to Instacart. Instacart allows customers to shop for groceries online or on the Instacart mobile app. The products can be delivered at a set time, including within an hour. Participating retailers include Fairway Market, CVS, Costco and Petco. Instacart's expansion in Westchester is focused on the southern part of the county: Yonkers, Eastchester, Pelham, Mount Vernon, New Rochelle, Larchmont, Mamaroneck, Tuckahoe and Bronxville.

The reward for any information regarding an inferno that engulfed Gap Inc.’s distribution center in Fishkill last year has been increased from $15,000 to $25,000. The Bureau of Alcohol, Tobacco, Firearms and Explosives and Gap announced that the reward that will be given for information leading to the conviction of those responsible for the fire that took place on Aug. 29, 2016, at 100 Merritt Blvd. The fire, which officials determined was intentionally set, extensively damaged the 1.3-million-square-foot facility used to receive, sort and ship Gap and Banana Republic merchandise to stores throughout the Northeast. Additionally, a 1.9-million-square-foot building used for packaging Old Navy merchandise sustained smoke damage from the fire, though it remained structurally intact. The investigation by ATF’s National Response Team, conducted in partnership with the state Police, state Office of Fire Prevention and Control, Dutchess County Fire Investigation Division, Dutchess County Sheriff’s Office and the Fishkill Fire Department, is ongoing. Mount Vernon judge: tenants' cats not notorious
A
city court judge in Mount Vernon has struck a blow for landlords and against cat owners over the “open and notorious” exception to no-pet policies. As every savvy New York renter knows, pet restrictions can be bent. There is even case law that supports recalcitrant pet owners. If a landlord knows that a tenant is harboring a pet openly and notoriously but does not promptly enforce a no-pet clause, the restriction can be deemed waived. Hope Horizon Realty evicted Karen A. Johnson and Marie Patterson last year from an apartment at 101 Elm Ave. in Mount Vernon for violating their lease’s no-pet clause. They harbored cats from 2001 to 2016 but failed to establish that the cats were kept in the open or were notorious, Judge Adrian N. Armstrong ruled on Aug. 21. Attempts to contact the women for comment were unsuccessful. The names of their cats and their pedigrees were not disclosed in the judge’s ruling. The tenants claimed that Hope Horizon had acted in bad faith because the landlord had become aware of the cats more than three months before the eviction. One cat had become a permanent resident in 2001. Another took up residency in 2008. Johnson testified that she never hid them. The women argued that maintenance workers who entered the apartment would have seen the traditional accouterments of household pets, such as the litter box and jungle gym. And there were occasions when one of the cats escaped to the third-floor hallway. But the superintendent, two maintenance workers and management personnel testified that they had never seen the cats or evidence of the cats until the apartment was inspected on May 22, 2016. Maintenance worker “Jomo” Obi noticed the cats and immediately reported the transgression to the office, and the tenants were put on notice to remove them. Johnson responded by email that she would do so, the judge noted, but admitted at trial that she had never permanently removed them. The tenants did win a small victory. They had kept the apartment while the case was pending and now they owe $7,321 in rent through August. They claimed that the apartment was in poor condition and they should receive an abatement. The Mount Vernon Building Department
had issued notices of violations last year citing problems with plaster, paint, light fixtures, tiles and water penetration in the walls. A housing inspector testified that the violations were corrected in a timely manner. But there also was a fire in the dwelling below the apartment in July 2016 that caused smoke damage and a dangerous condition, displacing the tenants for several days. Armstrong awarded the cat harborers a $1,500 credit, reducing their rent balance to $5,821.

Fake goods traced to Cortlandt Manor
T
he suspicious shipments of cellphone accessories that U.S. Customs has intercepted five times at JFK Airport have one thing in common. The intended destinations were associated with a Cortlandt Manor resident. Customs notified Otter Products LLC after each incident that imports bearing its trademarks had been seized. Otter Products, of Fort Collins, Colorado, markets a line of waterproof and durable protective cases for cellphones, tablets and other electronics. The company then bought samples offered for sale on eBay.com, Wallmart.com and Rakuten.com by the importers. The items Otter received bore its trademarks, the company said, but were not authentic. Otter has sued the importers, accusing them of selling bogus merchandise and infringing its trademarks. The complaint, filed in federal court in White Plains on Aug. 23, names Frank C. Tetro, Sell Phone Basement LLC, Spectre Computers Ltd., Kraymerica LLC, and Techsaurus. Tetro did not respond to email and voicemail requests for comment. Customs seized nearly 400 suspicious Otter cases from November 2014 through July 2017. The importer of record was listed four times as Techsaurus, at Tetro’s home in Cortlandt Manor or at locations in Crotonon-Hudson or Yorktown Heights. The fifth shipment was imported by Kraymerica Joseph King at Tetro’s home address. Otter Products also sent cease-anddesist letters, but the illegal importing allegedly continued. The company said it does not know the full extent of illegal activity because Customs rarely catches counterfeit goods. The products intercepted at JFK and the samples purchased online “are merely the tip of the iceberg.” Otter accuses Tetro and his businesses of trademark counterfeiting, trademark infringement, unfair competition and unlawful importation. It is asking the court to restrain the defendants from counterfeiting, importing or distributing merchandise connected to Otter and to order them to destroy all unauthorized materials bearing its trademarks. The lawsuit lists 11 of Otter’s registered trademarks. It is asking the court to award at least $2 million in damages for each mark that has been counterfeited.

New York has enacted a Paid Family Leave (PFL) Benefits Law, said by the NYS Department of Financial Services to be the most comprehensive paid family leave program in the U.S. All private employers subject to New York worker’s compensation law must provide benefit coverage for eligible employees, defined as those who have worked at least 20 hours per week for a minimum of 26 weeks. Beginning on January 1, 2018, eligible employees will have the ability to take time off and receive a portion of their income to: • Care for a family member with a serious health condition; • Bond with a child during the 12 months following birth, adoption, or start of fostering; or • Address issues arising from a family member’s active military service. In 2018, eligible employees will receive half of their average weekly wage, capped at half of the statewide average weekly wage, for up to eight weeks of leave. It is estimated that the maximum 2018 weekly benefit will be $648. When the program is fully phased in, by the year 2021, the maximum benefit will be two thirds of the employee’s average weekly wage, capped at two thirds of the statewide average weekly wage, for up to 12 weeks of leave. WHAT ARE THE RESPONSIBILITIES FOR THE EMPLOYER? Private employers should prepare to obtain coverage through an insurance carrier beginning January 1, 2018. It will generally be included under an employer’s existing disability benefits policy. Employers should contact their disability insurance carrier if they have not been notified already. Paid Family Leave coverage can be funded by employee payroll contributions, which were allowed to be collected as of July 1, 2017, or employers may cover the cost themselves. The premium rate for Paid Family Leave benefits, as well as the maximum employee contribution for coverage, is reset annually. Beginning January 1, 2018, the maximum withholding for 2018 will be $1.65 per week. If a payroll service is used, employers must confirm that the payroll company is compliant with regards to withholding for both full- and part–time employees. Employers must allow an employee to return to the same or a comparable job. Failure to reinstate employees can expose employers to claims. Employers must continue employees’ health insurance while on Paid Family Leave, but may require that employees continue to pay their premium contributions. Employers must ensure that their organizational policies and related policy manuals comply with the new law, including publicly displaying an informational poster
WHAT ARE THE CONSIDERATIONS FOR THE EMPLOYER? Paid Family Leave Policy applies to employees who work in New York, regardless of where the employer is based or where the employee lives. If an employee works in New York for more than 30 days in a calendar year, it is the responsibility of the employer to obtain Paid Family Leave Coverage. It is therefore very important for employers, especially those not based in New York, to maintain awareness of the locations of remote employees in order to remain in compliance. For employers currently exempt from the federal Family and Medical Leave Act (FMLA), PFL provides new challenges and considerations that may not have been present before. For employers currently adhering to FMLA, the addition of PFL and the coordination between the two policies requires special attention. While there are similarities between the two policies (job protection and continuation of health insurance while on leave), there are also marked differences, including the potential reason for the leave. For example, PFL does not apply to an employee’s own health issue, while FMLA does. Employers will need to ensure that their policies for administering leave are current and accurate. While the new policy provides tremendous peace of mind for employees, it can be anxiety provoking for employers. What will happen to you and your business if a key employee is out for 8 – 12 weeks? continuing the CareConnect health plan is financially unsustainable, given the failure of the federal government and Congress to correct regulatory flaws that have destabilized insurance markets and their refusal to honor promises of additional funding,” Dowling said. CareConnect also has long argued that it is unfairly penalized by an ACA provision known as risk adjustment. Risk adjustment payments require carriers with particularly healthy customers to transfer money to carriers with relatively unhealthy populations. The payments are designed to prevent insurers from going after only the healthiest customers. CareConnect argues, however, that flaws in the method of calculating the payments force smaller insurers to subsidize larger ones. Northwell when announcing CareConnect’s closing said that the formulas favor established insurers with more in-depth patient histories. This year, CareConnect was hit with a $112 million risk adjustment bill for its small group insurance market offering on the New York State of Health exchange, which it said was about half of its small group revenue. The company said it would have been profitable without the payment and was expecting to face another risk-adjustment payment of

more than $100 million next year. CareConnect previously cited the payments as its reason to raise premium rates on its small group market plans for 2018. The company requested a rate increase of 19.3 percent, which the state later decreased to 15.5 percent. “The continuing uncertainty in Washington about the future of the ACA, intractable regulatory problems and the federal government’s broken promise of socalled ‘risk-corridor’ payments to insurers provide us with no viable path to profitabil-
ity in the foreseeable future,” Dowling said. Northwell Health must now submit a withdrawal plan to the state Department of Financial Services, which regulates New York’s insurance market. The health care provider said CareConnect employees will keep their jobs during the transition. Northwell will also try to find positions for them within its health care system. CareConnect covered more than 13,600 people in Westchester County, according to a Northwell spokesperson. That includes 2,130 Westchester residents who bought qualified individual health plans on the state exchange last year, about 15 percent of the county market, according to state data. CareConnect also covered 227 employees of Westchester companies on the state’s small group exchange, capturing about 75 percent of that market in the county. Outside of the state exchange, CareConnect provided a popular option for small businesses in Westchester County. James P. Schutzer, vice president at J.D. Moschitto & Associates Inc., a White Plains benefits consulting firm, said it’s unfortunate to see the company go. CareConnect, he said, carved out a niche in Westchester’s small business market by building a network with large physician groups in the county, including WestMed Medical Group, CareMount Medical and Westchester Health Associates. CareConnect's network also includes
White Plains Hospital through the Montefiore Health System, Greenwich Hospital through Yale New Haven Health and Northwell’s own Phelps and Northern Westchester hospitals. “When you tie that all together, you have a strong provider network, good physician choice and some of the key hospitals in the county,” Schutzer said. “For the small employers, it was attractive. The pricing was attractive as well.” CareConnect is also one of three companies offering plans to small businesses on the private HealthPass New York exchange. The company offered six plans on the exchange to companies with between two and 100 employees. The withdrawal of CareConnect leaves Westchester with six insurers approved to sell plans in the state’s individual market in 2018 and three carriers for the small group market. “In spite of recent federal efforts to destabilize markets and threats to dismantle or not enforce the ACA, New York’s health care market remains robust and consumers across New York have real choice of coverage,” said state Department of Financial Services Superintendent Maria T. Vullo following CareConnect’s announcement. “DFS will work with CareConnect on an orderly transition to ensure that all of its members know their full options and continue to receive health care coverage without interruption.”

Instead, Environmental Liability Transfer takes "a very proactive approach" when acquiring brownfields and each distressed site it acquires is entered into an environmental remediation program "designed to transform brownfield sites from liabilities to assets." The company recently assisted Shell Global in divesting 135 environmentally distressed oil transfer and refining facilities in Canada. Environmental Liability Transfer has assumed more than $1.5 billion of environmental liability from clients across North America since 2004 and has managed the environmental cleanup of more than 300 brownfield properties. no traffic and are great for the environment,” Feiner said. “We want Greenburgh to become a more sustainable community.” Kowalik said it was "a little premature" to discuss details regarding the site's future. Prior to its sale to Environmental Liability
Transfer, the property was set to be redeveloped as a 272-unit residential complex. Texas-based developer JPI Multifamily Communities had planned to construct on the vacant lot an apartment complex named the Jefferson at Saw Mill, a fourstory 239,000-square-foot building with 438 parking spaces in both a garage and an uncovered lot. But the development, which was the subject of multiple public hearings before the Greenburgh Town Board and a petition signed by more than 1,300 residents, faced an onslaught of opposition from the community. Residents’ grievances ranged from potential flooding risks to the impact the residential units would have on the Ardsley school system. A lack of parking and increased traffic around the property, especially when coupled with the number of large multifamily residences going up in the area, were also chief among their concerns. The Akzo Nobel property, on which JPI had a purchase contract, is directly across the Saw Mill River Parkway from Rivertowns Square, where Lincoln Property Co. earlier this year opened Danforth Apartments, a 202-unit, 277,000-square-foot luxury rental building. Akzo Nobel announced that it had terminated its agreement with JPI in June last year.

Northeast Inc. and Traylor Brothers Inc. — remains on budget and on schedule to fully open in 2018, Cuomo said. It is one of the largest infrastructure projects in the nation and the biggest in the history of the New York State Thruway Authority, the bridge’s owner. The new bridge features eight 419-foot towers that stand at a 5-degree angle and have 192 stay cables that, if laid end to end, would stretch 14 miles. More than 110,000 tons of American-made steel are being used to build the bridge. Roughly 7,000 workers have contributed to the project to date, according to the

state, totaling nearly 9 million work hours. Northbound and westbound drivers on the state Thruway will cross the newly opened span from Westchester to Rockland for the next few months, though state officials have given no definite timetable. Southbound and eastbound drivers will continue to use the old bridge. Each will have four traffic lanes available. Later this fall, the Gov. Mario M. Cuomo Bridge will completely replace the 62-yearold Gov. Malcolm Wilson - Tappan Zee Bridge when four lanes of Westchester-bound traffic are also shifted onto the first span.

Keeping partners in line I have a partner who is in denial about our cash situation, which right now is tight and likely to get worse before it gets better. Unfortunately my partner’s not willing to make adjustments, even though I’ve tried to explain that we don’t have the money to pay ourselves as much as we used to. What should I do? THOUGHTS OF THE DAY: Your job as an owner is to protect the company’s well-being — for now and for the future. Figure out who can make the decisions and under what conditions. Figure out your bottom line before you go into a negotiation. Know how tough you’re willing to be — and then double it. The company is the source of your and your partner’s income and fringe benefits. If the company does well, you do well. And if the company struggles, you need to take a careful look at sacrifices you may need to make. Even if it hurts. make sure the company has the financial support it needs to succeed, so that when things turn back up you’ll

be in a position to reap the rewards again. Partnerships are governed by written agreements, which usually only get dusted off and referred to when there’s a disagreement. Make sure you’re clear what’s in your partnership agreement. Do you have majority control? Or, are you a minority decision maker — which means you have to influence a decision, but can’t mandate it. Or, are you and your partner 50/50 owners, which means you both need to sign off on any decisions. Some partnership agreements specify conditions under which different partners control various decisions. If you have partnership control, go ahead and mandate the decision. Make it clear you’re sympathetic to your minority partner’s concerns, but that you are first responsible for seeing to the company’s wellbeing. State that you are exercising your right to ensure the company has the best opportunity to prosper based on how cash is used and disbursed. Going into the negotiation, do your homework. What is the company’s situation financially? If you’re not sure how to do that, get a financial analyst to help you. Look ahead three months, six months, a year, etc.
If you need to cut back on expenses, figure out by how much before you decide where it comes from. Look at your options for making cuts. Resist the urge to cut sales, marketing and essential operations. These are your tools for working effectively and getting more business in the future. Cut out perks and fluff, and if that’s not enough, it’s time to look at what’s going to the partners. Talk with your partner about what is easy and hard to give up. Don’t make promises too early. In the beginning you want to gather data so you can figure out the best solutions under a variety of conditions. Decide how soon the cuts need to be implemented and for how long. It’s usually better to get everything you need now than to ask for more sacrifices later. Consider what tasks you and your partner can take on so you can save on other personnel costs. If you don’t have decision control you’re going to have to negotiate. Make a list of what’s in your negotiating toolbox. How essential you are to the successful operation of the business? What would happen to your partner’s lifestyle if you stepped back? What do you know how to do that your partner
doesn’t? How well could your partner run the business if you weren’t available? Keep in mind that without resolving the cash problem through partner sacrifices, the business might be gone anyway. Make it clear you’re not willing to see the company slowly bleed to death. Get your bank, financial advisors and attorneys involved, to talk with both of you. If necessary, hire a mediator. W
hile business startups drive much of the economic productivity and hiring in the U.S., numbers in a recent survey show that entrepreneurs face a daunting path in financing their ventures. The survey, released in August by the New York Federal Reserve, looked at the funding and credit experiences of startups throughout the country. The Fed found that new firms often struggle to find financing needed to stay operational and grow. About one in three startups fail within two years, and half of them fail within five years, according to data cited in the report. That’s despite the role of startups as "primary drivers of U.S. job growth," according to New York Fed community affairs officer Claire Kramer Mills. The Fed’s report found that young firms, defined as small businesses five years or younger in 2016, account for 34 percent of all small employer firms. Young firms also account for nearly all net new job growth and 20 percent of gross job creation, according to the report. About 61 percent of firms no more than 2 years old expect to add jobs, according to the survey, compared with 29 percent of established firms 5 years or older. To help with that growth, startups are seeking funding for expansion at higher rates than established firms. But finding that financing isn’t easy. The Fed found that 58 percent of firms 2 years old or younger reported difficulty with credit availability or accessing funds for expansion, well above the 39 percent of established firms that reported the same problems. Thomas Morley, director of the Rockland Regional Center for the New York Small Business Development Center, said those numbers are consistent with what he sees in this region. "The common sense is that, since much of credit is based on financial history, lenders will look at your financial history. Can you demonstrate an ability to pay?" said Morley. "Well, startups don't have that history." Kim Jacobs, executive director of Community Capital New York, a nonprofit alternative lender to small businesses

credit-risk startups. For those using online lenders, Jacobs said it's "important to know the right questions to ask." She said that while online lenders can quickly turn around a loan, the terms are not always transparent. They may include higher interest rates or a daily repayment schedule that doesn't match a young business' needs. "The online lenders are particularly tough for startup businesses," Jacobs said. "They may be more useful to more mature businesses because they can manage their limitations better." Citing outside research, the Federal Reserve report noted that the rate of startup creation has been declining for several years. Asked if that applied to Westchester County and the Hudson Valley region, Morley at the Small Business Development Center said it can be hard to measure exactly how many new businesses are startups, rather than LLC entities or spinoffs of established businesses, but overall characterized the area as strong for startups. Still, he said the startup activity his office sees usually has ups and downs. For example, the Rockland center saw an increase in people launching businesses during economic recession in 2008 and 2009, often because they had lost their jobs and had limited employment options. "Employment seems to be a better correlation,” Morley said. “The stronger the job market, the less likely someone is to start a business. Because I can go get a paycheck, I don't take any risk, save some money and I can start a business in a couple years. So, we do see deferral of entrepreneurship when the job market is good." Jacobs said one advantage for the area is the number of organizations offering help to new businesses, including the New York Small Business Development Center, the SCORE Westchester small-business mentoring group and Westchester Community College's training programs. "We are still seeing a lot of really exciting small businesses," Jacobs said. "Everything from great mom-and-pops and on that really add to the vitality of local communities they serve. Locally owned businesses are terrific contributors. They create jobs, pay taxes and are also terrific community stakeholders."

Think carefully when choosing C or S corporation structure

ou may be thinking about making the switch from C to S corporation to save taxes. But there is much more to the decision than that, including Affordable Care Act considerations.
MAPPING THE PROS AND CONS
Changing to an S corporation can help
you avoid the double taxation that happens when C corporation earnings are taxed at the corporate level and again when they’re passed through to shareholders as individuals. S corporations are pass-through entities, so their earnings bypass corporate taxes and are taxed at the individual level only. Thus, businesses organized as C corporations can often cut their taxes consid-
erably by becoming S corporations. But this doesn’t necessarily mean that making the switch is always the right thing to do. You might sacrifice some C corporation benefits by changing. Ownership flexibility is one of these C corporation benefits. S corporations can have only 100 individual shareholders, while C corporations can have an unlimited num-
ber. Note, too, that an S corporation may not have a nonresident alien as a shareholder. In addition, S corporations can issue only one class of stock — common or preferred — while C corporations can issue both. Note that issuing different types of common stock shares also can violate this rule. For example, if one set of common stock shares is awarded a higher percentage of the company’s profits, this would result in a second class of shares, which wouldn’t be allowed for an S corporation. However, S corporations can allow different voting rights for different shares of stock without creating a new class of stock.

The Affordable Care Act has added a new variable to C vs. S corporation decisionmaking. If you are an active participant in an S corporation, your earnings aren’t subject to the net investment income tax (NIIT). (This is a 3.8 percent surtax on certain kinds of investment income that you must pay if your adjusted gross income exceeds a certain level.) But C corporation dividends are subject to the NIIT if otherwise applicable, regardless of the owner’s participation level in the corporation. Plus, if you sell S corporation stock, these proceeds won’t be subject to the NIIT if the owner is an active participant in the S corporation. But proceeds from the sale of C corporation stock are subject to this surtax. Many factors go into the C vs. S corporation decision, including a number of nontax considerations that aren’t covered above. Consider seeking the advice of a qualified professional before making a decision on the corporate structure that suits you best. Norman G. How to take the next step in growing your business

usiness innovation runs deep in Fairfield and Westchester counties, which is essential to launching a business and growing it from a startup operation to an established and stable enterprise. However, for many business owners, the next step in the growth process — expanding or diversifying their business operations — can be the most challenging. Small and middle — market businesses know their businesses well and they know where they want to take them. What they might lack is the knowledge of all the available tools that can help them successfully grow their businesses. Here are a few ideas for innovative business owners who are looking to take the next step in their growth.
TAPPING ASSET-BASED LENDING
As its name suggests, asset-based lending, or ABL, is borrowing secured by an asset. This asset could be a company's accounts receivable, inventory and equipment, but it mainly means lending to businesses using assets as collateral. By properly assessing the value of a borrower’s assets and closely monitoring them, an asset-based lender can often make loans even if a business’ financial metrics do not quite meet traditional underwriting guidelines and ratios. In many instances, lenders can use ABL to overcome modest weaknesses in a borrower’s financial profile to extend lines of credit, which provide essential liquidity, precisely when a growing company needs it most.
LOOK TO LEASE RATHER THAN BUY
Leasing equipment, particularly technologyoriented assets, can be a short-term solution when equipment is needed to keep up with demand but you cannot spare the funds for the down payment needed for traditional financing. By leasing, rather than buying needed equipment, business owners can preserve cash and capacity on lines of credit for other purposes. Leasing can give business owners access to the latest equipment available, thereby streamlining processes and boosting productivity. Leasing also enables business owners to align contract terms to match the equipment’s anticipated useful life and provides flexibility for upgrading and replacing equipment on an as-needed basis.
CONSIDER THE SMALL BUSINESS ADMINISTRATION
While this government agency concen-
trates its efforts on small businesses, most of its programs can also assist what we might consider mid-sized businesses. SBA-guaranteed bank financing, wherein the government offers a granting bank a guarantee on the repayment of a major portion of the loan, offers smaller businesses several important advantages over traditional financing. Among these are more liberal requirements about collateral and equity, which can be very helpful for a growing business. A company must be independently owned and operated, not be dominant in its field and must meet SBA employment or sales standards for different business types to qualify for an SBA loan. The SBA provides financing through “preferred lender” banks. A preferred lender is one the SBA selects for its business lending expertise. Preferred lender banks can make certain loans without prior approval from the SBA, as well as provide preferential processing. KeyBank is a preferred SBA lender and frequently uses SBA criteria and procedures to grant SBA-guaranteed loans for purposes such as constructing owner-occupied buildings, purchasing existing buildings, buying equipment, financing increases in inventory or receivables and providing working capital.
STREAMLINE PROCESSES
Managing growth often comes down to managing resources, so the best and largest effort targets the most pressing and profitable opportunity. Tapping your bank for help with treasury services can pay off regarding optimizing time and money spent managing payments. Effective treasury service programs enable business owners to monitor account activity, quickly access information, collect funds more promptly via lockbox or automated clearing house (ACH) and streamline payments processing via ACH and wire transfers. These programs can also help to protect assets with tools that can detect and prevent fraud. In short, there is no one way to manage growth, but there are many ways business owners can tap their bank for tools and insight to help achieve their business objectives. DIFFERENT VIEWS IN VIEWPOINTS The work of seven Hudson Valley photographers will be featured in an exhibit at Arts MidHudson that opens Sept. 8 with a reception from 5 to 7 p.m., and runs through Oct. 29. These photographers participate in the monthly photo salon held at Arts Mid-Hudson. The works that were selected for the exhibit represent their use of photography to express individual visions. Photographer David Curtis created a body of work based on reflections — how light can be bounced around and images distorted. “Group input inspired me to experiment further with my auto-reflections, both on location and in the digital darkroom. I’ve learned and grown as a photographer from the experience,” Curtis said. Claudia Gorman focused her work on sand dunes photographed at Great Sand Dunes National Park in Colorado and Death Valley National Park in California, inspired by photographers Brett and Edward Weston and Ansel Adams. Other salon members include Arlene Becker, Raimundo Carlos Gaby Júnior, Juliet Harrison, Paolo Nigris and Barbara Todd. Gaby Júnior said, “Our group could be used as a metaphor for the power of photography itself. Photography can raise consciousness through pushing us to see things differently, to pay attention. Pentegra Retirement Services, a financial company with corporate headquarters in White Plains and its northeast regional office in Shelton, Connecticut, has devised a new program to help bring together retirees and animals in shelters that need permanent homes. It’s called Pentegra Retirement Pawsibilities. By educating retirees about the benefits a pet can provide, Pentegra hopes to add an active, healthy component to its clients’ retirement years. The company points to various studies that show the benefits of adopting a dog or cat, such as providing structure and routine during otherwise inactive retirement days, stress reduction, increased social interaction and physical activity and support for a healthier and happier lifestyle. John Pinto, CEO of Pentegra, said, “We know the many health benefits for anyone with a cat or dog, but think about how much more time a retiree can give an animal in need of a home and how important that relationship can be physically, emotionally and socially to someone who has more time on their hands. BOGDANSKI JOINS THE GIRL SCOUTS Girl Scouts Heart of the Hudson Inc. (GSHH) based in Pleasantville has named Deb Bogdanski as director of development. Her responsibilities will include the expansion of fundraising efforts. Prior to joining GSHH, she was general manager for Frontier Communications in the Hudson Valley markets. Before that, she was with the Orange County Chamber of Commerce and had been chief of staff for former state Assemblywoman Mary McPhillips. In 2011, Bogdanski, an Orange County resident, was inducted into the Hall of Fame created by the organization Leadership Orange. In 2003, she was named as the Women in Business Advocate of the Year by the U.S. Small Business Administration.
HGRF MAKES DONATIONS
The Hudson Gateway Realtor Foundation (HGRF), the charitable arm of the Hudson Gateway Association of Realtors, recently presented a check for $1,000 to April’s Child in White Plains. April’s Child is a nonprofit working to prevent child abuse and neglect and to strengthen families in Westchester County. Laura Schwartz, executive director of April’s Child, expressed appreciation for the donation and noted, “Thanks to their generosity, we are able to provide hope for the future for the children of Westchester and continue our work to ensure that children grow up in a safe and nurturing home.” Among the services offered by April’s Child are volunteer parent-aide programs that teach parenting skills and effective nonviolent discipline methods, anger management, stress relief and child development techniques. There are seminars and workshops for community organizations, as well as a parent hotline. A few days before the April’s Child check presentation, HGRF made a donation of $2,500 to Meals on Wheels of Rockland. It delivers meals to seniors and operates senior activity centers, an adult day care center and an adult learning center. Stephen Papas, director of development at Meals on Wheels, said the foundation’s donation will enable it “to provide over 300 meals to homebound seniors who are desperately in need of nutritional meals.”
NEW BOARD PRESIDENT AT FRIENDS OF KAREN Paul Smadbeck, senior managing director of sales at Cushman & Wakefield, has been elected president of the board of directors for Friends of Karen. The nonprofit organization supports children battling cancer and other life-threatening illnesses and their families in the tri-state area. Smadbeck is a Westchester resident. Friends of Karen has locations in North Salem, New York City and Port Jefferson. Smadbeck joined the board in April 1996. He is a published composer and is a trustee of the Heckscher Foundation for Children.

The Strike Out Hunger Bowl-a-thon took place at the Quinnz Pinz bowling alley in Middletown for the benefit of RECAP’s Nutrition & Advocacy programs. The event generated more than $1,000 for the nonprofit’s food pantry. “We’re thankful for the community support we receive every year for this event,” said Francine Tavares, Human Services Coordinator at RECAP and organizer of the event. “The competition for best dressed was especially fierce this year.” Staff members of a local Head Start staff won trophies as Best Dressed Team for their costumes based on the art of children’s book author Dr. Seuss. Not so coincidentally, they named their team The Seuss’ettes. Other teams carried names such as Motion to Strike, The Dressers and the Gutter Girls. RECAP’s food pantry program will soon kick off its annual Thanksgiving Drive. The most needed donations are turkeys, canned gravy, boxed stuffing, canned yams and sweet potatoes, instant potatoes, pie and cake mix, and canned fruit and vegetables. Monetary donations help cover bulk purchases from local food banks. Donations are accepted until Friday, Nov. 17 at RECAP’s Nutrition & Advocacy Program at 119 E. Main St. in Middletown.
BREAKING GROUND AT THE WALKWAY The Walkway Over the Hudson is a converted railroad bridge spanning the Hudson River from Poughkeepsie on the east to Highland on the west. It was opened Oct. 3, 2009, as a pedestrian walkway as part of the Walkway Over the Hudson State Historic Park. On Aug. 22, the Walkway Over the Hudson nonprofit organization and New York State Office of Parks, Recreation and Historic Preservation (NYSOPRHP) hosted a ceremonial groundbreaking to mark the beginning of construction of the park’s new Ulster Welcome Center — a multipurpose visitors center being built by NYSOPRHP at the bridge’s western approach off of Haviland Road in the Town of Lloyd. The $4.5 million welcome center represents the state’s latest investment in a series of planned improvements. The Walkway attracts nearly 500,000 visitors annually and will be a major hub on Gov. Cuomo’s proposed Empire State Trail. “Construction of the Ulster Welcome Center shows that our partners in New York state government recognize the need to invest in parks and recreational infrastructure,” said Walkway Executive Director Elizabeth Waldstein-Hart. A similar welcome center is planned for the Walkway’s eastern approach in Poughkeepsie, with construction scheduled to begin in 2018.
