That is an image that the luxury brand wants to discourage, so Mercedes-Benz USA has notified Estate Motors that it will terminate the dealership agreement in November. That’s a “death penalty,” the dealership states in a lawsuit that accuses Mercedes of coercion and seeks to block the termination. The dispute goes to the heart of who controls an automobile dealership. Estate Motors was established in Mount Kisco in 1963 and moved to Goldens Bridge in 1970. The dealership’s customers include Mercedes drivers in both Westchester and Fairfield counties. It is positioned on Route 22 along Interstate 684, amidst the wealth of northern Westchester County, where it has served people like the late actor Fred Gwynne – Herman of “The Munsters” television show – Yankees Manager Joe Girardi, and other actors and athletes whose privacy the dealership owner doesn’t want to violate. At 25, Pace Women’s Justice Center battles the scourge of domestic abuse BY JOHN GOLDEN jgolden@westfairinc.com

ola — her true name has been withheld at her request — showed up at Gail’s House in White Plains after learning about it during her first visit to Family Court for an order of protection against her then-husband. For the first time in a marriage in which she said she had long been verbally abused, he had hit her during an argument the night before, leaving Lola with a badly bruised and swollen jaw. “I said, that’s the first time and the last time you’re going to hit me,” she recalled. Her husband told police she had struck herself on the jaw with the remote control, she said. He had their 10-year-old daughter lie to authorities to protect him, she said. Lola sat in the courthouse for about seven hours that day. Her husband was removed from their Croton-on-Hudson home that night. The difficult process that would lead to legal separation and divorce after 18 years of marriage and Lola’s transformation back to the “happy-go-lucky person” with “a sparkle in my eye” whom she had lost to depression and self-doubt as the victim of spousal abuse, had only just begun. On a quiet residential street that borders Pace University’s North Broadway law school campus, Gail’s House does not stand out. No sign on lawn or door announces it as the home of the Pace Women’s Justice Center, a nonprofit organization celebrating its 25th anniversary this month as a free provider of legal and educational services for victims of domestic violence and elder abuse in Westchester and Putnam counties and training for attorneys, police and others dealing with those victims in the justice system. For the women who arrive there needing help, often frightened and deprived of financial resources by controlling spouses or domestic partners, it is easier to speak of stopping by “Gail’s house” than to admit they are visiting a legal services office. And its location and appearance of a modest family home on a neighborhood street help protect its visitors from the aroused anger and stalking of their abusers. “It was such a relief” to arrive there, Lola recalled. “Not having a sign outside ...For many seniors or women going through it, it is so scary …To actually be comfortable about it is very difficult.”

She sat at a table in a small conference room in the basement of Gail’s House, where toys and a television in a small play area entertain children accompanying their mothers. Two floors above, women answered calls and made referrals for legal assistance of all kinds on the center’s Legal Helpline, which receives about 2,900 calls a year. The director of its pro bono programs at a computer introduced a new volunteer attorney – a former prosecutor in the offices of the state attorney general and Queens district attorney – to the center’s work. Center officials plan to renovate the basement space as a walk-in legal resource and information center with a $100,000 grant awarded this year by Impact100 Westchester, a group of philanthropic women whose members combine their donations of at least $1,000 each to make transformational grants to nonprofits in the county. Separated for one year, her husband gave Lola a cellphone as a gift, she recalled. There were strings attached: “He put an app on it to follow me.” “He didn’t follow me here. This was the only place I was safe.” “We have women come to our door every day,” said attorney Cindy Kanusher, executive director of Pace Women’s Justice Center. “We’re making a difference in people’s lives. Living under that type of emo-

tional abuse and stress” that Lola described in her marriage “is horrific.” Each year about 1,000 victims of domestic violence and abuse find free legal help through the center’s Family Court Legal Program in a county where police respond to more than 12,000 domestic incident reports annually, Kanusher said. The pioneering service, which operates walkin offices at county courthouses in White Plains and Yonkers, was launched in 1999 after a woman without an attorney, denied an order of protection by a Family Court judge, was killed over the next weekend by her batterer. Through the center’s several programs, more than 3,000 clients were served last year by its 25 staff employees — 18 of whom are attorneys — and 44 volunteers, including paralegals, Pace University law students and 20 lawyers. With the Impact 100 grant and the opening of a walk-in center, the organization — which operates on an approximately $1.5 million annual budget and last year received from volunteers 8,400 hours of service valued at an additional $1.5 million – will be able to serve about 500 more clients yearly, Kanusher said. estchester's four largest cities are teaming up for a $750 million plan to bring ultra-high-speed gigabit broadband to residents

and businesses. Along with the Westchester County Association, the mayors of Yonkers, Mount Vernon, White Plains and New Rochelle announced on Oct. 6 the launch of a publicprivate initiative to provide gigabit internet in their cities, which officials say is fast enough to spur new business and innovation in education, health care, government and other industries. The scale and significance of the gigabit project is on par with other major infrastructure projects in the county, such as the building of the Metro-North rail line and the Tappan Zee Bridge, officials said at a press conference. “This is nothing short of revolution-

ary for our county,” said William Mooney Jr., president and CEO of the Westchester County Association. Gigabit internet speed is about 200

times faster than an average broadband speed in the U.S. “Imagine (internet speeds) as fast as the speed of light, wow. You can say wow,”

Mooney said to the crowd gathered in the press room at 1133 Westchester Ave in White Plains. The four cities would represent the first in New York state to offer gigabit broadband, which is available in about 50 cities nationwide. Google offers it through the Google Fiber gigabit service it operates in nine cities with plans for expanding to 18. AT&T Inc. offers fiber internet service in 29 cities, with 11 more on the way. The speedier internet can greatly expand a city’s capability across all sectors. It opens up options for telemedicine in hospitals, enhanced communications for first responders, expanded online education in schools and enables businesses to download and share large files in seconds. “As we come to rely on high-speed access to individual information, whether we are businesses or medical providers or residents, that type of high-speed access is not going to be a luxury, it’s going to be a requirement,” said New Rochelle Mayor Noam Bramson. White Plains Mayor Thomas Roach said that, while there was a “friendly rivalry” between the cities, the Westchester mayors have been more focused on working together. “Let’s get Stamford,” he joked. “One of the things that we are all benefiting from is a shift back to cities,” Roach added. He described the gigabit broadband

as the next step in helping the four cities grow. Yonkers Mayor Mike Spano, whose city is attempting a $2 billion rebuild of its school system, stressed the value the turbocharged internet speeds could provide students at all levels. He and other speakers talked about a “digital divide,” where both children and adults in lower-income households don’t have equal levels of access to an internet connection at home. “I know that with the leadership here we will be able to make some great accomplishments and move us into making sure every child has an opportunity at getting a great education,” Spano said. “Because that’s how we beat poverty.” The impact gigabit broadband could have on poverty and the digital divide was also emphasized by Mount Vernon Mayor Richard Thomas, who said that in some areas of his city you can “access a handgun quicker than you can access an iPhone or tablet.” “This investment will make it possible for communities of color, particularly Mount Vernon, to gain access to technology and provide alternatives to violence,” Thomas said. “The only limit to technology is accessibility,” he added. This is the first time that four cities have come together to work toward improving internet infrastructure, according to Joan McDonald, former commissioner of the state Deptartment of Transportation and now an adviser to the Westchester County Association. “For broadband to be successful, you have to have a critical mass,” McDonald said. “And bringing the four cities together, we have that critical mass.” Cities also have the franchise agreements with internet service providers, which makes them a natural government source for the WCA to work with, McDonald added. How exactly this will all work — and, of course, be paid for — is still unclear. McDonald walked through a few possible models. Some cities, such as Chattanooga, Tennessee, which is nicknamed Gig City, use a public model, where a city or cityowned agency operates the network. Others have done a public-private model. Funding will be available from state and federal sources, as well from internet service providers, McDonald said. Gov. Andrew Cuomo announced this year a $500 million Broadband for All initiative, though that is targeted for rural areas and offers internet speed that would be slower than what would be built in the four cities. “We will have conversations with the (internet service) providers, both those that are currently in the Westchester market and those that desire to come to the

Westchester market,” McDonald said. McDonald said over the next three weeks the WCA will evaluate the technological infrastructure for the four cities. The Westchester County Association will soon launch a steering committee with members from Westchester’s cities and multiple industry sectors. Mooney said the group will also announce a project manager to direct the gigabit process in the next two to three weeks. “This is kind of like spring training at this point,” Mooney said. “The game starts in about an hour.” Mooney estimated the four-city infrastructure project will take three to four years to complete.

The WCA says it is considering speeds that will exceed five gigabits per second. What other cities have it? books saying she’s passing the Mercedes dealership on I-684, according to Nancy Buonanno, wife of the owner. Charles Buonanno, an electrical engineer by training, fell in love with MercedesBenzes during a business trip to Berlin in 1962. He paid $3,000 to have one shipped home. Five years later, he paid $40,000 for a 40 percent share of Estate Motors. A new model cost $10,000 then, a price that Buonanno thought no one would be willing to pay. George C. Scott, the actor, director and producer, bought one. By 1974, Buonanno owned the whole business. He built a new service department at the top of the hill, 100 yards from the main building that was built in 1938. By the late 1990s, needing more room, he came up with a plan to expand the service building. He said he spent eight years and more than $1 million getting approval from the town of Lewisboro. That’s when the trouble began, Buonanno said. Mercedes knew about his efforts, but only after the town approved his plan did the company say he could not have two buildings. A Mercedes spokeswoman said she could not respond while the matter is in litigation, except to say, “It flows from our commitment to provide image-commensurate representation for our products and for our customers.” Every dealership design detail is covered by Mercedes’ Autohaus compliance program. “That means basically you have to do what they say,” Buonanno said in an interview. “You have to paint your building a certain color. You have to use certain furniture.”

2015. Costco pulled out of the planned development earlier this year, according to Yorktown Director of Planning John A. Tegeder, though no official reason for the decision was given. Yorktown Supervisor Michael Grace said he hoped Costco would look elsewhere in the town to develop a new store. The amendments to the alreadyapproved site plan represent only “limited changes,” according to Yorktown JAZ. “There are very little additional issues that are presented by this plan,” Grace agreed. “This plan actually is less intrusive on the environment.” The proposed development’s total footprint will be more than 14,000 square feet less than what Costco’s building would have taken up on the property. The estimated cost of the Lowe’s project was not available.

to make his cramped hillside work because no suitable land is available elsewhere. By spring of this year Buonanno had made a deal to sell Estate Motors to Thomas Maoli, a Parsippany, New Jersey dealer who operates BMW, Lexus, Maserati and Saab dealerships. Mercedes conditionally approved Maoli’s plan to build a new facility at Goldens Bridge. But in July the sale fell through. Mercedes notified Buonanno on Aug. 12 that it would terminate Estate Motor’s dealer agreement in 90 days for breach of obligations. Deficiencies in Goldens Bridge are “not merely aesthetic,” the company said. “They affect the dealership’s ability to effectively perform its responsibilities.” Last month, Estate Motors sued Mercedes in U.S. District Court in White Plains. The dealer agreement, the lawsuit

“We see no downside on it at all,” Grace said of the new plan. “I think there was a lot of enthusiasm for Costco. Unfortunately, that didn’t come to be, but I think at this point there is equal enthusiasm for Lowe’s.” Both Tegeder and Grace said that spreading the risk and the wealth to four businesses rather than a single business is an advantage, along with the additional tax revenue those additional businesses would provide. The planning board will decide whether a supplemental environmental impact study is required for the amended project. Yorktown JAZ stated that any significant impacts were addressed in the Costco application. “I don’t see any issues whatsoever getting this approved,” Grace said. “It’s a better plan in a lot of respects.” Grace expects the amended development to move forward “very quickly” and said it should receive the go-ahead from local

agencies by November, though the project will still need to meet other approvals, including one from the Department of Environmental Protection for its stormwater management plan. Grace said he hopes construction could begin as early as spring 2017. Costco’s proposed project hit a snag in April 2015 when its on-site gas station was strongly opposed by independent gas station owners in Yorktown. Yorktown Smart Growth, a citizens development watchdog group, Yorktown Gas Mart Inc. and Quick Stop Central Ave. Inc. filed a lawsuit against town officials and Breslin Realty Development claiming the big-box store would hurt local

states, was written solely by Mercedes and is one-sided. It says Mercedes violated the federal Auto Dealers Day in Court Act and state Motor Vehicle Dealer Act that were enacted to alleviate unequal bargaining power and to protect dealers’ investments. Buonanno wants to find a buyer but the termination notice chills interest in the business and decreases its market value, the lawsuit states. He wants the court to declare the termination unlawful and prohibit Mercedes from interfering with his right to transfer assets. “This is my life,” said Buonanno, who turns 83 in November. “I’ve spent most of my life here and I would like to see it prosper.” “I would like to get it in shape and pass it on before I pass on.”

“When I started out with them, it was like we all were working together. It was fun. Now, we’re working for them.” Buonanno put together a second plan to tear down the service center, build a new one and connect it to the showroom for $25 million. Mercedes approved it, he said, but warned it would not be in compliance in five years. He wasn’t willing to invest in such a short-term project. The dealership worked on a third plan to renovate a warehouse in Mount Kisco. Mercedes approved that plan, but Buonanno decided against it when the costs didn’t make sense. A year ago, Mercedes demanded that Estate Motors comply with requirements for space, brand image and corporate identity. The Goldens Bridge site resembles a used car lot. Exterior signs date to the 1990s and are extremely weathered and in poor condition, the letter states. The exterior “is filthy and weathered with little or no maintenance or upkeep over the years.” The showroom and service reception area are so small that customers are “unable to properly view our full line of products in a clean and controlled environment.” And the dealership’s lounges don’t provide “a world-class experience,” the automaker claimed. The letter also noted that Buonanno’s service department needs two more work bays and the wash and detail area needs two more stalls. Mercedes demanded that Estate come up with a satisfactory plan for a new facility and build it by October 2017. “I know what the place looks like,” Buonanno said. “I don’t like it either.” But it is Mercedes who is blocking development, he said. And he has no choice but

Remembering the Putnam Line and its champions

F

or the past 25 years, tens of thousands of bike riders, bird watchers and strollers have enjoyed the pastoral vistas that the former Putnam Division of the New York Central Railroad has to offer. Until recently bearing the unfortunate name South County Trailway, it runs along the Saw Mill River Parkway from the Bronx line to Eastview. This fall marks the 25th anniversary of Westchester County acquiring the right of way of what many call just “The Put.” It is the right time to honor the two former county executives who saved the entire 14-mile corridor when it was almost lost. County Executive Alfred B. DelBello saved the line in 1982. County Executive Andrew P. O’Rourke bought the line in 1991. The Put is the stuff of nostalgia for those who recall the heyday of chugging freight

trains. For commuters, it was an alternative to the Harlem and Hudson Division commuter lines. But all that changed in 1981 when Conrail, the successor of the New York Central, filed for abandonment, meaning no service restoration ever and granting Conrail rights to pull up the tracks and sell the real estate. The abandonment filing started a “clock’’ giving governmental agencies narrow time frames to opt to purchase the line. First up: the New York State Department of Transportation, which quickly passed, accelerating the clock. Next in line, Westchester County. In Yonkers, Mayor Angelo R. Martinelli hosted an emergency meeting with shippers on The Put. I was an assistant to the mayor at the time and would work with him on the issue for the near term and, years later, as a consultant for Westchester County. Could the line be saved? The abandonment clock was ticking. We needed a champion. And we got one. Just in time. County Executive Alfred B. DelBello. Martinelli appealed to DelBello and Deputy County Executive Roger Biagi. They moved immediately to stop the clock and

with it, Conrail’s plans to sell the 14- mile right of way parcel by parcel. If sold, the last open corridor through Westchester County would be lost for all future possibilities — a bike and walking path, emergency route, light rail or monorail. Negotiating with Conrail was not for the faint of heart. Martinelli, Biagi and I traveled to Conrail headquarters in Philadelphia to try to strike a reasonable deal. No deal, they said. And to show they meant it, they frustrated the county’s efforts for the next eight years. Still, thanks to DelBello, the county still held exclusive rights to purchase the right of way. In 1991, County Executive Andrew P. O’Rourke and his deputy Biagi were determined to acquire the line for public use. A new plan was made, negotiations resumed and 90 days later, on the Friday of Labor Day weekend that year, a deal was struck in the county executive’s office in White Plains. The route of the former Putnam Division of the New York Central Railroad was preserved. Forever. After 10 years. We were exuberant to say the least. Now on the 25th anniversary, let’s honor the Putnam Line champions without whose efforts we would not be riding our

bikes or walking through this beautiful corridor with streams and glens and vistas. Alfred B. Del Bello and Andrew P. O’Rourke deserve prominent plaques on the right of way memorializing their roles in preserving The Put for public use. And the right of way itself deserves something. The Put shares a parallel history with the demographic and economic growth of Westchester County. Signage on the right of way’s major bridges will highlight that history: “Route of the Historic Putnam Division of the New York Central Railroad.” And lastly, it deserves a proper name. Recently County Executive Robert P. Astorino, during whose tenure the line has been completed for public use, invited entries for a new name, an opportunity to reclaim The Put’s railroad history and heritage in Westchester County. As new names are considered, let’s keep in mind that although a bike path today, The Put right of way birth certificate says, “Railroad.” Phil Pepe is the retired principal of a public policy and governmental affairs consulting practice and served as a consultant to Westchester County for the Putnam Line purchase in 1991 with business associate John G. Report examines Rockland’s burdensome taxes BY RYAN DEFFENBAUGH rdeffenbaugh@westfairinc.com

A

series of factors — including high public-sector salaries, an eroding tax base and demographic and economic shifts — have led to Rockland County’s distinction as the second-highest taxed county in the United States, according to a recent report. Rockland’s status as second fiddle only to Westchester County when it comes to taxes was examined in “A Crushing Burden: Why Is Rockland County So Heavily Taxed,” a report by the Hudson Valley Pattern for Progress, a Newburghbased nonprofit regional planning think tank. The report was commissioned by the Rockland Business Association, which tasked Pattern for Progress with finding the answers to whether “the assertion of Rockland being so severely tax burdened (is) true, and if so explain why,” as described in the report by Pattern President and CEO Jonathan Drapkin. “We are not looking to do any finger pointing,” said Al Samuels, president and CEO of the Rockland Business Association. “We wanted to give Rockland an instrument to help guide its way to sustainability.” Pattern for Progress’ 75-page report finds that Rockland County is, indeed, taxed higher than almost any other county in the country. Rockland’s median tax bill in 2013 was $10,550 for a single-family home, the report found, using data from the online real estate database Zillow. Only Westchester’s median tax bill of $13,842 was higher. The entire list of the nation’s highest taxed counties is comprised of counties in the New York metro area. Nassau on Long Island and Bergen, Essex, Passaic, Union, Morris, Hudson and Hunterdon counties in New Jersey round out the top 10. That makes sense, as the report found that a driving force behind Rockland’s high taxes is its proximity to New York City. “There is a price to pay for location adjacent to the global economic engine that is New York City,” the report notes. The report finds proximity to New York City isn’t the sole cause of the high tax burden. Pattern for Progress found several reasons, including:

• High level of public employee compensation in local police departments and in school districts relative to median household income. • Heavy debt at the county level following a budget deficit crisis in 2011-12. • Demographic and economic shifts that have led to an increase in poverty rates and stagnating median household incomes. As poverty increases, the report explains, so does the demand for school and government services. For example, the percentage of Rockland residents enrolled in Medicaid went from 9.5 percent in 2000 to 24.5 percent in 2013, according to the report. • The town of Ramapo’s emergence as the county’s fastest growing town by far, where tax exemptions on properties used TWB Leibman for religious purposes have “skyrocketed.” WCBJ High taxes can result in a loss of people 7.375”inw the x 7.125” h and a slowdown for living county 9/29/16 business, according to the report. “When housing is unaffordable, households have little to no ‘disposable’ income

to spend on other amenities such as entertainment, dining out and other goods and services that drive local economies,” the report stated. “In this sense, the domino effect of high housing costs — caused in large part by high property taxes — can have a negative effect on the economy.” The report lays out a series of steps toward easing that tax burden, including honoring the statewide tax cap and pushing for tax exemption reform at the state level. The report also suggests examining school costs. The county and its municipalities should consider offering early-retirement incentives for senior staff members as well as increased service sharing among school districts, Pattern for Progress advised. Pattern for Progress also recommended increased pursuit of delinquent taxes. The report notes that Rockland County Executive Ed Day highlighted the problem of delinquent tax payments recently through a public campaign that accelerated collection efforts on commercial

properties. In a column for the Rockland Times, Day wrote that the Pattern for Progress report “made even more clear” the burden of taxes in the county. He said that for 2017 he has submitted a budget proposal that stays within the state tax cap of 2 percent. “Rockland’s deficit is now just over $16 million,” Day wrote. “Our finances are improving every day. And, most importantly, I have stopped the endless cycle of tax-and-spend government. No more double-digit tax increase, which has sadly become the norm prior to my taking office.” Samuels said he has been encouraged by the conversation the report has sparked among nonprofits, real estate brokers and elected officials. “I’m happy folks are starting to use this in the positive way we intended,” he said. “What can we do to change the direction? Because we’re going in the wrong direction. If the trend going back to the 1970s continues, we will have an unsustainable future.”

For the client, “It’s like this whole new world because someone is standing up for them. It’s such an eyeopening experience to them.” As in Lola’s case, “That’s kind of the final piece — divorce — to get people away from the situation,” Epstein said. “Until you take that final step, you are not free.” “That’s why we need funding for divorce.

We’re the only people in Westchester County who are providing free contested divorces.” “I can’t tell you what it means to someone like me,” Lola said of the help she found at Gail’s House. “Just going through that whole thing was a big nightmare, but just having her at my side, I wasn’t scared anymore. I was coming here. It was my safe place.” “Everything was a fight, but Laurie would not back down. Because she never backed down, I never backed down. She’s my hero. She saved my life. She literally saved my life. I didn’t want to get out of bed anymore.”

“I gave my kids their mom back,” Lola said. “Laurie gave my kids their mom back.” Lola’s divorce was final two years ago. About four months ago, she returned to court for her share of her ex-husband’s pension. A case like Lola’s “is always neverending, especially if they have things in common,” Epstein said. “I could not have done this without the help of everyone here,” said Lola. “Eventually I got my sparkle back. I’m a completely different person.” Yet habits of self-protection are not easily shed by some who have escaped the bonds of domestic abuse. “I still keep a bat by my bed,” said Lola.

Founded in 1991 as the Battered Women’s Justice Center, the White Plains center’s first director was Michael G. Dowd, a criminal attorney who had defended women on trial for murdering their batterers at a time when “there was very little support for victims,” Kanusher said. The program was described by the dean of Pace law school as the first of its kind in the nation. “Over the last 25 years,” said Kanusher, “the center has grown from being a training center for lawyers, prosecutors and the police to being the largest legal services provider in Westchester County for victims of domestic violence and elderly abuse. We realized that the needs were greater than just doing training and outreach.” Fifteen years ago, the center’s main office was named Gail’s House in memory of Gail Katz-Bierenbaum, who was murdered by her husband, Robert Bierenbaum, in 1985. The Manhattan plastic surgeon – who had disposed of his 29-year-old wife’s neverrecovered body by dropping it from an airplane into the Atlantic Ocean – in 2000 was tried and convicted of the 15-year-old crime and is serving a sentence of 20 years to life in a state prison. The victim’s sister, Irvington attorney Alayne Katz, is chairperson of the center’s advisory board, named Friends of Gail. At Gail’s House, Lola met the attorney she calls “my hero” — Laurie Epstein, Pace Women’s Justice Center’s director of litigation. Other women whom she has represented in court have likened her to a pit bull. “People stay in some dire situations longer than they should because they don’t

How to see the forest you love despite the trees in the way I am so wrapped up in the day-to-day activities of my business that I don’t get around to working on the big picture. How much of a problem is this, really? After all, I love the work we do and I’m really good at it. THOUGHTS OF THE DAY: A business needs more than the work it does. An owner has an obligation to the business, to ensure that it stays around to continue doing what it does to serve the needs of its customers and employees. By organizing and overseeing the business you can also ensure you get to do the work you want to do long into the future. A business needs a mission, a direction, and someone evaluating and guiding its progress. An owner who is head-down, in the business, cannot do a good job steering

the business. Setting up a business, getting the first customers and hiring the first employee can be game-changing for anyone. To insure the business thrives, its owner has to be heads-up, looking at and evaluating the challenges and opportunities, deliberately steering around problems and charting a modified or altogether new course when and where needed. Operating a business is a contact sport, with outside influences coming at the business all the time. To thrive, an owner has to organize the players, consider different moves and anticipate what comes next. It’s hard to do that when wrapped up in the day to day, focused only on how to perform the next task. Defining where you’re taking the business doesn’t have to be complicated. The following examples might get you started on your own set of goals. Each year we challenge the company to grow at 10 to 15 percent, becoming 1 to 2

We constantly strive to increase the number of customers we serve, the number and value of products or services we offer, and the efficiency and accuracy with which we do what we do. We work with all customers to help them become great ones and weed out the ones who cannot or will not understand and value the contribution we can make to their world. As co-workers, we respect each other, understanding that different viewpoints and approaches lead to better solutions. We boost each other up, encouraging education and personal development, knowing that as each individual learns and grows, so does the company. We work as teams to solve problems, identify opportunities and implement best practices in all that we do. We value productivity and seek to eliminate waste throughout the business. We accept that it is our job to anticipate and prepare for a future that can be significantly different from the present.

The fruits of our labor result in a business that provides for the well-being of our employees and their families as well as our shareholders, now and well into the future. It’s the owner’s job to know if the business is on track and to make adjustments if it’s not. Failure rates in small business suggest that owners who avoid this obligation doom their businesses to an early death — in which case they, the owners, no longer get to do what they love best. Sketch out your long-term goals. Include growth, profit and stability. Then form a team to chart the course that leads to those long-term goals. Koi leverages its coworking space for special events

ou have a project that needs to be completed ASAP. But there are too many distractions at work. The phone. Email. Micromanaging boss. Staffers at your door. The same voices with the same ideas. Argh. You tried working at home, but you ended up playing with the dog. You need a shared workspace that doesn’t look like your own office. And maybe you’d like some feedback from a complete stranger or two. A couple of creative types and longtime buddies by the names of Ryan Doran and Jon Manierre were working out of a home office in Valhalla. Their business, a one-stop creative shop known as Turkois that provides video, audio, print, promotional, copywriting, event marketing, social marketing, graphic design, app development, as well as brand

and identity design, was growing. Turkois began as a cooperative freelance operation between Doran and Manierre and was officially formed as a limited liability company in 2012. Manierre and Doran both share the

helm as managing creative partners. The two were creating videos for OXO’s Good Grips line of cookware and GreenPan for Sur la Table, building websites for Colliers International that focused on hedge

fund and private equity fund real estate marketplaces and working for several other clients, including Staples and Xerox. Doran and Manierre were on a quest for professional workspace. They were determined to find that space in White Plains with its easy accessibility to trains, buses and highways. “We didn’t want to be on Central Avenue above a dentist’s office. And we didn’t want to work in New York City,” Doran said. The search for an office began in earnest about two years ago. Walking tours with real estate brokers didn’t lead to what they wanted. “Between being shown spaces around town we were just eyeballing what was available on the (Mamaroneck) avenue and we introduced ourselves to Paul (Dillane) and his business partner Brian Mahon,” Doran said. Dillane and Mahon are owners of street-level restaurants Hudson Grille and Lily’s on Mamaroneck Avenue that had storage space on the second floor. The two were willing to hear Doran and Manierre’s concept and liked what they had to say. “We found ourselves growing quickly, and instead of focusing on and moving into a traditional office space, we decided that it was more beneficial to create something that served companies like ours as well as our own,” Doran said. » » KOI, page 16

So the second-floor of 169 Mamaroneck Ave. would lead to the creation of coworking space Koi (koicreativespace.com), a three-letter derivative of Turkois. The office opened in August and the two partners bill it as “A hybrid creative coworking space.” While Koi has competition in the sharedoffice sector in Westchester and Fairfield counties — including CoWork Westchester in New Rochelle, Serendipity Labs in Rye and Stamford, Groundfloor Coworking LLC in New Rochelle and the daddy of them all, Stark Office Suites — because of its open floor plan, Koi can leverage the space for use for after-hours events. One recent event was hosted by Heineken for 40 of its employees for a training session. “By keeping the space flexible, we’re able to be fairly nimble and shape it to the needs of an event while still maintaining the core needs of the coworking space during our general 9-to-5,” Doran said. “We’ve had Westchester Tech Meetup here, we’ll be holding AIGA Brand Central events as well as some WCA (Westchester County Association) events and are hearing from different networking and business groups with interest fairly consistently,” Doran said. “We’re open to being creative and talk-

ing about how the space can work for different needs. I would say yes, our location and approach to availing the space for different uses keeps us in the eye of many different demographics, while maintaining a distinct character unto ourselves.” Koi offers different tiers of usage, with Doran likening it to a gym membership. A monthly membership gets an individual 5-day per week access, high-speed Wi-Fi, intern and consultant network, small-business mentoring, priority space and priority event access, conference room, printer, use of a kitchenette, and 10 percent off meals at partner restaurants. While the space is an open floor plan, “we have general ‘house rules’ that encourage people to allow others to get their work done. Essentially it comes down to being a rational person and respecting each other and each other’s workspace.” More than an airy feeling and an anticubicle vibe, Doran said the openness of the space also allows members to talk to one another, learn from one another and have a positive impact on each other. “Whether that’s directly in partnering or hiring for a project or just incorporating a new approach in your own business. Having outside perspectives can help you find ways to improve yourself and your work — that can be on a micro scale, like a tip on how to manage emails, or macro scale and your new big idea.”

MINORITY AND WOMEN BUSINESSES GET ONE-FOURTH OF STATE CONTRACTS MINORITY- AND WOMEN-OWNED ENTERPRISES SECURED $1.9 billion in state contracts during the past fiscal year and accounted for onefourth of the expenditures. Gov. Andrew Cuomo trumpeted the accomplishment in a press release that claims that New York leads the nation in increasing opportunities for businesses owned by minorities and women. When Cuomo took office in 2011, minority and women contracts accounted for 10.3 percent of state contracts. Cuomo initially set a 20 percent target and then revised the goal to 30 percent two years ago. In five years, the state has increased the

rate of such contracts by 144 percent, according to reports by Empire State Development. Even as total spending on state contracts has dropped by 30 percent since 2011, spending on minority and women contracts has increased by 71 percent. Women enterprises have benefited the most, gaining $516 million, or more than doubling the value of their contracts in five years. Minority businesses gained $273 million, or 45 percent, over that period. More than half of the contracts last year were for construction and construction consultants. Nearly one-third were for service consultants.

How to keep a family business going strong in a divorce

D

ivorce is difficult, no matter what. When the divorce can affect the survival of a family business, it can be even more emotional. Nearly 40 percent of first marriages end in divorce and 60 percent of second marriages end in divorce. When we consider that small family businesses make up 80 to 90 percent of all businesses in America, the repercussions are enormous. It has been said that when marriages fail, so do family businesses. However, this does not have to be the case. We should all try and remember the age-old idiom, business is business. No matter how complicated a divorce is, each party owes it to him or herself — and to their children — to remember this. Here are some ways to keep your family business going strong in the face of a divorce: De�ine your roles You had a role before the divorce, so why can’t you have one after? Having a particular role helps bring different values and skills to the company and eases areas of conflict. Look into what your former partner is good at and recall what you excel in. Try to make your company the strongest it can be no matter the circumstance. Defining your role will help you create a boundary so your significant other doesn’t overstep. Manage emotions Although you may have the urge to scream or cry in front of or at your former partner, this is not the place to do so. Divorce can be fraught with emotion but being emotional while at work is not professional. If you were a good parent, you kept your kids in the dark about your difficulties. Then why can’t you keep your customers out of the emotion as well? Your customers, vendors or business associates are not your therapists or your lawyer — do not speak about your troubles with them. If you burden them with your problems, doing business with you just becomes harder and they will go elsewhere. And opening up the conversation with employees, customers or vendors only serves to make them choose sides. Remember, they just want to buy your product.

Set ground rules while at work It can be awkward working with your former significant other when you’re fighting, going through a divorce or after you are divorced. Ground rules can help set guidelines for what is and isn’t allowed in a professional work setting. They help lay the groundwork for a healthy relationship. If you run the type of business where you can each work on different days or in separate offices and that is what you need to do, then do it. The ground rules will be different for each type of business and what they are is not as important as having them to begin with. Define your roles and stick to them. Creating an agreement Not only should you set ground rules with your significant other, but also create an agreement making sure both parties understand what has been decided. Define what each partner brings to the table. Define who gets paid what as well as how decisions get made. You also need to decide what happens to ownership interest. You should both come out of the conversation knowing your economic rights. More often than not, family businesses are not formalized with shareholders’ agreement or operating agreements. If your family business does not have one, see a lawyer immediately and have one drafted. Remember, this should be much simpler than the overall agreement you make concerning all of the marital property. A simple shareholders’ agreement setting forth the time each party is expecting to dedicate to the business, the compensation he or she will receive and specific matters concerning each party’s role is all you need. Overall concerns in divorce Generally speaking, once two parties divorce, only one can retain the business. The other will receive what’s known as a distributive award, which is a sum of money to compensate the spouse who is not retaining the business for his or her share of the business. This is accomplished by obtaining a business valuation. While courts can assign a neutral business evaluator to save the parties money, each has the right to obtain his or her own. The key here is that if during the divorce process, the parties have damaged the income or goodwill of the business, both parties lose. In short, if people do not work together and preserve their business, everyone loses. CFOs get their night in the spotlight at awards event

ive winners were announced at CFO of the Year Westchester County on Oct. 5. The Westchester County Business Journal and sponsor RSM recognized the winners along with eight finalists at the annual event at Whitby Castle in Rye. Dee DelBello, publisher of Westfair Communications, opened the program speaking about the role of CFOs, who help make difficult financial decisions. “There’s no doubt a CFO is a vital part of every business management team,” DelBello said, “That’s why RSM and Greater Hudson Bank have partnered with Westfair Communications to bring you this very important awards program.” In addition to RSM, sponsors included Greater Hudson Bank, Rakow Commercial Realty Group, Val’s Putnam Wines and Liquors and Westchester Talk Radio. The new Emerging Financial Leader award was presented to Hiral Shah, financial adviser and certified financial planner at JPMorgan Chase Private Client. Winners and finalists spoke about the importance of their coworkers and the challenges and joys of being a financial leader. Jerry Landau, tax partner and Westchester market leader at RSM, who

presented awards to the honorees, said CFOs are not only involved in strategy, but need to be a “forward-thinking gamechanger.” “A game-changer is someone who is very proactive and less reactive,” Landau said. “They must be a mentor, a leader, someone who empowers their entire organization.” Tom Cornelius, CFO of Greater Hudson Bank and a 2014 winner who also presented awards, said he enjoys those aspects of being a CFO. “As CFOs and managers, we have the opportunity to create a positive work environment, to be a mentor and to prepare and support our people,” Cornelius said. Winners and finalists spoke about the importance of their coworkers and the challenges and excitement of being a financial leader. Battinelli thanked the company’s CEO for identifying trends to grow the business, which has been recognized on Inc.’s list of 5,000 fastest-growing companies for three consecutive years. “It is through this collective teamwork and strategic planning that our revenue just about tripled in the past three years,” Battinelli said. “I had no idea when I joined Paragon how fun and creative being a CFO could be.” Conroy also praised his team for strategizing in a complex industry. “Everything is upside down with respect to health care,” Conroy said. “We try to figure out what we ought to be doing today and what we ought to be doing a year from now. That’s been a challenge and it’s been a lot of fun.” Massiani said in the past four years since he joined Sterling, the bank has grown from $4 billion to about $13 billion in assets,

earnings per share and revenue has grown. He said he and his team have achieved this through acquisitions, capital raises and hiring talented people. “Even though the level of sophistication and the risk involved in managing a business rings true for me ... it’s exciting for us to continue to focus on how we grow the bank and what we’re going to do this year and

beyond,” Massiani said. Walter said the growth of The Westchester Bank in the past eight years since its inception to nearly $700 million in assets is a testament to the customers. He also thanked his colleagues. “It’s not about me, it’s about leadership and it’s about team,” Walter said. “I’m very proud. We’re a team from the CEO’s office down to the teller.” Shah, winner of the new Emerging Financial Leader award, said reflecting on the honor “reminded me that I not only have a lot more to learn and grow, but I have a lot more to contribute to the profession to make it better for the next generation of finance scholars.” The finalists include: • Steven M. MECCA, being duly sworn, affirms as true, deposes and says under the penalties of perjury as follows: The above-captioned proceeding is hereby commenced to enforce the payment of delinquent taxes or other lawful charges which have accumulated and become liens against certain property.
