hen the insurance plan Ken Fuirst offered to the employees of his small business was renewed in September with slightly changed rates and better coverage, he thought it was too good to be true. It turns out, he was right. “Our insurance renewed in September and all the rates were going up but Health Republic seemed to have a very, what turned out to be, too attractive of an offer,” Fuirst said. “We went from delivering very good news to our employees in September to having to 180-degree turn in November.” Fuirst, president of the property and casualty insurance
firm Levitt-Fuirst Associates LTD in Yonkers, had 18 employees insured with Health Republic Insurance of New York through a small group plan, but the state Department of Financial Services and federal Centers for Medicare and Medicaid Services announced Sept. 25 that Health Republic would be winding down by the end of the year. In November, Health Republic’s financial situation was determined by the agencies to be worse than initially realized and all policies would end Nov. 30. Those with small group plans would need to find a new insurer before December and individual customers would be automatically enrolled into new plans for coverage in December, but need to find a new plan for 2016. » HEALTH, page 6
Nonprofit funding restored as Westchester County budget passes BY EVAN FALLOR evan@westfairinc.com

estchester County’s Board of Legislators passed its $1.8 billion operating budget for 2016 on Dec. 14, restoring about $8.4 million in funding to county non-
profits, as well as parks, planning, public safety and board of elections departments that had been threatened with cuts. Those possible cuts, which threatened programs and jobs, had led to weeks of activism both in public meetings and online by nonprofits and their supporters.
In a 10-7 vote, the board passed the budget 13 days ahead of its Dec. 27 deadline, making it the sixth straight year with no increase to the county tax levy. Westchester County Executive Robert P. Astorino’s original proposed budget released on Nov. 13 called for a 20 percent reduction in funding to nonprofits, which would have led to the elimination of several programs and positions. The board, led by Budget and Appropriations Committee Chair Sheila Marcotte, a Republican representing District 10 (Eastchester, New Rochelle and
Tuckahoe), began its review of the budget Nov. 16. Three days later, before the first of three public hearings on the proposed budget, nine coalitions representing more than 500 Westchester nonprofits held a press conference-turned-rally in support of restoring funding. More than 200 people turned out for the public hearing that night supporting the #KeepWestchesterThriving hashtag created by Nonprofit Westchester. Of the $8.4 million in restored funds, roughly $2.4 million were given to nonprofits, Nonprofit Westchester Executive Director
Joanna Straub said. “Between committee meetings and public hearings, we spent many hours and days listening to hundreds of people about county operations and the needs of our nonprofit partners,” Marcotte said. “I am happy that to a large extent we were able to restore many programs and positions.” The Child Care Council of Westchseter, Inc., Executive Director Kathy Halas, an outspoken critic of the proposed cuts, said in a statement that she was pleased with the outcome. Au Bon Pain owner is Woodbury Common’s last holdout
An Au Bon Pain franchise owned by Paul Saran is the last remaining tenant in Woodbury Common’s old food court.

W
hen Big Brother comes in and tries to take your kitchen, the best thing you can do is keep on cooking. That’s apparently how Paul Saran sees it. Saran owns the Au Bon Pain franchise in Woodbury Common Premium Outlets, one that looks likes like any other mall food court restaurant. It’s got all the usual Au Bon Pain features — hot coffee, turkey clubs and chicken Caesar asiago salads. The only difference — a slowly encroaching wall on either side of the eatery. And it’s the only tenant in an otherwise abandoned food court littered with stepstools, chairs and gated former storefronts. Simon Property Group, Inc., the Indianapolis-based retail developer that operates Woodbury Common, is the one who built those walls. The corporation is sending Saran a message: assimilate like the rest of your former cohorts or risk being walled in. All the other former food court tenants have since relocated to Market Hall, the shopping center’s 51,000-square-foot

new food court that opened in September. Saran, who has owned his spot for a decade, has refused to follow suit. Though he’d clearly see more foot traffic, his current rent would also see a dramatic increase. He’s operated like this for several months now, but said that a Dec. 11 meeting with top Simon officials led to a “possible resolution.” Saran declined to comment further at press time, citing ongoing litigation, but said he hopes to eventually be able to speak about the case once all is settled. In April, he filed a lawsuit against Chelsea GCA Realty Partnership LP, the Simon subsidiary that manages and leases Woodbury Common, in state Supreme Court in Orange County. Piermont attorney Burton Dorfman, listed in court documents as Saran’s lawyer, could not be reached for comment. Mall officials did not specify what will become of the old food court. “Our general policy is not to comment on matters that are in active litigation,” Les Morris, a spokesman for Simon Property Group, said in a statement. “Nonetheless, we have acted in accordance with our agreements as we continue to invest hundreds of millions of dollars in Woodbury Common to enhance food and retailer
offerings, customer amenities and parking facilities.” On a recent chilly Wednesday morning, the former thriving food court resembled more of a barren wasteland. With no heat, the nearly vacant building felt nearly as cold, if not colder, than it did outside. There was no joyous music playing over the speakers as there was 1,000 feet away at the toasty Market Hall, which was packed with hungry holiday shoppers eating at one of its 11 restaurants that include Chipotle Mexican Grill, Kung Pao Wok, Pret A Manger, Pinkberry and McDonald’s. The only sounds were the click-clack of shoppers’ heels using the former food court as a shortcut to other stores. But Saran’s franchise did see a relatively steady flow of customers — about 20 in a half hour span. Its 44 tables sat empty, minus two women sipping coffee and a construction worker who used the space to eat his pre-packed lunch. Signs in front of Saran’s Au Bon Pain flaunted the complimentary Wi-Fi at Market Hall and pleaded diners to go there instead. Stephen Yalof, CEO of Premium Outlets and senior executive vice president of Simon said in September that Market Hall, part of a multimillion-dollar property renovation, increased capacity by more than 60 percent to 900 patrons and brings with it added amenities like cell phone charging stations and improved family restrooms. “We responded to our shoppers’ demands for a more diverse and higher quality dining experience with healthier options,” Yalof said. “The new Market Hall was constructed to provide the 13 million people who visit Woodbury Common Premium Outlets each year with more food choices and other modern amenities, ultimately adding comfort and convenience to their shopping experience.” For now, Saran and franchise general manager Jimmy Sotelo will continue to operate out of the old food court, braving the unsightly wall and lack of heat during the holiday season.

INBRIEF THREE TENANTS JOIN REVAMPED VALHALLA OFFICE BUILDING New Jersey-based owners of 465 Columbus Ave. in Valhalla said the approximately 100,000-square-foot Class A office building is near full occupancy with the additions of three tenants. KABR Real Estate Investment Partners LLC and Capstone Realty Group Inc. announced that three divisions of Westchester Health Associates, the multispecialty physician group practice based in Katonah, recently signed 10-year leases for a total of 15,000 square feet of office space at 465 Columbus. In addition, two divisions of Royal Philips N.V., the Dutch technology company, have signed five-year leases at the recently renovated building. Philips Electronics will lease 6,100 square feet and Philips Lighting will lease 1,100 square feet of office space. The Valhalla building is near Westchester Medical Center, where hospital officials in June announced a $500 million, 15-year partnership with Royal Philips Electronics to provide managed services for the medical center’s expanded health network in the Hudson Valley. Craig Ruoff and Rick Rakow, of Rakow Commercial Realty Group in White Plains, brokered the Westchester Health Associates deal for both the tenant and KABR/Capstone. The landlord said Philips Lighting and Philips Electronics were represented by Reid Mauro, associate at Jones Lang LaSalle. KABR and Capstone in 2012 acquired the 27-acre Columbus Avenue property from lender GE Capital after its previous owner, Westport-based Abbey Road Advisors LLC, defaulted on a $13.6 million mortgage. It was the first purchase in Westchester for the real estate partners, which target distressed commercial properties for purchase. Based in Englewood, Capstone since 2008 has purchased more than $250 million of defaulted commercial mortgages and commercial real estate, according to the company. “The execution of leases by Philips and Westchester Health reaffirm our strategy of purchasing well-located, distressed commercial assets at the right basis, investing in significant physical improvements, and then bringing the properties back onto the market with an aggressive leasing strategy,” said Adam Altman of KABR Group in a press release. The New York City Department of Environmental Protection leases approximately 50 percent of office space at 465 Columbus. Other tenants include Sleep Services of America and Effective Telemarketing Inc.
HEALTH CARE, EDUCATION FIRMS LEASE RIDGE HILL OFFICES A surgical specialty group and a computerbased testing company have leased space at 73 Market St. in Westchester’s Ridge Hill, the 1.3 million-square-foot mixed-use development in Yonkers. The long-term leases were announced by Colliers International, the brokerage representing Ridge Hill’s Brooklyn-based owner, Forest City Ratner Cos. Scarsdale Oral Surgery has leased 4,000 square feet of space for a new surgery center, the practice’s fourth location in Westchester County. Pearson VUE, part of London-based Pearson PLC and the Pearson Education family of companies, leased 2,500 square feet of office space. The company, which does professional licensing and certification testing, expects to open its Yonkers office by the end of this year, according to Colliers brokers. Both tenants will occupy the third floor of the 250,000-square-foot Class A building. Representing the landlord in the deals was the Colliers International team of Al Gutierrez, executive managing director of the firm’s Stamford office, senior managing director Ian Ceppos, director Stephanie Coleman, and associate Cameron Paktinat. Westmed Medical Group occupies the second floor of 73 Market St., while the first floor includes both retail and office space. Colliers is marketing the third floor as multitenant space. Colliers brokers said approximately 50,000 square feet of space is available in the mixed-use building.
EX-IM BANK RENEWED AS PART OF U.S. TRANSIT BILL President Barack Obama signed off on a $305 billion transportation-funding bill Dec. 4 that also renewed Export-Import Bank of the United States. The legislation, which renews the Ex-Im Bank’s charter through Sept. 30, 2019, was voted in favor of overwhelmingly by both parties in both chambers of Congress on Dec. 3. The 81-year-old credit agency expired for the first time in its history in June after the House of Representatives failed to vote on a bill that would have renewed its charter. For more than five months, the agency, which helps U.S. companies decrease risk with overseas business transactions, has not been able to process applications or take on new business. Data on the Ex-Im Bank’s website showed that since 2007 around 30 businesses in Westchester and Rockland counties have used the agency, exporting about $820 million worth of goods during that time. — John Golden and Colleen Wilson

Frank’s Nursery property may become assisted living facility BY COLLEEN WILSON cwilson@westfairinc.com

ollowing years of controversy involving legal skirmishes, an environmental study, an auction that never happened and dozens of town board meetings, the environmentally tainted property known as Frank’s Nursery is expected to be voted on and passed by local lawmakers to authorize a $3.5 million purchase and sale agreement. If approved by the Greenburgh Town Board, the purchaser, Capitol Seniors Housing LLC, looks to build an assisted living facility at 715 Dobbs Ferry Road.
with between 90 and 100 units. According to the agreement, the developer will clean up the property using funds the town puts into an escrow account. The cost of the cleanup cannot exceed $2 million, according to the drafted agreement, and will be determined through “feasibility study” talks with the state Department of Environmental Conservation, the town and Capitol. After the cost of environmental remediation is determined, Capitol will have 24 months to acquire the necessary permits, licenses and approvals, including licensing and approval by the state
Department of Health required for assisted living facilities. In a memo, Harold J. Bordwin, principal and managing director at GA Keen Realty Advisors hired by the town in 2014 to market the property, advised the town that based on the “property’s environmental conditions and restrictive zoning” the offer made by Capitol is the “highest and best in the marketplace.” The property was contaminated with about 500 gallons of carcinogenic No. 2 fuel oil in 2001 when the Frank’s Nursery & Crafts site was owned by S&D Realty. The town acquired the 7-acre property

after it was foreclosed on after the realty company filed for Chapter 11 bankruptcy. The situation got messier in 2011 when around roughly the same time Greenburgh received offers from two different sport facilities that made offers for the property. Game On 365 LLC put up $1.7 million for the land and a promise of $1.3 million over 13 years. House of Sports, of Ardsley, offered a cash deal of $3.5 million. Ultimately, neither was chosen after both companies threatened lawsuits if Greenburgh chose either deal. Woodard & Curran Engineering, a Harrison-based company, was hired in 2013 to study the site and found it could cost millions to clean up. In June 2014, the Keen brokerage firm was hired and an auction was scheduled for November 2014, which fell through after bidders hesitated over making offers without knowing more specific environmental costs to fix up the site. The Capitol development group was one of four applicants – the others being a storage facility, a 200-unit apartment complex and an independent living facility – considered after the auction process earlier this year by Keen when it was decided the town should work with a preferred buyer. From there, Keen, the Greenburgh Town Board and the community discussed the options, which found that an assisted living facility that would not require rezoning was most desirable. At press time, the town board had not yet met, but was scheduled to vote on the resolution Dec. 16.

Health Republic was one of 23 consumeroperated and -oriented plans, shortened to co-ops, created around the country through the federal Affordable Care Act to make insurance marketplaces more competitive. Twelve of those co-ops no longer exist, which is in part due to promised federal funds that were not disbursed after getting cut from the budget. Fuirst said he had to tell his employees they were no longer covered and would need to pick a different plan that would likely be significantly more expensive. “It caused tremendous stress to everyone involved, employees, especially those who had certain doctors (and) had made changes back in September,” he said. “I think the DFS has been very transparent, but it moved much quicker than anyone had expected because initially they said the small groups were not going to be impacted.” Fuirst’s business is one of 9,784 small groups that were insured with Health Republic in Westchester County and have

her organization, the passed budget will maintain $1.4 million in Title XX funding and will restore funding for the child care subsidy specialist position, which would have otherwise been eliminated. “Together, we made it clear that quality early care and education is a priority not only for families who want their children to reach their full potential, but for the business community who will count of today’s children to be tomorrow’s workforce,” Halas said. Not all were pleased with the passed budget. County Legislator Alfreda Williams, a Democrat representing District 8 (Elmsford, Greenburgh, Sleepy Hollow and Tarrytown) who voted against the budget, said it is not balanced and does not provide the same financial flexibility that past budgets have allowed for, adding that it will not cover expiring union contacts, the settlements for which she estimated could reach $20 million. The budget expects a 4 percent growth rate in sales tax revenue next year, which she called an “aggressive assumption,” especially in comparison to the 1-to-2 percent sales tax revenue growth many county municipalities budget for, according to independent auditors. “While we have a ‘balanced’ operating budget with no tax increase, the 2016 budget

started looking for new insurance carriers. North Shore-LIJ CareConnect Insurance Company Inc., headquartered in East Hills, is one of many insurers looking to draw former Health Republic customers. And so far, that has overwhelmingly been the case, according to the network’s president and CEO Alan J. Murray. “In November, CareConnect had approximately 29,000 commercial members and we more than doubled for Dec. 1,” Murray said. The majority of those small group enrollees, he said, had been Health Republic members. Murray said the quick turnaround to get customers insured was also a challenge for CareConnect, whose network includes Mount Kisco Medical Group, Phelps Memorial Hospital Center, Montefiore Health System and Westmed Medical Group. “We’re talking about a population that lost their coverage and are both nervous and fairly desperate to get a security blanket,” he said. From an operations perspective, Murray said CareConnect employees were working overtime in order to field the increased
is structurally imbalanced and will create significant financial challenges for the county and taxpayers in the future,” Williams said. “It ... will wind up spending more money than Westchester County has at the moment.” Her concerns over sales tax were also echoed by County Legislator Catherine Parker, the Democrat who represents Mamaroneck, Rye, Larchmont and portions of New Rochelle and Harrison in a separate statement. The $216 million capital budget, also approved by the Board of Legislators, will help fund the roughly $1.3 billion backlog of approved capital projects, Williams added. Following the Westchester County Board of Legislators’ vote to restore nonprofit funding in the proposed 2016 county budget, officials from Nonprofit Westchester and the League of Women Voters of Westchester called on a moderate sales tax increase in 2016 out of concerns of whether the budget “provides sufficient revenue to ensure fiscal health” going forward. No such tax increase was adopted. Astorino has maintained since taking office in 2009 that he would not implement any tax levy increase. Board of Legislators Chairman Michael Kaplowitz, a Democrat representing District 4 (New Castle, Somers and Yorktown), said that although he voted in favor of the budget and called it a “vast improvement” over Astorino’s proposed budget, he was concerned about the budget’s viability going forward because of an estimated $10 million
number of calls, process applications and get new member information and cards sent in the mail. “While I think we did a good job, we still had a lot of nervous consumers,” he said. And consumers aren’t the only ones feeling anxious. Hospitals, physicians and other health care providers have yielded hundreds of millions of dollars in unpaid claims across the state from the roughly 200,000 people once covered by Health Republic. Kevin W. Dahill, president and chief executive officer of the Suburban Hospital Alliance of New York State LLC, wrote a letter to the state Department of Health and Human Services earlier this month to express the group’s concerns about unpaid claims. “While we understand that the state’s most urgent priority was ensuring continuing coverage for Health Republic’s members, there has been no direct communication from the state to providers about how to manage this transition or how the state intends to address unpaid claims,” the letter said. The alliance, which includes 51 hospitals
in the Hudson Valley and Long Island, said in the Dec. 4 letter that nearly $100 million is owed in reimbursements from the insurer. Health Republic also owes $265 million in federal loans that were lent to get the co-op off the ground. The state Department of Health and Human Services did not reply to requests for comment. A spokesman with the state Department of Financial Services said in an email: “The department is working to ensure the orderly wind down of the company and preparation for a liquidation proceeding to make sure claims are paid to the fullest extent possible allowed by available assets.” The mitigation efforts made by the state include hiring an independent monitor to take over the management of Health Republic as it closes shop, automatically enrolling individual customers into plans with comparable coverage for the month of December, and extending this month’s open enrollment deadline date for coverage in 2016 to Dec. 19 from Dec. 15. The Department of Financial Services is also investigating the accuracy of Health Republic’s financial reporting.

sales tax shortfall in 2015. “There are some elements of the budget that will require close supervision throughout the year,” Kaplowitz said. “We saw diminished sales tax revenue this year because of plummeting fuels costs which will leave us short of what we anticipated. As a result we will likely have to use dollars from our fund balance to make up that shortfall. I am afraid that we may find ourselves in a similar position next year.” Kaplowitz said the county sales tax rate, which currently is the fourth-lowest in the state at 7.375 percent, was considered being
raised to 7.9 percent after a zero percent growth rate in 2015. That bump would have brought in roughly $75 million to the county, which would have been shared with school districts and municipalities, he said. He added that every percent that the county tax rate does not grow means an annual loss of roughly $5 million in funds. A 1-percent property tax increase that would have cost each household roughly $17 was also being considered. Kaplowitz said Astorino promised not to veto the budget. He is expected to sign it later this month.

state Supreme Court judge has separated a lawsuit contesting the expansion of an existing Yorktown BJ’s Wholesale Club to include a gas station and the arrival of a Costco Wholesale and members-only gas station into two separate cases. The lawsuit against the Town of Yorktown was adjourned Dec. 16 at the state Supreme Court in White Plains, with the next scheduled appearance set for Jan. 20. For the newly filed lawsuit against Breslin Realty Assoc., the parent company of the developer of the Costco project, the next appearance was scheduled for Dec. 17. State Supreme Court Judge Francesca E. Connolly ruled in October that the suit, filed by local independent gas station owners in April amid concerns of the bigbox stores’ ability to sell gas at cheaper prices, would be split up because of individual project differences. In April, Yorktown Smart Growth, a citizens development watchdog group; Yorktown Gas Mart Inc.; and Quick Stop Central Ave. Inc. filed a lawsuit both against the town and Breslin Realty Assoc., the parent company of Retail Store Construction Co, the Garden City developer that plans to construct a 151,000-square-foot Costco location with a 12-pump, members-only gas station on a nearly 19-acre parcel at 3200 Crompond Road. Also challenged in the suit is a rezoning that would allow for the construction of a gas station at the existing BJ’s store at 3303 Crompond Road. The Town Board last December approved both the special permit applications filed by Costco and BJ’s that would allow for the construction of gas stations at both properties. The Yorktown Planning Board approved the $60 million Costco plan in November. The plaintiffs have argued that the projects should be heard together because they would allow “for the first time in Yorktown, the development of retail ‘bigbox’ stores in combination with gasoline filling stations.” New Paltz attorney James B. Bacon is representing the group. According to court documents, the petitioners argue nine legal violations, including that the Town Board is violating its own zoning code, which contends that gas stations can only be paired with small retail stores; both the rezoning of the BJ’s property and the approval of special use permits for both BJ’s and Costco were in
contravention of the Yorktown comprehensive plan; and the BJ’s re-zoning is impermissible spot zoning. The town called for two separate proceedings, arguing that the projects are distinct. While BJ’s is looking to expand on its existing location, the Costco project involves an entirely new warehouse club and gas station on a separate piece of property. In her analysis, Connolly sided with the town.
“Other than the similarity between the type of business conducted by these entities, the five administrative determinations that are the subject of the petition are, in fact, quite distinct from one another,” Connolly wrote. “The Costco project constitutes an entirely new development, whereas the BJ’s project involves the expansion of an existing retail location.” “The petitioners’ allegations of spot zoning pertain only to the BJ’s project,”
she added. The suit also names BJ’s; the Yorktown Town Board, the Yorktown Planning Board, UB Yorktown, LLC; Realty Income Pennsylvania Properties Trust 2; 3200 Crompond, Ltd.; and Best Rent Properties 202, LLC. The defendants argued that the big-box stores could sell gas at cheaper prices and cited traffic studies that showed a sharp uptick in congestion should both plans come to fruition.

The more your people understand what makes the numbers work, the more they can help ensure a profitable year.

This week’s dilemma: Office staff doesn’t know enough about our accounting system, or accounting in general. The accounting department says they’re overwhelmed. If anyone in that department is out sick, they get really behind. Space is very limited in accounting, and they’re dealing with a lot of interruptions. We could be doing a better job with the numbers side of the business. Any suggestions?
The more interruptions in accounting, the worse things get. Mistakes get made. People have to go back to the beginning of what they were doing before the interruption and start over. Things get lost. Priorities get interrupted. You don’t want any of that when it comes to managing the financial side of your business. While it is helpful to have people in accounting interacting with the rest of the company, there’s a time and a place to do that productively. Identify space in the building where the finance department can be set up as a working unit. Having a door to limit access to the finance department can cut down on disruptions and keep out people who don’t belong in there or would be a distraction. Make sure that records are kept locked up, as you don’t want sensitive information leaving the department. Give finance their own printer so that the checks and reports they print remain within the department. Make sure that accounting is well staffed and well trained. When they have problems staying on top of tasks such as invoicing, collections, managing inventory, reporting and analysis, that can spell big trouble for the company. Look at seasonal swings in the business where the accounting workload might increase or decrease significantly. Don’t wait until the last minute to hire temporary staff. Line up assistance from an outside agency to help with short bursts of workload. Consider turning to your accounting firm for additional analysis help in peak season. Only hire people whose background checks come back pristine — don’t take risks with your money. Assign analysis to a top person in the finance department. Ask that person to set up key measure reports that can be easily populated and graphed by staff. Expect weekly, monthly and quarterly reports on the finances of the business. Some of the things you want to look at include: gross profit and net income, amount in accounts receivable and its relationship to invoicing, comparison of accounts receivable to accounts payable, amount of cash on hand, cash flow report, number of overtime hours, and amount invoiced. The list can seem endless. Agreeing on a standard set of items to track and the format in which they are reported with simplifies things for everyone. Other people in the company can help the accounting department get its job done. Entering data that goes into invoices can be done by sales and operations personnel. They can also make calls to collect outstanding accounts, keep a watch on overtime and help price out materials. Define roles and expectations including turnaround times, so that everyone is on the same page. Accounting, page 9

ollowing an investigation by Attorney General Eric T. Schneiderman into the legality of daily fantasy sports betting games, a New York State Supreme Court judge has ruled that websites DraftKings Inc. and FanDuel Inc. are barred from doing business in New York. Justice Manuel J. Mendez on Dec. 11 granted a preliminary injunction to block either of the organizations from accepting entry fees, wagers or bets within the state. However, an appeal by both sports fantasy juggernauts on the grounds that they were accepting entry fees rather than wagers was granted later Dec. 11 by the court, allowing them to continue operating until January when the issue can be addressed by a panel of judges. “We are pleased with the decision, consistent with our view that DraftKings and FanDuel are operating illegal gambling operations in clear violation of New York law,” Schneiderman said. “I have said from the beginning that my job is to enforce the law, and that is what happened today.” In a statement, DraftKings officials said they were “deeply disappointed” in Mendez’s ruling, and encouraged players to reach out to legislators in support of their operations. Officials said the immediate stay of the injunction means “that you can continue to play
daily fantasy sports in New York for now.” “We expect an appellate court to see what we have seen from the outset: that DFS is a game of skill, one that builds community and whose competitive spirit has become central to the lives of millions of people,” the statement read. “Our appeal will make clear that daily fantasy contests require just as much skill as do season-long contests, which the Attorney General recognizes as perfectly legal under state law.” Schneiderman’s office first launched an
investigation into FanDuel and DraftKings on Oct. 6, after allegations that employees of the websites used inside information to gain an advantage in winning fantasy competitions. DraftKings Written Content Manager Ethan Haskell allegedly won $350,000 this fall playing on FanDuel, a rival company, which brought into question the inside information daily fantasy company employees may have. According to court documents, “The NYAG claims that the ‘entrance fee’ is not returned in the event of a loss and because
the statute only requires ‘something of value,’ not requiring that it be classified as a ‘bet or wager’ the ‘entrance fee’ is sufficient to establish gambling,” A cease and desist letter was delivered to both companies on Nov. 10, and FanDuel filed a complaint arguing that the company functions as a game of skill. Lawyers for both New York-based FanDuel and Boston-based DraftKings have argued that daily fantasy competitions are games of skill. The companies are each valued at more than $1 billion.

D
elivery truck crews unloaded boxes of new office furniture in a lifting morning fog as Joseph D. Roberto began the work week in his new corner office in his company’s new headquarters in Yorktown Heights. Framed photos of New York Yankee greats on the walls of his CEO office were among the few adornments already in place in the 25,000-square-foot headquarters of PCSB Bank. The bank’s colorful new logo, featuring blue lettering and a green-leafed blue tree, was newly mounted behind the reception desk in the small front lobby. Roberto led a visitor on a tour of the single-story office at 2651 Strang Boulevard in Northern Westchester Executive Park as bank employees in the first wave of a staggered relocation settled into their departments’ new quarters and learned to navigate an initially confounding maze of corridors. Romero, the bank’s president, chairman and CEO since 2012, said about 65 to 70 employees will work in Yorktown Heights when the relocation is completed in mid-January. Built 50 years ago, the approximately 150,000-square-foot building originally was occupied by IBM Corp., said Romero, and later by Empire Blue Cross/Blue Shield, but has been largely vacant for a few years after the health insurer relocated in the Hudson Valley. Mercy College is the building’s only other tenant. The office park’s landlord, GHP Office Realty LLC, last year acquired the two-building property, the former Taconic Corporate Park, after a previous owner defaulted on a $14.5 million mortgage. GHP said it invested $6 million in capital improvements last winter. PCSB officials said the landlord gutted the space and redesigned it for the new bank tenant in a 4-month buildout. Roberto opened a door and pointed to a long conference table. “We finally have a boardroom that will fit everyone” on the bank’s nine-member board, he said. The new headquarters also has an employee training classroom that Roberto said might be made available for community uses. “It seems like a lot of space, but it will be filled,” he said of the still largely empty office.

“This was the perfect location, because two miles up the highway, you’re up in Putnam County,” where many PCSB employees live, said Roberto, an East Fishkill resident. The Yorktown location also puts the bank’s headquarters at the center of its expanded geographical footprint. Until a few months ago, PCSB operated as Putnam County Savings Bank, a statechartered mutual savings bank based in Brewster that has operated in that county since 1871. The name change and the move of its corporate operations center to northern Westchester follows the bank’s expansion into southern Westchester County this year with its acquisition of CMS Bancorp Inc. in White Plains and the publicly traded holding company’s five CMS Bank branches in Eastchester, Greenburgh, Mount Vernon, West Harrison and Mount Kisco. With the acquisition, PCSB has $1.2 billion in assets and a total of 182 employees, up from about 145 employees previously. PCSB’s main banking office will remain in Brewster. The formal name change — the acronym already was commonly used by the
bank and its established customers — with the bank’s new logo — the tree’s 15 leaves only coincidentally match the number of PSCB branches in four counties — “kind of symbolizes the rebirth of the bank in terms of what we’ve tried to accomplish,” said Romero. “Putnam has always been the sleepy bank. It existed for 143 years but no one knew about it.” For Romero, the CMS acquisition has been more than a strategic business move he opportunely pursued. “Personally, I’ve kind of gone full circle,” he said. A Mount Vernon native, Roberto opened his first bank account at the former Mount Vernon Savings and Loan with earnings from his newspaper delivery route. That bank later became CMS. PCSB now operates its southernmost branch in Mount Vernon. Roberto’s own start and rise in a nearly 43-year banking career seems a story from a bygone American era. A 1970 graduate of Mount Vernon High School, he was pursuing business studies at Pace University with no clear career ambitions and packing groceries at the former
Ashburton Food Center in Yonkers, where Roberto’s father was store manager. A vice president of Yonkers Savings and Loan Bank shopped there every Saturday, Roberto recalled, and the Pace student was regularly rewarded with a 10-cent tip for carrying the banker’s groceries on a three-block uphill walk to his home. The banker one day offered the grocery clerk a job as a teller. “I never thought I was going to get into banking at all,” Roberto said. “I looked at it as an opportunity. I said, why not? I took the job.” At 20, he began work at Yonkers Savings and Loan. He never completed studies for a college degree. “I grew with the bank,” he said. Twentythree years after his hiring, he was named CFO when the Yonkers savings bank went public in 1996. By 2002, when the bank was sold to Atlantic Bank of New York, it had grown from one branch and $50 million in assets at the start of Roberto’s career to nine branches and $650 million in assets. “Back then with a small community bank like that, you were allowed to understand all aspects of banking,” he said. “You really weren’t specialized in any one area. Today, everybody’s a specialist. It’s a little tougher today to have to ability to grow with the bank.” Leaving the Yonkers bank after its sale, “I bounced around for three years” in posts at four banks, Roberto said. “I wanted to find a spot where I could spend the rest of my career.” Roberto had sent his executive resume to Daniel Ryan, president of Putnam County Savings Bank. Three years later, he heard back from Ryan. “I said, ‘I’ve been waiting by the phone for your call for three years.’” Roberto in 2005 was hired as CFO at Putnam County Savings Bank. After Ryan’s retirement in 2011, Roberto the next year was named to succeed him as president, chairman and CEO. “When I took over the bank, I had a different vision for the bank,” he said. “I thought we had something special here.” With its footprint in Putnam, northern Westchester and southern Dutchess counties, “I believed the bank had the potential to be a force for banking in the Hudson Valley” that could compete with larger regional banks. Consolidations in the industry had caused a “dramatic decline” nationwide in the number of banking institutions, leaving a void in the community banking sector, Roberto said. The Westchester Bank, which opened in 2008 in Yonkers, had filled the void left by Yonkers Savings and Loan. Greater Hudson Bank, founded in 2002 and recapitalized in 2008, had similarly stepped
in to meet a need for community banks in the region, he said. “That’s what we looked at as a great opportunity for us,” Roberto said, “believing that our size — almost $1 billion — gave us some nice flexibility” to make larger commercial loans of up to $15 million and compete with regional banks while providing the smaller business loans, home mortgages and personal service of a local bank. PCSB in 2013 opened its first Rockland County branch in New City. But Roberto had visions of expansion in his native Westchester, where the Brewster-based bank had three branch offices. Opportunity came when CMS Bancorp’s announced $20.8 million merger deal with Customer Bancorp Inc. in suburban Philadelphia was terminated in 2013. Roberto said he began negotiations with CMS after that deal fell through. Putnam County Savings Bank in 2014 agreed to acquire CMS in an approximately $25.4 million all-cash deal completed earlier this year. “The merger with CMS Bank did give us a nice solid footprint in the White Plains area and south that we did not have before,” Roberto said. As a community bank, “We will still maintain the philosophy that person-toperson customer service is important, and a good portion of our customer base. We realize that not everybody embraces technology in the banking world today.” Does PCSB plan to further expand in Westchester and the Hudson Valley? Not in the near future, Roberto indicated. With the CMS deal and the move to new headquarters, “It’s one of those things now where you’ve got to let everything settle in,” he said. “If there are opportunities, we’ll just extend our footprint,” said Roberto. “It has to make business sense for us.”

I
n addition to caroling and secret Santa gift exchanges, there’s a new holiday tradition of top 10 lists for year-end reflection and yearahead planning. With all due respect to David Letterman, we’re getting in on it, offering you our top 10 ways to make the most of your investments in 2016. The list is in no particular order. 1. Take stock of investment gains or losses. It’s been a volatile year in the markets. As of mid-December, the Dow Jones Industrial Average (DJIA) is -3.1 percent, S&P 500 -2.3 percent and NASDAQ +4.2 percent (the week before it was up 8 percent). Interest and money market rates remain low, so bond returns are anemic as well. Taxes are the largest eroding factor on your investment portfolio. Balancing out losses and gains — even outside of your portfolio — makes good tax sense. J. Paul Getty was quoted as saying “You can make more money saving taxes than you can by making more money.” Do a quick inventory of your portfolio now and have a discussion with your financial adviser. 2. Check ex dividend date on year end mutual fund purchases. Most mutual funds follow the above advice and trim their portfolios at year’s end. They pass those gains on to investors as dividends, and the share price drops accordingly. (Index funds tend to minimize this.) You have little control over when and how this happens, but bear the tax burden. Be sure to factor this into year-end tax planning, and your gain/loss calculations. Also keep this in mind when making new mutual fund purchases between now and year’s end. It may describe why share process look like they are trading at a low. 3. Consider (or reconsider?) a Roth conversion. Back in 1997 — a senator from Delaware — William Roth — impacted U.S. tax code and the retirement planning of millions of Americans. The concept was to allow investors to pay income tax on their IRAs (from another pocket) and let the balance grow tax free. It’s a major upgrade from tax deferred. Roth provisions are now available in 401(k)s as well. This concept is often misunderstood as a planning tool. In the broadest sense, “Rothing” your IRA or 401(k) (yes, it is now a verb) makes sense for two categories of taxpayer. The first are those who will find themselves in a higher tax bracket. The second are those who have high retirement account balances and want to avoid being forced to take minimum distributions. 4. 401(k) bucket property filled up? Federal limits on contributions to a 401(k) are now higher than they have ever been. Taxpayers may defer 100 percent of their income up to $18,000 per year into a program (plus an additional $6,000 if you are age 50 as of 12/31/2015). Same deal for 403(b) or 457 plans. These limits have not been increased for 2016. A reminder: These limits are per person, not per employer. So, if you changed jobs this year and deferred $10,000 in your old job, the limit in your new job
Top 10 investment tips for 2016 is $8,000. Of course, your new employer has no knowledge of what you deferred in your former position, so keep those old pay stubs! 5. Is your FSA bucket empty? Many employees have activated a type of feature in their medical plan that allows the employer to save for unreimbursed medical expenses on a pretax basis. These plans (called Flexible Spending Accounts) have annual “use it or lose it” provisions. So, if you have a balance, be sure to sift through the pile of statements from your health insurance provider and submit that through your payroll or benefit administrator. That money may help offset the cost of the latest X-Box controller your child has been begging for. An important thing to note: As of last year, firms are allowed to modify their FSA rules to allow for a $500 carryover. This is optional — not required — so check with your HR department. 6. Check itemized deduction limits. Taxpayers who itemize are allowed to deduct certain expenses above a threshold of adjusted gross income (AGI). The calculation often requires a bit of effort (AGI is your gross income minus certain deductible expenses, so it may take a draft tax return to identify). The most common expenses are unreimbursed medical, certain moving expenses, some types of alimony, etc. Bottom line: Paying off that carryover hospital or doctors bill may be more effective before year’s end. 7. Consider gifting annual exclusion, medical/educational. Worthy of a top ten list on its own, estate planning rules can be cumbersome and clunky. The most common are the annual gift exclusion and medical/educational exclusions. Every American taxpayer who is a U.S. citizen is allowed to gift any other individual $14,000 per year (email me for direct deposit instructions). For a married couple, that means $28,000 per child or grandchild that can come off the top of their estates. A less frequently used, but potentially more powerful provision is the unlimited amount that may be paid for education or medical expenses. That means that your wonderfully sweet Aunt Betty who loves your kids can pay all four years of Harvard (probably close to $300k) or for those new braces. The catch is that the check must go directly to the provider or the institution. 8. Have you taken RMDs? For high earners, consider donating that RMD directly to a charity. The government spends a significant amount of time creating rules to encourage longterm retirement savings. Then, of course, they force you to take it by a certain age (generally, 70½ years). They even publish a chart that tells you what the minimum is based upon your age. The older you get, the more you must take. They take this system quite seriously as evidenced by the fact that failure to take your required minimum distribution results in a 50 percent penalty on the income not taken. (PLUS income tax on the amount once you take it). Most brokerage
firms have this reasonably automated, but don’t let it slip through the cracks. It can be an expensive oversight. 9. Review your 2016 withholding amounts. For most of us, claiming the number of exemptions that apply to withholding taken from each paycheck is a “set it and forget it” exercise. Changes in income or deductions can have an impact on what you must, or should, have withheld. Since all of this simply amounts to a tax-free loan to the federal government, be sure to sharpen that pencil and revisit the calculation every few years. In the end, you will owe the same tax either way. It’s just a matter of who keeps your money (or
arguably theirs) and for how long. 10. Begin now to organize your tax records. Most of us have a financial junk drawer or two — or ten. Accurate records are the key to proper tax planning. Not only in the event of an audit, but even when it comes time to hand that box or records and receipts over to your tax preparer. Financial programs like Quicken and eMoney have made this somewhat easier. A little effort now (while your memory is relatively fresh) can save much frustration, or inaccuracy, later. WCA HAILS BIPARTISANSHIP IN PASSING In a commendable act of bipartisanship, the Westchester County Board of Legislators voted to pass a budget for 2016 that held the line on any tax increases and restored cuts to nonprofits, parks and public safety. “We applaud County Executive Rob Astorino and Chairman Mike Kaplowitz, Vice Chairman Jim Maisano and their colleagues on working together in a collaborative bi-partisan manner to pass the budget in a timely fashion,” said Bill Mooney, President and CEO of the Westchester County Association. That’s the good news. “But the WCA would have preferred that lawmakers not continue to borrow from the Reserve Fund to cover operating expenses. If we continue that practice, there is a real danger that we could lose our AAA credit rating,” Mooney noted. He also observed that the systemic issues threatening the county’s fiscal health—namely mounting healthcare costs, continued borrowing, state mandates, and unrealistic assumptions about projected sales tax revenues—need to be addressed.

Congratulations to the 24 newest graduates of the Jobs Waiting boot camp program managed by the WCA. This federally funded program, run by the Westchester-Putnam Workforce Development Board, is retraining the long-term unemployed in the Hudson Valley in skills needed in today’s healthcare industry. Employers are touting the program as a time-and-money saver in recruiting new employees. The first class graduated from the boot camp held in Westchester County; this class was held in Orange County. In total, 425 will be retrained across seven counties. Employers attending the graduation party were Crystal Run Health Care, Orange Regional Medical Center, St. Luke’s Cornwall, and Orange County Partnership.

PROMOTION AT MACQUESTEN DEVELOPMENT CLANCY RELOCATION HONORED Movers Clancy Relocation and Logistics of Patterson, an agent for United Van Lines, earned the “Performance Excellence Award” for 2015, which recognizes agents who have a relentless focus on customers’ needs and expectations. Founded in 1921, Clancy joined United Van Lines as a founding member in 1947. It expanded to Patterson from Westchester in 1978, building its new headquarters there in 2001. HEATING FUEL DONATED TO SPCA Combined Energy Services (CES), a local family-owned fuel oil and gas supplier, recently donated $3,000 in heating fuel to the Sullivan County SPCA in Rock Hill, which provides compassionate care and safe shelter for lost, abandoned, hurt and homeless animals. The shelter also provides additional resources in assisting with the location of a lost pet and counseling and assistance with the adoption process. “This yearly donation is something we look forward to,” said Michael Taylor, CES co-owner. “As the cold weather approaches, we understand the difficulty for nonprofits and even more difficult for animal shelters that need to keep the heat on for the animals. These great organizations struggle to keep the lights on and the buildings warm. CES is proud to donate the heating fuel to the shelter during these challenging winter times.”
CENTRAL HUDSON HOSTS THAILAND ENGINEERS Engineers from Thailand recently visited a Central Hudson electrical substation in the town of Poughkeepsie to learn more about the utility’s innovative research and development project with superconductors for potential use of the technology in their home country. The superconducting fault current limiter, or SCFCL, is the only one of its kind in New York state and is deployed to test its ability to successfully protect critical electrical equipment against power surges, extend equipment life, improve service reliability and reduce customer costs. Glow Energy, based in Thailand, intends to purchase and install the device to protect its systems from fault currents. The visit to the U.S. included a trip to Poughkeepsie to observe a system in operation. The device was developed and manufactured by Applied Materials Inc. and installed at Central Hudson’s Knapps Corners substation and is designed to help protect the electricity grid from fault currents or sudden power surges caused by lightning, or downed or crossed power lines. “Increasing levels of fault currents are an issue faced by utilities across the world, and this device is a solution to this persistent problem,” said Paul Haering, vice president of engineering at Central Hudson. The SCFCL system in Poughkeepsie has to date operated for nearly 18 months under a variety of environmental conditions, including temperature extremes and heavy snow. It is the longest continually functioning SCFCL placed in actual service in North America. The system has performed as expected and data from the project will be shared with the New York State Energy Research and Development Authority (NYSERDA).

PHELPS EXPANDS SERVICES IN CROTON Community open houses and a ribbon-cutting ceremony were held recently to celebrate the expansion of the Phelps Medical Associates medical suite and Phelps Radiology services located in the ShopRite Plaza at 440 South Riverside Ave. in Croton. Croton Mayor Leo Weigman, New York state Assemblywoman Sandy Galef, Westchester County Legislator Catherine Borgia and town of Cortlandt Supervisor Linda Puglisi (who presented a certificate commemorating the occasion), were among the guests at the event. The expansion is in response to increased demand for access to Phelps physicians and radiology services in the Croton area. At more than 7,000 square feet, the space is nearly double its previous size. The radiology suite, in addition to its regular services, now offers 3D mammography, breast ultrasound and bone densitometry. Phelps Medical Associates is a growing primary and specialty care medical group, currently comprised of 49 health care practitioners located in medical offices throughout Westchester County.

The Dutchess County Regional Chamber of Commerce collected old and obsolete cell phones for recycling to benefit The Chamber Foundation Inc., an effort sponsored by Central Hudson Gas & Electric Corp. and Quality Environmental Solutions & Technologies Inc. More than 70 phones, chargers and miscellaneous components were collected at various events and locations from September through November. SmartphoneRecycling.com has been selected to handle the recycling of the phones, which through its parent company, GRC Wireless, it has established a socially responsible, zero landfill environmental policy. This means none of the products handled in its facility are sent to a solid-waste landfill and further, the company undergoes strict Department of Environmental Protection inspections and does not send e-waste to be refined in developing countries.
