Before 1983, the majority of sales and purchases were of “freehold” properties were effected by way of a contract passed before the Royal Court. Apartments could only be transferred by the sale of a block of shares in a property holding company and only where there was no mortgage secured against the shares. Two pieces of legislation changed that: The “Security Interests (Jersey) Law 1983” which enabled a mortgage to be secured on shares and the “Loi sur la Copropriété des Immeubles Bâtis 1991” (the “Flying Freehold Law”) which enabled the freehold sale and purchase of apartments and the ability to mortgage the apartment. So what is Share Transfer? The property housing the apartments has to be owned by a holding company and Articles of Association are adopted by the holding company in which blocks of shares attach themselves to the various units within that property. Purchasers acquire a block of shares in the company which entitles them to the exclusive occupation of the allocated unit. These rights are generally similar to freehold ownership but are limited by the rules and regulations contained in the Articles of the holding company. Completion is usually effected by the execution of a Share Vending Agreement, the issue of a new share certificate, the entry of the purchaser’s name into the Register of Members of the holding company and the procurement of a Land Transfer Transfer Tax receipt. Completion can take place on any day of the week. So what is Flying Freehold? The Flying Freehold Law was introduced for the purpose of providing for the co-ownership of buildings which are to be divided into separate dwellings. This enabled apartments to be sold on a freehold basis as opposed to share transfer.
