Code of Conduct Business Principles Baseline strives to achieve long-term business relations as a basis for generating customer value, shareholder value and secure workplaces conducive to development. Our Code of Conduct must always be communicated as a natural feature of cooperation with partners. Compliance With Law A basic requirement is that we comply with laws and international conventions. We respect and comply with competition rules, environmental legislation, labor market laws, agreements and safety requirements, or other provisions that set the parameters for our operations. Human Rights And Working Principles Baseline supports and respects international conventions concerning human rights and actively promotes diversity and equality. Equal treatment and equal opportunities must apply to everyone regardless of ethnic or national origin, skin color, gender, sexual orientation, religion, political opinion, nationality or social origin. Baseline does not accept any form of mental or physical punishment, threat of punishment, or discrimination in employment opportunities or work, bullying at the workplace, or sexual or other harassment, forced labor or other types of involuntary work Child Labor No person shall be employed under the age of 15 or under the age for completion of compulsory education, whichever is higher. Juvenile workers (ages 15-17) shall not perform work which, by its nature or the circumstances in which it is carried out, is likely to compromise their health, safety or morals.

Harassment, Abuse And Disciplinary Practices Every employee shall be treated with respect and dignity. No employee shall be subject to any physical, sexual, psychological Hours of Work Suppliers shall not require workers to work more than the regular and overtime hours allowed by the law of the country where the workers are employed. The regular workweek shall not exceed 48 hours or the maximum allowed by the law of the country of manufacture, whichever is less. Employers shall allow workers at least 24 consecutive hours of rest in every seven-day period. All overtime work shall be consensual. Employers shall not request overtime hours on a regular basis. The sum of regular and overtime hours in a week shall not exceed 60 hours or the maximum allowed by the law of the country of manufacture, whichever is less. Environment Suppliers shall maintain written environmental policies and standards and must comply with all applicable environmental laws, our Code and Benchmarks, and agree to be monitored separately for environmental responsibility. Factories shall continuously monitor, and disclose to Baseline, their energy and natural resource usage, emissions, discharges, carbon footprint and disposal of wastes and take a progressive approach to minimize negative impacts on the environment. Animal Welfare Suppliers must respect animal welfare and work progressively towards adopting healthy and humane practices towards animals based on best available technology and standards.

Internal Monitors Baseline will conduct internal audits quarterly for all of our suppliers that will include interviews with employees, documentation of working conditions, and reviews of employee work eligibility. Suppliers will sign agreements stating that they have read and will abide by the Baseline Code of Conduct. Failure to abide by any aspect of the Baseline values will result in immediate termination of any and all business relations with the supplier. Audit results will be discussed with manufacturers and if any issues arise Baseline will either work with the supplier to rectify the situation or if the supplier is found to be in violation of the Code of Conduct business between the supplier and Baseline will immediately cease.

Baseline will partner with OEKO-TEX Standard 100 to assist us in ensuring that our suppliers are abiding by environmental protection policies set in place by Baseline’s Code of Conduct as well as government laws and regulations. OEKOTEX is a worldwide independent testing and certification system for raw, semi-finished, and finished textile product at all processing levels
We will strive to become certified as a B Corporation. B Corps are for-profit companies certified by the nonprofit B Lab to meet rigorous standards of social and environmental performance, accountability, and transparency.

Netherlands
The Netherlands is located in northern Europe. The country is known for its flat landscape of canals, tulip fields and windmills. The United States and the Netherlands share a liberal economic outlook and firm commitment to free trade. The Netherlands is a member of the EU and has worked with the United States at the World Trade Organization (WTO) and in the Organization for Economic Cooperation and Development (OECD) to advance the shared goal of a more open, market-led global economy. The Netherlands aims to pursue greener production outputs by switching to a bio-based economy. By moving away from fossil fuel dependency, the government hopes to
protect the natural asset base as well as prevent carbon emissions. To do so, it cooperates with sectors such as the chemical, energy and water industries, as well as academia, to develop the usage of biomass for the production of materials, chemicals and biofuel products. The laws covering employment in the Netherlands are many and various. ... The Dutch labour law system for dismissal is particularly unusual in being protective of employees: in most cases the employer needs permission from the UWV WERKbedrijf or the court to fire you. Turkey
Turkey’s located in the southeastern Europe and southwestern Asian. It’s bordering Bulgaria and Greece in the northwest, Georgia, Armenia, Azerbaijan, Iran, Iraq and Syria in the east and southeast. It’s also located in between the Black sea and the Mediterranean Sea. Due to Turkey’s geographic location, it has an 8,200 km coastline, with more than 450 seaports and 220 among them are commercial used. The maritime transportation is important that over 55% of freight are shipped out of the country. It controls the shipping route from central Asian and middle east area to Europe. Turkey has a weak labor law, thus a weak labor union. The rights of the labors are not fully protected. At least 40% of the labor in workplace are suffering from long working hours, no overtime payment, unjustified termination and prohibition of leaving during work time. Turkish government is working and trying to impose better laws to solve the problem. The minimum wage for factory worker is $ 431.76. Turkish current environment is not good. They have had pollution issues but the government has strong environmental policies and international cooperation. Turkey has been updating and modernizing its environmental laws. Turkey has a strong sector of information and communication technology. The

government has been highly support of this section too. Textile and apparel are traditional industry in Turkey. They are the first established industries in Turkey and still has a large share in Turkish industrial production and exports. Turkey has well developed production on cotton, wool and man-made raw materials. Many cotton production facilities are vertically integrated. Companies can take responsibility from fiber processing, spinning, weaving, dying, printing to finishing. Besides cotton, it’s also the world’s third largest mohair producer with fabric mills mainly located in Istanbul, Bursa, Adana, Denizli, Kahramanmaras, Izmir, Gaziantep, Tekirdag, Kayseri, and Usak. Many of them are major seaport cities too. Turkey also have a large capacity of synthetics fabric. It has large production potential on 100% polyester, and polyester blends with cotton, viscose, nylon, polyamide, wool and linen. Turkey has also adapted to the trend of healthier and moving towards of producing more environmentalfriendly products. Turkey currently does not have any trade agreement with us, but they have good relationships. Us is Turkey’s 5th export partner with other partner being countries mainly from European Union.
Singapore
The Republic of Singapore is a sovereign city-state in Southeast Asia, and the world's only island city-state.It lies one degree (137 km) north of the equator, at the southern tip of peninsular Malaysia, with Indonesia's Riau Islands to the south. The ministry of the environment and antipollution unit works endlessly to maintain air quality and other environmental factors. Transportation pollution is a principal problem in singapore's urban areas. Singapore lack of water resources makes them dependent on malaysian s u p p l i e d w a t e r. P o l l u t i o n f ro m t h e industry mainly oil increases the problem, as a solution, water is recycled after desalination. The Employment Act ("EA") is the main employment legislation in Singapore. The EA covers all employees regardless of nationality who work under a contract of service in Singapore, except seafarers, domestic workers, government employees, and managers and executives earning a basic monthly salary of more than $4,500 per month. Manufacturing industry count for a 13.3 Percent of the Singapore’s labour market. Wages in manufacturing in averaged $4406.60 Sgd/ month. Singapore is the 13th largest overall export market for the united states and
the 17th largest trading partner. US Exported $95 million in technical textiles to Singapore. Also, Singapore is ranked the second after hong kong, as a textile and apparel and business sourcing hub in the Asia-pacific region. Singapore has started focusing on developing innovative textiles new production technique. The Singapore Institute of Manufacturing Te c h n o l o g y i n 2 0 1 0 l a u n c h e d t h e nanotechnology in manufacturing initiative developing a cheaper, greener, and smarter manufacturing processes. This will add value to the textile industry. May 6, 2003 the United States and Singapore signed a free trade agreement signed by president bush. The agreement guaranteed zero tariffs immediately on all exports of U.S. Goods to Singapore in addition ensures that singapore could not increase duties on U.S. Products, while most of the tariff from U.S. goods is Singapore where eliminated and the remaining have to phased out after the ten years from the date the agreement was signed and since then singapore a g re e z e ro t a r i ff s o n u s p ro d u c t s . All textiles and apparel duties were eliminated immediately after the sign of the agreement. There is a commitments from both countries to make sure that only Singaporean and U.S. textiles and apparel benefit from these tariff preferences.

Strategy Publication Turkey has an abundance of sustainability-focused apparel manufacturers and regulations protecting the environment and human rights. The manufacturers here best align with our company's values regarding sustainable practices and creating safe and clean working environments. The leading manufacturers from Turkey that would serve Baseline best were Ipeker, and Sanko Tekstil Isletmeleri. The Netherlands have higher environmental standards and laws to prevent human rights violations in the workplace. Although they have a higher cost of production, we feel that these factors would mesh well with our values and code of conduct. The top supplier we chose from the Netherlands is Gokhan Textiles BV Singapore had a large number of manufacturers who specialize in apparel made from recycled materials.The top manufacturer from Singapore for our product would be Bodynits International Pte Ltd.

Strategy Conclusion Through our research we came to the conclusion that with their higher standards in environmental protection and superior work force,Turkey would provide us with the appropriate manufacturers that would allow us to provide our customers with quality products made from sustainable practices and materials. Ipeker and Sank Tekstil Isletmeleri will use their expertise to create our designs using recycled polyester and recycled cotton, respectively.
