SOURCING AGENT POLICY

Dear Client, This is “Before to know” part, hereafter the item list of the project we agreed to work with. This is our official process, please carefully read and return reply by email.

When this document is received that proved we have completed the initial work of Sourcing, in the meanwhile we will formally entrance into next step job, and Clients shall need clearly inform Agent if proceed or stop. If Clients not respond within 3 days, we will consider this project invalid and will not invest the necessary time and work into this project.

In order to avoid barriers or suspicion or misunderstandings in our follow work communication, and move faster. following issues will be identified: 1- Neither Agent nor its’ affiliates will act as suppliers of merchandises; 2- The agent business continues to exist, but it acts as a value-added part of our manufacturing system, and 3- Agent fees will be provided free of charges to all Clients who purchased our products; 4- Client who only need our sourcing service, which will be a default acceptation behavior and knowing that he/she will pay Agent a commission of 3 percent (3%) to 5% Percent (5%) of purchase invoice price(s) of all merchandise which are order by the Client, when a project is completed. The “net invoice price” shall be net of taxes, tariffs, duties, transportation costs, trade discounts, returns, refunds, samples and allowances. Such commission shall be separately invoiced to Client by Agent and shall be payable in AGENTD dollars upon receipt by the Client of satisfactory evidence of shipment of such merchandise to the Client (or it designated party).

5- Commission is negotiable based on a project is determined.

6- Client shall cooperate and coordinate with Agent to complete project as quickly as possible, and 7- Agent shall cooperate with all reasonable instructions of the Client, and 8- Client shall indicate the principal a positive next-step job instruction and answer Agent’s necessary question as soon as possible; 9- Agent hereby agrees with the Client to agree its best effort to perform the following services for the Client: a)

To identify and negotiate with suitable suppliers of merchandise at a price, in quantities and for delivery by dates acceptable to the Client;

b)

To assist the Client placing orders by transmitting the Client’s purchase order to suppliers and to advise the Client of delivery schedules;

c)

To inspect merchandise prior to packing, to ascertain and advise the Client whether the merchandise meets the Client’s specifications and to assure that the packing is in accordance with the instructions of Clients

d)

To present the Client’s interest in connection with any and all claims which might arise against suppliers for defective or non-confirming goods;

e)

To communicate the Client’s requirements with respect to quality standards, labor standards and security to supplier and to monitor compliance as requested by the Client, and

f)

To provide at the Client’s request, all other services typically provided by a sourcing agent in the ordinary course of business.

g)

We do not, for our own account, have any ownership interest in, or any control of, or any financial interest in, suppliers of any factories making merchandise for the account of the Client, and those suppliers or factories have no ownership interest in, or any control of, or any financial interest in Agent;

h)

We will exercise no control of the price of merchandise procured for the Client except to seek the lowest possible price (or no less favorable terms to other Clients) for the benefit of the Client and assist the Client in the negotiation of purchase contracts at competitive price(s) and on competitive terms. Any contracts shall remain subject to Client’s final approval.

i)

To secure and maintain insurance on all merchandise from and after delivery by Agent of the merchandise to the FOB port of delivery or Client’s freight forwarder.

j)

In the event that the Client shall have a claim arising out of or in connection with any of the merchandise, handling, shipment, storage or any other event occurring after delivery of the merchandise by suppliers to the

warehouse of Agent, and Agent shall its best efforts to assist Client to process the claim against the suppliers for the Clients’ account.

10- The Client hereby agrees with Agent as follows: a)

To pay all shipping, forwarding, handing, warehousing and other reasonable and customary charges against this project of such merchandise to Agent, including all customs duties, samples, travel-supplier expenses thereupon, and

b)

All merchandise invoice before shipment is ready to ship;

11- Sourcing service appended: a)

Client is buying from Agent’s Factory or Agent is employing, Agent provides limited 25 days free Warehousing Demurrage from the date of order delivered by supplier. Date Expired, EACH DAY will charge accounting on 0.3% of total remaining goods value in warehouse;

b)

Client don’t have project on Agent or part agent, agent provides limited 25 days free warehousing demurrage from the date of order delivery start by suppliers: 

Goods entrance into our warehouse from the first to last shipment from suppliers, we will charge 0.5%-3% of total goods value for Inspection and inside warehouse transportation;



Date Expired, each day will charge accounting on 0.3% of total remaining goods value in warehouse;



12- Except for the authority specifically granted by this “Policy”, it is hereby agreed and understood by the parties hereto that Agent is neither employee, general agent or legal representative of the Client, but rather that Agent is a[n independent] contractor acting exclusively on its own behalf.

13- This “Policy” is remaining confidential between the parties who shall not disclose any part of this “Policy” to any third parties unless authorized by the parties in writing.
