These brands are made in different factories and have their own ordering/delivery terms.

MINIMUM ORDERS / AUTHORISED RETAILER 1.

Retailers may order from any of the above brands. V Bridal does not hold retailers to a minimum order quantity, with the exception of Abella. Allure Bridals require a minimum order of six Abella pieces per season (twice a year).

2.

Should the retailer wish to be acknowledged as an authorised retailer for any of the above brands, they are required to purchase: -

six Brinkman gowns each season (once a year).

six Jessie K gowns each season (once a year).

-

eight Made to Love gowns each season (once a year).

-

six Miss Emily gowns each season (once a year).

-

six Pure gowns each season (once a year).

-

six Tres Chic gowns each season (once a year).

-

four Allure Bridals gowns each season (twice a year).

-

four Allure Romance gowns each season (twice a year).

-

four Allure Women gowns each season (twice a year).

-

four Allure Couture gowns each season (twice a year).

-

four Madison James gowns each season (twice a year).

-

four Wilderly gowns each season (twice a year).

3.

Authorised retailers will be listed as a retailer on the associated brands’ website and all V Bridal promotional platforms (Instagram | Facebook | Google Ads).

ORDERS / CORRECTIONS 1.

Orders must be placed via the V Bridal portal order form or by email when necessary.

2.

All gowns must be ordered in accordance with their respective size charts in UK or US sizing. Different brands have their own unique size charts. Size charts can be found on the V Bridal portal.

3.

All orders placed will receive an emailed copy of the order for the retailer’s record.

4.

V Bridal accepts no responsibility for incorrect length, colour, size or style ordered.

5.

Any corrections to an order must be emailed to V Bridal within two days from the order date.

6.

Discontinued styles are highlighted and dated in the V Bridal price list and can be ordered up until their discontinuation date. In rare cases, the factory may have already run out of a lace or fabric of a discontinued style and orders of a style marked for discontinuation may be declined.

7.

Style numbers not appearing in the V Bridal price list are cancelled styles and cannot be ordered.

Prices are subject to change without notice.

CUSTOM ORDERS 1.

Custom orders must be ordered in accordance with the specific customisation requirements of each brand. This information can be found on the V Bridal portal.

2.

Petite sizes (4 inches shorter), specific hollow to hem / top to hem measurements, special colours, or variations to beading, embroidery, buttons, zips, train lengths, necklines or lace-up backs are considered custom orders.

3.

Factory approval is required prior to order placement for alterations to the pattern (i.e. changing train lengths, necklines or lace-up/zip-up backs) or colour variations not noted on the V Bridal price list.

4.

Custom orders are made to the retailer’s individual specifications and are considered to be a final sale with no returns.

5.

Custom orders are subject to additional fees as specified in the V Bridal price list, or as previously quoted.

ORDER CONFIRMATIONS / CHANGES / CANCELLATIONS 1.

All orders placed will receive an emailed order confirmation within one week. During Chinese New Year, order confirmations can take up to four weeks.

It is the responsibility of the retailer to: -

notify V Bridal if an order confirmation is not received within 2 weeks of order placement;

-

ensure the confirmation states the order correctly;

-

check that the delivery date and event date is correct; and

-

that the invoice value (excl. GST and freight) is per the V Bridal price list, or as previously quoted.

Major changes and cancellations are not possible once the gown has been cut (usually within three days of the dated confirmation).

LEAD TIMES / RUSH ORDERS 1.

Different brands have different order lead times as per the V Bridal shipping schedule. During Chinese New Year, order lead times can be extended up to four weeks.

Rush orders are possible for most brands, however some Allure, Madison James, Wilderly Bride and Abella styles cannot take rush orders – please check the V Bridal price list. During Chinese New Year, rush orders may be unavailable.

DELIVERY 1.

V Bridal operate on a monthly shipment schedule, where orders are usually dispatched in the 3rd week i.e. the Nov 2020 shipment dispatched on 17/11/20 and the Dec 2020 shipment dispatched on 16/12/20.

The V Bridal shipping schedule updates regularly and it is the retailers’ responsibility to ensure the latest shipping schedule is used after an update has been announced.

3.

Gowns are dispatched factory pressed in an individual plastic bag with stock orders including an image tag. Tres Chic brands include a branded hanger.

4.

A $9 domestic shipping/handling fee is charged on each dress upon delivery.

5.

V Bridal cannot be held liable for delays/errors made by NZ Post, CourierPost, or Aramex Couriers.

6.

Delivery won’t be made to retailers with outstanding accounts.

7.

V Bridal won’t be held liable for late deliveries nor held financially responsible for orders lost.

RETURNS / FAULTS 1.

V Bridal accepts the return of all faulty gowns and stock gowns (where gowns have been ordered from images, etc. are not to the retailer’s liking).

Gowns are to be returned with the consent of V Bridal and on the following conditions: -

gowns are returned within 7 days of the associated V Bridal invoice date;

-

return is at the retailer’s expense; and

-

gowns are in their original, delivered condition.

V Bridal may at its absolute discretion refuse to accept an unexpected return and reserve the right to charge the retailer a handling fee of 7.5% of the invoiced value of the returned gowns.

4.

All claims against V Bridal must be made in writing. V Bridal reserves the right in its discretion to repair or replace gowns or to credit a portion of the price in respect of any claims accepted.

5.

Where replacement is required, V Bridal will not accept order changes, i.e. size or colour changes.

6.

The total liability to V Bridal for any loss arising from any defect of the gown will not in any circumstance exceed the invoiced value of the gown.

7.

V Bridal will not be liable for any damage whatsoever caused as a result of: -

the gown being fitted or measured incorrectly by the retailer or its employee or agent; or

-

how the gown is stored, handled, cleaned or transported once in the retailer’s possession; or

-

altering/repairing the gown and/or using components not recommended or approved by V Bridal and their designer/manufacturer.

PAYMENT 1.

New retailers may be required to pay on delivery for a period of 12 months.

2.

Established retailers are granted 60 days for stock orders and 30 days for all other orders following invoice/delivery of goods unless an individual arrangement is specifically agreed with V Bridal or the account is in default.

3.

All invoices will be dated the dispatch date from V Bridal.

4.

Payments by credit card incur a 2.5% transaction fee.

5.

Total payment of the invoice will be made without deduction on the Payment Date.

6.

If full payment is not made by the retailer to V Bridal by the Payment Date, then: -

the retailer will be in default under this agreement and V Bridal may exercise all of the rights and remedies available at law, and

-

the retailer will pay interest on the default monies at the rate of 2.5% per month payable on a daily basis from the due date; and

-

the retailer will be liable for all actual expenses (i.e. solicitor fees) incurred by V Bridal as a result of the default; and

-

V Bridal may withhold further supply of goods and/or cancel any particular agreement to supply. 3

OWNERSHIP 1.

Gowns remain the property of V Bridal until all monies owed by the retailer to V Bridal (including sold consignment deliveries) has been paid in full. The retailer has no right to assert against V Bridal that it owns the goods or the proceeds of their sale.

2.

The retailer acknowledges that they act as an authorised agent of V Bridal.

3.

The retailer consents for the purpose of Section 36(b) Personal Property Securities Act ("the Act"), to the terms and conditions of the above clauses retaining or reserving title to the gowns and that a Purchase Money Security interest is created and waives the right to receive a verification statement pursuant Section 148 of the Act.

CONSIGNMENT AND VIEWING GOWNS 1.

Consignment and viewing gowns are sent to retailer’s at V Bridal’s discretion.

2.

Consignment and viewing gowns remain the property of V Bridal. The retailer takes possession of the consigned gowns with the intention of taking orders or showing the gowns at a viewing.

3.

Consignment gowns may be sold off the rack at any time, however V Bridal must to be notified of a consignment sale immediately. The retailer will be required to pay V Bridal the current wholesale price within 1 day of the consignment being sold.

4.

Upon receiving consignment and viewing gowns, it is the retailers’ responsibility to report to V Bridal any damage or irregularities to any consignment and viewing gowns.

5.

It is the responsibility of the retailer to ensure consignment and viewing gowns are returned to V Bridal within 14 days in their original, delivered condition at the retailer’s cost. Retailer’s will be charged $50 per gown that is returned (or redistributed to another retailer) damaged or soiled.

6.

V Bridal may recall or request redistribution of any consignment or viewing gowns at any time at the cost of the retailer.

7.

Consignment periods longer than 14 days require V Bridal consent.

PREVIEW PACKS 1.

Gowns part of a preview pack remain the property of V Bridal. The retailer takes possession of the gowns with the intention of viewing the gowns for potential purchase.

2.

Preview packs are sent to retailer’s at V Bridal’s discretion.

3.

Upon receiving a preview pack, it is the retailers’ responsibility to report to V Bridal any damage or irregularities to any gowns.

4.

It is the responsibility of the retailer to ensure preview pack gowns are returned to V Bridal within 7 days in their original, delivered condition. Retailer’s will be charged $50 per gown that is returned damaged or soiled.

5.

V Bridal will provide paid return labels with our regular courier, Aramex, for the return of preview pack gowns which have not been purchased.

COPYRIGHT LAWS 1.

Authorization from V Bridal is required prior to the use or release of any images.

2.

All planned advertising: web pages, paper advertising, including leaflets, brochures, magazine and newspaper articles, must be approved by V Bridal prior to release.

3.

Logos for the respective brands must appear at all times in any advertising.

INTERNET ADVERTISING 1.

V Bridal authorizes retail prices to be quoted on retailers’ websites.

2.

V Bridal images are not to be used to advertise any V Bridal brand or line on any online shop.

PRIVACY ACT 1.

For the purpose of facilitating the efficient running of V Bridal, the retailer authorises V Bridal: -

to collect all information it may require from any third parties and authorises those third parties to release that information to V Bridal; and

-

to hold all information given confidently, by the retailer or any third parties to V Bridal; and

-

to use that information, including giving information to any other person to facilitate collection of debts from the retailer.
