Small business confidence takes a hit in March

he confidence of small business owners took a hit in March after two months of encouraging
growth, according to the Canadian
Federation of Independent Business (CFIB). The Business Barometer index dropped three and a half points from February’s results to 62.9. Full-time hiring intentions are at a post-recession high, as “The numbers show a decline in optimism, but they’re in line with what we saw in late 2012,” said Ted Mallett, CFIB’s chief economist and vicepresident.“It’s too soon to say if March’s results mark a shift away from the trend of January and February.”

Confused about investing?
I
t seems that the old adage a penny saved is a penny earned has virtually disappeared like
actual pennies. Most of us are finding it harder and harder to save for the future. We’d sooner invest our time and money in smartphones, tablets and apps than think about dabbling in the stock market. But to be fair, sometimes money management can be pretty confusing with its jargon, acronyms and options. To help decipher the world of money, we asked Gregory Brown, associate manager with Desjardins Financial Security Independent Network (www.dfsin.ca/gregorybrown) in Surrey, British Columbia, for his guidance.
• Cash is liquid, which means that you can access it immediately from your bank account. It doesn’t generate much or any return because it’s available on demand. • Fixed Income: This includes bonds (government or corporate) or guaranteed investment certificates. In exchange for lending your money to the government or private institution for a set period of time, they promise to pay you a rate of interest. • Stocks: When you buy a company stock, you are purchasing a share of the company’s profits. Your rate of return is determined two ways: 1) Stock value increases, or 2) The company will share its profits with you in the form of dividends. There is no guaranteed rate of return for stocks. So what about RRSP, TFSA, RIF and LIRA? These aren’t investments per se, but investment vehicles that receive a preferential tax treatment, as defined by Revenue Canada. And what about Mutual Funds, Segregated Funds and Annuities?
Where should we start Greg? That’s a good question and one I hear all the time: Should I open a TFSA or a RRSP? When do I need a RIF or a LIRA? What stock or bond should I buy? Or am I better off with a GIC? Then the conversation veers toward mutual funds, segregated funds and annuities. Part of this confusion is caused by conflicting messages that we receive from ads, TV programs, newspaper headlines and sometimes industry pundits. So let’s get right down to it: there really are only three investment options that beginners should think about: Cash, Fixed Income or Stocks.
Again, these are not investments but a form of investing. Each of these investment types allow you to pool your money so that you can economically purchase several investments at once. They’re also available in different formats and offered by different types of financial institutions. The important thing, says Brown, is to learn as much as you can about cash, fixed income and stocks before you start invest. Remember to dream big and make a plan: it’s the best way to reach your goals. There are three major ways to increase the NOI: 1.
Find ways to increase rents without affecting the vacancy.
2.
Reduce property expenses without neglecting the property.
3.
Do not rent the equipment…own them.
1.
Increasing rents:
I would like to share another real life experience of how an owner reduced his property tax by over $10,000.00 per year. In a transaction about 4 years ago, I noted that the property tax on my client’s new acquisition (a 20 unit apartment building in Hamilton On) appeared to be extremely high, based on my many comparables. Doing a quick check I calculated that the realty tax was about $12,000.00 too high. The first step was to ask MPAC to review the assessment through a simple on line application called Request for Reconsideration (RfR)”

We will demonstrate the tremendous impact on value from rent increases, with this real life example. The ownership of a recently purchased 21 unit apartment building, created a business plan to renovate all units that became vacant and attempt to maximize their rents. They knew the great potential of increasing the NOI, which in turn would escalate the value of their property.
Do your homework by obtaining the assessments on similar properties. If you are convinced your property is over assessed, then simply go to the MPAC website and follow the instructions; download, and fully complete the (RfR) form. A local assessment officer will be appointed to review your application. Once the officer completes his investigation you will be notified on their decision.
The plan was to renovate and increase each unit by an average of $100.00 per month ($1,200.00 per year). Assuming that the current market Cap Rate is 7%, the value of the property would escalate by $17,000.00 by just increasing rent on one unit ($1,200.00 divided by 7% cap rate). In the course of one year they were able to maximize rents to ten apartment units for a total annual increase to the NOI by $14,000.00. This amount translated to an increase in value by $200,000.00.
Should you not agree with the results from the reconsideration process, you still have the option for an appeal. The appeal process is more involved and will not be covered in this article.
Before an investor undertakes this task, they should ask themselves; >
Is it worthwhile to spend money for renovations if the rents can be increased as a result of the renovations?
>
Do the increased rents justify the expense?
>
Will the increase in value as a result of the renovations justify the expense?
First let’s establish how long will it take to recoup the renovation costs? The answer comes down to doing the math. In the above example the renovation cost was approximately $3,000.00 per unit. After the renovation was complete the rents were increased by an average of $100.00 per month or $1,200.00 annually. It will take 30 months to recoup the expense or in other words the payback on the investment is 2.5 years. That equates to an approximate 40% annual return on the renovation investment, ($1200/$3000 = 40%). But most importantly the total value of the property based on a 7% cap rate had increased by $200,000.00. In this example, it’s clear that the renovations at a cost of $3,000.00 per unit ($30,000 for all 10 units) was a prudent investment 2.
Reducing Expenses:
Reducing property expenses is often the most cost effective way to improve the NOI and increase value. Utilities: Assess how much you are paying for heat, water and hydro and then establish how you can reduce these charges. •
Water: Conduct routine checks for water leaks and running toilets in each unit
•
Heat: Check for loss of heat from windows, dirty radiators, old boiler system
•
ydro: If you are paying for the unit hydro, remember that old fridges consume more; H charge extra for the use of A/C window units and check the timer to the common area and exterior lights. Educate your tenants on the benefits of energy conservation. Realty Taxes:
Are you paying too much realty tax? Let’s face it, paying too much realty tax on investment properties could significantly impact the NOI and dramatically reduce value. Unfortunately most investors take this large expense for granted and assume that the assessment on their investment property is correct and never bother to investigate it.
In reference to the application for the Request for Reconsideration by my client I am pleased to say it was a huge success. The owner received a revised tax assessment and a refund cheque for over $11,000.00. It was not just the refund that was gratifying, the increase in the NOI as a result of the realty tax reduction translated to a huge rise in value. By taking the revised net income and using a market cap rate of 7%, this equated to about a $150,000.00 increase in value! 3.
Rental Equipment:
Another relatively easy way to reduce your expenses and increase the NOI is to eliminate rental equipment. Make a plan to owning them instead. We continue another real life example of how the property value was increased for a 21 unit apartment building. The hot water tank rental was approximately $300 per month (including taxes) which equated to $3,600 per year. The cost to purchase and install the equipment was approximately $4,000.00. The purchase of this hot water tank was a great investment simply because of the approximate one year payback! But more importantly, this change also increased the property value by simply reducing of the operating expenses (or increasing the NOI) by $3,600.00 per year. How much would the property value increase after this relatively low investment? To assess the impact of the $3,600.00 of extra income that was generated by reducing the annual hot water rental expense, we need to divide this amount by the market Cap Rate. Let’s assume the current market Cap Rate is 7.0%, therefore by dividing by this Cap Rate the value had increased by $51,000.00, just by improving the NOI. ($3,600/7.0% = $51,000.00). The above scenarios demonstrate how simple investment undertakings produced a tremendous return rate and helped generate a huge increase in property value. One can now clearly see that increasing rents and or lowering expenses, (even if it requires expenditure to do so), is a wise decision. On the first real life scenario, the property was just sold for a $300,000.00 profit, after only one year of ownership. Remember, it is all about the NOI.

Fighting fraud in the small business workplace: Information to avoid costly situations
W
orkplace fraud is an ongoing issue in Canada and small businesses are particularly vulnerable since there are often limited resources, if any, to devote to fraud prevention. Yet, small businesses are among the biggest targets with revenue losses related to employee-perpetrated fraud estimated at $3.2 billion per year according to Canadian accounting associations.
“Fraud in the workplace can cost small businesses big bucks. The easiest way for any business with limited resources to deal with fraud is to put in place simple systems to prevent it in the first place,” said François Ramsay, senior vice-president, Corporate Affairs and General Counsel for Yellow Pages Group. “What amounts to very small steps can save a small business owner thousands of dollars and buy them invaluable peace of mind.” Ramsay proposes the following tips for small businesses looking to develop a fraud prevention program: • Determine where your company’s specific vulnerabilities are in order to create and implement internal prevention controls (e.g. Do you only have one person handling all the finances? Is access to your inventory unrestricted?) • Know your employees. Check references, employment and educational history for previous history of fraud or illegal activity. If you’re filling a position managing assets, consider a credit check with the authorization of the candidate.
• Have security cameras installed to monitor activity at cash registers and in inventory storage areas. Fraud is less likely if people know they’re being watched. • Conduct unannounced audits on specific functions of your business where fraud might occur. Surprise audits act as a fraud deterrent as employees will know it will likely be uncovered. • Check bank statements yourself and watch for missing cheques, cheques issued out of sequence, unknown payees, cheques which look altered, cheques not signed by authorized signatories, or any other unusual items. • Use only vendors from a management-approved list which is routinely checked against invoices. • Develop a fraud policy and communicate it to all employees. This signals not only that you take these activities seriously but also that there are consequences. This in itself can act as a deterrent. • Take action when fraud is discovered. Having a fraud policy is useless if you are unwilling to enforce it. Consider options such as reprimands, suspensions, demotions, salary cuts, probation, dismissal and legal action for differing levels of fraud.

Avoid tax audits by “getting it right from the start”
Y
ou are a small business owner and you file your income tax return on time.
When you receive your notice of assessment from the Canada Revenue Agency (CRA), sometimes there is a cheque attached; other times, you are told you owe money. Whatever the outcome, you assume that you are done with the CRA until business owner to ensure you are meeting your tax obligations and that may, in fact, help you prevent costly errors and avoid an audit later on.

It can be hard to understand exactly what information or numbers the law requires you to provide, so you give it your best shot and hope that everything is okay. While some returns are chosen for audit from computer-generated lists and others are conducted based on risk asessments, the good news is that there are some things you can do as a small

This support is intended to help them comply voluntarily with Canada’s tax laws and provide complete and accurate information when they file income tax returns. The “Street Smart Real Estate Appraiser” How much is it worth? Should I purchase this investment property? Is this a good deal? These are the questions that everyone asks when they are about to purchase a property. As a professional real estate appraiser - I wanted to have all the answers for these questions! Is this possible..... not likely, however my “Type A “personality ....ahhh, I mean, ego demanded this direction. Since, the world wide economic meltdown down in the last few years, appraisers have been struggling with values of real estate. Were we to blame? The simple answer is, YES. But let’s move off this topic for another article. Basically, commercial real estate appraisal forms a small sector of the economy. The Canadian industry is served by the Appraisal Institute of Canada (AIC), which is comprised of approximately 4,800 members. These are the professionals that routinely offer property valuation opinions. The education requirements and mentoring period to become a commercial appraiser is similar to the legal profession. However, these individuals that regularly analyze investment properties – are not always the best evaluators of a property. What I have found in the 20 plus years in the real estate industry is there is always someone or group that understands a property better than I do! Who are these other real estate pros? What do they think? What do they see? Why should I find them? What’s important to them? Why do they buy? In my opinion some of these people include: the Property Owners, Property Managers, Developers, Brokers, Builders, Bankers, Accountants, Lawyers, Business Operators, Engineers, Architects and Consultants ....etc. These people offer an invaluable contribution to the valuation of a property because they are industry specific professionals. Depending on the property being appraised, it’s best to talk to these people, understand what they think, know and see, and ultimately get their “trade secrets”. The mission - become a “STREET SMART APPRAISER”!! One of the very first valuation tricks I learnt was “BUY and SELL WHAT YOU KNOW”! This was taught to me from one of my first mentors, Jim Kaufman Sr., founder of Kenmore Homes, one of Niagara’s largest builder and land developers. Fundamentally, I think this means - stay in your asset class, buy and sell what you normally would and the values will become clear. If you step outside what you know, you could potentially over pay!! Home builders that have built in a certain area know lot values - if they don’t, they will see it in their profit margins. PRIVATE LENDING IS NOT JUST FOR RICH PEOPLE... IT WILL MAKE YOU RICH! For many years, we have been assisting people to make their money really work for them in mortgage lending. Most of the big, RICH, private lenders out there started out as just average people, that took the leap into mortgage lending regardless of what friends and family thoughts were. Many are stricken with fear of losing their money when contemplating this investment vehicle. Before dismissing this investment direction, consider the following points. Private lending can be very financially rewarding. Private lending is certainly not like putting funds into a guaranteed account with a guaranteed rate and a modest return. Yes, there is a bit more involved. The mortgage brokerage you work with is key. The typical brokerage will have a range of mortgage offerings that will include offerings that cater to individuals that are in a dire position. They may be losing their property and/or their mortgage is in arrears, their credit is challenged and they need to consolidate. The banks will not lend under such circumstances as the risk is too high. These are the type of deals I would not lend on, but are the basis of the high yielding returns. Lending criteria has changed so drastically in the past few years. Banks have really tightened up their lending rules, specifically when it comes to income properties. This is when a private lender can come into play and really leverage on this opportunity to make anywhere from 8-20% annual return. These clients generally have clean credit, good income and other assets. This would make for a safer investment. Lending your Self Directed RRSPs: You can utilize your RRSPs in this type of investment. Most folks are seeing very slim returns in their plans, unless you are in the industry of watching markets, you typically will not experience anything positive. The Self Directed route is really not too difficult in terms of process. The broker should handle the entre process from providing you the lender with the complete details of the investment so you can make an informed decision. – Check List: Credit bureau, credit application, appraisal or an evaluation, income and a scenario of why these borrowers are seeking funds. Note: Not all RRSP plan holders will allow for you to self direct your funds into mortgages. Please confirm with your plan holder as to their protocol on mortgage lending. I am aware of plans that do so and have worked with them for several years, some are much less work and make it easier and less costly for you the lender. You can also make equity in your home really work for you as the current rates are insanely low, borrow at a variable rate of 2.102.50% and lend at 9-20%, great profit. This is a great venue for people that are sitting on equity. For example, for a senior that has reduced income, this can bring you additional funds monthly and give you the peace of mind you are looking for. Scenario – Borrow a mortgage for 100K your monthly payment @ 2.25% interest and a 25 year amortization would be $436. Lend 100k at 14% interest at an interest only monthly payment of $1,167. Your profit is a super $731 per month. In addition, you are paying down your mortgage with this borrower’s interest payments. As a bonus, you are also paying down principal of $3,018 in the first year (this will increase over time). So, you can service your debt, pay-down your principal loan and earn extra income to build a retirement nest egg. Not bad. What if a borrower does not pay their mortgage? The private lender is typically in second position. It is imperative for you to confirm that the first mortgage is up to date so you can control the sale process. Don’t let this scare you. If you have a good loan to value on the property you will be in a good position to charge back costs plus any associated fees to the sale. The key in managing your risk is to do your proper due diligence on the property and get a realistic valuation from a reputable Appraiser or valuator. There is a lot of detail in this, but with proper counsel, the returns are worth this potential risk. Being a private lender has made people very wealthy. budget with movement on several of

recommendations
from the Canadian Federation of Independent Business (CFIB). “Overall, this is a good budget for small business,” said CFIB president and CEO Dan Kelly.“Minister Flaherty has done a solid job by remaining on course to eliminate the deficit while announcing some important measures for Canada’s entrepreneurs.” The federal budget delivered on several top issues for small firms, including:

Renewing and expanding by 50 per cent the Employment Insurance Hiring Credit;
•
Enhancing the Lifetime Capital Gains Exemption to $800,000 and indexing it to inflation;
•
Remaining focused on eliminating the deficit by 2015;
•
Extending the accelerated capital cost allowance for machinery and equipment for two years;
•
Making progress on red tape – particularly at the Canada Revenue Agency; and,
•
Announcing plans to address unfair sick leave provisions for civil servants and unaffordable crown corporation pensions.
“We’re particularly pleased the government publicly acknowledged taking some of these measures – such as the expansion of the EI Hiring Credit – at the recommendation of CFIB’s 109,000 members,” Kelly added.“In fact, the planned changes to sick leave follow a recent CFIB report that found civil servants take nearly double the leave days of employees in small firms.” Given that half of Canadian small firms are concerned with the shortage of qualified labour, CFIB is pleased the budget includes renewed focus on skills training.“CFIB will be lobbying to ensure the new Job Grant recognizes informal, on-the-job training and those elements of current training programs that are working well,” said Kelly. While complimenting many of the budget measures, CFIB noted concern over the planned change to the dividend tax credit. “It will be important for us at CFIB to gauge the reaction of small firms to this technical tax change in the context of the other important wins for our members and the commitment to reviewing small business taxes once the deficit is eliminated,” Kelly concluded.
CFIB is Canada’s largest association of small and medium-sized businesses with 109,000 members across every sector and region.

Commercial lease agreements: Why landlords need lawyers
O
wnership of income-producing properties typically involves the negotiation of commercial leases with your tenant(s). This article explores a few of the considerations inherent in the negotiation and drafting of commercial lease agreements. Covering off all the bases
Commercial leases are complex documents and in this article we can only skim the surface. You need to speak to a lawyer who understands this area of law. There are fundamental components of the lease which a solicitor should prepare/review to ensure it meets your practical and commercial expectations. Principally, you will want rental payments defined and broken into “base rent” and “additional rent.” Base rent is your money. This is the amount used to determine net income. Additional rent represents all of the expenses that may be shared by the tenant or paid directly for utilities such as electricity, water and gas and things like maintenance insurance and realty taxes. If you are thinking of a net-net lease this is critical. Have you ensured the lease clearly defines how any increases in rent during the lease term are calculated? 22G COM
Aside from the financial considerations noted above, commercial leases must also cover off any “special” requirements to prevent confusion going forward; as an example, use clauses or renewal terms. Tenants typically prefer leases with renewal options. Tenants typically also desire the ability to “assign” their lease as this affords them flexibility to sell their business. Any such provisions should give you broad discretion to vet any prospective assignee to ensure they would be a prudent and reliable tenant. The lease should make sure the tenant will pay any legal and/or administrative costs incurred on any renewal or assignment of the lease. Negotiation of the lease Landlords often have their standard form or “boiler-plate” commercial lease agreement which they present to prospective tenants for review prior to execution. Savvy tenants will typically have retained a lawyer to review the document and offer proposed amendments. In a scenario where there will be a back-and-forth in respect of the ultimate wording – and particularly where the prospective tenant has retained a lawyer – I highly recommend hiring a solicitor to quarterback the negotiations. From my practice I have found landlords all-too willing to cut out provisions which could severely compromise them in the interests of not losing the tenant. Conclusion It goes without saying that all warranties, representations and terms outlining the landlord/tenant relationship must be incorporated into the lease agreement. These documents can often run between 30 to 50 pages in length. It is far better for your commercial lease to be “too long” than “too short.” Sitting down with an experienced commercial lawyer to properly negotiate and draft your commercial lease at the front end can save you considerable aggravation down the line. Perhaps the most difficult part of writing these articles relates not to the actual writing, but thinking of a topic to address.
