More than what you bargained for Inheriting tenants with a commercial property
U
sually a home or property inspector can give you a good idea of the condition of the real estate you are buying. Unfortunately, the one thing an inspector cannot tell you is whether tenants will come with the property, and if they are any good. Purchasing a commercial property with existing tenants can be a great way to hedge investment losses in the property. In addition, having them there will save you the time and expense of advertising to fill vacancies and can help you secure financing for the purchase of the property. However, beware. Having tenants brings with it exposure to several types of liability, in many cases dictated by the commercial lease in place and real estate law. As a landlord it is important to understand there may be certain obligations for which you are responsible and understanding these obligations is critical to ensure you get what you bargained for. Prior to purchasing a commercial property where you will be inheriting tenants: Meet the tenants. It is important to discuss with them any complaints that they have with the property. This will help you gauge whether you will have a good working relationship with your future tenants, and will also provide valuable insight into potential issues with the property. If you have many tenants, or you do not want to deal with your tenants directly, discuss the options for engaging a property management company with your lawyer.

Know your rights. When you purchase a commercial property any leases relating to the property will usually be assigned to you at the time of closing. If you consent to this assignment you will be bound to the terms of those leases. For example, these obligations could require that you remove snow from driveways, install or maintain security systems, pay for utilities, etc. Generally speaking, existing leases end then the Ontario Commercial Tenancies Act will govern your relationship with the tenant going forward. Know your tenant’s rights. The lease will describe your tenant’s rights and the remedies he or she has against you if a dispute arises. These remedies may include abatement of rent payments, court or arbitration, or even cancellation of the lease. Be sure to have a lawyer review the lease and explain how you may be exposed to liability. Review the leases prior to purchase. The leases will list your responsibilities to the tenant and vice-versa. These rights are impacted by the law relating to commercial tenancies as well. Be sure to make review the leases by your lawyer and that they meet his satisfaction, a condition of any agreement of purchase and sale. If you don’t like what you hear, it is not necessarily the end of the deal; you may be able to renegotiate the terms of the lease or the agreement of purchase and sale. Commercial leases are very complex and intimidating documents; however, understanding your obligations and your tenants’ rights will allow you to feel comfortable knowing that your exposure is limited. These documents function to maintain stability, predictability, and in short, the “status quo.” Landlord-Tenant disputes often arise when a lease obligation is not being fulfilled or is unable to be filled, resulting in issues with the property. Ideally, the landlord and tenant should keep a good relationship in order to be able to resolve these disputes amicably without resort to the court system or other formal dispute resolution mechanisms. Commercial leases require a lawyer familiar with the concepts and the law. Find a lawyer that has experience in the area because you will need a lawyer just as much after your closing as you did before. Perhaps the most difficult part of writing these articles relates not to the actual writing, but thinking of a topic to address. Small business confidence ends five-consecutive month decline in September

Small business owners in Newfoundland and Labrador (75.0) are now the most optimistic in the country. Entrepreneurs in Alberta (71.1) and Saskatchewan (67.6) are close behind, while optimism is close to the national average in New Brunswick (62.8), Quebec (61.2), Ontario (60.1) and British Columbia (59.0). Optimism is much lower in Nova Scotia (55.6), Manitoba (54.7) and Prince Edward Island (44.6).

The Business Barometer index increased two points in September to 62.0, from 60.0 in August. “After a five-consecutive month decline in business confidence through the spring and summer, small business owners were a little more upbeat in September,” said Ted Mallett, CFIB’s chief economist and vice-president. “Despite this good news, however, the Index level still suggests Canada’s economy is growing at below-average rates.”
Measured on a scale of 0 and 100, an index level above 50 means owners expecting their businesses’ performance to be stronger in the next year outnumber those expecting weaker performance. According to past results, index levels normally range between 65 and 70 when the economy is growing at its potential. The September 2012 findings are based on 918 responses, collected from a stratified random sample of CFIB members, to a controlled-access web survey. Small business owners risk heavy penalties and professional fees by mixing personal and business records CIBC provides advice to entrepreneurs on how to manage their books when making the leap from employee to owner

ombining personal and business accounts is one of the most costly mistakes many new business owners make – a mistake that can cost thousands in tax penalties and professional fees, says CIBC’s Jamie Golombek.
In a report focused on helping small business owners avoid key taxation mistakes, Mr. Golombek writes that while business owners may find it easier to deposit cheques to a personal bank account, or to charge business expenses to a personal credit card, these decisions can put them at risk. He notes that sorting out what is a business expense and what is a personal expense at tax time can be tricky and individuals can inadvertently deduct an ineligible expense - a mistake that can cost them thousands of dollars. “There is a lot to learn when starting your own business and there is plenty of room to make mistakes, but one of the worst mistakes and simplest to avoid is not mixing business and personal expenses together,” says Mr. Golombek.“Having a separate bank account and credit card for a business will make tax time a lot easier and can also come in handy in the case of a Canada Revenue Agency business expense audit down the road.

Chances are that you’ve kept your vacancies low and you’ve enjoyed rising rents over the past few years. These are good times to be in the purpose-built rental apartment industry in Canada. ALLOCATION OF PURCHASE PRICE

One issue that sometime arises in an investment property purchase is the allocation of the purchase price. This can occur when more than one type of asset is being purchased. In addition to allocating the purchase price between the land and buildings, the purchase price can also be allocated among other assets being purchased such chattels, goodwill, or inventory. Purchasers will want to allocate as much of the purchase price to the assets which provide the highest and quickest tax deductions. A purchaser may wish to allocate as much as possible to the building, and as little as possible to the land, since the building can be depreciated for tax purposes and the land cannot. A purchaser may wish to allocate as much as possible to the chattels being purchased since the depreciation rate on chattels is greater than the depreciation rate for buildings which would result in higher depreciation for tax purposes than the depreciation available on buildings. It does not always necessary follow that the purchaser would always want to allocate as much of the purchase price as possible to assets that provide the greatest capital cost allowance. There are other considerations. The allocation of the purchase price impacts the amount of other taxes that may be payable, such as HST, land transfer tax and other sales taxes. The reasonableness of the allocation needs to be considered. The Canada Revenue Agency (the “CRA”) can reallocate the purchase price if it considers a taxpayer’s allocation to be unreasonable. To minimize this risk, it is advisable to include the allocation of the purchase price in the offer and to provide a covenant or promise that both the purchaser and vendor will file their respective tax returns consistent with such allocation. While it is not mandatory to include an allocation in an agreement, CRA will probably be less likely to challenge the allocation agreed to and negotiated by arm’s length parties. The allocation of the purchase price is also important to the vendor. A vendor will likely be subject to capital gains tax on the sale of property. Where the vendor has claimed depreciation or capital cost allowance on the property prior to its sale, the vendor may be subject to recaptured depreciation if the price allocated to the building exceeds the undepreciated capital cost. This recaptured depreciation is taxed as ordinary income and not at capital gains rates. The vendor will therefore probably want the amount allocated to the building to be equal to or less than its undepreciated capital costs.

The Basics of Multi Unit Residential Financing Multi unit residential (MUR) property financing for less than five living units falls under residential mortgage financing programs. For apartment buildings with more than five units, commercial type mortgage financing would come into play. Higher loan to value ratios are possible for apartment building financing, but this would require an insured mortgage through Canada Mortgage and Housing Insurance (CMHC). An insured mortgage will come with an insurance premium added to the cost of financing. You can get up to 90% of the property value financed for apartment buildings under 5 units and up to 85% financed for building with 5 units of greater. Hamilton
A bank or institutional lender will always require a rent roll and statement of income and expenses in order to evaluate the cash flow of the building. Lenders use the cash flow of the building to confirm value and help determine a comfort level for the amount of financing offered. The main issue most investors encounter with MUR financing is the down payment requirement. Investors looking for the maximum loan amount at the best available interest rate often opt to try having the mortgage insured through a bank or other mortgage provider. The main challenge with higher loan to value and MUR CMHC insured mortgages is that the approval guidelines are fairly stringent. It is not uncommon to be offered a lower mortgage amount than anticipated due to an internal valuation of worth of the building strictly based on the numbers and cash flow. The other issue is that the overall process with an insured mortgage can be fairly lengthy and stretch over weeks or months. Lower loan to value common sense financing which can be much more lenient and efficient in terms of turnaround time is often available but at a higher interest rate. Even though there can be a large numbers of apartment buildings in more highly populated areas, commercial mortgage financing for the larger apartment complexes can be hard to arrange depending on the profile and location of the property. Regardless of the size of the building, shopping several lenders at once is of great value with MUR financing. Guidelines from one lender to another vary widely and processing times are a lot longer than on residential properties. Working with one lender and then being offered a significantly lower loan amount or being turned down completely 3 weeks in to the process can jeopardize the deal. Having an experience mortgage professional to work with is a significant advantage with MUR financing. Make sure to ask a lot of questions to ensure that you are dealing with someone with experience and knowledge in this space. Canada to see unprecedented boom in new businesses in the coming decade: CIBC Already more than half a million Canadians in process of starting own business in 2012

anadians are expected to become their own bosses at an accelerated pace in the coming decade, with more than half a million entrepreneurs in the process of establishing their own business this year, finds a new report from CIBC.
“Irreversible structural forces suggest that the next decade might see the strongest start-up activity in the Canadian economy on record,� says Benjamin Tal, deputy chief economist at CIBC.“The gradual shift to a strong culture of individualism and selfbetterment; the role of technology in driving the transition from boardrooms to basements; the more global and inter-connected markets that require greater specialization, flexibility and speed; as well as small business friendly demographic trends are among those forces that are likely to support a net creation of 150,000 new businesses in Canada in the coming ten years.� The report finds a number of interesting trends among today’s new business owners. t #FJOH TFMG FNQMPZFE JT B DIPJDF XJUI POMZ QFS cent of new owners doing so because they couldn’t find a job; t 5IF BOE PWFS BHF HSPVQ JT UIF GBTUFTU HSPXJOH segment of new business owners accounting for nearly 30 per cent of start-ups;

By far the fastest growing segment of the start-up market is the 50-and-over age group. This group now accounts for close to 30 per cent of total startups, more than double the rate seen in the 1990s. “The affordability and availability of technology enables older Canadians to provide services from home. They are also able to use their well-developed skills and take advantage of their wide business networks and connections more effectively.” He found that today’s newly self-employed tend to be more educated than the general population – and more educated than previous entrepreneurs. Almost one in three of those who opened up shop in the past two years have a university degree. That is double the rate seen in 1990 and a full five points above the rate seen for the working population as a whole. “Start-up activity is still dominated by men, who now account for almost 70 per cent of total start-ups,” says Mr. Tal.“In fact, the share of start-ups run by women fell from 45 per cent in the 1990s and the early 2000s to nearly 40 per cent currently. However, there is more to the story. Among established businesses, the percentage of female entrepreneurs rose from 27 per cent in the early 1990s to the current 33 per cent. This suggests that when women decide to start a business, they stay in business longer.” The fastest growing segment of the newly self-employed is educational services (up by an annual average of almost 15 per cent since 2007). The recent focus on health care is generating both regular employment (total employment in the sector rose five times faster than the average of all industries since 2007) and the creation of start-ups in the industry, which are up almost 20 per cent over the same period.

Going forward Mr. Tal believes rapid change will define the future of start-ups in Canada with five major forces defining the sector over the next 10 years. 1. Increased export orientation – Half the revenues derived by businesses two to five years old are coming from outside Canada.“That is not only a record high, but also double the share seen among businesses that have been in operation for more than 20 years,” says Mr. Tal. But globalization also means more competition.“The implication is that in order to profit from globalization, these small firms will have to be able to penetrate new markets. This, in turn, is achievable only if these firms succeed in identifying niche markets.” 2. Increased connectivity – Technology is increasingly leading to a higher level of cooperation between small business, self-employed and larger firms. Larger firms are calling upon the specific expertise of smaller enterprises to complete projects. This kind of cluster of competencies and strategic alliances will be temporary and at the end of a particular project they will dissolve and may not cooperate again. 3. Growth in outsourcing –“Canadian small businesses are in a coevolutionary relationship with corporate business in the economic landscape. Small businesses are needed by large corporations to create the necessary reach and depth into local markets as distributors and agents for products and services,” notes Mr. Tal. 4. Increased demand for personalized products – An aging population means growing sophistication and a rapid change in consumer tastes. This is positive for self-employment as small scale operations are flexible and can support increased demand for personalized services given their ability to focus on niche markets. 5. Immigration – “The pace of growth in self-employment among immigrants has risen dramatically over the past two decades,” he adds.“Currently close to 20 per cent of selfemployed are immigrants, more than double the rate observed in the 1980s. Given that immigration will become an even more significant source of labour market growth, this trend is likely to support small business formation.”

The “Street Smart Real Estate Appraiser” –
Get Educated
The value of your home and/or the housing market is one of the most commonly discussed topics at dinner parties. Everyone that owns a home has an opinion....on their home, their neighbours home, the home that sold down the street and the home listed up the street. To be honest this is not a difficult task with today’s technology and speed of information. The neighbours in a market area often know the sale price of a home before the deal is closed; this data is logically processed in relation to their home and an opinion of market value is presented at the local cocktail party. Does this mean I’m out of a job? Well... that remains to be seen. My part in this equation is to work hard to provide added service to clients. The experts in the real estate industry offer an invaluable contribution to the valuation of a property. It’s best to talk to these people, understand what they think, know and see, and ultimately get their “techniques”. The mission - become a “STREET SMART APPRAISER”!! A real estate appraiser’s valuation technique I’ll give you is “Get Educated”! Gerard Grand emphasized this appraisal “technique”. Gerard is the Principal of DevelopSmart Properties. His roots are in the Niagara Region where he has done several design build projects and commercial redevelopment projects. A background in patent law serves his real estate vision of develop smart as a key philosophy. One of Gerard’s valuation techniques is doing research on the property. This can mean a multitude of issues that could include: current tenant’s profile, future tenant, planning issues, traffic items, access regulations, land restrictions, demographics, municipal infrastructure, property infrastructure, pending changes to building codes, drive-thru standards (tenant’s and City’s), etc. This is as simple as it gets “Get Educated” will assist in your valuation. Watch out for those Collateral Mortgages! So what is a “collateral mortgage?� A collateral mortgage is a loan that is secured against property for an amount that is typically 100% or in excess of the value of the property rather than the amount of money actually borrowed. Typically a collateral mortgage is registered for a secured line of credit. Today many banks are offering what are thought to be regular mortgage loans when in reality they are collateral mortgages secured against the entire amount of equity in a property. A traditional mortgage lets you establish a set amount to be borrowed, the rate for the term chosen (e.g. 2.3% for 5 years) and the amortization so that the borrower will know exactly when the whole amount will be paid off and will also know what existing equity may be available in the property. If a borrower of a “traditional� mortgage wished to borrow more by using a second mortgage or registering a home equity line of credit, they could. However, a borrower of a “collateral mortgage� may not have this flexibility. This problem arises because the value of the bank’s “security� differs from that of what is actually lent. Several banks here in Canada are now going forward with this new approach. One notable culprit, TD Bank, is actually registering 125% of property value, even though that amount has not and never will be advanced to the borrower. Their objective is to have a greater chance of the client returning to the bank for more financing due to the fact that the bank would have secured their entire value of the borrower’s property. A transfer to a new bank is going to be more costly because a lawyer must always be involved. The borrower is often trapped! Another major issue that should be considered prior to stepping into a collateral mortgage involves the other debts the borrower may have. Under Canadian law a lender of a collateral mortgage may seize equity to cover other debt you have with the same lender. So, in essence, you are securing all of your loans, credit cards, lines, car loans, and overdrafts held with the lender of your collateral mortgage. Many borrowers are not even aware of what they’re getting into since bank sales representatives often conveniently fail to mention these details. When the bank sends the paper work to your lawyer you may find an unpleasant surprise and often at a time far too late to allow for arranging new financing. If you are looking to purchase a second home or an investment property, any collateral loans you have will be registered on your credit bureau. When you approach a new lender for a mortgage the lender will have to calculate you eligibility/approval based on what is registered on your property, not just the amount received from the lender. You look leveraged and now your ratios may not allow you to qualify for an approval on other purchases. If you are a real estate investor, this is suicide to you. Real estate investing is about flexibility and the last thing you want to do is limit your access to equity. TD isn’t the only bank to offer collateral mortgages. Credit unions also use them; HSBC and the Royal Bank have a “re advanceable mortgage,� which is a collateral mortgage. Scotiabank’s STEP is also a collateral mortgage. Most chartered banks will not accept “transfers� of collateral mortgages from other chartered banks so the borrower will have to pay larger fees to register a new conventional mortgage if the decision is made to move to a new lender. However, if you already have a mortgage with one of the lenders that register loans in this way, it would be wise to remove yourself as soon as possible in order to gain control over your debt! Collateral mortgages allow lenders to change the interest rate after closing. All a borrower has to do to trigger an increase in interest rate is miss a payment. Since the collateral mortgages are being registered with rates as high as prime + 10% (regardless of the rate stated on your original mortgage document), lenders will cover their potential losses by increasing the rates if they feel a potential default in the horizon. When looking for financing it is much better to have a broker working for you rather than putting your fate in the hands of a specific, branch level, bank mortgage specialist. It is the banks objective to keep you as a customer and only offer you an option from its limited selection of financing options. A mortgage broker/agent has access to several lenders that are not available at street level and can negotiate on your behalf, buy down rates, and confirm that the mortgage is best suited for you. Don’t let big banks tease you with these low rates and get caught in a trap. When something looks too good to be true it usually is.

This site gives practical tips, including looking out for the following threats: Phishing: Cyber criminals create fake emails that look like ‘real’ emails from your bank asking you to reply with personal information. A bank would never ask for this information by email. Avoid links in emails that take you to websites other than your banking site.

While you believe you’re banking safely, it can steal account information, hijack your account and transfer funds without your knowledge. Pharming: These attacks involve redirecting your access from a legitimate website to a fake one that looks genuine.
