22 per cent in 2011), according to the 2nd Annual RBC Debt Poll. On average, Canadians carry $13,141 in personal debt, up $84 from a year ago, with Ontarians carrying the most debt ($15,361) and Quebecers with the least ($10,171). While four-in-ten Canadians (40 per cent) describe themselves as “comfortable” with their current personal debt level (compared to 45 per cent in 2011), one-in-three
Canadians (34 per cent) admit their debt level causes them anxiety (compared to 32 per cent in 2011). “Many Canadians have some level of comfort with their personal debt, but the very personal nature of carrying debt can often stir up mixed emotions,” explained Richard Goyder, vice-president of personal lending, RBC.“It’s encouraging that the results show more Canadians have become debtfree over the past year and that those who still have debt want to do more to reduce it.” The RBC Debt Poll found that just over half of Canadians (51 per cent, compared to 49 per cent in 2011) say it is more important to pay down debt than save and invest for the future right now. Four-in-ten (41 per cent, down from 44 per cent in 2011) place an equal importance on saving and investing, as well as paying down debt. Meanwhile, a minority of Canadians (eight per cent) think now is the time to save and invest for the future, rather than pay down debt. Continued on page 16

Similar to a year ago, caution around adding to their debt load has led some Canadians to delay or cancel purchases or plans, such as taking a vacation (26 per cent, compared to 24 per cent in 2011) and buying a big ticket item (19 per cent, compared to 20 per cent in 2011). Also akin to last year’s poll, three-quarters of Canadians (76 per cent) feel they are in better shape regarding their personal debt than their friends and neighbours (compared to 75 per cent in 2011). This also is in line with attitudes revealed in a separate RBC study, in which Canadian consumers described their own level of knowledge about finances as higher than that of the “average Canadian.”
Poll highlights from across Canada More than half of British Columbians (52 per cent) say they put equal importance right now on saving and investing for the future and on paying down debt. Due to concern about their personal debt situation, 10 per cent of Albertans have postponed purchasing a big-ticket item (national: 19 per cent) and 20 per cent have postponed taking a vacation (national: 26 per cent). Residents in Saskatchewan and Manitoba are the most evenly split among Canadians when describing their personal debt situation: 34 per cent say they feel anxious, 34 per cent say they are comfortable and 32 per cent say they have no personal debt. Compared to 51 per cent nationally, a higher number of respondents in Atlantic Canada (64 per cent) and Quebec (57 per cent) feel it is more important to pay down debt than to save and invest for the future. Atlantic Canada residents also are more likely to say that they are anxious about their debt level (42 per cent, compared to 34 per cent nationally). Ontarians match national attitudes in terms of how they feel about their non-mortgage debt, with 76 per cent feeling they are in better shape than friends and neighbours. Ontarians also are aligned with national attitudes about placing a priority on paying down debt over investing for the future (49 per cent, compared to 51 per cent nationally). About the 2nd Annual RBC Debt Poll The RBC Debt Poll was conducted by Ipsos Reid. Data was collected from July 27 to August 2, 2012. The online survey is based on a randomly selected representative sample of 2,041 adult Canadians that was statistically weighted by region, age and gender composition according to the Census data. The results are based on a sample where quota sampling and weighting are employed to balance demographics and ensure that the sample’s composition reflects that of the actual Canadian population according to Census data. Quota samples with weighting from the Ipsos online panel provide results that are intended to approximate a probability sample. An unweighted probability sample of 2,041, with 100 per cent response rate, would have an estimated margin of error of ±2 per cent, 19 times out of 20. The margin of error within subgroups of the sample will be higher. I am a great believer that you are only as good as your weakest link. For many years I have emphasized my “first rule� in Real Estate investing, and that is to always surround yourself with an experienced team of professionals. This would include Mortgage brokers, Lawyers, Property managers and Realtors etc This article is based on a real life experience of mine which exemplifies the ramifications of not following this important rule.

My listing of a small apartment building in Hamilton was sold conditionally by a Toronto Realtor, to a Toronto Buyer. An appraisal was ordered, inspections were completed and all conditions had been removed making the offer firm and binding. The Realtor acting for the Buyer indicated that the CMHC insured mortgage had been approved and all was in order to close on schedule. Two days before closing, the Selling Realtor advised me that the mortgage lender was asking for more financial details on the subject property. This was a very unusual request at this point in the process, especially given that the financing condition had been met. I attempted to call the mortgage broker handling the file to understand the reasoning behind this last minute request, but he was not returning my calls. Confusion and anxiety began to set in. The lawyers for both the Buyer and Seller agreed to delay closing date by two weeks to allow the lender to obtain the information they required. My suspicion was running rampant at this point, so I decided to directly contact the mortgage lender in charge of the file. I was shocked to learn that the mortgage commitment was actually never issued! The file was on hold by the lender pending receipt of a deposit cheque along with a list of various documents and information from the borrower. The Mortgage Broker was being dishonest and misleading throughout the process by telling the Buyer’s Realtor that the mortgage was approved. I am not sure what his motive was, but I am certain that inexperience was a contributing factor. He put everyone involved in the deal at major risk. This predicament was a recipe for a legal nightmare. I did not share this news with the Seller or his lawyer at this point to avoid panic. It was now a week before the new closing date and the situation was getting desperate. I had contacted the Buyer’s Realtor and after strongly voicing my opinion for having removed the condition on financing without actually seeing any hard evidence of a mortgage commitment, I asked him with great urgency to retrieve (from the Mortgage broker) all of the Buyer’s personal information, documents, reports, appraisal etc. That same day I had arranged a meeting in Hamilton with a local Trust Company. We met with the mortgage manager and handed over all the relevant documents, including the offer, appraisal and property information. The Buyer immediately completed a mortgage application. The lender understood the urgency, and put a rush on the approval process. To our pleasant surprise they had issued a mortgage commitment within 2 days and the Buyer accepted the terms. The deal was back on track to close on the scheduled closing date. It was at this point I decided to advise the Seller of what went on behind the scenes, and what we had to do to save the deal. As expected he was in absolute shock, but at the same time relieved that the closing date was still on schedule. This was a very stressful situation that could have easily been avoided by following these simple rules; t t

Before selling your small business

hinking about selling your small business? Then it’s time to start asking yourself some questions. These straightforward considerations are the first step towards preparing yourself – emotionally, legally and financially – for what’s to come.
1. Why do you want to sell? How much time are you willing to devote to the process? Your commitment to the decision and the selling process will be key to a successful transaction. Being in a hurry because you’re simply tired can lead to very different terms than having a planned exit strategy that will let you take your time. Your business took years to develop, and selling it the right way will take time too. 2. Is it the time right to sell? An established business has advantages over a younger business. If it’s not the right time to get the right price, can you wait? If you can’t wait, what is your absolute bottom line – the minimum price you’ll accept and not one penny less? 3. To what factors are your business subject that might affect its saleability? Is it substantially dependent on you or your connections? Trends or changes in the marketplace will affect also affect the price you can expect to get. Have sales and/or profits been stagnant or declining?
Are you worried about new competition or changes in laws that affect your business? 4. Are you prepared to reveal your financial information? And can your financial statements stand up to scrutiny from potential buyers? Are there any impending tax or legal problems to consider? 5. When sorting your own priorities for the sale, ask yourself, who is the right buyer? There are two basic types of buyers: financial buyers and strategic buyers. Financial buyers are generally investors looking for a good return. They want to know about cash flow, and their own future exit opportunities. They’ve got money they want to invest, and may not be too interested in what kind of business they buy, as long as they get that ROI. They’re looking for a well-managed company with a history of consistent profitability, which they can reasonably expect to deliver the same level of earnings in the future. Strategic buyers want a business that fits into their own long-term plans. They may have a complementary business they’re looking to expand vertically (such as into a different price bracket) or horizontally (perhaps into a new geographical market). Often, strategic buyers will pay more than financial buyers because can benefit immediately from economies of scale, and elimination of duplicate functions. The better the fit your company is, the more they’ll pay. Which type of buyer is the best fit for your company depends on your goals. Are you trying to get the highest price at any cost or looking for a balance of good price and other considerations (such as protecting employees)? Or are you looking to get some cash out but wanting to stay with the company for a period of time? Once you’ve got some answers to these questions in mind, your accountant will help you determine your next steps once you’ve decided when to consider sell your business.

The “Street Smart Real Estate Appraiser” – Location… Location… Location My last article was about Vision as it could relate to property appraisal. The ideas that come from discussing value often look forward in time to see what could be done to a property. An experienced appraiser should be able to critically judge different types of visions as well as generate their own visions. It’s best to talk to these people, understand what they think, know and see, and ultimately get their “techniques”. The mission - become a “STREET SMART APPRAISER”!! A real estate valuation technique I’ll give you is “Location….Location……Location”! Angelo Nitsopoulos emphasized this appraisal “technique”. Angelo of Heart of Niagara Hotels is one of the operating partners of a multi-property hotel portfolio; brands which include Holiday Inn, Best Western and Days Inn. The group also has other interests in the hospitality sector, numerous investment properties and speculative land parcels. One of the oldest pieces of advice as it relates to real estate is Location…..Location……… Location. Angelo’s first evaluation of a property always reverts to the locational characteristic. Angelo quoted “I don’t care how good of a deal something might be - I’ve learned from acquisition mistakes that Location is the most important factor!”

When Angelo first looks at a hotel property, he’s not looking very hard at the bricks and mortar; he’s looking closer at the neighbourhood and the immediate neighbors. “I can change brick and mortar, but I can’t change the location” Angelo commented. A hotel property with the right location that has been “let go” could support a product change. Bringing new business can be done with improvements or re-positioning the perception in the market; without the correct location these re-investments might not produce the return. When looking at location try to understand the history of the location and then ask yourself “What can I do, what is needed and can I do better”? This form of analysis is needed when you see an underperforming property with an excellent location, but fail to realize the potential capital requirements to transition the asset. Buyers often act on emotional factors when seeing a homerun location; “remove emotion from the equation” Angelo says. PRIVATE LENDING IS NOT JUST FOR RICH PEOPLE... IT WILL MAKE YOU RICH! For many years, we have been assisting people to make their money really work for them in mortgage lending. Most of the big, RICH, private lenders out there started out as just average people, that took the leap into mortgage lending regardless of what friends and family thoughts were. Many are stricken with fear of losing their money when contemplating this investment vehicle. Before dismissing this investment direction, consider the following points. Private lending can be very financially rewarding. Private lending is certainly not like putting funds into a guaranteed account with a guaranteed rate and a modest return. Yes, there is a bit more involved. The mortgage brokerage you work with is key. The typical brokerage will have a range of mortgage offerings that will include offerings that cater to individuals that are in a dire position. They may be losing their property and/or their mortgage is in arrears, their credit is challenged and they need to consolidate. The banks will not lend under such circumstances as the risk is too high. These are the type of deals I would not lend on, but are the basis of the high yielding returns. Lending criteria has changed so drastically in the past few years. Banks have really tightened up their lending rules, specifically when it comes to income properties. This is when a private lender can come into play and really leverage on this opportunity to make anywhere from 8-20% annual return. These clients generally have clean credit, good income and other assets. This would make for a safer investment. Lending your Self Directed RRSPs: You can utilize your RRSPs in this type of investment. Most folks are seeing very slim returns in their plans, unless you are in the industry of watching markets, you typically will not experience anything positive. The Self Directed route is really not too difficult in terms of process. The broker should handle the entre process from providing you the lender with the complete details of the investment so you can make an informed decision. â&#x20AC;&#x201C; Check List: Credit bureau, credit application, appraisal or an evaluation, income and a scenario of why these borrowers are seeking funds. Note: Not all RRSP plan holders will allow for you to self direct your funds into mortgages. Please confirm with your plan holder as to their protocol on mortgage lending. I am aware of plans that do so and have worked with them for several years, some are much less work and make it easier and less costly for you the lender. You can also make equity in your home really work for you as the current rates are insanely low, borrow at a variable rate of 2.102.50% and lend at 9-20%, great profit. This is a great venue for people that are sitting on equity. For example, for a senior that has reduced income, this can bring you additional funds monthly and give you the peace of mind you are looking for. Scenario â&#x20AC;&#x201C; Borrow a mortgage for 100K your monthly payment @ 2.25% interest and a 25 year amortization would be $436. Lend 100k at 14% interest at an interest only monthly payment of $1,167. Your profit is a super $731 per month. In addition, you are paying down your mortgage with this borrowerâ&#x20AC;&#x2122;s interest payments. As a bonus, you are also paying down principal of $3,018 in the first year (this will increase over time). So, you can service your debt, pay-down your principal loan and earn extra income to build a retirement nest egg. Not bad. At the end of the typical one year term the funds come back and you can re-invest again. Ok, so that is the positive side of this investment vehicle. What about the risks? What if a borrower does not pay their mortgage? The private lender is typically in second position. It is imperative for you to confirm that the first mortgage is up to date so you can control the sale process. Donâ&#x20AC;&#x2122;t let this scare you. If you have a good loan to value on the property you will be in a good position to charge back costs plus any associated fees to the sale. The key in managing your risk is to do your proper due diligence on the property and get a realistic valuation from a reputable Appraiser or valuator. There is a lot of detail in this, but with proper counsel, the returns are worth this potential risk. Being a private lender has made people very wealthy. Commercial real estate industry contributes over $63 billion to Canadian economy

he commercial real estate sector (CRE Sector) makes a substantial contribution
to the Canadian economy, generating $63.3 billion in economic activity in 2011,
according to a groundbreaking new research report from the Real Property Association of Canada (REALpac) and the NAIOP Research Foundation. To put this value into perspective, the economic activity of the Canadian CRE Sector is more than twice as large as the entire economy of the province of Newfoundland and Labrador. The CRE sector adds to the Canadian economy in various ways by:

Supporting 340,000 jobs, many of which are high-paying professional jobs, which is roughly equivalent to the total employment in the entire Canadian agriculture industry; Generating $18.1 billion in personal income, related to labour income and other sources of income, which is more than twice the labour income of the Canadian agriculture, forestry, and fishing industries combined; Generating $12.5 billion in corporate profits earned by many small and medium companies, as well as some of the largest pension funds and insurance companies in Canada; Contributing $7.2 billion in personal and corporate income tax revenues for the federal and provincial governments; and ultimately accounting for $32.4 billion in total net contribution to Canadaâ&#x20AC;&#x2122;s GDP, which is more than the total GDP of New Brunswick. What is rent and why is that important? By Jayson Schwarz
F
or a landlord an extremely important aspect of any commercial lease is rent, but it is not even defined under the Commercial Tenancies Act, R.S.O. 1990, c.L.7. This is surprising because rent is the essence of the contract between the landlord and the tenant and in the event of non payment or default of some kind, how rent is defined will determine what remedies are available to the landlord. Most leases and the Act provide for accelerated rent in the event of default in the payment of rent. A default in rent payment will open the door to distress or forfeiture. All of these issues can be addressed in your lease, Rent can be defined by the lease as being much more than just the amount paid every month for using the premises. Commercial realties are such that a landlord needs every tool available to protect oneself. To do this, a landlord should enlist the services of an experienced commercial lawyer familiar with these kinds of issues. Why do we care how rent is defined? By creating a broad definition of rent the landlord is better protected in the event of non payment of monies due under a lease. It is much easier for the landlord to trigger 18G COM
remedies under the Commercial Tenancies Act or under the lease where the money is technically defined as rent rather than as maintenance or some other form of payment. This is an exercise in proper drafting, something your lawyer needs to do. Rent is usually defined to include two types of rent: the base rent that represents the net payment for the use of the premises and additional rent. Additional rent will include any other payment the landlord collects from the tenant, including: realty taxes, maintenance costs of the common areas, insurance on the property, management fees and anything else that can be included. The key here is to explore with your lawyer all possible payments that a tenant could or would ever make to the landlord and to define it as additional rent. There is never any doubt that base rent is rent for purposes of the Act but the definition of additional rent and what is included is a critical issue for purposes of protection from bad tenants. In order to protect oneself, a commercial landlord must use the lease to define different items as rent and define the means of enforcement. The courts have held that where a landlord wants to enforce an amount defined under the lease as rent (such as maintenance fees), he must provide a detailed accounting and the fees must be reasonable. Therefore at the time the lease is drafted, it is incumbent on a landlord to ensure that the definition of rent is broadly stated to include all monies that will be due to the landlord â&#x20AC;&#x201C; contemporaneously, the landlord must ensure that the remedies to collect, when those monies are not paid, are also in the lease. What happens however if the landlord used an off-the-shelf lease that did not include those things? The Commercial Tenancies Act states that the landlord has the right to re-enter the premises and re-take possession after 15 days without notice to the tenant. A lot can happen in 15 days, but with the right clause in a lease, you could act immediately. What if the default was payment of the landlordâ&#x20AC;&#x2122;s insurance and this was not defined as rent in the lease? You might not even be able to take distress or forfeiture action. You need a proper lease! It would appear that there is more to the meaning of rent than meets the eye. Drafting a lease for commercial purposes is difficult and complex, but when properly done it is a great tool to protect your commercial investment. Perhaps the most difficult part of writing these articles relates not to the actual writing, but thinking of a topic to address.
