According to the Australian Bureau of Statistics, there were more than two million small businesses in operation by the end of last financial year. Just like individuals who pay rent for the home in which they live and would like to buy their own home, many business owners would like to buy their operating premises and stop paying rent. While a bank will provide finance for the purchase of an owner-occupied business property, they will likely require some security and documentation that may be unfamiliar to small business owners. Let’s look at Joanne and David who have a small business (in a company name) and are currently
paying rent for their business premises. They own their home, and have saved enough for a deposit on an industrial unit. They like the idea of an industrial unit as an investment as it gives them another asset apart from their business. Their accountant has advised them to set up a new company to buy the property and the bank has agreed to provide a loan in the name of the new company. The bank will take a mortgage over the property being purchased, but have also asked for a Guarantee and Indemnity (G&I) from the business as well as from Joanne and David individually. In addition, they will ask both
companies to enter into a General Security Agreement (GSA). Banks ask for these forms of security as it is the business which produces the income that will repay the loan. Without the income from the business Joanne and David may not be able to meet the loan repayments, and the G&I as well as the GSA allows the bank to capture this income. The bank will require Joanne and David to seek legal advice before proceeding, which is something that any business owner should seek in this situation. In many cases it is well worth exploring this option, but sometimes the risk may be too high. Always seek advice.
